1. INTRODUCTION TO STUDY VISIT TO TURKEY
GENERAL FRAMEWORK
The economic development strategy of the Government of Ukraine promotes Public Private
Partnership as an effective tool for improving infrastructures, public services and environment
quality. In this framework, the Ukrainian Ministry of Economy and Trade currently studies
field best practices for the sake of knowledge transfer. The Ministry is highly interested by the
successful experience of Turkey in realization of major public investments through active use
of PPP models.
The ongoing Public-Private Partnership Development Program (P3DP), implemented by
FHI360 in Ukraine and funded by the United States Agency for International Development
(USAID), seeks to broaden the use of PPPs in Ukraine and expand the role of private sector
finance, expertise, and modern technology. The program provides assistance to the
Government of Ukraine at national and municipal levels to improve the legal and institutional
framework, enhances the capacity of individuals and organizations to design and engage in
PPP activities, and supports the implementation of pilot PPP projects.
OBJECTIVE OF TURKEY PPP STUDY TOUR
In this framework, the Ukrainian delegation consisting of the Deputy Minister of Economy
and Trade of Ukraine, officials of the ministry, local governments and members of Parliament
(16 persons) visited Ankara and Istanbul in a study tour realized on Sept 28- Oct 3, 2014.
The goal of this study tour has been to introduce participants to successful PPPs in Turkey in
order to develop the capacity needed to formulate and coordinate PPP related policy issues,
ensure quality of proposed PPPs, protect public interests, promote and market PPPs, and
support municipalities in their efforts to create PPPs and partner with the private sector. The
emphasis of the tour was to interact with municipal and government leaders who led the
development of PPPs, engaged business, and oversaw the implementation of PPPs. Upon
return to Ukraine trainees will make presentations to broader group of people about what they
have learnt during the study tour as follow-up activity and present PPP case studies.
The organization of the study tour in Turkey has been realized, under contract with FHI360,
by Middle East Development Network (MDN), international consulting company based in
Istanbul and specialized in public policy field.

3. STUDY TOUR REPORT
During the PPP study visit to Turkey the Ukrainian delegation had the opportunity of meeting
various actors and levels of government, as well as private and international actors involved in
PPP in Turkey, such as:
- international organizations (World Bank, EBRD);
- bilateral development organizations (French Agency for Development (AFD),
Proparco);
- national authorities (Ministries of Development, of Transportation, Maritime Affairs
and Communications, of Health, Turkey Investment Support and Promotion Agency);
- regional authorities (Istanbul Development Agency);
- metropolitan municipality (Ankara Metropolitan Municipality);
- district municipality (Pendik Municipality)
- local public private initiatives (OSTIM Industrial Park, ÖDTÜ TechnoPark)
- private sector (Yapı Merkezi, Mott MacDonald).

Monday, Sept 29, 2014 / Ankara
9.30 - 10.30 World Bank Turkey. Presentation by Mr. Stephen KARAM, Sector Leader,
Sustainable Development Sector Unit, World Bank Office, Ankara.
Topic of the presentation: Introduction to PPP in Turkey i.e. scale and ambition of PPP
financing that the government seeks to leverage in its National Development Plan, sector

examples of PPPs in Turkey, key challenges faced, policy areas of World Bank’s engagement
with the government on PPPs, and example of a PPP landfill project in Ankara supported by
the World Bank Group.
World Bank Group’s Role in PPP Development
The World Bank Group provides support to client countries in relation to developing
programs and projects for public-private partnerships (PPPs) through a number of different
tools and mechanisms. The World Bank provides support to governments in developing
enabling environments for PPPs and sector reform, through technical assistance and as part of
broader sector support through facilities to support the development of PPPs. The World Bank
Group also supports a number of knowledge management tools and collaborates on initiatives
to support governments. The World Bank provides financing to governments seeking to
support specific projects or PPP programs through viability gap funding or financial
intermediary loans. The World Bank also provides partial risk guarantees and credit
guarantees to projects in client countries.

Topic of the presentation: Development of PPP projects in Health Sector
The Ministry of Health was the first ministry to introduce PPP in Turkey through a
memorandum on Jan. 4, 1985, indicating that they would outsource cleaning services for state
hospitals to private firms. The first substantial legal efforts involving PPP in the healthcare
sector were realized with the addition of a clause to the Principal Law on Health Services in
2005 (No. 5396). In accordance with this clause (Law on the Addition of a Clause to the
Principal Law on Health Services, 2005): Contingent with the Supreme Planning Board’s
(YPK) decision, health facilities built on land that is under the ownership of the Treasury (or
individual, if applicable) shall be leased by the ministry with a right of construction for a
specified term, allowing the private sector the right to provide all non-medical services. The
directive relating to this variation of PPP, defined as the build-lease-transfer (BLT) model,
went into effect in July 2006 (Directive on the Outsourcing of Health Services and the
Renovation of Service Facilities outside Medical Service Areas in Exchange for Operation,
2006). This directive marked the beginning of preparation efforts for implementing hospital
projects through PPP.
Discussion highlights
25 hospitals are being built as PPP, with total bed capacity of 25.000.
PPP contracts are scrupulously developed, 1.000 pages each.
The Ministry cannot share the contracts as these concern “commercial secret”,
however will be able to share certain information upon official request from the
Ukrainian Government to the Turkish Minister of Health.
The Ministry can envisage technical exchange of information and training if bilateral
agreements are concluded and procedures followed.

Topic of the presentation: Presentation about PPP municipal projects at the city hall,
followed by site visit of PPP Mamak Landfill and Ulus PPP urban regeneration of historical
neighborhood.
Discussion highlights
Ankara Metropolitan Municipality has realized several projects through PPP.
Mamak Waste Management Plant, PPP realized with support of World Bank.
Project of Historical City Museum of Ulus Area. In this PPP, the cost of expropriation
for municipality compensated by incomes from generated tourism activity.
Urban Regeneration of the Valley of Dikmen. The urban regeneration project was
realized partly by municipal finance for development of recreational spaces. However
it had generated important revenue to the municipality as result of development of the
housing in the regenerated area.
The presentation was followed by site visit to the waste management plant in Mamak and
historical renovation site in Ulus areas. At the waste plant, Ms Gülseren KAZANDERE from
the company that manages the project (ITC Invest and Trading AG) made detailed
presentation about the facility.

Tuesday, Sept 30, 2014 / Ankara
9.30-10.30 OSTIM Industrial Zone/Park. Presentation by Mr. Orhan AYDIN, Chairman of
OSTIM Board, and Mr Adem Arıcı, Zone/Park Manager.
Topic of the presentation: OSTİM as Model of Industrial Park activity in Turkey
Industrial parks have been successfully developed in Turkey using the PPP model. OSTIM
Industrial Organized Zone, a large industrial park in Ankara aimed at fostering productivity of
small and medium enterprises (SMEs). An Eco- Park, a green technological and research hub,
is also being planned in OSTIM.
Discussion highlights
OSTİM is among the largest industrial parks in Turkey, and calls itself “industrial
city” as it includes also housing areas and social facilities.
Industrial parks have specific legislation, are linked to the Ministry of Industry, and
act as a semi-autonomous local self-government unit.
OSTİM provides all necessary administrative and business services to the companies
present in the park.
OSTİM act as “know-how exporter” and supports the development of industrial parks
in several countries. OSTİM is interested to support Ukraine in developing industrial
park model.

11.00-12.30 ODTÜ Teknokent (former METUTECH), Technology Park. Presentation by
Mr. Ufuk BATUM, Vice-President.
Topic of the presentation: ODTÜ Teknokent as Model of Technology Park
In Turkey, Technology Park is understood as an organization that provide infrastructure,
superstructure and services appropriate for the production of advanced high value added
technology, based on R&D, in a high quality physical environment through enabling the
knowledge and technology transfer and increasing the cooperation between university,
industry, research centers and entrepreneurs.
ODTÜ Teknokent and its Management Company: ODTÜ Teknokent Yönetim A.Ş. is the
first degree responsible juridical body in realizing the vision and goals of ODTÜ Teknokent.
In the framework of the Regulation No.4691, regarding Technology Development Zones, the
management company of ODTÜ Teknokent was founded in 1991.The METU Development
Foundation, Ankara Chamber of Commerce, Bleda A.Ş. and EBİ A.Ş. are the charter
members. The management company of ODTÜ Teknokent is responsible for the application
of the strategies and programs specified by the Executive Board. ODTÜ Teknokent Yönetim
A.Ş. fulfills these duties and responsibilities through the Board of Directors and its executive
officers. The specification of short term policies in accordance with the vision and goals of
ODTU Teknokent shall be specified by the Board of Directors.
Other discussion highlights
ODTÜ is established by the Middle East Technical University (METU – ODTÜ in
Turkish, public university), with involvement of Ministry of Industry and other
bodies.
ODTÜ Teknokent is the first and most successful TechnoPark in Turkey. It is
specialized in IT, defense industry and life science.

ODTÜ Teknokent is involved in international cooperation. Has established
branches in Baku/ Azerbaijan and in Silicon Valley/ USA. Are interested in
supporting Ukraine in developing the model of technopark.
Various tax and policy incentives provided by the government to technoparks.
However companies join technoparks for the “innovation and business climate”
more than for the tax incentives.
13.30 – 14.30 Ministry of Development. Introductory Speech by Mr. Mehmet CEYLAN,
Deputy Minister. Presentation by Mr. Mustafa TEKİN, Head of PPP Department.
Topic of the presentation: Macro-economic perspectives on PPP development and the role
of Ministry of Development in promoting PPP approaches in Turkey.
The State Planning Organization which was founded in 1960 was reorganized as the Ministry
of Development in June 2011 with Decree Law No. 641. Ministry of Development of the
Republic of Turkey is an expert based organization which plans and guides Turkey’s
development process in a macro approach and focuses on the coordination of policies and
strategy development. The Ministry’s vision is to be a leader, dynamic and expertised
institution, which designs and leads the process of Turkish development in a holistic way,
focusing on policy and strategy making and coordinating.
The Ministry of Development realized detailed presentation about PPP policies in Turkey and
major projects.
Other discussion highlights
The overall framework of PPP was presented by the Development Ministry.
Main PPPs project notably in transportation field realized in Turkey.

The Turkish Deputy Minister underlined the importance of successful holding of
Strategic Cooperation Council meeting in December 2014.
He also insisted on the necessity to activate the content of the bilateral cooperation
agreement in process between the two ministries, and requested Ukrainian Deputy
Minister’s support in pushing the inter-regional cooperation dimension.

Topic of the presentation: Development of PPP projects in Transportation Sector
Transportation is the leading field of PPP in Turkey. For example, Turkey’s major airports –
including two in Istanbul, one in Ankara and one in Izmir – have been developed and operated
under the PPP model. A third airport in Istanbul, expected to be tendered within this year,
would be another major PPP project.
The road and rail sectors have not yet developed a track record in the use of the PPP model.
However, the government has a number of current projects in the pipeline that are being
developed as PPPs in both sectors. In the road sector, the Gebze–İzmir Highway PPP project,
tendered in 2010, and the third Bosphorus bridge PPP project in Istanbul, tendered last May,

constitute the key PPP projects on the government’s agenda. In the rail sector, the Ankara
High-speed Railway Station PPP project, which has been recently awarded, is the first build-
operate-transfer project.
Discussion highlights:
Different models of PPP were applied in the transportation field. The government
plans to extend the network of highways and railways and build more airports through
PPP.
The most developed DG in the PPP field is the DG of Airports, followed by the DG of
Highways.
PPP legal framework in transportation field foresees various incentives and guarantees
for the investors.
17.30-18.00 Visit to Embassy of Ukraine. Meeting with the Ambassador of Ukraine, His
Excellency Sergiy KORSUNSKY.
During the private discussion the Ukrainian Ambassador emphasized the importance of
bilateral cooperation and specifically mentioned the fields of nuclear energy, railways, food.

Topic of the presentation: Presentation at the City Hall about PPP municipal projects. The
official meeting at the municipal hall was followed by site visit of Pendik Marina and Viaport
Outlet Shopping Center, led by Deputy Mayor Cevat YAMAN.
Discussion highlights
The Municipality has realized major PPP projects such as marina and shopping and
entertainment complex Via Port. Other PPPS are planned.
Different model have been applied. While in Via Port it goes about land which was the
municipal property, in the marina case, the municipality rented the land from the
Turkish Treasury, and developed a PPP on it.
PPP rent revenues are 10 times more important than all other rent revenues from the
municipal property.

13.00-14.30 Yapı Merkezi Construction Group of Companies. Presentation by Levent
Çekirge, General Manager of Yapı Merkezi Infrastructure Investments Inc..
Topic of the presentation: Yapı Merkezi’s PPP projects.
Yapı Merkezi is one of the major construction companies involved in PPP. One of their
flagship projects is the Bosphorus Avrasya (Eurasia) Vehicular Tunnel Crossing. The
company has been operating since the last 50 years in Turkey but also in the United Arab
Emirates, Saudi Arabia, Algeria, Morocco, Ethiopia and Sudan.
Discussion highlights
Scheme of private sector involvement in Yapı Merkezi’s projects was presented.
Constitution and work division of international bidding consortiums in PPP
projects was explained.
Presentation of consortiums relation with public administration and government in
the realization of PPPs
Need assessment was realized about Istanbul’s traffic scheme for the sake of
realization of Avrasya Crossing Tunnel.

15.00-17.00 Mott McDonald Company. Training by Mr. John SEED, Head of
Infrastructures - Europe, Russia, Africa, with participation of Mr Burak SENCER, Country
Director.
Topic of the presentation: Mott MacDonald’s PPP projects in Turkey.
Mott Mc Donald (MM) is an international engineering management and development
consulting company with offices in 50 countries and projects in 140. MM is working in
Turkey since 1970’s and has established its Istanbul office in 2010. MM’s PPP projects cover
health, transportation, energy sectors.
Discussion highlights
Role of Mott MacDonald as lender technical adviser was presented.
Various choices and country experiences for PPP legal framework’s development
were discussed.
Health campuses development in Turkey was specifically explained.
Health PPP projects’ risks for investors and key bankability issues discussed.
In the PPP legal framework, Turkey, together with Canada, Australia etc, follows the
“non-EU” model, while countries like UK follow since 2004 the European model of
PPP tendering process.

9.30 – 10.45 European Bank for Reconstruction and Development. Presentation by Ms.
Şule KILIÇ, Deputy Country Director.
Topic of Presentation: PPP projects developed with EBRD funding and assistance in
Turkey.
ERBD aims to increase availability of risk capital and long-term funding to the micro, small
and medium sized (MSMEs) enterprises. Investments elsewhere in the enterprise sector will
focus on agribusiness: priority will be on strengthening linkages and standards along the food
chain and stimulating a food supply that meets European quality standards. Also, EBRD is
strongly investing both in the development of an energy-efficient, low-carbon market
economy and of PPP development scheme. It also supports the government’s privatization
program in the enterprise and financial institutions sectors.
Discussion highlights
The general structure of PPP in Turkey was presented and the role of EBRD in PPP
funding explained
PPP implementation scheme and key bankability issues were discussed.
Turkey currently experienced 3rd
phase of PPP model development. The first model of
PPP was practiced 20 years ago with sea ports under the authority of State Railways
Authority. The second model was developed with airport and highways. Now with the
development of large Hospital Complexes, Turkey enters the third phase of PPP model
development.

The legal framework still needs to be improved and the international lenders were not
yet able to get full guarantees of complained with international standards, therefor
very few concrete examples of completed lending procedures.
11.00 - 12.15 Agence Française de Développement (AFD) – French Agency for
Development /Proparco. Presentation by Mr. Bertrand WILLOCQUET, AFD’s Country
Director, and Mr. Guillaume BARBEROUSSE, Proparco Regional Representative in Turkey,
Middle East, Caucasus and Central Asia.
Topic of Presentation: AFD’s Municipalities funding for Infrastructures Development and
Proparco’s PPP Development Scheme
AFD works with the public sector (central government,
State-owned companies and local authorities) and, via its subsidiary Proparco, with the
private sector (banks and companies). AFD has a wide range of financial tools tailored to the
projects it finances. It offers long-term loans on preferential terms. It finances studies and
technical support for projects via grants. AFD is committed to establishing partnerships
between French, Turkish and Mediterranean stakeholders. It mobilizes French expertise,
supports decentralized cooperation activities between Turkish and French cities, and creates
networks among civil society stakeholders. It involves its Turkish partners in regional
cooperation activities.
Discussion highlights
The role of the French organizations in funding was explained.
AFD is very active in lending directly to municipalities in Turkey.
PPP projects in water-treatment from Jordan were introduced to the participants.

Ukrainian delegates expressed their wish to see larger cooperation with AFD and
Proparco in Ukraine.
14.00-16.00 Turkey Investment Support and Promotion Agency. Meeting with Mr. Ahmet
Cüneyt SELÇUK, Chief Project Director, and Ms Esra DOĞAN TULGAN, Senior Project
Director.
Topic of Presentation: Mission and Modus Operandi of Turkey Investment Support and
Promotion Agency, strategies of attracting foreign investment.
The Republic of Turkey Prime Ministry Investment Support and Promotion Agency (ISPAT)
is the official organization for promoting Turkey’s investment opportunities to the global
business community and providing assistance to investors before, during and after their entry
into Turkey. ISPAT serves as a reference point for international investors and as a point of
contact for all institutions engaged in promoting and attracting investments at national,
regional and local levels. Active on a global scale, ISPAT operates with a network of local
consultants in Canada, China, France, Germany, India, Japan, Saudi Arabia, Spain, the
Russian Federation, the UK, the USA, and South Korea offering an extensive range of
services to investors through a one-stop-shop approach, and assists them in obtaining
optimum results from Turkey. ISPAT’s team of professionals can assist investors in Arabic,
Chinese, English, French, German, Italian, Japanese, Korean, Russian, or Spanish as well as
Turkish, and is dedicated to helping investors successfully develop their business operations.

Its relationship with regional development agencies was explained.
15.00-16.00 Istanbul Development Agency (İSTKA). Presentation by Mr. Onur PARTAL,
Regional Development Expert. (meeting held at the premises of the Turkey Investment
Support and Promotion Agency).
Topic of Presentation: Role of regional development agencies in Turkey and cooperation
between public and private actor for territorial development, PPP case studies in major
infrastructure projects in Istanbul. Istanbul Development Agency is a Government Agency
with objectives which can be listed as follow: improvement of the cooperation among public
sector, private sector and NGOs, ensuring effective usage of resources, stimulating the local
potential, fostering the regional development and ensuring its sustainability, and decreasing
the inter-regional development disparities.
Discussion highlights
The role of regional development agencies in Turkey was explained and the
Istanbul Development Agency presented in detail.
Relationship, similarities and differences with other development agencies in
Turkey clarified
In last few years ISTKA has given some 271 million USD as grants to various
local actors (private sector, civil society, municipalities etc).
