    social platform for the enterprise. The vision of Qontext is to provide social

    software and web 2.0 tools that integrate with other business applications

    in the company, creating streams of business-related conversations.

    Enhanced conversations, content sharing in a private social network, carry

    numerous use cases and business benefits. Qontext delivers consumer-

    internet style user experience combined with enterprise-grade capabilitiessuch as administration, integration, security, scalability.

    1.1 About The CompanyQontext Inc. is a proud venture of Pramati Technologies. Pramati

    Technologies was founded in 1998 on two main ideas: continuous

    innovation and service excellence. Pramati empowers customers with

    technology and services to adapt to market shifts, reduce engineering

    costs, and sustain competitive advantage through innovation. As the

    leading software engineering firm in India, Pramati has built several

    successful technology brands over the past 12 years that are now operatingas profitable business units including Imaginea, SocialTwist, Qontext, and

    2 Qontext Offerings2.1 SoftwareQontext is an enterprise collaboration platform designed to increase

    business-related conversations, with sharing as a natural part of working. It

    provides the simplicity of web 2.0 products while complying to the

    enterprise security and privacy requirements.

    With Qontext, enterprises can create a private employee social network.

    Employees can create rich profile pages, share pictures and videos, browse

    organization hierarchy and connect with others in the organization.

    At a higher level, Qontext can be configured to work as an internal

    knowledge network. Employees can form ad-hoc groups, project teams or

    expertise based groups. Qontext groups enable employees to discover

    peers with similar interests, discuss topics and share information withpeers. Employees can show case their expertise through use of Qontext

    tools like Blogs and wikis. Qontext provides powerful faceted search and full

    text search inside office and pdf documents, making it easy to locate

    information and subject matter experts easily.

    Hosting Options

    Qontext provides Software-as-a-Service (SaaS) via two hosting options:

    1. Foundation Edition: multi-tenant hosting, or2. Professional Edition: dedicated hosting.

    Both options are hosted in the SAS 70 type 2 compliant Amazon EC2 cloud.

    Application Integrations

    Qontext uniquely provides out-of-the-box integration with any web-based

    application. In addition, we provide deeper embedded UI and API

    integration with select partners:

    of business application events and alerts (e.g., alert me when a sales

    opportunity > $1M is posted).

    Qontext SAAS has undergone the rigorous process of AppExchange

    certification with Salesforce.com. The certification process involves annual

    review of our policies, verification of the effectiveness of our processes and

    testing of the application by the independent testing team of Salesforce.

    The policies reviewed include our HR policies like pre-employment

    verification and security training and our InfoSec policies like: Encryption,

    Access Management, Change Management, Capacity Planning, BCP, Patch

    Management etc. The following tests were performed on the application:

    Source code analysis Web App vulnerability scans Penetration testsWhile Qontext recommends our hosted offerings, we can offer on-premises

    solution proposals upon request.

    Platform

    Qontext software is written using the latest the Enterprise Java standards

    and hence, is platform independent. Our entire solution development,

    testing and optimization have been performed on, and are offered on the

    Linux operating system.

    Performance

    Qontexts architecture lends itself to high scalability and can scale well for

    user community as large as 35,000 with 1TB data and still deliver the

    response time of less than 2 seconds on page loads.

    Account Management

    Qontext provides extensive admin capabilities including user management

    functions. Account management audit trail and content moderation

    capability can be made available.

    Data Security

    With dedicated hosting, Qontext can provide secure access through SSL

    where all data traffic will be encrypted. The necessary SSL certificates

    must be provided 1 month prior to deployment.

    User uploaded files are saved to Amazon S3 as private content and not onlocal disc. Private content on S3 is protected using access keys. The

    uploaded files saved on S3 are not in an encrypted format.

    Qontext implementssession timeoutto invalidate inactive sessions. The

    default session timeout is set to 30mins.

    Browser Support

    Qontext supports a wide range of modern popular browsers, including IE7,

    IE8, FF3, Chrome and Safari 3. However, IE6 is not supported as it is being

    majorly phased out and its limitations in CSS rendering and JavaScript. This

    year, major vendors such as Salesforce.com and Google Apps haveannounced discontinuing support for IE6. The Stats below1 are indicative of

    the switch to newer versions:

    Options Requiring Professional Edition

    Corporate Directory integration

    Qontext can provide integration with your corporate directory (e.g.,

    Microsoft Active Directory) including automated user account management

    (when employees join/leave the company), user profile synchronization

    (any changes to user profile in AD will be updated to the users Qontext

    profile) and Single Sign-On (SSO).

    Document Management System integration

    Qontext can provide integration with your document management system

    such as Microsoft SharePoint, Documentum, or IBM FileNet.

    Anti-virus requirements

    Qontext can provide enterprise-grade antivirus software on cloud. The

    software can be configured to auto-update its virus database on an hourly

    basis. If anti-virus is requested, Qontext will check all files uploaded by

    users for viruses. Qontext will ensure that every file being downloaded is

    scanned for viruses against the last updated virus database.

    2.2 SupportQontext provides three levels of support: Standard Support, Priority

    Support and Premium Support.

    Standard SupportQontext provides private community support through Qontext Support

    Group (an internal group on the Qontext portal, with Qontext support staff

    being guests limited to only that group). In contrast to public forums, this

    exclusive feature protects users inadvertently disclosing any proprietary

    information to outsiders.

    Users use this Qontext Support Group as the Primary channel for contact

    with support. Users can check information on Qontext Support Group to

    explore reported/resolved issues or submit new support requests. Qontext

    must be provided adequate information and access needed to reproduce,

    debug and correct software problems reported by users. Such informationcould include steps resulting in the issue, error messages, screen captures,

    etc.

    Additionally, users can email to [email protected] on support issues.

    Priority Support

    Qontext Priority Support is designed to provide enterprise-grade support

    beyond forum support included in standard license. Priority Support

    includes unlimited email and phone incidents with phone support available

    from 9am-5pm IST. All support will be provided in English.

    Premium SupportQontext Premium Support is designed to provide comprehensive support

    for organizations to fully benefit from the hosted service. Premium Support

    comes with unlimited email, phone incidents and highest level of customer

    care 24x7. All support will be provided in English.

    Qontext Premium Support is not the typical enterprise support offering

    where users are shown to self-service knowledge bases or answered by

    note taking front desk agents when the phone rings. Qontext Premium

    Support is designed to offer direct connect to product experts, so your key

    administrators or users dont waste time passing through tiers of support

    personnel. We are committed to helping you get the best value of your

    Telephone Support

    24x7 priority phone support requests can be initiated by designated admin

    staff only. Designated support contact will be provided in India and US, who

    can be reached by direct phone line depending on the time of the day. The

    best times for phone calls related to non-critical issues would be the normal

    business hours of 9:00 AM to 6:00 PM IST, Monday through Friday,

    exclusive of the public holidays.

    Service Levels

    Level Definition Target Response

    Uptime Assurance

    Qontext service availability would be monitored at every hour to ensure

    continuity of service. Our Service Level Objective (SLO) for service Uptime,

    measured at the end of each calendar quarter, would be 99.5%.

    Planned downtime

    Qontext will provide 24 hour advanced notification of regular maintenance

    downtime, which shall be normally scheduled during the weekend hours or

    lean periods. Planned downtime is excluded from Uptime SLO.

    Escalation

    Occasionally you may encounter situations where a problem is so severe it

    demands immediate attention, or a significant time has passed beyond the

    resolution targets without a satisfactory resolution.

    A support case may be escalated as follows:

    Level 1: Designated Support Contact

    Level 2: Account Manager

    Level 3: Vice President

    Exceptional circumstances

    Support unavailability caused by circumstances beyond our reasonable

    control, including without limitation,acts of Godsuch as flood, fire,

    earthquakes, government-mandated closures, acts of terror, strikes orother work disruptions beyond our control.

    2.3 TrainingOnsite

    Qontext strives to make its software as intuitive as possible. We leverage

    existing, proven paradigms (e.g., Facebook, Twitter) and implement latest

    human factors and interface design practices. However, we also recognize

    that different users have different experiences and expectations.

    Therefore, Qontext provides two on-site training options:

    1. T3 (Train-The-Trainer): 6 hours, maximum 10 attendees.2. End User: 3 hours, maximum 25 attendees.

    All facilities and equipment must be provided by the trainee. Equipment

    must meet system requirements defined above. One workstation must be

    provided per attendee.

    2.4 Professional ServicesQontext can provide additional professional services to maximize the

    successful implementation, deployment and usage of Qontext. Following

    are key areas of service options.

    Configuration

    While Qontext includes all capabilities for self-configuration, our

    experienced team is available to help streamline your initial set-up. We can

    leverage best practices for organizational structure to meet your specific

    needs (e.g., creating groups, categories, business units, tags, etc.).Qontext can also provide design services such as banner and custom icon

    design to give your implementation an integrated, tailored look and feel.

    Integration

    Qontexts engineering consulting team is available to assist with back-end

    or application integration, such as Single Sign-On, Active Directory, VPN or

    integration with standard (ERP, HRMS, CRM, et.) or home grown web

    based applications.

    Social Strategy Consulting

    Enterprise social software is emerging area and companies are

    experimenting with various strategies and techniques to derive the best

    possible benefits.

    Qontext is keen to see successful adoption within your enterprise. While

    organizations are seeing differing usage patterns, a planned approach

    would be helpful. Qontext team would provide an initial questionnaire to

    understand goals, non-goals, will work, wont work, etc. that could provide

    the background for working with your enterprise on a social strategy and

    launch plan. By implementing best practices and leveraging our

    implementation experience, we can help you maximize business value and

    improve time to success.

    Solution Customization

    Qontext continues to invest heavily in feature enhancements. However, if

    unique needs require immediate implementation of specific functions, we

    can propose software customization upon request.

    3 Proposed Offerings for Novartis3.1 Line ItemsQontext is thrilled at the opportunity to work with Novartis. Our goal is to

    Based on our understanding of Novartiss requirements, Qontext proposes

    A user for the purpose of above calculation is any user account, employee

    or guest, that remains created during the month and is enabled for login

    and use. User accounts on Qontext can be Deactivated when an employee

    leaves. User accounts deactivated for the entire month are not counted

    towards billing for that month.

    Early signup discount

    Qontext is keen on bringing on Novartis as a customer as early as possible.Qontext is offering Novartis a discount of 10% on software and support fee,

    if Novartis signs-up before September 15th 2010.

    3.2 Limits and OveragesThe corporate network will come with a monthly quota of 200 MB Database

    storage, 200 MB File storage (that is a total of 400 MB storage) per user

    and 1 GB of bandwidth per user per month.

    If these limits are exceeded, Novartis will be billed one or more units of the

    items as per the following pricing table.

    3.3 Professional Services (Optional)Qontext would provide additional custom development work, including

    integrations, custom modules, customizations, feature extensions for

    professional services fee of $75/hour per person. Statement of Work (SOW)

    would be jointly prepared to initiate such services from time to time.

    3.4 Terms and ConditionsQontext will provide draft of full legal agreements (License Agreement,

    Professional Services Agreement and Support Agreement) upon acceptance

    of the Commercial Terms. However, here are some key points to note.

    Payment

    Software and support fee will be invoiced at the begining of everyquarter.

    The implementation fee is a onetime charge and will be paid uponsigning the contract.

    Overage charges and adjustments will be invoiced at the end ofevery quarter.

    All payments are net 30 from invoice date, with 2% PM interest forpayments beyond 30 days.

    Term and termination

    This proposal is valid for 30 days. The agreement is valid for 1 year Novartis can terminate the agreement at any time with a Quarter as

    advance intimation period in writing.

    Qontext may terminate the agreement due to non-payment.General Terms

    Novartis agrees to provide quote for inclusion in a press release about

    Qontext deployment, the draft of which will be provided for approval.

    Qontext can list or use logo of Novartis as a customer of Qontext on its

    website and other promotional material. All other deal terms are

    confidential.

    Hosting Services Terms

    Qontext utilizes third party hosting providers for the SAAS service,such as Amazon Elastic Cloud Computing service (EC2) and may

    change its provider from time to time. All access to Qontext will

    hence be subject to terms and conditions of the hosting provider(EC2 terms are available at aws.amazon.com/agreement).

    Certain integrations with external services, such as LinkedIn forprofile import, Scribd document and slides viewer, twitter, etc. may

    become unavailable due to changes in terms and conditions of the

    respective providers.
