THE SOCIETIES REGISTRATION ACT 1860 AND IT’S
BASIC PURPOSE.
“An Act for the Registration of Literary, Scientific and Charitable
Societies, The following societies may be registered under this Act:-
Charitable societies, societies established for the promotion of science,
literature, or the fine arts, for instruction, the diffusion of useful
knowledge, [the diffusion of political education], the foundation or
maintenance of libraries or reading rooms for general use among the
members or open to the public, or public museums and galleries of
painting and other works of art, collections of natural history,
mechanical and philosophical inventions, instruments, or designs.
SUB SECTION 12 OF ARTICLE 1860.
Whenever it shall appear to the governing body of any
society registered under this Act, which has been established
for any particular purpose or purposes, that it is advisable to
alter, extend or abridge such purpose to or for other
purposes within the meaning of this Act, or to amalgamate
such society either wholly or partially with any other society,
such governing body may submit the proposition to the
members of the society in a written or printed report and may
convene a special meeting for the consideration thereof
according to the regulations of the society.
But no such proposition shall be carried into effect
unless such report shall have been delivered or sent
by post to every member of the society ten days
previous to the special meeting convened by the
governing body for the consideration thereof, nor
unless such proposition shall have been agreed to by
the votes of three-fifths of the members delivered in
person or by proxy, and confirmed by the votes of
three-fifths of the members present at a second
special meeting convened by the governing body at
an interval of one month after the former meeting.”

Section 4. Analysis and Recommendations
D. Purposes:
While the laws permit a range of
activities, which interpreted liberally, do not
appear to inhibit organizations from undertaking
nearly everything, which is not illegal. However,
they do prohibit certain activities and actions.
•Personal Benefits,
Only the laws in the Category A body of legislation
prohibit the payment of remuneration to the governing body
and the members of the NPOs. These and the other laws
prohibit the sharing of left over assets after dissolution to the
Members. Insider trading is allowed only if such disclosure
has been made and permission sought from the governing
body. Executive salaries are implicitly required to be
reasonable, but there is no explicit bar on them by law.
However, the Articles of Association or the Trust deed can
lay down limits at the discretion of Members or the Creators
of the Trust.
•Business Activity,
Each of the laws explicitly require a statement of objectives and purpose
to be clearly specified. Only the various trusts acts permit these to be not written
down. However, in this case an affidavit has to be filed by the Trustees. Once
registered these statements of intent are the binding constraints on the activities,
which can be undertaken by the concerned NPO.
NPOs can undertake businesses, which are not necessarily related to their
purpose, provided that their statements of intent (for instance, Trust deed,
Memorandum of Association) permit such activity. Irrespective of whether they
have been approved as a “charitable institution” under the Income Tax
Ordinance income from such profit-making activities are liable to tax unless they
can be shown to have been spent for the purposes of the activities for which the
organization has been established. An instance of this treatment owned and
operated by the charitable trusts and foundations established by the defence
forces of Pakistan. This was not withstanding their plugging back the profits for
the welfare of the retired defence forces personnel.
•Funding Restrictions,
All NPOs are required to seed approval for a concerted campaign
to raise funds either through charity drives or through holding public
gatherings for art, musical, theatrical or charitable purposes at which
tickets/cards are sold in advance or gate money is collected. Such
permission must be obtained from the District Coordination Officer
(DCO) of the District in which the activity is to be undertaken. Application
must be made under the Charitable Funds (Registration of Collection)
Act, 1953 which then permits the NPO to apply for exemption from
Entertainment Duty. The District Coordination Officer (DCO) has
considerable discretion in either granting or rejecting the application
without specifying any reason. Recent case laws have required that
decisions should be in the form of “Speaking” orders (that is, must clearly
stipulate the rationale which governs the order. In other words, (why and
how).
•Financial Accountability,
Each law requires that accounts be maintained. The form and
manner is specified in all the various trusts acts. Audit requirements
are also stated. However, the stringency for both the maintenance of
accounts and its subsequent audit differs in each case. The rig our is
directly proportional to the rig our in preparing the registration
documents. Thus only rudimentary accounting and auditing is
required under the various trusts acts. At the other end of the scale the
Companies Ordinance requires that accounts be maintained using the
International Accounting Standards which are used by the Chartered
Accountants for auditing the books of accounts.
A statement of receipts by donor is required to be filed under the
Voluntary Social Welfare Agencies Ordinance.
•Political Activities,
The body of law, other than the Voluntary Social
Welfare Ordinance, does not prohibit the NPOs either from
engaging in political activity or contributing. However,
under the Income Tax Ordinance no NPO engaged in
political activity will be granted an exemption from income
tax on the campaign funds it may collect. The body of law
which impacts on political activities is Political Parties Act
which is limited to political parties specifically set up to
undertake only political activities.
As per mention above Provisions of Societies
Registration Act, XXI of 1860, Edara-e-Fatima
Foundation passed Resolution in its meeting held on
31-01-2015 Regarding Amendment in the
Memorandum of Association/Article of Association
and got its Amended Certificate from Registrar Joint
Stock Companies, Rahim yar Khan District, Rahim
yar Khan.

WORKING SEGMENT’S•According to the Constitution of Pakistan Article 1860 & in accordance with
Legal Framework Order the Edara-e-Fatima Foundation will continue it’s
working as:
(i). Science; Literature; Fine Arts. Instruction and the diffusion of useful
knowledge,

Un-Employment, Foundation will arrange the Research work & Sale’s
Campaigns for Companies to gain Income for its Welfare work, that
will helps Foundation to stand on it’s Dependence.
•Edara-e-Fatima Foundation will establish its Business with Travels and Tourism
Companies to Promote Tourism and generate its funding resources for its welfare
work.

Operations
Edara Fatima Foundation aims to improve the lives of people by
empowering them to work together to fulfill their potential, enabling
them to make positive contributions to their communities.
Edara Fatima Foundation is dedicated to alleviating hardships both at
home and in some of the least served communities throughout the
world, by combating poverty, promoting education by motivation and
establishing schools, providing relief aid to areas affected by natural
disasters and infrastructure assistance to improve and or rebuild basic
public services.
Communities, by alleviating poverty and empowering them to improve
their quality of life through literacy, as the first step to development .
Started in 2012 as a project by the help of Ourselves Adult Education & Literacy of
adolescent girls. Encouraging girls in formal schools , reducing and the large
numbers of drop outs and promoting quality education, as an essential ingredient in
complementing & assisting the country to reach the EFA (Education for all) goal's.
Recognizing that the quality of life of marginalized rural communities, especially
women & children, required many interventions & strategies.
Edara Fatima Foundation is a Non-governmental, non-political and non-profit NGO
founded in 2012 by a group of dedicated persons who wanted to make a difference in
the lives of rural communities, by alleviating poverty and empowering them to
improve their quality of life through literacy, as the first step to development.
Edara Fatima Foundation conducted Survey in different Rural Areas and Enrolled a
Number of Household those are needed food and basic necessities of Life like Food,
Drinking Water, Education for their Children’s even those households doesn’t have

and Provide Fund’s and all other necessary Requirement’s.
•Where Urgent Grant will be required the Member will Intimate Foundation by E-
Mail with all the Detail’s pertaining to the Problem.
•Members will be authorized to High-Light the Issue in their Local & National News
Papers but with the approval of Foundation’s Head Office by E-Mail or by
Telephonic Discussion with Authorities.
•Members will get their Foundation’s ID card and Authority Letter’s to do Work in
their Area’s after the Evaluation based on their CV’s and Provided Personal
Information.
