1. Introduction

eMOTION will require the conclusion of contracts for the operation of its services. eMOTION contracts will rule all relations between the different actors of the value chain. Therefore, there will be contracts between eMOTION Content provider, Service operator, Service provider, Network operator, and End users.

Generally eMOTION contracts will be License Agreements. One specific kind of License Agreement that is sometime used in the industry of mobility data exchange is the Interchange Agreement1.

Both License Agreements and Interchange Agreements deal with the use of Resources protected through Intellectual Property Rights, such as Copyright or Sui Generis Right. Moreover, they are subject to the same principles and rules. Therefore, they will be discussed jointly.

Interchange Agreement may be understood as a specific kind of License Agreement where both parties of the Agreement are at the same time Content providers and Service operator. Therefore they ‘exchange’ Resources of some kind between them. However, each relation of the chain entails all elements of a License Agreement, since each party of the Interchange Agreement gives its authorisation to the counterparty to use a Resource that is protected through an IPR.

Deliverable 4 is structured as follows. First, the most significant clauses of eMOTION contracts will be discussed. In this respect issues such as Warranties, Liabilities, Obligations of the Parties, Grant of License, Applicable Law, Duration of the Contract, Arbitration clause, etc., will be discussed. The description of these issues will be brief considering that most of them are common to all commercial contracts. However, we thought appropriate to consider all these issues in order to provide the reader with a complete overview and guide to the subject matter. Finally, some models and examples of eMOTION contracts will be provided in the Appendix.

2. Content of Resources and Grant of License

2.1 Content of the Resources

eMOTION contracts will specify the Resources that are licensed under the agreement and the quality these Resources should have.

Reference to a specific Appendix to the contract may be required, given the complex technical description that may be necessary. Moreover, reference to a specific Appendix to the contract will allow specifying the technical issues after the contract has been agreed to.

2.2 Grant of license (exclusive or non-exclusive)

eMOTION contracts will also specify whether the license is exclusive or non exclusive. Normally, since eMOTION should work as an open market, license should not be exclusive. Moreover, exclusive license could give rise to antitrust concerns. Therefore, they should be avoided, where possible and convenient.

In specific cases the Licensee may request an exclusive license from the Licensor. For example, where the Licensee incurred investment costs to the benefit of the Licensor, the former may request an exclusive license in order to prevent its competitor to free-ride on his investment. In such cases the parties to the eMOTION contract should take some steps in order to minimise the risk of infringing against EU or national antitrust law. For example, they should specify the reasons for resorting to exclusive licenses and most importantly they should limit the duration of the exclusive license (for example, two years).

As will be recalled from D3 (chapter 6.6.7.) public entities dealing with public sector information are generally not allowed to grant exclusive licenses. Therefore, they are generally only allowed to grant non-exclusive licenses. The European regulator fears that public entities may abuse of their monopoly or dominant position over certain data or information by making use of exclusive licenses. However, Directive 2003/98/EC acknowledges that in some cases an exclusive right may be necessary for the provision of a service in the public interest. In these cases, it is provided that the validity of the reason for granting such an exclusive right shall be subject to regular review, and shall, in any event, be reviewed every three years.

2.3 Authorized Use of Resources

eMOTION contracts will also specify what the Licensee is entilted to do with the Resources. As has been stressed in D3 each right of use is independent from the others. Therefore, the license agreement should specifically mention all rights of use that are granted.

The following rights of use may be granted:

• View. The Licensee has the Right to View the Resources e.g. as a map, which is displayed on a viewing device related to the viewing act, i.e. a browser.

• Print. The Licensee additionally has the Right to Print information (e.g. in a map) he or she is viewing.

• Combine. This allows the Licensee to integrate the Resources with other Resources (e.g. in a map using the same coordinate reference system). All input has to provide the same information type.

• Extract Resource. Allows making a local duplicate of all or part of the resource. The Licensee can do this in support of identified licensed users.

• Copy. Extract Resource of the whole Resources. This is a special case of Extract Resource.

• Spatial Transform. This allows making a local copy of the resource in a new coordinate system. The Licensee can do this in support of identified licensed users. This Right is especially defined for geospatial data that are referenced to a specific coordinate system (e.g. weather data)

• Spatial Fit. This moreover allows a Licensee to make minor adjustments in coordinates to fit an external source.

• Derive Resource. This Right allows a licensee to derive (create) resources, which use the Resources as an identifiable part. Associated conditions may modify the Rights to be licensed on the derived resource.

• Edit. The licensee may derive a new resource by modifying a copy of the input Resources through edits.

• Adapt. The Resources may be used to create and derive a new Resource, which incorporates the input Resource in whole or in part.

• Modify. This is the Right to edit the original input Resources. In essence this is an Edit Right with the additional Right to replace the input Resources by the output Resource.

• Derive Graphic. This is for deriving a new resource as a map representation. (Special Right for geospatial data that have to be presented in a specific kind of map)

• Encode. This allows to create a copy of the input Resources in a new encoding. Which formats are allowable is specified in related Conditions.

• Execute. This either gives permission to use a processing Resource or allows a data Resource to be processed. The Licensee needs Execute Rights on all processes and data of a processing step.

2.4 Specific Restrictions on Use of Resources

The contracting parties may also specify which rights of use of the Resources are not allowed under the License Agreement.

2.5 Creation of New License, Sublicense, and Assignment and Transfer of the license

The contract may also transfer the right (sometime called meta-right) of creating a new license on or to sublicense the Resources. In both cases the Licensee will transfer one or more specified rights of use to a third party. In the first case (creation of a new license) the new license will make no reference to the first license granting this meta-right. In other words the new right will be independent from the original License. In the second case (sublicensing), the sublicense will make specific reference to the first license.

The contract will also specify whether the contract may be transferred or assigned to a third party without the prior consent of the Licensor. If this right is not specified the Licensee will be entitled to transfer or assign to a third party only with a later consent of the Licensor, which may imply new negotiations and opportunistic behaviour on the side of the Licensor. On the other hand, the Licensor may be unwilling to give this right since he may well have specific preferences or requests as of the person of the Licensee.

3. Access, Authentication, Fees and Costs

3.1 Delivery/Access of Resources to Licensee

eMOTION contracts will also deal with the delivery/access of the Resource to/by the Licensee. The Resource could be delivered or made accessible through different means. Depending on the circumstances of the case one or more of these means could be chosen.

3.2 Authentication of Licensee

eMOTION contracts will deal with the means for authenticating the Licensee.

3.3 Fees

eMOTION contracts will also deal with the fees for the authorized uses of the Resource. Since the calculation of the fee could be complex, a specific Appendix could be attached to the License Agreement setting forth all possible variables.

In eMOTION some Content Providers could provide their content for free. For example, public entities could provide information on traffic conditions for free. Moreover, parking managers could be interested in giving to the public information concerning availability of parking places. Therefore, they would be willing to give this information for free or even to pay for this information to be provided to End Users.

It should be noted that even where the Resources is provided for free, a Contract or Licence Agreement is needed, for several reasons, but mainly in order to provide for other relevant issues, different from pricing, such as issues of liability.

3.4 Costs

The contract should also take care of the issue of determining who will bear the cost of delivering or making available the Resources to the Licensee. For example, a public entity willing to deliver or make available such Resources for free may be unwilling to pay for the corresponding costs.

4. Licensor, Licensee, and Mutual Performance Obligations

The most important obligations of the Licensor and of the Licensee are to provide or make available the Resource and to pay the price respectively. However, eMOTION contracts will also deal with other obligations of the parties that are necessary for the successful enforcement of the contract. Such obligations may be specific to each party or may be mutual, in the sense that they require both parties to cooperate to a certain goal.

These obligations may be of different kind. They will vary depending on the circumstances of the case. Therefore a precise indication of all possible individual or mutual obligations that an eMOTION contract may require is not possible at an abstract level.

However, eMOTION contracts should at least specify the following obligations or actions to be taken by the parties under certain circumstances:

• Description of the quality of the data provided by Licensor.

• Description of actions by Licensor in connection with the Licensor Server being down:

o Actions when Licensor Server is down for planned maintenance,

o Actions when Licensor Server is down following a system failure,

o Actions when Licensor server starts up.

• Description of actions by Licensee in connection with the Licensee system being down.

o Actions when Licensee system is down for planned maintenance,

o Actions when Licensee system is down following a system failure,

o Actions when Licensee system starts up.

5. Intellectual Property Rights

eMOTION contracts will also deal with issues of IPR. On the one hand, the contract will deal with the ownership of the Resources that are provided through the contract. On the other hand, it will also deal with the ownership of the information that will be generated through the use of the licensed Resources.

Typically the contract will specify that the Licensee will not be able to claim any property right on the licensed Resources, but only some specified rights of use. In other word the Licensor will not be willing to lose control on the Resource he is providing to the Licensee.

More importantly, the contract will also deal with the issue of who will be the owner of the new Resource generated through the use of the data provided under the agreement. Typically a Service operator will develop new information (such as maps) using as input data provided by the Content owner/provider under a license agreement.

Several solutions to the problem of who will be the owner of the new information are possible. Very often the owner (i.e. the holder of the IPR) will be the Licensee, who developed the new information. However, in some cases Licensor and Licensee may agree on common ownership of the new information (for example a 50-50 agreement).

6. Warranties, Liabilities and limitations thereof

eMOTION contracts will also specify which warranties each party of the agreement gives. Warranties may relate to several issues, such as data quality, data availability, detention of IPR and so on.

By giving a warranty on the existence of a certain condition, the party is assuming the risk of been held liable for harm caused should this condition fail to exist. Therefore, eMOTION contracts will also deal with the issue of liability.

eMOTION contracts could also specify limitations on warranties and on liabilities. For example, the Licensor may guaranty a certain level of data availability, but at the same time limit his liability should the level of availability fall under that level, by promising to compensate only part of the harm caused.

For more details on the issues of warranties and liabilities in eMOTION contracts see D3 chapter 5.4.

7. Other issues that the contract should deal with

7.1 Term, Renewal, and Early Termination

7.1.1 Term

eMOTION contracts will specify for how long they will be effective between the parties. Generally speaking there are two major options that the parties may choose among. eMOTION contracts may be open-ended or fixed-term contract.

Open-ended eMOTION contracts

Open-ended eMOTION contracts do not specify when they will expire (the expiration date). In theory they could be enforced in perpetuity. However, each party to the contract is free to terminate the contract at will. No justification for such kind of termination is required.

eMOTION contracts should specify that termination of the contract should be given with some advance notice (for example, six months before it becomes effective).

Fixed-term contracts

Fixed-term eMOTION contracts on the other hand will specify the duration of the contract. If not otherwise specified, the parties will not be free to terminate at will the contract before the term expired.

Fixed-term eMOTION contracts will be used in order to protect specific investments in the contractual relation. Specific investments (so-called sunk costs) occur when one or both parties make an investment in the contractual relation that needs a certain length of time in order to be recovered and that will be lost should the relation break down before that time has passed.

Parties of a fixed-term eMOTION contract that should walk away from the contract before the specified term has expired will incur into liability. However, each party will remain free to terminate the contract without incurring into liability should some specific circumstances arise, such as a breach of a fundamental obligation from her counterparty (so-called early termination).

7.1.2 Renewal

Fixed-term eMOTION contracts may also specify how the contract may be renewed. Open-ended eMOTION contracts on the other hand, and for intuitive reasons, will not foresee the possibility of renewal of the contract.

Typically renewal of the contract requires some kind of action on the side of one of the party or both parties within a certain period prior to the expiration of the contract. For example, the Licensee may renew the License Agreement by giving notice to the Licensor with a certain

formality two moths prior to the expiration of the contract.

7.1.3 Early Termination

Fixed-term eMOTION contracts may also specify under which circumstances each party may terminate the contract before expiration of the term without incurring into liability. Typically early termination will be foreseen in favour of the party suffering from a breach of the contract from her counterparty.

Fixed-term eMOTION contracts may also specify how severe the breach needs to be in order to justify early termination. It should be kept in mind that early termination could harm significantly the party that committed the breach. Therefore, early termination should be excluded for minor breaches of the contract. Moreover, eMOTION contracts may also specify the breach of which specific obligations will justify early termination of the contract. For all other breaches, on the other hand, early termination of the contract will not be available and the party suffering breach will only be entitled to collect damages.

7.2 Governing Law

7.2.1 The Rome Convention on the law applicable to contractual obligations

eMOTION contracts should also specify which national or international law would govern the contractual relation between the parties.

The relevant rules and principles on the choice of the law governing the contract may be found in the Convention on the law applicable to contractual obligations opened for signature in Rome on 19 June 1980 (80/934/EEC).

In the following the most significant principles and rules of this legal instrument will be recalled.

Article 3 Freedom of choice

1. A contract shall be governed by the law chosen by the parties. The choice must be expressed or demonstrated with reasonable certainty by the terms of the contract or the circumstances of the case. By their choice the parties can select the law applicable to the whole or a part only of the contract.

The fact that the parties have chosen a foreign law, whether or not accompanied by the choice of a foreign tribunal, shall not, where all the other elements relevant to the situation at the time of the choice are connected with one country only, prejudice the application of rules of the law at the country which cannot be derogated from by contract, hereinafter called 'mandatory rules`.

Article 4 Applicable law in the absence of choice

1. To the extent that the law applicable to the contract has not been chosen in accordance with Article 3, the contract shall be governed by the law of the countrylaw of the country shall govern the contract with which it is most closely connected. Nevertheless, a separable part of the contract which has a closer connection with another country may by way of exception be governed by the law of that other country.

2. Subject to the provisions of paragraph 5 of this Article, it shall be presumed that the contract is most closely connected with the country where the party who is to effect the performance which is characteristic of the contract has, at the time of conclusion of the contract, his habitual residence, or, in the case of a body corporate or unincorporate, its central administration. However, if the contract is entered into in the course of that party's trade or profession, that country shall be the country in which the principal place of business is situated or, where under the terms of the contract the performance is to be effected through a place of business other than the principal place of business, the country in which that other place of business is situated.

Article 5 Certain consumer contracts

1. This Article applies to a contract the object of which is the supply of goods or services to a person ('the consumer`) for a purpose, which can be regarded as being outside his trade or profession, or a contract for the provision of credit for that object.

2. Notwithstanding the provisions of Article 3, a choice of law made by the parties shall not have the result of depriving the consumer of the protection afforded to him by the mandatory rules of the law of the country in which he has his habitual residence:

- If in that country the conclusion of the contract was preceded by a specific invitation addressed to him or by advertising, and he had taken in that country all the steps necessary on his part for the conclusion of the contract, or

- If the other party or his agent received the consumer's order in that country, or

- If the contract is for the sale of goods and the consumer travelled from that country to another country and there gave his order, provided that the seller for the purpose of inducing the consumer to buy arranged the consumer’s journey.

3. Notwithstanding the provisions of Article 4, a contract to which this Article applies shall, in the absence of choice in accordance with Article 3, be governed by the law of the country in

which the consumer has his habitual residence if it is entered into in the circumstances described in paragraph 2 of this Article.

4. This Article shall not apply to:

(a) a contract of carriage;

(b) a contract for the supply of services where the services are to be supplied to the consumer exclusively in a country other than that in which he has his habitual residence.

5. Notwithstanding the provisions of paragraph 4, this Article shall apply to a contract, which, for an inclusive price, provides for a combination of travel and accommodation.

7.2.2 Contracts between eMOTION actors that are acting within their profession

Under the Rome Convention eMOTION actors that are acting within their profession (so-called ‘professionals’) will be free to choose the national or international law that better suits their own interests. The idea behind this rule is that professionals should know better than any third party (such as a judge) what is in their own interest. In this respect it is assumed that professional contractual parties knew what they were doing (i.e. the consequences of their choices) when they choose to rule their contractual relation with a certain national or international law.

This freedom of choice will certainly apply to all contractual relations between Content owners and Service operators, between Network operators and Service providers, etc. The only exception will be represented by contractual relations between Service providers and End users that are acting in their quality of consumers (so-called B2C contractual relations). This specific relation will be discussed in the next paragraph.

It should be noted that eMOTION actors would be free to elect a national law different from their own national law also when they are of the same nationality (for example an Italian Content Owner and an Italian Service Operator may choose to submit their License Agreement to German law).

Moreover, eMOTION actors will be free to elect an international instrument to rule their contractual relation, rather than a national law. The most significant international instruments of this kind currently available are the UNIDROIT Principles of International Commercial Contract and the Principles of European Contract Law (the so-called Lando Principles).

Both set of principles have been adopted by independent groups of legal scholars. They have no connection what so ever with national law. The advantage of adopting such set of rules and principles (and the reason of their success in the practice) is that they level the playing field for all contractual parties as far as the applicable law is concerned. In other words no party will have the advantage of having her own national law governing the contractual relation.

eMOTION actors should take advantage of the possibility to choose explicitly which national or international law will govern their contractual relation. It will be recalled that in the absence of choice it will be necessary for the judge to choose ex post the applicable law considering with which national law the contract has the closest connection. It is apparent that it will not always be possible to predict which decision the judge will take. Therefore, choosing ex ante (i.e. at the moment of the conclusion of the contract) which national or international law will apply has the great advantage of making clear from the very beginning which law will apply should a dispute arise between the parties.

7.2.3 eMOTION contracts with End-users acting as consumers

The Convention of Rome specifies that the choice of the law applicable to the contract may not deprive consumers of the protection accorded to them by the mandatory rules of the law of the country where they have their habitual residence.

Contracts between eMOTION Service providers and eMOTION End users that qualify as consumers will be effected by this disposition. This is of course a source of complication for the operation of eMOTION since eMOTION Service providers operating their business across different Member States will have to deal with different legislation.

On the other hand it will be recalled from D3 that national legislation dealing with consumer protection has been harmonized to a great extent by Community law. However, it will also be recalled that this harmonization is only minimal, leaving each Member State free to accord a greater level of protection to certain consumer rights. This possibility implies that eMOTION Service providers may not rely on the fact that all national laws affecting their contracts with consumers will be the same as far as consumer protection is concerned. eMOTION Service providers will still need to lay down a specific standard form contract for each country they are providing their service in. This source of complication may be left behind in the future should the European Community decide to switch from minimum harmonization to maximum harmonization in the field of consumer protection as currently under discussion.

7.3 Dispute Resolution

eMOTION contracts will also deal with the issue of dispute resolution. The relevant question in this case is who will resolve a dispute between eMOTION contractual parties should a dispute arises. The choice is basically between national public judges or private judges (arbitrators).

Advantages and disadvantages between national public or private judges may vary depending on the circumstances of the case. Therefore, no general statement to this respect can be made.

However, it could be mentioned that parties belonging to different Member States may be more willing to choose arbitrators rather than national public judges, because they may distrust national public judges of a certain Member State or they may fear that these judges will be biased in favour of local parties. For example, a German Content provider may be unwilling to acknowledge the jurisdiction of an Italian judge on disputes arising out of a

contract with an Italian Service operator, because he may fear that the Italian judge faced with the dispute may favour the Italian actor for some reason. For this reason it is probable, and to a certain extent advisable, that eMOTION contracts between parties of different nationalities will contain an arbitration clause.

Moreover, devolving the jurisdiction to private arbitrators is typically the rule when the parties decide to submit their contractual relation to international legal instruments such as the UNIDROIT Principles or the Principles of European Contract Law.

As far as the choice between national public judges and private arbitrators is concerned some other issues may be mentioned. eMOTION actors negotiating a contract should also consider on the one side the length of an ordinary national procedure (that in some Member State may go on for years) and on the other side the fact that an arbitration procedure will normally involve greater direct costs because of high fees of arbitrators.

Finally, should the parties devolve the jurisdiction to private arbitrators they may also specify which procedure the arbitrators should choose in order to decide the case. For example, the contract may specify how many arbitrators should deal with the case (normally a single arbitrator or a group of three arbitrators) and how they will be appointed (e.g. one arbitrator chosen by each party and the third arbitrator chosen by the two other arbitrators).

• Spatial Transform. This allows making a local copy of the resource in a new coordinate system. The Licensee can do this in support of identified licensed users. This Right is especially defined for geospatial data that are referenced to a specific coordinate system (e.g. weather data)

• Spatial Fit. This moreover allows a Licensee to make minor adjustments in coordinates to fit an external source.

• Derive Resource. This Right allows a licensee to derive (create) resources, which use the Resources as an identifiable part. Associated conditions may modify the Rights to be licensed on the derived resource.

• Edit. The licensee may derive a new resource by modifying a copy of the input Resources through edits.

• Adapt. The Resources may be used to create and derive a new Resource, which incorporates the input Resource in whole or in part.

• Modify. This is the Right to edit the original input Resources. In essence this is an Edit Right with the additional Right to replace the input Resources by the output Resource.

• Derive Graphic. This is for deriving a new resource as a map representation. (Special Right for geospatial data that have to be presented in a specific kind of map)

• Encode. This allows to create a copy of the input Resources in a new encoding. Which formats are allowable is specified in related Conditions.

• Execute. This either gives permission to use a processing Resource or allows a data Resource to be processed. The Licensee needs Execute Rights on all processes and data of a processing step.

Scheduled down-time will be performed at a time to minimize inconvenience to Licensee.

If the Resources fail to operate in conformance with the terms of this Agreement, Licensee shall immediately notify Licensor, and Licensor shall promptly use reasonable efforts to

restore access to the Resources as soon as possible. In the event that Licensor fails to repair the nonconformity in a reasonable time, Licensor shall reimburse Licensee in an amount that the nonconformity is proportional to the total Fees owed by Licensee under this Agreement.

Notification of Modifications of Resources. Licensee understands that from time to time the Resources may be added to, modified, or deleted from by Licensor and/or that portions of the Resources may migrate to other formats. Licensor shall give prompt notice of any such changes to Licensee. Failure by Licensor to provide such reasonable notice shall be grounds for immediate termination of the Agreement by Licensee. If any modifications render the Resources less useful to the Licensee, the Licensee may treat such modifications as a material breach subject to the Early Termination provisions of this Agreement below.

Withdrawal of Resources. Licensor reserves the right to withdraw from the Resources any item or part of an item for which it no longer retains the right to publish, or which it has reasonable grounds to believe infringes intellectual property rights or the right to privacy of third parties or is otherwise unlawful. If any such withdrawal renders the Resources less useful to Licensee, Licensor shall reimburse Licensee in an amount that the withdrawal is proportional to the total Fees owed by Licensee under this Agreement.

Exclusion of warranty as of availability of data. In principle the Licensor will be able to make data available 7 days a week, 24 hours a day. The Licensor however does not guarantee anything with regard to the quality, the continuity and the availability of the service. The Licensor commits itself to put in an effort to best endeavours during the entire period of the contract.

The Licensor will to best endeavours repair as soon as possible the defects, incompleteness and errors reported by the Licensee in writing, taking into account the resources at its disposal.

Article 10. Licensee Performance Obligations

Article 12. Intellectual Property Rights

Licensee acknowledges that all intellectual property rights relating to the Resources remain with Licensor and/or its suppliers. Licensee shall not have right, title or interest in the Resources except as expressly set forth in this Agreement.

Licensee will be able to claim its intellectual property rights over the new information developed using the License Materials.

Article 13. Warranties

Warranty and Liability. Licensor warrants that it has the right to license the rights granted under this Agreement to use Resources, that it has obtained any and all necessary permissions from third parties to license the Resources, and that use of the Resources by the Licensee in accordance with the terms of this Agreement shall not infringe the copyright of any third party. The Licensor shall indemnify and hold Licensee harmless for any losses, claims, damages, awards, penalties, or injuries incurred, including reasonable attorney's fees, which arise from any claim by any third party of an alleged infringement of copyright or any other property right arising out of the use of the Resources by the Licensee in accordance with the terms of this Agreement. This indemnity shall survive the termination of this agreement. NO LIMITATION OF LIABILITY SET FORTH ELSEWHERE IN THIS AGREEMENT IS APPLICABLE TO THIS INDEMNIFICATION.

Exclusion of Warranty and Liability. Licensor assumes no warranties whatsoever that it has the right to license the rights granted under this Agreement to use Resources, that it has obtained any and all necessary permissions from third parties to license the Resources, and that use of the Resources by the Licensee in accordance with the terms of this Agreement shall not infringe the copyright of any third party. The Licensor shall not indemnify and hold Licensee harmless for any losses, claims, damages, awards, penalties, or injuries incurred, including reasonable attorney's fees, which arise from any claim by any third party of an alleged infringement of copyright or any other property right arising out of the use of the Resources by the Licensee in accordance with the terms of this Agreement. This limitation of liability shall survive the termination of this agreement.

Article 14. Limitations on Warranties

Notwithstanding anything else in this Agreement:

damages, including but not limited to loss of data, business interruption, or loss of profits, arising out of the use of or the inability to use the Resources.

Licensor makes no representation or warranty, and expressly disclaims any liability with respect to the content of any Resources, including but not limited to errors or omissions contained therein, infringement of rights of privacy, trademark rights, or the disclosure of confidential information.

Except for the express warranties stated herein, the Resources are provided on an "as is" basis, and Licensor disclaims any and all other warranties, conditions, or representations (express, implied, oral or written), relating to the Resources or any part thereof, including, without limitation, any and all implied warranties of quality, performance, merchantability or fitness for a particular purpose. Licensor makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb or other such computer program.

Article 15. Term

This Agreement shall continue in effect for [length of time]- commencing on the Effective Date.

Article 16. Renewal

This Agreement shall be renewable at the end of the current term for a successive [length of time] term unless either party gives written notice of its intention not to renew [time period] before expiration of the current term.

Article 17. Early Termination

In the event that either party believes that the other materially has breached any obligations under this Agreement, or if Licensor believes that Licensee has exceeded the scope of the License, such party shall so notify the breaching party in writing. In the event of early termination permitted by this Agreement, Licensee shall be entitled to a refund of any fees or pro-rata portion thereof paid by Licensee for any remaining period of the Agreement from the date of termination.

Article 18. Governing Law

This Agreement shall be interpreted and construed according to, and governed by, the laws of [Jurisdiction Convenient to All Parties], excluding any such laws that might direct the application of the laws of another jurisdiction. The courts located in [Jurisdiction Convenient to All Parties] shall have jurisdiction to hear any dispute under this Agreement.

Article 19. Dispute Resolution

In the event any dispute or controversy arising out of or relating to this Agreement, the parties agree to exercise their best efforts to resolve the dispute as soon as possible. The parties shall, without delay, continue to perform their respective obligations under this Agreement, which are not affected by the dispute.

Arbitration. The parties shall endeavour to select a mutually acceptable arbitrator knowledgeable about issues relating to the subject matter of this Agreement. In the event the parties are unable to agree to such a selection, each party will select an arbitrator and the arbitrators in turn shall select a third arbitrator. The arbitration shall take place at a location that is reasonably centrally located between the parties, or otherwise mutually agreed upon by the parties.

All documents, materials, and information in the possession of each party that are in any way relevant to the claim(s) or dispute(s) shall be made available to the other party for review and copying no later than [time period] after the notice of arbitration is served.

The arbitrator(s) shall not have the authority, power, or right to alter, change, amend, modify, add, or subtract from any provision of this Agreement or to award punitive damages. The arbitrator shall have the power to issue mandatory orders and restraining orders in connection with the arbitration. The award rendered by the arbitrator shall be final and binding on the parties, and judgment may be entered thereon in any court having jurisdiction. The agreement to arbitration shall be specifically enforceable under prevailing arbitration law. Article 20. Entire Agreement

This Agreement constitutes the entire agreement of the parties and supersedes all prior communications, understandings and agreements relating to the subject matter hereof, whether oral or written.

Article 21. Amendment

No modification or claimed waiver of any provision of this Agreement shall be valid except by written amendment signed by authorized representatives of Licensor and Licensee.

Article 22. Severability

If any provision or provisions of this Agreement shall be held to be invalid, illegal, and unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

Article 23. Waiver of Contractual Right

Waiver of any provision herein shall not be deemed a waiver of any other provision herein, nor shall waiver of any breach of this Agreement be construed as a continuing waiver of other breaches of the same or other provisions of this Agreement.

Article 24. Notices

All notices given pursuant to this Agreement shall be in writing and may be hand delivered, or shall be deemed received within [time period] after mailing if sent by registered or certified

The supplier provides the client in a non-exclusive way with this information. The authorisation given to the client to use the information material is only valid for the dissemination of road and traffic conditions to end users and to other national actors according to Article 6. The client cannot use the information in any other context.

Both contractors act as supplier and client for the data exchange of traffic information messages. The detailed subject of this agreement, the nature and extent of the information that will be supplied, and the use of the data are defined in the Technical Annex (Part B and its possible Amendments) of this Agreement.

The forwarding to a foreign recipient is subject to a written authorisation of the sender of the information.

Article 2: Duration and Termination

This agreement is set into effect with the date of the signatures.

This agreement is a contract without limited duration.

Each partner may cancel the contract any time by giving a three month advance notice to the other partner.

In the event of material breach of the contract by the client, the supplier will be entitled to terminate the present contract with immediate effect.

The termination of the agreement at the initiative of one of the parties does not give the other party the right for any compensation.

Article 3: Financial Conditions

For the period of validity of this Interchange Agreement, the provision of the information defined in Article 1 is free of charge.

Supplier and client will finance their own costs for implementation and operation of the communication links and of software to run the data exchange.

Article 4: Dissemination of information and Intellectual Rights

The present contract does not include the transfer of intellectual property rights. The supplier will maintain his rights as a whole, and particularly the intellectual property rights and the exclusivity of the re-production and re-presentation of his information.

The client may not transfer in any way (as a whole or in parts, for free or subject to payment), the benefit of his rights or his duties without the prior consent of the supplier, with exceptions reported in Article 6.

The client is authorised to disseminate received information to end-users, connected services and broadcasters as defined in Article 6. This includes all redistribution and/or communication to third parties, and also includes collective use of the information. The

contract between the client and the service provider (if not identical) will explicitly inform the latter about the limits of his rights.

Article 5: Indication of Origin

The indication of the origin of the information is applied as follows as far as technical possible:

In case of dissemination by spoken word and RDS-TMC, the service provider has to indicate in his brochures and publicity material (including a web-homepage), that part of the traffic information has been provided within the ______ project and that he is using information provided by the other party (PARTY A respectively PARTY B), indicating the full project or organisation name and logo and the address of the web-site. This information has to be given in direct relation to the actual traffic information.

In case of dissemination via visual media like TV, Internet or Teletext, the indication that part of the traffic information has been provided within the ______ project and that he is using information provided by the other party (PARTY A respectively PARTY B), has to be given in direct relation to the actual traffic information. This has do be done indicating the full project or organisation name, logo and the address of the web-site.

Article 6: Third parties / service providers

Both parties mutually agree that the following services are allowed to disseminate and make use of the received information:

• The internal use of PARTY A and PARTY B for traffic management decisions in their TMCs

• The display of relevant traffic information using Variable Message Signs in their road network

• The broadcasting of Traffic Messages using spoken FM and AM Radio and RDS-TMC via national broadcasting corporations

• The information of customers using call centres run by either partner or entitled national agents (including SMS Services)

• The integration into internet websites of PARTY A and PARTY B, thus enabling a corridor view to the national customers, using all kinds of internet clients and protocols

• Data access for national motorway and emergency authorities

The PARTIES A and B commonly decide about adding further third parties. This requires written amendments to this contract.

Article 7: Interruption of the data exchange

The supplier and the client endeavour their effort to avoid interruption of the data exchange.

In such cases the supplier will immediately inform the client via fax or email of the interruption to data supply, indicating the reason and when normal operations can be resumed, and will endeavour to reestablish service provision as quickly as possible.

In case of maintenance work the supplier and the client will inform each other sufficiently in advance, for how long services will be suspended.

Article 8: Actions in case of transmission errors

The supplier and the client commit themselves to maintain protocols of transmission errors. These protocols of transmission may serve as an instrument for future analysis of the Interchange Agreement.

Furthermore, they agree to commonly analyse causes of frequent transmission errors and to look for different telecommunication systems if the errors are due to the implemented telecommunication system, for the implementation of a future interchange agreement.

Article 9: Rights and obligations of the supplier

The supplier commits himself to provide the client all information from his sources, which matches the bilaterally defined criteria (see Technical Annex), unless there is a strategic or safety-related requirement to withhold the information; in such case the supplier has to inform the client accordingly.

The supplier endeavours to ensure message cancellation in order to avoid out-of-date messages to be active.

Article 10: Rights and obligations of the client

The client must respect the mission for which the supplier is responsible and must refrain from all actions, which could be contrary to the public strategy on matters such as road operation and safety.

No kind of commercialisation of received information is foreseen in this agreement. Any commercialisation of received data needs a written amendment to this agreement.

Article 11: Terms and conditions

The supply of the information is assured by technical equipment under the responsibility of the supplier, who commits himself to undertake all reasonable endeavours to maintain the availability of the service. The supplier cannot be held liable for any disturbances that are outside his control, such as force majeure, interference of a third party, strike of personnel or technical incidents. Also, when the public order and security is at stake, the supplier has the right to temporarily suspend the provision of information.

In this case, the supplier will immediately inform the client about the disturbance as well as about when normal operations can be resumed and will re-establish provision of services as quickly as possible.

Such interruptions do not give any right to compensation.

Article 12: Liability

The supplier will provide only validated information and will handle it with the greatest of care before being transmitted.

The supplier disclaims liability for any consequence arising from incorrect or imprecise information.

The supplier and the client agree to exclude any liability for transmission faults that is within the responsibility of the telecommunication operators.

The client will deploy, directly or by an external party, all necessary human and technical means, and hardware and software, in order to carry out his obligations. In particular, the client shall strive to ensure the integrity and accuracy of information disseminated.

If information is passed on by either party towards third parties (if agreed on in this agreement or any written amendment to it) the on-passer is liable for the correctness of this information.

Article 13: Sanctions

No financial sanctions are foreseen during the validity of this Interchange Agreement.

PREMESSO CHE:

PRESTATORE DI SERVIZI è società che opera nel settore del trasporto pubblico e dei servizi di mobilità;

OPERATORE DI RETE è operatore del servizio di telefonia radiomobile su standard analogico TACS, su standard digitale GSM e GPRS UMTS;

OPERATORE DI RETE ha sviluppato, nell’ambito dei propri servizi di rete GPRS, apposita piattaforma per i servizi di gestione delle flotte di automezzi (cd. Fleet Management) che è alla base del servizio alla clientela denominato “________” (quest’ultimo di seguito anche “servizio” o “il servizio”;

PRESTATORE DI SERVIZI è interessata ad utilizzare la piattaforma di OPERATORE DI RETE (_______) in chiave personalizzata per il servizio di gestione delle sue flotte che denomina “_______”( quest’ultimo, di seguito anche Servizio o il Servizio);

OPERATORE DI RETE si è dichiarata interessata a mettere a disposizione le proprie conoscenze tecniche e tecnologiche, nonché il proprio know-how per la fornitura a PRESTATORE DI SERVIZI di servizi e soluzioni proprie di Fleet Management dedicate al Servizio;

OPERATORE DI RETE e PRESTATORE DI SERVIZI hanno stipulato un accordo di partnership che disciplina la loro collaborazione nel campo dell’infomobilità e dei servizi di telecomunicazione mobile applicati al settore del trasporto pubblico cittadino;

OPERATORE DI RETE e PRESTATORE DI SERVIZI intendono ora stipulare un contratto di fornitura di servizi di comunicazione mobile per il Servizio nei termini e alle condizioni di seguito descritte.

Tutto ciò premesso, le Parti stipulano e convengono quanto segue:

Art. 1 - OGGETTO DEL CONTRATTO

OPERATORE DI RETE si impegna a fornire a PRESTATORE DI SERVIZI le attività

necessarie alla erogazione del Servizio tramite la piattaforma di Fleet Management di OPERATORE DI RETE denominata ______ comprensiva delle personalizzazioni software richieste da PRESTATORE DI SERVIZI sulla base delle specifiche tecniche da essa individuate (Allegato A al presente contratto).

In particolare le attività del Servizio saranno indirizzate al monitoraggio e al controllo delle informazioni sul movimento dei veicoli di PRESTATORE DI SERVIZI. Il Servizio è finalizzato alla elaborazione da parte del centro servizi di OPERATORE DI RETE delle informazioni prodotte a bordo dei veicoli tramite Sistemi di Bordo di proprietà di PRESTATORE DI SERVIZI, dotati di SIM Card di OPERATORE DI RETE e al successivo trasferimento a PRESTATORE DI SERVIZI delle informazioni elaborate.

L’Hosting del servizio sarà interno alla piattaforma di Gestione di OPERATORE DI RETE

Gli obblighi specifici delle Parti sono descritti al successivo art. 3.

Art. 2 - DURATA DEL CONTRATTO

Il presente Contratto si intende valido per i 5 anni successivi alla sua firma.

Prima della scadenza le Parti potranno, di comune accordo, decidere di rinnovarlo espressamente per iscritto.

Eventuali integrazioni o modifiche al contratto dovranno essere concordate per iscritto tra le Parti.

Art. 3 – OBBLIGHI DELLE PARTI

Le attività che OPERATORE DI RETE si impegna a svolgere per la realizzazione del Servizio comprenderanno:

Personalizzazione delle funzionalità, in aggiunta a quelle già offerte da OPERATORE DI RETE con il servizio ______, sulla base delle specifiche convenute con PRESTATORE DI SERVIZI e contenute nell’Allegato A – Specifiche Tecniche (inclusa la messa a disposizione di software operativo, di base, di gestione dei dati, di gestione delle transazioni). E’ fatto obbligo a OPERATORE DI RETE, per dovere di diligenza professionale, richiedere ulteriori dettagli e chiarimenti a PRESTATORE DI SERVIZI laddove le suddette specifiche non dovessero contenere elementi esaurienti. Alle risorse di OPERATORE DI RETE che condurranno le attività di sviluppo, PRESTATORE DI SERVIZI affiancherà proprie risorse con l’obiettivo di supportare le attività progettuali sia in fase di realizzazione che di documentazione.

Gestione del Servizio. La Gestione del Servizio si strutturerà attraverso le seguenti attività:

Messa in opera di apparati e sistemi software di OPERATORE DI RETE necessari per l’erogazione del Servizio;

• Trasporto dell’informazione tra il veicolo e la piattaforma di OPERATORE DI RETE dove risiede il Servizio;

• Conduzione operativa dei sistemi di elaborazione hardware e software di proprietà di OPERATORE DI RETE necessari all’erogazione del Servizio;

• Pianificazione e controllo delle elaborazioni del Servizio;

• Manutenzione dell’ambiente di sistema del Servizio;

• Call-Center dei servizi business di OPERATORE DI RETE a supporto del Servizio;

• Manutenzione del Sistema Software del Servizio;

• Formulazione della documentazione del Servizio;

• Organizzazione e svolgimento delle attività di Formazione sul Servizio

Entro 30 giorni dalla firma del presente Contratto, PRESTATORE DI SERVIZI e OPERATORE DI RETE procederanno alla definizione di un calendario più dettagliato delle attività per permettere una più agevole verifica degli stati di avanzamento di ognuna di esse.

OPERATORE DI RETE si impegna a garantire le personalizzazioni del servizio per PRESTATORE DI SERVIZI (Servizio _______) per 12 mesi dalla data di collaudo come da Allegato A e pertanto provvederà tempestivamente alla eliminazione a titolo gratuito di ogni eventuale mancata rispondenza del Servizio con le specifiche che sia stata segnalata da PRESTATORE DI SERVIZI, purché non riconducibile ad attività improprie svolte da PRESTATORE DI SERVIZI e di competenza di quest’ultima stabilite sulla base del presente contratto e della documentazione che OPERATORE DI RETE dovrà fornire a PRESTATORE DI SERVIZI in merito all’utilizzo del Servizio.

OPERATORE DI RETE si riserva di prendere in considerazione e valutare la fattibilità di eventuali ulteriori richieste di personalizzazione da parte di PRESTATORE DI SERVIZI sulla base di specifiche aggiuntive rispetto a quelle concordate in Allegato A.

In tal caso PRESTATORE DI SERVIZI formulerà apposita richiesta a OPERATORE DI RETE e OPERATORE DI RETE comunicherà a PRESTATORE DI SERVIZI i maggiori costi e gli impatti in termini di realizzazione che le modifiche comporteranno. La richiesta di PRESTATORE DI SERVIZI successiva all’analisi di fattibilità originerà apposita trattativa e contrattualizzazione.

L’ambiente operativo funzionale alla erogazione del Servizio sarà costituito da :

La fornitura del Servizio da parte di OPERATORE DI RETE verso PRESTATORE DI SERVIZI si intende comprensivo di tutti gli oneri relativi all’utilizzo delle licenze degli strumenti necessari alla personalizzazione del servizio ed alla gestione del Servizio.

La Gestione sarà basata sulle seguenti attività a carico di OPERATORE DI RETE:

• Messa in opera di apparati di rete GSM, sistemi ed apparati per la gestione dei messaggi, apparati di rete GPRS, POP di accesso alla rete UNIGATE, Rete informatica di accesso ai sistemi (rete UNIGATE), Server di autenticazione;

• Piattaforma hardware dedicata all’applicazione di localizzazione _______;

• Apparati hardware che insistono sul servizio ________;

• Piattaforma software dedicata all’applicazione di localizzazione ______;

• Software per la gestione dei messaggi e l’erogazione del Servizio ______ (Sistemi Operativi, Sistemi di Base, Sistemi di Gestione Dati, Sistemi di Sicurezza, Sistemi Transazionali, Sistemi di schedulazione, Sistemi di Call-Center, ecc);

• Software di file transfer per la gestione del flusso dati tra OPERATORE DI RETE e PRESTATORE DI SERVIZI

Resta inteso che OPERATORE DI RETE implementerà tutte le misure ragionevolmente possibili atte a garantire un elevato livello di sicurezza nella gestione del Servizio, in tutte le sue componenti.

Dal canto suo PRESTATORE DI SERVIZI si obbliga ad approntare le Postazioni Utente costituite al minimo da:

• Processore: Pentium II o superiore;

• RAM: 128 Mb o sup.;

• Connessione internet: 56 Kbps;

• S.O.: sistemi windows classe Win32 (NT, 2000, 98, ...);

• Plug in java 1.3.1_04 o superiore;

• Browser: Internet Explorer versione 5.5 o superiori.

• Disabilitazione sul browser dell'opzione di utilizzo del plug-in Java per le applet

PRESTATORE DI SERVIZI metterà altresì a disposizione di OPERATORE DI RETE, per lo svolgimento del Servizio:

• LAN aziendale di PRESTATORE DI SERVIZI sui cui opereranno gli utenti;

• CDN di interconnessione al POP Unigate di OPERATORE DI RETE;

• Router di frontiera installato presso PRESTATORE DI SERVIZI;

• 2350 Sistemi di Bordo dotati di GPS;

• 2350 SIM CARD di OPERATORE DI RETE di cui dovrà richiedere l’attivazione secondo le modalità concordate

OPERATORE DI RETE sarà responsabile del trasporto dell’informazione emessa dal Sistema di Bordo collocato su ciascun veicolo di PRESTATORE DI SERVIZI coinvolto verso la piattaforma di OPERATORE DI RETE, dove risiede il Servizio, mediante l’utilizzo della rete GPRS di OPERATORE DI RETE ed, in assenza di GPRS, via GSM o SMS.

Tra le informazioni sono comprese quelle di localizzazione dei veicoli, effettuata mediante determinazione delle coordinate geografiche da parte del sistema GPS presente all’interno del Sistema di Bordo del mezzo.

OPERATORE DI RETE sarà responsabile della operatività dei sistemi di elaborazione utili al Servizio, attraverso:

• Accensione delle apparecchiature hardware ed inizializzazione dei sistemi di elaborazione di proprietà di OPERATORE DI RETE;

• Attivazione delle configurazioni hardware e software;

• Attivazione e controllo dei sistemi transazionali e degli strumenti di supporto alle attività di sviluppo delle applicazioni;

• Attivazione delle elaborazioni “Batch” secondo le pianificazioni previste nel sistema di schedulazione;

• Controllo del corretto funzionamento delle apparecchiature (sistemi di rete GSM/GPRS e infrastruttura del Servizio residente nella piattaforma di gestione di OPERATORE DI RETE, dei sistemi software associati e della segnalazione automatica sul Call-Center di OPERATORE DI RETE di eventuali disservizi che verranno comunicati secondo gli SLA convenuti – vedi Allegato B);

• Gestione delle unità di memorizzazione dei dati;

• Diagnosi dei malfunzionamenti delle apparecchiature e del software, attivazione dei

tecnici preposti alla manutenzione e fornitura del relativo supporto;

• Attivazione di procedure di salvataggio delle informazioni e delle applicazioni (backup e disaster recovery). Per disaster recovery si intende l’insieme di azioni che vengono attuate nel caso di un qualsiasi incidente che metta in crisi il sistema informatico (es. danneggiamento o guasto di un server, danneggiamento di un disco rigido, perdita o manomissione dei dati, incendio, ecc.) con l’obiettivo di consentire il più rapido e completo ripristino delle funzioni e dei dati;

• Attivazione di procedure di “refresh” dei dati salvati attraverso lettura e riscrittura su nuovi supporti di memorizzazione dati.

OPERATORE DI RETE sarà responsabile della pianificazione e controllo delle elaborazioni del Servizio, attraverso:

• La predisposizione dei piani di lavoro, di norma giornalieri, settimanali, mensili;

• La gestione delle schedulazioni delle procedure applicative Batch ;

• La ricezione delle schedulazioni delle procedure applicative Off-Line su richiesta di PRESTATORE DI SERVIZI;

• Il controllo della corretta elaborazione delle procedure Batch / Offline; si chiarisce che le attività/procedure cd. Batch sono quelle che richiedono tempistiche di realizzazione indicate nel documento dello SLA – vedi Allegato B;

• La diagnosi dei problemi relativi alla esecuzione delle procedure applicative ed eventuale attivazione dei tecnici preposti alla risoluzione del problema e supporto;

• La registrazione dei problemi, della relativa diagnosi, dei conseguenti interventi di correzione e dello stato degli interventi nel sistema di gestione del Call-Center;

• La realizzazione di statistiche di consuntivo periodico sull’andamento delle elaborazioni.

OPERATORE DI RETE sarà responsabile della manutenzione dell’ambiente di sistema del Servizio, attraverso:

• la manutenzione dei prodotti dell’ambiente software di sistema costituenti il Servizio (sistemi operativi, sistemi di base, sistemi di gestione basi dati, compilatori, supporti allo sviluppo e test delle personalizzazioni, software per la sicurezza logica, software per la gestione delle elaborazioni) e più in generale la manutenzione della piattaforma ______. Le attività di manutenzione comprendono, a titolo esemplificativo:

• aggiornamento periodico (finalizzato a migliorare performance, affidabilità ed efficienza) del sistema conseguente al rilascio di nuove versioni, alla progressiva

obsolescenza dei prodotti e alle correzioni introdotte nel software da parte delle società fornitrici di OPERATORE DI RETE;

• pianificazione ed attuazione di interventi di manutenzione programmata (dismissione, sostituzione, ecc.);

• collaudo della operatività dei sistemi dopo gli aggiornamenti e la manutenzione;

• soluzione di problemi estemporanei (ripristino della operatività di componenti affetti da malfunzioni);

• aggiornamento della configurazione del sistema, in funzione delle modifiche apportate all’ambiente.

OPERATORE DI RETE avrà cura di assicurare a PRESTATORE DI SERVIZI un punto di accesso unificato ad un insieme di risorse tecniche e funzionali di assistenza e supporto denominati “Call-Center”.

PRESTATORE DI SERVIZI si impegna a comunicare entro 15gg. dalla sottoscrizione del presente contratto il nominativo del suo Information Manager a cui si rivolgono le attività del Call Center. I dettagli operativi su tali attività sono riportati nello SLA – vedi Allegato B.

OPERATORE DI RETE si curerà di assicurare la manutenzione del Sistema Software del Servizio conservandone la sua integrità. La manutenzione potrà implicare modifiche per ripristinare le caratteristiche del software in esercizio, venute meno a seguito di difetti manifestatisi dopo il rilascio (in questo caso si tratterà di manutenzione correttiva).

Per mantenere le caratteristiche del Servizio a fronte di innovazioni dell’ambiente tecnico (sia sul Sistema di Bordo dei veicoli che nei Sistemi di Deposito) o normativo (manutenzione adeguativa) o per migliorare le prestazioni e la qualità a parità di funzioni svolte (manutenzione migliorativa) saranno invece necessari interventi che dovranno essere appositamente richiesti e che formeranno oggetto di valutazione separata da parte di OPERATORE DI RETE, con individuazione di ulteriori costi che formeranno oggetto di apposita pattuizione e contrattualizzazione tra le Parti.

La manutenzione correttiva, sarà attivata nei seguenti modi alternativi:

• apertura formale di un problema da parte del servizio di assistenza specialistica di OPERATORE DI RETE a seguito di una richiesta di intervento inoltrata da PRESTATORE DI SERVIZI attraverso la struttura di Call-Center che non ha potuto risolvere direttamente il problema;

• apertura formale di un problema direttamente da parte del servizio di assistenza specialistica di OPERATORE DI RETE (ad esempio, a seguito di una richiesta da parte della struttura preposta alla conduzione operativa delle elaborazioni) che ha individuato la necessità di un intervento del quale PRESTATORE DI SERVIZI dovrà

essere informata;

Le suddette attività di manutenzione si riterranno concluse quando saranno effettuate:

• l’attestazione da parte di OPERATORE DI RETE dell’avvenuto ripristino delle caratteristiche del software impattate dal problema e, se necessario, della corretta modifica e della avvenuta distribuzione della documentazione associata al Servizio;

• la validazione da parte di PRESTATORE DI SERVIZI dell’esito positivo dell’intervento. La validazione deve essere sottoscritta e datata da PRESTATORE DI SERVIZI e OPERATORE DI RETE.

Resta convenuto tra le Parti che le attività di manutenzione del Servizio non dovranno in ogni caso degradare le sue caratteristiche qualitative e prestazionali, salvo accordi specifici tra le Parti.

OPERATORE DI RETE avrà cura di predisporre la documentazione in italiano inerente il Servizio attraverso apposita manualistica di cui assicurerà la tempestività degli aggiornamenti e la consegna a PRESTATORE DI SERVIZI. La manualistica comprenderà:

• Manuale utente

• Manuale di configurazione

• Manuale dei protocolli di comunicazione

• Manuale sugli schemi logico-funzionali del software e delle banche dati relative alle personalizzazioni contenute nell’Allegato A - Specifiche Tecniche

OPERATORE DI RETE avrà cura di formare il personale individuato da PRESTATORE DI SERVIZI (massimo 30 persone) trasferendo conoscenze sul Servizio e competenze specifiche (individuali e/o collettive), tali da permettere il corretto utilizzo del Servizio stesso.

OPERATORE DI RETE si riserva di fare formazione attraverso corsi in aula tenuti da docenti, o con altre modalità anche interattive ed in autoistruzione, basate sull’utilizzo della tecnologia informatica (Computer Based Training).

I corsi interattivi potranno essere fruiti dai partecipanti sulla propria postazione di lavoro o in aule attrezzate. La fruizione della formazione potrà richiedere la connessione con una stazione remota e l’utilizzo di browser (ad esempio per il Web Based Training). A tal proposito OPERATORE DI RETE dovrà garantire:

• la pianificazione dei percorsi formativi;

• la progettazione dei corsi;

• l’organizzazione dei corsi

• la realizzazione della documentazione didattica (tradizionale, CBT, WBT)

• la predisposizione ed attrezzaggio delle aule

• l’erogazione delle docenze

• la verifica ex post dell’efficacia dell’azione formativa

OPERATORE DI RETE concorderà con PRESTATORE DI SERVIZI le attività di formazione da svolgere per consentire al personale di :

• Utilizzare correttamente il Servizio ( per le figure di “ Amministratore” e di “Controllore”)

• Governare i parametri di configurazione del Servizio

• Comprendere i contenuti delle personalizzazioni software

Entro 30 gg. dalla sottoscrizione del presente contratto, le Parti indicheranno le modalità di svolgimento di riunioni periodiche tra i rispettivi responsabili di conduzione del Contratto ( di seguito anche “ Conduttori”), in occasione delle quali saranno esaminate le attività svolte, le eventuali difficoltà e le soluzioni prospettate. Al termine di ciascuna riunione, sarà elaborato un apposito verbale attestante lo stato di avanzamento dei lavori, gli eventuali rilievi formulati da PRESTATORE DI SERVIZI e le soluzioni prospettate. Il verbale di riunione dovrà essere sottoscritto da entrambe le Parti.

Resta convenuto tra le Parti che è riconosciuta a PRESTATORE DI SERVIZI la titolarità delle personalizzazioni software (inclusi i relativi sorgenti applicativi), le cui specifiche sono contenute nell’Allegato A. PRESTATORE DI SERVIZI concede a OPERATORE DI RETE l’uso gratuito delle suddette personalizzazioni ai fini dell’erogazione del Servizio di cui al presente contratto.

Art. 4 – OPERATIVITA’ E ATTIVAZIONE DEL SERVIZIO

OPERATORE DI RETE dovrà assicurare l’operatività del Servizio secondo quanto indicato nel documento SLA – vedi Allegato B.

PRESTATORE DI SERVIZI sarà connessa al Centro Servizi OPERATORE DI RETE tramite linea CDN (a cura e spese di PRESTATORE DI SERVIZI). Attraverso tale collegamento sarà possibile accedere via Web Browser al Servizio e tutti i parametri riferiti ai livelli di servizio (vedi Allegato B) faranno riferimento a tale condizione di utilizzo.

I risultati delle elaborazioni Batch derivanti dalla fornitura del Servizio saranno depositati da OPERATORE DI RETE presso appositi spazi comuni virtuali accessibili via web messi a disposizione da PRESTATORE DI SERVIZI. Tali risultati saranno identificati in base alla loro tipologia e data di produzione.

Fermo restando l’obbligo di PRESTATORE DI SERVIZI di cui all’art. 2, resta inteso tra le Parti che a seguito di richiesta di PRESTATORE DI SERVIZI, concordata con OPERATORE DI RETE, questa ultima provvederà alla fornitura di 2350 SIM non attive. PRESTATORE DI SERVIZI fornirà a OPERATORE DI RETE, a mezzo comunicazione mail e/o fax al Call Center, un Piano di Attivazione e di Installazione dei Sistemi di Bordo in cui si specifichi l’associazione di ogni SIM ad un mezzo/vettura specifici, con la data di installazione del Sistema di Bordo.

OPERATORE DI RETE, secondo quanto previsto da tale Piano dalle procedure di collaudo, attiverà le SIM ed il Servizio associato al mezzo. Qualora PRESTATORE DI SERVIZI dovesse comunicare a OPERATORE DI RETE il furto e/o smarrimento della SIM Card, OPERATORE DI RETE effettuerà, su quella particolare carta, la sospensione del Servizio entro 48 ore dalla comunicazione di PRESTATORE DI SERVIZI. Il servizio sarà riattivato solo nel momento in cui la SIM Card verrà reintegrata sul Sistema di Bordo. A tale scopo OPERATORE DI RETE è tenuta a fornire la SIM Card sostitutiva entro 48 ore dal momento in cui PRESTATORE DI SERVIZI ne avrà effettuata relativa richiesta.

Nel caso in cui PRESTATORE DI SERVIZI dovesse richiedere un cambio numero e/o cambio SIM Card attraverso il Call-Center, OPERATORE DI RETE garantira’ la sostituzione entro 48 ore dal momento in cui PRESTATORE DI SERVIZI ne effettuerà la richiesta.

Qualora PRESTATORE DI SERVIZI intendesse disattivare il Servizio su un mezzo effettuerà formale comunicazione al Call-Center. Il Servizio sarà disattivato da OPERATORE DI RETE entro la fine del mese in cui ne verrà effettuata richiesta e ciò determinerà, a sua volta, l’interruzione del pagamento del corrispettivo unitario stabilito all’art. 7.

Art. 5 – LIVELLI DI SERVIZIO

I livelli di servizio sono contenuti nel documento Service Level Agreement di cui all’Allegato B al quale le Parti si riportano integralmente.

Resta inteso che, in relazione a quanto contenuto nel suddetto Allegato B, PRESTATORE DI SERVIZI e OPERATORE DI RETE si impegnano ad effettuare, con cadenza semestrale, una valutazione sulla necessità di rivedere i Service Level Agreement connessi alla erogazione del Servizio.

I compiti istituzionali di natura pubblica affidati a PRESTATORE DI SERVIZI rendono evidente come la disponibilità del Servizio sia una componente fondamentale per assolvere agli obblighi della propria missione.

Pertanto, laddove dovesse emergere, durante le revisioni semestrali, la necessità da parte di PRESTATORE DI SERVIZI di migliorare le garanzie di fruibilità del Servizio, OPERATORE DI RETE dovrà assicurare la propria disponibilità al soddisfacimento delle medesime attraverso :

• la messa a disposizione di proprio personale

• la formazione specifica di risorse di PRESTATORE DI SERVIZI

• eventuale trasferimento del Servizio presso le infrastrutture di PRESTATORE DI SERVIZI

A tal proposito, qualora dovessero generarsi per OPERATORE DI RETE costi aggiuntivi gli stessi saranno oggetto di apposita trattativa e definizione contrattuale.

Art. 6 – COLLAUDO FUNZIONALE

Le Parti si impegnano ad effettuare il collaudo funzionale del Servizio così come descritto nel capitolo 6 dell’Allegato A – Specifiche Tecniche. A partire dal mese successivo alla data di collaudo funzionale positivo, OPERATORE DI RETE fatturerà a PRESTATORE DI SERVIZI i corrispettivi per i veicoli che saranno attivati al Servizio.

Per tutte le attivazioni susseguenti il collaudo funzionale la fatturazione avverrà sempre a partire dal mese successivo a quello di attivazione.

Resta inteso che il collaudo relativo al parco dei Sistemi di Bordo in dotazione al Servizio resterà invece a carico di PRESTATORE DI SERVIZI.

Art. 7 – CONDIZIONI ECONOMICHE

Per la realizzazione del Servizio nelle sue componenti di :

• hardware, software e suo accesso;

• gestione e manutenzione dell’ambiente di sistema del Servizio;

• servizio di call center;

• elaborazione e sviluppo report;

• traffico sulla rete GSM/GPRS/SMS generato per il Servizio

PRESTATORE DI SERVIZI riconoscerà a OPERATORE DI RETE un importo unitario onnicomprensivo pari a Euro ___ + IVA/Mese, per ogni veicolo attivato al Servizio successivamente al Collaudo Funzionale. L’ importo unitario si intende fisso ed invariabile per l’intera durata del presente Contratto. Nell’importo si intendono ricompresi:

• numero riconosciuto di accessi al Servizio posto in piattaforma OPERATORE DI RETE fino ad un massimo di 50 utenti;

• fornitura delle SIM Card da parte di OPERATORE DI RETE;

• fornitura di APN GPRS dedicato a PRESTATORE DI SERVIZI;

Resta inteso che dalle condizioni economiche previste restano esclusi il traffico dati diverso da quello strettamente relativo al Servizio e fonia generati dalle SIM CARD, che saranno oggetto di condizioni economiche separate e incluse in apposito contratto.

Art. 8 – PAGAMENTI DEI CORRISPETTIVI

PRESTATORE DI SERVIZI provvederà al pagamento dei corrispettivi su base bimestrale posticipato a 60 giorni f.m.d.f. La fatturazione decorrerà secondo quanto descritto all’art. 6.

Art. 9 – PENALI

Qualora dovessero verificarsi scostamenti delle prestazioni in relazione ai livelli di servizio pattuiti e riportati in Allegato B (Service Level Agreement), PRESTATORE DI SERVIZI si riserva di applicare a OPERATORE DI RETE le seguenti penali:

ogni caso, il valore complessivo pari al 10% del valore contrattuale riferito al bimestre in esame.

Nessuna penale sarà dovuta da OPERATORE DI RETE in caso di concorso di responsabilità del Cliente/Azienda nella produzione delle violazioni suddette. In particolare, ai fini dell'applicazione delle penali di cui sopra, OPERATORE DI RETE si riserva la facoltà di escludere dal parametro relativo al tempo massimo di disservizio (totale /parziale) gli eventi in cui la mancanza di tempestività da parte del Cliente/Azienda nel fornire la necessaria cooperazione per la risoluzione del disservizio, abbia compromesso la performance complessiva di OPERATORE DI RETE.

Ai fini della rilevazione dei disservizi per l’applicazione delle penali, le Parti convengono che faranno fede i rendiconti nelle modalità definite nell’Allegato B – Service Level Agreement.

Art. 10 – CLAUSOLE FINALI

Il presente Contratto esaurisce la disciplina dei diritti e degli obblighi delle Parti per quanto riguarda l’oggetto del Contratto stesso. È da considerarsi annullata e priva di effetto ogni eventuale precedente e diversa pattuizione scritta e/o orale fra le Parti.

Ogni modificazione delle condizioni e dei termini del presente contratto dovrà risultare, a pena di nullità, da atto scritto e controfirmato dalle Parti.

Fanno parte del contratto i seguenti allegati :

Art. 11 – LEGGE REGOLATRICE E AMBITO DI APPLICAZIONE-FORO COMPETENTE

Il presente contratto è regolato dalla legge italiana e si applica sul territorio dello Stato Italiano (compresi la Repubblica di San Marino e la Città del Vaticano).

Qualsiasi controversia che dovesse insorgere tra le Parti sulla validità, efficacia, interpretazione, esecuzione, risoluzione del presente contratto sarà devoluta, in via esclusiva, al Foro di ______.

Art. 12 – PRIVACY E MISURE DI SICUREZZA

Ciascuna delle Parti si impegna a trattare i dati dell’altra, di cui verrà in possesso nel corso dell’erogazione del Servizio, in conformità con quanto previsto dalla legge 675/96 e successive modifiche e dal D.P.R. 318/99.

del presente Contratto ed a impartire le relative istruzioni.

OPERATORE DI RETE si impegna ad intraprendere tutte le misure di sicurezza necessarie ed opportune affinché il Servizio oggetto del presente Contratto sia adeguatamente protetto da eventuali perdite, danneggiamenti, accesso non autorizzato da parte di terzi nonché dall’introduzione di virus.

Art. 13 – RISERVATEZZA

Ciascuna Parte si impegna, per sé e per il personale alle sue dipendenze, a non divulgare informazioni relative a dati e/o applicazioni dell’altra, o di terzi in rapporto alle stesse, delle quali venisse a conoscenza nel corso dell’esecuzione del presente Contratto.

Fermo restando l’obbligo di cui sopra, le Parti concordano nell’utilizzare il presente Contratto quale referenza reciproca, anche su scala internazionale, per la propria attività.

Resta inteso tra le Parti che per lo scambio di documentazione tecnica e/o commerciale dovrà essere riportata la dicitura “riservato/confidenziale” su ogni pagina del documento

Art. 14 - INFORMATIVA

PRESTATORE DI SERVIZI si assume l’obbligo di fornire adeguata informativa agli utilizzatori dei veicoli sottoposti al Servizio _______ circa il funzionamento, le modalità e le finalità del Servizio e di acquisirne il consenso qualora si verifichi, anche indirettamente, il trattamento di dati agli stessi inerenti. Pertanto PRESTATORE DI SERVIZI garantisce di avere ottenuto tutti i necessari permessi ed autorizzazioni da parte degli utilizzatori, manlevando OPERATORE DI RETE da ogni responsabilità al riguardo.

Art. 15 – CESSIONE DEL CONTRATTO

E’ esclusa tra le Parti la cessione del contratto.

Art. 16 – MARCHI, BREVETTI E PROPRIETA’ INTELLETTUALE

A fronte del pagamento dei corrispettivi indicati nel presente Contratto, PRESTATORE DI SERVIZI acquisterà tutti i diritti di utilizzazione economica delle personalizzazioni applicative sviluppate da OPERATORE DI RETE. OPERATORE DI RETE da parte sua si impegna a conservare ed utilizzare il codice sorgente di tali personalizzazioni, che PRESTATORE DI SERVIZI concede a OPERATORE DI RETE in uso gratuito esclusivamente al fine di erogare il Servizio oggetto del presente contratto, per eventuali scopi interni, di archivio e/o fiscali evitando di modificare, adattare, tradurre, decompilare, disassemblare, estrarre il codice sorgente o creare prodotti derivati che si basano sulle suddette personalizzazioni applicative senza il preventivo consenso scritto da parte di PRESTATORE DI SERVIZI. A tal proposito quindi OPERATORE DI RETE avrà cura di fornire a PRESTATORE DI SERVIZI tutti i codici sorgenti realizzati per le personalizzazioni applicative ed a inviare a PRESTATORE DI

SERVIZI copia aggiornata ogniqualvolta dovessero rendersi necessarie modifiche conseguenti alla erogazione del Servizio.

La titolarità di tutti i diritti di utilizzazione economica delle personalizzazioni applicative sviluppate nell’ambito del presente Contratto è riservata a PRESTATORE DI SERVIZI. Pertanto è fatto espresso divieto a OPERATORE DI RETE di riprodurre, distribuire e/o commercializzare, direttamente o indirettamente, copie delle personalizzazioni applicative, sia nella versione sorgente che oggetto, oppure a cederle a qualsiasi titolo, anche gratuito, o per qualsiasi finalità a terzi sia nel loro complesso che nelle singole parti. OPERATORE DI RETE si impegna a conservare il software con la massima cura, al fine di evitare che chiunque possa appropriarsene ovvero estrarne copia o farne un uso diverso da quello concordato.

Le proprietà industriali dei brevetti, marchi, utilizzati per gli obiettivi del presente contratto, rimangono nella titolarità di quanti, siano essi OPERATORE DI RETE, PRESTATORE DI SERVIZI o altri, ne detengano già i legittimi diritti di proprietà.

Le proprietà industriali dei brevetti, marchi, dei prodotti informatici, hardware e software messi a disposizione e/o utilizzati per gli obiettivi del presente contratto, rimangono nella titolarità di quanti, siano essi OPERATORE DI RETE, PRESTATORE DI SERVIZI o altri, ne detengano i legittimi diritti di proprietà.

Le Parti metteranno a disposizione il proprio know-how tecnologico ed organizzativo, fatto salvo che ciascuna parte rimarrà proprietaria o titolare dei diritti inerenti alle tecnologie, al know-how, ai marchi, al logo e alla documentazione che avrà fornito all’altra in ragione delle attività svolte.

Ciascuna PRESTATORE DI SERVIZIutorizza l’altra ad utilizzare i propri marchi con i loghi distintivi di ognuno per le finalità di questo contratto, a titolo di gratuità.

Art. 17 – COMUNICAZIONI

Qualsiasi attività comunicativa relativa al contratto ed alle attività in esso svolte dalle Parti dovrà essere concordata tra OPERATORE DI RETE e PRESTATORE DI SERVIZI.

Art. 18 – TRATTATIVA

Il presente contratto in ogni sua clausola è stato oggetto di negoziazione tra le Parti. Pertanto gli artt. 1341 e 1342 c.c. non trovano applicazione.

Art. 19 – RECESSO

Ciascuna Parte si riserva la facoltà di recedere dal presente contratto dandone preavviso all’altra 12 mesi prima a mezzo raccomandata A.R.

8.4 Example of eMOTION License Agreement between a Content owner and a Service operator/provider

This agreement is made on ______ (Date) between:

Whereas

Licensor develops, owns, or has been licensed several databases of _______(Kind of data) and wishes to grant a non-exclusive, non-assignable licence to Licensee;

Licensee wishes to obtain the Licensed Products from Licensor to use them in the creation and delivery of mobility Services within the eMOTION framework. These services will be provided via the Internet or via any other electronic communication equipment.

The parties have agreed on the following:

Art. 1 - Definitions

Unless it is stated otherwise, or the context otherwise requires, the following expressions shall have the following meanings, as indicated in this section:

“Agreement”: the underlying agreement, including any and all of the annexes to the document;

“Licensed Product”: the databases or categories of databases, or the data or categories of data, as listed in the annex to this Agreement;

“eMOTION products”: all products which are created by Licensee and which are based upon or include Licensed Products or portions thereof;

“eMOTION services”: all services which are offered to the End User by the Licensor and

which make use of eMOTION Products or Licensed Products or portions thereof.

Art. 2 - Licence

2.1. The Licensor hereby grants to the Licensee a non-assignable, non-exclusive licence to use the Licensed Products solely for the purpose of

- Internal use for the development of eMOTION Products and eMOTION Services;

- Provision of eMOTION Products and eMOTION Services to the End Users via the Internet or any other electronic communication equipment.

2.2. Licensee is allowed to duplicate the Licensed Products for backup purposes. Licensee is not allowed to copy, alter, distribute, sell, or in any other way use the Licensed Products other than in the manner and for the purposes set out in this Agreement.

2.3. At the end of this Agreement, the Licensee agrees to destroy or erase all Licensed Products.

2.4. eMOTION Products or eMOTION Services containing or making use of Licensed Products or portions thereof, will include an explicit reference to their source, which is to be cited as: _______.

Art. 3 - Ownership

Nothing in this Agreement constitutes a transfer of ownership, title or interest on the Licensed Products from Licensor to Licensee. Licensee does not have any right to use, duplicate, modify, merge or include the Licensed Product or portions thereof, except as stated in section 2 of this Agreement.

Art. 4 - Price and payment

Art. 5 - Term and termination

Art. 6 - Warranty and liability

6.1. Except as specifically provided in this Agreement, the Licensed Products are licensed on an “as is” basis. The Licensee assumes all risks of damages or loss in using the Licensed Products. The Licensor does not make any warranty, expressed or implied, as to the results to be attained by the Licensee or others from the use of Licensed Products, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. No representation or guarantees of accuracy are granted or made, nor is any responsibility for reliance thereon assumed.

6.2. In no event shall the Licensor be liable for direct, indirect, exemplary, punitive, incidental, consequential, or special damages of any kind, or loss of profits or capital revenue in connection with this agreement even if it has been advised as to the possibility of such damages. These limitations apply to all causes of action and claims, including without limitation, breach of contract, negligence, strict liability, misrepresentation, and other torts. This warranty is not applicable if and to the extent that any provision of this warranty is prohibited by any national, federal, state or local law which cannot be pre-empted.

Art. 7 - Confidentiality

7.1. Each party shall keep and treat as confidential, and shall not disclose to any third party, any information relating to the business, finances or trade secrets of the other, nor shall any party make use of such information for any purpose whatsoever except for the purpose of this Agreement. All information to be treated as confidential shall be marked as such by the parties prior to disclosure.

7.2. Confidential information shall not include information which is:

- Generally available to the public, other than by breach of this agreement;

- Rightfully in the possession of either party and was rightfully in their possession prior to the negotiations leading to this Agreement;

- Received bona fide by one party from a third party not acting in violation of any written agreement with the originator.

7.3. In the event of any unauthorised disclosure of confidential information by either party, the other party may elect to consider this as a serious breach of a contractual obligation and terminate this Agreement as provided in Article 5 thereof.

Art. 8 - Advertising

Any advertisement, publicity or other announcement concerning the eMOTION Products or eMOTION Services shall refer to the Licensor or the Licensed Products as follows: _______.

Art. 9 - Contracts with end users

Any Licence granted by the Licensee to eMOTION End User shall contain the following clauses:

“The products or services that are delivered to you are created with or based upon data which are property of _______ (Party A). You are granted a non-exclusive, non-assignable licence to the products or services and are entitled to use the products or services for your personal use only. You are not allowed to duplicate, alter or disseminate the products or services in any way.

Nothing in this Licence constitutes a transfer of ownership, title or other interests in the products or services.

The products or services are provided to you on an “as is” basis. You assume the full risk of loss or damages in the use of the products or services. _______ (Party B) makes no warranties as to the results to be obtained in using the products or services, including, but not limited to a warranty of merchantability and fitness for a particular purpose.

In no event shall ______ (Party B) be liable for direct, indirect, exemplary, punitive, incidental, consequential, or special damages of any kind, or loss of profits or capital revenue in connection with this licence. All notices, requests, reports and communications of any type given or transferred by one party to the other in connection with this agreement shall be given in writing and shall be deemed effective when delivered to the other party addressed at the following premises:

This Agreement may not be assigned by either party without the expressed written consent of the other party, prior to the assignment. The permitted assignee thereof shall have all the rights and remedies of the original parties insofar as the same are assignable. Assignment shall be only as a whole and not as a part, nor as to any part interest therein.

In the event that any one or more provisions of this Agreement shall be declared to be illegal or unenforceable under any law, rule, or regulations of any government having jurisdiction over the parties hereto, such illegibility or unenforceability shall not effect the validity and enforceability of the other provisions of this Agreement, and the parties shall agree upon modification to this Agreement with respect to such illegal or unenforceable provisions to eliminate such invalidity or unenforceability.
