CIVIL ACTION COMPLAINT

AND NOW, comes the Plaintiff, Timberland Construction, Inc., by and through its

counsel, and files the within Civil Action Complaint against Defendant US Crossings Unlimited,

LLC, alleging the following:

PARTIES

1. Plaintiff Timberland Construction, Inc. (“Timberland”) is a corporation organized

and existing under the laws of the Commonwealth of Pennsylvania with offices located at 135

Technology Drive, Suite 450, Canonsburg, PA 15317.

2. Defendant US Crossings Unlimited, LLC (“US Crossings”) is a corporation

organized under the laws of Delaware with offices located at 40397 National Road, Belmont, Ohio

43718, 20436 Route 19 #620-244, Cranberry Township, PA 16066, and 41670 National Road,

Belmont, OH 43718.

JURISDICTION & VENUE

3. Defendant US Crossings regularly conducts business in Allegheny County,

Pennsylvania, and is subject to personal jurisdiction in said county pursuant to 42 Pa.C.S.A. § 5301.

4. This Court has subject matter jurisdiction over this action pursuant to 42 Pa.C.S.A

§ 931.

5. The transactions or occurrences that form the basis of this Complaint took place in

Allegheny County, Pennsylvania.

6. Accordingly, jurisdiction and venue are proper in this Honorable Court.

FACTUAL BACKGROUND

7. Timberland performs timber clearing, erosion control, and restoration work

primarily for entities in the oil and gas industry.

8. According to its website, US Crossings is a pipeline contractor that performs an

array of services for entities in the oil and gas industry.

9. Upon information and belief, US Crossings was retained by Equitrans, LP (“EQT”)

to perform pipeline and/or other work related to EQT’s operations in Allegheny County.

10. US Crossings retained Timberland to perform clearing and related services on a

pipeline project in Allegheny County designated as EQT-TP 7575 & H 152 Pipeline (the “Project”).

11. Specifically, on or about September 14, 2018, Timberland submitted a scope of

work proposal (the “Proposal”) for tree clearing and erosion control services regarding the Project.

With certain redactions, a true and correct copy of the Proposal is attached hereto as part of Exhibit

A.

12. On or about September 27, 2018, US Crossings issued a Scope of Work to

Timberland, which accepted and incorporated the terms of the Proposal. The Scope of Work and

Proposal are collectively referred to herein as the “Agreement.” With certain redactions, a true and

correct copy of the Agreement is attached hereto as Exhibit A.

13. Timberland commenced its work on the Project in September of 2018 and

completed services agreed to and as set forth in the Agreement on or about January 12, 2019.

14. During and following completion of its work, Timberland invoiced US Crossings

for the work performed. Indeed, approximately thirty-two (32) invoices were submitted by

Timberland to US Crossings from October 13, 2018 through January 14, 2019.

15. US Crossings paid only one (1) of the invoices. All other invoices remain due and

outstanding. With certain redactions, true and correct copies of the paid and outstanding invoices

are attached hereto as Exhibit B.

COUNT I BREACH OF CONTRACT

16. Plaintiff hereby incorporates paragraphs 1 through 15 above as if set forth in its

entirety.

17. As described, US Crossings retained Timberland for work on the Project.

18. The Agreement is a valid and enforceable contract.

19. Timberland performed the work covered by the Agreement and on behalf of US

Crossings in a good and workmanlike manner and in accordance with professional standards within

the Commonwealth of Pennsylvania.

20. US Crossings materially breached the Agreement with Timberland by its failure to

pay Timberland for services rendered.

21. As a result of the breach by US Crossings, Timberland has sustained damages in

the amount of $1,085,854.34 plus interest at the rate of 1.5% provided in the Agreement.

WHEREFORE, Plaintiff Timberland Construction, Inc. respectfully prays this Honorable

Court enter judgment in its favor and against Defendants in an amount over $35,000.00, plus

interest, costs, and attorney’s fees where reasonable and appropriate under the circumstances.
