Constitution of Christ the King PreambleIt is the will of our Lord Jesus Christ that His disciples should preach the Gospel to the whole world (Mark 16:16, Matthew 28:18-20, Acts 1:8). So that Christ's mission for His church might be carried out according to His will, He has commanded that Christians unite in worship (Hebrews 10:24-25), practice fellowship with one another (Acts 2:42, 1 Corinthians 1:9, Matthew 28:18-20), and serve the needs of all God’s people in Christian love (John 13:35, Galatians 6:10). Christians are also to administer the Office of the Keys as His church (John 20:21-23), provide Christian Education (1 Timothy 4:11-16) for all people, and maintain decency and order (I Corinthians 14:40) in the church.

Therefore we, a number of Lutheran Christians living in and near Coeur d'Alene, Kootenai County, Idaho, accept and subscribe to the following Constitution and By-laws, in accordance with which all spiritual and material affairs of our congregation shall be governed, as adopted on this the 22nd day of June, 2014.

Article I: Name The name of this congregation shall be Christ the King Lutheran Church, Coeur d'Alene, Kootenai County, Idaho. It was founded October 16, 1955, and incorporated under the statutes of the State of Idaho on December 1, 1958. Christ the King Lutheran Church is a religious, charitable and educational organization.

Article II: MissionChrist the King exists to bring people into a living relationship with Jesus Christ and nurture them in discipleship.

Article III: PurposeOur purpose is to witness to one another and our community proclaiming God’s grace through dynamic, sacramental worship, in-depth bible studies and expanding educational opportunities. We shall initiate acts of Mercy and compassion and care for all those in need and create and celebrate Life Together through a variety of social ministries and outreach opportunities to our community through our Early Learning Center. Become committed to ministry that “Begins and Ends with Purpose”.

Article IV: ConfessionThis congregation accepts:

A. All the canonical books of the Old and New Testaments as the inspired and revealed Word of God; and

B. All the Symbolic Books of the Evangelical Lutheran Church, contained in the Book of Concord of the year 1580, as the correct presentation and true exposition of Christian Doctrine drawn from the Holy Scriptures, to wit:

1. The three Ecumenical Creeds (the Apostolic Creed, the Nicene Creed, the Athanasian Creed);2. The Unaltered Augsburg Confession;3. The Apology of the Augsburg Confession;4. The Smalcald Articles;5. Luther's Large Catechism;6. Luther's Small Catechism; and7. The Formula of Concord.

No doctrine or practice in conflict or inconsistent with the above-stated confessions of our faith shall be taught or tolerated in this congregation.

Article V: Synod AffiliationThis congregation shall be affiliated with the Lutheran Church - Missouri Synod as long as the confession and constitution of said Synod are in accord with the confession and constitution of this congregation as laid down in Article IV as determined by the majority vote of the congregation at a meeting called for that purpose.

Article VI: MembershipA. Baptized Membership - Baptized members are all members who have been baptized in the name of the Triune God and who are under the spiritual care of the Pastor of this congregation, including the children who have not yet confirmed their baptismal vow.

B. Communicant Membership - Communicant membership in this congregation may be held by those who:

1. Are baptized in the name of the Triune God;2. Have declared their acceptance of the confessions of this congregation as contained in

Article IV of this Constitution; and3. Have been accepted into communicant membership in accordance with the By-laws of

this congregation and remain faithful to the responsibilities of membership as contained in the By-laws.

Communicant members also include those confirmed members (per Article, VI B) who for valid reasons are not resident in the parish community for extended periods of time.

C. Voting Membership – A Voting Member is any communicant member of the congregation. To insure that new members are familiar with Christ the King’s Constitution and By-laws, policies and procedures and voting rights and privileges, an officer of the congregation or their

representative will visit with each new membership class and review the above and receive acknowledgement from each new member. Membership shall not be denied, or other privileges withheld to any Christian because of race or ethnic origin.

D. Reception of Members

Baptized and Communicant members are received through the Sacrament of Holy Baptism, through the consent of one or both parents in the case of children who have been baptized in another Christian congregation, through the rite of confirmation, through transfer from a sister congregation, through profession of faith, or through reaffirmation of faith. Application for membership shall be made and membership shall be determined in accord with the procedures set forth in the By-Laws.

E. Termination of membership

1. Membership with its rights and privileges, shall be terminated by transfer to a sister congregation, by voluntarily severing the connection with this congregation, by self-exclusion, or by excommunication. Membership shall be terminated in accord with the procedures set forth in the By-laws.

2. The termination shall be reported by the Senior Pastor or Executive Director to the Mission and Vision Leadership Board and to the Voters Assembly.

Article VII: Authority of the CongregationA. The congregation shall have supreme authority over all its affairs. The congregation shall be represented by its voting membership.

B. The Voters Assembly shall be the governing body of the congregation and shall empower the Mission and Vision Leadership Board to administer and manage all its affairs. The Voters Assembly may authorize the Mission and Vision Leadership Board to create such committees as may be needed from time to time to assist with the work of the congregation.

C. All matters before the Voters Assembly shall be decided by a majority vote of the voting members present at a Regular or Special Meeting of the Voters Assembly unless otherwise specified by this Constitution or By-Laws, including matters of doctrine and conscience.

D. The right of calling pastors or other called workers shall be vested in the Voters Assembly and shall not be delegated otherwise.

Article VIII: Organization of the CongregationA. Organization - This congregation shall be organized and governed through a Policy Based Governance Model (Christ the King Governing Manual) and administered through the Mission and Vision Leadership Board.

B. Authority - The Mission and Vision Leadership Board, its officers and committees, whether elected or appointed, shall have no authority beyond that which has been conferred upon them. Whatever authority may have been delegated to them may at any time be altered or revoked by the Voters Assembly.

C. Officers of the Congregation

1. The officers of the congregation, also known as the officers of the Mission and Vision Leadership Board, shall consist of a Chairman, Vice Chairman, and Secretary.

2. The Board shall elect its officers at the first meeting of the Mission and Vision Leadership Board each year. The Mission and Vision Leadership Board shall be elected from among the voting membership in accordance with the By-laws.

3. The Chairman, Vice Chairman, and Secretary shall be empowered to sign legal documents and to serve as the elected officers of the corporation.

4. The appointed officers of the congregation shall consist of a Treasurer and a Financial Secretary. The Treasurer and Financial Secretary shall be appointed by the Mission and Vision Leadership Board in accordance with the By-Laws.

D. Mission and Vision Leadership Board

1. The Mission, Vision and Leadership Board shall consist of nine (9) members elected by the Voters Assembly. The Senior Pastor, Executive Director, Director of the ELC and the Minister of Children, Youth and Family Outreach and Treasurer shall be non-voting members of the Mission and Vision Leadership Board. Total Board membership shall be fourteen (14).

2. The Mission and Vision Leadership Board fundamental purpose is to provide Christ-centered, Spirit-led leadership to the congregation and community in pursuit of the fulfillment of our Mission and Mission Statement. Specifically, to provide clear vision, direction, and governance policies focused on our Mission Statement, and to intentionally and purposefully position Christ the King as an essential component of this community.

E. Duties - The duties of the Mission and Vision Leadership Board, its officers (congregational officers), and committees are set forth in the By-laws, and shall be responsible for the performance of such additional duties as the Voters Assembly may delegate to them by Resolution.

F. Limitations - Women may serve in humanly established offices in the church as long as the functions of these offices do not make them eligible to carry out official functions that would involve public accountability for the function of the pastoral office (Adopted by Synod Convention Proceedings 2004 Res. 3-08A). Therefore, women may serve in all congregational offices, including that of Chairman and Vice Chairman of the Mission and Vision Leadership Board. Women shall not serve as pastor of the congregation.

Article IX: Pastor, Called Workers, and Other Workers A. Requirements

1. This congregation shall establish the pastoral office, which shall be conferred only on such a pastor or candidate who professes and adheres to the confessions of this congregation as set forth in Article IV of this Constitution, who is qualified for the work, who has been endorsed by the Lutheran Church Missouri Synod, and who is a member in good standing of the Synod.

2. This congregation may establish other called offices. Called workers shall be Professional Church Workers who are in good standing on the roster of the Lutheran Church Missouri Synod.

3. The pastors and other called workers shall be called according to the procedures set forth in the By-Laws.

4. This congregation may establish other positions as part of the congregational program.

5. The duties of pastors, called workers, and other workers are set forth in the By-laws.

B. Removal - Any pastor or other called worker may be removed from office by the Voters Assembly by a sixty percent majority of the voting members present. Causes for removal may include persistent adherence to false doctrine, offensive conduct or scandalous life that would discredit the church or the office of pastor, willful neglect of the duties of office, neglect of or inability to perform official duties, or domineering in office. The removal shall be conducted according to the procedures set forth in the By-laws.

C. Resignation - The congregation may also request the resignation of any pastor or other called worker in the case of prolonged incapacity, general incompetence or any of the above as listed in Section IX B.

Article X: AuxiliariesA. Auxiliaries may be organized within the congregation only with the express

approval of the Voters Assembly. All such auxiliaries shall be under the supervision of the Mission and Vision Leadership Board, the Senior Pastor, the Executive Director, Director of the ELC and Minister of Children, Youth and Family Outreach.

B. All officers of such auxiliaries shall be communicant members of this congregation.

C. No decision or performance of an auxiliary shall be in conflict with this Constitution and By-Laws.

Article XI: Separation or DivisionA. If, at any time, a separation or division should take place within this congregation, the advice of the officers of the District and Synod shall be sought, and efforts shall be made to compose the differences in peace and love.

B. If, despite all efforts, a division into factions of the congregation shall occur, the property of the congregation and all benefits therewith connected shall remain with those communicant members who continue to adhere in confession and practice to Article IV of this Constitution, as determined by the adjudication procedure of the Synod.

C. In the event the congregation should dissolve, the property and all rights connected therewith shall be transferred to the Northwest District of the Lutheran Church Missouri Synod.

Article XII: Doctrinal Consistency A. Worship and Related Activities - Christ-centered worship alone shall be used in any service of the congregation, and in all ministerial acts and educational activities as is consistent with the mission and ministry values of Christ the King and with what we believe, teach, and confess as members of Synod.

B. Organizations - This congregation is firmly opposed to all organizations whose principles conflict with the Word of God and the conduct of a Christian. The congregation reserves the right to address individual cases of membership with responsible pastoral care.

Article XIII: MeetingsA. Regular Meetings of the Voters Assembly shall be held as determined in the By-Laws. Notice of the meeting shall be given in the worship services for two weeks previous to the date of the Regular Meeting.

B. Special Meetings of the Voters Assembly may be called at the request of the Mission and Vision Leadership Board. Notice of the meeting shall be given in the worship services for two weeks previous to the date of the meeting or by mail and in the worship services for one week previous to the date of the Special Meeting.

C. Quorum - All qualified voting members present at a validly called meeting of the Voters Assembly shall constitute a quorum.

D. Validity of Resolutions - All congregational matters shall be decided by a majority vote of the qualified voting members present at a validly called meeting of the Voters Assembly, except as otherwise provided in this Constitution and By-Laws.

Article XIV: Amendments A. This Constitution may be amended, with the exception of the contents of Article IV and the contents of Article IX(A)(1) in regard to Article IV, by a sixty percent majority of the votes cast in a Regular, Annual or Special Meeting of the Voters Assembly.

B. Notice must be given of the intention to amend the Constitution or the By-laws and the proposed amendment by announcing the intention of said amendment, by making typewritten copies available, and by posting a copy on the church web site for two weeks prior to the date upon which the meeting will be held.

The By-Laws of Christ the KingArticle I: Communicants Section 1. Application for Membership – Procedure

Applicants for communicant membership in this congregation shall consult the Pastor who shall determine whether such applicants are eligible for membership in accordance with Article VI of the Constitution. Applicants not previously instructed in the doctrines and confessions of the Lutheran Church shall attend a course of instruction and make profession of their faith the congregation.

Applicants from other Evangelical Lutheran Churches shall submit a letter of transfer from their former congregation to establish their eligibility for membership. If an applicant's previous membership in an Evangelical Lutheran Church has lapsed, the Pastor may require a period of re-instruction and a reaffirmation of faith.

After applicants have given satisfactory evidence of their eligibility in accordance with the two preceding paragraphs, their admission as communicant members shall be recommended by the Pastor, Mission and Vision Leadership Board. The Mission, and Vision Leadership Board shall have authority to act on such applications on behalf of the Voting Membership. The roster of new communicant members shall be published in the news media of the congregation.

Section 2. Opportunities, Responsibilities and Privileges of Communicant Members

A. As the scriptures tell us in Hebrews 12: “Let is fix our eyes on Jesus, the author and perfector of our faith, who for the joy set before him endured the cross, scorning its shame and sat down at the right hand of God”. Therefore, Christ the King shall provide for its members various opportunities for growth as well as clearly convey the responsibilities and privileges of communicant membership.

1. Grow in the Christian faith and life through diligent use of the means of grace, searching the Scriptures at home and with other members of the congregation and partaking of the Lord's Supper frequently;

2. By participating in the weekly worship, Bible study and discipleship offerings of the congregation as well as daily prayer, personal Bible study, and other disciplines for faith development including sacrificial giving of their time, talents and treasures.

3. Conform their entire lives to the rule of God's Word;

4. Exercise faithful stewardship of God's many gifts and talents; to be generous at all times.

5. Provide the proper Christian training of their children by instruction at home and through the agencies of the church; and

6. Be readily available for service in the Kingdom of Christ within and beyond the congregation.

Article II: Voting MembershipSection 1. Eligibility for Voting Membership

All Communicant members of this congregation shall be eligible for voting membership. To insure that new members are familiar with Christ the King’s Constitution and By-laws, policies and procedures and voting rights and privileges, an officer of the congregation or their representative will visit with each new membership class and review the above and receive acknowledgement from each new member.

Section 2. Privileges and Duties of Voting Members

A. It shall be the privileges and duties of the voting members of this congregation to:

1. Conscientiously and prayerfully exercise their right of suffrage in all measures placed before the Voters Assembly;

2. Willingly serve in any office or capacity for which their talents and abilities equip them;

3. Faithfully attend all meetings of the Voters Assembly; and

4. Encourage eligible communicant members who are not yet voting members to become active voting members.

Article III: Termination of MembershipA. A person whose membership has been terminated for any reason shall forfeit all

rights and privileges as a member of this congregation and all claims upon the property of the congregation.

1. Transfer to other congregations. Members desiring to join a sister congregation shall present their applications for transfer to the Pastor. Upon recommendation of the Senior Pastor, the request for transfer shall be acted upon at the next meeting of the Mission and Vision Leadership Board.

2. Voluntarily severing the connection. Members who wish to voluntarily sever the connection shall, upon notification to the Senior Pastor, be removed from membership. Members who have joined a church which is outside the Lutheran fellowship of this congregation and who have retained the affiliation after admonition forfeit their membership.

3. Self-exclusion. The Mission, Vision and Leadership Board shall have the right, after proper admonition, to place the names of members who have excluded themselves or whose whereabouts are unknown into an inactive file or to remove the same from membership.

4. Excommunication. Communicant members who conduct themselves in an unchristian manner shall be admonished according to Matthew 18:15-20. If they remain impenitent after proper admonition, they shall be excommunicated. Each case shall be presented individually to the Voters Assembly for a decision. A sixty percent majority vote by the voters present shall be required for excommunication. If such members deliberately absent themselves from the meeting(s) at which their cases are to be discussed, they shall be regarded as having excluded themselves from the membership of the congregation. Notice of the date that the case will be presented to the Voters Assembly shall be given to the member two weeks prior to the meeting by certified mail.

5. Process. The Mission and Vision Leadership Board with consultation with the Pastor shall develop policies that govern the termination of membership, especially for self-exclusion and excommunication. The policies shall include how admonishment will be done according to Matthew 18: 15-20, and how excommunication shall be carried out.

Article IV: Meetings of the CongregationSection 1. Regular Meetings

The Regular Meetings of the Voters Assembly shall be held bi-annually on or about the third Sunday in March and September. Ministry and Executive Updates shall be reported in March and the annual reports shall be given at the September Annual Meeting. Election of the Mission and Vision Leadership Board, and adoption of the budget shall take place at the September Annual Meeting. The Church’s fiscal year shall run from October 1st to September 30th.

The agenda at the Regular Meetings shall include, but is not limited to, the following items:

1. Opening Scripture Reading and Prayer/Worship2. Welcome New Voting Members3. Minutes of Previous Meeting(s), including Special Meetings4. Treasurer's Report5. Report on State of the Parish by the Executive Staff6. Report from the Mission and Vision Leadership Board9. Unfinished Business10. New Business11. Adjournment

Section 2. Special Meetings

A Special Meeting of the Voters Assembly may be called for transacting an item or items of business.

The agenda at Special Meetings shall include, but is not limited to, the following items:

1. Opening Scripture Reading and Prayer2. Welcome New Voting Members3. Special Business4. Adjournment

Section 3. Procedure for Voters Assembly Meetings

A. Date and Time of Meetings. The date and time of all meetings shall be set by the Mission and Vision Leadership Board.

B. Notice for Meetings. Notice shall be given as set forth in the Constitution. Notice in the worship services shall consist of publication in the worship bulletin and announcement in the worship services.

C. Presiding Officer. The Chairman of the Mission and Vision Leadership Board shall preside at all meetings of the Voters Assembly.

D. Rules of Order. The latest edition of Robert's Rules of Order shall be followed.

E. Voting. In the event of a tie vote, the Chairman of the Mission and Vision Leadership Board/Congregation shall cast the deciding ballot.

Article V: Election of Board MembersSection 1. Nominating Procedure

The Mission and Vision Leadership Board shall appoint a Nominating Committee each year no later than its June meeting for a one-year term. The Nominating Committee shall consist of the Vice-Chairman and at least three (3) congregational members. The Senior Pastor shall serve as an ex-officio member.

The Nominating Committee shall develop a recommended slate of qualified candidates to fill the upcoming vacancies on the Mission and Vision Leadership Board, and present to the congregation the final slate, along with information regarding qualifying criteria for each nominee, at least two weeks prior to the September Annual Voters Meeting. The congregation shall elect only individuals who have been deemed qualified by the Nominating Committee.

Section 2. Qualifications of Candidates

Candidates must be voting members of the congregation who are age 18 (eighteen) or older and meet the criteria and qualifications for that position and give their written consent.

Section 3. Terms of Service

Terms of Service for Board members shall be three (3) years, with no Board members serving more than two consecutive elected terms. If appointed to fill a vacancy, that member must be re-elected at the next annual voters’ meeting and may not stand for re-election if another term would extend their service to more than seven (7) years.

Section 4. Election Procedure

A. From the slate of candidates for each elective office, the Voters’ Assembly shall, at the first (September) Regular Meeting, elect by ballot and simple majority, the following Board members:

1. Mission and Vision Leadership Board shall consist of (9) members elected by the Voters Assembly

2. The Mission and Vision Leadership Board shall elect its officers at the first meeting of the Board each year (October).

Section 5. Installation of Board Members

Elected Board Members shall be installed and take office on the first Sunday in October.

Section 6. Board Vacancies

A vacancy in the Mission and Vision Leadership Board shall be filled by appointment of individuals who meet the required qualifications of Board Membership. The Board shall appoint a successor to fill the un-expired term. In the case of a vacancy in the office of Chair, the Vice Chair shall automatically become the successor until the next regular meeting when the Board will elect a new chairman.

Section 7. Termination of Elected Positions

An elected or appointed Board member may resign upon submitting a letter of resignation to the Mission and Vision Leadership Board. Any Board member holding an elected position may be removed by a sixty percent majority of the voting members present in a Regular or Special Meeting of the Voters Assembly for willfully neglecting the duties of the office.

Article VI: Duties of Congregational OfficersSection 1. General

The Chairman, Vice Chairman, and Secretary shall be empowered to sign legal documents and to serve as the elected officers of the corporation.

Section 2. Chairman

The Chairman of the Mission and Vision Leadership Board/Congregation Shall:

A. Work in conjunction with the Mission and Vision Leadership Board to enforce the Constitution and By-laws of the congregation and shall be responsible for carrying out the resolutions of the Voters Assembly.

B. Preside at all official meetings of the congregation.18

C. Preside over all meetings of the Mission and Vision Leadership Board, ensuring the integrity of the Board’s process such that discussion includes only those issues that belong to the Board to decide or monitor. Deliberation will be fair, open and thorough, but also timely, orderly and kept to the point. Information that is for neither monitoring performance nor Board decisions will be avoided or minimized.

D. Work with the Senior Pastor and Executive Director to establish the agenda for congregation and Board meetings.

E. The Chairman may attend any meeting of any committee, or auxiliary. The Chairman, or Vice Chairman when acting in the Chairman's capacity, shall have a voice on all committees, but their right to vote shall be limited to such committees on which they hold membership. For a good reason, the Chairman may request that a Board or committee review a decision or action and, upon such a request, the decision or action shall be stayed until the matter has been reviewed by the Mission and Vision Leadership Board.

Section 3. Vice Chairman

The Vice Chairman shall:

A. Preside at all meetings of the Mission and Vision Leadership Board or congregation when the Chairman is absent or when requested to do so by the Chair. (Ref Section 2, Chairman A.B.C.)

B. Serve as Chairman of the Nominating Committee.

C. Be thoroughly familiar with and serve as a resource to the Board and congregation for questions concerning the congregation’s Constitution and By-laws.

Section 4. Secretary

The Secretary shall:

A. Maintain minutes of all meetings of the Mission and Vision Leadership Board and congregation. Copies of all such minutes shall be kept on file in the church office, published on the website and made available for congregational review.

B. Conduct all official correspondence of the Mission and Vision Leadership Board and the congregation.

Section 5. Treasurer

A. The Treasurer shall disburse funds of the congregation as directed by the Mission and Vision Leadership Board and Executive Director, timely file federal and state tax forms, monitor the cash flow of the operational budget, maintain the cash journals and ledgers, maintain financial records for designated funds, provide monthly financial reports and other financial information as requested, and maintain the treasurer's manual.

Section 6. Financial Secretary

A. The Financial Secretary shall receive, record, and deposit all congregational monies. These shall be deposited as soon as possible, but no later than forty-eight (48) hours after being received. A deposit slip, receipted by the bank, shall be sent to the Treasurer. The Financial Secretary shall prepare an individual report to each member quarterly, itemizing offerings received by envelope during the past three (3) months.

Article VII: Organization, Authority, and Responsibility of the Board Section 1. The Mission and Vision Leadership Board

The Purpose of the Mission and Vision Leadership Board

1.0 The congregation is governed through The Mission and Vision Leadership Board. The fundamental purpose of the governing Board is to provide Christ-centered, Spirit-filled leadership to this congregation and our community in pursuit of the fulfillment of our Mission: “We are Generations of Christ-Like Servants, Sharing God’s Love with the World”!

A. The Board is responsible for providing clear vision, direction through governance policies focused on fulfilling our mission and for intentionally and purposefully positioning Christ the King as an essential component of this community.

B. The Board shall ensure on behalf of the others (congregation and community) that the focus on Love – Grow - Serve is reflected in everything that is done relating to the mission and ministry of this congregation.

C. The Board shall govern with an emphasis on outward vision rather than internal preoccupation in order to emphasize mission rather than

Section 2. The Description of the Mission, Vision and Leadership Board

A. Mission and Vision Leadership Board

1. The Mission and Vision Leadership Board shall be elected as set forth in Article VIII (D) (1) of the Constitution.

2. The Mission and Vision Leadership Board shall have authority for and be responsible for the material interests in the congregation, including fiscal management, property management, risk management, human resource management, legal management, and social ministries management.

3. The Mission and Vision Leadership Board shall govern through policy, delegating implementation of the policies to the (Executive Staff). The Executive Staff shall work together with the Mission and Vision Leadership Board to develop specific measurable ministry goals and objectives.

4. The Mission and Vision Leadership Board shall be responsible and have authority for selecting, monitoring, evaluating, supervising, the Executive Staff and releasing from employment the Executive Director, and the Director of the ELC.

5. The Executive Staff shall consist of the Senior Pastor, Executive Director, Director of the ELC and the Minister of Children Youth and Family Outreach.

Section 3. General Powers and Duties

A. The Board shall initiate and carry out such activities and programs within the congregation as will enable it to effectively perform the duties assigned to it by the Constitution and By-laws or by resolution of the Voters Assembly.

B. The Board shall fulfill its governing duties and responsibilities by establishing and monitoring policies that guide the efforts of its respective senior staff person and carrying out such activities and programs within the congregation as will enable it to effectively perform the duties assigned to it by the Constitution and By-laws or by resolution of the Voters Assembly. Most of the responsibilities assigned to the Board will be accomplished by delegating to its respective Executive Staff person.

C. The Mission and Vision Leadership Board shall develop the Ends Policies (Ministry results and outcomes) of the congregation centered on Love – Grow – Serve..

D. The Board shall submit an annual report of its activities at the Regular Meeting of the Voters Assembly and on such other occasions as the Voters Assembly may request. Such reports shall include specific recommendations, if any, for congregational action and/or approval.

E. The Board shall prepare a budget request for its activities to be submitted to the Finance Committee and, upon approval or as modified, to be presented at the Regular Meeting of the Voters Assembly. Each Board shall be empowered to administer all funds set aside for its work by budget appropriation or by special resolution of the Voters Assembly provided that the Executive Director may restrict such expenditures to conform to the actual financial condition of the congregation at that time. Each Board shall be jointly and severally liable for all expenditures not authorized either by the budget or by resolution of the Voters Assembly.

F. The Board shall keep a permanent set of minutes for each meeting. Such minutes shall be the property of the congregation and shall, at the end of each year, be forwarded to the Executive Director.

G. The Board shall administer and oversee an annual evaluation and performance review of its respective senior staff person. In addition, each Board shall conduct an annual self-evaluation of their respective Board’s performance.

Section 4. Specific Board Responsibility

Purpose: The Mission and Vision Leadership Board’s primary purpose is Mission-Vision and Policy, providing Christ-centered, Spirit-led leadership to this congregation and our community through the development of Our Ends Policies, which are the specific Ministry Results and Outcomes they delegate to the Executive Staff to carry out. Specifically, to provide clear Vision, Direction and Governance Policies focused on our Core Values, Mission and Vision, and to intentionally and purposefully position Christ the King as an essential component of this community.

A. Provide input to the Executive Director as he works together with the Treasurer, Financial Secretary, the Executive Staff to develop the annual budget and spending guidelines for the congregation and ELC (Approve the final budget and present a summary of the budget for approval by the congregation.

B. Annually appoint the positions of Congregational Treasurer, Financial Secretary, and members of the Endowment, and Audit Committees.

C. Assume the responsibilities of the Executive Director or Director of the ELC should a vacancy or long-term absence occur.

D. Establish dates and times for all meetings of the Voters Assembly and prepare the Agenda for all meetings of the Voters Assembly.

E. Mediate and negotiate jurisdictional disputes among the three governing Boards or among the officers of the congregation; if necessary, adjudicate such disputes. Develop policies that will guide such processes.

F. The Mission and Vision Leadership Board shall hold regular meetings at least six (6) times per year. Additional or special meetings of the Mission and Vision Leadership Board may be called by the Chairman of the Board or any five (5) members of the Board. Each member of the Mission and Vision Leadership Board shall be notified of the date, time, and purpose of such a meeting. Where an additional or special meeting is not feasible, the Mission and Vision Leadership Board members may be polled by telephone or e-mail to obtain a decision on a matter which has arisen subsequent to a regular meeting and which cannot be delayed until the next regular meeting, but the results must be recorded in the minutes of the next regular meeting.

G. The Christ the King Endowment Fund has been established for the purpose of receiving gifts and bequests and for the purpose of using them for the mission and ministry of Christ the King Lutheran Church.

H. The Christ the King Endowment Fund shall operate pursuant to the By-laws which have been adopted by Christ the King Lutheran church and which are incorporated herein as APPENDIX A. The Mission and Vision Leadership Board shall manage the Endowment Fund and disburse funds in accordance with the By-laws.

I. By participating in the weekly worship, Bible study and discipleship offerings of the congregation as well as daily prayer, personal Bible study, and other disciplines for faith development including sacrificial giving of their time, talents and treasures.

Article VIII: Additional Groups and Ministry TeamsSection 1. Establishment of the Pastoral Oversight Group

A. This group shall be responsible for the support, mentoring and oversight of the Pastoral staff. They will have to opportunity to contribute and participate in the annual appraisal process and make leadership aware of any theological or doctrinal concerns that may arise.

B. This group shall consist of our Rostered Emeritus LCMS Pastors who also hold membership at Christ the King. The chairperson of the Mission Vision and Leadership Board shall serve as an ex-officio member of the group.

Section 2. Establishment of the Spiritual Care Group

A. The purpose of the Spiritual Care Group at Christ the King is to assist the Pastor(s) in service related to the spiritual health, welfare and vitality of the congregation.

B. Members of the Spiritual Care group shall be recommended by the Senior Pastor and acknowledged by the Mission, Vision and Leadership Board.

C. Mature Christian Men and Women ages 21 and older may serve in this ministry.

Section 3. Establishment of the Worship Serving Team

A. This team will be responsible for the organization and the specific ministry roles related to of all worship services and associated ministries at Christ the King. This includes music, organists, worship arts, ushers, communion distribution, shepherds’ staff, etc.

B. This team will coordinate and consult with the pastoral staff on the theme, structure and essential requirements for all worship services.

Section 4. Establishment of the Early Learning Center Advisory Group (Voluntary)

A. Members of the Early Learning Center (ELC) Advisory Group shall be recommended by the Director of the ELC and acknowledged by the Mission, Vision and Leadership Board. Inclusive of non-member ELC parents.

B. Responsibilities will be to provide advice and support for the Director.

Section 5. Establishment of the Youth and Family Ministries Advisory Group (Voluntary)

A. Members of the Youth and Family Ministries (YFM) Advisory Group shall be recommended by the Director of YFM and acknowledged by the Mission, Vision and Leadership Board.

B. Responsibilities will be to provide advice and support for the Minister of Children, Youth and Family Outreach.

Article IX: The Office of Pastor and Other WorkersSection 1. The Office of Pastor

A. General Description

The pastoral office is the authority conferred upon pastors through a call from or contract with, the congregation. The pastoral office is the primary office in the congregation, but the congregation may establish as many other offices and positions as its needs require and determine what work is to be assigned to such offices and positions.

B. General Duties and Obligations

By reason of his office, the pastor is not only a servant and steward of God, but also of the congregation. The pastor shall be authorized and obligated as set forth in that document which is entitled the Diploma of Vocation and the Supplement to the Diploma of Vocation Minister of Religion, Ordained, incorporated herein as APPENDIX B.

C. Specific Duties and Obligations

The Mission, Vision and Leadership Board shall set forth specific duties for the pastors in job descriptions, which may be changed from time to time. In his administrative capacity, the pastor may delegate duties to other pastors and staff members as warranted to meet the needs of the congregation, but without neglecting the duties of his office. The pastors shall be an ex-officio member of all ministries and their associated committees.

Section 2. The Office of Executive Director

A. General Description

The Mission and Vision Leadership Board shall employ, or serve in the position of, Executive Director in accordance with the By-laws and the Board’s policy manual. The Executive Director is directly accountable to the Mission and Vision Leadership Board.

B. General Duties

1. Take actions, make administrative decisions, and establish policies deemed necessary to attain congregational results except (a) actions which are not in

accordance with the congregation's Ends Policies, (b) violation of law, applicable regulations, orders of courts or commonly accepted business and professional ethics, and (c) violation of Constitution and By-laws or specific further Executive Director Limitations as stated by the Board governance policies.

2. Promote effective day-to-day operation of the congregation.

3. The Executive Director shall operate within the parameters of the established job description and policies. The Executive Director is accountable to clarify personnel rules, provide for effective handling of grievances, provide for evaluation procedures, and protect against wrongful conditions such as nepotism and preferential treatment.

Section 3. The Office of Minister of Children, Youth, and Family Outreach

A. General Description

1. Purpose: To recognize and be empowered by the critical growing spiritual needs of our young disciples. To serve Christ the King Lutheran Church and our community by developing, implementing and administering a dynamic outreach ministry to our young disciples, (and their families,) from birth to college and into their own families. To be a healthy leader who can work with staff, lay leaders and volunteers to grow a vibrant, sustainable ministry and environment that fosters authentic discipleship.

B. General Duties

1. To recognize and be empowered by the critical growing spiritual needs of our young disciples. To serve Christ the King Lutheran Church and our community by developing, implementing and administering a dynamic outreach ministry to our young disciples, (and their families,) from birth to college and into their own families. To be a healthy leader who can work with staff, lay leaders and volunteers to grow a vibrant, sustainable ministry and environment that fosters authentic discipleship.

Section 4. The Office of Director of The Early Learning Center

A. General Description

1. Provide a challenging, stimulating and age appropriate education program, in a Christ-centered environment in accordance with the teachings of the

Idaho Early Learning Guidelines and the Lutheran Church – Missouri Synod. At Christ the King Child Development Center we are uniquely positioned to model Christian love and faith to students, parents, and staff.

B. General Duties

1. The Early Learning Center Director oversees and ensures that the ELC ministry provides a challenging and stimulating developmentally appropriate educational program, in a Christ-centered environment in accordance with the Idaho Early Learning Guidelines and teachings of the Lutheran Church Missouri Synod.

*Other offices may be created by the Voters Assembly to carry out the work of the congregation.

Article X: Procedures for Calling Pastors, Other Called Workers, and Employing PastorsSection 1. Procedures for Calling a Pastor

A. The authority to call a pastor shall be vested in the Voters Assembly and cannot be delegated otherwise.

B. Preparation for the Call Process

1. The Chairman of the Congregation shall notify the Northwest District President and the Circuit Visitor of a vacancy in the office of pastor. In the event that the Circuit Counselor is on the staff, the congregation shall seek the assistance of the District President in obtaining another pastor to serve in the Circuit Counselor's stead.

2. A meeting between the District President or his representative or the Circuit Visitor with the congregation shall take place for the purpose of reviewing and explaining the pastor call.

3. In the case of a pastoral call, the Mission and Vision Leadership Board shall serve as the Call Committee. Alternatively, the Mission, Vision and Leadership Board may appoint a Call Committee not to exceed the same number of persons as the number of Board members but composed of both Board members and other members of the Voters Assembly who broadly represent the membership of the congregation. The purpose of the Call Committee is to ascertain the needs of the congregation, develop the specifics of the call process, and screen the candidates.

4. The Call Committee shall develop the details of the procedure by which the vacancy is to be filled. The call process shall be approved by the Voters Assembly.

5. The Mission, Vision and Leadership Board may fill the vacant position with an interim pastor.

C. Nomination and Screening Process

1. When a pastor is to be called, every member of the congregation shall have the privilege of making one or more nominations, except as set forth in Article IX(A)(1) of the Constitution regarding membership in the Synod and in Article 9(l)(B)(5) of the By-laws. The Call Committee shall also ask the President of the District for recommendations.

2. The Call Committee shall present the full list to the Voters Assembly for approval. Upon approval from the Voters Assembly, the Call Committee shall submit all names to the District President for information and evaluation.

3. After receiving information and evaluations from the District President, the Call Committee shall then conduct a screening process to obtain a preliminary list of at least three (3) and no more than ten (10) candidates. The Call Committee is encouraged to utilize the Evaluation Criteria Rubric (Appendix B). The preliminary list of candidates, together with a biographical sketch of each, shall be presented to the Voters Assembly for approval.

4. The Call Committee may seek additional information about the candidates on the preferred list and present the information to the members of the congregation. The Call Committee may present up to four (4), but not less than two (2) preferred candidates from the preferred list but shall state a reason or reasons for presenting the preferred candidates. If the preferred list falls below two (2) candidates, the Call Committee may revisit the preliminary list or may decide to re-initiate the call process.

D. Call Meeting

1. A special meeting of the Voters shall be called for the purpose of electing a new pastor.

2. Balloting shall proceed by a secret ballot vote. A majority of 60% is needed to determine the disposition of the call.

3. The Chairman of the Congregation shall notify the Pastor who has been called immediately.

E. Declination of a Call

If a call is declined, the procedure outlined above (D. Call Meeting) shall again be followed. If a call is declined and the Preferred List is reduced to a single candidate, the Call Committee may recommend that candidate to the Voters Assembly for consideration or return the Call Process back to the Mission and Leadership Board.

Section 2. Employment of Other Workers

A. Newly Created or Vacant Positions

New positions for called workers shall be approved by the Voters Assembly. All other new positions for contracted or employed workers shall be approved according to the policies of the appropriate governing Board. Upon a determination to create a new position or in the event of a vacancy in an existing position, the appropriate Executive Staff person shall determine specific terms of employment, including but not limited to compensation (subject to approved budget and compensation policies), number of hours worked, duties and adopted procedures for filling the position.

B. Announcement of Opening

New positions for employment shall be published according to the policies that apply to that position.

C. Terms of Employment

Unless otherwise specifically provided in writing, all employment shall be at-will employment.

D. TerminationAny worker may resign upon submitting a letter to that worker’s immediate supervisor. Terminations shall be according to policies developed by the appropriate governing Board or senior staff member.

Article XI: CommitteesSection 1. Auditing Committee

The Auditing Committee shall be appointed by the Chairman each year during the month of September. The Auditing Committee shall consist of any two (2) or three (3) communicant members of the congregation with a background in accounting or finance. The Treasurer, Financial Secretary, and Executive Director shall not serve on the Auditing Committee.

Upon the recommendation of the Chairman or upon its own action, the Mission and Vision Leadership Board may employ an independent auditor to conduct a review or an audit.

It shall be the duty of the Audit Committee to review or audit the financial records of the congregation, including the records of all congregational groups that have collected or held funds in the name of the church. The Audit Committee's report shall be submitted annually to the Mission and Vision Leadership Board when completed.

Section 2. The Nominating Committee

The Nominating Committee shall be appointed by the Mission and Vision Leadership Board each year during the month of June. The Nominating Committee shall be composed of at least three (3) voting members, and the Senior Pastor shall serve as an ex-officio member. Alternatively, the Mission and Vision Leadership Board may serve as the Nominating Committee for any given year.

The number of ministry positions to be filled by the Nominating Committee shall be certified annually by the Mission and Vision Leadership Board during the month of June. The Nominating Committee shall prepare a slate of candidates for the election to be held at the Regular Meeting. The slate of candidates shall be published in accord with ARTICLE 5 (1). The consent of each nominee shall be secured before the publication of the slate to the congregation.

Section 4. The Endowment Committee

An Endowment Committee shall be appointed by the Mission and Vision Leadership Board. The duties of the Endowment Committee pertain to the Christ the King Lutheran Church Endowment Fund.

The Endowment Committee shall be responsible for the management of the fund assets. The Endowment Committee shall report to the Mission and Vision Leadership Board.

Article XII: AmendmentsThese By-laws may be amended, by a sixty percent majority of the votes cast in a Regular, Annual or Special Meeting of the Voters Assembly.

Notice must be given of the intention to amend the By-Laws and the proposed amendment by announcing the intention of said amendment, by making typewritten copies available, and by posting a copy on the church web site for two weeks prior to the date upon which the meeting will be held.
