8. ThebalanceofthepurchaseconsiderationispayabletotheSeller’sappointedconveyancers(the“Conveyancers”) simultaneouslyagainstregistrationoftransferofthepropertyintothenameofthePurchaser.

ThePurchaserisliabletoeffectpaymentofallamountspayableintermsoftheseConditionseitherbybankguaranteed chequeorbyelectronicfundstransfer,inSouthAfricancurrencyandfreeofexchangeand/orbankcharges.The PurchaserisobligedtofurnishtheSeller(c/otheConveyancers)withaguaranteeforpaymentofthebalanceofthe purchasepriceagainstregistrationoftransferoftheproperty:-

10. ThePurchasermaynotseektoapplyset-offofanyofitsobligationstotheSellercontainedintheseConditionsunlessthe:-

10.1 SellerisinbreachoftheseConditions,and;10.2 PurchaserhasfirstgiventheSeller7days’priornoticeofthePurchaser’sintentiontoapplyset-offwhichnoticemust:-10.2.1 bedeliveredtotheSeller,careoftheConveyancers;10.2.2 statetheamountwhichthePurchaserwishestoset-off;10.2.3 statethenatureandcauseoftheindebtednessagainstwhichthePurchaserwishestoapplyset-off.
