• The Shawnee County Planning Commission holds a public hearing on the second Monday of each month to consider certain zoning, conditional use permit, subdivision, and other related proposals as may be required by laws of the state or county. The Planning Commission conducts an informational meeting with staff at 5:00p.m. prior to the 6:00p.m. public hearing. The information meeting is held in the Planning Department and is open to the public.
• The following agenda identifies and describes each proposal to be considered by the Commission.
• Please refer to the attached Hearing Procedure governing the rules of conduct and the manner in which individual items will be heard.
• Unless continued all zoning and conditional use permit matters on this agenda will be considered by the County Commission for final determination on Monday, December 3, 2018, at 9:00am in the Shawnee County Courthouse, Room B-11, Topeka, Kansas.

1. The Planning Department staff will introduce each agenda item and present the staff report and recommendation. Commission members will then have an opportunity to ask questions of staff.

Each speaker must come to the podium and state your name and address for the record. The Chairperson reserves the right to establish a time limit for all speakers to afford everyone the opportunity to speak and in consideration of other items appearing on the agenda. At ~he conclusion of each speaker's comments, the Commission will have the opportunity to ask questions. The applicant will be given the opportunity for rebuttal and make concluding comments. The Chairperson reserves the right to allow additional testimony from proponents and opponents after all initial comments are made.
4. Chairperson will close the public hearing at which time no further public comments will be received. Commission members may then discuss the proposal and ask further questions of staff.
5. Chairperson will then call for a motion an the item, which may be cast in the affirmative or negative. Upon a second to the motion, the Chairperson will call for a roll call vote in which Commission members will then vote yes, no or abstain.

Roll Call and Announcement of Hearing Procedure: Judy Moler, Chair, called the meeting to order at 6:00p.m. and asked for roll call to be taken.
Members Present: Judy Moler, Brian Aubert, Chad Depperschmidt, Jerry Desch, Jake Fisher and Christi McKenzie. With six members present, a quorum was established.
Members Absent: Matthew McCurry.
Staff Present: Barry T Beagle, Planning Director; Joelee Charles, Administrative Assistant; and, Joni Thad ani, Assistant County Counselor.
Approval of August 13, 2018, Public Hearing Minutes: Ms. McKenzie moved to approve tt1e August 13, 2018, Public Hearing minutes, seconded by Mr. Aubert, and with a unanimous voice vote, the minutes were approved.
Communications: None were indicated.

Zoning and Subdivision Items:
1. CU18/06 by McCollum Family Trust seeking a Conditional Use Permit to establish a bed and breakfast inn including a special event venue on property zoned "RR-1" Residential Reserve District and located at 3521 SE Paulen Road in Tecumseh Township. (Continued to November 13, 2018, public hearing.)
Mr. Beagle stated the item was being continued until the November 13th public hearing. Property owners were notified of the continuance. The applicant is currently working on some final details with the fire district and fire marshal.
2. Silver lake Heights Subdivision (Preliminary and Final Plat Phases) [P18/02] by Silver Lake Heights, LLC for property located on the south side of NW 461
h Street, approximately 2,444-feet west of NW Hodges Road in Silver lake Township.
Mr. Beagle stated approval of the proposed plat of subdivision would bring the 3.23 acre property into compliance with the Subdivision Regulations and allow the applicant to build a single-family dwelling. Due to a previous property split, the property has only 185 feet of frontage. Staff recommends approval of the preliminary and final plat as presented.
With no questions for Mr. Beagle, Ms. Moler asked if the applicant had a presentation.

There were no questions for the applicant. With no one to speak in favor or in opposition and no discussion among the Commissioners, Ms. Moler closed the public hearing and asked for a motion_
Mr. Depperschmidt moved to recommend Approval of the proposed subdivision; seconded by Ms. McKenzie. With a vote of 6-o-O, the preliminary and final plats were Approved.
Public Comment on Non-Agenda Planning and Zoning Items: No one present to speak.
Discussion of Planning Related Issues:
Accessory Dwelling Unit Proposal--The Board determined the item would be placed on a future agenda. Further review was needed. Mr. Aubert thought it was an interesting topic. Ms. Moler requested to see some examples from other counties. Ms. McKenzie thought it was a good idea for the Board to be proactive on the subject.
Comprehensive Plan-Ms. Moler stated the County Commission had met several times to discuss the Comprehensive Plan. They had come up with their own amendments to the Plan and a major portion of the plan was removed. The Counselor's office made the revisions. Testimony was heard, both pro and con. The vote was planned for October 15th.
Ms. McKenzie thanked Mr. Beagle for supporting the ideas that the Planning Commission put foiWard.

judge Hanley from Douglas County and I will be teaching an Advanced Trial Advocacy class at Washburn Law in the Spring Semester 2019.
The final trials for the Advanced Trial Ad class are scheduled for Saturday, April 20 from approximately 7:45am to 3 pm.
Depending on enrollment we may need three courtrooms for the exercise.
I'd like to ask permission to use courtrooms and the courthouse on Saturday April 20, 2019, for the final trials.
The commission has been very kind to let us use the courthouse in the past and I must say, the law students seem to
step things up a notch when they're in a real courtroom.

Purpose: Board of Commissioners authorization and execution on the attached Independent Contractor Agreement for Services (ICAS) with instructor Heather MacLaren is requested. The programs are supervised by Outdoor Adventure Division - Sports Supervisor and compensation is noted on the ICAS including mileage and funded through the Sports Division operations budget.
Justification: The Master Plan suggests agreements that are setup to assist ·bath parties with offering services in an efficient and appropriate manner. An area of focus to manage individual partners who desire to share their service, skills and talents is that of Vendor Partners. MacLaren's services include sign language interpretation to individuals on youth sports teams who have hearing disabilities.
The Parks + Recreation Strategic Implementation Action Plan has a Community Vision for Programming that states "Our vision for programming is to reach out to people of all ages to encourage them to experience parks and recreation facilities through well designed programs that create a lifetime of memories." The ICAS continues to be a valuable asset between instructors and Parks + Recreation.

THIS AGREEMENT is between THE BOARD OF COUNTY COMMISSIONERS OF THE
COUNTY OF SHAWNEE, KANSAS (County) AND HEATHER MACLAREN (Contractor).
!. SERVICES TO BE PERFORMED
Contractor agrees to perform the following services for County:
Provide sign language services for youth sports participants.
This Agreement shall commence on January 1, 2019, and shall end on December 31, 2019, unless this Agreement is terminated sooner or extended in accordance with its terms.
2. PAYMENT
In consideration of the services to be performed by Contractor, County agrees to pay Contractor as follows:

3. INDEPENDENT CONTRACTOR STATUS ANP CERTIFICATION
Contractor is an independent Contractor, not a County employee. Contractor's employees or contract personnel are not County employees. Contractor and County agree to the following rights consistent with an independent Contractor relationship:
a. Contractor has the right to perform services for others during the term of this 1
Agreement.
b. Contractor has the sole right to control and direct the means, manner and method by which the services required by this Agreement will be performed.
c. Contractor shall not be assigned a work location on County premises, and Contractor has the right to perform the services required by this Agreement at any place, location or time.
d. Contractor will furnish all equipment and materials used to provide the services required by this Agreement.
e. Contractor has the right to hire assistants as subcontractors, or to use Contractor1s employees to provide the services required by this Agreement.
f. Contractor or Contractor1s employees or contract personnel shall perform the services required by this Agreement and Contractor agrees to the faithful performance and delivery of described services in accordance with the time frames contained herein; County shall not hire, supervise or pay any assistants to help Contractor.
g. Neither Contractor nor Contractor's employees or contract personnel shall receive any training from County in the skills necessary to perform the services required by this Agreement.
h. County shall not require Contractor or Contractor's employees or contact personnel to devote full time to performing the services required by this Agreement.
Further, Contractor hereby certifies:
1. That Contractor is not an employee of County and thereby Contractor waives any and all claims to benefits otherwise provided to employees of the County, including, but not limited to: medical, dental, or other personal insurance, retirement benefits, unemployment benefits, and liability or worker's compensation insurance.
J. Contractor must provide Federal Tax or Social Security Number on required Form W-9.
k. That Contractor understands that he/she is solely responsible, individually for all taxes and social security payments applicable to money received for services herein provided. Contractor understands that an IRS Form 1099 will be filed by the County for all payments received.
4. !NDEMN!FJCATION AND HOLD HARMLESS
Contractor shall save, hold harmless, and indemnify County, its officers, agents and employees, from and against all claims, causes of action, liabilities, expenses and costs, including reasonable attorneys' fees, for injury of any person or damage to property arising out of, or connected with, work performed under this Agreement which is the result of any acts or omissions, whether negligent or otherwise, of Contractor, its officers, agents, subcontractors or employees.
5. !NSUBANCE

The County shall not be required to purchase, any insurance against loss or damage to any personal property to which this contract relates, nor shall this contract require the County to establish a "self-insurance" fund to protect against any such loss or damage. Subject to the provisions of the Kansas Tort Claims Act (K.S.A. 75-610 I et seq.), the Contractor shall bear the risk of any loss or damage to any personal property to which Contractor holds title.
6. OWNERSHIP OF PRODUCTS/DOCUMENTS
Contractor hereby assigns to County all rights to all products, reports, documents, photographs, videos, data., and drawings produced by Contractor as a result of its services to County during the term of this Agreement.
7. TERMINATION DUE TO LACK OF FUNDING APfROPRIATION.
Shawnee County is subject to the Kansas Cash Basis Law, K.S.A. 10-1101 et seq. If, in the judgment of the Financial Administrator, Audit-Finance Office, sufficient funds are not appropriated to continue the function performed in this agreement and for the payment of the charges hereunder, County may terminate this agreement at the end of its current fiscal year. County agrees to give written notice of termination to Contractor at least thirty (30) days prior to the end of its current fiscal year. The termination of the contract pursuant to this paragraph shall not cause any penalty to be charged to the County or the Contractor.
8. ANTI-WSCRIMINAJ!ON CLAUSE.
The Contractor agrees: (a) to comply with the Kansas Act Against Discrimination (K.S.A. 44-1001 et seq.) and the Kansas Age Discrimination in Employment Act, (K.S.A. 44-1111 et seq.) and the applicable provisions of the Americans With Disabilities Act (42 U.S.C. 12101 et seq.) [ADA] and to not discriminate against any person because ofrace, religion, color, sex, disability, national origin or ancestry, or age in the admission of access to or treatment or employment in, its programs or activities; (b) to include in all solicitations or advertisements for employees, the phrase "equal opportunity employer''; (c) to comply with the reporting requirements set out in K.S.A. 44 1031 and K.S.A. 44-1116; (d) to include those provisions in every subcontract or purchase order so that they are binding upon such subcontractor or vendor; (e) that a failure to comply with the reporting requirements of (c) above or if the Contractor is found guilty of any violation of such acts by the Kansas Human Rights Commission, such violation shall constitute a breach of contract; (f) if the contracting agency determines that the Contractor has violated applicable provisions of ADA, that violation shall constitute a breach of contract; (g) if (e) or (f) occurs, the contract may be cancelled, terminated or suspended in whole or in part by the County. Parties to this contract understand that subsections (b) through (e) of this paragraph number 5 are not applicable to a Contractor who employs fewer than four employees or whose contract with the County totals $5,000 or less during this fiscal year.
9. ACCEPTANCE OF CONTRACT.
This contract shall not be considered accepted, approved or otherwise effective until the required approvals and certifications have been given and this is signed by the Board of County Commissioners of the County of Shavmee, Kansas.

10. ABBITRATION. DAMAGES. WARRANTIES. Notwithstanding any language to the contrary, no interpretation shall be allowed to find the County has agreed to binding arbitration, or the payment of damages or penalties upon the occurrence of a contingency. Further, the County shall not agree to pay attorney fees and late payment charges; and no provisions will be given effect which attempts to exclude, modifY, disclaim or othetWise attempt to limit implied warranties of merchantability and fitness for a particular purpose.
11. BEPRESENTATIYE'S AUTHORITY TO CONTRACT.
By signing this document, the representative of the Contractor thereby represents that such person is duly authorized by the Contractor to execute this document on behalf of the Contractor and that the Contractor agrees to be bound by the provisions thereof.
12. TERMINATION OFAGR£EMENT
This Agreement may be terminated by either party by giving the other party written notice of the intent to terminate. The notice must specify a date upon which the termination will be effective, which date may not be less than 7 calendar days from the date of mailing the notice. Only services satisfactorily performed up to the date of receipt of notice shall be compensated by County and such compensation shall be pursuant to the terms of this Agreement. Notice shall be deemed received 3 days after mailing in the United States mail. using first class mail, postage prepaid.
13. AUTOMATED CLEARING HOUSE IACHl
Shawnee County prefers to pay its vendor invoices via electronic funds transfers through the automated clearing house (ACH) network. Shawnee County may require vendors to accept payments via ACH. To initiate payment of invoices, vendors shall execute the County's standard ACH Vendor Payment Authorization Agreement. Upon verification of the data provided, the Payment Authorization Agreement will authorize the County to deposit payment for services rendered or goods provided directly into vendor accounts with financial institutions. All payments shall be made in United States currency.
14. MiSCELLANEOUS PROVISIONS
a. This Agreement shall be entered into in Shawnee County, Kansas, and shall be construed and interpreted according to the law of the State of Kansas.
b. All notices and other communications in cmmection with this Agreement sh81l be in writing and shall be considered given 3 days after mailing in the United States mail, using first class mail, postage prepaid, to the recipient's address as stated in this Agreement.
c. Contractor shall comply with all federal, state and local laws requiring business permits, certificates and licenses required to carry out the services to be performed under this Agreement.
d. Contractor may not assign any rights or obligations under this Agreement without County's prior written approval.

e. This Agreement constitutes the entire agreement between the parties and may only be modified or extended by a written amendment signed by the parties hereto.
f. The invalidity, illegality, or unenforceability of any provision of this Agreement or the occurrence of any event rendering any portion or provision of this Agreement void shall in no way affect the validity or enforceability of any other portion or provision of this Agreement. Any void provision shall be deemed severed from this Agreement, and the balance of this Agreement shall be construed and enforced as if this Agreement did not contain the particular portion or provision held to be void.
g. Nothing in this Agreement shall be construed to give any rights or benefits to anyone other than County and Contractor.

13 revitalization area if the rehabilitation, conservation or redevelopment of the area is
14 necessary to protect the public health, safety or welfare of the residents; and
15 WHEREAS, the City of Topeka ("City') desires to establish a neighborhood
16 revitalization area ("Area") and adopt a neighborhood revitalization plan ("Plan") in
17 accordance with the Act; and
18 WHEREAS, the City, pursuant to Resolution No. 9055, adopted October 9, 2018,
1 9 gave notice that it is considering creating the Area and adopting the Plan and the
20 Governing Body has conducted a public hearing on the proposed Area and Plan, all in
21 accordance with the Act; and
22 WHEREAS, the Governing Body finds that one or more of the conditions
23 identified in K.S.A. 12-17,115 exist within the Area; and
24 WHEREAS, prior to designating an area as a neighborhood revitalization area,
25 the Act requires the governing body to adopt a plan for the revitalization of such area;
26 and
27 WHEREAS, the Governing Body desires to adopt a Plan for the revitalization of

29 WHEREAS, the Act authorizes two or more municipalities to enter into an
30, interlocal cooperation agreement to exercise the power and duties authorized by the
31 Act; and •
32 WHEREAS, the municipalities will execute such an agreement, which shall be
33 substantially similar to Attachment B.
34 NOW, THEREFORE, BE IT ORDAINED BY THE GOVERNING BODY OF THE CITY
35 OF TOPEKA, KANSAS THAT:
36 Section 1. Eligible Area. The Governing Body finds that the Area identified in
37 the Plan is an eligible area as defined by the Act.
38 Section 2. Findings. The rehabilitation, conservation or redevelopment of the
39 Area is neoessary to protect the public health, safety or welfare of the residents of the
40 City.
41 Section 3. Adoption of Neighborhood Revitalization Plan. The Plan, attached
42 hereto as Attachment A and incorporated by reference, is hereby approved and
43 adopted.
44 Section 4. lnterlocal Cooperation Agreement. The Governing Body approves
45 and authorizes the city manager to execute the interlocal cooperation agreement,

47 Section 5. Notification. The City Clerk is directed to mail a copy of this

Introduction
This Plan is intended to promote the revitalization of the inner urban area hereinfter
described as the Neighborhood Revitalization Area (NRA) of the City of Topeka through the
rehabilitation, conservation and redevelopment of the area in order to protect the public health,
safety welfare of the residents of the City. More specifically, in accordance with KSA 12-17,
118 (d), a tax rebate incentive will be available to property o'\-VDers for certain improvements that
raise the appraised value of residential property l 0% and commercial property 20%.
In accordance with KSA 12-17, 114 et. seq., the Governing Body has held a public
hearing and considered the existing conditions and alternatives with respect to the described area,
the criteria and standards for a tax rebate and the necessity for inter local cooperation among the
other taxing units (City of Topeka, Shawnee County, USD 501 (Topeka), USD 345 (Seaman),
USD 450 (Shawnee Heights), USD 437 (Auburn,Washburn Rural), Washburn University,
Topeka-Sha"MJee County Public Library, Topeka Metropolitan Transit Authority (TMTA),
Metropolitan Topeka Airport Authority (1\ffA.A). Accordingly, the Governing Body has
reviewed, evaluated, and found that the described area meets one or more of the conditions
contained in KSA 12-17,115 (c),
1. An area in which there is a predominance of buildings or improvements which by reason of dilapidation, deterioration, obsolescence, inadequate provision for ventilation, light, air, sanitation, or open spaces, high density of population and overcrowding, the existence of conditions which endanger life or property by fLre and other causes or a combination· of such factors, is conducive to ill health, transmission of disease, infant mortality, juvenile delinquency or crime and which is detrimental to the public health, safety or welfare;
2. An area which by reason of the presence of a substantial number of deteriorated or deteriorating structures, defective or inadequate streets, incompatible land use relationships, faulty lot layout in relation to size, adequacy, accessibility or usefulness, unsanitary or unsafe conditions, deterioration of site or other improvements, diversity of ownership, tax or special assessment delinquency exceeding the actual value of the land, defective or unusual conditions of title, or the existence of conditions which endanger life or property by frre and other causes, or a combination of such factors, substantially impairs or arrests the sound gro-wth of a municipality, retards the provision of housing accommodations or constitutes an economic or social liability and is detrimental to the public health, safety or welfare in its present condition and use; or

3. An area in which there is a predominance of buildings or improvements which by reason of age, history, architecture or significance should be preserved or restored to productive use.
Furthermore, the Governing Body may declare a building outside of a NRA to be a
"dilapidated structure" if the structure satisfies the following definition KSA 12-17,115(a):
"Dilapidated structure11 means a residence or other building which is in deteriorating condition by
reason of obsolescence, inadequate provision of ventilation, light, air or structural integrity or is
otherwise in a condition detrlmental to the health, safety or welfare of its inhabitants or a
residence or other building which is in deteriorating condition and because of age, architecture,
history or significance is worthy of preservation.
The boundary of the proposed NRA is intended to reflect the City's most investmient-challenged
and deteriorated areas as determined by the City's Neighborhood Health Map. The NRA includes
all designated "Intensive Care" and "At Risk" Census block groups based on the most recent
update of the health map in 2017. These areas are deemed to qualify under all of the above
criteria (KSA 12-17, 115 (c)).
In addition, some parts of the proposed NRA are outside At Risk/Intensive Care designations.
Those areas are included because they either: 1) have been historically "At Risk" since 2000, 2)
are part of infill subdivisions or redevelopment areas that were dependent upon and approved
under the City's past Neighborhood Revitalization Plans, 3) are part of minor boundary rounding
to make the NRA as contiguous and orderly as possible, or 4) otherwise would qualify under the
above criteria (KSA 12-17, 115 (c)). Taken as a whole, the proposed NRA meets Legislative and
statutoryintentofKSA 12-17,115 (c) .
.Any boundary expansions should be consistent with the above criteria and the State's Attorney
General's opinion issued in 1996 which determined that the intent of the legislation was aimed at
neighborhood stabilization and preventing deterioration in the central section of the city or more
specifically, neighborhoods. The opinion concludes that the governing body must make a fmding
that the area meets one of the conditions listed in KSA 12-17, 115 (c), that rehabilitation of the

area is necessary to protect the welfare of the municipalities' residents, and that the area should
not include the entire municipality.
As a matter of policy, the City of Topeka's NRA is also proposed to be limited in scope to the
above areas in order to promote a streamlined and administrative "but for" policy. The inherent
presumption of this Plan is that necessary private investments would not occur in these areas "but
for" the incentives offered under the Plan. Incentives are approved administratively by City of
Topeka staff upon application by the property owner without further proof of need for the
incentives. In order to enforce this assumption, the Plan puts forth thresholds for application
deadlines to ensure the applicant knew about the program prior to construction and that the
investment must create an impactful value increase.
Therefore, this Plan fmds the proposed areas are most legally justifiable under State law and
provides for a streamlined "but for" test to revitalize the City's most deteriorated sections.

DESCRIPTION OF NEIGHBORHOOD REVITALIZATION AREA
The Neighborhood Revitalization Area (Map #I) in general follows the boundaries of
Intensive Care and At Risk neighborhoods as identified in the City of Topeka Neighborhood
Health Map. This map most recently updated in 2017, establishes four (4) health classifications
for neighborhoods (intensive care, at risk, out patient, and healthy) to determine priorities for re
investment and planning assistance. They are described below in order of priority:

Intensive Care- areas with seriously distressed conditions that need immediate attention and intervention
At Risk -areas with effierging/existing negative conditions that need attention before they succumb to seriously distressed conditions
Out Patient- areas with favorable conditions in need of minor isolated treatments
Healthy - areas with optimal conditions
The four health classifications were based on five (5) vital signs that measured the relative
health of all neighborhood areas in Topeka. This neighborhood health assessment was used to
develop a "triage" approach to revitalization. Those areas that had more "life-threatening" or
urgent needs as measured by the vital signs should receive higher priority for treatment over
those areas with less urgent needs. These higher priority areas (intensive care/at risk) are the
focus for neighborhood planning efforts and public re-investment. A summary of the vital signs
include:
Poverty (2012-2016 American Community Survey 5-Year Estimates, U.S Census) -High concentrations. of poverty are one of the most reliable indicators of performance in school, crime rates, family fragmentation, job readiness, housing conditions, etc.
Public Safety (January 2015- December 2016, Topeka Police Dept.)- Public Safety, as measured by number of Part 1 crimes reported for the last two full years, is a symptom indicating the local environmental conditions conducive to crime and how well a neighborhood is organized to prevent crime from occurring.

Residential Property Values (June 2017, Shawnee County Appraisers Office)- Property values are in part a reflection of the quality of housing supply and the image of a neighborhood. The median va.Jue of a house purchased in Shawnee County was $122,000 in 2018 (Topeka Association of Realtors).
Single Family Housing Tenure (June 2017 Shawnee County Appraisers Office) The percentage of homeowners residing in a neighborhood can be an indication of the willingness (or confidence) to invest in the area. The most relevant measure of this is how many single-family dwellings are owner-occupied since these homes were primarily built for individual ownership.
Secured Ilouses & Unsafe Structures (2017 City of Topeka Code Enforcement Unit)- A secured house is one of the most evident physical displays that will undermine confidence in an area for investment and precipitates a downward spiral for the b lock and/or neighborhood.

CRITERIA FOR DETERMINATION OF ELIGIBILITY
(a) Construction of an improvement must have begun on or after January 1, 2019. Such improvement project shall remain eligible in the event the neighborhood revitalization plan is extended beyond 2021 by a subsequent ordinance. An improvement project constructed pursuant to a building permit and an application for tax rebate filed before January 1, 2019, may be eligible for a rebate under the Neighborhood Revitalization Program created by City Ordinance No. 19771 and extended by Ordinance No. 20086.
(b) A rebate application must be filed prior to or within sixty (60) days of the issuance of a building permit or initiation of work (if no building permit is required) as determined by the Planning Director. An application determined to be .. out-of-time" shall be accepted by the Planning Director if the applicant can demonstrate that prior to conunencing the improvements, he or she intended to use the program's benefits for the specific improvement proposed in the application. Some factors that may be used to determine the intent and prior knowledge of the program include previous written or verbal communication with city staff, contractors, or other interested parties in the project. The fact that the applicant was not made aware of the program by city staff shall not be used as a factor in this determination. An application shall not be accepted .. out-of-time" if the building permit was issued to correct a past zoning or building code violation. The applicant must submit all evidence in writing that supports the above criteria to the Planning Department within one (1) year of the issuance of the building permit. The applicant may appeal the Planning Director's decision to the City :Manager who has final authority over the matter.
(c) The improvements must conform with the Comprehensive Plan, design guidelines within applicable elements of the Comprehensive Plan and Title 18 Comprehensive Zoning Regulations,including adopted Neighborhood Conversation Districts in effect at the time the improvements are made.
(d) New and existing improvements on the property must conform with all other applicable codes, rules, and regulations in effect at the time the improvements are made, and for the length of the rebate or the rebate may be terminated.
(e) Any property that is delinquent in any real property tax payment or special assessment shall not be eligible for any rebate or future rebate until such time as all real proPerty taxes and special assessments have been paid. AdditionaUy, taxes on all real property owned by the applicant must be current.
(f) Commercial or industrial property eligible for tax incentives under any adopted Neighborhood Revitalization Plan and Topeka's existing tax abatement program pursuant

APPLICATION PROCEDURE
(a) The O\Vfier/applicant shall obtain an Application for Tax Rebate from Topeka Planning Department, or concurrent with obtaining a building permit application.
(b) The applicant shall complete and sign the application and file the original with Planning, prior to or within sixty (60) days of issuance of the building permit or as permitted under Part 7(b).
(c) Planning shall forv.rard the application to the Shawnee County Appraiser's Office for detennination of the appraised valuation of the improvements and when necessary for designated historic properties, shall indicate the base tax year in order to determine the property's pre-demolition value for historic resources or landmarks that were demolished to make way for the improvements.
(d) On or about January 1, the County Appraiser shall conduct an on-site inspection of the construction project, determine the new valuation of the real-estate, complete his portion of the application, and report the new valuation to the Shawnee County Clerk by June 1 of that same year. The tax records on the project shall be revised by the County Clerk's Office.
(c) Upon determination by the Appraiser's office that the improvements meet the percentage test for rebate and the Clerk's office has determined the status of the taxes on the property, Planning shall certify to the County Clerk the project and application does or does not meet the requirements for a tax rebate and shall notify the applicant.
(f) Upon the payment of the real estate tax for the subject property for the initial and each succeeding tax year period extending through the specified rebate period, and within a thirty (30) day period follov.1ng the date of tax distribution by Shawnee County to the other taxing units, a tax rebate in the amount of the tax increment (less any fees as specified in the Interlocal Agreement) shall be made to the applicant.
The tax rebate amount will be based on the appraised property value increment between the application year and the completion year directly attributal to the improvement itself. The actual rebate may vary year to year depending upon the approved mill levy for all participating taxing jurisdictions. The tax rebate shall be made by Audit and Finance, Shawnee County through the Neighborhood Revitalization Fund established in conjunction with the City of Topeka and the other taxing units participating in an Interlocal Agreement.

Part 12
OTHER MATTERS
1. The governing body may declare a structure outside of a neighborhood revitalization area
eligible if it satisfies the conditions set forth in subsection (a) of KSA 12-17, 115 as a
"dilapidated structure" due to its deteriorated conditions and/or is worthy of preservation.
In such event, the governing body will proceed pursuant to K.S.A. 12-17,114 et seq.
2. The Special Fund identified in the Neigborhood Revitalization Plan adopted in Ordinance
No. 18222 shall only be used to support in-fill housing projects either administered by the
City of Topeka, or in partnership with the City of Topeka, within the Neighborhood
Revitalization Area. Eligible activities shall include any improvements by Community
Development Organizations (CHDOs) associated with infill-housing projects. A
maximum match of 30% of Special Fund dollars can be used for the total project cost.
All improvements must be consistent with any adopted design guidelines of
Neighborhood Plans. The Special Fund shall not be used as substitute funding for current
sources or programs.

INTERLOCAL AGREEMENT/NEIGHBORHOOD REVITALIZATION
This lnterlocal Cooperation Agreement (hereinafter referred to as "Agreement") entered
into this __ day of ________ , 20 , by and among the City ofTopeka, a
duly organized municipal corporation hereinafter referred to as "City" and Unified School
Districts Nos. 345 (Seaman), 437 (Auburn-Washburn) 450 (Shawnee Heights), and 501
(Topeka); the Board of County Commissioners of Shawnee County; Topeka Metro Transit
Authority; Metropolitan Topeka Airport Authority; Topeka & Shawnee County Library and
Washburn University.
WHEREAS, K.S.A. 12-17,119 and K.S.A. 12-2904 authorize public agencies to enter
into interlocal agreements to jointly perform certain functions including neighborhood
revitalization; and
WHEREAS, all parties are, pursuant to K.S.A. 12-2903, public agencies, capable of
entering into interlocal agreements; and
WHEREAS, K.S.A. 12-17,114 et seq. and any amendments thereto (the "Act'),
provides a program for neighborhood revitalization and further allows for the use of.
interlocal agreements between public agencies to further neighborhood revitalization; and
WHEREAS, it is the desire and intent of the parties hereto to provide the maximum
economic development incentive as provided for in the Act, by acting jointly.
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS
CONTAINED HEREIN THE PARTIES AGREE AS FOLLOWS;
1. Purpose.. The purpose of this Agreement is to provide a program for
neighborhood revitalization and allow the public agencies within the designated
neighborhood revitalization area to work together to maximize the economic development

incentives allowed through the Act. The parties have reviewed the City's neighborhood
revitalization plan ("Plan"), and by adoption of this Agreement, agree to work cooperatively
to implement the Plan.
2. Administrator. As the parties are not utilizing a separate legal entity to
administer the Agreement, the City shall administer the Plan.
3. Financing. The parties will finance the development in the revitalization areas
through a property tax rebate which shall be administered according to the Plan. Pursuant
to K.S.A. 12·17, 118, City will create a neighborhood revitalization fund and Shawnee
County will administer distribution of the rebates. Five percent (5%) of the increment in ad
valorem property taxes, as defined by the Act, shall be used to pay for administrative costs
of the City and Shawnee County in budgeting, implementing and administering the Plan.
The five percent (5%) administraUon fee shall be apportioned sixty-seven percent (67%) to
Shawnee County and thirty-three percent (33%) to the City.
4. Duration. Pending approval of the Attorney General and filing with the
Shawnee County Register of Deeds and the Secretary of State, this Agreement shall be
effective on the date indicated on Page 1 which shall be the same date that the Agreement
was executed by the City Manager, notwithstanding that the other parties may have
executed this Agreement at an earlier or later date. This Agreement shall expire on
December31, 2021.
5. Termination. The Plan has a duration of three (3) calendar years,
commencing January 1, 2019, and ending December 31, 2021. Notwithstanding Section
4, the parties agree that termination of this Agreement by any party prior to December 31,
2021 would adversely impact the Plan, and, consequently, this Agreement may only be
terminated with ninety (90) day's written notice, and further provided such written notice
must be received prior to August 1 in the calendar year prior to the tax year the party

desires to terminate participation, unless such notice is waived, in writing, by all parties.
Any application for a tax rebate submitted to the City prior to receipt of the notice of
tenmination shall, if approved, be considered eligible for the duration of the rebate period
set forth in the Plan.
6. Property. No real or personal property shall be acquired, held, or disposed of
during the term of this Agreement.
7. Execution. For purposes of executing this Agreement, this document if
signed and transmitted by facsimile machine or electronic mail, is to be treated as an
original document. This Agreement may be executed by each party in one or more
counterparts, each of which when so executed shall be an original, and all of which
together shall constitute one instrument.
8. Liberal Construction. This Agreement shall be liberally construed to achieve
the economic development objectives and purposes of both this Agreement and the Plan.
Should any provision of this Agreement be determined to be void, unenforceable, or illegal,
such provision(s) shall be null and void, but the remaining provisions shall be unaffected
thereby and shall continue to be valid and enforceable.
9. Entire Agreement. This Agreement constitutes the entire agreement between
the parties and may not be modified or amended, except in writing executed by all parties
in the same manner as the original.
IN WITNESS WHEREOF, the parties have caused this Agreement to be executed
by their respective representatives with authority to bind their respective entity.

Request approval of Memorandum of Understanding- Crisis Response Program
We are requesting approval of the attached Memorandum of Understanding (MOU) between the Shawnee County Sheriffs Office, Shawnee County Department of Corrections, Topeka Police Department and Valeo Behavioral Health Care to fund a full time employee in the Crisis Response Program.
The purpose of the Crisis Response Program is an effort to reduce calls for service, enhance law enforcement and community safety, divert individuals with mental illness from incarceration, and divert individuals from emergency room visits; which in turn will result in a savings of tax dollars for the citizens of Topeka and Shawnee County. More than a million individuals with mental illness are booked into jails every year. Not only do individuals with mental illness tend to ser..re longer stays in jail, they are more likely to be victimized while incarcerated, and cost significantly more to manage than the general population inmate.
The foundation of the MOU is to provide a full time employee to assist Shawnee County Sheriff Officers and City of Topeka Police Officers during incidents involving citizens suffering a mental health crisis. In 2007, Shawnee Counly and the City of Topeka started the Crisis Intervention Team concept to effectively handle situations that involve a mentally ill subject. This proven system increases officer safety, community safety, and diverts the mentally ill subject from incarceration in some cases. A Crisis Response Program is the next step to enhancing this system. This places a mental health professional with a law enforcement officer during specific calls. The Crisis Response staff member can assist the officer in defusing the crisis, and screen the individual for mental health services, as indicated. Another beneficial aspect of this program would be that a mental health professional would make weekly visits to the Department of Corrections, including access to a certified screener 24 hours a day for emergency situations.
Each party of the MOU would be responsible for an equal share to fund the position. The total cost will not exceed $60,000 annually. The parties to this MOU would only be required to fund one third of the annual cost for FY2019, or $20,000 each. The Shawnee County Sheriff's Office
and the Shawnee County Department of Corrections would split the costs required by Shawnee County, or $10,000 each.
The Shawnee County Department of Corrections has the funds necessary for this program through the Inmate Wellness Account. The Shawnee County Sheriff's Office has funds available in their FY2018 operating budget. Sheriff Herman Jones and I have met with Betty Greiner, Administrative Services Director regarding the funding of this program.
Accordingly, 1 am asking for your approval of this agreement. The County Counselor's Office has approved this agreement as to form and legality. Thank you for your consideration of this request, and we will be happy to answer any questions you may have.

BEHAVIORAL HEALTH CRISIS RESPONSE PROGRAM
COOPERATIVE MEMORANDUM OF UNDERSTANDING
I. Preamble: A. Mental illness is increasingly widespread in the U.S., affecting around one in five
American adults every year, according to survey from the Substance Abuse and Mental Health Services Administration. Of the 45.6 million adults who had a diagnosable mental illness in 2011, 11.5 million had serious mental illness. Other surveys put those numbers even higher. With those numbers, contact between individuals with mental illness and enforcement continue to increase.
B. Individual with mental illness are 47% more likely to be arrested during police encounters than individuals without.
C. More than a million individuals with mental illness are booked into jails every year and there stays tend to be 2 to 5 times longer stay than an individual without. Those sentenced to prison are given terms that tend to run 15 months or longer than those without mental health issues.
D. In 2011 the Shawnee County Department of Corrections (SNCDOC) conducted 4,621 suicide screenings (with 28% of those being place on suicide watch) and spent approximately $301,339 of which $160,478 of that was spent on . psychotropic medications. The cost for an individual booked into the SNCDOC is $79.00 a day, but if that individual has mental health issues that cost raises to an average of $300.00 day because of special housing and medication needs.
E. In America there are approximately 553,742 homeless individuals at any given time. Of that 553,742 approximately 25% have a serious mental illness and 45% have any mental illness.
F. Mental health consumers often times unreasonably use emergency services and hospitals, often times not having any emergency or medical issue. This can be due to their mental illness, loneliness, or other factors. These consumers that repetitively use emergency services become known as high utilizers.
G. The purpose of the Crisis Response Program, now known as the Behavior Health Unit is an effort to reduce calls for service, decriminalize mental illness, and divert individuals from emergency room visits which in tum will result in a savings of tax dollars for the citizens of Topeka. With the creation of the Community Health Teams (TPD, Valeo, and TFD) we will broaden this approach by doing home visits and consumer check welfares, focusing on high utilizers. The early success of the Crisis Response Unit highlights the need for a more permanent and proactive prevention effort by the Topeka Police Deparbment and its community partners. The Topeka Police Department will also provide services, follow up, and overall outreach to the homeless within the city limits.
II. Purpose
A. The purpose of this Memorandum of Understanding (MOU) is to:
1. Delineate the responsibilities of the participants within the Shawnee County Crisis Response Program , as such Program is described in Exhibit A attached hereto and incorporated herein by reference;
2. To maximize interagency cooperation; and
3. To formalize the relationship between the Participating Agencies and their employees reganding the Crisis Response operations, homeless outreach (HOT), Community Health Teams (CHT), policies, planning and training.
III. Participating Agencies
A. The Participating Agencies in the Shawnee County Crisis Response Program and this MOU are:
1. Valeo Behavioral Health Care (VBHC)
2. Topeka Police Department (TPD)
3. Shawnee County Deparbment of Corrections (SNCDOC)
4. Shawnee County Sheriff's Office (550)
5. Topeks Fire Department (TFD)
IV.Organlzational Structure and Control
A. The roles and Responsibilities of the Partcipating Agencies.
1. Valeo Behavioral Health care
a. Employ and supervise staff assigned to the Shawnee County Crisis Response Program, which would include the HOT and CHT teams.
2. Topeka Police Department
a. Service as the loca~ons for the Shawnee County Crisis Response Program;
b. Provide a vehlcle1 office space, and vehicle maintenance;
c. As Law Enforcement Officers (LEO) responds to the scene of a call and it is determined that assistance of a mental health professional will aid in the disposition of the call, the responding LEO will work jointly with the assigned VBHC Crisis Responder;
d. The responding LEO may also make a detenmination of the need for the Crisis Response and may contact Shawnee County Consolidated Dispatch Center to make the request; and
e. Train the staff of the TPD, 550, TFD & SNCDOC in the Crisis Response Program goals and services to assist in the success of the program.
3. Topeka Fire Department i. Provide a vehicle, vehicle maintenance, and a Kansas centifted
paramedic/EMT with m training;
ii. As fire fighters responds to the scene of a call and it is determined that assistance of a mental health professional or the CHT will aid in the disposition of the call, the responding Fire Fighter will work jointly with the assigned VBHC Crisis Responder or CHT.
4. Shawnee County Department of Corrections
a. Identify individuals with mental illness that have a recidivism rate of more than twice a year.
b. Provide services and access to mental health services/programs.
5. Shawnee County Sheriff's Office
a. Portable radio
b. As Law Enforcement Officers (LEO) responds to the scene of a call and it is determined that assistance of a mental health professional will aid in the disposition of the call, the responding LEO will work jointly with the assigned VBHC Crisis Responder;
B. Legal Status. This MOU is cooperative partnership and does not create a separate legal entity. Each participating agency shall be responsible .for the actions of their respective employees. Each agency shall hold the other harmless in matters arising out of this MOU. Each agency shall provide for their own legal defense against any claims brought about as a result of this MOU or the conduct of their respective employees.
C. Employees hired through the Shawnee County Crisis Response Program.
1. A cost sharing between the partners will fund one mental health professional (Crisis Responder) that is an employee of Valeo Behavioral Health care.
2. The Crisis Responder will work in cooperation with the Topeka Police Department, Shawnee County Sheriff's Office, and the Shawnee County Department of Corrections.
3. In accordance with the Kansas cash-Basis Law, the funding of the Crisis Response position by the partners is subject to City of Topeka and Shawnee County funding.
4. The Crisis Responder will report to VBHC for administrative matters (e.g. leave, pay, benefits) and for other matters unrelated to the cash-specific work assignments of the Program.
5. The City of Topeka and Shawnee County shall reimburse VBHC for their portion of the personnel cost of the Crisis Responder employee, including but not limited to, salaries (Not to exceed $60,000.00 annually), retirement, expenses, disability, and all other employment related benefits incident to their employment (See, attached Crisis Response Budget Addendum). Raise projections shall be provided in accondance with the City of Topeka and Shawnee County budge processes. VBHC shall invoice the City of Topeka, Kansas Police Department and the Shawnee County
Sheriff's Office for all such personnel costs on January 15th of each year for a lump sum payment for their share of the share cost for the year. Upon receipt of such invoice, the City of Topeka, Kansas Police Department the Shawnee County Sheriff's Office shall reimburse VBHC such invoiced amount at the close of the same invoiced month.
6. Transportation for the Crisis Responder, both to and from the office, will be the responsibility of and provided in accordance with the policies and procedures of Val eo Behavioral Health Care.
7, It shall be the responsibility of the Crisis Responder to regularly and in a timely manner inform the participating agencies of scheduled vacation, annual leave, or sick leave. VBHC employee assigned to the Shawnee County Crisis Response Program will observe holidays as set by the City of Topeka and Shawnee County and when on leave, back-coverage will not be provided. The traditional process for requesting VBHC emergency services shall be followed in the absence of the Crisis Responder.
8. The Crisis Responder will participate in required training of all participating agencies. Additional, non-required training may be provided in-kind by participating agencies.
9. The Crisis Responder shall be subject to the personnel policies and procedures of VBHC, City of Topeka, and Shawnee County. Performance appraisals will be handled by VBHC, except VBHC may request written comments from the TPD, SSO, and SNCDOC for discretionary use by VBHC in the appraisal process.
lO.!f the Crisis Responder has complaints, suggestions, comments, or concerns regarding the policies, procedures, practices or decisions of the TPD, 5SO, or 5NCDOC, such complaints, suggestions, comments, or concerns are to be first presented to the Crisis Responder's immediate VBHC supervisor, who may, in turn, pursue discussions with the TPD, S50, or 5NCOOC. However, it is permissible and encouraged for the Crisis Responder to communicate with TPD, 550, or 5NCDOC staff regarding daily issues pertaining to efficient and effective case processing.
11. In any instance in which the Crisis Responder, in the judgment of the TPD, 550, or 5NCDOC, may have engaged in misconduct or failure to fulfill the mission or purpose of the position requested, the TPD, 550, or SNCDOC shall notify VBHC, in writing, of detail of the alleged misconduct or failure. This notification shall carry no greater weight or affect any other complaint by another law enforcement agency. VBHC shall then take such steps as it deems appropriate under its policies and procedures.
VBHC shall have the authority to order the temporary return of the employee to VBHC pending VBHC's disciplinary or review process. IF the employee is not working in the Crisis Response capacity, payment for the services by the TPD, SSO, or SNCDOC shall be suspended.
E. Non-Disclosure of Information/Mass Media Policy
1. All Participating Agencies shall adhere to strict laws and policies regarding the confidentiality of any client of the Shawnee County Crisis Response Program. VBHC shall maintain polices and complete training with the Topeka Crisis Response staff regarding confidentiality. All agencies involved are obligated to abide by the rules of compliance of HIPM and that protected health information (PHI) will only be disclosed an necessary to coordinate treatment or dispositions of the crisis situation.
2. As general rule, all inquiries regarding the Shawnee County Crisis Response Program shall be directed to the respective Public Information Officer representing the involved program's agency. For request involving a TPD call for service, the TPD shall respond. For a request involving a SSO call for service, 550 shall respond. For a request involving SNCDOC matters, SNCDOC shall respond. For request involving behavioral health case supervision issues, VBHC shall respond.
F. Vehicle, Equipment and Office Space
1. Crisis Response Program
a. The TPD shall provide office space and necessary transportation during established business hours. See attached Vehicle Addendum for the policies related to the use of Topeka's vehicle by the VBHC Crisis Responder employee.
b. Equipment and other tangible property provided by the TPD will remain property of Topeka and will be retuned immediately upon termination of the Crisis Response position, unless otherwise agreed to in writing.
c. Equipment and other tangible property provided by the SSO will remain property of Shawnee County and will be retuned immediately upon termination of the Crisis Response position, unless otherwise agreed to in writing.
V. Effective Date/Duration/Termination
A. This MOU shall become effective by and between each Participating Agency upon execution by all respective representatives.
B. This MOU may be executed in one or more counterparts, include by facsimile, each of which when complied in its entirety shall together constitute one and the same instrument.
C. The term of this MOU Is for the duration of the Shawnee County Crisis Response Program.
D. Any Participating Agency may terminate its relationship with the Project and withdraw from the project at any time by written notification to the other Participating Agency at least thirty (30) days prior to withdraw.
E. Binding Effect. This MOU shall insure to the benefit of, and shall be_l)jruJjng upon, the Participating Agencies and their respective successor"
F. Governing Law. This agreement shall be construed and enfoJli!l in <IBftdan~ with the laws of the Stat of Kansas.

Puroose: Board of Commissioners approval is requested on the attached agreement with Dultmeier Roofing for the replacement of the roof and siding on the Shawnee North Aquatic Shop. The agreement and Q#062-18 defines the project. Funding of $15,520.65 has been identified from the department's current operating budget.
Justification: On Thursday, April19, 2018, the Board of County Commissioners approved Parks + Recreation's Shawnee North Aquatic Shop roof and siding project proposal request per Shawnee County Purchasing Policy. Dultmcier Roofing was the most responsive bidder in relation to the requested specifications listed in the RFP and thus recommended for the project. Total bid results are listed on the tabulation of bids sheet.

DtJL'fMEIER ROOFING AGREEMENT
TIDS AGREEMENT is made and entered into effective the day of ---;o----~ 2018, by and between THE BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF SHAWNEE, KANSAS ("COUNTY"), and DULTMEIER ROOFING
(DULTMEIER), together known as the Parties.
WHEREAS, in accordance with law, County has caused certain contract documents to be prepared per a Request for Proposal (RFP), for and in connection with the roof and siding project for the Sha'\oVD.ee North Aquatics Maintenance Shop; and
WHEREAS, DULTMEIER has submitted a response to the County per RFP Q062-18, in the manner and time specified, a Sealed Bid in accordance with the Bid Documents;
and
WHEREAS, County has publicly opened and examined the bids submitted, and has selected DUL TMEIER for the work described herein, and has duly awarded to
DUL TMEIER a Contract therefore; and
WHEREAS, in consideration of the compensation to be paid to DuLTMEIER by County, and of the mutual covenants contained herein, the Parties have agreed as follows:
SECTION 1 SCOPE OF WORK
DUL TMEIER agrees to replace the roof and siding at Shavmee North Aquatics Maintenance for the County according to the RFP Q062-18 attached hereto and made a part of by reference. DuLTMEIER shall perform all work, as provided in the proposal, RFP, plans and/or specifications, including the assumption of all obligations, duties, and responsibilities necessary to the successful completion of the project, including the furnishing of all materiaJ and equipment required to be incorporated into the project and all tools, equipment, supplies, transportations, facilities, labor, superintendents, and other services required to perform the work and complete the project as defined and provided for in the RFP, plans and/or specifications.
SECTION 2 TERM
This Agreement shall commence on the date signed by County. DUL TMEIER shall complete all work required in the Contract documents before December 31, 2018. following execution of this Agreement. In the event DUL TMEIER shall be delayed in performing any work due to inclement weather or other Acts of God not reasonably anticipated, the date for achieving substantial completion or as applicable the final completion shall be appropriately adjusted by County upon written claim ofDULTMEIER to County. County requests that for such inclement weather adjustment(s), it shall be DULTMEIER's responsibility to notify Dave A11acher, Supervisor, 785-286-0676, or Shawn Osborne, Superintendent, 785-251-6810 by 10:00 a.m. any day such request is being
considered by DUL TMEIER.
SECTION 3 PAYMENTS
This Agreement shall not exceed the amount of Fifteen Thousand Five Hm1elred Twenty Dollars and 651100 ($15,520.65) plus any applicable tax in accordance with this Agreement.
DULTMEIER shall submit an invoice after the project is completed. Such submission of invoice should be sent to: Shavmee County Parks + Recreation, 3137 SE 29t

SECTION 4 LIQUIDATED DAMAGES
Should DULTMEIER fail to complete the Project within the contract time provided herein, DULTMEIER shall pay County as liquidated damages, and not as penalty, the sum of Fifty Dollars and Noll 00 ($50.00) per calendar day beyond the stipulated contract time unless such contract time is extended by mutual agreement of the P,arties through a change order.
SECTION 5 SUBSTANTIAL COMPLETION
Upon completionofthe work, DULTME!ER shall notify County and County shall conduct or cause to be conducted an inspection of the work. DULTMEIER shall be given ten (10) days to complete or correct any incomplete or deficient work or any outstanding items remaining to be completed or corrected as. detailed in a list of items furnished by County. If upon expiration of said ten (10) calendar days the aforementioned outstanding items of work have not been completed, liquidated damages shall commence as provided herein.
Unless extended as provided herein, the expiration of the Agreement time shall ipso facto constitute a putting in default, where DULTMEIER has failed to complete the project timely, and County need not place DULTMEIER in default. DULTMEIER further hereby waives any and all notice of default.
SECTION 6- DULTMEIER REPRESENTATIONS
Jn order to induce County to enter into this Agreement, DULTMEIER represents that it has familiarized itself with the nature and extent of the Agreement documents, the work, the locality and all Federal, State, and local laws, ordinances, rules, and regulations which may in any manner affect the progress of performance of the work. Further, DULTMEIER has given County written notice of any conflicts, errors, or discrepancies that it has discovered in the Agreement document<>, and hereby accepts the written resolution thereof.
SECTION 7 TERMINATION
The terms of this Agreement shall be binding on the parties hereto, but this Agreement may be terminated under any or all of the following conditions:
a. By mutual written contract and consent of the parties hereto;

b. County as a consequence of the failure of DULTMEIER to comply with the terms, progress, or quality of work in a satisfactory manner, proper allowances being made for circumstances beyond the control ofDULTMEIER ; and/or
c. By either party upon failure of the other party to fulfill its obligations as set forth in this Agreement.
In the event of termination of this Agreement, because of any of the above, DULTMEIER shall be paid for work performed in a satisfactory manner prior to DULTMEIER receipt of vvritten notice of tennination.
SECTION 8- INSURANCE
Company shall furnish a Certificate of Insurance for this project prior to beginning work or within ten (10) days of the execution of this Agreement whichever is sooner.
SECTION 9- INDEPENDENT CONTRACTOR
While in the performance of providing the services outlined herein or carrying out other obligations under this Agreement, DULTMEIER shall be acting in the capacity of lndependent Contractor and not as an employee of County. County shall not be obligated to any person, finn, corporation, or other entity for any obligation of DULTMEIER arising from the performance of services under this Agreement. Nothing contained in this Agreement is intended to, or shall be constmed in any manner, as creating or establishing the relationship of employer/employee bernreen the parties. DULTMEIER shall at all times remain an Independent Contractor with respect to the services to be performed under this Agreement. County shall be exempt from payment of all unemployment compensation, FICA, retirement, life and/or medical insurance, worker's compensation insurance, as DULTMEJER is an Independent Contractor.
SECTION 10- CONTRACT EXECUTION
This Agreement represents the entire agreement between County and DUL TMEIER and supersedes all prior negotiations, representations or contracts, either written or oraL This Agreement may be amended only by written insb.ument signed by both parties.
SECTION 11 APPLICABLE LAW AND VENUE
This Agreement shall be consummated in the State of Kansas and shall be governed and/or construed in accordance with the laws of the State of Kansas. Venue shall be in the Third Judicial District Court; and by entering this Agreement, DULTMEIER expressly waives any objections to jurisdiction and venue, regardless ofDuL TMEIER residence or domicile.
SECTION 12 INDEMNIFICATION
To the fullest extent permitted by law, DULTMEIER shall protect, defend, indemnify, and hold County its elected and appointed officials, agents, directors, servants and employees,

or any finn company, organization, or individual, or their contractors, or subcontractors for whom County may be contracted to, harmless from and against any and all claims, demands, judgments, fines, suits, actions or cau~s of liability, and absolute liability which may arise in favor of any person, persons, or entity on account of illness, disease, property damage, loss of property, services, wages, death or personal injury resulting from operations contemplated by this Agreement.
SECTION 13- NOTICES
Any conununications to be given hereunder by either party to the other shall be deemed to be duly given if set forth in writing and personally delivered or sent by mail, registered or certified, postage prepaid with retmn receipt requested, as follows:

Written notices herelUlder delivered personally shall be deemed communicated as of actual receipt, mailed notices shall be deemed communicated five (5) days after deposit in the mail, postage prepaid, certified, in accordance with this paragraph.
SECTION 14 CONTRACT DOCUMENTS

SECTION 15 SEVERABILITY
The parties to this Agreement understand and agree that the provisions herein, shall, between them, have the effect of law, but in reference to matters not provided herein, the Agreement shall be governed by the regulations of the United States and the laws of the State of Kansas. If any provision of this Agreement is held to be illegal, invalid, or unenforceable under present or future laws effective during the term of this Agreement, such provision is fully severable, and this Agreement must be construed and enforced as if such illegal, invalid, or unenforceable provisions never comprised a part of this Agreement; and the remaining provisions of this Agreement remain in full force and effect and may not be affected by the illegal, invalid, or unenforceable provision or its severance from this Agreement.
SECTION 16 DISCRIMINATION CLAUSE

DULTMEIER agrees to abide by the requirements of the following as applicable: Title VI aod VII of the Civil Rights Act of 1994, as amaoded by the Equal Opportunity Act of 1972, Federal Executive Order 12346, the Federal Rehabilhation Act of 1973, as amended, the Vieblam Era Veteran's Reetljustmect Assistance Act of 1974, Title IX of the Education Amendments of 1972, tbe Age Act of 1975, and DULTh1EIER agrees to ebide by the requirements of the Americans with Disabilities Act of!990.
DULTMEJER agrees not to discriminate in its employment practices, and will render services under this Agreement without regard to race, color, religion, sex, sexual orientation, natioual origin, veteran stsbls, political affiliation, or disabilities. Any act of discrimination committed by DULTMEIER or failure to comply with these smtutory obligations when applicable shall be grounds for tennination of this Agreement
