Similar Work: Any structural and mechanical works (Repairing/Maintenance of Equipments) in Industrial or material handling plants or in HEMM.

5. Tenderers must furnish self-attested copies of the following along with their tender (Part-I):

i. Articles of Association Proprietorship/Partnership Deed, Power of Attorney(A particular person shall not be allowed to represent two or more firms by way of power of attorney)

ii. Proof of registration of their firm with the Registrar of Firm/Companies, iii. Permanent Income Tax Account Number (PAN) iv. Particulars of Registration with appropriate Sales Tax Authorities. The L1 party have to submit copy of UP TIN

before award of work, for which bidder shall give confirmation certificate in Envelope No.1. v. Particulars of Registration with Service Tax Authority. Evaluation of offer & Impact of Service Tax, in view of recent

amendment in Service Tax Rules applicable to NCL, with effect from 01/07/2012. a. As per recent amendment in Service Tax Rules with effect from 01/07/2012. Service Tax will be partly

paid by NCL & partly by firm, as the case may be. Hence for evaluation of L-1 bidder, total cost of work inclusive of total service tax on the contract value of each firm will be evaluated.

b. Firm, invariably in their offer have to indicate the value of Service Tax amount against the Services render by them, otherwise they have to specify reason of the same with supporting documents.

vi. NCL Vendor Code. ( The successful tenderer not having NCL vendor code will have to submit the desired documents for allotment of vendor code before placement of work order)

vii. Banker’s Certificate. . viii. Affidavit regarding geniuses of the papers submitted and information furnished duly authenticated by Notary as

per format given in tender document. ix. Electrical Contractor’s License : Not Required.

6. The bidders/ tenderers have to furnish the details of their Bank Account No., Name of the Bank, Address of the Bank, IFSC Code. And Branch Code along with the tenders. Successful bidders/tenderers are required to submit an authorization form duly signed for e-payment to them.

7. The intending tenderers must have in its name as a prime contractor in Central Govt. / State Govt. / Semi Govt. / PSUs experience of having successfully completed work along with completion certificate with BOQ/ final bill copy. Any cutting/ overwriting in the tender document, particularly in the price bid shall be countersigned and stamped by the tenderer. In case of failure to do so, on the part of the tenderer, the offer will be rejected.

8. 80% of the unskilled workmen (Labourers) deployed by the tenderers, subject to availability, should preferably be unemployed local residents including PAPs.

9. The Contractor should ensure implementation of Minimum Wages Act and has to deduct CMPF and other deduction under CMPF and Miscellaneous provisions Act 1948 from the wages of the workers engaged by the contractor and deposit the amount so deducted along with the Contractors/Employer’s share and administrative charge.

10. Contractor is to comply with all the safety provisions like vocational training, maintenance of forms’’ Identity Card, attendance register in respect of their workers. They will provide safety gadgets like helmets, safety shoes, safety belt, hand gloves, welding goggles etc to their employees as and when required. Penalty clauses in contracts for. Violations of safety norms and safety status for non-provision of standard protective gear like Footwear/helmets, fluorescent jackets etc. In case of fatal accidents, the contractor is to be made liable for payment of compensation to the dependent of the victim as per workmen’s compensation Act. In addition, penalties may be imposed for the loss of working time suffered by the company as well as the indirect losses incurred due to the accident on account of enquiry etc.

11. If the rate quoted by the contractor for item rate is un-workable in comparison to justified rate prepared by the department, the difference in cost between the two will be deposited by the contractor in advance as Guarantee against performance and this will be called as additional Performance Security. The additional performance security will be released after successful completion of the work.

12. The Company reserves the right to divide the work among two or more tenderers/contractors and accept or reject the tender wholly or partly without assigning any reason whatsoever. Any other conditions other than what have been specified in the tender document will not be accepted. Any taxes already levied by State/Central Govt. or further levy of taxes if any by the State/ Central Govt. during the currency of the contract are to be borne by the Contractor/agency.

13. Warranty of the work will be one year from the date of completion of the work.

14. Liquidated Damage: Time being the essence of the contract, in case of contractor failure to complete the work in time, the contractor/contractors shall pay Liquidated Damage @ 0.5% of the total contract value per week subject to a maximum of 10% of the total contract value. The employer may deduct Liquidated Damages from payments due to contractor. Payment of Liquidated Damages shall not affect the contractor’s liabilities.

15. Tenderers are requested to file their tenders in two sealed envelopes marked “Envelope No.I &2 “

ENVELOPE NO.I: will contain commercial & technical details, documents required for Eligibility as wanted by the deptt. and the Earnest Money

ENVELOPE NO.II: will contain only the rate part quoted by the tenderer for the work, without any condition. Tenderers should quote Service tax or any other taxes separately. The terms & conditions, as mentioned in the tender document, has to be stamped and signed on each page and put into envelope No. I as token of acceptance.

16. A certificate in Envelope No. I should be given that the price quoted in Envelope No. II is unconditional. Both the envelopes No. I & II will be put in a sealed cover mentioning at the top the No. of Envelope, Tender Notice No., Name of work, Name of the party submitting the tender etc. The envelope No. II of only those tenderers shall be opened who will be considered qualified on the basis of evaluation of their offer in Envelope No. I. The date & time of opening of price bid (Envelope No. II) Shall be intimated in due course, to the qualified bidders only

17. Parties are advised to see the site of the works to be tendered and get fully acquainted with all the details and works before submission of tender. Tenders not complete in all respect are liable for outright rejection. No tender should be sent by post. Tenders received by post shall not be entertained under any circumstances. Other details will be available in the tender document. The offer shall remain valid for a period of 120 days from the date of opening of tender and if required further extension on mutual consent.

18. For the tenderers who download the tender documents from website should submit the following declaration: “I/We accept the tender document as available in the website and my/our tender may be rejected if any tempering is found in them. I/We also undertake that I/We cannot raise any dispute in this regard. “

19. Separate discount on the body of price bid is not acceptable. In case, discount is given if any, it should be incorporated in the item rates itself.

4. No tender will be considered unless accompanied by the said Earnest Money Deposit receipt.

5. On receipt of acceptance of the tender, the successful tenderer shall sign an agreement in the proper departmental form for

the due fulfilment of the contract. The written agreement to be entered into between the contractor(s) and the Company shall be the foundation of the rights both parties and the contract shall not be deemed to be completed until the Agreement

has first been signed by the Contractor and then by the Company authorities.

6. The tenderer's attention is invited to the requirement for the materials under specification and conditions of the contract.

7. Every tenderer is expected before quoting his rate to inspect the site for the proposed work. A schedule of quantities is

enclosed with this tender notice. He should quote percentage above or below the estimated rates/item rate for finished items of works inclusive of all incidentals, overheads, leads, lifts carriage etc. as may be attendant upon execution and

completion of the works.

8.Corrections where unavoidable shall be made by crossing out initiating, dating and re-writing. Every page of the tender

document shall be signed by the contractor.

The tenderer shall closely peruse all specification and clauses.

9. Income Tax clearance certificate /Permanent Account Number (PAN) should accompany the tender.

10. The work shall be completed within_________months from 10th day after the issue of the letter of intent or handingover the site whichever is later.

11. On completion of work, all rubbish, debris etc. shall be removed by the contractor(s) at their own expenses and the site cleaned and handover to the Company.

12. The Chief General Manager/General Manager,Dudhichua Project reserves the right to reject any or all the tenders without assigning any reason whatsoever and to split up and distribute the work among the tenderer(s).

13. The tenderer will indicate the equipment he is going to use on this job and also give adequate evidence of his experiences in doing the similar works and financial capacity to complete the work in time.

14. The tenderer should also state technical personnel he will be employing for supervision of the work.

15. Canvassing in connection with tender in any shape or form is strictly prohibited and tenders by the contractors who resorts to canvassing will be liable to rejection.

17a) The contractor/contractors shall not pay less than the minimum wages to the labour engaged by him/them as per Minimum Wages Act or such other legislation or award or the minimum wages fixed by the respective State Government

as may be in force and in this matter the decision of the Company shall be final and binding.

(b) The tenderer should ensure implementation of CMPF & Misc. provision Act 1948 and allied scheme. The tenderer

should submit affidavit in this regard OR those tenderers who are registered under EPF scheme and their employees

covered under the said scheme may continue to operate under EPF scheme. They should furnish such proof.

18. In respect of interpretation of any clause or item/specification herein incorporated, the interpretation of the Chief

General Manager/ General Manager,

Dudhichua Project will be final and binding.

19. The contractors' shall during the currency of the contract employ apprentices for specified periods as may be

required in writing by the Engineer-in-charge. The contractor/ contractors shall train them as required under the Apprentices Act 1961 and shall be responsible for all the obligation of employer under the said Act including the liability

to make payment to apprentices as required in the Act. 20. The contractor(s) will have to produce a Royalty clearance

certificate from the State/Central Government Authority before payment of the final bill/release of security.

21 The contractor(s) will be wholly responsible for the safe storage custody of the store materials issued by the

Company. Any loss/damage to such store materials will be contractor(s) account. The store under the custody of the contractor(s) will be liable to be examined and checked by the department for its quality and quantity.

22. All taxes, whether local, municipal, provincial or Central etc. and cess, those are payable or may become payable shall be the contractor(s) account and shall be deemed to have been included in the tender for the work to be executed by him/them.

23. For all installations and supply of materials by contractor/contractors, one year guarantee will have to be furnished for workmanship and quality of materials supplied by contractor from the date of commissioning/completion of works.

24. All isntallations/works will have to be carriedout as per rules

a) Coal Mines Regulations 1957 amended upto date (b) Indian Electricity Rules & Regulations 1956 amended uptodate. Safety procedure will have to be followed as per above acts/rules.

TERMS ADDITIONAL;

1. The Contractor shall have to keep cement and all other materials issued by the Company in a Godown constructed by the Contractor at the work site. The articles kept in this godown will be subject to checks and inspected by

the NCL officers authorised for the purpose. The contractors shall have to maintain proper accounts of the materials issued to them by the NCL authorities and the stock and issue registers to be maintained by the Contractor will be liable to be

checked by the NCL authorities as and when required.

2. The contractor should obtain permission(in the form of issue permit and pass books containing detail for mining materials i.e. sand, Morum, Bricks, Boulders etc.) from the State Mining Authority (Dist.Collector) Contractor(s)/Lease

Holder belongs to Mining Authority of State Govt. Dist.Sidhi(M.P.).

3. Water will not be supplied by the department, Contractor(s)/Agencies will have to arrange themselves. If water will be supplied by the department charges @ 1% of the total cost will be recovered from their running bills.

The contractor/contractors shall indemnify and keep indemnified the concerned NCL Authority i.e. the Principal

Employer against all losses and claims whatsoever arises on this account, and in respect of the contracted work.

4. The contractor shall familiarise himself and fully comply with the provisions of all the Acts/Rules/Regulations and orders of the State/Central Govt. applicable to the work e.g. Payment of Wages Act, Workmen Compensation Act,

Contract Labour (R&A) Act etc. and shall be fully responsible and liable for due observance of the same. The Company (NCL) shall have no responsibility/liability and the Company shall be fully indemnified by the Contractor against all such

claims.

LIQUIDATED DAMAGE CLAUSE; Time being the essence of the contract, in case of contractors failure to complete the work in time, the

contractor/contractors shall pay Liquidated Damage at the rate 0.5% of the total contract value per week, subject to a

maximum of 10% of the total contract value. The Employer may deduct Liquidated Damages from payments due to the contractor. Payment of Liquidated Damages shall not affect the contractor's liabilities.

SETTLEMENT OF DISPUTE/ARBITRATION:

It is encumbent upon the contractor to avoid litigation and disputes during the course of execution. However, if such

disputes take place between the Contractor and the department, effort shall be made first to settle the disputes at the company level. The contractor should make request in writing to the Engineer-in-charge for settlement of such

disputes/claims within 30(Thirty) days of arising of the cause of dispute/claim failing which no disputes claims of the

contractor shall be entertained by the Company.

If differences still persist, the settlement of the dispute with Govt. Agencies shall be dealt with as per the guidelines issued

by the Ministry of Finance, Govt. of India in this regard. Inc ase of parties other than Govt. Agencies, the redressal of the

dispute may be sought in the Court of Law.

Additional Safety measures to be taken by the Contractors.

Safety Code, i) Suitable scaffolds should be provided for workmen for all works that can not safely be done from the ground or

from solid construction except such short period work as can be done safety from ladders. When a ladder is used and extra

mazdoor shall be engaged for holding the ladder and if the ladders is used carrying materials as well, suitable footholds and

handholds shall be provided on the ladder and the ladder shall be given on inclination not steeper 1/4 to 1 (1/4 horizontal and vertical). ii) Scaffolding or stagging more than 12' above the ground or floor, swing or suspend from as overhead

support of erected with stationary support shall have a guard rail properly attached, bolted braced and otherwise secured at

least 3 feet high above the floor or platform of such scaffolding or staging and ends thereof with only such opening as may

be necessary for the delivery of materials. Such scaffolding or stagging shall be so fastened as to prevent it from swaying from the building or structure. iii) Working platform gangways and stairways should be so constructed that they should

not sag unduly or unequally, and if the height of the platform of the Gangway or the stairway is more than 12feet along

ground level or floor level they should be closely binded should have adequate width and should be suitably fenced, as

described as (ii) above. iv) Very opening in the floor of a building or in working of platform be provided with suitable means to prevent the fall persons or materials by providing suitable fencing or railing whose minimum height shall be 3').

v) Safer means of access shall be provided to all working platform and other working places. Every ladder shall be provided securely fixed. No portable single ladder shall be over 30feet in length while the width between side rails in running ladder

shall in no case be less than 11, 1/2 for ladder upto and including 10feet in length. For longer ladders this width should be

increased atleast 1/4% for each additional feet of length. Uniform step spacing shall not exceeded 12". Adequate

precautions shall be taken to prevent danger from electrical equipment. No materials on any for the sites of work shall be so stacked or placed as to cause danger or inconvenience to any person or the public. The contractor shall also provide all

necessary fencing light to protect the public from accident and shall be bound to bear the expenses of defence of very suit

action or other proceedings at all they may be brought by any person for injury sustained owing to neglect to the above

precautions and to pay damage and cost which may be awarded in any such suitable action or proceedings to any such person or which may with the consent of the contractor be paid to compromise any claim by any such persons.

Excavation & Trenching:

vi) All trenches four feet or more in depth, shall at all times be supplied with at least one ladder for each 100feet in length or faction thereof ladder shall be extended from bottom of the trench to atleast 3' above the surface of the ground. The side of

the trenches which are 5' or more in depth shall be stopped back to give suitable slope, or securely held by timber bracing,.

so as to avoid the danger of side to collapse. The excavated materials shall not be placed within 5 feets of the edge of the trench or half of the trench whichever is more. Cutting shall be done from top to bottom. Under no circumstances under

mining or under cutting shall be done.

: 5 :

DEMOLITION:

vii) Before any demolition work is commenced and also during the process of the work .a) All road and open area adjacent to the work site shall be either be closed or suitably protected.

b) No electric cable or apparatus which is liable to a source of danger over a cable or apparatus used by the operator shall remain electrically charged.

c) All actual steps shall be taken to prevent danger to persons employed from rise of fire or explosion of flooding. No floor roof or other part of the building shall be so overloaded with debris or materials as to render it unsafe.

viiii) All necessary personal safety equipment as considered adequate by the Engineer-in-charge should be kept available

for the use of the persons employed on the site and maintained in a condition suitable for immediate use and the contractor

should take adequate steps to ensure proper use of equipment by those concerned.

a) Workers employed on mixing asphalting materials, cement and lime mortars shall be provided with protective footwear and protective goggles. b) Those engaged in white washing and mixing or stacking of cement bags or any material

which is injurious to the eyes shall be provided with protective goggles.

c) Those engaged in welding works shall be provided with welder glass.

d) Stone breakers shall be provided with protective goggles and protective clothing and seated at sufficiently safe intervals. e) When workers are employed in sewers and manholes, which are in use the contractors shall ensure that the manhole

covers are opened and are ventilated at least for on hour before the workers are allowed to get into the manholes, and the

manholes, and the manholes so opened shall be cordoned off with suitable railing and provided with warning signals or

boards to prevent accident the public. f) The contractors shall not employed men below the age of 18 and women on the work of painting with products

containing lead in any form. Whenever man above the age of 18 are employed for the work of lead painting the following

precautions should be taken. .....6/-

1. No paint containing lead of lead products should be used except in the form of paste or ready-made paint.

2. Suitable face masks should be supplied for use by the workers when paints is applied in the form of spray or surface having lead paint dry rubbed and scrapped. 3, Overalls shall be supplied by the contracts to the workmen and

adequate facilities shall be provided to enable the working painters to wash during the process of work.. (ix) When the

work is done near any place where there is risk of drawing all necessary equipment should be provided and kept ready.

Prompt resource or any person in danger and adequate provision should be made for prompt first aid treatment of al l injuries likely to be sustained during the course of the work.

x) Use of hoisting machines and tackle including their attachments anchorage and supports shall conform to the following

standard or conditions.

1(a) Those shall be of good mechanical construction, sound materials and adequate strength and free from patent defect and

shall be kept in good repair and in good working order. (b) Every rope used in hoisting or lowering materials or as a means of suspension shall be of durable quality and adequate

strength and free from patent defects.

: 6 :

2. Every Crane driver or hoisting appliance operator shall be properly qualified and no person under an age of 21 years should be incharge of any hoisting machine including any scaffold winch or give signals to the operator.

3. In case of every hoisting machine and of every chain ring hook, shackle swivel and pulley block used in hoisting on lowering or means of suspension of the safe working load shall be ascertained by adequate means. Every hoisting

machine and all gear referred to above shall be plainly marked with the safe working load in case of hoisting machine having a variable safe working load each safe working load of the conditions under which it is applicable shall be clearly

indicated. No part of any machine or of any gear referred to any gear referred to above in paragraph shall be loaded

beyond the safe working load except for the purpose of testing.

4. In case of departmental machine, the safe working load shall be notified by the Electrical Engineer-in-charge.

As regards Contractor's machine the contractor shall notify the safe working load of the machine to the Engineer-in-charge whenever he brings any machinery to site of work and get it verified by the Electrical Engineer concerned.

(xi) Gearing, Transmission, Electric wiring and other dangerous parts of hoisting appliance should be provided with

efficient safeguard. Hoisting appliances should be provided with such means as will reduce to the minimum risk of accidental descent of the load adequate precaution should be taken to reduce the minimum risk of any part of suspended

load becoming accidentally displaced.

When workers employed on electrical installations which are already energised, insulating mats, wearing apparel, such

as Gloves, Sleeves and boots as may be necessary should be provided. The workers should not wear any rings, watches and carry keys or other materials which are good conductors of electricity.

(xii) All scaffolds, ladders and other safety devices mentioned or described therein shall be maintained in safe condition and no scaffolds ladder or equipment shall be altered or removed while it is in use. Adequate washing facilities

shall be provided at or near places of work.

(xiii) These safety provisions shall be brought to the notice of all concerned by display on a Notice Board at a prominent place at the work spot.The persons responsible for compliance of the safety code shall be named therein by the

contractor,

(xiv) To ensure effective enforcement of the rules and regulations relating to Safety Precautions, the arrangements

made by the contractor shall be open to inspections by the Labour Officer, Engineer-in-charge of the department or their representatives.

(xv) Notwithstanding the above clauses from (i) to (xiv) there is nothing in these to exempt the contractor from the operations of any other Act or Rules unforeseen in the

Republic of India

NORTHERN COALFIELDS LIMITED

DUDHICHUA PROJECT

GENERAL TERMS & CONDITIONS

1. DEFINITION:

(i) The word"Company' wherever occurs in the conditions, means the Northern Coalfields Limited represented at the Northern Coalfields Limited, Dudhichua by the CGM/GM of the Northern Coalfields headquarters or his authorised

representative or any other officer specially deputed for the purpose.

(ii) The word Contractor/Contractors wherever occurs means, the successful tenderer/ tenderers who has/have

deposited the necessary security/earnest money and has/have been given written intimation about the acceptance of tender.

2.Responsibilities of the Contractor/Contractors.

(i) The Northern Coalfields Limited, reserves the right to let other contracts in connection with the Project and the contractor/Contractors shall co-operate in the works for the introduction and stores and materials and execution of his/their

works.

(ii) The contractor/contractors shall keep on the work during the progress, a competent Superintendent and necessary assistant who shall represent the contractor in his/their absence. Important directions shall be confirmed to the

contractor(s)) in writing. If the contractor/contractors in course of the work find any discrepancy between the drawing forming part of the contract documents and the physical conditions of the locality or any errors or omissions in drawings

except these prepared by himself/themselves and not approved by the Engineer-in-charge, it shall be his/their duty to

immediately inform the Engineer- in- charge in writing and the Engineer-in-charge shall verify the same Any work done

after such discovery and without intimation as indicated above will be done at the risk of the contractor/ contractors .

(iii) The contractor/contractors shall employ only competent skilful and orderly men to do the work. The Engineer-

in-charge shall have right to ask the contractor/contractors to remove from the work site any men of the contractor/contractors who in his opinion is undesirable and the contractor/contractos will have to remove him within three

hours of such orders.

(iv) Precautions shall be exercised at all times for the protection of persons Including employees), and property. The safety required or recommendation by all applicable laws, cods, statutes, and regulations will be observed. In case of

accident, he/they shall be responsible for compliance with all the requirements imposed by the Workmen's Compensation

Act or any other similar laws in force, and shall indemnify the Company against any claim on this account.

: 2 : All the scaffoldings, ladders and such other structures which workmen are likely to use shall be examined by the

Engineer-in-charge or his authorised representative whenever they want and the structure must be strong durable and of

such design as required by them.

In no case any structure condemned by the Engineer-in-charge or his authorised representative shall be kept on the work and such work must be pulled down within three hours of such condemnation and any certificate or instruction . However,

shall in no way detract the contractor/contractors from his/their responsibility s an employer as the Company shall n no

way be responsible for any claim.

The contractor/contractors shall at all items exercise reasonable precautions for the safety of employees in the

performance of his/their contract and shall comply with all applicable provision for the safety laws drawn up by the State

or Central Government or Municipalities and other authorities in India. The contractor/contractors shall comply with the

provisions of the safety hand book as approved and amended from time to time by the Government of India.

(v) The contractor/contractors shall familiarise themselves with and be governed by all laws and rules of Indian and Local Statutes and orders and regulations applicable to is/their work.

(vi) Building for the sanitary necessities of all persons employed on the work shall be constructed and maintained in the number, manner and place approved or ordered by the Engineer-in-charge. The contractor/contractors shall vigorously

prohibit the committing of nuisance at any other place.

Cost of all works under this item shall be covered by the contractor/contractors tendered rates.

(vii) The contractor/contractors shall furnish the Engineer-in-charge or his authorised representative with work reports from the time to time regarding the contractor/contractors organisation and the progress by him/them in the

execution of the work as per the contract agreement.

(viii) All taxes, whether Local, Municipal, Provincial or Central etc. and cess royalties etc. those are payable or may become payable shall be to the contractor/contractors account and shall be deemed to have been included in the tender for

the work to be executed by him/them. The contractor/contractors will have to produce a certificate from the appropriate authorities of the State Government to the effect that all dues about royalties have been paid. This certificate will have to

be produced before the final payment made.

(1) On account of manufacture of bricks or collection of minerals in area (both virgin and non-virgin) acquired by the Company under the Coal Act, the contractor will have to produce a royalty clearance certificate from the District

Authorities before full and final payment. : 3 :

(2) In case the Company land is used for manufacture of bricks or extraction of gravels etc. the contractor will have to pay compensation of the Company apart from the liability of the contractor to make the payment of royalty etc. to the

State Government at the same rates of royalty fixed by the State Government or an appropriate deduction may be made in

the rate to be paid to the contractor.

(x) The contractor/contractors shall make their own arrangement for carriage of all materials to the wok site at

his/their own cost and supply of all water required for the contracted work and drinking water to his/their workmen.

(xi) The work shall not be sublet to any other party, unless approved by the Engineer-in-charge in writing.

(xii) No fruit tree or valuable plant or tees with truck diameter exceeding 6" shall be pulled destroyed r damages by

the contractor(s) or any of his/their employees without the prior permission of the Company, failing which the cost of such trees or plant shall be deducted from the contractor/contractors dues at the rate to be decided by the Company. The rates

quoted are supposed to include clearance of shrubs and jungles and removal of such trees upto 6" dia, as will be permitted

by the Engineer-incharge in writing.

(xiii) The contractor/contractors shall not pay less than the minimum wages to the labour engaged by him/them as per

Minimum Wages Act or such other legislation or award or the minimum wages fixed by the respective State Government as may be in force and in this matter the decision of the Company shall be final and binding.

(xiv) All account shall be maintained in English and the Company shall have the right of access and inspection of all such books of accounts etc. relating to payment of labour or considered necessary and the company may arrange for

witnessing the payment to the labour or by its representative.

(xv) The contractor/contractors shall in addition to any indemnity provided by law indemnify Company against all

liabilities whatsoever arising out of the Workmen's Compensation Act, 1923 or any enactment and amendments thereto and shall be wholly responsible for observance of all statutory rules and regulations under any act or award to the Govt. in force

in matters relating the employment, payment and retrenchment of labour. No claim shall lie against the Company for

damage done by any act of God or on account of circumstances beyond Company's control.

If in any matter which is not expressly provided for or against these condition of any matter or practice appears

prejudicial to the interest of the Company or the public, the Company may call upon the contractor/contractors to remedy,

modify or remove such matter or practice and this shall be binding on the contractor/contracors.

3. Statement of Approximate Quantities, Variations, Additions, .. … Alterations, Drawings and

Specifications.

The quantities noted in Schedule"A" are approximate and no claim shall be made against the Company for reduction or enhancement of quantities.

Any item of the work provided in the schedule and found not necessary during the progress of the work may be

omitted at the option of the Company and no claim shall lie against the Company on that account.

The Executive Engineer shall have power to make any alterations in or additions to the original Specification,

drawings and instructions that my appear to him to be necessary or advisable during the progress of the work and the

contractor/contractors shall be bound to carry out the work in accordance with any instructions which might be given to

them in writing signed by the Executive Engineer and such alterations shall not invalidate the contract and any additional work which the contractor/contractors may be directed to do in the manner above specified as part of the work, the work

shall be carried out by the contractor/contractors on the same conditions in all respects on which they agreed to do the main

work and at the same rates as per specified in the tender for the main work.

The time for the completion of the works hall be extended in the proportion that the additional work bears to

the original contract work and the certificate of the Executive Engineer-in-charge shall be conclusive as to such proportion

and if the additional work includes any class of work for which no rate is specified in this contract, then rates shall be fixed

as follows:

(a) If the item exists in the Company's schedule of rates it will be paid for the scheduled rates plus or minus the

percentage by which the tendered amount as quoted by the contractor/contractors for the whole work is above or below the estimated amount but.

(b) If the said item does not exist in the Company's schedule of rates then a new rate shall be framed by the Executive Engineer by analysis on current market rates of material and labour involved. In case of any difference between

the contractor/ contractors and the Executive Engineer the mtter will be referred to theChief(E&M) whose decision shall be

final and binding on the contractor/contractors.

Provided always that :-

(a) Contractor/contractors shall not be entitled to any payment for any additional work done unless he/they have

received an order in writing from the Executive Engineer for such additional work.

(b) The contractor/contractors shall be bound to submit his/their claim for any such additional work done during any month on or before the 15th day of the following month accompanied by the additional work.

(c) The contractor/contractors shall not be entitled to any payment in respect of such additional work if he/they fail

to submit his/their claim within the aforesaid period.

The work shall confirm strictly to the drawings and specifications. This will not however, prejudice the

Company's right to alter, increase modify, reduce or amend the work or any item thereof in which case the

contractor/contractors will have not claim to any payment or compensation whatsoever on account of any profit or advance which he might have derived from the execution of the work in full but for the reduction in work consequent upon such

alteration or curtailment.

The work may be stopped at any time by the Company giving the contractor or his agent on the works, seven days notice in the writing and the measurement of the works shall be made by the Executive Engineer concerned at any time fixed by

him in writing subsequent to the expiry of the said notice. The measurement shall be carried out at the said appointed time

not withstanding whether the contractor is present or not. On payment for the work done and approved as ascertained by

the said measurement the contractor shall have no further claims against the Company and the contractor shall not be entitled to claim any damages or compensation on that account.

Any claim as to measurement which the contractor(s) has to make shall be made in writing within seven days of

the date of measurement taken by the Executive Engineer as aforesaid and any claim in respect of such measurement made more than seven days after the taking of such measurement shall be deemed to have been waived by the contractor and

would not be maintainable.

4. Rates, Materials & Workmanship:

The rates quoted shall be for finished work inclusive of all materials of constrution.

The company will have full and final authority to reject any materials or work due to a defect therein and the

contractor/contractors shall forthwith remedy the defects a his/their own expenses and no further work shall be done in connection with particular building or portion of the building till such time as the defect is removed to the entire

satisfaction of the Engineer-in-charge.

If any time a materials of constructions is declared unsuitable by the Company such materials shall be forthwith

removed from the site and shall not be offered again for inspection or inclusion in the construction.

Accurate record of materials if supplied by the Company should be kept by the contractor/contractors and the record shall be open to check by Engineer-in-charge or his authorised representative.

The account of materials shall also be maintained in a register which shall be signed both the authorised representative of the Engineer-in-charge and the contractor/contractors. All materials, tools and plants brought shall be

deemed to be held in lien by the Company & the contractor/contractors shall not have the right to remove the same from

the site without the written permission of the Engineer-inchrge. However, the Company shall not be liable for any loss,

theft or damage due to fire or other causes sustained during this period of lien.

The contractor/contractors shall be responsible for correct and complete execution of the work in workmen like

manner with the materials as per specification which shall always be subject to the approval of the Company at all stages of work.

All work under or incourse of execution or executed in pursuance of the contract shall at all times be open to

inspection and supervision by the Engineer-incharge or by the Chief(E&M) or his authorised representative and the contractor/contractors shall allow the same and shall implement all instruction that may be given by the Company from

time to time.

The contractor/contractors shall give not less than one week's notice to the Company before covering up of

otherwise placing beyond the reach of measurement any work in order that the same be measured and finally inspected, and shall not cover up or otherwise place beyond reach any work without the written consent from the Company failing

which any such work may be uncovered at the contractor/.contractors expenses.

5. PAYMENT

"On account" payment may be made at inervals. Security deposit shall be released to the contractor after successful

completion of warrantee period. No interest is payable on amounts withheld under the item of the agreement.

The Company shall be liberty to deduct from the Security Deposit or from any other sum due or to become due

under this contract or under any other contract all sums that become due to the Company. All bills shall be pre-audited

before payment/payment, will be made by cheque only.

6. Date of Commencement, Rate of progress, Delay, Forfeiture and Penalties. The Contractor/contractors shall submit a construction schedule showing the order in which he/they proposed to

carry out the work, the date on which he/they will start the several salient features (including procurement of materials,

plant and the contemplated dates for completing the same). For the purpose of preparing the schedule, the work shall be

deemed to have commenced on expiry of 10th day from the date of issue of letter of intent or from the date of handing over the site for the work whichever is later.

The work should be commenced within 10days from the issue of the letter of acceptance from the Administration or from

the date of handing over the site for the work and complete on or before the ate of completion specified in the agreement.

(a) The time allowed for carrying out the work as entered in the Contract Agreement shall be strictly observed by the contractor/contractors and the time of completion of the work shall be reckoned from ten days after the issue of the

letter of the acceptance of tenders, or from the date of handingover the site for the work whichever is later. The work shall

throughout the stipulated period of the contract be carried on with all due dilligence to time. Time being deemed to be the

essence of the contract in case of failure on the part of the contrator/contractors and the contractor/contractors shall pay as Liquidated Damages as per Contract.

If the progress of any particular portion of the work is unsatisfactory the Executive Engineer shall not

withstanding that the general progress is satisfactory in accordance with Clause 6(a) be entitled to take action under the Clause 6(b) after giving contractor/contractors 10days notice in writing and the contractor/contractors will have no claim

for compensation for any loss sustained by them owing to such action.

(b) To employ another Agency for executing the job or labour paid by the Company and to supply materials to carry out the work of any part of the work debiting the contractor/contractors with the cost involved in engaging another agency

or the cost of the labour and the prices of the materials( or the amount of which cost and price certificate of the Executive Engineer shall be final and conclusive against the contractor/contractors) as the case may be and crediting then with the

value of work done, in all respect in same manner and at the same rates of the contract the certificate of the Executive

Engineer to the value of the work done shall be final and conclusive against the contractor/contractors.

7. Termination of Contract The Contract may be rescinded and the security deposit and other dues of this work or any other work done under

the Company may be forfeited and brought under the absolute disposal of the Company if in the opinion of the Company

(i) either the work is not progressing satisfactorily or is not likely to be completed within the stipulated time or (ii) if the

contractor/contractors fail to comply with the terms and conditions (iii) if it is found that the irregularities mentioned under Clause 2(xi) above have been committed.

8. Adjustment of the Dues

If any sum found due from and payable to the Company by the contractor/contractors in connection with any other

contrctor/contractors, the company shall have right and liberty to adjust the same out of the due under other contracts.

9. In respect of interpretation of any clause or item specification herein incorporated, the interpretation of the Chief(E&M) will be final and binding.

10. Every tenderer will be required to produce the particulars of Registration/Liecence of the competent authority under the

Contract Labour (Regulation & Abolition) Act 1970.

11. The contractor/contractors shall during the currency of the contract employ apprentices o specified periods as may be required in writing by the Engineer-incharge. The contractor/contractors shall train them as required under the Apprentices

Act 1961 and shall be responsible for all the obligation of the employer liabilities to make payment to apprentices as

required under the Act.

13. Supply of Materials.

(1) The contractor(s) will himself/themselves will be responsible to arrange all materials required for the work. However, wherever possible, the Company will provide him/them all possible help in the form of permit, authorisation etc. for the

procurement of the same.

(2) Coal, if required for brick burning purpose heating of bitumen for the work will be supplied at pit top, at the prevalent rate from time on payment of the cost thereof.

(3) The stores materials, if any, obtained by the contractor(s) from the Company store in excess of the actual requirement for

the work, the Company will charge the contractor(s)) the cost at doubles the rates for such materials as per contract for quantity in excess over the actual requirement thus drawn.

(4) The contractor(s) will himself/themselves will be responsible to arrange all materials required for the work. However, in case of cement,, the required quantity of cement to be procured by the contractor in pre-agreed phasing Each lot of cement

shall be stocked properly in appropriate site store by the contractor having double lock system. The cement is so procured

shall be used only after it is tested in appropriate laboratory for its quality the cost of testing shall be borne by the contractor. Sampling shall be made jointly by the representative of Company and the contractor cement procured by the

contractor shall be used in the work only after receipt of the test result. Further, collection and testing of cement should be

phased out to avoid any delay on use due to testing. Responsibility of this work shall lie on the contractor.

(5) All the materials to be supplied should be first deposited in the Regional Store and after inspection of the material the same can be issued for execution of the work.
