NOTICE INVITING TENDER

1. The Haryana Medical Services Corporation Limited - HMSCL is a fully owned Govt.
company set up by the Govt. of Haryana to act as the central procurement agency for
procuring all essential drugs, Ayush drugs, consumables and equipments for various
health care institutions of the State. HMSCL invites online bids from the eligible and
qualified bidders for Online Tender for the Rate Contract of tender documents for
empanelment of analytical testing laboratories for the analysis of allopathic & Ayush
Drugs, Surgical and Suture items
2. Bidding will be conducted through Open Competitive Bidding following a two Bid
System i.e. Technical Bid and Financial Bid as per procedure specified in the tender
document.

4. The date and time for opening of the Financial Bids shall be intimated after evaluation of
the technical bid.
5. In case date of opening falls on day which is declared public holiday, the bids shall be
opened on the next day at the same time.
6. Bidders requiring further information or clarification can obtain the same by writing

7. The bidders are advised to register themselves on the e-procurement
portal www.etenders.hry.nic.in and obtain valid Class III Digital Signature Certificate
(DSC) as per Information Technology (IT) Act, 2000. The said website can be accessed for
additional information about registration and use of Portal.
8. Bidders can submit its tender online at www.etenders.hry.nic.in on or before the dates
specified. The Hard copy of the Technical Bid only should also be submitted at the
address below latest by 5:00 PM hrs on 11.04.2016
9. (a) The Bid documents can be viewed at the websites www.etenders.hry.nic.in
www.haryanahealth.nic.in, www.nrhmharyana.gov.in and www.hshrc.gov.in Cost
towards the downloaded Bid documents, should be deposited in the manner as indicated
in the tender document HMSCL will only evaluate bids of bidders who have submitted
the cost of Bid Documents.
(b)The Bidders who have downloaded the Bid documents, shall be solely responsible for
checking the above website for any addendum/amendment to the bid document issued
subsequently , and take into consideration the same while preparing and submitting the
Bids.
(c)All further notifications/amendments, if any, shall only be uploaded on websites
mentioned at 9(a).
10 Bids must be submitted in the manner as specified in the instructions to bidders in the
tender document. Late Bid or Bids not submitted at the designated address will be
summarily rejected. Bidders’s representatives are invited to attend the prebid meeting
and bid opening.

A INTRODUCTION
A. 4.1 Haryana Medical Services Limited Corporation (HMSCL) undertakes testing of
all the Drugs and Consumables being supplied by various vendors. For this
purpose testing laboratories (Govt. and Private) of appropriate standard would be
selected through open e-tender. The samples would be sent to the successful bidder
and they would be required to conduct the tests as per the pharmacopoeial
specifications. The Managing Director HMSCL, Bays No. 59-62, Sector 2,
Panchkula, Haryana hereby invites tender for the Empanelment of Analytical
Testing Laboratories for the Analysis of Drugs, Surgicals and Suture Items.
1. . Cover- A (TECHNICAL BID):-
Cover A should contain the following documents and annexures.
(a) The Earnest Money Deposit (EMD) shall be Rs. 10,000/-. The Earnest Money Deposit
shall be paid in the form of Demand Draft in the favour of Managing Director,
Haryana Medical Services Corporation Limited, Panchkula , payable at Panchkula.
The EMD should be sent with the tender form in Cover-A. EMD in the form of
Cheque/Cash/Postal Order will not be accepted. The EMD will not earn interest.
(b) The tenderer shall submit a checklist of the list of documents enclosed and their
page numbers. (In the enclosed Performa at Annexure–I).
(c) Attested Photocopy of approval on Form 37 valid up to date, issued by the State
Licensing Authority (Annexure – II).
(d) Non Conviction Certificate for the last three years, issued by the competent
authority submitted along with tender as Annexure III.
(e) Self Attested Photocopy of sale tax/service tax return whichever is applicable for the
last three year, submitted along with the tender (Annexure IV)
(f) Self attested copy of Income Tax Return for the last two Financial Years i.e2014-15 &
2015-16 (Assessment Year 2015-16 & 2016-17) with copies of Balance Sheet and Profit
and Loss Account duly certified by the CA / Auditors for the last three financial
years i.e., 2013-14, 2014-15 & 2015-16 submitted as Annexure V a, V b.

(g) Documents to show that the Laboratory is accrediated by NABL, and certified by ISO
17025:2005 and is having Schedule L1 certificate from State Licensing Authority for
analysis attached as Annexure VI.
(h) Documentary evidence of having analysed Drugs /Surgical / Sutures for the 3
financial years 2013-14, 2014-15 & 2015-16 with a statement in the performa given in
Annexure VII indicating the numbers of tests done in each category.
(i) The following information in the formats given in Annexure VIII a to VIII c.
a) The list of qualified analysts approved from Drug Controller employed in the
laboratory showing the qualifications and experience of each with work assigned
and number of other employees.
b) The list of sophisticated instruments like HPLC, GC, FTIR, UV-VIS, Atomic
Absorption Spectrophotometer etc. available in the laboratory with detail of
specified instruments and list of reference standards.
c) Micro Biological facilities available in the laboratory and list of stock cultures.
(j) A declaration in the performa given in Annexure IX duly signed and notarized on a
Stamp paper of Rs. 100/-.
(k) Details of Laboratory in Annexure X.
(l) The tenderer should sign the bottom of all pages of the tender document with official
seal and enclose it in cover “A”.
(m) The labs will require to intimate the total capacity of testing the samples per
month and how much they will be able to test for Haryana Medical Service
Corporation Limited, Haryana (Annexure XI).
(n) List of Clientele of the laboratory for whom they did analysis in the previous year
duly certified by Charted Accountant in (Annexure XII).
4. 2 (Financial Bid):-
(a) The rates of testing charges of drug items filled in the BOQ/Financial Bid through
online process by bidders, as the rates and discount quoted should be exclusive of
taxes and other statuary charges. All other taxes and statuary charges should be
mentioned separately.
This tender is a e-tender and only on-line bid submission is possible. The e-tender
portal is designed by National Informatics Centre (NIC). The two bid system,
which is followed, has been designed to eliminate those bidders which do not
match the technical specifications, or not having the proven technology and to
eliminate firms that do not have the financial or technical capability to test the
Drug items.

4.3 Cost of Bidding
(a) Bid fee: The bid fee along with the processing charges amounting to Rs 2500/- shall be
deposited in the form of DD/Banker cheque in favour of Managing Director, HMSCL,
payable at Panchkula. The bid fees shall be deposited in the office of HMSCL before the last
date and time of bid submission. The bidder shall submit the scanned copy of DD/Banker’s
cheque along with the technical bid online. The bid fees should be submitted separately for
each bid and the bids should be submitted for items listed in the Schedule of Requirement.
The bid fee is nonrefundable.
(b) The Bidder shall bear all costs associated with the preparation and submission of its bid
and HMSCL will not be liable for the cost incurred, regardless of the outcome of the bidding
process.

A: THE BIDDING PROCEDURE
5.1 Bidding Procedure:
Pre-Contract :The online bidding process comprises of downloading the tender
document, prebid meeting if applicable, bid submission comprising of online and physical
(hard copy) submission of technical bid and only online submission of financial bid,
opening of technical bid and short-listing of technically responsive bids , opening of
financial bids, Notification of Award and signing of contract.
Post- Contract: Ordering, quality testing, payment & contract management as per terms &
conditions of Rate Contract.
5.2 Bid confidentiality and Clarification of Bidding Documents:
Bid confidentiality: It is expected from all the bidders that they will ensure that the
document to be used in the bid set will be given to reliable
person, and that a fully reliable person shall be authorized for digital signatures so that the
confidentiality of the bids/ rates is maintained up to bid opening & that no documents are
put to any misuse.
A prospective Bidder requiring any clarification of the Bidding Documents may notify the
HMSCL in writing at the HMSCL’s email indicated in the NIT. The HMSCL will respond in
writing to any request for clarification of the Bidding Documents which it receives between
date of publication and 7 days prior to the deadline for submission of bid. Written copies of
the HMSCL’s response (including an explanation of the query but without identifying the
source of inquiry) will be sent to all prospective Bidders trough email at the address quoted
by them or put on website.
B: PRE-BID AMENDMENTS OF BIDDING DOCUMENT
5.3 Pre-Bid Meeting:
5.3.1 The bidder or his official representative is invited to attend a pre-bid meeting which
will take place at Haryana Medical Services Corporation at conference Hall on 04.04.2016 at
11:30 AM
5.3.2 The purpose of the meeting will be to clarify issues and to answer questions on any

matter related to the tender.
5.3.4 The Bidder is requested to submit any questions which he intends to raise in writing by
post or by email at least two working days in advance before the meeting.
5.3.5 Minutes of the meeting, including the text of the questions raised (without
identifying the source of enquiry) and the responses given will be published on official
website/s.
5.3.5 Non-attendance at the pre-bid meeting will not be a cause for disqualification of a
bidder. However it shall be presumed that there is no clarification needed at the end of such
bidder. However amendments if any carried out shall be applicable to all the bidders
irrespective of his not going through clarifications on the website.
5.4 Amendment of Bidding Documents
a) At any time prior to the deadline for submission of bids, the tester may, for any reason,
whether at its own initiative or in response to a clarification requested by a prospective
bidder, modify the Bidding Documents by an amendment.
b) All prospective bidders will be informed of the amendments by publishing on the e-
tendering portal.
c) In order to allow prospective bidders reasonable time to make amendments in preparing
their bid, the HMSCL may, at its discretion, extend the deadline for the submission of
bids.
C. PREPARATION OF BIDS
5.5 Language of Bid
The Bid prepared by the bidder and all correspondence and documents relating to the
bid exchanged by the Bidder and the HMSCL, shall be written in the English language.
Supporting documents and printed literature furnished by the Bidder may be written in
another language provided they are accompanied by an accurate translation of the
relevant passages in the English language in which case, for purposes of interpretation
of the Bid, the English translation shall govern.

The detailed technical specifications and terms and conditions governing the quality
testing, payment are contained in the Tender Document. The online documents shall be
submitted through the e-tender portal www.etenders.hry.nic.in. Bidders have to enroll
themselves in the e-tender portal and digital signature certificate is required. Bidders
should have a Class II or above Digital Signature Certificate (DSC) to be procured
from any Registration Authorities (RA) under the Certifying Agency of India. Once,
the DSC is obtained, bidders have to register on www.etenders.hry.nic.in website for
participating in this tender. Website registration is a one-time process without any
registration fees. However, bidders have to procure DSC at their own cost. Bidders may
contact e-Procurement support desk of HMSCL through email: [email protected] for
assistance in this regard. The Technical Bid should be uploaded as scanned documents into
the NIC portal and a hard copy submitted separately. The blank price bid should be
downloaded as an Excel sheet, filled and uploaded. While preparing the Bid, the Bidder
should ensure that:
(a) All documents should be signed and sealed by the bidder on each page. The Photocopies
should be self-attested and stamped by the bidder and on each page.
(b) Documentary evidence establishing that the Bidder is eligible to bid and is qualified to
perform the contract if its bid is accepted;

(c) Documentary evidence establishing that the goods and ancillary services to be supplied
by the Bidder shall conform to the Bidding Documents; and
(d) Bid Security furnished in accordance with Clause 5.14.
5.7 Bid Offer
i) All the quotes shall be in Indian Rupees only.
ii) Price Bid has to be submitted online only. No price bid should be submitted manually
otherwise bid shall be liable to rejection.
iii) There should not be any alteration or condition in the tender. If the same is found then
tender is liable to be cancelled.
5.8 BID PRICE
a) Bid Prices would comprise of the following:
Basic Price: The price of the testing of Drug items /Suture/Consumables Basic price
shall also include loading unloading& stacking, all other taxes, duties & levies and
incidental services if applicable.
Sales Tax/VAT: Applicable Sales Tax/VAT shall be quoted in this column in numeric
values and in Rupees (If the field is left blank, value will be taken as zero).
b) The details of the testing of Medicines and Medical Consumables are shown in schedule
of requirements.
c) The rates quoted and accepted will be binding on the bidder for full contract period as per
the validity of contract from the date of signing of agreement and any request for increase in
price will not be entertained till the completion of this tender period. Accordingly this clause
will be applicable for all testing orders placed during the contract period.
d) No bidder shall be allowed at any time on any ground, whatsoever it may be, to claim
revision or modification in the rates quoted by him. Representation to make correction in the
tender documents on the ground of Clerical error, typographical error, etc., committed by
the bidders in the Bids shall not be entertained after submission of the tenders.
e) The Pharmacopeial specification mentioned in schedule of requirement are only
indicative.

5.9. Bid Security
a) The Bidder shall furnish, as part of its bid, bid security for the amount Rs. 10,000 for all
items. No exemption from payment of bid security is permitted
b) The bid security is required to protect the HMSCL against risk of Bidders conduct
which would warrant the security’s forfeiture.
c) The bid security shall be in Indian Rupees and shall be in one of the following forms:
A demand draft/ Bankers Cheque obtained from any scheduled bank in favour of
Managing Director, Haryana Medical Medical Services Corporation Limited, payable at
Panchkula. EMD/Bid security shall be deposited in the o/o HMSCL before the last date and
time of bid submission. The bidder shall submit the scanned copy of DD/Banker’s cheque
along with the technical bid online.
d) Any bid not secured in accordance with Clauses 5.9 (a) and (c) above will be rejected by
the HMSCL as non-responsive
e) Unsuccessful bidders bid security will be discharged/returned as promptly as
possible but not later than 30 days after the expiration of the period of bid validity
prescribed by the HMSCL. Bid security shall not carry any interest and shall be refunded
without any interest.
f) The successful bidder's bid security will be discharged upon the bidders signing the
contract, and furnishing the performance security.
g) The bid security may be forfeited:
(i) if a bidder withdraws its bid during the period of bid validity specified by the
Bidder on the Bid form; or
(ii) in case of a successful bidder, if the bidder fails:
to sign the contract in accordance with schedule specified in the Contract
to furnish performance security
5.10. Period of Validity of Bids
a) Bids shall remain valid for 180 days after the date of bid opening prescribed by the

HMSCL. A bid valid for a shorter period may be rejected by the HMSCL as non-responsive.
b) In exceptional circumstances, the HMSCL may solicit the bidders consent for an
extension of the period of bid validity. The request and the responses thereto shall be made
in writing by e-mail. The bid security provided shall be suitably extended as mutually
agreed. A bidder may refuse the request without forfeiting its bid security. A bidder
granting the request for extension is not permitted to modify its bid.
5.11. Signing of Bid
The bid shall be signed by the Bidder or a person or persons duly authorized to bind
the Bidder to the Contract. The letter of authorization shall be indicated by written power-
of-attorney accompanying the bid. All pages of the bid, except for unnamed printed
literature, shall be initialed by the person or persons signing the bid.
D. SUBMISSION OF BIDS
5.12. Sealing and Marking of Bids
a) The bidder shall seal the “Technical bid”and submit the documents as part of
Technical Bid with following caption on the envelop along with online submission of
the same.

b) The inner envelopes and outer envelopes and the cover shall be addressed to the
HMSCL at the following address:

bear the NIT number and the word “Do not open before 05:00 PM on 11.04.2016.”
c) The inner envelopes shall indicate the name and address of the bidder to enable the
bid to be returned unopened in case it is declared “late”.
d) If the cover containing the outer envelope is not sealed and marked the HMSCL will

assume no responsibility for the bid’s misplacement or premature opening.
5.13. Deadline for Submission of Bids
a) Bids must be received by the HMSCL at the address specified not later than
the time and date specified in the NIT. In the event of the specified date for the
submission of bids being declared a holiday, the bids will be received up to the
appointed time on the next working day.
b) The HMSCL may, at its discretion, extend this deadline for submission of bids
by amending the bid documents, in which case all rights and obligations of the
HMSCLs and bidders previously subject to the deadline will thereafter be subject
to the deadline as extended.
5.14. Late Bids
Any bid received by the HMSCL after the deadline for submission of bids prescribed
by the HMSCL, will be rejected and/or returned unopened to the Bidder.
5.15. Modification and Withdrawal of Bids
a) The bidder may modify or withdraw its bid after the bids submission, provided that
written notice of the modification or withdrawal is received by the HMSCL prior to the
deadline prescribed for submission of bids.
b) The bidders modification or withdrawal notice shall be prepared, sealed, marked and
dispatched .A withdrawal notice may also be sent by email but followed by a signed
confirmation copy, to reach HMSCL office not later than the deadline for submission of bids.
c) No bid may be modified or allowed to be withdrawn subsequent to the deadline for
submission of bids and withdrawal of the bid subsequent to deadline of submission of bids
shall result in the bidders forfeiture of its bid security.
E. BID OPENING AND EVALUATION
5.16. Opening of Bids by HMSCL
a) The HMSCL will open only the Technical bids of all bidders, in the presence of bidder's
representatives who chose to attend, at 12.00 PM on 12.04.2016 at the location specified in
the NIT or changed location as notified.

The bidder’s representatives who are present shall sign a register evidencing their
attendance. In the event, the specified date of bid opening is declared a holiday, the bids
shall be opened at the appointed time and location on the next working day.
b) The bidder’s names, modifications, bid withdrawals and the presence or absence of the
requisite bid security and such other details as the HMSCL, at its discretion, may consider
appropriate will be announced at the opening. No bid shall be rejected at bid opening,
except the late bids, which shall be returned unopened to the bidder or the bids without
security.
c) The HMSCL will prepare minutes of the bid opening.
d) The “Financial Bid” will be opened after evaluation of “Technical bids” and the date and
time of opening of financial bid will be intimated to bidders whose bids are responsive and
who are selected by the HMSCL. Opening of Financial bid will be intimated only online.
5.17. Clarification of Bids
During evaluation of bids, the HMSCL may, at its discretion, ask the bidder for clarification
of the bid. The request for clarification and the response shall be in writing and shall be
submitted then and there by authorized person.
5.18. Bid Evaluation:
Bids will be evaluated by Bid Evaluation Committee constituted by the HMSCL. The
decisions of the Bid Evaluation Committee on whether the tenders are responsive or
non-responsive or requiring clarifications will be published. The Bid Evaluation would
comprise of the following steps:
a) Eligibility Evaluation
b) Technical Evaluation
c) Financial Evaluation
a) Eligibility Evaluation: The Bid will be evaluated for Eligibility Criteria set out in
Section III of this DNIT

b) Technical Evaluation: For evaluation The Bid evaluation committee would
scrutinize documents submitted by the Bidder, seek clarifications wherever required,
undertake demonstration, conduct test from labs, technically evaluate the item on the
specifications in the DNIT. The HMSCL reserves the right to carry out inspection of
bidder’s premises for assessing the capacity/capability/eligibility of the firm to make
supplies and to ensure that good Laboratory practices are being followed by
Laboratories..
The bidder will be informed of the deficiencies in the bids if any and will be given
time by the HMSCL to clarify the deficiencies.
c) Financial Evaluation
i) Financial bids submitted online will be opened of all the technically qualified bidders. The
total of all costs be will be taken for evaluation and bid ranking.
ii) For the purpose of financial evaluation of bids all technically qualified bid will opened
and L1 will be identified. As testing of Drug is a confidential matter so there is need to have
more than one empanelled lab for each drug so all technically approved bidders will be
called and asked for matching the L1 rates.
5.19. Contacting the HMSCL
a) Subject to Clause 5.22 no bidder shall contact the HMSCL on any matter relating to its
bid, from the time of bid opening to the time the contract is awarded.
b) Any effort by a bidder to influence the HMSCL in the HMSCL bid evaluation, bid
comparison or contract award decisions may result in rejection of the bidders bid.
c) The bidders shall not make attempts to establish unsolicited and unauthorized contact
with the Tender Inviting Authority or Tender Scrutiny Committee or Tender accepting
authority, after opening of the bids and prior to the notification of award and any attempt
by any bidder to bring to bear any extraneous pressures on any Authority bidder shall be
sufficient reason to disqualify the bidder.
d) Notwithstanding anything contained in clause 5.20, the Tender Inviting Authority or the

Tender Accepting Authority, may seek bona fide clarifications from bidders relating to the
bids submitted by them during the evaluation of bids, and the bidder will reply back within
seven calendar days with the documentary proof.
F. AWARD OF CONTRACT
5.20 Post Qualification
a) In the absence of pre-qualification, the HMSCL will determine to its satisfaction
whether the bidder that is selected as having submitted the lowest evaluated responsive bid,
meets the criteria specified in Clause 5.18 and is qualified to perform the contract
satisfactorily.
b) The determination will take into account the bidders financial, technical and testing
capabilities. It will be based upon an examination of the documentary evidence of the
bidders qualifications submitted by the bidder, pursuant to Clause 5.12, visit to Bidder’s
premises as well as such other information as the HMSCL deems necessary and appropriate.
c) An affirmative determination will be a pre-requisite for award of the contract to the
bidder. A negative determination will result in rejection of the bidders bid, in which event
the HMSCL will proceed to the next lowest evaluated bid to make a similar determination of
that bidders capabilities to perform satisfactorily.
5.21 Award Criteria
Subject to Clause 5.18, the HMSCL will award the contract to the successful bidder whose
bid has been determined to be substantially responsive and has been determined as
the lowest evaluated bid, provided further that the bidder is determined to be qualified to
perform the contract satisfactorily.
5.22. HMSCL right to vary quantities at time of award
a) The HMSCL reserves the right at the time of award of contract to increase or decrease
the quantity of goods and services originally specified in the schedule of requirements
without any change in unit price or other terms and conditions.
b) HMSCL reserves the right to accept any bid and to reject any or all bids or cancel the bid.
The HMSCL reserves the right to accept or reject any bid, and to annul the bidding process

and reject all bids at any time prior to award of contract, without thereby incurring any
liability to the affected bidder or bidders or any obligation to inform the affected bidder or
bidders of the grounds for the HMSCL’s action.
5.23. Notification of Award and Letter of Offer
Prior to the expiration of the period of bid validity, the HMSCL will notify the successful
bidder in writing by registered letter or by email or fax. This would be treated as a Letter of
Offer. At the same time, the HMSCL will send the bidder the contract form provided in the
bidding documents for signature.
5.24. Acceptance of Award
Soon after the notification of award the successful Bidder shall submit the letter of
acceptance / confirmation to the HMSCL for the execution of contract along with
Performance Security. The bidder will submit the performance security and signed contract
form within 7days. HMSCL reserves the right to extend this period by another seven days.
After 7 days or the extended period the notice of award shall be withdrawn and Bid Security
shall stand forfeited.
5.25. Performance Security
a) Within 7 days of the receipt of notification of award from the HMSCL or extended period,
the successful bidder shall furnish the performance security in prescribed/specified form
in accordance with the conditions of contract.
5.27. Signing of Contract
a) Within 7 days of receipt of notification of award or extended period the successful bidder
shall sign the contract agreement.
b) Failure of the successful bidder to comply with the requirement shall constitute sufficient
grounds for the annulment of the award and forfeiture of the bid security, in which event
the HMSCL may make the award to the next lowest evaluated bidder or call for new bids.

AGREEMENT
This agreement is made and is being entered into on this ________day of ________
2015, between the Haryana Medical Services Corporation Limited (HMSCL) acting through
Managing Director, Haryana Medical Services Corporation Limited (HMSCL), Haryana
having its office at Sector 2, Panchkula (hereinafter referred to “HMSCL”) which term or
expression unless excluded by or repugnant to the subject or context shall mean and include
its successors in office and assigns of the First Part,
AND
__________________________________, a company registered under the Companies Act,
1956 (Act 1 of 1956) registered firm, having its registered office at _______________ acting
through Chief Executive Officer (CEO) duly authorized to enter into agreement (hereinafter
referred to as “Service Provider”) of the Second Part (‘HMSCL’ and ‘Service Provider’ shall
individually be referred to as “Party” hereto and collectively as “Parties”).
Whereas,-
(a) The Service Provider has agreed to test the Drugs, Consumables, Surgical and
suture items for the HMSCL with specifications mentioned in the Schedule A,
attached hereto and mentioned at the prices noted there against; and
(b) The Service Provider has deposited with the HMSCL a performance
guarantee for a sum Rs. 30,000/- in the shape of fixed deposit for due and
faithful performance of this agreement failing which Performance Guarantee
shall be liable to be encashed by HMSCL.
Now, therefore, for the mutual promises and consideration set out herein, the
Parties have agreed to the following terms and conditions, namely:-
1.1 DEFINITIONS
For the purposes of this Agreement unless the subject or context otherwise requires, the
following terms expressed shall mean as under,-

1.1.1 “Agreement” shall mean and include the terms and conditions including amendments,
contained in the invitation to tender floated for the empanelment of Analytical Testing
laboratories for the test and analysis of Drugs, Consumables, Surgical and suture items
for HMSCL for the period of agreement, the instruction to tenderers, the conditions of
tender and acceptance of tender, particulars hereinafter defined and those general and
special conditions that may be added from time to time. It shall also mean this
agreement together with its Schedules, Appendices and Annexures. The following
Schedule, shall also be a part of the agreement:
1. Schedule A : List of item, specifications with approved testing charges
(inclusive of all taxes).
1.1.2 “Agreement period” shall mean a period of two years from the Effective Date as
specified in this agreement.
1.1.3 “Applicable law” shall mean the laws and any other instruments having the force of
law in India as they may be issued and in force from time to time.
1.1.4 “Lab” shall mean the Provider of Services to HMSCL, as defined under the agreement.
1.1.5 “Effective Date” shall mean the date of signing of this agreement by both the parties.
1.1.6 “Government” shall mean the Government of Haryana.
1.1.7 “HMSCL” shall mean Haryana Medical Services Corporation Limited including its
successor in office and its assigns.
1.1.8 Other terms used in this agreement but not defined shall have the same meaning as
assigned to such terms under the Drugs and Cosmetics Act, 1940 and rules framed
there under, as the case may be, as amended from time to time.
1.2 TERM AND TERMINATION
1.2.1 Unless otherwise terminated earlier, the term of this agreement shall be valid for a
period of two years starting from Effective Date.
1.2.2 Parties to this agreement may mutually agree in writing to extend the term and/or
scope of this agreement or modification to other terms governing this agreement.
1.2.3 This agreement can be terminated by the HMSCL in case:-

(a) The Service Provider fails or neglects or refuses to faithfully perform any of the
covenants on his part herein contained. On termination, it shall be lawful for the
HMSCL to terminate and encash the performance guarantee furnished by the
Service Provider vide this agreement.
(b) The Service Provider fails, neglects, or refuses to observe, perform, fulfill and keep,
all or any one or more or any part of any one of the Covenants, stipulation and
provisions herein contained.
it shall be lawful for the HMSCL on any such failure, neglect or refusal, to put an
end to this Agreement and thereupon every article, cause and thing herein
contained on the part of the HMSCL shall cease and be void, and in case of any
damage, loss, expenses, difference in cost or other moneys / performance guarantee
from out of any moneys for the time being payable to the Service Provider under
this and/or any other Contract. In case such last mentioned moneys are insufficient
to cover all such damages, losses, expenses, difference in cost and other moneys as
aforesaid, it shall be lawful for the HMSCL to appropriate the Performance
Guarantee made by the Service Provider as herein before mentioned to reimburse /
compensate all such damages, losses, expenses, difference in cost and other money,
as the HMSCL shall have sustained, incurred or been put to by reason of the Service
Provider having been guilty of any such failure, negligence or refusal as aforesaid or
other breach in the performance of this agreement.
(c) If at any time during the course of the agreement, it is found that any information
furnished by the Service Provider to the HMSCL, either in his Tender or otherwise,
is false, the HMSCL may put an end to the Contract/Agreement wholly or in part
and thereupon the Performance Guarantee made by the Service Provider shall be
forfeited and encashed.
1.2.4 The HMSCL reserves the right to terminate the agreement in whole or in part and after
giving a 30 days notice in writing to the Service Provider. The Service Provider will not
be entitled for any compensation whatsoever in respect of such termination of the
Contract/Agreement by the HMSCL.
The termination of this agreement in whole or in part under these conditions shall not

be affected by the acceptance, meanwhile or subsequently of reports accepted or made
at any station whether in ignorance of the termination or otherwise
1.3 FRAUDULENT PRACTICES, BRIBERY AND CORRUPTION
The Service Provider represents and undertakes that it has not given, offered or
promised to give, directly or indirectly any amount, gift, consideration, reward,
commission, fees, brokerage or inducement to any person in service of the Government
in procuring the Contract or forbearing to do or for having done or forborne to do any
act in relation to the obtaining or execution of the Contract or obtaining a contract or
showing or forbearing to show favour or disfavour to any person in relation to the
Contract. Any breach of the aforesaid undertaking by the Service Provider or any one
employed by it or acting on its behalf or for its benefit (whether with or without its
knowledge) or the commission of any offence by the Service Provider or anyone
employed by it or acting on its behalf, as defined in the Prevention of Corruption Act,
1988 (Act 49 of 1988) or any other Act enacted for the prevention of corruption shall,
without prejudice to any other legal action, entitle the HMSCL to cancel the agreement
either wholly or in part and forfeit and encash the performance guarantee.
The Service Provider shall not be in any way interested in or concerned directly or
indirectly with, any of the Officers, Subordinate or Servants of the HMSCL in any
trade, business or transactions nor shall the Service Provider give or pay or promise to
give or pay any such officer, subordinate or servant directly or indirectly any money or
fee or other consideration under designation of “Custom” or otherwise; nor shall the
Service Provider permit any person or persons whomsoever to interfere in the
management or performance hereof under power of attorney or otherwise without the
consent in writing of the HMSCL obtained in first hand. If at any time during the
course of the Contract the same is found, the agreement shall be terminated and the
Service Provider blacklisted without giving any notice in writing and performance
guarantee shall be forfeited and encashed.
1.4 INSPECTION OF LABORATORIES
In respect of analysis of items in Schedule A, the Service Provider shall allow
inspection of the laboratory and verification of the relevant documents at any time
during the continuance of the tender period by team of experts / officials whom the
HMSCL may depute for the purpose. The Service Provider shall extend all facilities to
the team to enable them to inspect sample, storage, reagents, instruments, all relevant

records, analysis etc. in the lab. The Managing Director, HMSCL or his authorized
representatives may also inspect any laboratory empanelled, at any point of time
during the continuance of the contract/agreement and terminate its empanelment and
blacklist the laboratory based on violations brought out during such inspections.
1.4.1 Non-assignment- The Service Provider shall test the drugs, consumables, surgicals and
suture items in its lab and shall not assign any sample for testing to any other lab.
1.5 PENALTIES
1.5.1 On empanelment and entrustment of the job.-
(a) The Service Provider shall acknowledge the receipt of sample by online

(b) The Service Provider shall furnish the test reports within the time specified below:
I. 8 days of receipt of the sample in case of items not requiring sterility test.
II. 21 days of receipt of the sample in the case of items requiring sterility test.
III. Within 24 hrs. of the receipt of the sample, the information in appropriate
format should be uploaded on designated website or web portal.
Provided that the Managing Director, HMSCL may on sufficient cause being
shown or under exceptional circumstances beyond the control of Service
Provider, condone the delay upto two days in case of acknowledgement of
samples and two weeks in case of report.
1.5.2 I. For delay upto 10 days, after the stipulated time, 5% of the testing charges per
day would be deducted as penalty upto 100% of the maximum of testing charges
of that particular test.
II. If the delay upto 10 days occur consecutively for four times, or more than 8 times
in a year, then the penalty for subsequent delays would be 10% of testing charges
per day upto 100% of the maximum of testing charges of that particular test.

If the delay is more than 10 days after the stipulated time, 10% of the testing
charges per day would be deducted as penalty upto 100% of the maximum of
testing charges of that particular test for subsequent delays.
If there are five consecutive instances of any delay in the reporting of the results
by the empanelled laboratories, the agreement clause may be annulled.
1.5.3 To assess the correctness of the test results being given by the Service Provider, random
samples could also be sent simultaneously to the Government Analyst or atleast to two

other empanelled laboratories for testing and if any variation is found, the result would
be informed to the Service Providers. If there is any variation in the analytical reports
furnished by the Service Providers and the report of the Government Lab or other
empanelled lab for 3 times in assay test and 4 times for other than assay, in a year, the
agreement shall stand terminated and Service Provider blacklisted for a period of five
years after following the due process. On termination, the performance guarantee shall
stand forfeited and encashed.
a. All the tests mentioned in IP/BP/USP/Drugs & Cosmetics Act. , BIS Etc., (as the
case may be) should be carried out for each and every sample. The results obtained
in the test should be mentioned in figures (wherever possible).
b. In all reports where there is some value assigned to result then the report should
mention the actual value and permissible limits.
c. COMPLIES” or “PASSES” in the result column of the report will be treated as
incomplete report, if the result has some value.
d. Every test report must have remarks i.e. of Standard Quality or Not of Standard
Quality.
e. Reports should be sent on Form-39 as specified in Drugs and Cosmetics Rules
1945.
f. Reports should have Sr.No., Description of tests, Specifications & Results.
g. Reports should be attached along with Spectra / Chromatography data sheets if
applicable or any other relevant graphs required.
h. Report should be uploaded on the designated website and simultaneously sent to
designated E-mail.
i. All test reports should be submitted to the Managing Director, Haryana Medical
Services Corporation Limited in triplicate. In case of failure of a sample, the result

should be communicated immediately to the Managing Director, Haryana
Medical Services Corporation Limited through phone / Fax / E-mail and the report
should be sent with protocol.
j. Against each test the Analytical Laboratory must mention the following details in a
separate sheet:
a. Name of the Reference Standard
b. Lot no. of Pharmacopoeial Reference Standard
c. Date and number of test certificate of reference standard in case of
Pharmacopoeial Reference Standard.
k. If in any circumstances (like break down of instrument, non availability of reference
standard etc.) the Analytical Laboratory is unable to undertake analysis for a
sample, the same should be reported within 24 hours of receipt of such a sample by
FAX or Email and the sample should be returned to the Managing Director,
Haryana Medical Services Corporation Limited.
l. If any sample is received in a damaged condition by the laboratory, the sample
should not be analysed and the information should be sent immediately to the
Managing Director, Haryana Medical Services Corporation Limited by FAX or E-
mail.
m. The Managing Director, Haryana Medical Services Corporation Limited or his
authorized representative(s) has / have the right to inspect the laboratories of the
tenderers who have submitted tenders, before taking any decision regarding
empanelment. Similarly, the Managing Director, Haryana Medical Services
Corporation Limited or his authorized representatives may also inspect any
laboratory empanelled, at any point of time during the continuance of the
tender and terminate / cancel its empanelment or any orders issued to the
laboratory or not to entrust any further testing job to the laboratory based on facts
brought out during such inspections.
n. No payment will be made for the incomplete analysis or incomplete report.
o. HMSCL will reject the tenders of blacklisted Laboratories.

1.5.4 Non performance of any tender or empanelment conditions will disqualify the Service
Provider to participate in the tender process for the next five years.
1.5.5 If it is revealed that the Service Provider is involved in any form of fraud, corruption or
malpractices and collusion with the HMSCLs of Health Department of Haryana
Government, the Service Provider will be blacklisted for a period of five years and
performance guarantee forfeited/encashed. The Service Provider shall also be liable for
action under criminal law.
1.5.6 No payment shall be made for the incomplete analysis or incomplete report.
1.5.7 In the event of any dispute arising out of the contract/agreement such dispute would be
subject to the jurisdiction of the civil courts at Panchkula alone.
1.5.8 During the course of the agreement if it is found that the Service Provider/ Laboratory
has been blacklisted by any National Standardizing body/Government body of any
State for malpractices or its NABL accreditation or its certification regarding GLP is not
renewed, then the lab shall be blacklisted and contract shall be terminated after giving
notice of thirty days in writing and performance guarantee shall be forfeited/encashed.
1.6 RECOVERY OF MONEYS DUE TO THE HMSCL FROM THE LABORATORY
All expenses, damages and other moneys payable to the HMSCL by the Service
Provider under any provision of this agreement may be recovered from the amounts
due from the HMSCL and in case such amounts are insufficient to fully cover such
expenses, damages or other money payable, it shall be lawful for HMSCL to recover
the balance amount from the Performance Guarantee of the Service Provider and all
other money held by the HMSCL. In case where Performance Guarantee is insufficient,
then it shall also be lawful for the HMSCL to recover the balance of the said expenses,
damages and moneys, if necessary, by resorting to legal proceeding against the Service
Provider.
1.7 FEES AND PAYMENTS; SUBMISSION OF BILLS FOR UNDERTAKING

No advance towards any analysis will be made to Service Provider. All payments will
be made against valid invoices/bills through banking channels after deduction of
income tax as per the provision of Income Tax Act, 1961,. The invoices/bills should be
raised on monthly basis by the Service Provider in view of test reports submitted by
him during the month.
1.8 BANKRUPTCY OF THE SERVICE PROVIDER
In case the Service Provider at any time during the continuance of the Contract
becomes bankrupt or insolvent or commits any act of bankruptcy or insolvency under
the provisions of any law in that behalf for the time being in force, it shall be lawful for
the HMSCL to put an end to the agreement, and thereupon every article, clause and
thing herein contained to be operative on the part of the HMSCL, shall cease and be
void and the HMSCL shall have all the rights and remedies given to him under the
preceding clauses.
2.0 SERVING OF NOTICE ON SERVICE PROVIDER
2.0.1 All notices or communication relating to or arising out of this agreement or any of the
terms thereof shall be considered duly served on or given to the Service Provider if
delivered to him, left or affixed at his premises, place of business or where the Service
Provider ordinarily resides.
2.0.2 It is hereby agreed and declared between the parties hereto that in case any question of
dispute arises touching the construction or wording of any of clause herein contained
on the rights, duties, liabilities of the parties hereto or any other way, touching or
arising out of the presents, the decision of the Managing Director, HMSCL in the
matter shall be final and binding.
2.1 DISPUTE RESOLUTION
Any dispute or difference, whatsoever, arising between the Parties to this agreement
arising out of or in relation to this agreement shall be resolved by the Parties through
mutual consultation, in good faith and using their best endeavors. To this end, the
Parties agree to provide frank, candid and timely disclosure of all relevant facts,
information and documents to facilitate discussions between them/ their
representatives or officers.

2.2 ARBITRATION
If a dispute is not resolved amicably in accordance with clause 2.1 within 30 days or
such extended period as the Parties may mutually agree, the Parties or either of them
may refer the dispute to a sole Arbitrator to be appointed by the mutual consent of both
the Parties herein. If the Parties cannot agree on the appointment of the Arbitrator
within a period of one month from the notification by one Party to the other for
reference to arbitration of such dispute, then the Arbitrator shall be nominated as per
provisions of the Arbitration and Conciliation (Act 26 of 1996) and this Act will also be
applicable to the entire process of arbitration and the award made there under shall be
final and binding upon the parties hereto, subject to legal remedies available under the
law. The Arbitration proceedings will be held in English at Panchkula/Chandigarh or at
such other place as the Arbitrator may determine.
2.3 GOVERNING LAW AND JURISDICTION
This agreement and all questions of its interpretation shall be construed in accordance
with the Laws of India. The Courts at Panchkula alone shall have jurisdiction.
2.4 NO PARTNERSHIP
This agreement shall not be interpreted or construed to create an association, joint
venture or partnership between the Parties, or to impose any partnership obligation or
liability upon either Party, and neither Party shall have any right, power or authority to
enter into any agreement or undertaking for, or act on behalf of, or to act as or be an
agent or representative of, or to otherwise bind, the other Party save as expressly
provided herein.
2.5 The Service Provider acknowledges that it has made itself fully acquainted with all the
conditions and circumstances under which the services are required or will have to be
made or furnished under the agreement and with all the terms, clauses conditions,
specifications and other details of the contract and the Service Provider shall not plead
ignorance of any of those as excuses in case of complaint against or on rejection of
services tendered by him or with a view either to asking for enhancement of any rates
agreed to in the contract or to evade any of his obligations under the contract.

SECTION VII: CONDITIONS FOR CONTRACT

SECTION VII: CONDITIONS OF CONTRACT
7.1 Application : The Conditions of Contract shall be deemed to form and be read
and construed as part of the agreement at of Section VI.
7.2 Definitions: In this contract the following terms shall be interpreted as
indicated:
(a) “The Contract” means this agreement entered into between the HMSCL and the
Testing Laboratories as recorded in the Contract Form signed by the parties,
including NIT all the attachments and appendices thereto and all documents
incorporated by reference therein;
(b) “The Contract Price” means the price payable to the under Testing Laboratories
the Contract for the full and proper performance of its contractual obligations;
(c) “CC” means the Conditions of Contract contained in this section.
(d) “The HMSCL” means the Organisation send by the test request the Goods, i.e
Haryana Medical Services Corporation Ltd.
(e) “The laboratories” means the individual or firm who is eligible under NIT for
Testing the Goods under this Contract;
(f) Rate Contract: Rate Contract is a contract for the supply of stores at
specified rates during the period covered by the contract.
7.3.1 Within 7 days from the date of issue of Notification of Award, the HMSCL shall furnish
performance security to the empanelled Laboratories for an amount of 10% of the
contract value valid upto 180 days after the date of completion of performance
obligations including the warranty obligations. The contract value means the total
value of the items as specified in Schedule for which the HMSCL may place order
during the contract period.

7.3.2 The Performance Security shall be denominated in India Rupees and shall be in
the form of a Bank guarantee issued by a nationalized/ scheduled bank located
in India and in the form provided in the bidding Documents or any other form
acceptable to the HMSCL.
7.3.3 The proceeds of the performance security shall be payable to the HMSCL as
compensation for any loss resulting from the HMSCL’s failure to
complete its obligations under the Contract. If the loss suffered is more than the
performance security then the performance security then it shall be adjusted
against payments due & if it cannot be adjusted then it shall be recovered as per
law. If at any stage the performance security gets adjusted then the HMSCL shall
have to give fresh Performance Security to continue with this contract with in
seven days or the contract shall stand cancelled and purchases shall be made at
the risk and cost of HMSCL for the remaining contract period.
7.3.4 The performance security will be discharged by the HMSCL and returned to the
empanelled Lab not later than 180 days following the date of completion of
the HMSCL’s performance obligations. The Corporation shall not pay any
interest on Performance security. In the event of any contract amendment, the
HMSCL shall, within 15 days of receipt of such amendment, furnish the
amendment to the Performance Security, rendering the same valid for the
duration of the Contract, as amended for further extended period.
7.3.5 The firms which are registered as Small Scale Industry unit of Haryana, shall be
required to submit the PBG, as per Haryana Govt. Rules.

(a) The HMSCL may, without prejudice to any other remedy for breach of contract, by
written notice of default sent to the laboratory, terminate the Contract in whole or part if
(i) the Laboratory fails to deliver any or all of the goods within the time period(s) specified
in the Contract, or within extended period granted by the HMSCL or
(ii) if the Laboratories fails to perform any other obligation(s) under the Contract; or
(iii) if the Laboratories, in the judgment of the HMSCL, has engaged in fraud and
corruption, as , in competing for or in executing the contract.
(b) In the event, the HMSCL terminates the Contract in whole or in part, the HMSCL may
testing upon such terms and in such manner as it deems appropriate, Goods or Services
similar to those testing, and the Laboratory shall be liable to the HMSCL for any additional
costs for such similar Goods. However, the Laboratory shall continue the performance of
the Contract to the extent not terminated.
7.6 Termination for Insolvency
(a) The HMSCL may at any time terminate the Contract by giving written notice to the
Laboratories, if the Laboratories become bankrupt or otherwise insolvent
7.7 Termination for Convenience
(a) The HMSCL, may by written notice sent to the Laboratories, may terminate the Contract,
in whole or in part, at any time for its convenience. The notice of termination shall specify
that termination is for the HMSCL’s convenience, the extent to which performance of work
under the Contract is terminated, and the date upon which such termination becomes
effective.
7.8. Force Majeure

7.8.1 The Laboratory shall not be liable for forfeiture of its performance security,
liquidation damages or termination for default, if and to the extent that, its delay in
performance or other failure to perform its obligations under the Contract is the result of an
event of Force Majeure.
7.8.2 For purposes of this Clause “Force Majeure” means an event beyond the control of the
HMSCL and not involving the Laboratories fault or negligence and not foreseeable.
Such events may include, but are not limited to, acts of the HMSCL either in its
sovereign or contractual capacity, wars or revolutions, fires, floods, epidemics, quarantine
restrictions and freight embargoes.
7.8.3 The bidder shall be entitled to the benefit of this clause only if it informs in writing of
the circumstances amounting to Force Majeure to Haryana Medical Services Corporation
Limited (HMSCL) for each consignment/dispatch separately within 72 hours of the
happening thereof by fax/e-mail immediately, followed by a confirmatory letter sent by
Registered Post. Unless otherwise directed by the HMSCL in writing, the Laboratories shall
continue to perform its obligations under the Contract as far as is reasonably practical, and
shall seek all reasonable alternative means for performance not prevented by the force
majeure event.
7.9 Indemnity:
The Managing Director HMSCL, all employees of HMSCL shall remain at all times fully
indemnified and the HMSCL shall keep every concerned Department duly indemnified
against any chemical analysis or statutory inspections/check during the life of the

7.10 Fraudulent and Corrupt practices
For bidders & HMSCLs:
HMSCL requires that the bidders, HMSCLs and contractors and their authorized
representatives/agents observe the highest standard of ethics during the procurement and
execution of such contracts. In pursuance of this policy, the HMSCL; defines, for the
purposes of this provision, the terms set forth below as follows:
(i) “Corrupt practice” is the offering, giving, receiving or soliciting, directly or
indirectly; of anything of value to influence improperly the actions of another
party (“another party” refers to a public official acting in relation to the procurement
process or contract execution]. In this context, “public official” includes staff and
employees of other organizations taking or reviewing procurement decisions.
(ii) “fraudulent practice” is any act or omission, including a
misrepresentation, that knowingly or recklessly misleads, or attempts to
mislead, a party to obtain a financial or other benefit or to avoid an obligation
(a “party” refers to a public official; the terms “benefit” and “obligation” relate to the
procurement process or contract execution; and the “act or omission” is intended to
influence the procurement process or contract execution).
(iii) “collusive practice” is an arrangement between two or more parties
designed to achieve an improper purpose, including to influence improperly
the actions of another party [“parties” refers to participants in the procurement
process (including public officials) attempting to establish bid prices at artificial, non
competitive level].
(iv) “Coercive practice” is impairing or harming, or threatening to impair or harm,
directly or indirectly, any party or the property of the party to influence
improperly the actions of a party (a “party” refers to a participant in the
procurement process or contract execution).

(v) “Obstructive practice” is:
deliberately destroying, falsifying, altering or concealing of evidence material to
the investigation or making false statements to investigators in order to
materially impede a investigation into allegations of a corrupt, fraudulent,
coercive or collusive practice; and/or threatening, harassing or intimidating
any party to prevent it from disclosing its knowledge of matters relevant to the
investigation or from pursuing the investigation; or
acts intended to materially impede the exercise of the HMSCL’s inspection
and audit rights provided for under sub-clause (e) below
HMSCL may take following actions in case a bidder/ HMSCL is found guilty
of above or any other terms and conditions which are mutually agreed in
writing by both the parties.
i) will reject a proposal for award if it determines that the bidder
considered for award has, directly or through an agent, engaged in corrupt,
fraudulent, collusive, coercive or obstructive practices in competing for the
contract in question;
ii) will cancel the contract if the HMSCL determines at any time that the bidder,
HMSCL and contractors and their sub contractors engaged in corrupt,
fraudulent, collusive, or coercive practices.
iii) will sanction a firm or individual, including declaring ineligible, either
indefinitely or for a stated period of time, to be awarded a contract if it at any
time determines that the firm has, directly or through an agent, engaged in
corrupt, fraudulent, collusive, coercive or obstructive practices in
competing for, or in executing, a contract; and
iv) Will have the right to inspect the accounts and records of the bidders,

and to have them audited by auditors appointed by the HMSCL.
