West New York Board of Education Work Session/Business Meeting Minutes November 13, 2013, 5:30 p.m. The Work Session/Business Meeting of the West New York Board of Education was held in the Auditorium of the Albio Sires Elementary School (PS #4), 6300 Palisade Avenue, West New York, New Jersey. The scaffolding was put in place by the district over one year ago. In the architect’s professional opinion, scaffolding should be placed around the entire school and meet the New York City safety standards. The Executive County Superintendent was contacted and informed of the situation and concurred with the district’s decision to declare the replacement/upgrading of the current scaffolding an emergency. In accordance with Board Policy and New Jersey State Statute the district obtained three quotes and immediately awarded the job the lowest vendor. A purchase order was placed with Ace Scaffold of Lodi, New Jersey in the amount of $157,500. As this job is a New Jersey School Development Authority undertaking, the district will seek reimbursement for the funds spent on the scaffolding emergency. VI. November 13, 2013, 5:30 p.m.

The Work Session/Business Meeting of the West New York Board of Education was held in the Auditorium of the Albio Sires Elementary School (PS #4), 6300 Palisade Avenue, West New York, New Jersey. The order of business and agenda for the meeting were:

The New Jersey Open Public Meetings Law was enacted to ensure the right of the Public to have advance notice of and to attend the meetings of any public bodies at which any business affecting their interest is discussed and acted upon. In accordance with the provisions of the act, the School Business Administrator/Board Secretary has caused notice of this meeting to be sent to the following, announcing time and place thereof, agenda, etc.

V. COMMUNICATIONS (Board Secretary)

Mr. Franchetta informed the Board of an emergency situation that arose at the Harry L. Bain Elementary School. He stated that last week the New Jersey School Development Authority’s appointed architect was working at the school and declared the current scaffolding around that school insufficient to protect the students and public. The scaffolding was put in place by the district over one year ago. In the architect’s professional opinion, scaffolding should be placed around the entire school and meet the New York City safety standards. The Executive County Superintendent was contacted and informed of the situation and concurred with the district’s decision to declare the replacement/upgrading of the current scaffolding an emergency. In accordance with Board Policy and New Jersey State Statute the district obtained three quotes and immediately awarded the job the lowest vendor. Mr. Franchetta noted that this evening is the first reading for the above listed board policies. He encouraged the board members to review the proposed policies and to contact the superintendent with any questions or concerns that they may have regarding the proposed policies before the December board meeting at which time the policies will be scheduled for board adoption.

C. Moment of Silence for Esta Heildberger Mr. Fauta asked for a moment in silence for a long time staff member, Esta

Heildberger, who recently passed away. D. ABC News Visit of Public School #2 Wellness Program Tomorrow Mr. Fauta mentioned that ABC News would visit and film portions of an upcoming news

segment on the wellness program at Public School #2 tomorrow. E. Elected School Board Process Mr. Roth explained that at the recent General Election held on November 5, 2013, the

voters of the Town of West New York reorganized the West New York Board of Education from a Type I school district (Mayor appointed Board) to a Type II school district (voter elected Board). With this change there was action by the Board that is necessary.

Mr. Roth presented a proposed resolution for Board consideration and to be appended to this evening’s agenda for adoption by the Board. Mr. Roth explained that N.J.S.A. 18A:9-11 requires that the Board immediately reorganize the terms of the seated board members to effectively and efficiently move all Board Members to three (3) year terms. Mr. Roth read the proposed resolution and distributed a chart showing when each Board Members current seat would expire.

Mr. Roth also discussed the need for a Special School Board Election to be held in

January 2014 to add two (2) new Board Members, thereby increasing the Board from a seven (7) members to a nine (9) members in accordance with N.J.S.A. 18A:9-10. He stated that there would be another School Board Election in April 2014 for the three (3) seats that would be expiring, as the Mayor of the Town of West New York no longer would appoint Board Members.

There was no desire of the Board to consider the proposed motion presented by Mr. Roth at this evening’s meeting.

VII. PUBLIC COMMENTS

In accordance with West New York Board of Education Bylaw #0167 (Public participation in board meetings – Adopted April 22, 2009) each participant shall be limited to three minutes’ duration.

1. Francisco Ferreiro – Mr. Ferreiro asked Mr. Roth if it was his responsibility to make the rules for the new board and not the Board Attorney (Paul Sangillo). Mr. Ferreiro stated that Mr. Roth is relaying the information in a lying, cheating way. He spoke to Mr. Frank Belluscio (Deputy Executive Director) of New Jersey School Board Association regarding the process. He stated that all five (5) members would be elected in a May 2014 election. Mr. Ferreiro stated that Mr. Roth was hiding information by not telling the Board about the November election. He also stated that there is a bylaw that Board Members are not permit to assist in an election campaign that Mr. Acosta has violated.

2. Wayne Cook – Mr. Cook displayed two brochures that were distributed during the general regarding the public question regarding the school district. He suggested that Mayor Roque pay for the special election. Mr. Cook suggested that the Board meetings be rotated between school buildings in order to encourage public participation.

3. Silverio (Sal) Vega – Mr. Vega stated that it becomes difficult to determine who speaks for the Board, as Mr. Roth usually fills that roll. He stated that Mr. Roth is not the issue. Only twenty (20) municipalities in the State of New Jersey remain were the Mayor can still appoint the school board. On Election Day, 3,500 voters in West New York approved the change to an appointed Board. Mr. Vega stated that people sense a major problem in way the district is run. He stated that the current law firm has history dating back to 1991 with Scarinci and Hollenbeck. Mr. Vega said in the future when he wants to hear legal advice regarding the Board of Education, the advice should come from Mr. Sangillo not Mr. Roth.

4. Meril Sanchez – Ms. Sanchez stated that she is a big supporter of Board of Education. She remarked that she moved her children from a Hoboken private school to a public school system. Ms. Sanchez said she has as question for Mr. Acosta. She asked if he has business background. Ms. Sanchez asked Mr. Acosta about his public policy. Mr. Acosta declined to answer Ms. Sanchez’s questions.

Executive Session Notice: VIII. OPEN PUBLIC MEETING STATEMENT/RESOLUTION FOR EXECUTIVE SESSION

The public portion of the meeting is now concluded. The Board will now recess into Executive Session to discuss items which fall within an exception of our open meetings policy and permits board to have private discussion since it deals with specific exceptions contained in N.J.S.A. 10:4- 12b:

CONSENT AGENDA RESOLUTIONS RE-ORGANIZATION R61 Appoint Professional Services (Construction Engineering) – WITHDRAWN BY SUPERINTENDENT

WHEREAS, the West New York Board of Education is in need of construction engineering services; and

WHEREAS, the West New York Board of Education publicly solicited Requests for Qualifications for Construction Engineering Services on June 8, 2013 pursuant to NJSA 19:44A-20.5 and the open and fair process; and

WHEREAS, professional services such as above are exempt from the Public Bidding statutes NJSA 18A:18-5 et seq.; and

WHEREAS, this Board of Education has received a written proposal from the firm of Maser Consulting P.A., 200 Valley Road Suite 400, Mt. Arlington, NJ, indicating the desire to provide Construction Engineering Professional Services for the 2013-2014 school year, as per the terms and conditions of the proposal incorporated herein by reference; and

WHEREAS, this Board has deemed to qualify the above professional based upon their expertise to their field.

NOW THEREFORE BE IT RESOLVED, that this Board authorizes the award of a Professional Service Contract to Maser Consulting P.A. of Mt. Arlington, NJ, to provide Construction Engineering Consultant Services, for the 2013-2014 school year in an amount not to exceed $55,000.

BUSINESS AND FINANCE

1.1 Treasurer of School Monies Report On motion made and passed, the Board of Education accepted the report of the School Business Administrator/School Board Secretary (148) as certified in keeping with N.J.A.C. 6:20-2.2.13(d) and the report of the Treasurer of School Monies (A149) for the month of September 2013, as presented by the Superintendent of Schools, and found them in agreement and upon review certified them to the best of their knowledge and no major account or fund had been over expended in violation of N.J.A.C. 6:20-2.14(b) and that sufficient funds were available to meet the District’s financial obligations set for the remainder of the Fiscal Year N.J.A.C. 6:20-2.13(e) and on this basis ordered them as part of the minutes of the Board of Education. In keeping with the aforementioned approval, this Board does hereby also approve the submission of the September 2013, Secretary and Treasurer Reports to the N.J. 1.5 ACES - Electric Generations Services

WHEREAS, the Alliance For Competitive Energy Services (hereinafter referred to as “ACES”), an alliance composed of the New Jersey School Boards Association (hereinafter referred to as “NJSBA”), the New Jersey Association of School Administrators, and the New Jersey Association of School Business Officials, will from time to time during the Effective Period as defined below solicit bids from electric power suppliers for electric generation services through an energy aggregation program in which NJSBA will act as Lead Agency of the ACES Cooperative Pricing System #E8801-ACESCPS in accordance with the “Public School Contracts Law”, N.J.S.A. 18A:18A-1 et seq., and the Electric Discount and Energy Competition Act, N.J.S.A. 48:3-49 et seq. (“EDECA”) and the regulations promulgated thereunder; and

WHEREAS, the West New York Board of Education is a Participating member of the ACES Cooperative Pricing System and is eligible thereby to obtain electric generation services for its own use through one or more contracts to be awarded to electric power suppliers following said bids for electric generation services pursuant to the aggregation program; and

WHEREAS, the Lead Agency will from time to time during the Effective Period (from date of adoption through May, 2018 hereinafter referred to as “Effective Period”) issue one or more Requests for Bids for electric generation services on behalf of the ACES Cooperative Pricing System pursuant to the Public School Contracts Law and EDECA; and

WHEREAS, due to significant volatility and the potential for price increases in the wholesale electric market, Participating Members will preauthorize the Lead Agency to award contracts for Electric Generation Service in each service territory to one or more electric power suppliers that submit bids which are reasonably forecasted to provide estimated savings to the Participating Member based upon its previous electric usage and utility provided Basic Generation Service rates; and

WHEREAS, the Lead Agency will only award contracts for said electric generation services to electric power suppliers that submit bids with pricing reasonably estimated to be lower than the utility-provided basic generation service; and

WHEREAS, the District agrees to purchase all electric power needed for its own use (exclusive of on-site electric generation sources) during the Effective Period through any electric power supplier(s) awarded a contract, it being understood that the term of any one contract shall be subject to the provisions of Public School Contracts Law;

WHEREAS, the Lead Agency will notify the Department of Community Affairs’ Division of Local Government Services by mail prior to the issuance a Request for Bids for electric generation services, with the understanding that if the Division of Local Government Services does not respond within 10 business days, it will be deemed to have approved the issuance of the Request for Bids or the Request for Rebids.

RESOLVED that the District binds itself to the ACES Cooperative Pricing System ##E8801-ACESCPS to purchase all electric power needed for its own use (exclusive of on-site electric generation sources) during the Effective Period from the electric power supplier or suppliers awarded a contract for electric generation services by the Lead Agency; and, be it

FURTHER RESOLVED that ACES is authorized to continue to bid to obtain electric generation services at any time during the Effective Period on behalf of the ACES Cooperative Pricing System including, for example, a rebid if energy market conditions do not initially lead to a successful bid, on additional dates to be determined by the Lead Agency; and

FURTHER RESOLVED that this Resolution shall take effect immediately upon passage. The authorization provided to the NJSBA pursuant to the Local Public Contracts Laws (N.J.S.A. 40A:11-11(5)), and the Local Public and Public School Contracts Laws Administrative Code (N.J.A.C. 5:34-7.1 et seq.) shall be valid until May, 2018 (the Effective Period) at which time the Cooperative Pricing System will be subject to renewal. Any rescission or expiration of this resolution shall not affect any Agreements entered into prior to such rescission or expiration.

1.6 ACES - Natural Gas Services

WHEREAS, the Alliance For Competitive Energy Services (hereinafter referred to as “ACES”), an alliance composed of the New Jersey School Boards Association (hereinafter referred to as “NJSBA”), the New Jersey Association of School Administrators, and the New Jersey Association of School Business Officials, will from time to time during the Effective Period as defined below solicit bids from natural gas suppliers for retail natural gas supply services including interstate transportation to the local natural gas distribution utility company (Natural Gas Supply Services) through an energy aggregation program in which NJSBA will act as Lead Agency of the ACES Cooperative Pricing System #E8801-ACESCPS in accordance with the “Public School Contracts Law”, N.J.S.A. 18A:18A-1 et seq., and the Electric Discount and Energy Competition Act, N.J.S.A. 48:3-49 et seq. (“EDECA”) and the regulations promulgated thereunder; and

WHEREAS, the West New York Board of Education is a Participating member of the ACES Cooperative Pricing System and is eligible thereby to obtain natural gas services for its own use through one or more contracts to be awarded to natural gas suppliers following said bids for natural gas services pursuant to the aggregation program; and

WHEREAS, the Lead Agency will from time to time during the Effective Period (from date of adoption through May, 2018, hereinafter referred to as “Effective Period”) issue one or more Requests for Bids for natural gas services on behalf of the ACES Cooperative Pricing System pursuant to the Public School Contracts Law and EDECA; and

1.10 HLB Boiler Room Replacement Change Order

WHEREAS, the West New York Board of Education awarded a contract for the Harry L. Bain School (PS #6) Boiler Replacement/Repairs to Pennetta Industrial Automation, LLC in the total contract lump sum of $297,000 at the December 6, 2012 Board Meeting, and;

WHEREAS, the contact awarded to Pennetta Industrial Automation, LLC included an allowance for contingency item in the amount of $25,000, and;

WHEREAS, unforeseeable physical conditions and/or minor modifications to the project scope have arose, and;

WHEREAS, N.J.A.C. 6A:26-4.9(a)1 permits district boards of education to approve change orders to the contract;

1.12 NJQSAC SOA

WHEREAS, the West New York Board of Education, County of Hudson, is required by the New Jersey Department of Education to conduct a self-assessment under the provisions of the New Jersey Quality Single Accountability Continuum (NJQSAC) during the 2013-2014 school year, and

WHEREAS, the West New York Board of Education Central Administration has convened and have undertaken a comprehensive evaluation including responses to all NJQSAC Statement of Assurance (SOA) items within the component areas of Instruction & Program, Personnel, Fiscal Management, Operations and Governance, and

WHEREAS, the Chief School Administrator and Board of Education President have affirmed the accuracy of the responses to the Statement of Assurance items.

2.7 Hudson County Alliance of Teen Arts Donation – MHS BE IT RESOLVED, that the West New York Board of Education, upon the recommendation of the Superintendent of Schools, approves a donation in the amount of $250 to the Hudson County Alliance of Teen Arts to cover he performing arts component. Each high school participating in the Visual Arts portion of the program is asked to contribute $150. Total donation made by the West New York School district is in the amount of $400 as per the request in attached letter dated October 18, 2013 from Monica M. Tone, Interim Executive County Superintendent of Schools. 2.8 State Farm Application Submission MHS/ PS # 1 BE IT RESOLVED that, the West New York Board of Education, upon the recommendation of the Superintendent of Schools, grants the Superintendent of Schools permission to submit the State Farm application for funding technology and materials for the Tomorrow’s Teachers Program in the amount of $70,066.00 for the 2013-2014 fiscal year. 2.9 Funds for Fuel Up to Play 60 Grant Application Submission

BE IT RESOLVED, that the West New York Board of Education, upon the recommendation of the Superintendent of Schools, approves the application submission for the Fuel Up to Play 60 Grant on behalf of the American Dairy Association and Dairy Council, Inc. in the following amounts:

RESOLVED, this Board, upon the recommendation of the Superintendent of Schools appoints Robert Sanchez as the District’s Liaison for missing and abused children for the 2013-2014 School Year at no additional compensation.

3.6 Police Officer

BE IT RESOLVED that, this Board, upon the recommendation of the Superintendent of Schools approves the request to hire one (1) police officer for E.C.S. Parent Workshops (dates approved by BOE 10/09/13) at $55.00/hr. for a minimum of four (4) hours guaranteed and that said payment will be charged to the Early Childhood Budget.

4.2 Saint Clare’s Health Systems

WHEREAS, student 28380 is classified and entitled to Special Education services under N.J.A.C. 6A:14,

THEREFORE BE IT RESOLVED, this Board ratifies the action of the Superintendent of Schools by entering into a contract with Saint Clare’s Health Systems, with offices located at 130 Powerville Rd., Boonton Twp., NJ, 07005, to provide Bedside Instruction at a rate of $54.00 per hour for 1 hour of instruction per day, not to exceed $216.00, starting on October 22, 2013 and terminating on October 25, 2013.

5.2 Workers' Compensation (A.M.)

WHEREAS, there is pending in the Division Workers’ Compensation a matter entitled Ana Madrigal v. West New York Board of Education, Claim Petition No. 2010-5100 and date of loss being November 13, 2009;

WHEREAS, counsel has presented a proposed settlement in this matter to be settled by an Order Approving Settlement;

WHEREAS, there is a proposal to settle Claim Petition No. 2010-5100 for an award of 47% partial permanent or $134,277.75 ; and

WHEREAS, petitioner has agreed to accept the aforementioned settlement of her Workers’ Compensation claim;

WHEREAS, the Court will deduct attorney fees, medical fees and/or other expenses from this award, which the West New York Board of Education will pay on behalf of the petitioner;

WHEREAS, the West New York Board of Education will or may be responsible for a portion of petitioner’s attorney fees, a portion of petitioner’s expert fees, stenographic fees and/or other fees relating to this matter, in amounts to be determined by the Court;

WHEREAS, payment by the West New York Board of Education is subject to a Certification from the Chief Financial Officer of the availability of funds;

NOW, THEREFORE, BE IT RESOLVED, that the West New York Board of Education agrees to settle this matter as described above;

BE IT FURTHER RESOLVED that the West New York Board of Education authorizes Qual-Lynx within the time period prescribed by law, to make the payments as described above, which sums will be so ordered by the Judge of the Division of Workers Compensation.

NOW, THEREFORE, BE IT RESOLVED, this Board upon the recommendation of the Superintendent of Schools, in keeping with Article 10 of the Agreement between the West New York Board of Education and the West New York Education Association and having considered the request of said employee and having reviewed the supporting documentation and by reason of the special circumstances which exist and for good cause shown, hereby grants additional sick leave to Ms. Gorman commencing October 21, 2013 for a period not to exceed 40 days subject to the following limitations as enumerated below and pursuant to Article 10 of the Agreement:

A. Said employee shall have sustained a complete loss of pay for five (5) school days (first week) of sick leave time granted.

B. For each school day of the second week of said period said employee shall be paid a sick day’s salary (defined as 1/200th of the annual salary) less the pay of a substitute or the estimated cost of the employment of a substitute if none is employed.

C. After the expiration of the above 2 week period and with the concurrence of the Medical Director of the Board of Education on the recommendation from the attending physician of said employee that further absence from service is essential, the Board (having in mind the length of employment of such employee) shall grant further leave to such ill employee.

D. Upon the exhaustion of the extended sick leave period as herein set forth Ms. Gorman shall suffer full and complete loss of pay until such time thatshe is able to return to employment.

WHEREAS, J. S. was noticed of the hearing in this matter regarding a fitness for duty examination and has voluntarily agreed to attend said examination; and

WHEREAS, after conducting the hearing, the Board finds sufficient evidence in accordance with N.J.S.A. 18A:16-2 to require that J. S. undergo a fitness for duty examination by a doctor selected by the Board.

NOW THEREFORE BE IT RESOLVED, the West New York Board of Education directs that a fitness for duty examination of J. S. be conducted.

6.31 Severance of Employment

WHEREAS, this Board of Education has received notification of the death of Jose Izquierdo, on August 5, 2013, an active employee of this Board.

NOW THEREFORE BE IT RESOLVED that it is with a heavy heart that this Board instructs the Superintendent of Schools to notify the Division of Pensions and Benefits of the severance of employment of Jose Izquierdo from the West New York Board of Education.

BE IT FURTHER RESOLVED, that this Board offers it deepest condolences to the family, friends and colleagues of Jose Izquierdo.

6.34 Rescind Custodial Position - MOTION DEFEATED Removed from Consent Resolutions

WHEREAS, this Board of Education appointed Wilma Acosta Barreto as a Custodian at the October 9, 2013 Board Meeting; and

WHEREAS, this Board has received notification from the Executive County Superintendent of Schools that the appointment of Ms. Acosta Barreto's was inappropriate pursuant to Board Policy/Bylaw #0142.1 (Nepotism).

NOW THEREFORE BE IT RESOLVED that this Board of Education, upon the recommendation of the Superintendent of Schools, hereby rescinds Resolution #6.33 dated October 9, 2013 effective immediately.

FURTHERMORE, Ms. Acosta Barreto be returned to her previous position as a substitute custodian.

6.35 FMLA/NJFLA Eleanore Kashub

WHEREAS, this Board has received written notification from Eleanore Kashub, an Art Teacher at Memorial High School, requesting a leave of absence with pay under the Family Medical Leave Act (FMLA) and NJ Family Leave (NJFLA) from November 13, 2013 through February 12, 2014.

X. PUBLIC COMMENTS

In accordance with West New York Board of Education Bylaw #0167 (Public participation in board meetings – Adopted April 22, 2009) each participant shall be limited to three minutes’ duration.

1. Wayne Cook – Mr. Cook asked what will happen now that the Board broke the law by

not following the recommendation of the County Superintendent. He stated that some of the Board Members are in violation of the law. Mr. Sangillo stated this issue was discussed. Mr. Cook asked if the one Board Member who is under ethics charges might resign. He asked if the Board attorney could comment. Mr. Sangillo replied that he could not comment. Mr. Cook stated that Ms. Sires stated there would be no politics on the Board. He hopes he will be picked as a candidate for on of the vacant Board seats.

2. Francisco Ferreiro – Mr. Ferreiro said that he spoke to the Board Attorney regarding

the election of the Board Members. He asked how the State said Ms. Acosta cannot be hired and how some Board Members can disregard this wishes of the County Superintendent. Mr. Sangillo replied that each member voted his or her own conscience, as each member voted the way they choose to vote. Mr. Fauta stated that the County Superintendent would take any action she deems necessary. Mr. Ferreiro questioned what would happen since the Board did not pass the resolution to have an elected Board this evening.
