Nan Ya Plastics Corporation, America warrants that-the PVCpond liner material to be used in the above referenced projectwill perform satisfactorily when used for the containment of theaqueous effluent which is defined as follows and according to theconditions set forth in the additional pages of this agreement.

TYPICAL CHEMICAL ANALYSIS OF CONTAINED OR EXCLUDED MATERIALS:

Nan Ya further warrants the material, if properly fabricated andinstalled, will have a useful service life for a period of years,providing the liner material is continuously protected againstweathering exposure and mechanical damage at all times. Inaddition, the maximum effluent temperature is not to exceed ambientand the pH of the effluent is to be maintained between 5.0 and 9.0.

This warranty does not cover damage caused by mechanical, physicalor other external forces or damage caused by solutions of greaterconcentrations than the one defined above.

This warranty is subject to the following:

1. This warranty is conditioned upon (a) normal use and serviceof the liner for the purpose and in the manner for which it isdesigned and manufactured, (b) installation of the liner ona preconsolidated, stable, subgrade, free of sharpprotrusions, (c) proper sealing, fabricating and installationof the liner, and (d) a suitable cover material to protectagainst weathering exposure and mechanical damage is to bemaintained on the liner at all times. Material deviation from

any of these conditions will void this warranty.

2. Nan Ya shall not be responsible for damage to the liner due toexternal agents, including but not limited to, damageresulting from exposure of the liner to harmful chemicals;abuse by machinery, equipment or people; excessive pressure orstress from any sources, or acts of God, casualty orcatastrophe, such as, but not limited to, unusual storms orother weather conditions, flooding, earthquakes, floatingdebris, insects or animals.

3. Upon breach of warranty, Nan Ya's sole liability shall be, atits option, either to (a) repair the defective material or (b)supply the buyer with repair or replacement materials,charging the buyer only for a portion of those materials (atthe then-current prices) in proportion to the portion of the

year warranty period that has elapsed since the date ofpurchase or (c) if Nan Ya cannot replace defective material,Customer can request compensation on a prorate basis. In noevent, however, shall Nan Ya's liability under this warrantyexceed an amount equal to the sales price of the defectiveportion of the liner multiplied by a fraction, the numeratorof which shall be the number of years remaining in the yearwarranty period and the denominator of which shall be

To enable Nan Ya's technical staff to properly determine thecause of any alleged defect and to take appropriate steps toeffect timely corrective measures, if such defect is withinthe warranty, any claim for alleged breach of warranty must bemade and presented to Nan Ya within 30 days after the allegeddefect was first noticed, or all warranties will be deemed tohave been waived by the buyer.

5. THERE ARE NO WARRANTIES GIVEN BY US TO YOU WITH RESPECT TO THEMERCHANDISE COVERED HEREWITH OTHER THAN THOSE SPECIFICALLYDESCRIBED HEREIN. THOSE WARRANTIES ARE IN THE PLACE AND STEADOF THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FORUSE. In no event shall Nan Ya be liable for any special,incidental or consequential damages for, resulting from, or inconnection with, any breach of warranty or any loss resultingfrom use of the liner by the buyer. Nan Ya does not assumenor authorize any person to assume for it, any other oradditional liability of any kind in connection with the saleof the liner to the buyer or buyer's use of the liner.
