Dear Students,

A race run, success in the exams, a dream job landed, a new home, a big promotion, a little victory and alike, it is all one of life’s great joys to see someone you know accomplish what they’ve been hoping for and working towards.

In all, seeing someone to succeed in their professional exams is of paramount pleasure owing to the fact that success in exams lays down the ladder for achieving all goals with exactitude.

In this perspective of celebrating the jubilance of our recent results of CS Exams, December 2018 session. This message is a perfect way to honour our students, who accomplished success in the exams.

I would also entreat the students, who could not make their way to the next level in this session of exams, to not to lose hope and to be better equipped for the upcoming session of exams in June 2019.

Friends, never forget that Success is the result of perfection, hard work, learning from failure, loyalty, and persistence. Failure could never overtake us, if our determination to succeed is strong enough.

The recent instance of triumph through strong determinations and hard work is certainly where Securities and Exchange Board of India has reposed confidence in the profession for endorsing Secretarial Audit under the LODR Regulations through a Compliance Reporting Mechanism.

This recent feather to our golden cap reminds me of the great lines tendered by Shri Maithili

The Power Sector of India- An Overview and Critical Facets

Introduction

Energy has been universally recognized as one of the most important inputs for economic growth and human development. There is a strong two-way relationship between economic development and energy consumption. On one hand, growth of an economy, with its global competitiveness, hinges on the availability of cost-effective and environmentally benign energy sources, and on the other hand, the level of economic development has been observed to be reliant on the energy demand.

Power is one of the most critical components of infrastructure crucial for the economic growth and welfare of nations. The existence and development of adequate infrastructure is essential for sustained growth of the Indian economy.

India’s power sector is one of the most diversified in the world. Sources of power generation range from conventional sources such as coal, lignite, natural gas, oil, hydro and nuclear power to viable non-conventional sources such as wind, solar, and agricultural and domestic waste. Electricity demand in the country has increased rapidly and is expected to rise further in the years to come. In order to meet the increasing demand for electricity in the country, massive addition to the installed generating capacity is required.

In May 2018, India ranked 4th in the Asia Pacific region out of 25 nations on an index that measures their overall power. Indian power sector is undergoing a significant change that has redefined the industry outlook. Sustained economic growth continues to drive electricity demand in India. The Government of India’s focus on attaining ‘Power for all’ has accelerated capacity addition in the country. At the same time, the competitive intensity is increasing at both the market and supply sides (fuel, logistics, finances, and manpower). Total installed capacity of power stations in India stood at 346.62 Gigawatt (GW) as of November 2018.

The electricity industry in India has evolved significantly to provide a wide range of opportunities across the value chain, in both, the regulated as well as deregulated businesses. Indian power market is the world’s fifth largest in terms of generation capacity and the third largest in terms of network. The growing demand, network extension and upgradation, reduction in energy intensity, unbundling of supply services and growth of cross-border trade present various opportunities for this industry.

Power Performance

The performance of Indian power sector may be comprehended by perusing the following crucial points:

1. Indian power sector has had eventful developments in not only generation and transmission capacity addition, but also from the distribution reforms aspect. The total installed power generation capacity of India as on 31 March 2018 was 344 GW, of which 45% is contributed by the private sector.

2. The major growth has been witnessed in renewable source with capacity reaching to 69,022 MW (growth of 20%). During FY18, renewable capacity surpassed conventional sector addition to the total generation capacity. The energy generation observed 6.1% growth to reach at 1,203 Bn Units as compared to previous year’s generation of 1134 Bn Units. Transmission capacity addition was 23,119 ckms as against a target of 23,086 ckms. However, despite the capacity addition in generation and transmission there was a slight increase in the peak deficit situation from 1.6% to 2.0% during FY18. The Energy deficit remained constant at 0.7% during FY17 and FY18. The market witnessed higher liquidity and greater depth, with more participants than previous years.

3. On the policy and regulatory front, the Government and Regulatory bodies continued the reform process for improvement in efficiency in various aspects of power supply. Government of India launched “Pradhan Mantri Sahaj Bijli Har Ghar Yojana (SAUBHAGYA)” to achieve universal household electrification in the country. Under UDAY scheme for financial and operational improvement of Discoms, bonds have been issued by various States for a total amount of Rs 2,321.6 billion. Ministry of New and Renewable Energy (MNRE) launched competitive bidding for procurement of power from wind projects and so far bidding for more than 6,000 MW has taken place in four phases.

4. In further development for making coal allocation more transparent, Scheme for Harnessing and Allocating Koyala (Coal) (SHAKTI) was launched through which allocation of linkages for power sector shall be based on auction of linkages or through Power Purchase Agreement (PPA) based on competitive bidding of tariffs except for the State and the Central Power Generating companies, and the exceptions provided in Tariff Policy, 2016. Coal drawal will be permitted against valid Long Term PPAs and to be concluded Medium Term PPAs. The sector also witnessed emphasis on transparency through various web/mobile applications and digitization of competitive bidding through MSTC platform for short and medium term power procurement.

5. Government’s thrust on renewable energy with core focus on solar power dominated the power sector in the fiscal year 2018. The government has planned to add 175 GW of renewable energy by 2022 and increase the share of renewable energy to power at 40% by 2030. It is also anticipated that India’s peak demand for power will increase from current level of 153 GW to 226 GW by 2021-22 and 299 GW by 2026-27. Considering the demand projections and likely retirement of 22.7 GW of capacity, total capacity addition of 175 GW, including 47.8 GW of coal-based power projects currently under construction is envisaged in the period 2017 to 2022. Similarly, for the period 2022 to 2027, another 175 GW of capacity addition and retirement of 25 GW have been envisaged.

It is heartening to note that the Index of Electricity have registered an impressive performance in comparison to the index of other core sectors of Indian economy, i.e. Coal, Crude Oil, Natural Gas and Petroleum Refinery Products (please refer exhibit 1)

Renewable Energy- A Renaissance in Indian Power Sector

India’s population of more than 1028 million is growing at an annual rate of 1.58%. As fossil fuel energy becomes scarcer, India will face energy shortages significantly due to increase in energy prices and energy insecurity within the next few decades. Increased use of fossil fuels also causes environmental problems both locally and globally.

There is a very high demand for energy, which is currently satisfied mainly by coal, foreign oil and petroleum, which apart from being a non-renewable, and therefore non-permanent solution to the energy crisis, it is also detrimental to the environment. Thus, it is imperative that India obtains energy security without affecting the booming economy, which would mean that the country must switch from the non-renewable energy (crude oil and coal) to renewable energy.

The 2022 electrical power targets include achieving 227GW (earlier 175 GW) of energy from renewable sources, nearly 113 GW through solar power, 66 GW from wind power, 10 GW from biomass power, 5GW from small hydro and 31GW from floating solar and offshore wind power. The bidding process for the further additional 115 GW or thereabouts to meet these targets of installed capacity from January 2018 levels will be completed by the end of 2019-2020. The government has announced that no new coal-based capacity addition is required beyond the 50 GW under different stages of construction likely to come online between 2017 and 2022.

The role of new and renewable energy has been assuming increasing significance in recent times with the growing concern for the country’s energy security. The Indian Government has been at work, making a comprehensive policy for compulsory use of renewable energy resources through biomass, hydro-power, wind, solar and municipal waste in the country, particularly for commercial establishments, as well as Government establishments. The major contribution to renewable energy investment comes from private sector participation. This is due to the support from the government, which leverages the private investment.

Ministry of Non-conventional Energy Sources is focused on nation-wide resource assessment, setting up of commercial projects, renovation and modernization, development and up-gradation of water mills and industry based research and development.


Nuclear Power- Building a New India

Global carbon emissions have been rising sharply since the end of 20th century, and countries have adopted various policies and switched over to alternate source of energy to minimize/reduce Greenhouse Gas Emissions in different sectors. India’s Nationally Determined Contributions (NDC) has outlined goals to reduce the carbon emissions intensity of its economy by 33-35 percent by 2030 as well as increase the clean energy capacity to 40% of the total installed capacity in the same period. The most important source of energy for India in the coming decades is nuclear power, given its huge potential growth, emission-free nature and consistent nature of production.

India has a streamlined nuclear power program and expects to have 20,000 MW nuclear capacities on line by 2020. It aims to supply 25% of electricity from nuclear power by 2050. Since India is outside the Nuclear Non-Proliferation Treaty due to its weapons program, it had been largely excluded for 34 years from trade in nuclear plant or materials, which has hindered its development of civil nuclear energy until 2009. India’s vision is to become a world leader in nuclear technology due to its expertise in fast reactors and thorium fuel cycle. Way Forward

India’s power sector is undergoing a noteworthy change, and this has redefined the industry outlook. Demand for electricity is seeing a steady growth with a pick-up in the economy, especially manufacturing activity, as well as favorable government policy. The government has implemented various progressive measures to maximise power generation capacity and improve distribution.

India has made great steps in raising access to electricity; as more than 13 crore people joined the power grid since 2013. Also, a close look at the index of electricity showed it has been growing considerably in core sector data. Per capita electricity consumption, which was a mere 16.3 units in 1947, has increased to 1,122 units in 2016-17.


Government initiatives like 24x7 power, power to all households by March 2019 and UDAY, which has improved viability of discoms to buy more power to serve more customers and the CEC initiatives that include linking of deviation settlement mechanism (DSM) prices to DAM prices at the exchange average clearing price, have helped the sector witness robust growth.

However, it is extremely essential to address the following critical issues plaguing the power sector- Average transmission and distribution losses (T&D). It is to be noted that T&D losses surpassed 22% of total power generation. The causes of T&D losses are due to substantial energy sold at low voltage, sparsely distributed loads over large rural areas, inadequate investment in distribution system, improper billing, and high pilferage.

Another issue that demands attention is shortage in supply of coal. Since substantial power generation occurs through thermal power plants that use coal as key raw material, inadequate supply of coal jeopardises the power generation. However, with e-coal auctions coming in the picture, this problem seems to have been resolved considerably.

Last but not the least, one of the major concerns for the power generation companies is the off-take of electricity. Power generators sell power to SEBs or DISCOMs. SEBs are facing financial crisis and are suffering losses to the extent of Rs 700 billion annually. The SEBs do not have enough resources to purchase power from the generators. Hence a situation has risen wherein there is excess of power but no takers for the same.

If the aforesaid issues are addressed appropriately it may said without an iota of doubt that future of India power sector is bright.

REGISTRATION

1. VALIDITY OF CS FOUNDATION PROGRAMME ADMISSION

The Institute has stipulated 03 years period for the validity of Foundation Programme admission. Accordingly, all those students who have registered upto February 2016 may please note that their admission to the Foundation Programme stands cancelled on expiry of three years period at the end of January 2019 .

Students who have not passed the Foundation Examination within the validity period of their registration and are not graduates, may seek fresh admission online at Institute’s website www.icsi.edu together with the Foundation Programme admission fee of Rs.4500/-.

2. REGISTRATION FOR CS EXECUTIVE PROGRAMME

Students who have passed the Foundation Program examination held in June 2018 and register in Executive Program upto and including 31st August, 2018 would be eligible to appear in both modules of the Executive Program to be held in June 2019 examination and students who will take registration in Executive Program between 1st September, 2018 to 30th November, 2018 will be eligible to write only one module in June 2019 examination of the Executive Programme.

Students can register online at Institute’s website www.icsi.edu at online services option at the following link https://smash.icsi.in/Scripts/login.aspx. The fee for seeking registration for Executive Programme is Rs. 8500/- which can be paid online either through credit/debit card/net banking/bank challan.

2. UPDATION OF E-MAIL ADDRESS/MOBILE NUMBER

Students are advised to update their E-Mail Id and Mobile Numbers timely so that important communications are not missed as the same are sent through bulk mail/SMS nowadays. Students may update their E-mail Id/ Mobile Number instantly after logging into their account at www.icsi.eduat request option.

3. STUDENT IDENTITY CARD

Identity Card can be downloaded after logging into the Student Portal at www.icsi.edu. After downloading the Identity card, students are compulsorily required to get it attested by any of the following authorities with his/her seal carrying name, professional membership No., designation and complete official address:

1. Member of the Institute, with ACS/FCS No.

2. Gazetted Officer of the Central or State Government.

3. Manager of a Nationalized Bank.

4. Principal of a recognized School/College.

5. Officer of ICSI.

Unattested Identity Cards are not valid and the students are advised to carry duly attested Identity Card for various services during their visits to the offices of the Institute, Examination Centres, etc.

4. VERIFICATION OF PARTICULARS IN THE STUDENT ACCOUNT

Students are advised to invariably check the particulars in their online Account and point out discrepancies, if any, in name, photograph, signature, paper-wise exemption status, validity of registration, other particulars, etc. to avoid mismatches in Identity Card, Admit Card, Attendance Sheet, etc. which may create complications at the time of appearing in the examinations, declaration of results, issue of mark sheets, etc.

All the students are further advised to maintain uniformity in their signatures on student’s identity card, enrollment application and attendance sheet provided in the examination hall at the time of writing examinations.

5. REGULARISATION OF FOUNDATION PROGRAMME ADMISSION

Students provisionally admitted to the Foundation Programme are advised to upload the scanned copies of their Senior Secondary Marksheet/Pass Certificates for regularizing their admission at their online account at www.icsi.edu.Students, who have already uploaded/submitted their Senior Secondary Examination Markssheets/Pass Certificate and have not received any confirmation with regard to approval of their admission, must contact the Institute immediately either through online grievance Redressal module or ticketing mechanism of the Institute quoting the following particulars:

6. CANCELLATION OF PROVISIONAL ADMISSION

Provisional admission of the students, who fail to submit/upload the requisite proof of having passed the Senior Secondary (10+2) examinations within the stipulated time period of six months, shall stand cancelled and no refund of fee will be made.

7. ATTENTION STUDENTS!

DEDUCTION OF 30% OF THE TOTAL FEE REMITTED BY THE APPLICANT IN RESPECT OF REGISTRATIONS LYING PENDING FOR MORE THAN A YEAR

The Institute has decided to reject the applications of such students who do not submit the documents within one year after their registration in Foundation and Executive programme by deducting 30% of the fee remitted by them towards administrative charges after expiry of one year. Therefore it is advised that all such students may submit their documents in the stipulated time period failing which their registration applications would be rejected.

IMPORTANT ALERTS FOR STUDENTS

1. OPPORTUNITY FOR HIGHER EDUCATION WITH SCHOLARSHIPS FROM GOVERNMENT OF INDIA

The ICSI Student Education Fund Trust is providing financial assistance / scholarships on the basis of the marks scored by them in the qualifying examinations (10+2, Bachelor’ Degree, etc.). The scholarships are continued and ensure ‘zero cost’ education to meritorious students provided they are able to pass the different stages of examinations at the first attempt and first available opportunity.

Besides the above, Government of India and most of the State Governments in India are providing substantial amount of Post-Matric Scholarships to the eligible students belonging to minority communities, having disability and various other categories. For details of Scholarships available, students may please refer to the National Scholarship Portal at http://scholarships.gov.in/

Government of India has created the National Scholarship Portal as a Mission Mode Project under National e-Governance Plan (NeGP) to provide single-window services to the eligible students for availing scholarships against all the schemes of the Central and State Governments.

The students of CS Course are eligible to apply for scholarships provided by Central / State Governments under different schemes.

The Institute would like to emphasise that it is a golden opportunity to the students desirous of pursuing Company Secretaryship Course while availing scholarships from the Government. Eligible students shall be able to pursue the CS Course at subsidised/zero cost. The existing students of the Institute are advised to make use of such Scholarship Schemes apart from disseminating the details amongst their friends and relatives.

The “Chartered Secretary” Journal is published by the ICSI, with a view to ensure continuous up-gradation of the knowledge of the Members. The Journal is equally important for the students of the Institute. ATTENTION STUDENTS! Introduction of New Syllabus Foundation Programme

Examinations from June 2018 Session (Automatic Switchover to Foundation Programme (New Syllabus 2017) )

The Foundation Programme being the entry level to the Company Secretaryship Course and gateway to the profession of Company Secretaries, the Syllabus Review Committee based on the feedback received from various stakeholders has completed the formulation of detailed contents of the Foundation Programme. Salient Features and Requirements The salient features of the new syllabus for the same is summarized below :- 1. Effective date for New Syllabus

(i) The new syllabus of Foundation Programme will be effective from 1st April 2017.

(ii) There are four subjects under the new syllabus viz.

PAPER 1: BUSINESS ENVIRONMENT AND LAW PAPER 2: BUSINESS MANAGEMENT, ETHICS & ENTREPRENEURSHIP PAPER 3: BUSINESS ECONOMICS PAPER 4: FUNDAMENTALS OF ACCOUNTING AND AUDITING

2. First Examination

First examination under this new syllabus will be held from June 2018 session of CS examinations.

3. Switchover to new syllabus

The automatic switchover of all such Old Syllabus students has been affected in the system and details of

5. IMPORTANT INFORMATION FOR THE STUDENTS OF THE CS FOUNDATION PROGRAMME STUDY MATERIAL

All registered students who have uploaded their documents successfully and their application has been approved by the Institute are supplied with the set of study material. Those who have not received Study material, are therefore, advised to send their request /query through Grievance Solutions Cell or they can also download the study material from the website of the Institute at academic corner option. Details of submitting request through grievance solutions cell is given under the head “ICSI Grievance Solutions Cell”

6. SELF STUDY

The Institute provides a set of study materials to all the students of Foundation Program for self-study purpose. Students have the option to study the subjects of their own and appear in the next examination of the institute for which they are eligible or else they can get themselves enrolled at Class Room Teaching Centers of the Institute for coaching. Classes are conducted by most of the Regional/Chapter offices of the Institute located across the country.


INFORMATION ON SPECIAL INITIATIVES

1. Study Centres

The objective of the Study Centre Scheme is to break the distance barrier at the end of students for availing the services from the institute. Under the Scheme, Study Centers are opened in cities /areas, wherein the Institute's Offices are not in existence. Apart from providing basic services, the Study Centres also impart coaching to the students of various stages. 2. Third (3rd) International Company Secretaries Olympiad

for Academic Session (2018-19)

CS Olympiad has been established with the objective of enabling the student community to discover their potential in areas pertaining to Company Secretaryship and governance and identifying their interest to choose their stream of education.

As you are aware, the Second (2nd) International CS Olympiad was conducted on 23rd and 30th Janunary,2018 in which more than 1300 schools and about 34,000 students from different parts of the country and aboard have participated.

Students of class 11th& 12th from various locations have scored International Rank as well as Zonal Ranks in the same.

This year also various chapters of the Institute have already organized the Zonal Winners award ceremonies at Schools level.

1st phase of 3rd CS Olympiad was held on 20th Dec-2018 and 2nd Phase of 3rd CS Olympiad was held on 31st Jan, 2019.

1. DECLARATION OF RESULT OF COMPUTER BASED EXAMINATION FOR FOUNDATION PROGRAMME HELD IN DECEMBER, 2018

The result of Computer Based Examination (CBE) for CS Foundation Programme held on 29th and 30th December, 2018 was declared on Thursday, the 21st February, 2019 at 11:00 A.M. The result along with individual candidate’s subject-wise break-up of marks was made available on the Institute’s Website www.icsi.edu on 21st February, 2019 from 11.00 A. M. onwards.

2. ISSUING OF MARKS-SHEETS

According to the decision taken by the Institute, the dispatch of Result-cum-Marks Statement for Foundation Programme examination in physical form has been discontinued. Instead formal E-Result-cum-Marks Statement for the Foundation Programme Examination December, 2018 has been uploaded on the Institute’s website: www.icsi.edu to facilitate the candidates to download the same for their reference use and records. Students are advised to download the E-Result-cum-Marks Statement accordingly. Please note that no physical copy of Result-cum Marks Statement shall be issued to the candidates of Foundation Programme examination.

3. VERIFICATION OF MARKS OF COMPANY SECRETARIES EXAMINATIONS

In terms of Regulation 46 (2) of the Company Secretaries Regulations, 1982, as in force, a candidate can seek “Verification of Marks” in any subject(s) of CS examination within 30 days from the date of declaration of results. The application for verification of marks should be made by interested candidates in the prescribed mode with requisite fee @ Rs. 250/- per subject within 30 days (one month) from the date of declaration of results. Interested candidates can apply for verification of marks either through on-line mode or off-line mode by following the procedure hosted on the Institute’s website (www.icsi.edu) at: https://www.icsi.edu/media/webmodules/VOM.pdf

6. GRANT OF FACILITY OF WRITER’S HELP/EXTRA TIME TO PHYSICALLY DISABLED CANDIDATES IN COMPUTER BASED EXAMINATION – JUNE, 2019

Any physically disabled/challenged candidate having a minimum of 40% physical disability or deformity of permanent nature and who wishes to seek writer’s help and/or extra time for the purpose of appearing in Company Secretaries Examination is requested to submit a separate application in the prescribed format as specified below in addition to submitting his/her online enrolment application for appearing in the examination together with the attested photocopies of following documents and with full size photograph showing the disability:

(i) Disability Certificate issued by the Medical Board/doctor of not below the rank of Civil Surgeon/Medical Superintendent of a Central or State Govt. Hospital /Medical College, certifying the nature (normal physical functions; and

(ii) Letter of Permission issued to him/her by Sr. Secondary Board/University and/or any other professional/educational examining body, such as — UPSC, SSC, State Public Service Commission, The Institute of Chartered Accountants of India, The Institute of Cost Accountants of India, etc., granting him/her such assistance for appearing or writing the examinations.

Physically disabled candidates who had been granted facility of writer’s help/extra time in the previous CS examination(s) and wish to avail of such concession or assistance for writing the ensuing examination are required to apply again for each session of examination giving reference of communication allowing such facility granted in the past. In such cases, candidates are not required to submit the attested copies of above stated documents and full size photographs.

It is clarified that in case of disablement of temporary nature and injuries like, fracture in the arm, forearm or dislocation of a shoulder, elbow, wrist or any other illness, etc., the candidates are not eligible to seek any concession or assistance of writer and/or extra time.

The duly filled in application on the prescribed form along with the supporting documents, if any, should be sent to the Institute at the address given below at least 45 days in advance from the date of commencement of examination:

Communication regarding grant of writer’s help and/or extra time for writing the examinations is normally sent to the respective candidates 8-10 days before the commencement of each examination after the issue of Admit Cards/Roll Number.

7. WARNING AGAINST ADOPTION OF UNFAIR MEANS – DECEMBER, 2018 FOUNDATION PROGRAMME EXAMINATION

While considering matters concerning conduct of Institute’s December, 2018 Examinations, the Examination Committee of the Council of the Institute found the following examinee guilty of adopting of unfair means while appearing in Foundation Programme Examination :

Accordingly, the Committee – (a) cancelled the result of the candidate in respect of the appearance in December, 2018 examination; and (b) debarred the candidate from appearing in the next one session of examination, to be held in June, 2019. The Committee further observed that such an unbecoming behaviour was not befitting the aspirants intending to join the profession of ‘Company Secretaryship’ and, therefore, any such attempt to indulge in unfair practice by the examinees shall be viewed seriously.
