CONSTITUTION

ARTICLE I.

Name

This organization shall be known as THE TRAFFIC CLUB OF

PITTSBURGH.

ARTICLE II.

Object

The purpose for which the corporation is formed is for the

encour-agement and protection of trade and commerce,

by promoting a better understanding by the public of

transportation problems, by bringing into closer relations

shippers and those engaged In the transportation of

freight and passengers to advance their mutual interests

and by disseminating information relative thereto.

ARTICLE Ill.

Membership

Section 1

There shall be six classes of members: Resident, Non-

Resident, Life, Honorary, Student or Faculty and Corporate.

Transfer of membership between persons or companies is

not permitted. (Amended July 1, 2012)

Section 2

Persons engaged in the traffic and transportation field with

or without title, or officers or heads of other departments

interested in traffic or transportation, shall be eligible for

Resident, Non-Resident, Corporate, Student / Faculty

membership, subject to the following qualifications.

(A) Resident - Those whose place of business or office is

located within a radius of seventy-five (75) miles of the

City of Pittsburgh, other than Corporate or Student /

Faculty members.

(B) Non-Resident - Those whose place of business is

located outside a radius of seventy-five (75) miles of the

City of Pittsburgh, other than Corporate or Student /

Faculty members. Non-Resident members shall be entitled

to all of the privileges of membership, excepting voting or

holding office.

(C) Corporate – Those individuals employed by or serving

as an officer, partner, member, director or proprietor of a

corporation, partnership, limited liability company, limited

liability partnership, government agency, sole

proprietorship or other business entity electing to hold

Corporate membership status in compliance with

requirements established by the Board of Governors. The

Board of Governors shall have the authority to limit the

number of individuals and to establish the qualifications of

individuals entitled to membership under Corporate

membership status.

(D) Student / Faculty – Those individuals enrolled in or

having professional responsibility as faculty or

administration in an accredited college or university and

involved in a course of study, teaching or administration

related to transportation, supply-chain or business

management, logistics or related fields. (Section 2 -

Amended July 1, 2012)

Section 3

Resident, Non-Resident, or Corporate Members of this

Club, who have been members in good standing for ten

(10) years prior to their retirement from active duty or

have rendered outstanding service to the Club shall be

entitled to Life Membership. The responsibility for

determining those eligible for Life Membership shall rest

with the Board of Governors. Life members shall be

entitled to privileges of membership in accordance with

prior status as a Resident, Non-Resident, or Corporate

member. (Section 3 - Amended July 1, 2012)

Section 4

Honorary members may be elected by the Board of

Governors. The necessary qualifications for such member-

ship shall be that a member be a past president of the

Club or has rendered a distinctive service of sufficient

importance to the Club. Honorary Members shall be

entitled to privi-leges of membership In accordance with

prior status as a Resident or Non-Resident member. The

dues of Honorary and Life Members shall be prescribed by

the Board of Governors.

Section 5

(A) Application for membership shall be made on a blank

form provided for that purpose.

(B) Resident, Non-Resident, and Corporate members shall

be elected by a three-fourths vote of the Board of

Governors at any meeting. The Board of Governors shall

have authority to limit the number of members in each

category. (Amended July 1, 2012)

Section 6

Continuation of membership following a change in

company affiliation requires approval of a majority of the

Board of Governors.

Section 7

Resignations shall be made to the Secretary-Treasurer in

writing, but will not be accepted by the Board of Governors

until all indebtedness to the Club has been discharged.

Section 8

Any members, for cause, may be suspended or dropped

from membership by a three-fourths vote of the Board of

Governors present at any meeting.

ARTICLE IV.

Entrance Fee & Dues

Section 1

The amounts of Annual Dues for Resident, Non-Resident,

Student / Faculty and Corporate members shall be

determined by the Board of Governors in advance of the

fiscal year. The amounts of first year dues may be pro-

rated as determined by the Board of Governors. (Amended

July 1, 2012)

Section 2

All dues shall be payable annually on July first, which is the

beginning of the fiscal year. Any local, state or federal

taxes applicable will be in addition. Any member in arrears

two months shall be suspended, but may be reinstated by

a majority vote of the Board of Governors, present at any

meeting, upon payment of the indebtedness, provided

application for reinstatement is made within four months

from the date of suspension.

ARTICLE V.

Officers

The officers of the Club shall be President, First and

Second Vice Presidents, a Secretary-Treasurer and ten

Governors. The immediate past-president will serve as ex-

officio member. The Board of Governors may employ and

direct a Secretary-Treasurer in which case the duties and

responsibilities will be carried on under the direction of

the Board of Governors.

The President, the Vice Presidents and the Governors shall

constitute the Board of Governors; Provided That, no more

than three individuals having Corporate membership

status by reason of their employment or affiliation with the

same company, business or agency may serve on the

Board of Governors at any one time. The President shall

also act as Chairman of the Board of Governors. (Amended

ARTICLE VI.

Amendments

The Constitution may he amended by a two-thirds vote of

the members present at any regular or special meeting,

provided notice of such amendment is specified in the call

for the meeting. An amendment may also be considered

and adopted by mail ballot in the event the Board of

Governors approves mail balloting following the failure to

achieve a quorum at any regular or special meeting at

which consideration of that amendment was specified in

the call for the meeting. Amendment following mail

balloting, including electronic mail, facsimile, postal

service or other reasonable means of written submission

to all members eligible to vote, shall require two-thirds

affirmative vote of ballots returned on or before the date

specified by the Board of Governors in approving mail

balloting. (Amended November 4, 2013.)

BY-LAWS

ARTICLE I.

Order of Business

At all meetings of the Club, order of business shall be:

1. Reading of the minutes of previous meeting.

2. Report of the Board of Governors.

3.. Report of the Secretary-Treasurer.

4. Report of Regular Committees.

5. Report of Special Committees.

6. Unfinished Business.

7. New Business.

ARTICLE II.

Meetings

Section 1

The Annual meeting shall be held in June as designated by

the Board. Other meetings shall be held thereafter at such

time and place as designated by the Board of Governors.

Notice of all meetings shall be mailed to the members by

the Secretary-Treasurer at least one week prior to date of

such meeting.

ARTICLE III.

Nomination of Officers

Section 1

At least thirty (30) days prior to the Annual Meeting, the

Board of Governors shall appoint a Nominating Committee

of no fewer than nine (9) members, not more than three

(3) of whom shall be an officer or governor, who shall

nominate officers and governors to be voted upon at the

Annual Election. Nominating Committee members will

solicit candidates who express a willingness to serve as

Officers or Governors by participating in the monthly

Board meetings. (Amended November 4, 2013)

The Nominating Committee shall report the names of such

nominees as the Regular Ticket, to the Secretary-

Treasurer,

who shall mail same to each member of the Club at least

fifteen (15) days before the Annual Meeting. No person

shall be appointed to the Nominating Committee for more

than two (2) consecutive years. (Amended June 3, 2002)

Section 2

Any twenty or more Resident or Corporate Members may

prepare a Members' Ticket and present it to the Secretary-

Treasurer at least ten (10) days before the Annual Meeting.

The Members' Ticket so prepared shall not contain more

than four of the names appearing on the Regular ticket,

and if other Members' Tickets are so prepared, the same

restriction will apply. Such ticket or tickets shall be mailed

by the Secretary Treasurer to each member of the Club at

least seven (7) days prior to the date of the Annual

Meeting. (Amended July 1, 2012)

Section 3

Any Regular or Members' Ticket shall contain the name of

but one candidate for each office to be filled.

ARTICLE IV.

Election of Officers

Section 1

The Annual Election shall be held on the day of the Annual

Meeting at such place as may be selected by the Board of

Governors.

Section 2

The election will be held by viva-voce (voice) vote, unless a

motion is presented and passed by simple majority to have

voting proceed by show of hands, standing count, ballot or

roll call. Members may only vote for persons nominated in

accordance with Article Ill.

Section 3

The President and Vice Presidents shall be elected annually

by ballot at the Annual Election and shall serve for one

year, or until their successors are duly elected.

Section 4

Five Governors shall be elected annually by ballot at the

Annual Election and shall serve for two (2) years or until

their successors are duly elected.

ARTICLE V.

Duties of Officers

President and Vice Presidents - Section 1

(A) The President, in addition to the duties prescribed

herein, shall preside at all meetings of the Club.

(B) In the absence of the President, the ranking Vice

President shall preside at all meetings of the Club.

(C) In the absence of the President and Vice Presidents, the

presiding officer shall be chosen by the members of the

Board or Governors present.

Secretary – Treasurer - Section 2

(A) In addition to the usual duties of that office, collect all

dues and receive all moneys.

(B) Disburse same on vouchers signed by the President or

by the First Vice President, after approval by the Board of

Governors.

(C) Advise delinquents of their indebtedness.

(D) Deposit or invest club funds in a bank or trust

company or securities as approved and directed by the

Board of Governors.

(E) Furnish a bond which shall be satisfactory to the Board

of Governors, the premium of same to he paid by the Club.

(F) Accounts of the Treasurer shall be examined by the

Auditing Committee at least ten (10) days before the

Annual Meeting.

Board of Governors - Section 3

(A) The Board of Governors shall control all of the affairs of

the Club. They shall fill all official vacancies, authorize all

expenditures, and interpret the Constitution, By-Laws and

Rules.

(B) The Board of Governors shall have power to suspend,

expel or reinstate at its discretion.

(C) The President or ranking Vice President shall preside

at all meetings of the Board.

ARTICLE VI.

Committees

Section 1

At the first meeting of the Board of Governors after the

Annual Election, the President shall announce the

appointment of the following standing committees:

Membership

Roster / Historical and Provident

Section 2

The President shall appoint the Chairman of each

Committee. The Board of Governors shall specify the

appropriations for each Committee during the year and

shall assign to them their duties.

Section 3

The President shall appoint such special committees as the

Board may decide upon from time to time.

Section 4

A Long Range Planning Committee will be established by

the President consisting of nine members approved by the

Board of Governors. The initial appointment shall be three

members for a one year term, three members for a two

year term, and three members for a three year term. Each

succeeding year, upon the retirement of three committee

members, vacancies will be filled for a three year term by

the President with the approval of the Board of Governors.

At the first meeting of the Board of Governors after each

annual election, the President shall appoint two members

of the committee as Chairman and Secretary. The purpose

of this committee is to study, analyze, develop and

propose long range goals, programs and policies

consistent with the objectives of the Club as set forth in

the Constitution.

ARTICLE VII.

Amendments

These By-Laws may be amended by a two-thirds vote of

the members present at any regular or special meeting,

provided notice of such amendment is specified in the call

for the meeting. An amendment may also be considered

and adopted by mail ballot in the event the Board of

Governors approves mail balloting following the failure to

achieve a quorum at any regular or special meeting at

which consideration of that amendment was specified in

the call for the meeting. Amendment following mail

balloting, including electronic mail, facsimile, postal

ARTICLE VIII.

Rules of Order

Robert's Rules of Order shall govern the procedure at

meetings of the Club so far as they may be consistent with

the Constitution and By-Laws.

PROGRAM• OBJECTIVES •

To foster, promote and reward the scholastic efforts of college students who, by their outstanding

academic achievements and selection of major courses, have demonstrated the potential to make

meaningful contributions upon joining the ranks of working transportation professionals.

In addition to its undergraduate scholarship, a sponsorship donation of $5,000 was made to the

Tepper School of Business at Carnegie Mellon University to support the Operations Club’s 20th

annual International Case Competition

The Traffic Club salutes its generous members supporting the 2016 Scholarship Program. Their generosity and

continuing commitment allows the club to award scholarships to college students who have chosen a career in logistics

and supply-chain management. These generous donations also allow the club to make a $5,000 sponsorship grant for

the International Case Competition hosted by the Operations Club at Carnegie Mellon University’s Tepper School of

Business.
