RES.#B230/11 - REQUEST FOR LIMITING DISTANCE AGREEMENTSouth side of 522 Marksbury Road, City of Pickering, Regional Municipality of Durham, CFN 46748. Toronto and Region Conservation Authority is in receipt of a request from Mr. Zhiyi Zhou to enter into a Limiting Distance Agreement relating to a 3.8 metre strip of TRCA-owned land located on the south side of 522 Marksbury Road, City of Pickering, Regional Municipality of Durham, Waterfront watershed.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT Toronto and Region Conservation Authority (TRCA) enter into a Limiting Distance Agreement with Mr. Zhiyi Zhou relating to a 3.8 metre strip of TRCA-owned land containing a total of 0.008 hectares (0.02 acres), more or less, of vacant land described as Part of Lots 31, 32 and 33 on Plan 270, City of Pickering, Regional Municipality of Durham, on the following basis:

(a) the sale price to be paid by Mr. Zhiyi Zhou is to be $13,600.00;

(b) Mr. Zhiyi Zhou is to be responsible for all legal, survey and other costs associated with completing the transaction, including any fees required for municipal approvals (such as Minor Variance application, Site Plan Control application, etc.) as deemed necessary by the City of Pickering;

(c) TRCA lands affected by the agreement are to be 3.8 metres in width and the depth is to be 20.959 metres, as shown on a Site Plan prepared by Valdembuilt Inc., under their project No. 2011-010, DWG-1, Revision 4, dated November 20, 2011;

(d) the building restrictions on the 3.8 metre strip of TRCA land are to be satisfactorily defined to ensure that normal park operation, paths, trails, etc., are guaranteed without objection;

(e) this agreement does not restrict City of Pickering or TRCA staff from exercising their normal planning review and comment process;

(f) the agreement is to continue and be binding upon TRCA so long as the new construction remains in place;

(g) the agreement will be revoked or terminated upon receipt of written notice from the City of Pickering that the new construction has been removed or no longer exists;

AND FURTHER THAT authorized TRCA officials be directed to take the necessary action to finalize the transaction including obtaining needed approvals and signing and execution of documentation.

BACKGROUNDMr. Zhiyi Zhou is proposing to construct a two storey single family dwelling at 522 Marksbury Road which abuts vacant TRCA-owned land on the south side of his lot. TRCA also owns land along the Lake Ontario Waterfront Trail on the adjoining parcel to the south which is being managed by the City of Pickering Operations & Emergency Services Department.

To take advantage of the scenic view of Lake Ontario, Mr. Zhiyi Zhou will be substantially increasing the amount and size of windows / doors on the southerly face of the proposed dwelling. To allow a substantial amount of openings on the south side of the new dwelling, the City of Pickering requires that the abutting landowner agree not to construct a building within a certain distance of the property line (3.8 metres in this instance), as stipulated in the Ontario Building Code (OBC).

The OBC regulates the size of "unprotected openings" such as windows and doors in relation to their distance from the property line. A "limiting distance" is required to reduce the risk of fire spreading from a building situated on one property to a building located on an adjacent property. The depth of the limiting distance (20.959 metres in this case) mirrors the depth of the proposed residential dwelling. In order to permit a greater percentage of openings, Mr. Zhiyi Zhou is seeking permission to use a portion of TRCA land in the required setback calculations in order to comply with the fire regulations contained in the OBC.

Attached is a plan showing the location of the subject lands.

RATIONALEThe Limiting Distance Agreement will not result in any detrimental impact on the subject TRCA land nor the current use of the property.

FINANCIAL DETAILSMr. Zhiyi Zhou has agreed to the sale price of $13,600 for the Limiting Distance Agreement and all legal, survey and other costs associated with completing the transaction.

RES.#B231/11 - WILD WATER KINGDOMApproval of Consolidated Lease with WWK Recreation Inc.. Recommends approval of a consolidated, updated lease with WWK Recreation Inc.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT WHEREAS Toronto and Region Conservation Authority (TRCA) is in receipt of a request from Wild Water Kingdom Ltd. (WWK) to agree to a consolidated, updated lease with WWK Recreation Inc.;

AND WHEREAS it is the opinion of TRCA that it is in the best interests of TRCA in furthering its objectives, as set out in Section 20 of the Conservation Authorities Act, to enter into the lease with WWK Recreation Inc. in this instance;

THEREFORE LET IT BE RESOLVED THAT approval be granted to enter into a lease with WWK Recreation Inc.;

THAT terms and conditions of the lease be satisfactory to TRCA staff and solicitor;

THAT the amending lease be subject to approval of the Minister of Natural Resources in accordance with Section 21(2) of the Conservation Authorities Act;

AND FURTHER THAT authorized TRCA officials be directed to take any action needed to implement and manage the lease agreement including seeking necessary approvals and signing and execution of documents.

CARRIEDBACKGROUNDThe first water park at Claireville was created in 1986 under the name "Sunshine Beach" in response to the need to have swimming facilities at Claireville after the reservoir was deemed unsuitable. The owners of Sunshine Beach went into receivership and the water park was sold to the current owners in 1989. The park was renamed "Wild Water Kingdom".

Since 1989, there have been various amendments to the lease of lands for the water park. Also, the park owners have continued to develop new attractions on the site and to diversify the nature of their recreational offerings. They added a number of new slides and water play areas to the existing water park. More recently, they have added a sports dome to the area which is used for indoor soccer and other sports. The dome has enabled WWK to extend its season which adds needed cash flow in the winter months.

In 2011, the Authority approved the building of a driving range on the northerly portion of the lands under license to WWK. Elsewhere in the Executive Committee agenda is a report in which WWK seeks approval for a paintball facility on the unused southerly portion of the leased lands.

RATIONALEIn late 2010, TRCA and WWK began a review of the lease and the various amendments that had been approved over the years. Because WWK had assumed the previous lease with Sunshine Beach and the various agreements with the receiver during the sale process, there existed a number of different documents that together formed the "lease". TRCA and WWK decided to take the opportunity to consolidate all the documents into a single lease document.

In 2011, WWK advised that a reorganization of WWK was being undertaken and has requested that the consolidated and updated lease be with WWK Recreation Inc. The new entity has as its principals essentially the same people as the previous entity. The substantive terms and conditions of the lease remain the same, i.e. the term of the lease, the rent requirements, approval of major new activity, continuing investment in the facility, upkeep and maintenance, etc. Staff has made minor adjustments to some of the original terms and conditions to reflect the fact that WWK now has year round activities instead of purely seasonal and changes in law such as the HST. Also, the consolidated lease includes some lands that had not previously been included (Attachment 1).

The terms and conditions of the lease are confidential. If the Executive Committee wishes to discuss details of the lease or the WWK reorganization and the purposes thereof, then this must done "in private session".

Staff recommends that approval be granted to enter into the consolidated lease with WWK Recreation Inc. TRCA and WWK have enjoyed a successful working relationship. WWK has adhered to the terms and conditions of the lease and on occasion when it has requested deferral of rent has always paid the rent with interest within the agree upon time frames.

Under the terms of the lease, TRCA has the right to approve an assignment, acting reasonably. The consolidated lease is a more effective document for management of the leased lands. The consolidated lease has been prepared under advice from TRCA's solicitor.

FINANCIAL DETAILSThere are no financial implications of the approval. TRCA continues to receive the existing rents and payments as required by the existing lease.

RES.#B232/11 - WILD WATER KINGDOMRequest for Approval of Paintball Facility. The owners of Wild Water Kingdom have requested approval under the terms of the lease to operate a paintball facility on the southerly portion of the leased lands.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT pursuant to the lease agreement between Toronto and Region Conservation Authority (TRCA) and Wild Water Kingdom Inc. (WWK), construction and operation of a paintball facility and subletting or licensing of the facility at WWK be approved;

THAT the paintball facility shall be constructed in accordance with regulatory and permit requirements of the City of Brampton, Region of Peel, TRCA and all other applicable authorities;

THAT the paintball facility shall satisfy all of the requirements of the Province of Ontario relating to health and safety, operation of an amusement facility and environmental regulations and all other applicable authorities;

THAT WWK shall satisfy all terms and conditions as may be required by TRCA staff and solicitor as necessary;

AND FURTHER THAT authorized TRCA officials be directed to take the action necessary to permit the subletting including providing approvals and signing and execution of documents, subject to staff being satisfied with the terms of the subletting or license.

CARRIEDBACKGROUNDLand in the former Claireville Conservation Area adjacent to the Claireville reservoir and immediately north of Indian Line Campground is leased for purposes of operating a water park and ancillary facilities. Under the terms of the lease, major capital development must be approved by the Authority. Approval is being requested for a paintball facility on lands immediately west and south of the existing WWK water park, adjacent to Finch Avenue on the west and the CP Rail line to the south. These tablelands include the grassed parking area used occasionally as overflow parking and vacant fields.

RATIONALEThe initial activity created under the terms of the lease, the water park, is very seasonal and the tenant has sought to expand the activities to create year round revenue. The sports dome was approved by TRCA and constructed about five years ago. Last year, an evening drive-in theatre program in the parking lot began. In 2011, TRCA approved construction of a driving range facility on the northerly portion of the property which was a former parking lot. The driving range will commence operation in 2012.

The remaining, unused portion of the site is land to the west and south bordering Finch Avenue and the CP rail line. This has been used for storage and a grassed area was used for occasional parking. Delta Force Paintball is seeking to provide a paintball facility on these lands under a sub-lease or license. Attached is a drawing illustrating the area being considered for this activity as well as information about the paintball activity. The following summarizes the proposal:

proponent is Delta Force Paintball (DFPB), an international firm established in 1989 in the

United Kingdom;provides facilities world wide, over 500,000 players in 2010;

proposed location at WWK would be the first in Canada, described as a "flagship" location;

operating season mid-March to mid-October; anticipate 150 to 200 players each day, about

20,000 annually;layout of the seven game fields illustrated in attached drawing;

safety is a key concern and includes perimeter netting 20 to 40 feet high; close supervision

and instruction of participants concerning safety equipment;the paintballs used in the operation are 100% bio-degradable materials. The paintballs are

composed of a vegetable-derived food colourant enclosed in a gelatin skin and they fully bio-degrade in a matter of days, breaking down into carbon dioxide and water. “MSDS Sheets” (Material Safety Data Sheets) and a letter from the “Society for Protection of British Woodlands (SPBW)” have been provided;"Over the years, Delta Force has established and maintained an impeccable reputation with

land owners catering not only to cleanliness but also to environmental concerns that landowners may have".

Staff is recommending approval of the request subject to all terms and conditions of TRCA being satisfied. The site where the paintball facility would be located is disturbed and has been used previously as a parking lot. It appears that tree removal can be minimized, certainly the proponent is anxious to minimize tree removal to reduce the costs of preparation. There appear to be no significant regulatory or flood plain issues but TRCA planning staff will advise.

The project is considered complementary to the existing entertainment and recreational uses on the site. The project is consistent with the Claireville Master Plan designation for the area to the south of Steeles Avenue.

FINANCIAL DETAILSThe project cost is entirely the responsibility of the tenant and sub-tenant. Revenue from the paintball facility will be included in the gross revenue of the tenant from which TRCA receives percentage rent.

Details of the business relationship between WWK and DFPB are confidential. All terms and conditions of the existing lease between WWK and TRCA must be satisfied in the sub-lease to DFPB.

DETAILS OF WORK TO BE DONEStaff has not received detailed plans and specifications for this work. When received, the plans and specifications will be reviewed and all TRCA requirements will be identified and met prior to TRCA staff granting approval to proceed.

It is intended to have the paintball facility in place for the summer of 2012. The paintball facility is being constructed by Delta Force Paintball, an international company with facilities in Great Britain, South Africa, Australia and New Zealand, whose representatives will be available at the meeting to make a presentation or answer questions if desired by Members.

Description of DFPB project at Wild Water Kingdom We are excited to launch our newest expansion into Canada with Wild Water Kingdom (WWK) as our flagship location. We expect to take advantage of the annual attendance of 200,000+ guests that already visit the water park, which has already established itself as a premier destination for recreation and entertainment over its 20+ year history.

Our operating season will be from Mid-March to Mid-October (7 months). Typically, we would be open (9am till dusk) on weekends unless 20+ people book the venue during weekdays. However, we expect to be open more frequently when the water park is in operation during the summer months. We anticipate 20,000+ players annually with a daily attendance averaging 150 to 200 guests. Initially, all players will be required to make a reservation prior to game day. However, ‘walk-up’ guests would be accommodated during the summer months when the water park is in operation.

Our facility at WWK will consist of 7 Game Fields, Base Camp, Restrooms, and a Parking Area (see attached “Field Diagram Layout” and “Base Camp Layout”). The Base Camp is a central point for game day operations and is used to house equipment, paintballs, coveralls, snack, drinks, lockers, etc.

Each of the 7 Game Fields will have a distinct theme and feature a variety of props which will be removable so that game zone can easily be adjusted in the future. We plan to have the following themes at the WWK location (see attached for individual descriptions of each game field):

Delta Force game zones are of a superior quality and we are proud of the efforts we make to ensure a safe and high quality gaming experience. The perimeter of the entire venue will be enclosed in high paintball netting ranging from 20ft to 40ft, as indicated in the proposed layout.

For your information, the paintballs used in our operation are 100% bio-degradable materials. The paintballs are composed of a vegetable-derived food colourant enclosed in a gelatin skin and they fully bio-degrade in a matter of days, breaking down into carbon dioxide and water. Please refer to attached “MSDS Sheets” (Material Safety Data Sheets) and a letter from the “Society for Protection of British Woodlands (SPBW)”. Over the years, Delta Force has established and maintained an impeccable reputation with land owners catering not only to cleanliness but also to environmental concerns that landowners may have. Please refer to attached testimonial documents “Blagdon Estate”, “Mapledurham Estate” and “Broadlands Estate”.

As the largest and best provider of paintball playing fields in the world, DFPB will elevate the paintball experience in the Greater Toronto Area to a level as yet unseen in this market. We believe that our paintball facility will complement and further expand the diverse recreational activities currently offered at WWK. We are excited about this project and believe that the synergistic relationship between our two companies will result in a very successful business venture.

CARRIEDRATIONALETRCA is in receipt of a request for deferral of Wild Water Kingdom 2011 rent and other monies owing to TRCA pursuant to the lease of land at Claireville Conservation Area. This facility along with many outdoor recreational venues, is subject to inclement weather conditions during its prime season, July and August. The sports dome for soccer, football and other sports activities is now beginning to generate year round revenues beyond those of the existing water park and mini-golf. This has the benefit of reducing the impact of poor summer weather conditions.

In 2011, an agreement with a builder/operator of golf driving ranges was approved by the Authority and will be operational in the spring of 2012. The addition of a "zip-line" within the existing water park in 2012 is planned and approval from TRCA for a "paintball" facility on the southerly portion of the leased lands is being sought. These facilities will contribute to increased revenue on the site.

Under the terms of the existing lease, interest is payable on deferred rent and all outstanding accounts in the amount of prime plus 1%. Over almost 20 years, rents for the leased lands have always been paid and staff has had a good working relationship with the owner/manager.

Staff has reviewed all the outstanding payments and determined the final amount of rent and other charges owed to TRCA. This is determined to be $310,693. The attached letter proposes the following payment schedule:

Monthly payments of $40,000 commencing January, 2012, and ending May, 2012, for a

total of $200,000.Payment of $110,693 plus interest on June 15, 2012.

Interest would apply to payments from the date the payment was originally due.

Under the terms of the lease, if there is a default, TRCA stands ahead of all other creditors. TRCA may decide to terminate the lease, in which case, unless the tenant's lender pays the arrears and puts the lease in good standing, TRCA would be entitled to take the lands, improvements and fixtures and either lease the waterpark with the equipment etc. to another operator, close the park or operate the park.

Staff recommends that the proposal be accepted and that the necessary legal arrangements be put in place. TRCA has agreed to such proposals in the past and payment has always been made. The interest charged is favourable to TRCA. TRCA is in a secure position in terms of any default. Significant efforts are being made to add to WWK's revenue capacity and mitigate the seasonality of the water park itself.

CARRIEDBACKGROUNDSituated just north of Toronto, on 325 hectares of pristine woodlands, Kortright Centre for Conservation combines a natural oasis with some of the most leading edge sustainable education programs and events in Canada. The Centre hosts over 100,000 visitors annually and offers over 50 environmental education programs for schools and 30 sustainable technology workshops for the public, trades and professionals.

The Kortright Visitor Centre is a 30,000 square foot, three level post and beam structure, with a 140 seat theatre, eight classrooms, a cafe and gift shop. The Visitor Centre is the hub of all the recreational programs and activities that are featured in the building and on the trails that provide avenues to either natural adventures such as hiking, skiing, orienteering, geocaching, birding and dogsledding, or lessons in the latest sustainable energy or green building demonstrations.

In order to continue as Ontario's premier environmental and renewable energy education and demonstration centre, TRCA's Kortright Centre for Conservation planned to conduct a building retrofit that would see a dramatic reduction in the Centre's energy/carbon footprint and the revitalization of the building as a whole. The retrofit was phased with the commencement of Phase 1 being initiated in September 2010 with the contracting of Levitt Goodman Architects Ltd. (LGA) for professional consulting services . Staff received approval for award of this contract from TRCA's Chief Administrative Officer under TRCA's Purchasing Policy, in part as follows:

LGA worked closely with TRCA staff to prepare detailed design drawings and specifications to address the deficiencies in regards to the building envelope and its sub-systems. The scope of work for Phase 1 included:

replacement of the existing HVAC system with a geothermal ground source heat pump 1.system;replacement of windows and doors on the mezzanine and lower level;2.installation of an Energy Recovery Ventilation unit; and3.structural repairs to the balcony.4.

LGA administered the tendering for a general contractor and was responsible for the site review and contract administration satisfactory to TRCA staff. Construction of the Phase 1 retrofit started in May 2011 and is to be substantially completed in February 2012.

The initiation of Phase 2 of the retrofit will include detailed design for the rehabilitation of the exterior walls and roof of the building. Additional glazing and skylights will be proposed to introduce more natural light into the building. As well, a new outdoor high-level viewing platform on the Mezzanine level will be developed to address the overall functionality of the building. TRCA staff will provide the required input to ensure the final design drawings provide solutions to create a cohesive design for the entire building envelope. Similar to Phase 1, working drawings and contract documents are to be developed and used for the issuing of all building permits and tendering services for implementation of construction in spring 2012.

RATIONALEAs funding was identified in 2012 to implement Phase 2 and acknowledging that the specified components of construction are season dependant, it is imperative that the remaining tasks related to the planning and design phases of the project be completed as soon as possible to allow sufficient time for construction to be completed.

Recognizing that it normally takes several weeks for a consulting firm to become familiar with a project and develop digital drawings, the recommendation to retain LGA through a sole source agreement is based on their special knowledge of the Kortright Visitor Centre from their work on Phase 1 of the project, and the resulting ability to expedite the development of detailed design to meet the revised timelines for construction given this special knowledge.

Staff therefore recommend award of the contract on a sole source basis as per Section 1.14.5 of TRCA's Purchasing Policy as follows:

The required goods and services are to be supplied by a particular vendor or supplier having special knowledge, skills, expertise or experience that cannot be provided by any other supplier.

LGA has worked successfully with TRCA on Phase 1 of the retrofit, and has amassed a wealth of knowledge concerning the construction of the 30 year old structure which results in a significant savings of both time and money on this project by utilizing their services. Furthermore, staff has reviewed the quoted fee from LGA and feel that the cost of their services is of good value considering the scope of work for Phase 2.

WHEREAS Toronto and Region Conservation Authority (TRCA) has received federal funding (ending March 2012) to lead a national climate adaptation project in partnership with Canadian Water Resources Association (CWRA), Canadian Foundation of Climate and Atmospheric Science (CFCAS), Institute of Catastrophic Loss Reduction (ICLR) and federally-funded Regional Adaptation Collaborative (RAC) projects across Canada;

WHEREAS TRCA staff has established an Advisory Committee of water resources experts from across Canada to advise on all aspects of project implementation including selection of an appropriate consulting firm to work on key project deliverables;

WHEREAS the project was initiated late November 2011 due to delay in finalizing federal agreement and formalizing an Advisory Committee;

WHEREAS a Request for Proposal (RFP) to retain a consultant was issued on January 17, 2012 with a closing deadline of February 1, 2012 and a consulting firm must be retained prior to the first meeting of the Advisory Committee on February 14, 2012;

THEREFORE LET IT BE RESOLVED THAT the Chief Administrative Officer be delegated the authority to approve award of contract based on the project selection committee review and staff recommendations.

CARRIEDBACKGROUNDTRCA has received approval of a grant in the amount of $250,000 from Natural Resources Canada for the project titled “Toward National Water Adaptation Guidance: Bringing Together Knowledge and Best Practices in Climate Change and Water Resources Adaptation”. This grant is part of Regional Adaptation Collaborative (RAC) money and is matched by in-kind and cash contributions by project partners.

The objective of the project is to enhance dialogue and transfer of information on climate change adaptation strategies for Canada’s water resources. The project agreement (including changes to the budget and project scope) was approved towards the end of November 2011. In December 2011 staff approached leading water experts in Canada with a formal request to participate on the project Advisory Committee. In January 2012, the project scope was further refined and a Request for Proposal was develop in consultation with the Advisory Committee to retain the services of a consulting firm.

The following deliverables constitute the outputs of this project:Compendium for Practitioners: A compendium of resources, tools and science to be 1.used by practitioners and decision makers as they plan and implement water-related climate change adaptation programs locally. The specific pieces of knowledge to be incorporated are state of the art practices, applied science (i.e. analysis frameworks and theories), practical tools and illustrative case studies. This information will be organized as an online, searchable and updatable database, accompanied by a hard-copy version. A user’s manual will also be created for the online compendium.

A Knowledge Exchange Forum and Water Adaptation Showcase Event: This event 2.will bring all of the water-related RAC projects, key national water adaptation stakeholders, experts, policy makers and practitioners together to discuss relevant science, resources, tools and policy approaches that need to be peer-reviewed. An additional objective is to provide a venue for dialogue and sharing of best practices and identifying gaps in water resource adaptation across Canada. This discussion will be oriented toward providing input to refine the compendium and create summary briefing report on water adaptation. It is anticipated that approximately 70 people will participate in the event.

Briefing Report: A summary report identifying key strengths and gaps in current 3.adaptation state of practice, and recommendations for future research and for national, regional, provincial and territorial policy makers to support local adaptation. The specific focus of this report will be refined based on expert and stakeholder input.

RATIONALEThe RFP was released on January 17, 2012 and the deadline for submissions was February 1, 2012. The RFP was sent to the following eight consulting firms identified by TRCA staff:

Proposal EvaluationA seven-person evaluation committee consisting of representatives of TRCA, Natural Resources Canada, CWRA, CFCAS and Ministry of the Environment will be reviewing proposals on Monday, February 6, 2012. The selection committee will prepare a detailed report with selection criteria and recommendations. TRCA's Purchasing Policy dictates that the award of contract be made by the Executive Committee, but due to the tight timeline for the project the bids could not be properly evaluated in advance of the February 3, 2012 Executive Committee meeting, and delay in retaining the consultant until the February 24, 2012 Authority meeting will pose risk to project completion by the required deadline and use of federal funding by March 31, 2012. The Ministry of Natural Resources (MNR) warm water fisheries timing window will apply unless otherwise specified in writing by MNR. A Letter of Advice will be written by TRCA staff on behalf of Fisheries and Oceans Canada (DFO) for this project.

The purpose is to replace a failed culvert and walkway with a 10m long pedestrian bridge, including rehabilitation of the creek channel.
