The Capitol Connection Q&A for Contractors By Shauna Krause, Capitol Services, Inc.

Government regulation is often complex and can be easy to misinterpret. Sometimes the ‘scope of work’ extends beyond the written rules, as our “B” readers have learned. As might be expected, the actual practice of ‘interpreting’ the written rules often lead to some interesting and unique ‘exceptions’ in their actual application…

Q: I am thoroughly confused about Solar contracting and what classification is necessary for what we are doing. We have a “B” (General Building) license and I understand that we need to be doing at least two unrelated trades on our jobs.

I’ve heard that “B” contractors can do Solar, but then I’m thinking that doesn’t meet the two unrelated trades rule. I have also seen many “C-10” (Electrical) contractors performing this work. Are “C-10” contractors also authorized to perform all types of Solar contracting, even if, for example, it’s a ‘solar farm’ that includes some structures? Can you please clarify this for me?

A: Solar energy systems constitutes the use of two unrelated building trades in and of itself, which is why the CSLB has determined that a General Building (“B”) contractor can perform Solar work. Keep in mind that Section 7057 states that a “B” contractor’s principal contracting business should be in connection with a structure being built. Therefore, the law

implies that a “B” contractor can do solar, but only in connection with a structure.

“C-10” Electrical contractors are authorized to perform any Solar projects which generate, transmit, transform or utilize electrical energy in any form for any purpose.

In a recent column, I responded to a question that a “consumer is not required to pay a contractor who is not properly licensed during the entire length of the project.” A sharp reader (who is also an attorney) correctly pointed out that this is not always the case. He noted that this is an issue he has dealt with in court and does not believe this is an accurate statement of the law in California. He said he “knows that the devastating consequences of non-compliance are not automatically applied if there are appropriate circumstances to mitigate such a result”.

Code Section 7031 deals with this issue and Subsection (e) states “the court may determine that there has been substantial compliance” potentially negating the Draconian impacts of the remaining portions of the law.

I must also point out that the questioner noted that she “checked out his license and found that it’s currently suspended.” The exception is that since some “suspensions” can be erased by the contractor filing a backdated Bond or Worker’s Compensation certificate, consumers may not want to withhold payment - unless they are sure this license ‘Suspension’ is part of the official record. And even then, as noted by our reader attorney, there may be extenuating circumstances. Before taking any action of this nature it’s always a good idea to get a legal opinion.

Again, if a consumer or contractor has a question regarding payments related to B&P Section 7031, it is best to consult with a construction attorney who can provide you with legal advice. As we are limited by space requirements some answers on contractor licensing have unique exceptions not related to the primary question. Readers are always welcome to share their knowledge here in clarifying an answer.

Bill That Would Allow Employees to File Liens Against Employer’s Property Moves OnThe Assembly Labor Committee approved AB

2416 (Stone) on a 5-2 vote (Democrats voted for,

Republicans against) on Wednesday that would

allow any employee, governmental agency, or

anyone “authorized by the employee to act on

the employee’s behalf” (like an attorney) to

record super priority liens on an employer’s real

property or any property where an employee

“performed work” for an alleged, yet unproven,

wage claim. This bill would severely disrupt

commercial and personal real estate markets in

this state as AB 2416 would allow a wage lien

to take precedence over almost all other liens or

judgments!

This bill is a classic example of the employer

community banding together in a coalition

to do battle against the sponsors, the Service

Employees International Union (SEIU), which

is the state workers’ union. Because this is such

an important bill to every employer within the

state (although it exempts work performed under

a valid collective bargaining agreement), I am

attaching a copy of the coalition letter that you

will note contains our name and logo. So too,

I am attaching a copy of the Assembly Labor

Committee’s analysis so you can read both sides

of the argument.

Due to its importance, this bill has been double

referred, meaning that it is set to be heard in the

Assembly Judiciary Committee (most bills only

go through one policy committee in each house

rather than two like this one). While this gives

our coalition another ‘bite at the apple’ expect

this bill to pass out of this committee next week

as well.

In the end, it will fall on my colleagues and

me to ‘sway’ enough moderate Democrats

likely when the bill moves over to the senate to

kill it. Otherwise, our job will be to convince

the governor of its danger to virtually every

employer in the state. Stay tuned.

CARB Adopts changes to Bus And Truck RegulationsProvides limited additional time for small

fleets while still protecting air quality

The California Air Resources Board today

adopted amendments to its Truck and Bus

Regulation that will provide new flexible

compliance options to owners of aging diesel

fleets and recognize fleet owners that have made

investments to comply, while also protecting air

quality.

The changes approved at today’s Board hearing

provide additional regulatory flexibility to small

fleets, lower use vehicles, and fleets in rural areas

that have made substantial progress towards

cleaner air. Fleets that have invested in cleaner,

compliant equipment and trucks will be able to

use credits longer and any vehicles retrofit by

2014 do not have to be replaced until 2023.

“We recognize the enormous investments that

many businesses have already made to clean

up their equipment and abide by the terms of

the regulation,” said ARB Chairman Mary D.

Nichols, “but we are also aware that, particularly

for many rural areas of the state, economic

recovery has been painfully slow and funding for

improvements scarce.”

“By providing limited additional time for certain

fleets to comply, we believe that we’ll have

higher compliance rates overall. It’s a difficult

balance but we believe that this is a fair approach

that offers flexibility to those who need it, while

also rewarding those business owners who have

already upgraded their vehicles to meet the

requirements of the regulation.”

Nichols also said that the amendments, while

potentially delaying compliance for some, will

still protect air quality, preserving 93% of the

NOx (oxides of nitrogen) and diesel particulate

matter

(PM) benefits of the original regulation.

The amendments include:

• A longer phase-in period for diesel PM

requirements for trucks that operate

exclusively in certain rural areas with

cleaner air;

• Additional time and incentive funding

opportunities for small fleets;

• A new compliance option for owners who

cannot currently afford compliance;

• Expansion of the low-use exemption and the

construction truck extension;

• Recognition of fleet owners who have

already complied by providing additional

“useable life” for retrofit trucks and reducing

near-term compliance requirements. The

amendments will still ensure that, by 2020,

nearly every truck in California will have

a PM filter, consistent with the goals of the

Diesel Risk Reduction Plan.

Fast Facts on Diesel Emissions:• Diesel exhaust contains a variety of harmful

gases and more than 40 other known cancer-

causing compounds. In 1998, California

identified diesel particulate matter as a toxic

air contaminant based on its potential to

cause cancer, premature death and other

health problems.

• The Truck and Bus Regulation (Regulation)

was adopted in 2008 to clean up harmful

emissions from nearly all heavy-duty

diesel trucks operating in California. The

Regulation was amended in 2010 to provide

economic relief to truckers affected by

the recession, particularly small fleets, by

delaying the first compliance requirements

by one year and extending the time the truck

could be operated before needing to be

replaced.

• Approximately 1 million trucks operate

annually on California highways. Roughly

625,000 are based out of state. Of the

remaining 400,000 registered in California,

about half are in small fleets of three or less.

• The Regulation currently requires most

heavy trucks in California to install soot

filters or upgrade to newer models with

filters by Jan. 1, 2014, and that nearly all

trucks have them installed by Jan. 1, 2016.

• For small fleets (three or fewer vehicles), Jan.

1, 2014, was a critical compliance milestone

because for the first time at least one vehicle

in each fleet needed to comply.

• At its October 2013 meeting, the Board

heard an update on the Regulation and

agreed with staff’s proposal to move

forward with a number of near-term

strategies to provide flexibility while

not compromising the overall reduction

and health benefits to be achieved by the

Regulation.

• The changes were developed after some

stakeholders voiced

• concerns regarding their ability to comply

with the Regulation at the October 2013

Board hearing. Truckers were able to

expand on these concerns at five ARB-

sponsored public workshops held across the

state in December.

• In 2000, the ARB adopted its Diesel Risk

Reduction Plan, a blueprint for developing

regulations to address diesel emissions from

all sources including garbage trucks, urban

buses, construction equipment, port trucks

DIR Responds to Concerns on Public Work Registration ProgramOver the past few months I have kept you up to

speed on the Department of Industrial Relations

proposal to start assessing all contractors (and it

appears anyone) who want to perform work on a

public works project in California

Following is a letter addressed to the AGC’s

Executive Director Tom Holsman from the

Director of Industrial Relations, Christine Baker.

I should add that while this letter does address

many of our concerns about the forthcoming

$300 annual assessment, there are still a few

concerns that we will continue to work on. For

attached.

Re: Public Works Contractor Registration

Proposal

Dear Tom,

We appreciate the broad support for our

proposed contractor registration program that

will provide the fees necessary to give DIR a

stable source of funding for all of our public

works activities. We especially appreciate having

the support of the contractor community, who

are the ones who will be registering and paying

the fees. We know the contractor community has

concerns about some of the details of the

proposal, including how it may affect the public

works contracting process.

We agree with many of those concerns and will

recommend incorporating language into the bill

to address those issues. I will now respond to the

points raised in your letter of February 28, 2014,

including by noting how some of the concerns

have been modified or addressed in follow-up

communications and what amendments we are

prepared to recommend for the legislation.

Registration and paying the fee

1. There should be a cap on the fee and

it should only be increased by an act of the

legislature.

Response: The registration fee, as stated in the

legislation, is a flat amount of $300. This figure

is

based on the application fee in the State of New

Jersey, which was one of our two models for this

program, and is projected to meet the current

funding needs of our public works program

based on a conservative estimate of 38,000

contractors getting registered to do public works

in the state of California. Right now it is still

only an estimate for a program that is not yet in

place. If the fee is going to meet the overarching

goal of stabilizing the funding of public works,

there needs to be some flexibility in adjusting the

fee and setting a renewal fee amount, whether

that figure needs to be higher because our

projections were too optimistic or lower because

they were too pessimistic.

It should be noted that the fee is intended to

be sufficient to support the appropriation in

the State Public Works Enforcement Fund

as annually approved by the Legislature.

Neither the Legislature nor the Administration,

current or future, will support any future fee

increases that fail to meet the reasonableness

test, nor would they approve of a fee structure

that generates revenues beyond what would

be expected given the annual appropriation

approved by the Legislature. To clarify this

point, we are proposing additional language that

will tie authority to adjust the fee to the annual

appropriation and the Fund’s balance.

Another important consideration in terms of the

revenues to be generated is the dynamics of the

registration process. The intent of this proposal,

and one of the keys to having a stable funding

base, is that contractors will register annually

and maintain that registration from year to year,

the same as they do with their CSLB or drivers’

licenses. If contractors only register after they

are awarded a public works contract, can expect

to qualify instantly, and suffer no consequence

if they don’t register, then there is no real

incentive to comply or disincentive against

ignoring the registration requirement. That of

course means fewer registered contractors and

either less revenue for DIR or higher fees for the

contractors who do register.

2. Proposed Labor Code 1725.5 requires

that only contractors become registered and

we believe it is your intent to include both

contractors and subcontractors.

Response: This is just a technical suggestion and

one of those ever-present terminology

conundrums. Our thinking was that for licensing

and registration purposes, every entity is a

“contractor”, whereas the term “subcontractor”

describes a relationship of one contractor to

another contractor. Statutes typically only refer

separately to subcontractors when it pertains to

this relationship and has some bearing on legal

responsibilities or liabilities. Nevertheless, we

have drafted an additional subdivision for

section 1725.5 to clarify its intent to cover any

public

works subcontractors.

3. The requirement to provide evidence

of Workers Comp coverage should be deleted.

Response: In follow-up communications, you

suggested amending this requirement rather than

deleting it. AGC’s proposed language would

delete the specific language about coverage in

section 1725.5(b)(1) and replace it with language

requiring evidence of coverage as specified in

section 7125 of the Business and Professions

Code (governing contractors licensed by

CSLB). We like the straightforward approach

of your language, but prefer to add it as a “safe

harbor” method of compliance rather than

substituting it for the existing language. We want

to make sure this provision covers every type of

contractor who works on public works projects,

including trades not licensed by the CSLB, such

as truckers and surveyors. For contractors

who certify that they are exempt from workers’

compensation requirements, we also want to

make it crystal clear that any people working

under them will either need to be covered by

workers’ compensation or, if those people are

genuine independent contractors, registered in

their own right under this program.

4. Having an outstanding wage claim or

working on a public work when not registered

should not be part of the “prequalification

requirements” for registration. These should be

deleted.

Response: You appear to have changed your

mind about the first part of this comment and

have

suggested language to revise rather than delete

the (b)(2) prequalification requirement about not

having outstanding wage claims. We want to

incorporate your suggested rewording of the first

sentence of this subdivision, including changing

the word “outstanding” to “delinquent.”

Everyone appears to agree that we should not

be registering contractors to go out and do new

public works jobs if they remain liable for unpaid

wages for past work.

Your later recommendations still sought deletion

of the (b)(4) prequalification requirement, which

would preclude registration if the contractor has

violated the registration requirement, i.e. bid or

worked on a public works project without being

registered in the preceding 24 months (or the

time since the registration requirement becomes

applicable, whichever is less). We cannot agree

with this recommendation because it removes

the one clear consequence for contractors who

don’t register and would make the registration

and fee requirements essentially voluntary

and unenforceable. However, we believe a

shorter disqualification period of 12 months is

appropriate.

Based on follow-up discussions, we also want

to offer a limited period of time in which a

first-time violator of this provision can have

the disqualification period waived by paying

an additional penalty registration fee. We are

proposing to set that penalty amount at $2,000

to discourage anyone from deliberately ignoring

the registration requirement until caught; and we

also believe the grace period should be sunsetted

in 2017, by which time the contractor community

will have had sufficient time to become familiar

with the registration requirement.

5. The fee needs to be allowed to be paid at

any time during the year by a general or a

subcontractor in order to qualify to bid or be

listed on a bid. A general or a subcontractor

should not have to be listed on DIR’s registry

in order to bid or be listed in a bid. They should

however have to pay the fee and be listed prior

to actually performing the work. The intent is

to have contractors register, pay the fee, and

generate revenue – not cause problems for a

contractor when submitting a bid. This is not a

license to work on public works projects.

Response: There appears to have been an initial

and implicit misperception that this fee was still

tied to specific projects and would only be paid if

and when contractors and subcontractors are

successful in obtaining a public works job. In

fact, it’s a once a year registration fee, that can

be done at any time during the year, and that

entitles the contractor to bid or work on public

works projects for that entire year. There is a

small element of pre-screening, which we believe

should be received favorably by most responsible

contractors, since it would knock out marginal

contractors who are not even aware of the

requirements, cannot afford the fee, or still owe

their employees (or former employees) for past

work.

Legally, the fee probably is a license in that it

confers permission by the state to do something

that would be illegal without that privilege; and a

contractor who believed it was wrongfully denied

registration would have a due process right to

challenge the denial, the same as with DIR’s

other licensing and registration schemes. From

a practical standpoint, it will require contractors

to know their subcontractors, as do many other

Labor Code provisions, including the ones that

make contractors liable for the prevailing wage

violations of their subcontractors. This proposed

model appears to work well in the states of New

Jersey and New Mexico, which we used as the

model for this legislation, though New Jersey

also imposes fines on violators in addition to

temporary disqualification.

Bidding issues:

5. The Law should include a disclaimer

that an unregistered contractor does not

constitute grounds for a bid protest if they

register in a timely manner. There is need

for protection for a contractor for a “mistake

or inadvertence” when listing a registered

subcontractor.

Response: We agree. We don’t think the

registration system should be used as a club by

one contractor against another or as a vehicle

for holding up a public works project unless

the violation was deliberate. Based on your

suggestions, we have drafted language that we

think best meets the concerns expressed above

and tracks how similar issues are addressed in

the Public Contract Code.

In particular, we want this protection to apply

when the listing of an unregistered subcontractor

is

due to mistake or inadvertence. We also think

that a contractor should be able to replace an

unregistered subcontractor with a registered one

without undue difficulty. At the same time, for

this system to work and provide the stable

funding needed, it will have to include incentives

for contractors to register and meet minimal

qualifications ahead of time rather than putting

off registration until they are actually awarded a

public works job.

Avoiding Bid Protests

6. [This comment essentially covers the

same territory as the preceding item, and our

response would be the same.]

7. A general contractor that had not yet

paid the fee should also be allowed to submit

a bid on a project but could not enter into a

contract or commence work until the fee is

paid.

Response: See prior responses. This presents

more of a problem in terms of what constitutes a

qualifying bid and how much time a contractor

would have to fix the problem. It also removes an

incentive for registering and qualifying ahead of

time, making the fee look more like a project fee

than an annual registration fee, with the likely

consequence of fewer contractors registering

and less revenue being generated. For the sake

of consistency and clarity, we believe that the bid

exceptions should be the same as what is

authorized under the Business and Professions

Code for joint venture bids and under the Public

Contract Code for federally-funded projects.

8. [AGC offered two comments

related to the exceptions in section 1771.4(b)

for projects covered by an approved legacy

labor compliance program or a project labor

agreement.]

Response: In a follow-up conversation, we noted

that this is only a discretionary exception to what

will otherwise be a universal requirement to

furnish certified payroll records to the Labor

Commissioner on an ongoing basis. It is not an

exception to the fee registration requirements –

contractors on projects covered by labor

compliance programs or by project labor

agreements will still have to register and pay

fees, and the Labor Commissioner may still

enforce compliance on any of those projects.

You appear to be satisfied with this explanation

and have not suggested any amendments for this

section of the bill.

Penalties

9. The proposed Labor Code § 1725.5(b)

(4), the bill contains a two year disbarment

for any contractor who has “bid on a public

works contract, been listed in a bid proposal, or

engaged in the performance of a contract for

public works without being lawfully registered

in accordance with this section.”

Response: As discussed above, this provision

contains the one clear incentive or inducement

to be registered. We have not proposed fines like

New Jersey has. The period of disqualification

needs to long enough to provide a clear

disincentive against violating the requirement,

but we think a period of 12 months will satisfy

that need; and for a limited time, we also think

that first-time violators should have the option of

avoiding the disqualification period by paying an

additional penalty registration fee.

10. If for some reason the contractor does

not pay the $300, is the contract then void as

being unlawful? And if it is an unlawful contract,

the contractor may not have recourse against the

public agency for work performed.

11. Response: Under this system the

awarding body should not be accepting a bid

from or entering

into a public works contractor with an

unregistered general contractor. The general

contractor in turn should not be accepting bids

from or entering into contracts with unregistered

subcontractors. However, we agree that

violation of the registration requirement should

not make a contract void or voidable, which

may have draconian consequences for one party

even though both may be equally culpable. A

contract with an unregistered contractor should

be subject to cancellation, and we have drafted

additional language to spell these points out.

12. If a private work, through a DIR

determination, is deemed a public work after

construction begins, any contractor working on

the “now public work” who was not registered

would be in violation of the law. Provision needs

to be made to allow for proper registration and

payment of fees without jeopardizing the validity

of the contract.

Response: We agree with this specialized

concern, and we are proposing to incorporate

much of the language AGC offered to address

this concern.

In closing, I appreciate the thoughtful time

and effort you have invested in analyzing our

proposal and suggesting ways to improve it. We

also appreciate your overall support for this

new model, which should eliminate many of the

headaches associated with recent enforcement

models, and we look forward to your continued

assistance in suggesting any needed refinements

to the program.

SUBJECT: AB 2416 (STONE) LIENS: LABORERS AND EMPLOYEES SCHEDULED FOR HEARING – APRIL 23, 2014 OPPOSE – JOB KILLER The California Chamber of Commerce and the organizations listed below respectfully OPPOSE AB 2416 (Stone), that has been labeled as a JOB KILLER, as it would cripple California businesses by allowing any employee, governmental agency, or anyone “authorized by the employee to act on the employee’s behalf” to record super priority liens on an employer's real property or any property where an employee "performed work" for an alleged, yet unproven, wage claim. This bill would severely disrupt commercial and personal real estate markets in this state as AB 2416 would allow a wage lien to take precedence over almost all other liens or judgments. Onerous Wage and Hour Laws in California: California has some of the most onerous wage and hour laws in the country. Litigation is constantly filed for wage-related disputes, such as whether an employee has been properly classified as exempt versus non-exempt, as an independent contractor versus an employee, or even paid at the appropriate rate for the proper amount of time. See Harris v. Supreme Court, 53 Cal.4th 170 (2011); Arzate v. Bridge Terminal Transport, Inc. 192 Cal.App.4th 419 (2011). Even the Labor Commissioner, charged with interpreting and enforcing wage and hour laws, disagrees with courts regarding the proper application of California law in this area. See Reynolds v. Bement, 36 Cal.4th 1075, 1088 (2005). Despite the undeniable complexity of wage and hour laws in this state, AB 2416 would allow any employee, governmental agency, or anyone “authorized by the employee to act on the employee’s behalf,” to record a lien against the employer's real or personal property simply on the basis that the employee believes he or she has a valid wage claim against the employer. At the time of recording the lien, the employee would have no burden to provide any actual evidence that the employer violated any wage and hour law. Rather, all the employee would have to do is simply provide: (1) a demand statement of the alleged amount owed; (2) general statement of the work performed; and (3) employer's name and address. Under AB 2416, this lien could be applied for single employee wage claims that amount to several hundred dollars in damages and/or class action and representative wage claims that allege millions of dollars in damages. Employees should not be allowed to interfere with an employer's business or property, or someone else’s real property where work was performed, through recording a lien of such significance without first proving the merit of their allegations. To allow otherwise will basically subject employers to constant extortion in order to avoid dealing with a lien on their property. Not Just Limited to Minimum Wage Violations: AB 2416 allows a lien to be recorded for all unpaid wages, “other compensation,” and related penalties, not just minimum wage violations. The scope of this is quite broad and includes, but is not limited to, the following: overtime pay; meal period; rest periods; vacation pay; commission; tips; piece rate; bonuses; split shift pay; reporting time pay; shift differential pay; on-call pay; stand-by pay; meals and lodging credit violations; expense reimbursements; compensation for tools, uniforms, and equipment; and, compensation for normal wear and tear of uniforms, tools, and equipment, The list of potential penalties under the Labor Code for which an employee could record a lien under AB 2416 is equally as broad including, but not limited to: minimum wage violation penalties; waiting time penalties; insufficient paycheck fund penalties; private attorney general act penalties; failure to pay

penalties; unlawfully withholding of wages penalties; itemized wage statement penalties; failure to make required withholdings and contributions penalties; improper inquiry into criminal records penalty; industrial welfare commission wage order penalties; unfair immigration practices penalty; lactation accommodation penalty; payroll records penalties; personnel records penalties; worker’s compensation penalties; and, occupational health and safety penalties. Accordingly, the type and number of different liens that may be recorded under AB 2416 are overwhelming. Non-Employer Third Parties Held Liable for Unpaid Wages: AB 2416 allows an employee to record a wage lien on any "real property at which the employee performed work,” if the employer is (1) related to the property owner, defined as a party who owns or controls more than 50 percent of the power over administration, finances, and operations; (2) employed by a contractor of the property owner; (3) employed by a tenant of the commercial property owner in a high risk industry; or (4) the employee performs “property services” work on a commercial property. This directly allows an employee who performs work to record a wage lien against a third party homeowner or commercial property owner who had no actual control over the payment of wages. It is patently unfair to hold an innocent third party liable for the alleged, unproven acts of another. Notably, the bill states that with regard to the first category, the property owner and employer must be “related,” and for the third and fourth category, any lien against a third party shall not apply unless the employee is in a “high risk industry.” However, who will ultimately make the determination as to whether the employee’s employer and property owner are “related parties” as defined? Who will determine what type of industry in which the employee is engaged? Because the bill allows an employee to record a lien pre-judgment, there is no impartial tribunal to determine whether the lien has been recorded in accordance with these proposed parameters. The only person making that determination under AB 2416 is the employee, who notably is not even required to identify in the statement for a lien evidence that the property owner and employer are “related,” or in what type of industry he/she is employed. Once a lien is improperly recorded, the property owner will then have to spend time and money getting the lien removed by proving the lien should never have been recorded in the first place. Preclude Any Financing Option for Real Property/Super-Priority Lien: AB 2416 will also basically destroy commercial investments or lending in California as well as personal home loans. Specifically, AB 2416 would (1) give a wage lien priority over all other liens recorded after the wage lien, except a tax lien, purchase money mortgage, security interest in personal property, or mechanic’s liens/labor liens; and (2) a priority for the first $50,000 of the wage lien over all other liens, recorded before the wage lien, except a tax lien, government lien, purchase money mortgage, or mechanic's lien. This means it would take precedence over child support liens, alimony, judgment liens, second mortgages on real property or lines of credit. The direct result of such a super-priority lien for businesses would basically be the end of commercial investment and real estate in California. It is impossible to imagine that a financial lender would provide a mortgage on real property if its interest in that property could be surpassed at any time by a wage lien, even when that interest was asserted first. Moreover, given that AB 2416 allows an employee to record a lien on any real property “where the employee performed work” when the property owner and employer are “related,” this could directly impact personal homeowners as well. The real estate market in California is just recently showing signs of improvement. If AB 2416 were enacted, it will basically eliminate any opportunity for further recovery, thereby destroying jobs in California. Force a Violation of the Mortgage Contract: Granting super lien status, as AB 2416 proposes to do, will create a number of complications that do not exist under current law where non-tax liens recorded against the residential real property are treated like judgment liens. Judgment liens take priority based upon the date of their recordation. While the measure excludes liens on purchase money obligations, it does allow an employee to lien against secondary mortgages. As proposed in AB 2416, a super lien recorded against the property will cause the employer

to violate the terms of their mortgage contract. For example, uniform instruments for a deed of trust provided by the federal government’s Fannie Mae and Freddie Mac specifically require the borrower to “pay all taxes, assessments, charges, fines, and impositions attributable to the Property which can attain priority over” the security instrument. The standard deed of trust also requires the borrower to “promptly discharge any lien which has priority over” the security instrument. Since AB 2416 causes a super lien to be recorded, the state would be forcing a violation of the mortgage contract. Freeze Future Financing Options: This bill will negatively impair an employer’s opportunity to seek future financing that is secured against the property. As described earlier from the federal government’s uniform instruments, lenders will be unable to provide loans to borrowers if a super lien is attached to the property. This will preclude an employer or third party property owner from being able to refinance their mortgage or secure a home equity line of credit, even in the event of an emergency. The employer or property owner will not be able to expand or hire new employees due to the inability to secure financing to do so. In short, no lender is going to extend a loan to someone with a super-lien placed on their real or personal property. Violate State and Federal Constitutions: Article 1, Section 9 of California’s Constitution states the following: “A bill of attainder, ex post facto law, or law impairing the obligation of contracts may not be passed.” The Constitution of the United States declares in Article I, Section 10, that “No state shall enter into any treaty, alliance, or confederation; grant letters of marque and reprisal; coin money; emit bills of credit; make anything but gold and silver coin a tender in payment of debts; pass any bill of attainder, ex post facto law, or law impairing the obligation of contracts, or grant any Title of Nobility.” With respect to AB 2416’s creation and recordation of a super lien for the payment of unpaid wages, the measure creates a violation of the terms of the mortgage or deed of trust for any prospective mortgage contract after the bill’s enactment. The measure impairs the obligation of the mortgage contract in violation of the state and federal constitutions. Increase Neighborhood Blight: AB 2416 allows the super lien to survive foreclosure. This provision will discourage investors from buying abandoned or foreclosed property since the liability that gave rise to the lien would have to be satisfied. Even an unwitting qualified purchaser, who had nothing to do with the wage dispute, would have to satisfy the lien when purchasing the property. No Effective Statute of Limitations on Timing to Record Lien: Under AB 2416 it states that the employee must record the lien within 180 days after ceasing work for the employer. However, the statement that the employee must file with the county recorder's office or the Secretary of State noticeably does not require the employee to identify his/her last date of work. Accordingly, the lien can be effectively recorded at any time and the employer or third-party property owner would be forced to challenge the validity of the lien through a civil action. For a third party property owner, the 180 day requirement is essentially meaningless. For example, an employee on his fourth day of employment could allege he/she suffered a wage violation while performing work at a third party’s home, yet continue to work for that same employer for the next three years. Under AB 2416, that employee could record a lien against the third party property owner 180 days after ceasing work with the employer, which would be over three years from the date the work was performed in the third party’s home. This lack of timeliness creates a significant problem for third party property owners who will utterly be caught by surprise to find a lien on their property.

No Limit on the Number of Liens Recorded: Under AB 2416, there is no limit as to the number of liens an employee may record against a property owner. The only limitation is that the lien be recorded within 180 days after ceasing work with the employer. During this time period, an employee can assert whatever number of liens he/she wants, thereby constantly subjecting the property owner to endless civil litigation. Forces Property Owners to Court That Are Already Underfunded: Under AB 2416, if a lien is improperly filed against an employer’s property or third party’s property, and the employee fails to withdraw the lien but does not necessarily act in bad faith or with the intent to defraud, there is no consequence. Rather, the employer or property owner must petition the court for removal of the lien before being able to fully utilize their property. It is undisputed that the judicial branch has suffered severe budget cuts in recent years that has created a significant backlog of civil cases. Unless the judicial branch receives additional funding in this year’s budget, it will have to continue to cut services and reduce staff. Under AB 2416, property owners who (1) cannot locate the employee who recorded the lien to have it removed or (2) the employee refuses to remove the lien, will have the property essentially frozen for months, even years, until the judicial branch can actually calendar the petition for adjudication. Respiratory Protection

Who needs respiratory protection? Everyone should be familiar with the basic issues regarding respiratory protection. However, there are many more issues that need to be addressed as part of a comprehensive Respiratory Protection Program (RPP). If you are responsible for managing or administering your company’s RPP the following are some questions you will need to be able to answer:

• Do you require respirators in your workplace?

• Who needs a respirator to keep safe at work?

• Are your employees trained on how to use, care, and maintain respirators?

• Have employees been cleared to wear respirators by a medical professional?

• Are there different types of respirators?

• Which type is right for your valuable staff?

What is a respirator? A respirator is a piece of personal protective equipment that requires special attention when being used. It can be used to clean the air of contaminants from your breathing zone or supply clean air to a worker while inside the work area.

Respirator programs: If you are using or requiring someone in your organization to wear a respirator you need to have specific written programs in place that include:

• Hazard assessments, e.g., ventilation measurements, air exposure monitoring, etc.

• Respirator selection, e.g., air purifying or air supplying

• Employee training and standard procedures

• Medical evaluations from licensed health care providers

• Fit testing, using quantitative or qualitative measures

• Program evaluation

• Record keeping

Respiratory Protection

What are the types of airborne hazards? Different respirators and or filtering

cartridges may be required to protect against different airborne hazards. Some potential hazards are:

• Gases and vapors, e.g., xylene, isopropyl alcohol

• Mists and fogs, e.g., aerosol paints

• Fumes, e.g., welding, brazing, lead, hexavalent chromium

• Particulates, e.g., asbestos, silica, hexavalent chromium

• Oxygen deficiency

Respirator selection options:

• Air purifying respirators

‒ Filtering face piece particulate respirators/cartridges

‒ Chemical cartridge respirators ‒ Powered air purifying respirators ‒ Canister respirators

• Air supplying respirators:

‒ Supplied air systems ‒ Self contained breathing apparatus

Employer requirements: Additional information and action is required by the employer in accordance with the state and federal occupational safety and health regulations covering respiratory protection. This includes but is not limited to:

• Establishing a written respirator program

• Medical considerations

• Respirator fit testing

• Negative and positive pressure user fit checks

• Comprehensive user training, e.g., procedures for the use, care, maintenance, and storage of the respirator.

For the last nineteen years students all over Marin County have had the opportunity to learn hands-on skills of the construction trade. The class is eighteen weeks and is offered every Spring Semester on Wednesday evenings at Redwood High School, Larkspur. Our Assistant Instructors take groups of five students each and build a shed from the ground up. It is a memorable experience and the students and instructors look forward to every Wednesday. Students also have the opportunity to be hired for a six week Summer Internship with local contractors. They will be completely qualified to use power tools during the internship. Please support us by hiring a student for an internship. Students who interview are recommended by all Instructors to insure they are ready to work for you! You will not be disap-pointed.
