Danny van WijkSinds november 2006 werkzaam bij Progress, het pensioenfonds van Unilever Nederland, als Senior Portfolio Manager private equity. Voorheen werkzaam bij Mn Services in diverse functies onder andere verantwoordelijk voor selectie van private equity-managers. Sinds eind 2006 lid van de VBA-werkgroep Alternatieve Beleggingen.

Definitie
Het begrip ‘private equity’ staat voor aandelenbeleggingen of aan aandelen gerelateerde beleggingen in ondernemingen die niet aan de beurs genoteerd zijn, of in (delen van) bedrijven die van de beurs worden gehaald.
Veelal:
• gericht op transformatie, toevoegen van waarde, actief beheer
• toepassen van vreemd vermogen

Definitie
Belangrijkste categorieën:• Venture capital: het financieren van jonge, snelgroeiende bedrijven die nieuwe producten en innovatieve technologieën ontwikkelen• Development capital: het bieden van groeivermogen aan bestaande bedrijven, zodat deze zich verder kunnen ontwikkelen• Buy-outs: het ter beschikking stellen van kapitaal voor herstructureringen of overnames van bestaande bedrijven
Onderscheid (over het algemeen):Venture versus Buy Out- veelal niet bewezen ondernemingen - bewezen- veel risico technologie - weinig risico- veelal negatief kasstroom - verschillend- groot kans op mislukkingen - kleiner- eigen vermogen - mogelijk ook schuld- minderheid belang - meerderheid- negatief winst - positief- hoger verwacht rendement - hoog

Redenen om te investeren in private equity
1. De verwachting dat private equity-fondsen op termijn een hogere performance generen dan beursgenoteerde aandelen
2. Private equity-fondsen zijn echte “stock pickers”. Het universum waaruit ze kunnen kiezen is vele malen groter (er zijn meer private dan publieke ondernemingen)
3. Gericht op behalen van aantrekkelijk absoluut rendement
4. Portefeuille-diversificatie leidt tot betere risico en volatiliteit van portefeuille
5. Gericht op (veelal) kleine ondernemingen
6. Gelegitimeerd toegang tot private informatie zonder belangenconflict
7. Mogelijkheid tot steun aan ondernemers
8. Actief betrokken met directe invloed op management en ontwikkelplan

Typische fondsstructuur
• GP richt fonds op en investeert gedurende 5 jaar • Limited Partners (Pensioenfondsen, rijke families,
verzekeraars, banken, etc.) geven commitments af (lees: stellen geld beschikbaar aan het fonds)
• GP gebruikt kennis, relaties, strategie etc. om waarde toe te voegen aan ondernemingen
• Waardetoevoeging middels: • multiple expansion• verlaging schulden• verhoging winstgevendheid (via kostenreductie, marge
verbetering, groei) • GP ontvangt periodieke vergoeding (veelal 1,5 tot 2% per jaar)• GP deelt pas mee in de winst na een minimale return (vaak 8%
IRR) waarboven de winsten gedeeld worden (veelal 80% voor LP en 20% voor GP)

Kenmerken private equity-investering
• looptijd: 10 jaar (met mogelijkheid om te verlengen tot 12 jaar)
• investeringsperiode: 5 jaar (daarna enkel vervolginvesteringen)
• geld is beschikbaar op “afroepbasis”
• management fee: 2% (veelal)
• minimale return: 8% (veelal)
• verdeling winsten: 80/20
• gemiddelde “holding” periode: 3-5 jaar
• performancemeting op basis van IRR en/of multiple

The vast majority of private equity investments by institutional investors takes place through ‘funds’
Private equity fund investments are quite illiquid due to:
- lower liquidity than ‘listed’ market (only through secondary funds)- restrictions on the transfer of private equity fund investments

Today we will focus on the Thomson Venture Economics (TVE) data:- Data dating back to 1969 - Good market coverage (as much as 70%) - Data is not verified by a third party- The historical database changes through time

Theoretically there are good reasons to assume a systematically higher risk premium on private equity than on public stocks
There is no consensus on the expected returns in the academic literature:
- Higher than listed equity (Ljungqvist & Richardson, 2003)- Similar to listed equity (Kaplan & Schoar, 2005)- Lower than listed equity (Phalippou & Gottschalg, 2007)
