AUTHoRITIES ThePresident ofARCSA and theExecutive Director of CWQA willbethe primary contacts forthis MOU. Other staff members of the Partie8 mayalsobe involved in thiseffort on a secondary level, upon approval of the primary contac'ts. 3. Punpose The purpose of thisMOU is to provide a mechanism for cooperation between the Parties through a voluntary exchange of information on educational, technical, scientific, legislative and regulatory matters that affect rainwater-relatod produsts and professionals, globally. TheParties intend to create an organized andsystematic approach for a sharing of information between their respec'tive organizations on these topics through the exchange of publications, memorandums andmaterials from their individual association endeavors as well as from an exchange of leaming from association conferences, educational forums, industry meetings, exhibitions, seminars, site visits and other related undertakings sponsored or attended byeach of theParties. 4. MUTUAL INTEREST oF THE PARTIES This activity contemplated bythisMOU is of mutual interest to the Parties recognizing that thewator treatment andrainwater catchment industries areexperiencing hand-in-hand globalization at an increasingly rapid pace. The Parties believe thatglobalization of our respective sections in the water industry hasgenerated a need among the members of their respec'tive organization for increased awareness of education regarding the emerging technical, standards, scientmc, legislative andregulatory developments in theworld marketplace.

This Memorandum of Understanding ('MOU') is intended to establish a framework for cooperation between theAmerican Rainwater Catchment Systems Association,a United States-based, not-for-profit plumbing engineering association ("ARCSA), and the Canadian WaterQuality Association, a Canadian-based not-for-profit industry association of manufacturerc, wholesalerdistributors, master distributors, dealers and allied companies who manufac'ture and distribute water trcatmentand other mechanical produc{s CCWOA) (collectively "the Parties").

2. AUTHoRITIES

The President of ARCSA and the Executive Director of CWQA will be the primary contacts for this MOU. Otherstaff members of the Partie8 may also be involved in this effort on a secondary level, upon approval of theprimary contac'ts.

3. Punpose

The purpose of this MOU is to provide a mechanism for cooperation between the Parties through a voluntaryexchange of information on educational, technical, scientific, legislative and regulatory matters that affectrainwater-relatod produsts and professionals, globally.

The Parties intend to create an organized and systematic approach for a sharing of information between theirrespec'tive organizations on these topics through the exchange of publications, memorandums and materialsfrom their individual association endeavors as well as from an exchange of leaming from associationconferences, educational forums, industry meetings, exhibitions, seminars, site visits and other relatedundertakings sponsored or attended by each of the Parties.

Both organizatione focus their mission on disseminating educational, scientific and technical information andexpertise to their members to enhance the acreptance of water treatment $oduc{$, systems, rainwatercatchment systems and professionals, with the principal goal of providing and expanding opportunities forconsumers to have safe, efficient and afiordable solutions and final banier' water quality. This MOU willfacilitate these worthwhile activities on a more global basis.

5. Expecreo ResporsrErunEs oF THE Pames

The Parties expect to:

. Work cooperatively to exchange information on pertinent issues via publications, reports,association conferences and industry meetings.

. Exchange invitations to their respective association conferen@s.

. Bring together in-kind and additional resour@s as required to facilitale new and improvedcommunications between the Parties with respec-t to their ongoing activities.

. Align educational programs and designations to increase the visibility of the industry'sprofessionals with respect to the authorities having jurisdiction.

The Parties 6nticipat6 developing a work plan to identiff specific events and activities to achieve the purposesof this MOU.

6. ApponnoruMEtT oF Cosrs

This MOU does not affect an obligation of funds by either CWQA or ARCSA. Unless otherwise agreed to inwriting signed by the Parties, each Party will bear ite own costs of its efforts under this MOU.

7. Penoo or MOU ruro MoorRcnnon / Tenmrnmor

This MOU will take efieci upon signature of the Parties as indicated by the date below. The Parties will reviewthis MOU at least once per year to consider whether it should be continued, revised or cancelled. Either Partymay terminate this MOU upon written notice stating the date of termination delivered to the other Party at l€ast10 days in advance of the intended date of termination.
