Equipment Company. We, the undersigned, associate our^
selves together as a manufacturing corporation pursuant to provisions of Section 6449, General Statutes of Minnesota, 1913, and to that end we do hereby execute and acknowledge the following Certificate of Incorporation
ARTICLE 1. The name of this corporation shall
be Motor Equipment company: the gen-Aral nature of its business shall be to manufacture automobile tools, accessories, equipment and supplies, automobiles, farm implements and machinery, vehicles of all kinds and garden tools and to sell the products so manufactured; its principal place of business shall be Duluth, Minnesota; and the period of its duration shall be thirty years from and after July 30, 192?).
I ARTICLE II. "Ihe names of the incorporators are

Miller, all of Duluth, Minnesota, and the board of directors shall elect a president, vice president, secretary and treasurer at their first meeting and a majority of said board shall have the po\yer to fill vacancies occurring either In the board of directors or the offices of the corporation.
ARTICLE IV. The amount of the capital stock of
this corporation shall be One Hundred Thousand Dollars ($100,000) divided Into Five Thousand shares of Common Stock, and Five Thousand shares of Preferred Stock, both of the par value of Ten Dollars ($10.00) each. The common stock shall be paid for in •ash. property, or services as the board f directors may from time to time Jietermine. The preferred stock shall '« sold under such terms and condi-ions as mav be provided for In the sy-laws of the corporation and shall iave no vote in the management of he corporation. ; ARTICLE V.
The highest amount of indebtedness to which this corporation shall at any time be subjr-ct shall be Five Hundred Thousand Dollars ($500,000).
