In 1921, Fransabank’s journey began in Allenby Street at the heart ofBeirut. We are the First registered Bank in the country, holding the no.1 on the list of operating banks in Lebanon.

The start of this special year was marked by our new TV commercialwhere we wanted to tell a story; but not any ordinary story. As the firstestablished Lebanese Bank, we wanted to communicate the fact thatthroughout nine decades we witnessed every event that marked ourcountry and shaped it to what it has become today.

The main heroine of the campaign is a young girl who witnesses 90years of Lebanon’s history, and interacts with key figures who markedthis history, while keeping her same physical look and appearance,revealing that Fransabank kept young throughout the years. Our promise'Tomorrow Starts Now' is thus symbolized throughout the ad byaccompanying people and sharing their aspirations and participating inbuilding their Tomorrows for the years to come. The young girl conceptwas also adapted to all other medias.

In addition, we partnered with the famous film-maker PhilippeAractingi to produce a documentary that tells the story of our Bank.With a special emotional touch, it shows the achievements andsuccesses in the legacy of Fransabank over 90 years.

Today, we start the new 2012 year with pride about every milestone weachieved together and aspire to build, hand-in-hand, more promisingTomorrows.

As a major actor of the Lebanese banking sector, Fransabank participatedin the “Lebanese Banks’ Evening Reception” in Washington DC onSeptember 23, 2011 taking place as part of the 2011 IMF World Bankmeetings in Washington.

This event, organized by TheBanker Magazine, in partnershipwith the Association of Banks inLebanon (ABL), brought togetherleading figures from theLebanese banking community. Itallowed attendees to discoverthe opportunities offered by theLebanese prospering economy.Indeed, as a result of prudentregulation and sound managementpractices, Lebanon’s bankingsector stands apart from itspeers in the region as it hasemerged from the global financialcrisis in good health.

In his allocution, Mr. Adel Kassar- Deputy Chairman and ChiefExecutive Officer of Fransabank –explained that Fransabank Grouphas built up its core strengths tofurther advance and consolidateits leading position in the bankingsector whether locally, regionallyand internationally on a multi-dimensional business develop-ment strategy. This was achievedthrough very selective regionaland international expansionstrategy, acquisitions and mergers,

product diversification and localand regional branch networkexpansion.

He added that Fransabank Groupcontinues to adopt and implementprudent and conservative policiesto further develop its managementpractices, to consolidate itsfinancial strength and to maintainhigh asset quality. These includecontinuous and strict complianceto local and international regulatoryrequirements, advanced riskmanagement and corporategovernance norms and standards,as well as the implementation ofinternational standards on fightingmoney laundering.

As a constant and essentialparticipant in internationalbanking events, Fransabank waspresent at the conference "Day ofLebanese Banks in Paris” hostedon October 27, 2011 at The WestinParis-Vendôme. The event wasan exceptional opportunity topromote bilateral cooperationbetween the Lebanese andFrench banks. Lebanese banks,whose reputation goes farbeyond the borders of theircountry, are engaged in a strategyto expand regionally and interna-tionally - many of them have setup subsidiaries in France - andposition themselves as partnersfor Europeans groups who wantto strengthen their presence inthe Eastern Mediterranean.

Mr. MohammadSafadi, the Governor of theCentral Bank of Lebanon, Mr.Riad Salameh, and the first Vice-Governor of the Banque deFrance, Mr. Jean-Paul Redouin.

Fransabank was represented byits Secretary General, Mr. NabilKassar who stressed in hisspeech that Fransabank Group’srelationship with France is 90years old. Indeed, Fransabankoriginates from from the firstbank established in Lebanon in1921: The "Credit Foncierd’Algérie et de Tunisie”.

He added that FransabankFrance continues to expand inbusiness volume and profitability.This development is supported byits two banking shareholders,and by the cautious and rigorousmanagement policy to which ithas striven since its foundation.

Fransabank France providesservices and banking products tocustomers located in Europe, theMiddle East and West Africa.Thanks to the synergies developedwith its two shareholders, it playsan important role withinFransabank Group, being locatedin one of the main markets ofEurope and the world.

Fransabank Syria: 3 New Branches

Despite the difficult situation in Syria, Fransabank Syria pursued itsbranch network expansion strategy in 2011.

In April, the Bank opened its 7th branch in Latekia - Yarmouk Street - thusreinforcing its presence in the coastal regions. Only a few months later, inJuly, the 8th branch of the Bank was opened in Sitt Zeinab region - SafirHotel - allowing Fransabank Syria to cover its sixth Mouhafaza; RifDimashq. Finally, in October, the new external branch based in theBaramki free zone of Damascus increased the number of branches to 9.

High Standards Procedures

In March 2011, Fransabank Syria set up a contingency plan comprising itspolicies, measures and procedures in order to ensure the Bank’sbusiness continuity under all circumstances.

The plan covers all key issues and measures: Information &Communication Technology, Electrical and related, Liquidity, Credit &Lending, AML, Transfers & Payments, Premises, etc.

In addition, Fransabank Syria has reinforced its Risk functions in order toensure an advanced level of operational control, a tight credit riskhandling and a higher level of liquidity while ensuring continuous marketrisk monitoring.

Fransabank Group while holding the first rank in terms of local branchnetwork continues its proximity strategy towards its clients. In a continuousdesire to always be closer to them, Fransabank Group opened in August2011 its 108th branch in Hamra - Sadat under its Fransabank SAL list ofbranches.

New Branches’ Branding

Fransabank’s customer care strategy regarding the branchesfocuses primarily on a better service and an increased accessibility.In line with this, Fransabank has initiated a wide plan of relocationand rebranding for its branches.

The rebranding consists of new standards: new signage, new façadeand new decoration. The first Branch to undergo this “relooking”was Ain Mreisseh that remained at the same address (NawrassBuilding - Main Road) and has been fully operational sinceDecember 2011.

It was followed by Chekka and Zouk branches which relocated innew premises on this occasion.

The inauguration of these 3 new Branches falls within the Group’sstrategy to portray Fransabank’s dynamic and modern image andinsure the offering of the utmost array of products and services tothe largest number of individuals and companies.

In December 2011, Fransabanksuccessfully launched a pilotproject in its Hamra branchwith the access to free Internetfor customers through iPads 2.The access is permittedthrough a password which canbe obtained from the teller area.

This project will expandthroughout Lebanon in order toequip around 10 large branchesby the end of the year.

This new action is part ofFransabank business strategyto develop the use of modern

means of communication forbanking. Indeed it was amongthe first Lebanese banks tolaunch its "ibank", the Internetbanking solution, and stillholds the most advanced servicein this field.

A New Customer-Oriented Unit:

retail@fransabankAs part of the proximity strategy with the clients that has been Fransabank’smajor asset throughout the years, the Bank created a new concept of service:retail@fransabank.

Located on Hamra main street, on the ground floor of Fransabankheadquarters' Center, this section is fully dedicated to clients’ servicing.

The mission of this unit is to recruit new clients, sell Fransabank’sproducts and services and answer all the clients’ requests. It catersto individuals and professionals.

The idea behind this innovative concept is to strengthen and support theBank’s relationship with its clients in order to maximize their satisfactionwhile optimizing the Bank’s return.

retail@fransabank is one of the most dynamic units within the Bank. It isan active unit which always develops new actions and new sales planningwhile providing fast service and effective answers.

The issue was highly successful. Among the most impressive achievements were:

• The long term maturities of the new Notes issued: 7, 8 and 15-year

• The aggressive pricing of the new Notes

• The book size. A high average oversubscription rate of almost three times ofadditional Notes was recorded.

• The aggregate participation rate of 64.3%. Compared to the 58.53% participationrate of the voluntary exchange offer realized in April 2008 , the participation rateof this exchange is even more significant, given that:

- The country in April 2008 was encountering a lesser adverse situationthan today

- The coupon of the new issued Notes in 2008 was higher or almostequal to the coupons of the three Original Notes exchanged (9.00%versus 7.00%, 7.375% and 10.125%)

- The exchange in 2008 was for medium term new Notes (6-year)whereas the exchange in 2011 was for much longer maturities newNotes (going to 15-year).

(1) In April 2008, the three original Notes of US$7.00% maturing in May 2008, US$7.375% maturing inJune 2008 and US$10.125% maturing in August 2008 were submitted to a Voluntary Exchange Offer fornew Notes of US$9% maturing in May 2014

Once again, FIB proves its professionalism, high competitiveness and efficiency.

Fransa Invest Bank S.A.L., FIB, was selected as joint lead manager along with twoother international banks, Deutsche Bank and Standard Chartered Bank, to actas Dealer Managers for the Republic of Lebanon’s Voluntary Debt Exchange forEurobonds maturing in 2012, totaling US$ 1.98 billion. The purpose of theexchange offer was to proactively conduct liability management operations,increase the Republic’s financial flexibility and extend its debt maturity profile.

The aggregate participation rate for the exchange offer was 64.3%. In details,$668,720,000 and €420,942,000 face value of notes maturing in 2012 wereexchanged into new longer-dated notes.

In addition to the new Notes being issued pursuant to the voluntary exchangeoffer, the Lebanese Republic issued additional Notes amounting US$238,3 millionfor cash. As such, total Notes issued reached US$1,468 million broken down asfollows: €445 million bonds maturing in November 2018 with a coupon rate of5.35%, US$ 375 million bonds maturing in November 2019 with a coupon rate of5.45%, and US$ 375 million bonds maturing in November 2026 with a coupon rateof 6.60%.

Innovative Najah Loan for Business Women

Fransabank has always seen the medical sector as an essential asset of theLebanese society and a major social actor. In continuous cooperation effortswith it, the Bank participated in the Syndicate of Dentists Exhibition and theOsteoporosis Congress.

Always supportive of the educational sector, Fransabank sponsored theHigher Education International Conference (HEIC 2011) organized by theModern University of Business & Science (MUBS) for the third year in a rowat the Crown Plaza Hotel.

The event was placed under the auspices of the Lebanese Minister ofEducation & Higher Education His Excellency Professor Hassan Diab, andgathered MUBS team members, guests form the General Security Forcesand VIP clients (local and international).

During the conference that was followed by a cocktail reception, Mr. PhilippeHajj, Deputy General Manager – Head of Retail Banking received aCommemorative Plate on behalf of Fransabank.

Funding of MEA’s New Airbus

As a confirmation of their mutual and leading commitment to the serviceof the national economy, Deputy Chairman of Fransabank Group Mr. AdelKassar and Chairman - Director General of Middle East Airlines (MEA)Mr. Mohammad El Hout signed a new agreement at the Bank’s headquartersfor funding the purchase of a new Airbus A320-232 aircraft, worth USD 32million by Fransabank. Through this agreement, the number of aircraftsfunded by Fransabank to the favor of MEA sums up to four with acumulative value of USD 157 million.

Fransabank continuously participates in debates that enrich the comprehensionof the business sector in general and the banking sector in particular.

Organized by AIWA (Al Iktissad Wal Aamal) at the Coral Beach hotel andresort under the auspices of H.E. Mr. Najib Mikati, President of the Councilof Ministers in Lebanon, the Lebanon Economic Forum was the occasionfor big banks and companies to meet and interact to create new businessopportunities.

Therefore, it was natural to the Bank to sponsor the special event that wasorganized by the Honoring Committee of the Orient Pioneers (Rouwad AlShark) to honor the biggest Lebanese journalists under the auspices ofthe Minister of Information HEM. Walid Al Daouk.

The event took place in the Pierre Abou Khater auditorium in the campusof the Université Saint Joseph (USJ). It featured a concert by the band ofthe Internal Security Forces and was followed by a cocktail reception.

For Safer Roads with KunHadi

Fransabank has also joined forces withlocal organizations like Kunhadi andYASA (Youth Association for SocialAwareness), to raise awareness of roadsafety issues and to join the campaign toreduce the number of road accidents inthe country. In 2011, Fransabank was anactive partner of the alliance created byKunhadi for the UN Decade for RoadSafety. The Alliance combined differentprivate sector companies that have cometogether to act on improving road safety. A

Memorandum of Understanding was signed with all partners pledgingto work with together on promoting road safety. Continuing its commitmenttowards roads’ safety, Fransabank co-sponsored the one-month eventsorganized by the Kunhadi association.

Kunhadi is an association for youth awareness on road safety focusing onspeeding, drink driving, fatigue driving, helmets, seat belts and textmessaging while driving.

For the launching of the UN Decade for Road Safety on June 1st, 2011,Kunhadi launched a wide media campaign consisting of unipoles,brochures, posters, and mass emails.

Roads for Life Fund Raising Concert

“L’Algerino and Faudel in Concert” featuredover 2,500 attendees and aimed at raisingawareness mainly among the youth againstexceeding speed limits and reckless driving. Itwas attended by numerous political, social andmedia figures with a vibrant youth audience, inthe presence of First Lady of Lebanon, Mrs.Wafaa Sleiman.

Proceeds of the concert went for the TalalKassem Fund for Post-Accident Care fortraining of Emergency physicians. Traumasurgeons and Emergency physicians fromhospitals across Lebanon will be offered theAdvanced Trauma Life Support course (ATLS).This course will improve the chance of survivalfor injured victims on the roads in the first 60minutes of the accident known as the goldenhour. Roads for Life will cover the fees for asmany physicians as possible in as manysessions as needed. Upon completion of thecourse, they will receive Advanced TraumaLife Support (ATLS) Certification from theAmerican College of Surgeons, committee onTrauma, Chicago, Illinois.

As part of Fransabank’s continuous socially responsible actions tobring culture from all parts of the world to Lebanon and to promoteit in all the parts and layers of the Lebanese population, the Banksponsored two exceptional concerts during the autumn of 2011.

Fransabank is the first Lebanesebank established in Algeriathrough its subsidiary FransabankEl Djazair SPA that operates since2006. Fransabank decided to celebrate its 90 years of establishmentthrough a series of events. It was only natural to kick off the annualfestivities of this unique and distinct occasion with its partners, staffand stakeholders; announcing to them the celebration scheduleretracing 90 years of success with Fransabank.

Fransabank unveiled its 90 years celebrations’ plan and contentfirstly to the Media to crown the long lasting relationship that boundus together. An honorary luncheon was held, on December 8, 2011,at Le Maillon Restaurant in Ashrafieh, hosting media representatives.

Chairman Adnan Kassar stressed on the important role that themedia plays in transmitting the news in objectivity, accuracyand transparency. He thanked the media people for accompanyingFransabank in its successful journey and transmitting its newswith professionalism while highlighting the leading role that theBank has played and is still playing in the growth of the Lebaneseeconomy in general and the balanced development of the entirenation in particular.

On Saturday, December 10, 2011 the whole Fransabank family gatheredfor an honorary gala dinner. Around 1,600 persons coming from all theregions of Lebanon, met on this occasion at Habtoor Grand Hotel in Sin elFil in the presence of the majority of Fransabank’s shareholders.

In their speeches, both gentlemenwere very keen to share with theaudience a bit of how they madetheir success with Fransabank’shuman capital to date. However,they took a lot more time, whetherin what they said on stage, or in thedocumentary to move us with whata real family tie means, its impor-tance and the blessings it bring topeople who cherish it!

Chairmen’s exemplary “team-work” and “family” relationship isdefinitely what made all the 90years communication what it isabout! A lot of great milestonesthat one cannot but applaud andsay “Chapeau Bas”.

At this occasion the documentaryand the 90 year’s TVC wererevealed and we could hear greatapplauses that would not stop untilChristina Sawaya, former MissLebanon, would come up again onstage and play her assigned role ofMistress of Ceremony.

The large family members did notreally know what was making themthat emotional on that date. Couldit be that they associated them-selves so much to the milestonesand culture of Fransabank,revealed in the documentary andTVC? Or could it be the impressiveand moving speeches that bothChairmen Adnan and Adel Kassaraddressed in a warm atmosphere?
