In these Rules, “you” and “your” refer to an eligible entrant, and “we,us,and our” refer to Intel Corporation (“Intelor Sponsor”) and The Game Agency, LLC (“Administrator”). You must agree to these Rules to participate in the Challenge. Please read these Rules carefully to fully understand them prior to registering for the Challenge. INTEL® JOULE™ DEVELOPER INNOVATION CHALLENGE

OFFICIAL RULES

NO PURCHASE NECESSARY AND NO FEE TO ENTER

These are the Official Rules (“Rules”) for the Intel® Joule™ Developer Innovation Challenge

(“Challenge”). In these Rules, “you” and “your” refer to an eligible entrant, and “we,” “us,” and

“our” refer to Intel Corporation (“Intel” or “Sponsor”) and The Game Agency, LLC

(“Administrator”). You must agree to these Rules to participate in the Challenge. Please read

these Rules carefully to fully understand them prior to registering for the Challenge.

You acknowledge that we may change and replace these Rules, in our sole discretion, at any time.

If we make changes to them, we will email the updated Rules to everyone who has registered for

the Challenge. The most recent version of the Rules showing the changes will also be available

during the Entry Period (as defined in Section 5) through a link labeled “Official Rules” in the

Challenge Details section of the Entry Site (as defined in Section 6). Your continued participation

in the Challenge is confirmation that you accept the changes to the Rules.

1. ELIGIBILITY. You are eligible to enter and participate in the Challenge if you meet the

following requirements at the time of registration:

a. Residency: You must be a legal resident of one of the fifty states in the United States of

America or the District of Columbia (“U.S.”).

b. Age: You must be at least 21 years old and have reached the age of majority in your

jurisdiction of residence.

c. Proof of Eligibility: You must be able to provide proof of residency and age upon request.

d. Relationship: You may not be an employee, officer, director, member, or representative

of Intel, the Administrator, or any third party involved in the design, execution, production, prizes,

or judging of the Challenge, or their respective parent companies, subsidiaries, affiliates, and

divisions (all of the entities listed above are, collectively, “Challenge Entities”). Nor may you

have an immediate family member (spouse and parents, siblings, and children and each of their

spouses, regardless of where they reside) or someone living in your household related to any of

the Challenge Entities.

2. SPONSOR. The “Sponsor” is Intel Corporation, 2200 Mission College Blvd., Santa

Clara, CA 95054-1549, USA.

3. ADMINISTRATOR. The “Administrator” is The Game Agency, LLC, 470 West

Avenue, Suite 1001, Stamford, CT 06902, U.S.

4. OVERVIEW OF CHALLENGE. The competitive goal of the Challenge is to test the

bounds of your imagination and creativity as you submit innovative ideas for the development and

commercial use of the Intel® Joule™ module and Intel® Joule™ Developer Kit. To think of and

submit an idea, you do not need to possess an Intel® Joule™ module or Intel® Joule™ Developer

Kit. Rather, please use the documentation provided via the links posted on the Entry Site (as

defined below) to learn about their capabilities and help inform your thought process.

To enter the Challenge, you need to follow these steps during the Entry Period (as defined below):

o Register

o Submit your innovative idea (“Submission”) during the registration process

Once the Entry Period ends, judges will evaluate the Submissions according to these Rules. After

judging is complete and all required Prize Documents (as defined below) have been received, Intel

will announce the winners.

5. CHALLENGE SCHEDULE. Subject to these Rules, the registration, development, and

submission period for the Challenge starts at 5:01 PM Pacific Standard Time (“PST”) on

December 1, 2016, and ends at 4:59 PM PST on December 31, 2016 (“Entry Period”).

We will not grant any individual extensions to the schedule, so we highly encourage you to register

and upload your Submission well ahead of the deadline. We expect to announce winners on or

about February 15, 2017.

6. HOW TO REGISTER AND SUBMIT. To register and submit your entry for the

Challenge, during the Entry Period, please visit https://iotevents.intel.com/jouledevchallenge

(“Entry Site”), and enter the following information:

Your Intel® Joule™ innovative idea (required)

The Submission should include the following elements:

o Submission title

o Submission overview

o The intended use for your innovative IoT solution, such as its unique

capabilities, end user benefits, and features

o Its area of business focus and target market

o The ways in which your idea takes advantage of the Intel® Joule™ Module and

Intel® Joule™ Developer Kit

For the remainder of this Section 6 only, the terms “I,” “my,” and “me” refer to a Challenge

participant. To submit the registration form, you are required to affirmatively check the presented

box accompanying the following acknowledgement/consent:

I understand, state, and agree to each of the following:

(i) I am bound by these Rules;

(ii) I am at least 21 years of age and the age of majority in my jurisdiction;

(iii) I am a legal resident of the United States of America;

(iv) I permit Sponsor’s use of my photographic and video likeness recorded as

described in the Publicity Release set forth in Section 12 below; and

(v) I consent to the use of my personal information with respect to all matters related

to participation in the Challenge and acknowledge and accept the Sponsor’s terms

of use, privacy policy, and cookie policy, available at the corresponding

embedded link.

During the registration process, we may provide you the option to check the following check box

affirmatively:

Optional Opt-In Box for Marketing Information from Intel:

By checking the opt-in box, and in compliance with data protection laws, I confirm that I am

an adult 21 years or older and understand, state, assume responsibility, and freely consent and

authorize Intel to contact me by email, digital marketing, or telephone with information about

Intel products, events, and updates. My consent will have no impact on my participation or

performance in the Challenge. I may unsubscribe at any time by clicking the link provided in

the Intel communications.

Intel is committed to respecting your privacy. To learn more about Intel’s privacy practices, please

visit http://www.intel.com/privacy.

Only one registration and one Submission per person is permitted. Registration or Submission

from teams or groups is not permitted.

7. SUBMISSION REQUIREMENTS. By entering your Submission, you agree, represent,

and warrant that all of your Submission conforms to the submission requirements listed below

(“Submission Requirements”), and that Intel may disqualify you and your Submission from the

Challenge if Intel determines that any part of it fails to conform to the Submission Requirements

or any other requirements in these Rules.

All aspects of the Submission must be in English;

The Submission must be 100% your work, and it must be created originally for this

Challenge. You must own all copyrights, logos, trademarks, trade names, designs, patents,

etc. in the Submission, or otherwise obtain all rights necessary to submit your Submission

subject to these Rules, particularly Section 8;

Your Submission may contain third party brand names, trademarks, or other intellectual

property only if you have all necessary rights to allow you to include such intellectual

property in your Submission and to allow Intel to use the Submission as contemplated and

described in these Rules. If requested, you must be able to provide written evidence of

those rights to Intel in a form acceptable to Intel;

The Submission must not contain or be alleged to contain material that violates or infringes

another’s rights (whether living or deceased) including, but not limited to, privacy,

publicity, or any other intellectual property rights;

Your Submission must not contain any Intel names, trademarks, or other intellectual

property except as provided and allowed in these Rules;

Your Submission may not contain official emblems of any country without permission

from the appropriate authority from that country;

The Submission must not disparage Intel, Administrator, any other Challenge Entity, or

any other third party;

The Submission must not contain material that is inappropriate, indecent, obscene,

pornographic, hateful, tortious, untruthful, inaccurate, defamatory, slanderous, or libelous;

The Submission must not contain material that promotes harassment, bigotry, racism,

hatred, or harm against any group or individual or promotes discrimination based on race,

gender, religion, nationality, disability, sexual orientation, or age;

The Submission must not contain material that is unlawful, in violation of, or contrary to

the laws, regulations, or policies in any jurisdiction where Submission is created; and,

You bear the sole responsibility for violation of any of the Submission Requirements, including

without limitation, reimbursement of inflicted damages.

8. INTEL’S USE OF SUBMISSION. Intel gains no ownership rights over your Submissions,

and no form of direct monetization of the Submission by Intel is permitted without your express

written consent. By entering a Submission you grant Intel for administrative, promotion, and

marketing purposes related to the Challenge, to other contests conducted by Intel, and to the

products or services of Intel, a royalty-free, irrevocable, perpetual, non-exclusive license with the

right to sub-license on a royalty-free basis (without your separate consent) to use all intellectual

property rights associated with the Submission (including, but not limited to, the copyrights,

trademarks, patent, and design rights) including without limitation, to use, adapt, reproduce,

represent, disseminate, distribute, perform, modify, translate, publish, communicate, or broadcast

to the public and publicly display your Submission in whole or in part, on a worldwide basis, and

to incorporate it into other works or develop or prepare derivative works, in any form, media or

technology (including printed materials, Internet and notably Intel and Intel marketing partner

websites and social media sites, etc.) now known or later developed. Intel may also use the Prize

winners’ Submissions industrially or commercially through, for example, the demonstration of the

Submissions at certain industry or academic events, through potential introductions at these events

to manufacturing and investment entities, through the highlighting of the Submissions and winners

on the Intel Developer Zone, and other Intel marketing partner websites, or through potential

introductions to other parties.

For the avoidance of doubt, the compensation for the license of the intellectual property rights

indicated above is $0 US dollars.

If requested, you will sign any agreement or other documentation (or obtain the signature from

relevant third parties) that may be required for Intel to make use of the non-exclusive rights you

grant to use the Submission (or that may be requested to confirm Intel’s right to such use).

In granting Intel the license, you hereby represent and warrant that the Submission does not in any

way infringe upon any third party’s intellectual property rights (whether living or deceased).

Intellectual property ownership and rights to the Submission remain with you except as provided

in these Rules. Otherwise, you accept and undertake to hold Intel and Administrator harmless

against any third party claims. In case the Sponsor or Administrator suffers damages due to the

referred violation, you accept and undertake to compensate the damages of Intel and Administrator

to the extent permitted by applicable law.

To the extent permitted under applicable law, you consent to, and warrant that you have obtained

the written consent from all other creators of content in the Submission to, any acts or omissions

by the Sponsor and each of their respective successors and assigns which would otherwise

constitute an infringement of the creators' moral rights, if any, (including, in particular, the right

to maintain the integrity of the Submission, moral right to first distribution and the moral paternity

right) and waive any and all moral rights in favor of Intel. If requested, you will provide the third

party consent to Intel in a form acceptable to Intel.

By submitting a Submission, you accept and acknowledge that Intel will not be obligated to use

the Submission and that Intel, in its sole discretion, will have the right to refrain from using the

Submission. Intel will not incur any liability whatsoever to the extent it chooses to refrain from

any exploitation of its rights.

9. SELECTION OF WINNERS AND JUDGING OF PROJECT SUBMISSIONS. A panel

of qualified judges (determined by Intel in its sole discretion) will evaluate and calculate a score

for all Submissions. The score assigned to each Submission is based on the following criteria

(“Submission Judging Criteria”):

(i) How innovative is the idea in devising new and unique ways to deploy the Intel®

Joule™ Module and Intel® Joule™ Developer Kit?

(up to 50 points)

(ii) How creative is the idea in making use of the hardware and software components

of the Intel® Joule™ Module and Intel® Joule™ Developer Kit?

(total of up to 30 points comprised of points for the following criteria)

Sensor and actuator utilization (up to 10 points)

Overall Intel® Joule™ utilization (up to 10 points)

Other technical aspects (up to 10 points); and

(iii) What is the market potential for your idea?

(up to 20 points)

Within about 30 days after the end of the Entry Period, all Submissions will have been evaluated

and, if found valid, assigned points based on the above criteria (“Score”). The process of

evaluating your Submission is called a “scoring round.” Intel reserves the right, in its sole

discretion, to conduct multiple scoring rounds based on the above criteria or one equivalent to it.

The Scores for the Submissions will be ranked from highest to lowest to determine the winners of

the following three (3) prizes (each a “Prize”):

One (1) Grand Prize (Highest Score)

One (1) Second Place Prize (Second Highest Score)

One (1) Third Place Prize (Third Highest Score)

If two Submissions vying for a Prize have equal Scores, the Submission with the higher Score in

criteria (i) will be designated the winner of that Prize. If the score in criteria (i) is tied, the tie will

be broken by comparing the Scores in criteria (ii). If the score in criteria (iii) is tied, the tie will

be broken by conducting another scoring round with the two tied Submissions.

Intel reserves the right to select fewer than the three potential number of winners indicated in these

Rules, if, based on the judging results, an insufficient number of Submissions meet the criteria

described above.

The odds of being selected a winner will depend on the quality of your Submission which is expressed

as the score the Submission receives from the judges in accordance with the Submission Judging

Criteria indicated above.

All Scores are confidential to us and will not be made publicly available nor released to Challenge

participants.

10. PRIZES. All the Prizes are awarded as consideration of the technical work of the winners,

in recognition of personal merit, and to encourage future technological development for the benefit

of society as a whole.

All Prizes are valued in United States dollars (“USD”).

Grand Prize. The Grand Prize winner will be awarded a trip for two to attend an international

conference on control, automation and robotics in Nagoya, Japan

The trip will include the following:

o Two round-trip, coach class airplane tickets from your nearest major international

airport to Nagoya, Japan, with a maximum total price for the airplane tickets of

$3,000 USD per person;

Winner and companion must originate and terminate travel from the same

airport and carrier (itinerary to be determined by Sponsor)

Companion must be twenty-one (21) years of age or older at time of travel

o Double occupancy, hotel accommodations for 7 nights, with a maximum total price

for the hotel room of $1,000 USD;

o $2,500 travel stipend to pay for meals and all other travel expenses;

o Registration at the conference for two people with a maximum total price for the

registration of $600 USD;

o Transportation to and from the airports with a maximum total price for the

transportation and/or parking of $400 USD;

o Intel® Joule™ 570X Developer Kit with an Average Retail Value (“ARV”) of

$370 USD; and

o IoT developer accessory kit with a maximum total retail price of $200 USD.

The maximum total value of the Grand Prize is $8,070 USD.

The actual value of the Grand Prize may vary based on airfare fluctuations, distance between

originating location and destination, and other factors. The winner will not receive the difference

between actual and ARV of the Grand Prize. The travel stipend and other travel related portions

of the Grand Prize is only awarded if the winner goes on the trip. The Prizes are subject to

availability. Subject to these Rules, we reserve the right to substitute the Grand Prize (or Prize

element) for one of equal or greater retail value if the Grand Prize (or a Prize element) is

unavailable or cannot be awarded for any reason.

Second Place Prize. The Second Place Prize winner will receive the following three items:

o Intel® Joule™ 570X Developer Kit with a value of $370 USD

o Developer accessory kit with a value of $200 USD

o Online gift certificate at an e-tailer selected by Sponsor with a value of $500 USD

The Average Retail Value (“ARV”) of the Second Place Prize is $1,070 USD.

Third Place Prize. The Third Place Prize winner will receive the following two items:

o Intel® Joule™ 570X Developer Kit with a value of $370 USD

o Developer accessory kit with a value of $200 USD

The ARV of the Third Place Prize is $570 USD.

The total maximum value of all Prizes is $9,710 USD.

You may not substitute or transfer a Prize. There are no monetary options for any of the Prizes.

Maximum one Prize per person. No more than the stated number of Prizes will be awarded.

Important: Intel seeks no promises or favoritism for itself or any of its affiliates in exchange for

your participation in the Challenge. You certify that any potential Prize is not in exchange for an

agreement to influence a recent, pending, or anticipated act or decision that may result in Intel

obtaining or retaining a business advantage.

11. WINNER NOTIFICATION, PRIZE FULFILLMENT, AND TAXES. If you are a

Prize winner, we will notify you within four weeks after judging is completed. The notification

will be sent to the email address you provided during registration, so please check your email and

spam filters.

At time of notification (or soon thereafter), we will send each winner a template version of the

documents listed below. To be verified as a winner and receive the applicable prize, within five

business days of sending the email, you need to complete, sign, and send back to us the documents

listed below along with a copy of a valid identification suitable for proof of identity, residency,

and age (“Proof of ID”).

The documents are as follows:

1. An affidavit (or declaration) of eligibility, liability, and publicity release

(“Declaration”). Among other things, the Declaration reaffirms your acceptance

of the Rules, including the liability releases by you and your companion and grants

of rights listed in the Rules;

2. An IRS W-9 form if the Prize you are eligible to win is valued at $600 or more; and

3. Other documents as needed to confirm your acceptance of the prize as described in

these Rules.

Collectively, the Proof of ID and the documents listed above are the “Prize Documents.”

The Challenge Entities will not be held liable for any selected winner notification that is lost,

intercepted, or not received by any selected winner for any reason, unless we engage in willful

misconduct or negligence related to the winner notification.

We may determine, in our sole discretion, that a selected winner has forfeited the Prize if the

selected winner: (i) cannot be reached or does not accept the Prize per the Rules within five

business days; (ii) declines or cannot accept, receive, or use a Prize for any reason; (iii) fails to

comply with the eligibility requirements; (iv) fails to execute or return the Prize Documents, as

instructed; or (v) does not comply with these Rules.

If a selected winner forfeits a Prize during the five business day notification period, an alternate

winner will be selected using the following process.

The Score of selected winners who forfeit a Prize will be disqualified, and all Scores below it will

move up in the winner selection ranking. By way of example, assume the selected winner with

the second highest Score forfeits the Prize. If you had the third highest Score before that person

forfeited, then after they forfeit, your Score becomes the second highest Score, and you win a

Second Place Prize instead of a Third Place Prize. Alternate winners need to comply with the

eligibility, notification, and other requirements set forth in these Rules. This alternate winner

selection process will be repeated until three Prizes are awarded unless there are insufficient

eligible Submissions.

We will confirm your status as a winner within four weeks of receipt of all the required Prize

Documents. We are not responsible for delays and any inconveniences in distributing Prizes unless

we engage in willful misconduct or negligence related to the Prize distribution.

General Prize-Related Requirements. The United States restricts the export and/or distribution of

certain items and prizes to specific excluded/listed persons. We will comply with these restrictions

and requirements based on our sole assessment of these requirements.

As applicable, the monetary portion of all Prizes will be awarded in the form of a U.S.-issued

check, via PayPal, or via bank transfer, as determined by Intel, in accordance with applicable law.

If you win a Prize, you may be required to set up a PayPal account in order to receive it. Unless

indicated otherwise, all other expenses associated with a Prize, receipt of the Prize (such as PayPal

transaction fees), or the use of a Prize are not included and are your sole responsibility.

Travel Costs. Unless otherwise listed as part of the Prize, you are responsible for all personal

expenses and incidental costs and for obtaining all required travel documents (passports and visas),

permissions, and insurance. Travel restrictions, conditions, and limitations may apply. We are

not responsible if you are unable to use the travel related Prize or if travel is delayed, postponed,

or cancelled for any reason.

Taxes. Reporting and payment of any applicable national, federal, state, provincial, municipal,

local, or other taxes associated with receipt or use of a Prize are solely your responsibility.

12. PUBLICITY RELEASE FOR CHALLENGE WINNERS. Except as prohibited by law, acceptance of any Prize constitutes winner's permission for Intel to

use (i) winner’s Submissions as described in Section 8 of these Rules; and (ii) winner’s name,

image, likeness, voice, quotes, statements, and biographical information as described in this

Section 12.

For this Section 12 only, the terms “I,” “my,” and “me” refer to a Challenge winner and the terms

“you” and “your” refer to Intel.

“To the full extent permitted by law, I, a participant and prize winner in the Challenge, give full

permission and in perpetuity to Intel and all its affiliates, parent companies, and subsidiaries

worldwide to use my name, image, likeness, voice, quotes, statements, and biographical

information or any portion thereof (collectively, “MY IMAGE”) as they may appear in the

Submission and any photos or audios/videos provided to you or recorded at events associated with

the Challenge or Prize, and to distribute or display MY IMAGE in any and all manner and media

throughout the world, including, but not limited to, print, photograph, film, video, television, CD-

ROM, DVD, and on-line computer media, such as the internet (including but not limited to Intel

websites and social media sites, and the websites and social media sites of Intel partner marketing

websites, etc.).

I warrant and represent that any statements made by me to you are true, and portray my honest

belief and understanding about Intel and its products. I recognize that your use of MY IMAGE

may reflect on your reputation, and I am not aware of any facts that would cause any negative

association. I understand that you are not obligated to use, nor provide compensation for any use,

of MY IMAGE. I further understand that you do not acquire an ownership interest in my personal

information as a result of these Rules, and agree that you own all copyrights to any photographs

or audio/video footage you take, and to any of the derivative works you create as a result of these

Rules.

To the full extent permitted by applicable law, I also agree that in using MY IMAGE, or any part

thereof, you will have no obligation to identify me by name, or otherwise, and, I hereby waive all

rights and claims which I may otherwise have with respect to the manner in which MY IMAGE

may be used by you, including, but not limited to, publicity rights, privacy rights, rights regarding

defamation of character, and all rights with respect to my approval of the materials which may be

created by you containing MY IMAGE, regardless of whether, in my opinion, MY IMAGE is

blurred, distorted, or altered, whether intentionally or otherwise.”

13. RIGHT TO CANCEL, TERMINATE, MODIFY, SUSPEND, AND DISQUALIFY. To

the fullest extent of applicable law, Intel reserves the right, in its sole discretion, to cancel,

terminate, modify, and suspend the Challenge, or these Rules, or any portion thereof, and to

disqualify any entrant and associated Submission implicated, in any of the following situations (in

certain jurisdictions, this sentence may not apply if the problem was caused by us

acting negligently or willfully):

The Challenge cannot be run as planned for any reason.

The Challenge, Entry Site, or any website associated with the Challenge, for whatever

reason does not allow the proper interaction with the Challenge, processing of

Submissions, or administration of the Challenge in accordance with these Rules.

Infection by computer virus, bugs, tampering, unauthorized intervention, actions by

entrants, fraud, technical failures, or any other causes, which in our sole opinion, corrupts

or affects the administration, security, fairness, integrity, feasibility, or proper conduct of

the Challenge.

Fire, flood, epidemic, earthquake, explosion, labor dispute or strike (except for a labor

dispute or strike of Intel or Administrator employees), importation, exportation or technical

issues, implementation of government sanctions or other restrictions involving one or more

countries (or their residents), act of God or public enemy, satellite or technical failure, riot

or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal,

state, provincial, or local government law, order or regulation, customs-related issue, order

of any court or jurisdiction, or other cause not reasonably within our control prevents us

from continuing with the Challenge or undermines the Challenge.

Any entrant violates these Rules, or acts in an unsportsman-like or disruptive manner, or

with the intent to disrupt or undermine the legitimate operation of the Challenge, or to

annoy, abuse, threaten, or harass any other person.

Any entrant makes disparaging comments about a Challenge Entity.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE ENTRY SITE (OR ANY

OTHER WEB SITE ASSOCIATED WITH THE CHALLENGE) OR UNDERMINE THE

LEGITIMATE OPERATION OF THE CHALLENGE MAY BE IN VIOLATION OF

CRIMINAL AND CIVIL LAWS, AND IF ANY ATTEMPT IS MADE, WE RESERVE THE

RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES)

FROM THE RESPONSIBLE INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW,

INCLUDING CRIMINAL PROSECUTION.

If Intel suspends the Challenge or disqualifies any participant and their associated Submission,

Intel reserves the right, but will have no obligation, to select winners or alternate winners, from

among the eligible Submissions received up to the time of the suspension, or in other ways Intel

deems fair and in keeping with these Rules.

14. LIABILITY, LIMITATIONS, AND INDEMNIFICATION BY ENTRANT. You

acknowledge the possibility of human error, technical, and capacity limits of the Internet, IT

systems, and the occurrence of other events. To the extent permitted by the mandatory provision

of the applicable law, and subject to the specific country restrictions stated below, the Challenge

Entities are not responsible for, and you hereby indemnify, release, and hold harmless the

Challenge Entities from any and all claims, losses, liabilities, expenses (including reasonable

attorney, tax, and professional fees and legal expenses), and/or damages arising from: (i) technical

failures of any kind; (ii) the unavailability or inaccessibility of the Entry Site, any transmissions,

or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry

process or the Challenge; (iv) electronic or human error, which may occur in the administration or

operation of the Challenge or the processing of entries; (v) website, printing, distribution,

programming, or production errors, and any other errors or malfunctions of any kind, whether

human, mechanical, electronic, or otherwise; (vi) any injury (including death) or damage to

persons or property, including but not limited to your computer hardware or software, which may

be caused by (directly or indirectly, in whole or in part), or related to, this Challenge or your

participation in the Challenge; (vii) acceptance, possession, use, or misuse of any Prize; (viii) your

breach, or alleged breach, of these Rules; and (ix) use, availability, or performance of the Prizes.

By participating in the Challenge, you agree (to the extent not forbidden by applicable law) that

the exclusions and limitations of liability in these Rules are reasonable.

15. IMPORTANT: DISPUTES. To the extent permitted under applicable law, the Challenge is

governed by the laws of the United States and the State of Delaware, without giving effect to any

choice of law or conflict of law rules which would cause the application of the laws of any

jurisdiction other than the State of Delaware. Accordingly, all questions and issues concerning the

construction, validity, interpretation and enforceability of these Rules (and other referenced

documents or materials) or the rights and obligations of the entrant, Intel, Administrator and others

in connection with the Challenge will be governed by such laws to the extent permitted under

applicable law. By participating in the Challenge (and as a condition of such participating), you

agree that any and all disputes which cannot be resolved between the parties, and claims and causes

of action arising out of or in connection with the Challenge (including, but not limited to, any

Prizes), will be resolved individually, without resort to any form of class action, exclusively before

a court located in Delaware having jurisdiction. Further, unless restricted by applicable law, in any

such dispute, claim or cause of action, under no circumstances will you be permitted to obtain

awards for and, to the extent permitted under applicable law, hereby waive all rights to claim,

indirect, punitive, special, incidental and consequential damages and any other damages or awards

(including attorneys' and other professionals’ fees), and you further waive all rights to have

damages multiplied or otherwise increased.

In the event of a dispute as to any Submission, the authorized account holder of the email address

used to register will be deemed to be the person who complies with these Rules. The “authorized

account holder” is the person assigned an email address account by an Internet access provider,

online service provider, or other organization responsible for assigning email addresses for the

account associated with the submitted address. Each entrant and Prize winner may be required to

show proof of being an authorized account holder.

16. PRIVACY AND ENTRANT’S PERSONAL INFORMATION. All information submitted

by entrants as part of the Challenge may be collected, processed, and stored electronically and on

paper by Administrator solely on behalf of Intel in accordance with Intel’s privacy policy, available

at http://www.intel.com/privacy, in order to execute the Challenge. Your rights to edit or delete

personal information are listed below in Section 17.

Personal information includes certain data you submit during registration and as part of the Prize

Documents including, but not limited to your name, email address, mailing address, telephone

number, country, state or province of residence, tax identification number, national identification

card number, picture, likeness, voice and physical appearance, all or some of which may be used

in the discretion of Intel and/or Administrator: (a) to contact potential (and actual) participants

regarding the Challenge or other similar events and competitions, and (b) to exploit the rights

granted to Intel in Sections 8 and 12 of these Rules. Failure to provide all required information

may lead to your disqualification from the Challenge. YOUR INFORMATION WILL NOT BE

RETAINED BY INTEL OR ADMINISTRATOR AFTER THE CONCLUSION OF THE

CHALLENGE (AND WILL BE DELETED AS OF JUNE 30, 2017, EXCEPT INFORMATION

RETAINED SOLELY FOR THE PURPOSES INDICATED IN (A) and (B) ABOVE,

INFORMATION THAT YOU PROVIDED TO PUBLIC FORUMS DURING THE

CHALLENGE, AND AS YOU MAY HAVE OTHERWISE CONSENTED DURING THE

REGISTRATION PROCESS OR AT ANY OTHER TIME.

Data may be transferred or otherwise provided to taxing authorities, prize fulfillment services (i.e.

Amazon, PayPal or Western Union), banks, affiliates of Intel and carriers (e.g., Federal Express)

for the purpose of running and administering the Challenge.

17. ADDITIONAL PRIVACY REQUIREMENTS. You may edit or delete any of your personal

data collected to the extent permitted under applicable law. To exercise these right, either (i) send

an email to [email protected]; or (ii) write to "Intel® Joule™ Developer Innovation

Challenge," c/o The Game Agency, 470 West Avenue, Suite 1001, Stamford, CT 06902, U.S.A.

and indicate the requested action.

18. COMPLIANCE WITH LAWS. The Challenge is subject to, and you are required to

comply with, all applicable national, federal, state, provincial, territorial, municipal, and local

laws, regulations, policies, rules, and directives. You represent and warrant that your participation

in the Challenge, including your acceptance of any potential Prize, will not violate any law,

regulation, policy, rule, or directives of your country, state, or government agency.

19. SEVERABILITY. The invalidity or unenforceability of any provision, statement,

sentence, or clause of these Rules will not affect the validity or enforceability of any other

provision, statement, sentence, or clause. In the event that any provision, statement, sentence, or

clause is determined to be invalid or otherwise unenforceable or illegal, these Rules will otherwise

remain in effect and will be construed in accordance with their terms as if the invalid or illegal

provision, statement, sentence, or clause were not a part of the Rules.

20. ELECTRONIC COMMUNICATIONS. You agree to use of electronic communications

to create binding documents and other records. You also agree to the electronic delivery of notices,

policies, and records of transactions between you and us with respect to the Challenge and these

Rules. You waive any rights or requirements under any laws or regulations in any jurisdictions

that require a non-electronic signature or delivery or retention of non-electronic records, to the

extent permitted under applicable mandatory law.

21. TERMS & CONDITIONS AND WINNERS LIST. For the names of the winners of the

Project Prizes awarded in the Challenge, or a copy of these Rules, either (i) send an email to

[email protected]; or (ii) send a self-addressed, stamped envelope to: Intel® Joule™
