Chapter 1General Terms and Conditions

The Institute of Company Secretaries of India is a statutory body set up by an Act of Parliament. It is functioning under the overall administrative jurisdiction of Ministry of Corporate Affairs, Government of India, and its headquarters is located at “ICSI House” 22 Institutional Area, Lodi Road New Delhi-110 003 intends to design, configure and establish the Wide Area Network for its various offices all over India. The work includes Designing, Supply, Installation, Configuration support and Maintenance of the network (Routers, WAN Links between 13 locations (ICSI Lodi Road New Delhi; ICSI Sector – 62 Noida; ICSI-NIRO Prasad Nagar, New Delhi; ICSI-WIRO Nariman Point Mumbai; ICSI-EIRO Ahiripukur Kolkata; ICSI-SIRO Nungambakkam Chennai; ICSI-CCGRT,CBD Belapur Navi Mumbai; Gurgaon Chapter, Jharsa Road, Sector – 32, Gurgaon; Jaipur Chapter, Jhalana Doongari, Jaipur; Bangalore Chapter, Cunningham Road, Bangalore; Hyderabad Chapter, Khairatabad, Hyderabad; Ahmedabad Chapter, Ashram Road, Ahmedabad; Pune Chapter, Mukund Nagar, Pune), Internet Bandwidth, other accessories & software, if any), for a period of three years from installation and configuration. Sealed tenders are, invited for the aforesaid purpose.

The following conditions should be carefully noted:

GENERAL CONDITIONS

1. The bidder must be a reputed service provider.

2. Quotations should be submitted in two separate sealed covers. First cover containing, "TECHNICAL BID", should provide only technical specification of the network & related system offered along with literature, pamphlets, drawing etc. This cover should contain complete technical specifications of the network & redundancy level, make of equipment, model, and names of Tenderer/manufacturer etc. of the system offered. The diagram of the network with defined notes must be a part of the technical bid. The solution as proposed should be defined.

Second cover containing, "COMMERCIAL BID" should provide only Price, as per the Bill of Quantity annexed hereto. In case there are any optional items which are necessary in the efficient running of the Equipment mentioned in this tender, the prices must be quoted for these Optional Items also. Both the covers should first be sealed separately, and then both the covers should be kept in a single sealed bigger envelope. This envelope should be addressed to, Shri N. K. Jain, Secretary & CEO, The Institute of Company Secretaries of India, 22, Institutional Area, Lodi Road, New Delhi. The Envelope should bear the

inscription "Quotation for setting up of the WAN for ICSI, New Delhi”.

3. Bids should be valid for a minimum period of 180 (One hundred eighty) days after the due date.

4. The last date for receipt of sealed bids in the Institute is 29th September 2011 by 2:00 PM (‘due date’) and the technical bids will be opened on the 30th September 2011 at 11.00 AM in the presence of the intending Tenderers or their authorized representatives, who wish to be present. In the event of due date being a closed holiday or declared Holiday for Central Government offices, the due date for opening of the bids will be the following working day at the appointed date, time & venue. The Institute shall not be liable for any postal delay. Tenders received after the stipulated date and time will not be entertained .

The tender document may be obtained during working hours from 14th

September 2011 to 29th September by 1.00 PM on all working days on payment of Rs.1000/- from the Reception Counter of the Institute on cash payment or by submitting a demand draft in favour of “The Institute of Company Secretaries of India”, payable at New Delhi. The tender document can also be down loaded from the website of the Institute (www.icsi.edu) for which vendors would be required to enclose a demand draft of Rs.1000/- towards the cost of the tender document along with their quotes, failing which the tender shall be out rightly rejected. A pre-bid meeting will be held on 22nd September 2011 at 10.00 at C-37 Sector-62 Noida to clarify the queries of the interested bidders.

5. The work as detailed in this tender shall be executed and completed within the period stipulated in the Work Order that will be issued in accordance with the Tender documents. Technical Specifications, Bill of Quantities and Drawings are required to the satisfaction of ICSI. The work shall however be carried out and completed in phases for which start date and completion date shall be mutually discussed and agreed upon before the award of work order. The work shall not be considered as completed until ICSI certifies in writing that the same has been completed.

6. The rates should be quoted in Indian Rupees (INR) (in case of imported item) for delivery/installation at the premises of ICSI, New Delhi. All prices shall be final and shall not be subject to escalation of any kind. The rates must be quoted as per the bill of quantities attached hereto.

7. The rates quoted should be inclusive of all taxes and duties F.O.R. destination basis.

8. Bidders are requested to clearly specify brand, model, make quoted for. Financial bid without make / model / brand will be treated as incomplete.

BID without equipments make/model will be deemed to be treated as misleading information.

9. The Tenderer should maintain the quality of service (QOS) as per Service Level Agreement (SLA), quote the products strictly as per the tender specifications given. Complete Technical details along with make, model number, complete specification, pamphlets, and literature of the systems highlighting the special features of their offer should be supplied along with the quotation. No deviations in the specifications of the items or in SLA would be accepted. Quotations not adhering to the specifications of the terms as in tender and SLA may be rejected.

10. The Institute reserves the right to accept or reject any or all the tenders/Bids without assigning any reason whatsoever may be.

11. Incomplete quotations shall be rejected.

12. The Tenderer should sign all pages of quotation and drawings accompanying the quotation.

13. The Tenderer should quote for all the items strictly, as per the specifications on which price comparison shall be made.

14. The Tenderer should preferably be an Authorized Service Provider/Channel Partner of the products (Active & Passive).

15. The Tenderer should have executed at least three projects of WAN Links and internet Bandwidth during the last immediately preceding three financial years each costing not less than Rs.50.00 (fifty) Lakhs and submit the proof with contact details for the same. Testimonials or Completion certificate should be submitted along with a copy of purchase order/Tender letter. The above three executed projects should have WAN links between multiple office locations and installation & commissioning of Routers and Bandwidth monitoring.

16. Tenderer should have a turnover of minimum 10 Crores per year in the last three preceding financial years and should furnish the documents such as last three years audited balance sheet.

17. At least one of the Tender/order mentioned above should be in Central Government/PSU.

18. The Tenderer will have to arrange for all the testing equipment & tools required for installation, testing & maintenance & monitoring through single interface at ICSI site etc.

19. Aviation Lamp to be placed on the top of the mast (if radio link quoted), it includes electric cable, sockets, switches etc required for the fitting of the same from electric supply from server room.

20. The service provider / Principal Manufacturer of the active components are to be directly present in India with their own office.

21. The Principal Manufacturer must have a local logistics support by maintaining a direct spare warehouse in the Country. This is to ensure immediate delivery of spare parts from Principal Manufacturer of equipment to its Channel Partner/Service Provider. Toll free no. or call logging via Internet from India should be accessible for technical assistance for Customer & Service Provider.

22. For smooth, seamless and easy manageability, operation and maintenance, all the routers should be of CISCO make and managed by Network Management Software (NMS) like Cisco works SNMS as per the specification.

23. The Tenderers should give clause- by-clause compliance for the technical specification of the equipments in their technical bids. They should also give compliance of all the terms & conditions as mentioned in the Tender document.

24. ICSI will have the right to reject the component/equipments supplied, if it does not comply with the specifications at any point of installation/inspections.

25. The Tenderer will ensure smooth integration of the proposed network with any existing network and/or failover network at ICSI’s offices located all over India.

26. The proposed quantity as specified in the price bid Performa is subject to change depending on ICSI priority vis-à-vis financial constraints.

27. The Tenderer shall submit the following document along with the Tender as a part of technical bid:-

a) Plan of implementation starting with zero date. The project report with date wise scheduling and implementation of each component and the requisite configuration and customization of software and hardware.

b) Details of the monitoring cell established by the vendor for the network.

c) The value addition that can be provided in the form of managed services to the Institute within the existing cost.

d) Copies of Annual reports or documents for paid up capital for last 3 years.e) Detailed pamphlets of each and every component.f) List of firms with name, address, phone numbers, e-mail address of the

contact persons where major projects have been implemented by your Organization.

g) Power of attorney in the name of the person who will sign the document or tender.

h) Name of the sub-Tenderers to be employed in the project.i) Details of present commitments giving Tender values, details of work

date of commencement of work, percentage completed as on date and schedule date of completion along with the completion certificate.

j) Permanent Account Number received from Income Tax Department.k) Details of EMD furnished in accordance with the Earnest Money Deposit

Clause mentioned in this tender.l) List of clients as per the requirements mentioned in this tender with

contact details.

28. InspectionICSI or its authorized representative shall have the right to inspect or to test the items to verify their conformity to the ordered specifications. The Tenderer shall provide all reasonable facilities and assistance to the inspector at no charge to ICSI. In case the inspected or tested goods fail to conform to the specifications, ICSI, New Delhi shall reject them and Tenderer / supplier shall either replace the rejected goods or make all alterations necessary to meet specification required free of cost to ICSI.

29. Earnest Money Deposit

1. The quotations must be accompanied by Earnest Money Deposit (EMD) of Rs. 50,000/- (Rupees Fifty Thousand only) in the form of Demand Draft/Pay Order drawn in favour of The Institute of Company Secretaries of India, payable at New Delhi. Quotations received without Earnest Money Deposit shall be rejected summarily. No interest will be payable by ICSI on EMD.

2. Earnest Money Deposit is liable to be forfeited and bid is liable to be rejected, if the Tenderer / supplier withdraw or amends, impairs or derogates from the tender in any respect within the period of validity of the tender which is 180 (One Hundred and Eighty) days from the close of the bid.

3. The earnest money of the unsuccessful quotationers shall be refunded without any interest, bank charges within 180 days of the finalization of the tender.

30. Security Deposit8

The tenderer whose tender is accepted by ICSI shall be required to give a security deposit for faithful performance of the Tender.

The total amount of security deposit shall be Rs.1,00,000/-(Rupees One Lakh only). No interest will be payable by ICSI on the security deposit, so held. Out of which, The EMD of Rs.50, 000/-(Rupees Fifty Thousand only) will be converted into security deposit and the balance of the security deposit amounting to Rs.50, 000/- (Rupees fifty Thousand only) shall be provided by the tenderer through an irrecoverable Bank Guarantee from any Nationalized Bank in favor of the Institute of Company Secretaries of India. The Bank Guarantee shall be valid for a period of 3 (Three) years and shall be submitted within 10(ten) days of the award of work.

In case Tenderer fails to execute the work as per the tender; or fails to deliver the satisfactory after sales service within the warranty period as stipulated in warranty clause of this tender, or fails to execute SLA, the ICSI shall have the right to invoke the said Bank Guarantee and shall also forfeit the amount of Rs.50, 000/-(Rupees Fifty Thousand only) being part of the security deposit. No interest will be payable by ICSI on the security deposit, so held.

31. Indemnity

The quotationers hereby covenants and agrees to indemnity and shall at all times keep indemnified the ICSI against any loss or damage that the ICSI may sustain as a result of the failure or neglect of the quotationers to faithfully carry out its obligations under this agreement and further to pay for all losses, damages, costs, charges and expenses which the ICSI may incur or suffer and to indemnify and keep indemnified the ICSI in all respects.

32. All disputes, differences, claims and demands arising under or pursuant to or touching the contract shall be referred to the arbitrator to be appointed by the Secretary & CEO of the Institute of Company Secretaries of India, New Delhi. The award of the sole Arbitrator shall be final and binding on both the parties under provisions of the Arbitration and Reconciliation Act, 1996 or any statutory modifications on re-enactment thereof as in force. The arbitration proceedings conduced at New Delhi. The cost of arbitration proceedings including the fees of the Arbitrator shall be borne by both the parties equally.

33. Other Conditionsa) The installation of Copper/YMax/RF/Fiber connectivity by the

vendor must be completed in 90 days from the date of issue of order and the firm must acquire the written acceptance of

successful installation from the Directorate of IT, ICSI within the above mentioned period. ICSI reserves the full rights to impose penalty on the vendor as per the Liquidated damages clause mentioned in this tender in case of default in completing the installation within 90 days.

b) The vendor must provide and maintain in ICSI, window Console software(s) in 3 computer systems of ICSI at the central hubs to monitor Real-Time MRTG graph for all the connections of Fiber/RF/Ymax/Copper connectivity installed in various offices of the ICSI within 90 days of receipt of order from the ICSI. Failure to implement the said software(s) in time would give ICSI the full rights to impose penalty on the vendor @Rs.500/- (Rupees Five Hundred only) per day or part thereof for the delay period. In case the vendor is not willing to provide the console software, the total bid amount for cost comparative purposes shall be increased by 1%. It must be clearly mentioned in the technical bid in case the vendor is not willing to provide the console software else it shall be assumed that the console software shall be provided.

34. COS / QOS for VOIP and Video Conferencing services to be implemented on MPLS network connectivity between ICSI Lodhi Road, Noida, all Regional Offices in the four metros and CCGRT office at Mumbai of ICSI must be implemented along with the installation of Fiber connectivity as a part of the job order. Logical channels is also to be implemented for the website running from Noida Office such that the traffic pertaining to the application server is not only isolated from other internet traffic for the Noida Office but also measurable.

35. WarrantyStandards Warranty for Hardware shall include free maintenance of the whole equipment supplied including free replacement of parts. The defects, if any shall be attended to within 4(four) working hours. The comprehensive on site warranty shall be for a minimum period of 3(three) years from the date of installation of the equipment and successful acceptance of it’s functioning by ICSI duly certified by the designated officer of ICSI. The comprehensive warranty includes onsite warranty with parts.

The successful Tenderer shall be required to execute a Service Level Agreement (SLA) as per the format attached hereto. The said Agreement forms an integral part of this tender and shall be signed within 10(ten) days of the award of the contract. The service charges payable under the said SLA shall however be fixed and firm for a period of 3 (three) years.

36. Delivery Period & Site Details

The Delivery, installation & commissioning will be completed within 90 days from placement of the purchase or work order. Any delay by the

Tenderer in the delivery of items shall render the Tenderer liable to any or all of the sanctions viz. invocation of Bank Guarantee / forfeiture of security deposit, imposition of liquidated damage, etc.

If the tenderer fails to deliver any or all of the goods or complete the installation / commissioning within the period specified in the purchase/work order, the ICSI shall without prejudice to its other remedies deduct as liquidated damage as per the liquidated damages clause mentioned in this tender.

37. Liquidated Damages

If the Tenderer fails to deliver any or all of the goods or complete the installation/ commissioning within the period specified in the purchase/work order, ICSI, shall without prejudice to its other remedies, deduct as liquidated damage 1.0(one) percent of the price of the delayed goods for every week of delay or part thereof.

38. Payment Terms

a) Payment on the supplied items shall be made after supply, physical acceptance, successful installation and commissioning of the equipment on the bills submitted duly authenticated by an authorized officer of the Institute. Purchase/work

Order will be issued by the ICSI indicating therein the details of the Equipment & services and the delivery schedule.

b) Leased components cost, if any would be paid on annual basis and calculation would be done on three years basis

c) The service charges if any payable per annum

under the said SLA for 3 (three) years, shall however be fixed and firm and mentioned clearly in the price Bid.

39. ICSI does not bind itself to accept the lowest or any tender or to assign any reason thereof and also reserves the right of accepting the tender in whole or in part.

40. Assignment and Subletting:

The whole work included in the Tender shall be executed by the Tenderer and the Tenderer shall not directly or indirectly transfer assign or sublet the contract or any part thereof or interest therein without the written consent of ICSI.

41. Rates quoted must include the following:a) Site clearance all the timeb) Setting out the work

The Tenderer shall comply with law and give all notices required by any authority under any act of Parliament and Municipal authorities.

42. Cases where no specifications provided in tenderIn case of any work for which there is no specification in the Tender, such work shall be carried out in accordance with the directions of the ICSI or its authorized representative.

43. A few goods/materials may be selected or ordered or procured on complimentary basis/subsidized basis/discounted rates from any manufacturers or firms by the ICSI at its sole discretion and the ICSI reserves the right of making the payment directly for such goods or materials. In such a situation the market value of the goods/materials so procured would be deducted from the value of Tender. Whether the goods are ordered by the Tenderer or ICSI, the Tenderer shall at his own cost, fix the same if called upon to do so and the Tenderer shall also receive and sign for such goods and be responsible for their safe custody from the date of their delivery till the date of their incorporation in the works.

44. Daily project programme will be drawn up by the Tenderer, after considering availability of materials, work fronts and the

joint programme of execution. The Tenderer shall adhere to the targets / programme. Penalty will be imposed on the vendor as per the liquidated damages clause mentioned in this tender for any deviation from the time schedule.

45. The Tenderer shall examine carefully all the tender documents consisting of:

- Invitation to Tenderers.- General Terms & Conditions - Technical Specifications.- Bill of Quantities.- Service Level Agreement (SLA)

These shall form integral part of the Agreement.

The Tenderer is advised to visit and inspect the sites at his own cost and shall be responsible to secure all necessary information, which may be required for completing the tender. Ignorance of site conditions or local information shall not be considered as an excuse for non-performance of the contract. All costs, charges and expenses that may be incurred by the Tenderer in connection with the preparation of his tender shall be borne by him and the ICSI will not accept any liability whatsoever in this regard.

46. Time is the essence of the contract and the tenderer’s are required to complete the work in all respects within the stipulated time and hand over the same duly completed in all respects to the satisfaction of the ICSI.

47. All corrections in the tender shall be attested by initials of the Tenderers. Corrections, if not attested may entail rejection of tender.

48. It shall be clearly understood that the rates quoted in the tender will be for complete work at site, as per instructions to Tenderers, conditions of Contract, specifications and drawings, and also for all such works as are necessary for the proper completion of the contract, although specific mention thereof may not have been made in the specifications or drawings or tender documents. The rates shall be firm and shall not be subject to cost escalation.

49. Every page of the tender shall be signed on the left side bottom corner by the person or persons submitting the tender in token of his/their having acquainted himself / themselves with the general conditions etc as laid down. Any tender is liable to be treated as defective and liable to be rejected, if any of the pages is not signed. All corrections and alterations, if any made while filling the tender must be attested by

initials of the Tenderer. Cuttings and overwriting is not permitted. Failure to comply with either of these conditions will render the tender liable for rejection. No advice of any change in rate after the opening of the tender will be entertained.

50. The ICSI does not bind itself to accept the lowest tender and reserves the right to reject any or all the tenders without assigning any reason thereof and also reserve the right of accepting the whole or part of the tender. The part acceptance of the tender will not violate the terms and conditions of the contract and the Tenderer will execute the work at the specified rates without any extra charges or compensation with in the stipulated period.

51. ICSI/ ICSI representative shall have power to make any alterations or additions to the stipulated specifications, drawings, designs, and instructions that may appeal to him to be necessary or advisable during the progress of the work and the Tenderer shall abide by the instructions of ICSI if any claim for compensation on account of such alterations or additions. The Tenderer shall be bound to carry out the work in accordance with any instructions which may be given to him in writing signed by ICSI and such alterations shall not invalidate the contract, and any additional work which the Tenderer may be directed to do in the manner specified above, as part of the work, shall be carried out by the Tenderer on the same conditions in all respects on the basis of which he agreed to do the main work and at the same rates as are specified in the tender for the main work without any deviation. The time for the completion of the work shall be extended in the proportion that the additional work bears to the original contract work and the certificate of the ICSI shall be conclusive as to such proportions.

52. The Tenderer shall, on the written order of the ICSI, suspend the progress of the work or any part thereof for such time or times and in such a manner as the ICSI may consider necessary and shall during such suspension properly protect and secure the work as considered necessary in the opinion of the ICSI or its representative. No compensation shall be payable to the Tenderer on whatsoever account for suspension of work.

53. Termination of the Contract.

The Contract in whole or part can be terminated at the option of ICSI, if the ICSI for any reason whatsoever does not require the whole or part of the job thereof as specified in the tender to be carried out, ICSI shall give notice of one month in writing of the fact with reason to the Tenderer, who shall have no claim to any payment or compensation whatsoever on account of any profit or advantage, which would have derived from the execution of the work in full, but which he did not derive in consequences

the full amount of the work not having been carried out, neither shall he have any claim on compensation by reason of any alterations having been made in the original specification or the designs and instruction which shall involve any curtailment of the work contemplated.

54. Claim of Interest:

No claim for interest will be entertained by ICSI with respect to any moneys or balances, which may be in its hands owing to a dispute between itself and the Tenderer.

Chapter 2

SCOPE OF WORK

The Institute of Company’ Secretaries of India intends to hire MPLS VPN & Internet services for its offices called the ICSI Lodi Road New Delhi; ICSI Sector – 62 Noida; ICSI-NIRO Prasad Nagar, New Delhi; ICSI-WIRO Nariman Point Mumbai; ICSI-EIRO Ahiripukur Kolkata; ICSI-SIRO Nungambakkam Chennai; ICSI-CCGRT, CBD Belapur Navi Mumbai and other offices as per the detailed address given in the tender on end-to-end basis for a period of three years. Services as per the Service Level Agreement will have to be started after completion of work within three weeks of the award of contract.

Scope of work would be defined in three parts.

It includes end-to-end connectivity between the ICSI Noida Office (central node) and all other remaining locations as given in the technical specification section.

1. Link provisioning of last mile 2. Internet Bandwidth 3. Routing and Security 4. Monitoring software which will continuously monitor link / utilization &

generate bursting traffic at frequent interval to check bandwidth.5. Managed Services for proactive monitoring till user end and SMS intimation.

Qualified bidder can submit bid for either of the part of tender or in association of with second party but ownership in all respects like supply of equipments, implementation, configuration ,day to day support, faulty equipments replacements and escalations will be of only primary vendor who will bid for tender. Single party or joint party would be preferred.

Chapter 3

Technical Specifications

3.1.1 Part-1:

Specification for Link provisioning between Noida and other office of the Institute

a) For ICSI Delhi, ICSI Noida, all Regional offices and CCGRT Mumbai, the last mile connectivity to be extended from between locations will be primarily based on fiber only and in exceptional cases for non-feasible areas only RF may be accepted with formal permission of ICSI. For ICSI Delhi and ICSI Noida, there should be provision made by the Vendor for automatic takeover by RF/Copper/Ymax connectivity in case of primary fiber connectivity fail-over. The fiber at all the offices of the Institute shall be through ring architecture wherein the Institute premises should be a part of the ring wherein the mux shall be placed

b) Bandwidth on the link shall be 1:1 fully dedicated.c) For the backup link at ICSI Delhi and ICSI Noida and for the primary

link at the chapter’s, RF, YMax or cupper link shall be accepted. d) During the acceptance testing, the testing will be done only for the

bandwidth specified in Purchase/work Order.e) RF equipments if required must be installed with lightening arrestor

and power over Ethernet modules to avoid any additional power requirements.

f) Bidders are required to have site survey for submission of commercials for commissioning of link between ICSI Delhi and ICSI Noida Office. ICSI will permit the survey of the building on the basis of the written request by the bidders in one-day advance.

g) The routers for all the locations shall be provided by the vendot through the Opex model and the cost of the same must be built in the annual cost of the services. The routers for all the locations should be latest model of CISCO CPE routers supporting both the MPLS and Internet Network connectivity requirement of the Institute. The service provider will provide managed services (ENOC services) on the network and onsite support for these hardware as well.

h) RF / YMax / Cupper link as secondary link shall be quoted for offices at ICSI Lodi Road, New Delhi and Noida.

i) WPC/SACFA liaisoning Processing charges i.e. clearance/operating License Processing for the period of three years or till warranty period whichever is more must be built in the installation cost.

3.1.2 Part -2:

Internet Bandwidth (IVPN) at Delhi, Lodhi Road and Noida office of the ICSI

The following technical requirement shall be complied with:

a) A Dedicated link (unlimited data transfer rate) at the location ICSI Lodhi Road, Delhi and Noida Office with 1:1 sharing. Committed access rate till last mile. COS / QOS shall be established by the vendor such that all users in the Institute are configured 50% of supplied bandwidth and the remaining bandwidth is dedicated to the application server holding the website.

b) The routers are to be configured at both the ends with hardware firewall at both Delhi and Noida sites.. Independent gateways would be used for all the locations and if one link goes down then all Internet traffic routed to available gateways.

c) Internet bandwidth should support secured Site-to-Site IP VPN and it can be used as backup link for both the offices. Degraded backup bandwidth can be accepted for a minimum of 2 MBPS. In such cases, the penalty for the first two hours of the primary link going down may be condoned on the written request of the service provider. The back-up structure should be available both for VPN as well as internet bandwidth

d) ISP (Service Provider) should preferably be Class-A Service Provider and should have . ISP should have local peering for National traffic; Traffic should be routed to secondary Gateway once the primary fails.

e) Backup Option should be supported based on IP VPN or any other options like the service provider’s own RF / Copper / Ymax etc.

f) Additional termination equipments (if required), for providing Internet connectivity at ICSI Delhi and ICSI Noida shall be supplied by ISP on lease with bundle cost of Internet bandwidth. ICSI has provisioned Ethernet interface on router.

g) Any equipment like radio mast etc shall be on lease to ICSI for the duration of the contract and only, roof top access, space for pole / mast, UPS power and equipment earthing at each location for delivery of MPLS, internet connectivity on RF would be provided by the ICSI.

h) Internet bandwidth shall be provided through static IP without NAT.i) RF / Copper / Ymax backup option may be accepted for a minimum

bandwidth of 2 MBPS as backup links for Fiber connectivity in Lodi Road, New Delhi and Noida sites.

j) SNMP monitoring shall be enabled on routers at all locations to measure band width as per QOS.

k) The Institute has a disaster recovery site at ICSI Lodhi Road, Delhi, which may be shifted to Chennai office in future. During disaster all operations shall be shifted from the Noida Office to the disaster recovery site. The vendor is binded to up-grade the bandwidth within four hours of intimation. The active site will be established at Noida and Delhi, Lodi Road will be the passive site.

l) COS / QOS shall be required for 3 (three) application servers, EPABX. The console software / portal of the vendor should be configured by the vendor to measure each QOS separately.

3.1.3 Part -3:

Router for location of ICSI

Routers at seven locations are available. Make is CISCO 2811/ 2800 series which will be taken by the vendor under buyback in view of the fact that for all locations, the router will be provided by the service provider under Opex model.

Hardware Firewall/UTM: Presently 4 (four) UTM Firewalls with redundancy are available at 2 locations (Delhi & Noida). The UTM Firewall is providing additional functionality of IPS, bandwidth management, HTTP Proxy, web and content filtering, and reporting. ICSI is using Cyberoam CR 100ia firewall/UTM in one site and CR 100i firewall/UTM in other site as on date.

Technical Sheet for Technical Bid

1. Specifications of Hardware, Software and support

a. New CISCO CPE Router Specification with all required accessories (make, modal, part No. with detailed brochure). Details of association with the principal manufacturer to be listed.

b. Specifications and details of any other hardware for connectivity, security and backup RF/Ymax/Copper, if required (make, modal, part No. with detailed brochure).

c. The Service Provider should submit written consent that the warranty and penalty terms have been noted in the tender and the SLA and is in agreement with the same.

d. Detail pamphlets of each and every componente. SMS warning on disruption, restoration and degradation,

Upgradations.f. Console monitoring software to monitor all sites through single

interface in 3 machines at ICSI central hubs. Alternatively the service provider will provide to the ICSI a web based portal to

monitor the links in which case the cost will be increased by 1% during comparative evaluation.

g. The managed services team at the backend must have the software in place to generate bursts to monitor bandwidths against each COS/QOS channel. The output reports of these tests shall be shared with the Institute on every Monday, on weekly basis.

2. Details of the firm

f) Details on how the link will be managed and monitored on 24 X 7 basis for degradation and SMS configuration for messaging engineers and supervisors of each locations.

g) GNATT Chart of time frame for implementation starting from 0 day. The project report with day wise scheduling and implementation of each component and requisite configuration and customization of the hardware and software. The project Manager may also provide the project updates in the form of a excel sheet giving location wise delivery status.

h) Copies of Annual reports or documents for paid-up capital ( or turnover).

i) Power of attorney in the name of the person who will sign the document.

j) Name and details of sub-tenders to be employed in the project.

k) Permanent Account No, received from income-tax department.

l) Details of EMD furnished. in accordance with clause pertaining to EMD.

Value Addition:

ICSI shall give weightage to firms which can provide value added services as a part of this tender. The value added services may be VoIP, integrated FMS services or any services as provided. The value added services as can be provided in the cost bundle of MPLS may be mentioned in detail.

The Service Provider must note that presently ICSI has Siemens Hipath 3000 exchange at two locations and VOIP is already enabled for the voice communications of the two locations.

Chapter 4

Basis of Evaluation

The basis of evaluation for the contract shall be:

1. The technical bid should be evaluated on the eligibility criteria mentioned in the Technical Specification of the bid.

2. The lowest financial bid based on competency in providing technical solution will be awarded the contract. In the final evaluation sheet, the weightage to be given to the technical evaluation based on the inputs of the vendors to the questionnaires pertaining to technical bid would be 20% and weightage to be given to commercial bids would be 80%.

The bidder should quote the prices as per the details given below:

a. One Time Fixed Cost.Total one time cost with break up.

b. Recurring Cost on annual basis.Recurring cost would be based on following

i. H/W & S/W required on lease at ICSI premises, for provisioning of link between both offices and Internet Services on end-to-end basis.ii. Link Charges. (Leased/Fiber/Radio Link). The charges shall be on actual basis inclusive of all taxes.(The actual rates and taxes may be mentioned separately)

Rates for different bandwidth must be filled in the format placed below:

1. Last Mile Fiber connectivity must be provided on service provider’s own fiber and on ring structure at the following locations :a. ICSI Delhi,b. ICSI Noidac. All Regional Offices in the four metros d. CCGRT, Navi Mumbai

(If the vendor’s response is NO, the total bid amount for cost comparative purposes shall be increased by 1%.)

Section - B

The following infrastructure is currently available in the Institute for the network connectivity.

1. Router CISCO – 2811. This router is available at all seven sites i.e., Lodhi Road,New Delhi; i Prasad Nagar, New Delhi; I Sector-62, Noida; EIRO, Kolkata; SIRO, Chennai; WIRO, Nariman Point, Mumbai; CCRT , Navi Mumbai.

2. Active and Passive CYBEROAM CR 100ia / CR 100i UTM/Firewalls are available with 1 unrestricted user licenses for each at ICSI Lodhi Road and ICSI Noida. In both the sites there is a provision of extra firewall to maintain redundancy.

3. It must be noted by the Service Provider that for VPN the star topology has been shortlisted by the Institute with ICSI Noida and ICSI Lodi Road, Delhi being the central hub.

4. In the initial stage the IVPN has to be established in two offices only i.e. ICSI Lodhi Road, and ICSI Noida. The same may be configured for providing for controlled access for internet which can be defined by ICSI administrator to all the offices in the network. In case the IVPN at ICSI Noida fails the link at ICSI Lodhi Road will provide for internet needs of all the offices of the Institute automatically without human intervention for which the configuration shall be done by the vendor on need basis.

Chapter - 6 Service Level Agreement

The Institute of Company Secretaries of India, a statutory body constituted under the Company Secretaries Act, 1980 having its Head Office at ICSI House, 22, Institutional Area, New Delhi – 110 003 (hereinafter referred to as "ICSI" which term shall include in its successors and permitted assigns) of the OTHER PART

WHEREAS:

Service Provider is willing to provide ICSI with the post installation support and warranty services in accordance with the terms and conditions of this Agreement; NOW THEREFORE, in consideration of the mutual promises set forth below, and in the attachments hereto which form an integral part of this Agreement, the Parties hereby agree to the following:

I. DEFINITIONS

1.1 WAN & Internet bandwidth Availability shall mean the average network time available annually for an ICSI subject to the provisions of this Agreement.

1.2 ICSI Equipment shall mean any and all hardware and software owned, leased or rented by ICSI which is provided by the Service Provider under this Agreement but coexists together with the Equipment with which they operate in tandem or in isolation.

1.3. ICSI Premises shall mean the site or sites designated by the ICSI where the Network Equipment (hereinafter referred to as “Equipment”) is installed including areas to access the Service Provider’s installed Equipment.

1.4. Working hours shall mean 24 x 7 for the network under reference.

1.5. Service Activation Date shall be the date when Service Provider installs and commissions Equipment at ICSI site.

1.6. Scope of AgreementService Provider shall ensure the link availability & throughputs including the last-mile (Leased Line / Wireless broadband link / Fiber/ other links) at ICSI router and preferably user’s desktop Link availability up to ICSI User (single identified desktop) shall be in the scope of service provider/Bidder and shall include Parameters/factors like Optical Fiber Cable / Radio Connectivity, and Equipment failures. End Routers configuration, reconfiguration and management at all the locations would be covered in responsibility of service provider.

Service Provider shall provide service as mentioned below and in accordance with the specifications set forth in this agreement at ICSI designated locations:

1.7. Maintenance ServiceService Provider shall provide maintenance services for the links and Equipments including preventive maintenance, benchmarking and generating reports through bursting pertaining to satisfactory

throughput in the network once every month (within first three working days of the month) during the period of this Agreement.

Service Provider shall keep WAN & Internet Links operating at all times. The Service Provider personnel contacts, telephone numbers, and other procedures of fault reports like call escalation processes, data bases with historical information will be made available by the Service Provider’s to the ICSI within 7 (seven) days of the signing of this Agreement. In case of any change in the above data/information in future, the same must be brought to the notice of the Institute within seven days of the change.

The Simple Network Management Protocol (SNMP) components/ Windows Management Instrumentation (WMI) components and patch management on supplied and leased equipments in the ICSI will be done by the Service Provider to enable the Network Management Software (NMS) to identify the equipments and related software. Service Provider will do load balancing and fine-tuning of all equipments.

Service Provider shall do the configuration and implementation of the security policies on routers as desired by ICSI. Service provider will provide the services to ICSI for three years.

Corrective Maintenance

a) In accordance with the terms of this Agreement, Service Provider shall perform corrective maintenance of the equipments provided and services as provisioned under the tender.

b) The faults if any reported to Service Provider’s will be checked immediately and resolved. The technical expert should visit the site to resolve and close the problem.

c) Replacement of any faulty unit on site to be undertaken either through Service Provider’s service engineers or a third party as determined by the Service Provider depending on the location.

d) Reconfigurations of the system (as and when new updates of software version are released) by the Service Provider.

The Service Provider personnel should respond with in 15 min. after logging in of call and rectify the fault within 1 working hour. The fault should be in any case resolved in 2 (two) hours of recording of the same. In case the equipment is to be replaced the total time allowed will be 72 (seventy two) hours for implementing the new Equipment

notwithstanding that the Network is up and running within 2 (two) hours by standby with same functionality arrangement before taking any equipment for replacement. An additional grace period of equal to the time as mentioned shall be allowed for the nodes(all offices except ICSI Lodi Road and ICSI Noida).

In case of default of any or all of the mentioned conditions a penalty @Rs.500/- (Rupees Five Hundred only) per hour or part of hour for the delay period will be levied on the Service Provider.

1.9. Services AvailabilityNetwork Availability is the percentage of the total available time to the total time under consideration for An IP Port subscribed by Customer, where total available time is the sum of the usable time for an IP Port. Force Majeure events shall be excluded from the down time.

a. Network up Time:The bidder shall ensure minimum 99.5% uptime for fiber and 99% for RF / YMax / Copper on 24 x 7 x 365 basis.

b. Packet Loss:Maximum packet loss on a monthly basis shall not exceed 1-2% in 99% of instances, which must be monitored by the software provided by the vendor and exceptions recorded in logs.

c. Network through put:Ensure 99.5% throughput of the minimum committed bandwidth from ICSI router to its International Gateway on 24 x 7 x 365 basis. The peering on International links must be given in technical tender.

d. Network Latency:Maximum Network Latency between ICSI Router points to International Gateway (Western and Easter Coast of USA) latency shall not exceed 300-320 ms, in worst situation else the link shall be considered as down or unavailable and penalty shall be enforced.

e. Availability of Leased Line Link/ wireless broadband link:The availability of the leased line link / wireless broadband link shall be 99.5% on 24 x 7 x 365 basis.

f. Network Usage Reports.The bidder shall provide following network usage reports, online and/or printable and the exceptions report on the policy :• Monthly Usage Reports (Daily / Hourly reports provided on

monthly basis).• Monthly Network Bandwidth Availability, for both up/down links

data transaction. (Daily Reports provided on a monthly basis).34

• Network Latency Report. Network Performance Monitoring Software (MRTG & other associated software packages, or equivalent) module shall be accessible to in ICSI premises, by the bidder at no extra cost to ICSI.

g. Network monitoring

Interface terminated at ICSI from ISP should be SNMP enabled so that ICSI can monitor WAN port through NMS.

1.10. Compensation against Network Non Performance.In case the service is continuously unavailable beyond 30 minutes for the central hub (ICSI Lodi Road and ICSI Noida sites) and 2 hours for the nodes, for any reasons, the bidder shall extend the period of service by one day for every 30 minutes of down time, However, the total downtime shall not extend 1(one) day/24 hours in a quarter otherwise ICSI reserves the right to review and terminate the services of the bidderThe down time shall start from the time of observance of the service non-availability by the ICSI or SMS generation by vendor or any automated control, whichever is done earlier and end at the time of restoration of the services by the vendor, to the satisfaction of the ICSI. The delay due to no response of the vendor, in registering the service call and subsequent issuance of service call docket number shall have no bearing on Total Service Down time.

1.11. End-to-End Service Requirement.The bidder shall be responsible for providing Internet services on End-to-End basis, implying that all hardware and software required for implementation of services shall be sole responsibility of the bidder. Likewise, the operation and maintenance of the service shall also be on end-to-end basis.

1.12. Infrastructure at ICSI premises.ICSI shall provide at its premises a, 230V, Single Phase, 50 Hz, UPS Power supply point, for bidders end terminal equipment. Bidder shall spell out in the bid any specific requirement for operation of its end terminal equipment.

1.13. ReductionThe bidder shall be preferably a class A ISP Licensee (Documentary evidence to be submitted) and shall offer the quotation as per the guidelines announced by TRAI / Govt. Regulatory Authority. However, in case of reducing tariff policies the bidder shall offer/agree to reduce bandwidth charges proportionately on the offered prices.

1.14. Preventive MaintenanceService Provider shall perform preventive maintenance for the Equipment on the ICSI site. The preventive Maintenance includes normal checks on a periodic basis to check the quality of the performance of the Equipment. The preventive maintenance means , benchmarking and generating reports pertaining to bursting & related tests, pertaining to satisfactory throughput in the network once in two months (within first three working days of the month) during the warranty period. In case of default of any or all of the mentioned conditions a penalty of Rs.500/-(Rupees Five Hundred only) per day or part of day thereof will be levied on the Service Provider.

1.15 Spare Parts SupportThe failed Equipment shall be replaced within two hours through an exchange consisting of returning the failed unit and replacing an equivalent spare in good condition. These faulty units are sent back for repair to the service provider’s test facility.

1.16. Service CallsThe Service Provider will configure the existing Network Management Software (NMS) at ICSI and the vendor’s own location such that the fault / degradation is communicated immediately to the concerned engineer of the Institute and its representative through SMS and E-mail. The software for all such calls will maintain a log. The vendor shall maintain the details of all action that is taken till the closing of the call. Monthly MIS of all such faults to the action taken closing date and time will be provided by the vendor on the first working day of the next month.

1.17 Response Time: The calls will be communicated to your local office through Telephone, email and in writing. Calls should be responded with in 15 min. after logging the call with ISP. Call must be resolved with in 2 hrs. It would be the responsibility of vendor to ensure the desired uptime to avoid any penalties.

1.18. Bandwidth ManagementThe ICSI has procured Internet bandwidth from service providers. The Service Provider shall test the bandwidth on regular basis through bursting techniques and provide a monthly report on the exact bandwidth provided to ICSI. The report must be made available in the first three working days of the month on which it is due.

The Service Provider will ensure that proper log is maintained on the services provided by them to the ICSI. ICSI will lodge the complaint to

the service provider’s help desk through phone or email or NMS and complaint number will be issued to ICSI. Further a monthly log of the disruption / degradation in services will be provided to the ICSI by the 3rd day of the next month e.g. for June 2011, the disruption log is to be provided by 3rd of July 2011.

1.19.Other Terms & Conditions1.19.1. The installation of RF/Fiber by the vendor must be completed in

90 days from the date of issue of order and the firm must acquire the written acceptance of successful installation from Directorate of IT, ICSI within the above mentioned period.

1.19.2. The vendor must upgrade existing Bandwidth to upgraded Bandwidth as per the requirements in future within 72 Hours from the date of issue of order.

1.19.3. The vendor must provide to ICSI window Console software(s) in 3 computer systems at the central hubs for Real-Time MRTG graph to monitor all the connections of Fiber/RF/Copper/Ymax installed in various offices of ICSI within 30 days of receipt of order. Alternatively the vendor may provide ICSI its links through a web based portal for the monitoring purpose.

1.19.4. COS / QOS for VOIP / Video Conferencing services between 7 offices of the Institute where fiber is expected should be implemented as a part of the current order.

1.19.5. To monitor the after implementation activities of the project, there will be some predefined scheduled monthly meetings of the coordinating department of the ICSI with the various levels of officials of the vendor as under. The vendor must attend such meetings as per the schedule.

1.19.5.1.Meeting of the Project Manager of the vendor with the coordinating department of the ICSI on 2nd Monday at 10:00 AM IST of every month.

1.19.5.2.Meeting of Regional Director/ Regional Manager and Project Manager of the vendor with the coordinating department of the ICSI on 4th Monday at 10:00 AM IST of every month.

1.19.5.3.Meeting of Vice President, Regional Director/ Regional Manager and Project Manager of the vendor with the coordinating department of the ICSI on 4th Monday at 10:00 AM IST in every alternate month.

1.19.6. Ownership of the various devices as provisioned for in the tender and in the network of ICSI in all the offices must be retained with the vendor to troubleshoot any issues related to the WAN / Internet services provided by the vendor.

1.19.7. The vendor must provide SMS alert services for any fault / degradation on the Network services or Router / UTM Firewall residing in the premises of ICSI offices at various locations in case of 3 polling failures within the interval of 1 minute from

network Services or devices like Routers.. The vendor must ensure SMS Alerts to specific mobile numbers as provided by the ICSI. The mobile numbers will be configured on vendor’s system within 7 days of SLA sign-off between ICSI and vendor.

1.19.8. In case of default in any of the terms as detailed in this contract, ICSI reserves the right to impose penalty on the vendor @Rs.500/- (Rupees Five Hundred only) per day or part thereof after 30 days from the date of issue of order.

1.20.Configuration Management

ICSI may procure internet links and point to point link from other service provider to develop redundancy at the central hubs.The service provider shall be responsible for any configuration changes or management of devices .Service provider shall coordinate for any problem faced in day to day operation till the problem get resolved. If ICSI desires any configuration change or setup changes in benefit of Institute at any stage, the same will be done by the service provider or under the guidance of the service provider.

Service provider shall be responsible for providing technical support and coordination to integrate of all devices supplied by service provider with existing services or at ICSI. Service provider will visit the office of ICSI within four hours of lodging the request.

1.21.Deliverables

1. Service provider shall deliver the services as per as per the expectation of the Institute.

2. Service provider will submit the complete project documentation including the configuration details of all the devices supplied or deployed by the service provider with implementation time line.

3. Service provider will submit the monthly reports as defined in 1.9 f network usage reports.

4. Service provider will submit monthly call log report that will be verified by the ICSI database.

5. Service provider will maintain the router configuration history log and same will be submitted to ICSI and will seek for approval in writing from ICSI before making any changes in firewall configuration or with other devices.

6. Service provider will maintain incident management log that will be submitted to ICSI on the third of every month for the previous month.

7. Administrative Passwords of devices will be maintained by service provider but device monitoring passwords shall be provided to ICSI.

2. TERM

The term of this Agreement shall be three years beginning on the date of this Agreement. After the initial term, this Agreement may be renewed as per mutual understanding between the parties for such further period as may be mutually agreed by and between the parties.

3. CONSIDERATION

In consideration of services being rendered by the Service Provider under this Agreement, ICSI shall pay an amount of Rs.___________ (Rupees ________________________________only) per year during the term of this Agreement. After the expiry of the term, the service charges shall be revised as per mutual agreement between the parties.

4. ICSI RESPONSIBILITIES

To facilitate Service Provider’s provision of Equipment and Services, ICSI agrees to perform the following obligations:

4.1 Access : ICSI shall grant access at all times to Equipment,

related sites, office areas and other facilities to Service Provider and its authorized representatives, subject to ICSI's reasonable security restrictions. ICSI shall arrange for permission for access to offices of third parties for purposes of carrying out the work to be performed by Service Provider under this Agreement.

ICSI shall give access to Service Provider or its authorized representative to sources of electrical power, and any other necessary utilities and facilities, including telephone access to Service Provider ‘s Network Operations Center or to ICSI’s offices which may be required in order for Service Provider to provide efficient Service.

4.2 Installation : ICSI's personnel shall co-operate and support Service Provider's representatives, as required, for Equipment installation, problem diagnosis and isolation of faults.

4.3 Additional ICSI Responsibilities:a) Provide space for indoors equipment and for routers, modems, spare and test Equipment; b) Provide for all necessary electricity and UPS systems of required rating for each site;

c) Furnish all facilities from ICSI equipment to be interconnected with the Network;d) Provide access to Service Provider personnel during working hours and any subsequent assignee to all ICSI Premises;

5. FORCE MAJEURE

Service Provider shall not be responsible for delays or interruptions in the installation of the Equipment or provision of Services when such delays or interruptions are caused beyond the reasonable control of Service Provider including acts of Government, acts of God, fire, flood, plague, earthquake, war, terrorism, civil strike or commotion.

6. INDEPENDENT TENDEROR OR SUBTENDEROR

The relationship of Service Provider to ICSI under this Agreement shall be that of an independent Tenderer.

7. Project Contacts: ICSI designates Senior Director, Information Technology and Service Provider designates ________ as the responsible person representing them for the Installation and Services Start-up Program. These persons shall represent the respective Parties in all aspects of the provision of Equipment and Services.

8. TERMINATIONICSI shall be entitled to terminate this Agreement with 1 month advance notification, in case there is any violation of the terms of agreement or in case there are more than 3 penalties on the Service Provider in any month.

9. ADDITIONAL CONDITIONS

9.1 Governmental Approvals: Service Provider will obtain all necessary licenses and approvals, including those of local, State, and Central Government / Municipal authorities for the successful implementation of all equipment.

The Parties shall co-operate to facilitate the obtainment of any necessary Governmental licenses and approvals.

9.2 Complete Agreement: This Agreement and all of its Attachments constitute the complete Agreement between the Parties and replace any written or oral Agreement or understanding with respect to the subject matter. Changes, amendments or interpretations of this Agreement shall be valid only if they are in writing and signed by both parties, except that each Party may make a change of domicile or change of the name of the person

to whom notifications shall be sent. This notification shall be made through a written document to the other Party to this Agreement.

9.3 Non Waiver: Failure to exercise by either party of any right under this Agreement in one or more instances shall not constitute a waiver of those rights in another instance. Such waiver by one Party of any of the rights established herein shall not be considered as a waiver of another right established herein.

9.4 Notifications: All notifications or notices related to this Agreement shall be made in writing and shall be effective when they are delivered personally or sent by registered mail to the addresses indicated in this Agreement. Any change of Address should be notified. The notification must only be made to the designated authority in ICSI.

9.5 Headings: The headings used in this Agreement are for purposes of convenience only and shall not control the language or meaning of the provision following.

9.6 Precedence: In the event of any ambiguity or doubt or dispute on the terms and conditions applicable the order of precedence for the purposes of resolving such ambiguity, doubt or dispute shall be :

(1) This Agreement (2) The Attachments (3) The Purchase/work Order (4) The Offer

10. ARBITRATIONAny dispute arising out of or connected with the tender shall be referred to the sole arbitrator appointed by the Secretary & CEO, ICSI or his nominee. The arbitration proceedings shall be conducted in accordance with the Arbitration & Reconciliation Act, 1996 and the decision of the arbitrator shall be final and binding on the parties. The arbitration proceedings will be conducted in Delhi and will be subject to the jurisdiction of the courts in Delhi.

In case the service provider fails to appoint an arbitrator within 30 days from the receipt of the request to do so by the ICSI, Secretary & CEO , ICSI will designate the sole arbitrator.

Subject to as aforesaid, the provisions of the Arbitration and Conciliation Act. 1996 and any statutory modifications or re-enactment in lieu thereof shall apply to the arbitration proceedings under the clause.

11. Indemnity

The Service provider hereby covenants and agrees to indemnity and shall at all times keep indemnified the ICSI against any loss or damage that the ICSI may sustain as a result of the failure or neglect of the service provider to faithfully carry out its obligations under this agreement and further to pay for all loses, damages, costs, charges and expenses which the ICSI may incur or suffer and to indemnify and keep indemnified the ICSI in all respects.

12. JURISDICTION OF COURTS:

All disputes arising out of or relating to the Tender shall be deemed to have arisen in New Delhi and the courts at New Delhi alone shall have jurisdiction over all maters arising out of or relating to this agreement..
