I advise that the Companies have common directors and shareholders and are interrelated. U-Nited Warranties Pty Ltd (In Liquidation) held contracts with its clients in relation to the provision of extended warranties on electrical and other goods. U-Nited Maintenance Pty Ltd (In Liquidation) was established to complete the repair work of any goods that were subject to an extended warranty. It also provided the public general maintenance services for goods requiring repair. United Electrical Holding Company Pty Ltd (In Liquidation) is the parent entity and operated the administrative head office function. For the convenience of creditors, we intend on holding concurrent meetings of creditors for each of the Companies however separate resolutions will be tabled for each entity. Please note that persons are not entitled to vote as a creditor at the meetings unless they have lodged with the Chairman of the meetings particulars of the debt they claim to be due to them from the abovementioned Company(s). Corporate creditors wishing to attend are required to appoint a natural person to vote on their behalf at the meetings of creditors. Proof of debt and Proxy Forms should be lodged with this office prior to the meetings. These forms may be lodged via facsimile on (03) 8663 6333, however, in accordance with Corporations Regulation 5.6.36A, the original signed copy of the Proxy Form must be lodged with my office within 72 hours of lodging the faxed copy. Should creditors have any questions and/or issues they wish me to address at the meetings of creditors, I request they complete the attached Question Sheet and return it to my office prior to the meetings to enable me to prepare a detailed response. In relation to creditors who may have a claim over stock, assets or are of the opinion they may have a Retention of Title claim, I request that Ms Carolyn Bamberry of my office be supplied these details. Remuneration Methods There are four basic methods that can be used to calculate the remuneration charged by an insolvency Practitioner. They are:
a. Time based / hourly rates This is the most common method. The total fee charged is based on the hourly rate
charged for each person who carried out the work multiplied by the number of hours spent by each person on each of the tasks performed.
b. Fixed Fee The total fee charged is normally quoted at the commencement of the administration
and is the total cost for the administration. Sometimes a Practitioner will finalise an administration for a fixed fee.
c. Percentage The total fee charged is based on a percentage of a particular variable, such as the gross
proceeds of assets realisations.
d. Contingency The practitioner’s fee is structured to be contingent on a particular outcome being
achieved.
Method chosen Given the nature of this liquidation I propose that my remuneration be calculated on a time based/hourly rates basis. This is because I believe that this method truly reflects the hours worked by individual staff members and the expenses associated with conducting the liquidation. Explanation of Hourly Rates The rates for our remuneration calculation are set out in the attached “Charge Rates” together with a general guide showing the qualifications and experience of staff who may be engaged in the liquidation. The hourly rates charged encompass the total cost of providing professional services and should not be compared to an hourly wage. Disbursements
Disbursements are divided into three types: A, B1 & B2.
A disbursements are all externally provided professional services and are recovered at cost. An example of an A disbursement is legal fees.
B1 disbursements are externally provided non-professional costs such as travel, accommodation and search fees. B1 disbursements are recovered at cost.
B2 disbursements are internally provided non-professional costs such as photocopying and document storage. B2 disbursements are charged at cost.
I do not expect the cost of disbursements to exceed $2,000 for each company which may include charges for advertising and search fees

THE “COMPANIES”
This document requires the Practitioners appointed to an insolvent entity to make declarations as to:
A. his/her/their independence generally; B. relationships, including
1. the circumstances of the appointment; 2. any relationships with the Insolvent and others within the previous 24
months; 3. any prior professional services for the Insolvent within the previous 24
months; 4. that there are no other relationships to declare; and
C. any indemnities given or up-front payments made, to the Practitioner.
This declaration is made in respect of ourselves, our partners, Grant Thornton Australia Limited (“GTAL”)(‘the Firm”) and any of GTAL’s associated entities.
A. Independence
We, Mr Matthew James Byrnes and Mr Andrew Stewart Reed Hewitt of GTAL have undertaken a proper assessment of the risks to our independence prior to accepting the appointment as Liquidators of the Companies in accordance with the law and applicable professional standards. This assessment identified no real or potential risks to our independence. We are not aware of any reasons that would prevent us from accepting this appointment.
B. Declaration of Relationships
i. Circumstances of appointment
Mr Greg Keith, a partner of GTAL, received a telephone call on 29 June 2012 from a director, Mr Werner Rickman to discuss the financial situation of the companies. Mr Keith’s contact details were provided to Mr Werner by a director/shareholder and accountant of the Companies, Mr Andrew Forster. Mr Keith then arranged a meeting between Mr Matthew Byrnes and Mr Rickman on 2 July 2012 where they discussed the financial position of the Companies and Mr Byrnes advised generally about the options available for the C ompanies, the liquidation process and the obligations of directors where a company is insolvent or likely to become insolvent.
Subsequent to that meeting there were further telephone calls and email correspondence between GTAL staff and Mr Rickman to ascertain the financial circumstance of the company. These dealings occurred between 2 July 2012 and 8 July 2012.
A meeting was held between Mr Rickman and two GTAL employees, Mr David Hodgson and Ms Carolyn Bamberry on 5 July 2012. On that date, Mr Rickman indicated that the appointment was to proceed.
A meeting was then held on 9 July 2012 whereby the directors and members, Mr Rickman and Mr Forster, elected to appoint Liquidators to the Companies and it was nominated that the Liquidators were to be Mr Byrnes and Mr Hewitt of GTAL. These meetings are the only previous dealings we have had with the companies, Mr Rickman or Mr Forster and neither we nor the firm have been paid any fee for the discussions wherein the process of liquidation was discussed.
With the exception of the below noted in the Relevant Relationships, we have not had any prior dealings with the directors of the companies.
The above meetings and other correspondence do not affect our independence for the following reasons:
• The Courts and the IPA’s Code of Professional Practice specifically recognise the need for practitioners to provide advice on the insolvency process and the options available and do not consider that such advice results in a conflict or is an impediment to accepting the appointment; and
• The nature of the advice provided to the Company is such that it would not be subject to review and challenge during the course of the liquidation; and
• The pre-appointment advice will not influence our ability to be able to fully comply with the statutory and fiduciary obligations associated with the liquidation of the Company in an objective and impartial manner.
ii. Relevant Relationships (excluding Professional Services to the Company)
We do not have or have not had within the preceding 24 months, any relationships with the companies, an associate of the companies, a former insolvency practitioner appointed to the companies or any person or entity that has a security interest (charge) on the whole or substantially whole of the properties of the companies.

Mr Andrew Neil Forster
Mr Forster is a member of GTAL’s InsoLink network, which is a national network for accountants and solicitors. The InsoLink database currently has over 2,000 members. As with all InsoLink members, Mr Forster may have received information and material from my office, and/or attended various functions and seminars hosted by GTAL through the InsoLink network. Mr Forster is unable to offer insolvency expertise to his clients therefore has at times referred his clients to GTAL for specific insolvency advice.
GTAL has never undertaken any work for Andrew Forster in respect of the companies or any other matter.
The relationship with Mr Forster will not influence our ability to be able to fully comply with the statutory and fiduciary obligations associated with the liquidation of the companies in an objective and impartial manner.
iii. Prior Professional services to the Company
We, and our firm, have, or have had within the preceding 24 months, a relationship with a person or entity that has a charge on the whole or substantially whole of the Company’s property as summarised in the table below:

National Australia Bank Limited (“NAB”)
As with a number of Banks, the Liquidators are known to the NAB and on occasion have been engaged by the NAB in formal and informal capacities on matters unrelated to the current appointment. In relation to the Companies, when it became apparent that the Directors intended to a appoint Liquidators to the Company, I spoke with NAB to advise of them of this.
Neither the Liquidators nor GTAL have ever undertaken any work for the NAB in respect of the Company. The work that GTAL undertakes for the NAB will not influence my ability to be able to fully comply with the statutory and fiduciary obligations associated with the liquidation of the Company in an objective and impartial manner.
iv. No other relevant relationships to disclose
There are no other known relevant relationships, including personal, business and professional relationships, from the previous 24 months with the Company, an associate of the Company, a former insolvency practitioner appointed to the Company or any person or entity that has a charge on the whole or substantially whole of the Company’s property that should be disclosed.
Indemnities and up-front payments
Neither we, nor the firm have been provided with an indemnity for the conduct of the liquidation, other than any indemnities that we may be entitled to under statute and we have not received any upfront payments in respect of our remuneration or disbursements. Dated this 11th day of July 2012
