2. Cost of Bidding:

The perspective Bidders shall bear all the costs associated with the preparation and

submission of their Bid. CGHS in no case will be responsible or liable for these costs

regardless of the conduct or outcome of the Bidding process.

3. Instructions for Online Bid Submission:

As per the directives of Department of Expenditure, this tender document has been

published on the Central Public Procurement Portal (URL: https://eprocure.gov.in).

The Bidders are required to submit soft copies of their Bids electronically on the CPP

Portal, using valid Digital Signature Certificates. The instructions given below are

meant to assist the Bidders in registering on the CPP Portal, prepare their Bids in

accordance with the requirements and submitting their Bids online on the CPP Portal.

More information useful for submitting online Bids on the CPP Portal may be

obtained at: https://eprocure.gov.in/eprocure/app

4. Registration:

4.1) Bidders are required to enroll on the e-Procurement module of the Central Public

Procurement Portal (URL:https://eprocure.gov.in/eprocure/app) by clicking on the

link “Click here to Enroll”. Enrolment on the CPP Portal is free of charge.

4.2) As part of the enrolment process, the Bidders will be required to choose a unique

username and assign a password for their accounts.

4.3) Bidders are advised to register their valid email address and mobile numbers as part of

the registration process. These would be used for future communication from the CPP

Portal.

4.4) Upon enrolment, the Bidders will be required to register their valid Digital Signature

Certificate (DSC), (Class II or Class III Certificates with signing key usage) issued by

any Certifying Authority recognized by CCA India (e.g. Sify / TCS / nCode /

eMudhra etc.), with their profile.

4.5) Only one valid DSC should be registered by a Bidder. Please note that the Bidders are

responsible to ensure that they do not lend their DSCs to others which may lead to

misuse.

4.6) Bidder then log on into the site through the secured log-in by entering their user ID /

password and the password of the DSC / eToken.

5. Searching for tender documents:

5.1) There are various search options built in the CPP Portal, to facilitate Bidders to search

active tenders by several parameters. These parameters could include Tender ID,

organization name, location, date, value, etc. There is also an option of advanced

search for tenders, wherein the Bidders may combine a number of search parameters

such as organization name, form of contract, location, date, other keywords etc. to

search for a tender published on the CPP Portal.

5.2) Once the Bidders have selected the tenders they are interested in, they may download

the required documents /tender schedules. These tenders can be moved to the

respective “My Tenders” folder. This would enable the CPP Portal to intimate the

Bidders through SMS / e-mail in case there is any corrigendum issued to the tender

document.

5.3) The Bidder should make a note of the unique Tender ID assigned to each tender, in

case they want to obtain any clarification / help from the Helpdesk.

6. Preparation of Bids:

6.1) Bidder should take into account any corrigendum published on the tender document

before submitting their Bids.

6.2) Please go through the tender advertisement and the tender document carefully to

understand the documents required to be submitted as part of the Bid and accordingly

upload all the asked documents. Any deviations from these may lead to rejection of

the Bid.

6.3) Bidder, in advance, should get ready the Bid documents to be submitted as indicated

in the tender document / schedule and generally, they can be in PDF / XLS / RAR /

DWF formats. Bid documents may be scanned with 100 dpi with black and white

option.

7. Submission of Bids:

7.1) Bidder should log into the site well in advance for Bid submission so that he/she

upload the Bid on time i.e. on or before the Bid submission time. Bidder will be

responsible for any delay due to other issues.

7.2) The Bidder has to digitally sign and upload the required Bid documents one by one as

indicated in the tender document.

7.3) Bidder has to select the payment option as “offline” to pay the Earnest Money Deposit

(EMD) in physical form, as applicable and enter details of the instrument.

7.4) Bidder should prepare the EMD of Rs. 1, 00,000/- (One Lakh Only) as per the

instructions specified in the tender document. The original should be

posted/couriered/given in person to the Tender Processing Section, on or before the

last date and time of Bid submission. The details of the DD/any other accepted

instrument, physically sent, should tally with the details available in the scanned copy

and the data entered during Bid submission time otherwise the uploaded Bid will be

rejected. AMSD does not hold any responsibility for any type of postal delays.

7.5) A standard BoQ format has been provided with the tender document to be filled by all

the Bidders for financial Bids and no other format is acceptable. Bidders are required

to download the BoQ file, open it and complete the white coloured (unprotected) cells

with their respective financial quotes and other details (such as name of the Bidder

etc.) No other cells should be changed. Once the details have been completed, the

Bidder should save it and submit it online, without changing the file name. If the BoQ

file is found to be modified by the Bidder, the Bid shall be rejected.

7.6) The serve time (which is displayed on the Bidders‟ dashboard) will be considered as

the standard time for referencing the deadlines for submission of the Bids by the

Bidders, opening of Bids etc. The Bidders should follow this time during Bid

submission.

7.7) All the documents being submitted by the Bidders would be encrypted using PKI

encryption techniques to ensure the secrecy of the data. The data entered cannot be

viewed by unauthorized persons until the time of Bid opening. The confidentiality of

the Bids is maintained using the secured Socket Layer 128 bit encryption technology.

Data storage encryption of sensitive fields is done.

7.8) The uploaded tender documents become readable only after the tender opening by the

authorized Bid openers.

7.9) Upon the successful and timely submission of Bids, the portal will give a successful

Bid submission message & a Bid summary will be displayed with the Bid no. and the

date & time of submission of the Bid with all other relevant details.

7.10) The Bid summary has to be printed and kept as an acknowledgement of the

submission of the Bid. This Acknowledgement may be used as an entry pass for any

Bid opening meetings. Only one authorized person is allowed against this slip for the

meetings.

7.11 Only one medicine is allowed to be quoted against one disease category and there

should not be repetition of the same in other disease group with change of dosage

form or otherwise.

7.12 Bidder should also submit the firm’s current year price list of the medicines

manufactured.

8. Submission of Samples:

8.1) Six samples of each quoted medicine as sold in the open market, to be submitted with

marking as “CGHS tender sample not for sale” by the Bidder within stipulated date

and time. Failure to do so, it shall entail your quotation being ignored. Samples must

reach the Office of CMO I/c, Ayurvedic Medical Store Depot, Room No. 111, 3rd

Floor, CGHS (HQ), Sector-12, R. K. Puram, New Delhi-110022 positively up to

17.30 PM, on or before 08-08-2019.

8.2) Tender sample should be accompanied with In-house lab reports of each quoted

medicine as detailed at point no.14.16 of technical bid as well as Publications / Pilot

studies if any for the product quoted under specific disease category with the

signature of bidder on each page by mentioning the total no. of pages as mentioned in

point no.12.8 as per Annexure –A.

8.3) Successful Bidders will be required to submit four samples of each medicine

submitted in the tender free of cost bearing same batch no & mfd. along with self

attested photocopies of lab reports which have been approved by CGHS Delhi to all

the CGHS units outside Delhi (Annexure-C) within 15 days from the date of

communication of approval, endorsing the letter to AMSD otherwise supply order

may not be placed. These samples and lab report will be treated as reference for

future bulk supplies made against the supply orders placed by the concerned

authority.

8.4) In case if the tender sample expires during the currency of the tender at any place the

supplies approved previous to expiry of the tender sample will be considered as

control sample for future supplies against the supply orders.

9. Specifications for the label of the Medicine

Labels in bilingual are encouraged printed in multicolored on chrome paper, with the

following details.

9.1) Name of the medicine.( In English or Hindi)

9.2) Quantity of medicines.

9.3) Net Weight of the each tablet / Capsule contents wherever applicable.

9.4) For syrup each 5 ml or 10 ml contains. And similar to other dosage forms.

9.5) Details of formulation used in the medicine including the ingredients and their

botanical names, part used, quantity used, additives, preservatives, and coloring

agents etc.

9.6) Name & address with Mfg. License No.(Ayurvedic) of manufacture.

9.7) Samples should be secured with pilfer proof seal, wherever applicable.

9.8) C. G. H. S. Tender sample ‘not for sale’ in red color / contrast color.

9.9) Date of manufacturing, Expiry date and batch no should be clearly mentioned in

red color or contrast color on both outer and inner surface of packing material.

9.10) Sealed sample boxes should contain list of medicines as per Annexure-B without

quoting rates.

9.11) The store will not hold any responsibility for any variation found in the number of

samples, quoted items of samples inside the consignment box.

9.12) Control and as well as bulk supply labels must be identical in all respects

including its colors, on the label of the medicine / Accounting unit / packing unit as

approved by the Drug Licensing Authority (DLA).

9.13) Label of the medicine should enable the barcode device.

9.14) Any addition / deletion of formulation in the medicine of future supplies will be

treated as breach of contract and will be rejected out rightly.

9.15) Any other information required statutorily under drugs and cosmetics Act.

10. Assistance to Bidders:

10.1) Any queries relating to the tender document and the terms and conditions

contained therein should be addressed to the Tender Inviting Authority or the

relevant contact person indicated in the tender.

11. General instructions to the Bidders

(11.1) The tenders will be received online through Central Public Procurement Portal

https://eprocure.gov.in/eprocure/app. In the Technical Bids, the Bidders are

required to upload various documents as per requirement of the tender in scanned pdf

format whereas the formulary medicines as per tender are to be uploaded in .rar

format.

(11.2) Possession of a Valid Class II/III DSC in the form of smart card/e-token in the

company's name is a prerequisite for registration and participating in the Bid

submission activities through https://eprocure.gov.in/eprocure/app. DSCs can be

obtained from the authorized certifying agencies, details of which are available in the

web site https://eprocure.gov.in/eprocure/app under the link “Information about

DSC”.

(11.3) Tenderer / Contractor are advised to follow the instructions provided in the

instructions to the Contractors / Tenderer for the e-submission of the Bids online

through the Central Public Procurement Portal for Procurement at

https://eprocure.gov.in/eprocure/app.

(11.4) The Bids shall be valid for a Period of 120 days from the date of opening of Technical

Bid and the Tender Inviting Authority may request the Bidders to extend the Bid

validity. If the Bidder refuses the extension of Bid validity then his Bid will be

rejected without forfeiting the EMD.

12. Eligibility Criteria

The firms / manufacturer who is interested to participate in the contract should ensure

that they fulfill all the eligibility criteria as prescribed in the Tender Documents;

otherwise the tenders will be summarily rejected. The Price Agreement will be

governed by the terms and conditions of the Tender Document and no modifications /

alterations etc are allowed in any case. The firms may submit their Bids if the terms

and conditions as prescribed are acceptable to the Bidders and they fulfill all the

eligibility criteria. Therefore Bidders are advised to read “Terms and Conditions” and

Instructions of Bid Documents carefully before submitting their quotations.

(12.1) Bidder shall be a Manufacturer of Ayurvedic medicines having valid own

manufacturing license on form no. 25 D or 26 D for last three years for the medicine

quoted. Distributors/ Suppliers/Agents/Loan licensee are not eligible to participate in

the Tender. If the license is expired, proof of renewal from the Licensing authority

with acknowledgement is mandatory. Quoted medicine should have open market

sales background of at least 3 years.

(12.2) Bidding firms must have a valid WHO-GMP / COPP Scheme or QCI Certified for AYUSH

Standard or Premium Mark products. (12.3) The Bidder shall provide production certificate detailing batch capacity, number of

batches produced in a year, product turnover of each quoted medicines for which

Tender is submitted for last three years.

(12.4) The firms should not be blacklisted / debarred / banned by any State Governments

U.T. / Central Government/Corporations/Local Government Bodies in the preceding 3

years. Bidder should provide Non Conviction Certificate issued by Drug Licensing

Authority (ISM / AYUSH).

(12.5) The firms should submit EMD of Rupees 1, 00,000/- (Rupees One Lakh).

However, EMD is exempted for MSE firms. (12.6) For firms covered / registered under Micro Small Enterprises (MSE) umbrella all the benefits

are extended as per PPP for MSEs. Order, 2012 and Policy Circular No.1(2)(1)/2016-MA,

Ministry of MS & ME dated 10th March, 2016 subject to meeting of quality and technical specifications.

(12.7) Pharmaceutical firms should have a minimum annual average turnover of Rs. 5 Crores

(Rupees Five Crores) for Ayurvedic formulations in each of the last three preceding

financial years to be eligible for participation in the tender.

(12.8) Publications/Pilot studies if any for the product quoted under specific disease

category.

13. Preparation of Bids

All documents required in the tender should be serially numbered and duly self

attested and stamped by the Bidder on each page in chronological order of the

checklist enclosed at Annexure-A and as per Clause 14 (From 14.1 to 14.16) before

uploading. These documents fall under category of Technical Bids.

(13.1) The Item(s) as per Tender enquiry should be clearly marked and highlighted in Drug

Manufacturing License indicating date of issue of license for manufacturing each

quoted medicine.

(13.2) Price Bid is to be submitted online in the BOQ format available at https:// eprocure.

gov. in/ eprocure/app under this tender reference.

(13.3) The purchaser may demand to see the original document on submission of attested

/certified copy of any document which has been submitted online or other

document(s) requiring clarification. .

(13.4) All the information called for in the BID documents should be answered, failing

which, the Bid shall not be considered and is liable to be rejected without any further

reference.

(13.5) The purchaser reserves the option to give a purchase/ price preference to the offers

from public sector units etc., in accordance with the policies of the Govt. of India

from time to time.

14. Technical Bid

All documents required for establishing eligibility, that are to be uploaded, should be

serially numbered and duly signed by the Bidder or his authorized representative on

each page in chronological order of the checklist enclosed at Annexure-A before

uploading. This should inter alia include the following certificates / documents for the

medicines to be quoted online. The Tender shall be liable to be rejected if following

documents are not uploaded with the Technical Bid online.

Scanned Documents (Documents as per check list – Annexure-A to be uploaded

in pdf format.

(14.1) Copy of duly filled Check list, signed & stamped.

(14.2) The Bid documents shall be signed by the Owner/ Proprietor/ or a person duly

authorized to sign on behalf of the Bidder in case of partnership firm/company. The

authorized signatory should have duly signed authority letter/General Power of

Attorney from the Proprietor / Partners of the firm/ MD / Chairman / President as per

Annexure-M

(14.3) Copy of the demand draft of Rs 1, 00,000 (one lakh) as EMD.

(14.4) Copy of forwarding letter of the firm as per Annexure-E.

(14.5) Copy of Audited financial annual turnover statements & Profit & Loss Balance Sheets

for the last three financial years duly certified by the Auditor / Chartered accountant.

(14.6) Production certificate for the last three years, product turnover of each quoted

Medicine, as per Annexure-D.

(14.7) Copies of the PAN Card of the entity, ITRs for last three Assessment Years and latest

Sales Tax/GST paid challan.

(14.8) Non-conviction certificate from the Drug licensing Authority of the state as per

Annexure-F.

(14.9) Declaration duly filled as per Annexure-G.

(14.10) Copy of the registration certificate for claiming benefits under Public Procurement

Policy for MSE firms they should registered with any one of the relevant authorities

as detailed in order dated 23rd March, 2012 issued by Ministry of Micro, Small and

Medium Enterprises as per Annexure-L.

(14.11) Valid Manufacturing license issued by concerned drug licensing authority on form

25-D or 26-D.

(14.12) Documents relevant to WHO-GMP Certification or COPP Scheme, or QCI certified

for AYUSH Standard or Premium Mark

(14.13) Copies of the Labels of primary and secondary packing of the products. as it is sold

in the open market, for which the offer is being made should also be uploaded.

(14.14) Firms current year price list of the medicines manufactured.

(14.15) In-house analytical lab report. (14.16) Performance Certificate from the State Drug Licensing Authority as per Annexure-N

Note:

The advice of Ministry of AYUSH dated 9-9-2008 states that firms should submit

Analytical lab report at the time of supply from Government approved lab/NABL

accredited lab as per the protocol developed by the manufacturer. This report should

contain specific tests for Identity, Purity, Quality and Strength of the ingredients used

in the drug or of the end product as per Ayurvedic Pharmacopeia. For dosage forms

sample protocol annexed may be referred for guidance. Annexure- H-1 to H-16.

15. Price BID (BOQ)

The Bidder will be required to submit its price in (.xls) (BOQ) format attached to the

tender document. Price Bid is to be submitted online only and no copy is to be

submitted physically. Annexure- I.

16. Pre- Bid Meeting:

Pre-Bid meeting will be held on 10-07-2019 at 11.00 AM in the Office of CMO I/c,

Ayurvedic Medical Store Depot, Conference Hall, 3rd Floor, CGHS (HQ), Sector-12,

R. K. Puram, New Delhi-110022., in which the doubts of the intending Bidders

regarding filling up of the tender documents shall be clarified; if found necessary

advise to the tender documents would be issued & uploaded on e-portal

https://eprocure.gov.in/eprocure/app Hence, Bidders are advised to check the portal

for any amendment / corrigendum in the tender before submission of Bids.

17. Opening of Technical and Financial Bid of Tender

The Technical Bids will be opened as per the Bidding schedule. The Technical Bids

will be scrutinized by the respective Technical Evaluation Committee. After the

completion of evaluation of Technical Bids by the Technical Evaluation Committee,

Price Bids will be opened in respect of only those Bidders whose Bids are found

technically responsive. The Date and time of opening of the Price Bid (BOQ) will be

announced on the e-procurement portal https://eprocure.gov.in/eprocure/app

18. Other Terms and Conditions

18.1) Price:

Please note that Price Bid is to be submitted online only and no copy is to be

submitted physically. The price Bid will also be known as financial document and

every Bidder will be required to submit its price in (.xls) (BOQ) format attached with

tender document. The prices quoted should be inclusive of all Taxes, Duties, Levies,

Cess, Octroi/Entry Tax, surcharge, freight, loading, unloading, insurance, road

permits, packing, etc. excluding GST where ever applicable in the concerned state.

18.2) Rates should be quoted on 'FOR Destination' basis or Free Delivery on Door Basis to

all CGHS Units LOCATED OUT SIDE DELHI AND AMSD IN Delhi and other

areas in future if new Units are opened as per the R.C. concluded at Delhi. (Monetary

limit is not acceptable).

18.3) Rates to be quoted for asked accounting unit otherwise the Bid shall be summarily

ignored.

18.4) No conditional offer / discounts for early delivery / payment etc will be accepted. Any

conditional price / rate quote (except where quotes are called on variable price basis)

shall render the financial BID disqualified on ground of conditionality.

18.5) The prices quoted by the Bidders should be on firm and fixed basis during the

currency of the rate approval.

18.6) The purchaser reserves the right to accept in part or in full any Tender or reject any

Tender without assigning any reason or to cancel the e-Tendering process and reject

all Tenders at any time prior to award of contract, without incurring any liability

whatsoever to the affected Tendered or Bidders.

18.7) If the above instructions and other Terms & Conditions of Tender are not adhered to

by the Bidder, the Bid may summarily be rejected and the Ayurvedic Medical Store

Depot will not be liable to answer for the same.

19. Tolerance clause (applicable in case estimated quantity is specified in tender

document)

The CGHS, MOH&FW does not give any guarantee for purchase of specified

estimated quantity of medicine. The orders will be placed as per the requirement of

the concerned stores placing order.

20. Delivery period:

The time for and the date of delivery of stores stipulated in the supply order shall be

deemed to be the essence of the contract and delivery must be completed within

stipulated Date of Delivery which is normally 60 days.

21. Period of Price Agreement

(21.1) The price Agreement shall be operative for a period of two years from the date of its

finalization i.e. from the date of issue of Price Agreement (Rate List). The successful

Bidder shall note that supply orders may be placed up to the last day of the currency

of the Price Agreement. The agreement may be extended, for a period of six month in

one instance, i.e. up to a period of one more year on the discretion of the Ministry and

at the existing terms and conditions with mutual consent.

(21.2) whenever any Purchase Order is placed during the validity of the contract it shall be

binding on the firm to supply it as per Schedule given by the purchaser.

(21.3) Price Agreement means the “concluded Rate List published by AMSD in the web

site / written communication with each firm after obtaining the approvals of the

competent authority.

22. Packing and Marking Required.

22.1) Labels of all containers and other cartons, wrappers etc should be invariably marked

in bold letters CGHS SUPPLY, NOT FOR SALE (IN RED COLOUR / Contrast

Color). The label specifications in all aspects should be adhered as provided at the

time of tender throughout the contract period.

22.2) Packing of the Accounting Unit / Packing unit to be restricted as per the Tender.

Annexure B.

22.3) Blister packing / tube packing of medicines are acceptable. Ayurvedic medicine

container can be of glass material / food grade plastic preferably HDPE material /

bottles made by material which are eco-friendly. All containers meant for packing is

required to be secured with pilfer proof seal to ensure genuineness of the product

packed. With each consignment the supplier should give an under taking that material

used is of food grade / HDPE material if supplied in plastic bottle.

22.4) For packing unit material for Point No. 22.2 of above is required to be corrugated

boxes having “A” grade paper i.e. Virgin, and packed in first hand boxes only, with

suitable flute, joint, stitching, flap, tape. The box should be of 5 ply with bursting

strength of 9Kg / Cm2. With each consignment the supplier should give an under

taking that material used is of food grade / HDPE material.

22.5) Weight of the tablet/capsule capacity to be mentioned on the label of the inner

packing. e.g. each tablet/pills/capsule is of 250/mg./500 mg/750/mg etc. for liquids it

should be mentioned as each 5 ml or 10 ml contains etc.

23. Shelf Life

23.1) Shelf life of the medicine is mandatory to notify on the product. For Ayurvedic

Branded medicines shelf life should be mentioned in months as per the studies carried

out and determined by the firms for their products. Gazette notification for shelf life

notified by Ministry of AYUSH dated 15th October, 2009 & 12th August, 2016 can be

opted as guiding factor for deriving the shelf life for the products.

23.2) The Bidder should note that at the time when the stores are offered for inspection, the

life of the drugs shall not have passed more than one sixth (1/6th) of the

effective/useful life of the medicine counted from the date of manufacture. Loss or

premature deterioration due to biological and other activities during the life potency

of the drugs shall have to be made good by the contractor free of cost or shall have to

refund the cost of rejected medicine lying with depot or at the indenters end.

24. Warranty

24.1) Supplies must fully comply in all respect with the Technical specifications and

conditions laid down in the contract and in accordance with the Pharmacopoeia

standards.

24.2) Each supply should be accompanied with a "Warranty Certificate" as specified below,

duly signed by the Supplier as under:

WARRANTY CERTIFICATE:

I/We, __________________ (name of the contractor/supplier), hereby declare

that the goods sold to the CGHS, MOH&FW under this supply order (No. of the

supply order with date) are of the best quality (and workmanship) and strictly in

accordance with specification and particulars contained in the description clause

hereof and I/we hereby guarantee that the said goods would continue to conform to

the description and the quality aforesaid for a period as specified in the Gazette of

India No. 605, dated 20/10/2009 & 16-08-2016 from the date of delivery of the said

goods to the purchaser and that notwithstanding the fact that the purchaser/inspector

may have inspected and or approved the said goods, if during the aforesaid period,

discovered not conforming to the description and quality aforesaid or have

deteriorated (the decision of the purchaser in this behalf will be final and

conclusive), the purchaser will be entitled to reject the said goods/store articles of

such portion thereof as may be discovered not conforming to the said description

and quality. On such rejection, the goods will be at the seller’s risk and all

provisions herein contained relating to the rejection of goods etc, shall apply. In the

event of replacement of rejected stores by the supplier, the above mentioned

guarantee period shall as apply to the goods replaced from the date of replacement

thereof, otherwise the contractor shall pay to the purchaser such damages as may

arise by the reasons of the breach of the conditions here in contained. Nothing here

in contained shall prejudice and other right of the purchaser in that behalf under this

supply order or otherwise.

24.3) If the supplier, having been notified, fails to replace rejected stores with fresh stores

within one month, the purchaser may proceed to take such remedial action as may be

necessary at the suppliers' risk and expense and without prejudice to other rights

which the purchaser may have against the supplier under the contract.

25. Recalls

If products must be recalled because of problems with product, the supplier will be

obliged to notify the purchaser, providing full details about the reason leading to the

recall, and shall take steps to replace the product in question at suppliers own cost at

the ultimate destination with a fresh batch of acceptable medicine or withdraw and

give a full refund if the product has been taken off the market due to safety issues.

Representatives for the respective requirement.

26.1 Annual Estimated Drawls:

The annual value of drugs to be ordered by the Department will be dependent on

individual requirements of the various medicines.

27. Issuing of Inspection note:

Inspection note will be issued to the supplier at the earliest possible from the date of

receiving of supplies in the stores. The process of inspection will be made first cum

first basis excluding medicines supplied by Indian Medicine Pharmaceutical

Corporation Limited (IMPCL). All the precautions will be taken not to delay the

process of inspection by the duly constituted inspection committee beyond the period

of 30 days. If any supplier supplies the medicines prior to the end date of supply order

do not entitle to receive the inspection note immediately.

28. Payments:

Payment will be made on submission of bills, duly supported by original inspection

note, original supply order, delivery Challans, Mandate form duly signed by the bank

officials, Government approved laboratory or NABL accredited lab test report,

cancelled cheque etc. Demand for advance payment is not admissible. Inspection

note will be issued for approved medicines only. Medicines which are in question or

summarily rejected will not be issued inspection note, only communication will be

made for proceedings with the concerned firm.

29. “Terms & Conditions” of Supply

29.1 The parties to the contract, which shall be deemed to be “Price Agreement “ and

which is intended for the supply of stores of the description set forth in the schedule to

the Tender during the period specified shall be contractor of the first part and

purchaser(s) name in the schedule of the Tender of second part.

29.2 The AMSD reserves the right to vary the number or quantity of the stores which will

be ordered during the period of price agreement from the contractor.

29.3 If firm is deregistered / debarred for the supply of item after issue of Tender enquiry

for any particular item, offers for such item will not be considered. If firm is

deregistered / debarred for the supply of the item / blacklisted banned during the

currency of contract, all orders already placed by demanding officer shall stand

cancelled and will be barred for 6 years or three tender tenure whichever is earlier.

30. Earnest Money Deposit / Performance Security Deposit.

30.1) Bidder should prepare the EMD of Rs. 1, 00,000/- (One Lakh Only) as per the

instructions specified in the tender document. The original should be

posted/couriered/given in person to the Tender Processing Section, on or before the

last date and time of Bid submission. The details of the DD/any other accepted

instrument, physically sent, should tally with the details available in the scanned copy

and the data entered during Bid submission time otherwise the uploaded Bid will be

rejected. AMSD does not hold any responsibility for any type of postal delays.

However, EMD is exempted for MSE firms.

30.2) Successful Bidders will have to deposit Rupees 2,00,000 (Two Lakhs) as Performance

Security Deposit in the form of demand draft drawn in favor of ‘PAO CGHS Delhi”,

payable at New Delhi or bank guarantee as per Annexure-J in favor of “Additional

Director CGHS (HQ)”. The validity of the performance Security Deposit should be

3 years from the date of submitting of acceptance letter date.

30.3) Earnest money deposit of the successful Bidders will be retained as Bid security for

the performance of the contract and will be retained for a period of 6 months beyond

the date of completion of all contractual obligations of the supplier, including

warranty obligations and will be refunded thereafter. In case the Bidders withdraws

his Bid within its validity or fail to deposit performance security within specified time

after award of contract, the Earnest Money will be forfeited or the firm will be

debarred /de-registered for a period of five years.

30.4) Demand Draft finally accepted as Earnest Money Deposit / Performance Security

Deposit would be credited to Govt. Account under proper Head of Account.

30.5) Govt. will not pay any interest on Earnest Money Deposit / Performance Security

Deposit, which would stand credited to Govt. Accounts. Earnest Money would be

returned, to unsuccessful Bidder without any interest whatsoever, after finalization of

the Tender.

30.6) Performance Security Deposit will be returned to the Bidder after a period of 6

months beyond the date of completion of all contractual obligations of the supplier,

including warranty obligations by the AMSD.

30.7) If the contractor fails or neglects to observe or perform any of his obligations under

the contract, it shall be lawful for the purchaser to forfeit the Earnest Money Deposit /

Performance Security Deposit furnished by the contractor.

30.8) It may further be noted that if the date up to which the offer is to remain open being or

is declared a closed holiday for the Government offices, the offer shall remain open

for acceptance till the next working day.

30.9) Withdrawal of any rates after opening of the Tenders will render the entire offer

invalid and lead to forfeiture of EMD.

30.10) No deviation in specifications and/or nomenclature of stores will be considered.

Packing specifications mentioned in the Tender Document must be strictly adhered to.

31. Firm supply conditions and delivery period:

31.1) The supply order will be placed to the concerned firm by the C.M.O. In-charge,

CGHS, AMSD as and when required and the supplier will be expected to make the

delivery of consignments at the premises / Stores in terms of such supply order or to

the concerned addressee as per instructions for receiving the consignments, without

any extra charges, whatsoever.

31.2) Supplies are to be delivered between 9.30 A.M. to 4.00 P.M. on any working days in

a week except Saturday, Sunday, Gazette holidays and other days which has been

declared as closed holiday.

31.3) The supplies shall be made according to the accepted Tender sample specification in

all respects, prescribed component conditions and in case the medicines are found not

suitable for human consumption at any later stage/complaint; the firm will replace the

remaining available stock of medicines at AMSD and rejected medicines will be

destroyed at stores after receiving remaining quantity of medicine and approved by

the committee. Time period given in such situation is 30 days from the date of

receiving of the intimation by the supplier excluding holidays. In case the

supplier is unable to do the same the amount already paid to the firm will be

recovered from past pending payments or from the security deposit /Performance

Security, besides any other administrative action as per “Terms & Conditions” of the

tender document.

32. Penalty Clause: The medicines are to be supplied within 60 days from the date of issue of supply

Orders. Additional grace period of 30 days is allowed for supply with a penalty of

0.5% per week or part thereof on the values of pending supply order.

32.1) If medicines are not supplied within 90 days of issue of supply order then the supply

Orders may be cancelled without any notice.

32.2) All supplies must be delivered by the contractor within a period of 60 days from the

date of issue of the supply order or any delivery date specified in the Supply Order.

CGHS will not accept T.R. /R.R. and post parcel receipt. Goods must be delivered at

depot premises only.

32.3) It shall be the responsibility of the supplier for any shortages/damage at the time of

receipt in the respective purchaser’s place.

32.4 ) Tender inviting authority is not responsible for the stock of the drug received, for

which no order is placed.

33. Force Majeure:

Notwithstanding provisions of any clause the supplier shall not be liable for forfeiture

of its performance security, penalty or termination for default if and to the extent that,

it’s delay in performance or other failure to perform its obligations under the contracts

is the result of an event of force majeure.

For the purpose of this clause, force majeure means an event beyond the control of the

supplier and not involving the suppliers fault or negligence and not foreseeable and

unanticipated by and not brought about at the instance of the supplier and which has

caused the non-performance or delay in performance. Such events may include, but

are not restricted to, acts of the purchaser either in its Sovereign or contractual

capacity, wars or revolutions, fires, floods, epidemics, quarantine restriction and

freight embargoes.

If a force majeure situation arises, the supplier shall promptly notify the purchaser in

writing of such conditions and the cause thereof. Unless otherwise directed by the

purchaser in writing the supplier shall continue to perform its obligations under the

contract as far as reasonably practical and seek all reasonable alternative means for

performance not prevented by the force majeure event.

If at any time during the performance of the contract, the supplier should encounter

conditions impending timely delivery of the goods, the supplier shall promptly notify

the purchaser in writing of the facts of the delay its likely duration and its clause(s).

As soon as practicable after receipt of the suppliers notice, the purchaser shall

evaluate the, situation and may at its discretion extend the suppliers time for

performance in which case the extension shall be ratified by the parties by amendment

of the contract. The extension of the delivery period will be subject to the approvals of

the competent authority.

34. Termination for Default.

The CGHS, MOH&FW may without prejudice to any other remedy for breach of

contract, by written notice of default sent to the supplier, terminate the contract in

whole or in part.

34.1) If the supplier fails to deliver any or all of the goods within the time period specified

in the contract.

34.2) If the supplier fails to promptly replace any goods rejected subjected for testing or

reported by the inspection committee after giving prompt notice within in the

specified time period.

34.3) If the supplier fails to fulfill any other terms and conditions of the rate contract.

35. Fall Clause

35.1) The Bidder should confirm acceptance to the fall clause given herein under.

35.2) The price charged for the store supplied under the contract by the contractor shall in

no event exceed the lowest price at which the contractor sells the stores or offers to

sell stores of identical description to any persons / organizations including the CGHS,

MOH&FW or any Department of the Central Government or any Department of a

State Government or any statutory Undertaking of the Central or State Government,

as the case may be during the period till performance of all supply orders placed

during the currency of the Price Agreement is completed. In any subsequent date after

submission of the quotation or placing of a supply order, the manufacturer (the term

manufacturer will also include his authorized distributor/agent) reduces the sale price

of such stores “In case there is a fall in the institutional price due to reduction in price

of raw material, customs duty exemption etc. the manufacturer will have to reduce the

price proportionately ” or sells or offers to sell such stores to any other party at a price

lowest than the price charged/chargeable against the supply order placed by the

AMSD, the manufacturer (including his authorized distributor/agent as aforesaid in

case the quotation is submitted by them and the supply is also effected by them) Will

forth-with notify such reduction in sale price to the officer-in-charge of the AMSD

and the price payable for the stores to be supplied against the supply order after the

date of such reduction in sale price coming into force, shall stand correspondingly

reduced.

35.3) Contractor shall submit a certificate along with bill document to AMSD for

forwarding to the concerned “PAO” at the time of claiming payment for supplies

made against price agreement that stores of description identical to the stores supplied

to AMSD under the price agreement have not been offered / sold by them to any

persons / organizations up to the date of bill / completion of supply against all supply

orders placed at a price lower than the price charged to the purchaser(s) under the

price agreement. It is further certified that there is no fall in the institutional price due

to reduction in price of raw material, customs duty exemption etc. and in such case,

the manufacturer will have to reduce the price proportionately.

35.4) The purchaser reserves the option to give purchase preference to the offers from the

Central Public Sector Undertakings etc over those offers from other large scale units

in accordance with the policies of the Government from time to time.

35.5) Samples against this Tender inquiry if called for shall be furnished by the date

stipulated. Failure to do so will entail the quotation being ignored.

36 Inspection and Tests

Phase-I.

Condition of container, container cartons, quantity, labels, batch number on packing unit

and accounting unit, date of manufacture, Expiry date.

Phase-II.

One accounting unit from each packing unit or one Accounting Unit among 100

accounting units in case heavy supply will be randomly picked up from the lot and the

same shall be compared with control sample for taste, color, consistency, shape, size,

weight, hardness, brittleness, fineness, form, viscosity, and consistency of the medicine as

per formulation, along with NABL / Government approved lab reports.

(a) If the panel of Medicine Inspection Committee (MIC) is not satisfied with the supply and

rejects the medicine, the same will be informed to the firms for replacement of the

medicine, except medicines rejected on quality basis which shall be destroyed at stores, at

the expense of the firm.

(b) If the concerned firm wishes to contest the decision of the MIC the same will be

referred to Medicine Expert Opinion Committee (MEOC). MEOC on the basis of the

information available with AMSD on the particular product in question,

comprehensively examines the issue in consultation with PLIM / Institutions /

organizations of the Ministry of AYUSH if feel necessary before arriving to any

conclusion. The decision of the Committee will be final and binding.

37. Selection Criteria of Medicine

The selection of Ayurvedic branded medicine is made on the basis of comprehensive

selection methods comprising Objective and Subjective parameters detailed in the

existing CGHS Guidelines & Ministry of AYUSH O.M No.Z.28025/14/2015-E-I

(AYUSH) dated 15th February, 2016, information provided to the stores in the past by

the Bidding firms, data available with stores.

38. RIGHT OF ACCEPTANCE:

The purchaser reserves the right to reject any/all tenders/offers including lowest

quotations without assigning any reason what so ever. The committee appointed for

the purpose will examine the rates as well as the quality of medicines supplied. The

decision of the committee will be final in respect of rates of offer as well as quality of

the medicines. No appeal shall lie with any authorities against their decision. No

request for revision of rates during contract period will be considered. Rates once

approved shall be for the full contract period.

39. PROCEDURE FOR BLACK LISTING.

Blacklisting of Product / Tender if any withdrawal of Bidder

39.1) If the successful Bidder fail to comply tender conditions and commits default in the

performance of the contract, such Bidders shall be blacklisted for a period of 5 years.

39.2) Each and every batch of drugs / medicines supplied by the suppliers shall be subjected

to quality check by Inspection committee duly constituted by competent authority as

mentioned under clause 36. Medicines rejected on quality basis shall be destroyed at

store level. Medicines not accepted by the committee due to other reasons will be

returned to the firm on supplying of fresh medicines and accepting by the stores after

due recommendations of the MIC.

39.3) If committee after inspection of the medicine as enumerated at point number 36 rejects

the supply, a chance will be given to the supplier to re-supply other than the supplied

batch medicine of same quantity and if second time supplied medicine fails or two

different batches of a particular medicine supplied against one supply order by the

supplier fails the inspection then, that particular item shall be banned / debarred for a

period of 5 years followed by delisting from the R.C.

39.4) If the particular item of the drug has been banned / debarred according to the procedure

stated above, the supplier/s is/are not eligible for participating in the tenders for that

particular item floated for a period of 5 years immediately succeeding the period in

which supplies were made to CGHS.

40. Transit Insurance.

40.1) The depot shall not be responsible for any breakage/leakage/shortage during transit etc.

40.2) The purchaser will not pay separately for transit insurance and the supplier will be

responsible till the entire stores contracted for arrive in good condition at the door of the

destination.

40.3) All Tender documents attached with the invitation to tender are sacrosanct for

considering any offer as a complete offer.

41. Termination for Solvency

The purchaser may at any time terminate the contract by giving written notice to the

supplier without compensation to supplier if the supplier becomes a bankrupt or

otherwise insolvent provided that such termination will not prejudice to affect any

right of action or remedy which has accrued or will accrue thereafter to the purchaser.

42. Laws Governing the Contract

42.1) This contract shall be governed by the laws of the land i.e. India.

42.2) Irrespective of the place of delivery, the place of performance or place of payment

under the contract, the contract shall be deemed to have been made at the place from

which the contract has been issued.

42.3) The court of the station of the depot placing the orders shall alone have the

jurisdiction to decide any dispute arising out of or in respect of the contract. AS FAR

AS AMSD DELHI IS CONCERNED THE JURDICATION FOR DISPUTES IS

DELHI COURTS.

43. Resolution of Disputes.

43.1) The purchaser and the supplier, shall make every effort to resolve amicably by direct

informal negotiation any disagreement or dispute arising between them under or In

connection with the contract.

a) In the event of any dispute or difference between the parties hereto, such disputes or

differences shall be resolved amicably by mutual consultation. If such resolution is

not possible, then the unresolved dispute or difference shall be referred to arbitration

of the sole arbitrator to be appointed by Ministry of Health on the recommendation of

the Secretary, Department of Legal Affairs (“Law Secretary”), Government of India.

The provisions of Arbitration and Conciliation Act, 1996 (No. 26 of 1996) shall be

applicable to the arbitration under this clause. The venue of such arbitration shall be at

Delhi or any other place, as may be decided by the arbitrator. The language of

arbitration proceedings shall be English. The arbitrator shall make a reasoned award

(the “Award”), which shall be final and binding on the parties”. The expenses of the

arbitration proceedings shall be shared equally by the parties to the agreement.

However, Expenses incurred by each party in connection with the preparation,

presentation shall be borne by the party itself.

b) Pending the submission of and / or decision on a dispute, difference or claim or until

the arbitral award is published; the Parties shall continue to perform all of their

obligations under this Agreement without prejudice to a final adjustment in

accordance with such award.

43.4) The venue of arbitration shall-be New Delhi or the stations of respective Depots

placing orders.

44. Code of Integrity

No official of a procuring entity or a Bidder shall act in contravention of the codes

which includes,

(44.1) Prohibition of

a. making offer, solicitation or acceptance of bribe, reward or gift or any material

benefit, either directly or indirectly, in exchange for an unfair advantage in the

procurement process or to otherwise influence the procurement process.

b. any omission , o r misrepresentation that may mislead or attempt to mislead so

that financial or other benefit may be obtained or an obligation avoided.

c. any collusion, Bid rigging or anticompetitive behavior that may impair the

transparency, fairness and the progress of the procurement process.

d. improper use of information provided by the procuring entity to the Bidder with

an intent to gain unfair advantage in the procurement process or for personal gain.

e. any financial or business transactions between the Bidder and any official of the

procuring entity related to tender or execution process of contract; which can

affect the decision of the procuring entity directly or indirectly.

f. any coercion or any threat to impair or harm, directly or indirectly, any party or its

property to influence the procurement process.

g. obstruction of any investigation or auditing of a procurement process.

h. making false declaration or providing false information for participation in a

tender process or to secure a contract.

44.2) Disclosure of conflict of interest.

44.3) Disclosure by the Bidder of any previous transgressions made in respect of the

provisions of sub-clause (i) with any entity in any country during the last three

years or of being debarred by any other procuring entity.

Rule 175 (2) The procuring entity, after giving a reasonable opportunity of being

heard, comes to the conclusion that a Bidder or prospective Bidder, as the case

may be, has contravened the code of integrity, may take appropriate measures.

The rate quoted by me/us will not be higher than the rate as to be quoted by me/us to

any Govt. Institution/agency.

If at any time during the execution of the contract, I/we reduce the sale price or sells

or offers to sell such stores, as are covered under the contract, to any person/ organization

including any Dept of the Central Govt. at a price lower than the price chargeable under the

contract. I/we shall forthwith notify such reduction or sale or offer of sale to CGHS, and the

price payable under the contract for the store supplied after the date of coming into force of

such deduction or sale or offer shall stand correspondingly reduced.

THEREFORE WE hereby affirm that we are guarantors and responsible to you up to a total sum of Rs. 2,00,000- (Rupees Two Lakh only) and we undertake to pay you, upon your first written

demand declaring the successful Bidder to be in default under the contract and without demur

cavil or argument, any sum or sums within the amount as aforesaid, without your needing to prove or to show the grounds or reasons for your demand or the sum specified therein.

2. A letter from your office that the successful Bidder has committed default in the due and faithful performance of all or any of its obligations under and in accordance with the contract shall be

conclusive, final and binding on us. We further agree that you shall be the sole judge as to

whether the successful Bidder is in default in due and faithful performance of its obligations

under the contract and your decision that he is in default shall be final and binding on us notwithstanding any differences between you and successful Bidder or any disputes between you

and him pending before an Arbitrator or any other court or tribunal or authority.

3 In order to give effect to this guarantee you shall be entitled to act as if we are the principal

debtor and any change in our constitution or that of successful Bidder shall not, in any way, or

manner affect our liability or obligation under this guarantee.

4. You shall have liberty, without affecting in any manner our liability under this guarantee, to vary

at any time, the terms and conditions of the contract or to extend the time or period for

compliance or to postpone for any time the exercise of any of your rights or enforce or forebear from enforcing any of the terms and conditions of the contract and we shall not be released from

our liability or obligation under this guarantee by any exercise of such liberty by you or other

forbearance, indulgence, act or omission on your part.

5. We undertake not to revoke this guarantee during its currency.

6. Any notice by way of request, demand or otherwise hereunder may be sent by post addressed to us at above referred branch, which shall be deemed to have been duly authorized to receive such

shall be conclusive.

7. This guarantee shall come into force with immediate effect and shall remain in force and effect

for a period of three years or until it is released by you pursuant to the provisions of the contract.

2. I/We tenderers understood the instructions to tenderers and conditions of contract

detailed in the tender document and accept them.

3. I/We am/are fully aware of the nature of the stores required and my/our as to supply

stores strictly in accordance with the requirement.

4. I/We agree to abide by the condition of tender and specifically to their arbitration
