    TERMS AND CONDITIONS FOR THE PROVISION OF GOODS AND SERVICESThesearethetermsonwhichEnviroTechnologyServicesPlc(CompanyNumber1726773)whoseregisteredaddressisatKingfisherBusinessPark,LondonRoad,Stroud,Gloucestershire,GL52BY(Company)dobusiness.

    1 DEFINITIONS1.1 In these Conditions, unless the context requiresotherwise, the following expressions have the followingmeanings:

    "Customer"meansyou,thebodycorporate(whichincludesa LLP), partnership or individual obtaining Goods orServices from the Company and shall include itssuccessorsinbusinessandpermittedassigns.

    "Company" means Enviro Technology Services Plc(CompanyNumber91726773)whose registered address isat Kingfisher Business Park, London Road, Stroud,Gloucestershire,GL52BYwhichexpressionshallincludeitssuccessorsinbusinessandassigns.

    "Conditions"meansthesetermsandconditions."Contract" means any contracts made between theCompanyand theCustomer forthe saleand purchaseofGoods and/or performanceof Serviceswhich arises fromacceptancebytheCompanyofanyOrdersplacedbytheCustomer.

    DeliverymeansthedeliveryoftheGoodsand/orservicesassetoutinClauses6.1and6.3.

    "Goods"meansany products, articlesoritemswhich theCompanysellsto theCustomeras specified intheOrder.The term Goods shall include Software save where thecontextrequiresotherwise.

    Intellectual Property meanspatents,trademarksornames(whether or not registered or capable of registration),registered designs, design rights, copyright, moral rights,databaserights,therighttoapplyforanyofthepreceding

    items, togetherwith rightsandinventions,processes,knowhow, trade or business secrets, confidential information orany process or other similar right or asset capable ofprotection.

    Ordermeansanyorder(whetherinwritingorotherwise)for Goodsand/or Servicesmade by the Customerto theCompany including and order made on the Companysorderform.

    PartiesmeantheCompanyandtheCustomer."Price" means the price payable for the Goods and/orServices as specified in the relevant quotation or Order(whicheveristhehighest).

    "Services"meansanyserviceswhicharerequestedbytheCustomer under an Order (excluding support andmaintenance which shall be governed by a separateagreement).

    "Software" means software (owned by the Company orthose ofwhich theCompanyis licencedto sub-license tothe Customer) which the Company shall supply to theCustomer under a Contract. Subject always to theforegoing and for the avoidance of doubt, software shallincludeanysoftwareorfirmwareimbeddedand/orincludedinGoods.

    "Writing" means facsimile transmission and by post and"Written"shallbeconstruedaccordingly.

    1.2 Any reference in these Conditions to a statute or aprovisionofastatuteshallbeconstruedasareferencetothat statute or provision as amended, re-enacted orextendedattherelevanttime.

    1.3 The headings in these Conditions are forconvenienceonlyandshallnotaffecttheirinterpretation.

    1.4 In these Conditions, references to the masculineinclude the feminine and the neuter and reference tothesingular include the plural and vice versa as the contextadmitsorrequires.

    1.5 NoContractshall create anyagency orpartnershipbetweenthePartiesorthirdparty.

    2 BASIS OF SALE2.1 Any quotations and/or estimates given by theCompanyshallbedeemedasaninvitationtotreatandnotanoffer.AnyOrdermadebytheCustomerwhichisreceivedby and/or brought to the attention of the Company shallconstituteanirrevocableoffercapableofbeingacceptedbythecompany.

    2.2The Company may accept any Order by writtenacceptance orby supplying theCustomerwith theGoods

    and/orperformanceoftheServicesspecifiedorrequestedintherelevantOrder.Fortheavoidanceofdoubt,whereanOrderisplacedorallyorintheeventofanydisputeastothe Order, the Companys version of the Order shall bedeemedas theauthoritativeOrderandtheCustomershallnotdisputethecorrectnessofthesame.

    2.3 TheseConditionsshallapplyto,andshallbepartofeachContracttotheexclusionofanytermsandconditionsoftheCustomerunlesssuchtermsareacceptedinWritingbytheCompany.

    2.4 Novariation tothe Contract shall bebindingunlessagreedinWritingbetweentheauthorisedrepresentativesoftheCustomerandtheCompany.

    3 DRAWINGSAll drawings, dimensions, specifications, descriptions andillustrationscontainedin anysales literatureand price listare approximates only and shall not form part of theContract.4 PRICE OF THE GOODS AND SERVICES4.1 A Quotation given by the Seller is valid for 30 daysonlyunlessotherwisestatedbytheCompany.4.2 Where at any time before delivery of the Goods orServices, there isan increasein the cost oftheGoodsorServices to the Company due to any factor beyond thecontrol of the Company (such as but without limitation,

    foreignexchange fluctuation, currency regulation, alterationofduties,significantincreaseinthecostsoflabour,materialsorothercostsofmanufacture)theCompanymayadjustthepriceaccordingly.4.3 TheCustomer shall pay theCompany thePrice fortheGoodsand/orServices(asthecasemaybe)pursuanttoClause5andunlessotherwisesostated,thePriceshallbe:4.3.1 exclusive of VAT and any other tax which whereapplicableshallbepayablebytheCustomerinadditiontothePrice;and4.3.2 exclusive of all charges for packaging, packing,shipping, carriage, insurance and delivery of the Goods,andanyduties,importsorlevies,which,whereapplicable,shallbepayablebytheCustomerinadditiontothePrice.

    4.4 Nopaymentfor theGoodsand/orServicesshallbedeemed to have been received until the Company hasreceivedclearedfunds.5 TERMS OF PAYMENT5.1 TheCompanymayinvoicetheCustomer:5.1.1 on (orafter)the datetheCompanyhasnotified theCustomerthattheGoodsarereadyforcollectionwhentherelevant Contract provides that the Goods are to becol lected by the Customer from the premises of theCompany;or5.1.2 on(orafter)thedateofdispatchoftheGoodstotheagreed point of delivery when the relevant ContractprovidesthattheGoodsaretobedeliveredtosuchplacebytheCompany.5.2 The Company shall be entitled to invoice theCustomer for the performance of the Services oncompletionoftheServicesorattheendofeachcalendarmonth in respectof Services rendered under therelevantContract during such calendar month (whichever is theearlier).5.3 UnlessotherwiseagreedinWritingbyanauthorisedrepresentativeoftheCompany,theCustomershallpaytheCompany's invoicesin full withoutanydeduction whetherbywayofsetoff,counterclaimorotherwisewithin14daysof the date of the Company's invoice where prior creditarrangements have been agreed between the Parties inWriting. Where no prior credit arrangement has beenagreed,theCustomershallmakepaymentwhenanOrderisplaced.5.4 Ifpaymentisnotmadeontheduedate,theCompanyshall(atitssolediscretion)beentitled:5.4.1 tocancelthecontractorsuspendanyfurtherdeliveriestotheCustomer;

    5.4.2 appropriate any payment made by the Customer tosuch of the Goods orServices (or the Goods orServicessuppliedunderanyothercontractbetweentheCompanyandtheCustomer)astheCompanymaythinkfit(notwithstandinganypurportedappropriationbytheBuyer);and/or

    5.4.3 withoutlimitinganyotherrightssetoutinthisClauseoritmayhave,tochargeinterestontheoutstandingamount(bothbeforeandafteranyjudgment)inaccordancewiththeLatePaymentofCommercialDebts(Interest)Act1998withsuch interest toaccrueona dailybasisfromthedue dateuntiltheoutstandingamountispaidinfull.

    5.5 Nopartialpaymentexpressedtobe"infullandfinalsettlement" shall be effective as such unless specificallyagreedinWritingbytheCompany.6 DELIVERY6.1 The Goods shall be delivered (Delivery) to theCustomer:6.1.1 by the Customer collecting the Goods from theCompany's premises at any time after the Company hasnoti fied the Customer that the Goods are ready forcollection;or6.1.2 by the Company del ivering the Goods to suchlocationastheCustomerspecifiesintheOrder.6.2 WhereClause6.1.2applies,theCompanyshallcarryout such Delivery using reasonable endeavours and theCompany shall be entitled to charge additional Delivery

    chargesiftheCompanyisunabletoaffectdeliveryduetoanyfaultoftheCustomer.

    6.3 Inthecaseof Services,delivery(Delivery)shallbedeemed upon commencement of the Services and suchServices shall be performed at theCustomer's registeredaddressorsuch alternativeaddressasmaybe setout intheOrder.TheCompanyshall beentitledto sub-contracttheperformanceoftheServices.6.4 The Customer acknowledges that any dates fordelivery of Goods and/or performance of Services areestimates only. Accordingly, the Company shall have noliabilityintheeventofanydelays.6.5 The time ofsupply ordelivery oftheGoods and/orperformanceoftheServicesshallnotbeoftheessence.6.6 TheCustomershallbedeemedtohaveacceptedtheGoods upon Delivery unless the Company is notified inWriting within 7 days from the date of Delivery by theCustomerthattheGoodsaremateriallydamaged,defectiveorwherethequantitysuppliedisincorrect.Insuchacase,the Company shall, at its sole option (and as theCustomer's soleand exclusiveremedy), replaceor repairanysuchGoodsorpartthereofwhich(havebeenproventothe Company's reasonable satisfaction) to have been

    damagedpriortothetimeofDelivery.6.7 SubjecttoClause6.6,iftheCustomerrefusesorfailstotakedeliveryoftheGoodsand/oraccepttheperformanceoftheServices,then,withoutprejudicetoanyotherrightstheCompany may have against the Customer (for breach ofcontractorotherwise):6.7.1 theCompanyshall beentitled(notwithstanding thattitletotheGoodsmaynothavepassed)totheimmediatepaymentinfullfortheGoodsand/orServicessotendered;6.7.2 theCompanyshallbeentitledtoeffectDeliveryoftheGoodsbywhatevermeansitconsidersmostappropriateortostorethoseGoodsattheriskandcostoftheCustomer;and/or6.7.3 the Company shall be entitled to withholdperformanceoftheServicesand the Customer shall, in addition to the Price, pay allsuchadditionalcostsincurredasaresultofsuchrefusalorfailuretoacceptDeliveryoftheGoodsand/orServices(asthecasemaybe).6.8 WithoutprejudicetoClause5.4,wherethePricehasnot been paid, the Company shall be entitled, after theexpiration of 1 month from the date upon which it firsttenderedtheGoodsforDelivery,todisposeoftheGoodsinsuchmannerastheCompanymaydetermineandshallbeunderno duty toaccountto the Customerfor any oftheproceedsofsuchdisposal.7 RISK AND PROPERTY7.1 RiskofdamagetoorlossoftheGoodsshallpasstotheCustomeruponDelivery.

    7.2 Whether t itle in the Goods shall pass shal l bedeterminedbythefollowingterms:

    7.2.1 TitleintheGoodsshallpass,subjecttoClause7.2.2below,totheCustomeruponfullpaymentfortheGoods.

    7.2.2Where the Goods include software, ti tle to thesoftwareshallnot passto theCustomerandthe softwareshall be l icensed to the Customer in accordance withClause14orinaccordancewiththesoftwarelicencetermsof the relevant third party software vendor (whether on-screen,shrinkwrap,webwraporotherwise).

    7.3 UntilsuchtimeastitleintheGoodshavepassedtotheCustomer:

    7.3.1 the Company shall be entitled to repossess at anytime any oftheGoodsinwhichtitleremainsvestedintheCompany;

    7.3.2 forthepurposespecifiedinClause7.3.1above,theCompanyoranyofitsagentsorauthorisedrepresentativesshall be entitled at any time and without notice to enteruponanypremisesinwhichtheGoodsoranypartthereof

    areinstalled,storedorkept,orarereasonablybelievedsotobetoretrievetheGoods;and

    7.3.3 the Company shall be enti tled to seek a courtinjunction to prevent the Customer from selling,transferringorotherwisedisposingoftheGoods;

    7.4 Untilsuch timeas titlein theGoodshaspassed tothe Customer, the Customer shall, subject to theCompany's rights hereunder, keep the Goods separatefrom other Goods fully insured (for the benefit of theCompany)andholdtheGoodsastheCompany'sfiduciaryagent.

    8 WARRANTIES AND LIABILITY8.1 SubjecttoClause8.5,theCompanywarrantstotheCustomerthat:

    8.1.1 anyGoods(excludinganysoftware)manufacturedbythe Company will be substantially free from defects inmaterials and workmanship and will conform to asubstantial degree to any specifications agreed betweenthePartiesinWritingatthedateoftherelevantContractforaperiodof12monthsafterthedateofDelivery("WarrantyPeriod") unless otherwise agreed in Wri ting by theauthorisedrepresentativeoftheCompany.

    8.1.2 theSoftwarewill conformto asubstantialdegreetoanyspecificationsagreedbetweenthePartiesinWritingatthedateoftheContractforaperiodof3monthsafterthedateofDelivery,althoughtheCompanydoesnotundertakethatsuchSoftwarewillbeuninterruptedorerrorfree;

    8.1.3 the Services wil l be performed by appropriatelyqualified and trained personnel, with the reasonable skillandcaregenerally employedin theindustry inthe UnitedKingdominrespectoftheperformanceofsimilarservices;and

    8.1.4 theCompanywilluseits reasonableendeavours topass on any manufacturers warranty to the Customer inrespect of any Goods and/or software not manufacturedand/ordevelopedbytheCompany.

    Thewarrantydescribedin thisclauseshallbedefinedastheLimitedWarranty.Tothemaximumextentpermittedbylaw all other warranties and conditions implied, includingwithoutlimitationanyconditionsofquality,merchantabilityorfitnessforaparticularpurposewithrespecttotheuseofthe Goods or performance or non-performance of theServicesareexcluded.

    8.2 The Company will be l iable to the Customer inrespectofanyclaimarisingfrominjurytoordeathofanypersonwhereandtotheextentthattheinjuryordeathiscausedbynegligenceonthepartoftheCompany.

    8.3 SubjecttoClauses8.2,8.4and8.5,theCompany'sentireliabilityincontract,tort(includingnegligenceorbreachofstatutoryduty),misrepresentation,restitutionorotherwise,arising inconnectionwiththe performanceorcontemplatedperformanceofaContractshallbelimitedto:

    8.3.1 inrespectofmattersforwhichtheCompanydoesnotcarryinsurance,thePrice;and

    8.3.2 inrespect ofmatters for which the Company carriesinsurance,theinsuredvalue.

    8.4 SubjecttoClause8.2,innoeventshalltheCompanybe liable for any losses and damages suffered by theCustomerincluding(butnotlimitedto)anydirectorindirect,incidental loss, consequential loss, wasted or lostmanagement time, lost profits, goodwill, savings or othereconomiclossand/orlossofdataarisingfromorrelatingtoany Contract orthe use of the Goods orperformance or

    non-performance of the wholeorpart of the Services, orbreach of statutory duty, even if the Company has beenadvisedofthepossibilityofsuchloss.

    8.5 Specifically,theLimitedWarrantyinClause8.1doesnotcoverfailuresoftheGoodswhichresultfromaccident,abuse, misuse, alterations (by persons other than theCompany or its authorised repair agents), moisture,corrosive environments, high voltage surges, orabnormalworking conditions. TheLimitedWarrantydoesnot covernormalwearandtear.

    8.6 If the Customer needs to make a claim under theLimitedWarrantywithintheWarrantyPeriod,theCustomermustinformtheCompanyinWritingpriorto returning theGoods to the Company. The Company will inform theCustomerastowhethertheCustomer'sclaimisvalidand,if so,the Companywill provideReturnAuthorisation (RA)numberanddetailsofwhere(andhow)toreturntheGoods.AnyGoods should bereturnedwith theRAnumber clearlymarkedontheoutsideofthepackagingsecurelypackedinarigidcontainerwithamplecushioningmaterial,preferablywith the original packaging. All defects should be clearlydescribed and specified in Writing. The Goods returnedshallbe shipped prepaidto the Company.TheCompanywil l not accept any Goods returned to i t where thisprocedureisnotfollowed.

    8.7 The Company reserves the r ight to charge theCustomeronatimeandmaterialsbasisatitsthencurrentratesiftheCustomer'swarrantyclaimunderClause8.6isfoundnottobeavalidclaim.

    9 TERMINATION9.1 Either Party shall be entit led to terminate therelevant Contract without liability to the other by givingnoticetotheotheratanytimeif:

    9.1.1 the other Party makes any voluntary arrangementwithitscreditors(withinthemeaningoftheInsolvencyAct1986)or(beinganindividualorfirm)becomesbankruptor(beingacompany)becomessubjecttoanadministrationorder or goes into l iquidation (otherwise than for thepurposeofamalgamationorreconstruction);

    9.1.2 an encumbrancer takes possession of any of theproperty or assets of the other Party, or a receiver isappointed;

    9.1.3 the other Party takes or suffers any similar oranalogousactionsetoutinClause9.1inanyjurisdictioninconsequenceofdebt;or

    9.1.4 the other Party ceases, or threatens to cease, tocarryonbusiness.

    9.2 Without prejudice to Clauses 6.7 and 6.8, theCompanymaysuspendorterminatetherelevantContractat any time by giving not less than 28 calendar dayswrittennoticeintheeventthattheCustomerwithoutduecause fails topayany amountsdue tothe Companybytheduedateorbreachesanymaterialwarrantyor othermaterial term ofsuchContract andfailsto remedysuchnon-paymentorbreachwithinthe28calendardaynoticeperiod

    9.3 Exceptwhere theCompany is inmaterial breachofitsobligations,anyterminationofthewholeorpartoftherelevantContractshallresultintheautomaticterminationofanysoftwarelicencepursuanttowhichSoftwareissuppliedtotheCustomerbytheCompany.

    10 CANCELLATIONS10.1 Withoutprejudiceto Clause8.5, nocancellationsofOrdersshallbepermittedunlessagreedinadvancebyanauthorised representative of the Company and may besubject to a reasonable cancellation and re-stockingcharge.

    10.2 Withoutprejudice toClause 6.6, uponDelivery, theGoodsmaynot be returned unlessagreedin advancebyan authorised representative of the Company providedalwaysthat:

    10.2.1 the Goods are brand new and in unusedcondition;

    10.2.2 the packaging of the Goods remain intact andunbrokenandinreasonablecondition;and

    10.2.3 the returned Goods are received within 14daysfromwhentheauthorisedrepresentativeoftheCompanyagreedtoacceptthereturnedGoods.

    11 GENERAL11.1 Subjectto anyotherprovisionsin theseConditions,neither Party may assign its rights under any Contractwithoutthepermissionofthe other;suchpermissionshallnot be unreasonably withheld or delayed. The Companymaysub-contractanyofitsobligationsunderanyContractifsuchactiondoesnotmateriallyaffecttheperformanceoftherelevantContract.

    11.2 Anynoticerequiredorpermitted tobegivenbyeitherParty to the other under a Contract shall be in Writingaddressed to that other Party at its registered office or

    principalplaceofbusinessorsuchotheraddressasmayatthe relevant time have been notified pursuant to thisprovisiontothePartygivingthenotice.

    11.3 No waiver by the Company of any breach of aContractbytheCustomershallbe consideredasawaiverof any subsequent breach of the same or any otherprovision. Any waiver by the Company shall only beeffective if in Writing expressly waiving the provision inquestion.

    11.4 If any provision of theseConditions is held byanycompetentauthoritytobeinvalidorunenforceableinwholeor in part, the validity of the other provisions of theseConditionsandthe remainderofthe provision inquestionshallnotbeaffectedthereby.

    11.5 The Company shall be under no l iabi li ty to theCustomer in respect of anything which, apart from thisprovision,mayconstitutebreachofanyContractarisingbyreasonofforcemajeure,namelycircumstancesbeyondthereasonablecontroloftheCompanywhichshallinclude(butshallnotbelimitedto)actsofGod,perilsoftheseaorair,fi re, f lood, drought, explosion, sabotage, Accident,embargo, riot, civil commotion including acts of localgovernment and parliamentary authority; shortage ofsupplies (but not lack of funds), uti li ties, equipment,materials,breakdownorshortageofequipmentandlabourdisputesofwhatevernatureandforwhatevercausearising.

    11.6 The provisions of the Contracts (Rights of ThirdParties) Act 1999 shall neither apply to these Conditions

    nortoanyContract. Inparticularbutwithoutlimitationanywarranties given in a Contract are for the benefit of theCustomer only. Where the Customer is a re-seller the

    Customer is responsible for dealingwithanywarrantyorother claims from its customers and shall keep theCompanyfullyindemnifiedinthisregard.

    11.7 Tothe extent permitted bylaw,theCustomershalldefendandindemnifytheCompanyfromanyandallclaimsbrought against the Company by third parties, and shallhold the Company harmless from all corresponding

    damages, l iabilities, costs and expenses, (includingreasonablelawyersfees)incurredbytheCompanyarisingoutoforinconnectionwiththeCustomer'spossession,useordistributionoftheGoodsexceptintheeventofbreachofathirdparty'sintellectualpropertyrightswherethetermsofClause15shallapply.

    11.8 ThePartiesagreethattotheextentpermittedbylaw,the Vienna Convention of 1980 ("The Convention onContracts for the International Sale of Goods") and allinternational and domestic (or other) implementations ofthatConventionshallnotapplyinrelationtotheContract.

    11.9 These Conditions and any Contract shall begoverned and construed in accordance with the laws ofEngland(includingastovalidityandenforcement)andthe

    parties submit to the exclusive jurisdiction of the Englishcourts.

    11.10These Conditions (and where applicable construedtogether with the Contract) shall constitute the entireagreement betweenthePartieswith respectto itssubjectmatter and (except in the case of fraud) supersedes allwarranties, promises and representat ions or otherassurances.

    12 CONFIDENTIALITY The Customeragrees to keep in confidence all technicaland/or commercial information pertaining to the Goodsand/orServicesandnottodiscloseorusesuchinformationexcept for the purposesauthorised under thisConditionsand/or Contract. The Customer shall take all reasonablestepstoensurethatits employeesobservethisobligation.This Clause shall survive the termination of ContractsenteredintobetweentheParties.

    13 COMPLIANCE WITH LAWThe Customer wil l comply with a ll laws, rules andregulations("Law")applicabletoitspurchaseanduseofthe Goods and Services including without limitation theDataProtectionAct1998.TheCustomershallonrequestprovide the Company with reasonable assistance toenabletheCompanytocomplywithapplicableLaw. 14 SOFTWARE LICENCE14.1 TheCompanyherebygrantstotheCustomeranon-exclusiveandnon-transferablelicencetoloadandtousetheSoftwarein objectcode andonly onthe Customer'sequipment and for the sole purpose of the Customer'sinternaluseand/ortousetheSoftwareinconjunctionwiththe Goods or Services provided under a Contract. AnySoftware (including new versions, enhancements and/ormodifications)providedtotheCustomerbytheCompanysubsequenttotherelevantContractshallbesubjecttotheterms of this l icense unless other terms are agreedbetweenthePartiesinWriting. 14.2 With regard to third party software that theCompanyis notentitled to licenceto theCustomer, thethird party's software licence terms shall apply and theCustomerundertakestocomplywithsuchterms. 14.3 Exceptto theextent permittedbylaw orpermittedunder a Contract, the Customer shall not alter, modify,adaptor translatethewholeor anypart oftheSoftware,nor combine or incorporate the Software with other

    programs, nor to decompile, disassemble or reverseengineertheSoftwareoranypartthereof. 14.4 TheCustomerwillnotwithouttheCompany'spriorWri tten consent, copy or enable others to copy theSoftwareorenableotherstouseunlicensedcopiesoftheSoftware.14.5 Inthe event that anyenhancementormodificationoftheSoftwareismadeduringtheperformanceoforasaresultofanyContracts,anypresentorfutureIntellectualPropertyrightsinsuchenhancementormodificationshallbeownedbytheCompanyandtheCustomershallassignsuchIntellectualPropertyrightstotheCompany. 15 INFRINGEMENT OF THIRD PARTY RIGHTS15.1 Should any claim bemade against the Customeralleging that any Goods, Software or their use by theCustomer infringes Intellectual Property rights of suchclaimant,theCustomershallpromptlynotifytheCompanyinwritingwithfullparticulars.ProvidedthattheCustomer(1)sonotifiestheCompany;(2)makesnoadmission;(3)allows the Company the exclusive r ight of deciding

    whether the claim shall be defended and whether anyattemptshallbemadetosettleit;and(4)alsoallowstheCompany exclusive control of all litigation andnegotiations,theCompanywillindemnifytheCustomerinrespectofallliabilityimposedontheCustomerbyacourtorderorarbitrationaward. 15.2 If the Customer is unable to continue using theallegedly infringingGoods and/or Software because theCompany neither defends the claim successfully norprocuresatitsownexpensetherightfortheCustomertocontinue using them (unless the Company elects at itsownexpenseeithertomodifytheGoodsand/orSoftwaresothattheybecomenon-infringingortoreplacethemwithnon-infringingitemswithoutineithercasedetractingfromoverall performance) theCompanywill acceptthe return

    of the Goods and/or Software, the tit le of the Goods(excluding software) in which shall thereupon re-vest intheCompany.TheCompanywillrepaytheCustomerthePricepaidlessone-eighthofthatpriceforeachcompleteperiod of six months reckoned from the date which theCustomershallhavebeenabletousetheGoods. 15.3 Clause15.1shallnotapplyandtheCompanyshallbe under no liability if a claim for Intellectual Propertyinfringement is based on any software or hardwaresupplied by theCompanywhich theCompanydoes notown the Intellectual Property rights to and/or is lawfullylicensedtouseand/orsub-licensethesame. 15.4 Clauses15.1and15.2setoutthefullextentoftheCompany's l iability in respect of Intellectual Property

    infringement.16 INTELLECTUAL PROPERTY RIGHTSTheCustomeracknowledgesthatallIntellectualPropertyrights in the Goods, Services, software (includingSoftware)suppliedunderthisConditionsand/orContractshallnotbetransferredtotheCustomerbutshallremainvested with the respective Intellectual Property rightsowners.
