DEBARRMENT, DELINQUENT AND SUSPENSION STATUS: FENOMTEK hereby certifies that neither it, nor its officers, is currently delinquent in the payment of taxes or other obligations to STATE government, nor under suspension or otherwise debarred from doing business with the STATE of Iowa, any other STATE, or federal government.

NON-COLLUSION: See attached Exhibit A.

LOBBYING: FENOMTEK hereby certify that it will not use any federal funds for lobbying. See attached Exhibit B.

FENOMTEK DUTIES:

a) All records of FENOMTEK relating to this agreement or related PO shall be retained for five (5) years following the date of final payment under related PO’s.

b) FENOMTEK agrees that the Auditor of the STATE or any authorized representative of the STATE, and where federal funds are involved, the Comptroller General of the United States or any other representatives of the United States Government, shall have access to and the right to examine, audit, excerpt and transcribe any directly pertinent books, documents, papers, and records of FENOMTEK relating to FENOMTEK’s performance under this agreement. FENOMTEK shall not impose any charges for access to its books and records regarding its performance under this agreement, and shall fully cooperate with authorized representatives in the examination or audit of books and records. The STATE shall not impose a charge for audit or examination of the FENOMTEK’s books and records.

c) FENOMTEK shall comply with the applicable provisions of federal, STATE and local laws and regulations to insure that no employee or applicant for employment is discriminated against because of race, religion, color, age, sex, national origin, sexual orientation, gender identity or disability. FENOMTEK shall have an affirmative action plan, if required by law.

d) FENOMTEK warrants that no person or selling agency has been employed or retained to solicit and secure this ITQ upon an agreement or understanding for commission, percentage, brokerage or contingency excepting bona fide employees or selling agents retained for the purpose of securing business. In the event of breach of this subsection, which shall be considered a material term of this agreement, the STATE shall have, in addition to the remedies contained in this ITQ, a right to liquidated damages in the sum of $100,000. Such damages are not a penalty and would be assessed only because the monetary damage to the STATE’s competitive procurement process resulting from breach of this subsection is difficult, if not impossible, to measure.

e) In the event that FENOMTEK utilizes subcontractors for the purpose of fulfilling its obligations under POs issued pursuant to this ITQ, all subcontractors shall be selected with appropriate attention to the principles of competition and quality of workmanship; however, FENOMTEK shall not be required to adhere to the STATE’s competitive procurement procedures in its selection of subcontractors. All records relating to subcontractors shall be retained as required

in subsection A. above and available for audit or examination as required in subsection B. above.

f) FENOMTEK is not a joint entity, consisting of more than one (1) individual, partnership, corporation or other business organization.

g) FENOMTEK shall provide and pay for all labor, materials, equipment, tools, machinery, storage of same and transportation necessary for FENOMTEK to provide the services required under any PO related to this agreement.

h) Some data, policies and activities of the STATE are confidential. FENOMTEK shall preserve the confidentiality of such data, policies and activities that are revealed to FENOMTEK in the performance of this ITQ and related POs. FENOMTEK shall maintain procedures for safeguarding the identified confidential information. In the event of a breach of this provision, the STATE may terminate this ITQ and related POs immediately without notice of default and opportunity to cure.

i) FENOMTEK irrevocably consents to service of process by certified or register mail addressed to FENOMTEK’s designated agent. FENOMTEK appoints FENOMTEK at 121 E. Commercial Street, Wood Dale, Illinois 60191 as its agent to receive service of process.

We are well versed in SAP, PeopleSoft, and database migration implementation among others.

For each client individually, we initiate discussions to determine what level of service is required, and how we can best support it at the lowest cost to the customer.

FENOMTEK will follow procedures similar to those described as a response to the first question. The only added benefit in this case is that there is usually intimate knowledge of the project and the requirements to complete it.
