EXPRESSION OF INTEREST FOR EMPANELMENT OF ADVOCATES/LAW FIRMS
Bharat Broadband Network Limited (BBNL) is a public sector undertaking under the administrative control of Ministry of Communications and Information Technology. Bharat Broadband Network Limited (BBNL), set up by the Government of India for the Establishment, Management and Operation of BharatNet (earlier known as NOFN). BBNL wishes to empanel reputed Law Firms and Practicing advocates for availing their
services as and when required for representing BBNL before various Courts, Tribunals and
other Forums.
The Law Firms and Practicing advocates who are registered with the Bar Council of India /
State Bar Council are eligible for empanelment. The qualification, experience other terms
and conditions along with the Performa application in which the application has to be made,
have been prescribed by BBNL for representing and assisting BBNL before various Courts,
Forum and Tribunal etc. is available on the Company's website at www.bbnl.nic.in. Eligible
Law Firms and practicing advocates may send their application as mentioned in the para C
from the date of the advertisement.
A. ELIGIBILITY CRITERIA:-
The eligibility criteria for empanelment of Advocates/Law Firms shall be as under:-
i. Having office preferably within 10 kms from the registered office of BBNL. The office
should have good infrastructure like telephone, fax, internet, computer, steno etc. so
as to enable the Advocate to render efficient and speedy service.
ii. The Advocate should have worked for at least 15 corporate clients / Central
Government organizations in the past out of which 5 companies should be in the
Public Sector / autonomous bodies of the State / Central Govt.
iii. The Law Firms and Practicing Advocates should be familiar with various branches
of law especially those concerning laws of regulatory matters related to Telecom
Disputes, Civil Law, Constitutional Law, Service Law, Labour Law, Contract Law,
Corporate Law, Commercial Law, Property Law, Tax Law, Cyber Law, Consumer
Law, IPR Laws, Criminal Law and Arbitration.
iv. In addition to above, the Advocates are required to have the minimum
professional/court practice experience as under:-
a) For empanelment for the cases in Supreme Court of India……….. 15 Yrs. Experience in Supreme Court

b) For empanelment for the cases in High Court in India……………. 10 Yrs.
Experience in High Court
c) For empanelment for the cases in Subordinate Courts / Tribunals/Forums…. 4 Yrs. Experience in Subordinate Courts / Tribunals/Forums. Provided that BBNL may relax the above conditions at its discretion, if otherwise found suitable in certain cases.
For considering empanelment for Supreme Court, generally those Advocates who are regularly practicing including Advocates-on-Record of the Supreme Court would be considered, if they are otherwise found to be competent and suitable.
v. Senior Advocates/ Advocates and/ or firm(s) of Legal Consultant should not have a
conflict of interest in dealing with its cases/ advices etc. and any breach thereof shall
be viewed seriously.
vi. Senior Advocates/ Advocates and/ or firm(s) of Legal Consultant during the
currency of the assignment or after conclusion of the assignment shall not disclose
or make use in any manner, any information / data or any other material whether
written or oral collected in connection with the assignment without the prior written
consent of BBNL, as such material shall be the property of BBNL.
Preference may be given to Law firms/Advocates who have dealt earlier with matters pertaining to the telecom sector.
B. SCOPE OF WORK:-
The empaneled Senior Advocates/ Advocates and/ or firm(s) of Legal Consultant shall be
required to assist the BBNL in the following activities as assigned from time to time.
i. Rendering Legal opinion
ii. Assistance in drafting regulations, notices, policies or Manual of Company etc.
iii. Legal vetting of orders, decisions, concept papers, bidding/tender documents,
undertakings/ indemnity bonds/Agreements/Contracts/MOU/NDA/Deeds to be
obtained from entities
iv. Review of regulations based on practical working
v. Assistance in preparing record note of proceedings of various hearings
vi. Handling litigations matters before the High Court and Supreme Court another
Dist. or Lower Courts/Tribunals/Arbitration forum or any other Govt. Authority.
vii. To perform such other work of a legal nature as may be entrusted from time to
time.

C. DOCUMENTS / INFORMATION TO BE SUBMITTED BY THE LAW FIRMS AND
PRACTICING ADVOCATES / HOW TO APPLY:-
Interested and eligible Law Firms and Practicing Advocates may submit their
Application Form along with latest passport size photograph in the format given in
Annexure–A. The Application Form duly filled in, along with all following
documents/information duly self-attested by the Lead Partner / Proprietor, as the
case may be, should be submitted in a closed envelope superscribing as
“Expression of Interest (EOI) for Empanelment of Law Firms/Advocates in BBNL up
to Thursday, July 09, 2020, 3:00 pm at the following address/e-mail id. Expression
of Interest received after the date / time due to postal delay, incomplete / unsigned,
in open envelope or by Fax/Email will not be considered/entertained.
i. High School Certificate in support of age.
ii. Registration with Bar Council and Advocate-on-Record proof, if any.
iii. Identity card issued by Bar Association/Bar Council.
iv. Copies of empanelment with other organizations/CPSUs/State PSUs/Other
Autonomous Bodies
v. Certificates in support of educational qualification.
vi. Length of Practice and specialization.
vii. Track record and integrity.
viii. Details regarding the cases in which the advocate was able to get favorable
outcome/decision which are reported / referred to in reputed legal journals etc.
ix. Details regarding representation of other Govt./PSU/Statutory Bodies/Telecom
Sector organizations,
x. Details of office infrastructure.
xi. Annual Income Tax Return filed with the Tax Authorities for last 3 years.
xii. An undertaking from the advocate to the effect that all information furnished
by him/her is correct and he/she is willing to abide by the terms and conditions
as mentioned herein and in Annexure–B, Annexure–C and Annexure–D.

Those Advocates / Law firms who have already been on the panel of the Company need not submit documents as mentioned in C.i. to C.xi.

If BBNL gets a large number of applications, then to select the required number of Advocates/Firms, in addition to above, the attributes like experience in representing Govt./PSU/Statutory Bodies/Telecom Sector or number of cases in which the Advocate was able to get favorable outcome/decision which are reported or referred to in reputed journals etc. BBNL reserves the right to cancel this process at any stage without assigning any reason. The above list is illustrative and not exhaustive. The Competent Authority may consider other factors relevant for empanelment.
D. TENURE / TERM OF EMPANELMENT:-
The initial empanelment will be valid for two years or until further orders whichever is
earlier. Performance of empaneled Advocates / Law Firms shall be reviewed on an
annual basis. However, on completion of the term and satisfactory performance of
the advocate, the empanelment maybe be renewed for a further period of two years
by BBNL. However, BBNL reserves its rights not to empanel any Advocate/ Law
Firms or renew its period or terminate its empanelment any time without assigning
any reason. Upon termination or no renewal of the acknowledgement concerned
lawyer shall return the brief to BBNL along with related documents and records with
no objection certificate.
E. PAYMENT OF FEE AND OTHER CONDITIONS
The fee payable to the Advocate / Law Firms shall be governed by the
Schedule of fee structure for panel Advocates of BBNL Corporate Office for
the Courts of Delhi/New Delhi as placed at Annexure–C, as amended from time
to time.
F. GENERAL INFORMATION / TERMS & CONDITIONS:
i. Mere submission of Application and fulfilling of eligibility criteria does not entitle
Sr. Advocates / Advocates / Law Firms for empanelment.
ii. The Advocate shall not necessarily be empaneled for specific court and shall
accept the work assigned to him and shall not refuse to accept any work without
reasonable cause conveyed in writing within three days of assignment.
iii. Refusal by any advocate to accept any work otherwise than on grounds of conflict
of interest, may entail removal of such advocate from the panel. Similarly, no
advocate as long as his name is on the panel shall contest any matter against the
BBNL during the continuation of empanelment with BBNL and one year after the
termination.
iv. The empaneled Advocates will not delegate cases but deal with the same
themselves. They may have to coordinate and work with designated Senior
Advocates, if any, engaged in the case as well as with the officers of BBNL, if
required.

v. The Advocates empaneled under these guidelines/Advertisement shall not be
treated as employees of BBNL and therefore, shall not be eligible for any salary
or benefits available to its employees.
vi. The empaneled Advocate shall maintain absolute secrecy and confidentiality
about the cases of BBNL as required under the rules/regulations made
thereunder.
vii. The advocates shall accept the terms and conditions of the empanelment as
determined by BBNL in full and also modifications from time to time in keeping
with the rules and guidelines in BBNL.
viii. In case of empanelment of Law Firms, all the terms and conditions for
empanelment of the individual Advocates shall apply mutatis mutandis to them.
ix. If required and considered appropriate by BBNL, Designated Senior Advocates
may be engaged to argue the cases on behalf of BBNL keeping in view the
urgency and importance of a particular matter. They shall be engaged on case to
case basis with the approval of BBNL.
G. RIGHT TO PRIVATE PRACTICE AND RESTRICTIONS:
i. An Advocate shall have the right to private practice which should not, however,
interfere with or be in conflict with the efficient discharge of his duties as an
empaneled Advocate of BBNL.
ii. An advocate shall not advise any party or accept any case against BBNL in which he
/ she has appeared or is likely to be called upon to appear or advise.
iii. If the advocate happens to be a partner of a firm of lawyers or solicitors, it will be
incumbent upon the firm not to entertain any case against BBNL arising in any Court.
H. DISABLEMENTS:
Disablement on the part of the Advocate shall mean and include any of the following:
i. Giving false information in the application for empanelment;
ii. Handing over the brief of matter to another advocates without prior written
permission of BBNL;
iii. Failing to attend the hearing of the case without sufficient reason and prior
information;
iv. Not acting as per BBNL’s instructions or going against specific instruction;
v. Not returning the brief when demanded or not allowing or evading to allow its
inspection on demand;
vi. Misappropriation of BBNL’s funds or earmarking / using the same towards his fee
without BBNL’s permission.
vii. Threatening, intimidating or abusing any of BBNL’s employees, officers, or
representatives
viii. Making any of his associates or juniors to appear on behalf of any of the opposite
parties in cases/appeal related to BBNL’s without permission;
ix. Committing an act tantamounting to contempt of Court or professional misconduct;

x. Conviction of the Advocate in any offence resulting into arrest or detention or
disbarment by the Bar Council;
xi. Passing on information relating to BBNL’s case to the Opposite parties or their
advocates which is likely to cause damage to BBNL’s interest;
xii. Giving false or misleading information to BBNL relating to the proceedings of the
case;
xiii. Frequent adjournment being obtained or not objecting the adjournment moved by
other party without sufficient reason.
xiv. Empanelment shall be liable to be cancelled due to occurring of any of the above
disablements on the part of the Advocate.
NOTWITHSTANDING ANYTHING STATED HEREIN ABOVE, BBNL RESERVES ITS RIGHT NOT TO
EMPANEL ANY ADVOCATE EVEN ON FULFILLING THE ELIGIBLE CRITERIA OR POSTPONE OR
CANCEL THE PROCESS OF EMPANELMENT OR TERMINATE THE EMPANELMENT OF ANY
ADVOCATE AT ANY TIME WITHOUT ASSIGNING ANY REASON IN THIS REGARD.

ANNEXURE–B
Additional Terms & Conditions of Empanelment
1. Fee for AGI/SGI/ASGI and Sr. Advocates who are not in the BBNL Corporate Office Panel are
not being stipulated as they are engaged in very few important cases only and their fees vary
from case to case depending upon the importance and question of law, of the matter and as per
the memo raised by them Fees for such cases may be decided by the CMD/Concerned Director
in the Corporate Office on the merit of each such case.
*2. A BBNL Corporate Office Panel Counsel (Advocate) / Senior Partner of the Firm of Advocate,
having more than 10 years of experience/practice in the Court after date of enrolment as
Advocate shall be treated as a Senior Counsel. The Corporate Office panel Counsel (Advocate) /
Senior Partner of the Firm of Advocate having less than 10 years of experience/practice in the
Court after the date of enrolment as Advocate shall be treated as a Junior Counsel, for the
purpose of payment of fee as per the “BBNL Corporate Office Fee Schedule”. Retired Judges,
Law Officers/Judicial Officers shall, on their empanelment as BBNL Corporate Office Panel
Advocate, by virtue of their experience and profession, be treated as Senior Counsel for payment
of fee as per the BBNL Corporate Office Fee Schedule. In case of Firms of Advocates, payments
will be regulated as stipulated above based on the actual appearance of Senior/Junior Counsel of
the Firm of Advocates.
3. The Schedule of fee for BBNL’s Empaneled Advocate as per Annexure–C subject to
conditions below and Annexure–D.
a. Generally no advance may be paid. However in case of consolidated fee interim payments
maximum upto 75% may be paid as per progress of the case.
b. In addition to the fee mentioned in Annexure – I above, the Counsel will be entitled to 10% of
fees “as Clerkage”, subject to maximum of Rs.2,500/- [Rupees Two Thousand and Five
Hundred Only] in a case or batch of cases. For this clause, the fees comprise of Appearance
Fee, Drafting Fee and Conference, does not include any other expenses.
c. Reimbursement of miscellaneous expenses upto Rs.500/- shall be reimbursed to the counsel
without production of details. In case the expenses exceed Rs.500/-, the counsel shall be
required to produce the original bills duly certified. Such payments exceeding Rs.500/- will be
made directly to the Person/Proprietor/Firm concerned raising the bills. For this Clause, the
Misc. Expenses shall comprise of Typing, Stenographic Assistance, Photocopying, Binding
and Translation Charges. In the process of the bills for payment of miscellaneous charges,
onus for ensuring that the bills/claims of miscellaneous expenditure conform to the actual
requirement/work done will vest with the nodal branch concerned handling the particular
matter.

d. Conveyance for appearance before arbitrators / umpires in addition to the above fees,
Rs.750/- towards reimbursement of conveyance shall be allowed for each day of hearing and
visit to BBNL office, if any.
e. When two or more cases together involve substantially identical questions of law and/or fact,
one of such cases will be treated as the main case and the others as connected case and the
fees in such cases will be regulated as under, provided the cases are heard together.
(i) Full fee would be admissible for appearance in the main case and 50% in each of the
connected cases, subject to a maximum of one additional full fees, i.e. not more than
twice the amount of full fees in the main case would be admissible irrespective of number
of cases.
(ii) If substantially identical affidavits, counter-affidavits, plaints, written statements grounds
of appeal applications and other pleadings are drafted in connected cases, drafting fees
will be admissible in the main cases and only 50% separate drafting fee per case will be
admissible in connected cases.
f. Conferences, if any, requested by the Advocate in case of legal opinion, shall not exceed two
hours and such conferences shall be held subject to the approval of concerned Director(s).
@ g. Effective Hearing: Effective Hearing means, a hearing in which either one or both the parties
involved in a case are heard by the Court on the facts of Law of the case.
@ h. Non-Effective Hearing: Non-Effective Hearing means, where no hearing could be held due to
unavailability of the Judge/Arbitrator.
@ i. Fee in Non-Effective Hearing: Fee payment for Non-effective hearing will be subject to a
maximum of five hearing in Case.
@ j. No fee will be payable to the counsel if the case is not called out or if called out is adjourned by
the Court without hearing or adjourned at the request of the either parties.
k. Wherever no fees has been prescribed for the senior Counsel in respect of any item in the Fee
Schedule, then, the fee payment will be regulated as per the fee specified for the Junior
Counsel for the respective item.
l. Fee for drafting and Settling of pleading will be settled in terms of Clause-B Drafting and
Settling of the Pleadings, wherein, such fee for Hon'ble Apex Court, High Court, Tribunals etc.,
have been clearly laid down. No separate drafting charges for any other item such as synopsis,
list of dates, annexure to writs etc., is permissible.
m. Payment to Counsel(s) engaged by the BBNL CO Panel Advocate: Wherever professional
bills of BBNL CO Panel Advocate/Firm of Advocate(s) claiming fee for appearances by any
other Advocate/Counsel arising in connection with the purpose of seeking extension of time for
filing replies/obtaining next date/adjournment etc. then payment shall be made at the rate as is
applicable to junior Counsel for non-effective hearing, subject to Four times only in a cases,
provided the individual Advocate of BBNL CO Panel has duly engaged such pleader(s) in terms
of Order III Rule 4 of Code of Civil Procedure or such engaged pleader(s) has filed

Memorandum of Appearance(s) indicating this fact; and copy to the effect is submitted along
with the bill.
n. Payment to Counsel(s) engaged by the BBNL CO Panel firm of Advocates: In cases where
the Firm of Advocate(s) of BBNL CO Panel while seeking empanelment has communicated/
notified to BBNL and Vakalatnama indicating those name(s) has been filed, then, payments to
such counsels will be made as per their experience i.e. Senior Counsel or Junior Counsel.
o. Payment to Counsel(s) engaged by the BBNL CO Panel firm of Advocate whose names
not communicated/ notified to BBNL, but appears in their Vakalatnama field with the
appropriate Courts/Court's order thereto. In such cases, wherever the appearance is for the
purpose of seeking extension of time for filing replies/obtaining next date/adjournment etc.,
payments shall be made at the rate as is applicable to a junior Counsel only.
p. In case of deviation in Schedule of fee and above clause / terms, the same shall be approved by
the Concerned Director or CMD.
q. CMD has full power to change, amend, modify, alter, interchange and approve the same.
r. THE GENERAL INFORMATION / TERMS & CONDITIONS / RIGHT TO PRIVATE PRACTICE
AND RESTRICTIONS / DISABLEMENTS AND ALL OTHER THINGS GIVEN IN THE
EXPRESSION OF INTEREST PUBLISHED IN THE BBNL’S WEBSITE WILL ALSO BE PART
AND PARCEL OF THE ABOVE TERMS OF CONDITIONS.

ANNEXURE–D
Term & Conditions of Payment
1. That the empaneled Advocate/firm of Advocate is not a standing counsel/attorney of BBNL etc.
and as such, the Advocate/firm of Advocate will not receive notice directly from any of
petitioner(s) on behalf of the company.
2. That the empaneled Advocate/firm of Advocate shall attend to all the cases entrusted to
him/her/them by BBNL and inform the developments in each regularly in writing.
3. That the empaneled Advocate/firm of Advocate shall attend to all the matters referred to
him/her/them for opinion immediately and render his/her/their opinion expeditiously.
4. The empaneled Advocate/any partner of the empaneled firm of Advocate shall not accept
/proceed against in any matter against BBNL. Further, the Advocate/ Any partner of the Firm of
Advocate shall also not appear in Court/ accept briefs/ advise the competitors of BBNL.
5. BBNL reserves the right to delete the name of the empaneled Advocate /firm of Advocate from
the panel without any prior notice.
6. The empaneled Advocate/firm of Advocate shall not enter into any compromise or agree to grant
any concession or move any statement in Courts to the effect in any matter without prior
permission in writing of the concerned Nodal Officer.
7. That the allocation of cases will be done by the competent authority on case to case basis and
mere empanelment an Advocate/firm of Advocate will not grant any right to the Advocate/firm of
Advocate for allocation of cases to him/her/them.
8. That the empaneled Advocate/firm of Advocate will give his/her/their specific consent to these
terms & conditions and the fee schedule (Annexure-A) failing which his/her/their empanelment
will stand cancelled without any notice to him/her/them in this regard.
9. THE GENERAL INFORMATION / TERMS & CONDITIONS / RIGHT TO PRIVATE PRACTICE
AND RESTRICTIONS / DISABLEMENTS AND ALL OTHER THINGS GIVEN IN THE
EXPRESSION OF INTEREST PUBLISHED IN THE BBNL’S WEBSITE WILL ALSO BE PART
AND PARCEL OF THE ABOVE TERMS OF CONDITIONS.
