TERMS & CONDITIONSDEFINITIONS AND INCORPORATION

In these terms and conditions the Seller or Company means Sally Salon Services Limited (where the order is placed in the United Kingdom) or Sally Salon Services (Ireland) Limited (where the order is placed in the Republic of Ireland) or any subsidiary or associated company. The Buyer means a purchaser of goods from the Seller under these terms and conditions. These terms and conditions shall apply to every order for the purchase of goods made between the Seller and the Buyer (excluding orders made via the Sellers’ website, Salon Services (“Website”)) to the exclusion of any other terms and conditions that the Buyer may wish to rely upon. PRICES

The price of goods will be set out in the Company’s catalogue prevailing at the date of placing the order. All prices are exclusive of VAT and delivery costs. Prices shown are subject to change without prior notice. All quotations are valid for 30 days from the date of issue. Promotions and prices may differ or not be available as between the Seller’s stores and Seller’s Website. Delivery charges will be provided upon request. PAYMENT

Excluding account customers payment is due in full to the Company prior to collection or delivery. Time for payment shall be of the essence. CLAIMS FOR LOSS OR DAMAGE

Claims for loss or damage to goods in transit or on collection will not be accepted unless the Company is advised within 48 hours of delivery of the goods in the case of damage and within 48 hours of the delivery date in the case of loss. DELIVERY

The Seller can arrange delivery in the event that collection is not possible. Goods may be delivered in instalments. Delivery will be completed on receipt by the Company or its designated carrier (whichever is the earlier) of a proof of delivery note signed by the Buyer or person reasonably acting on its behalf at the delivery address as stipulated on the order or on personal collection by the Buyer. For large items and/or orders the Buyer is advised to have assistance on hand as couriers will only deliver to premises kerb side and will not enter premises. If delivery up or down stairs or into premises is required by the Buyer, prior agreement must be obtained from the Seller and an excess delivery charge will apply. The Buyer must ensure any obstacles, such as doorways, are catered for. If a delivery is unable to be completed for reasons outside the control of the Seller, a second delivery charge will apply. Whilst every effort will be made to meet the agreed delivery times, time for delivery is not of the essence. The goods will be the responsibility of the Buyer from completion of delivery. The Company accepts no responsibility whatsoever for any delay in delivery. Charges will be at current courier rates, and quotes for individual orders will be provided upon request. The Seller will notify the Buyer when the order is ready for collection. The Buyer shall collect the order within 48 hours of the Seller giving it notice. ASSEMBLY

Please note that most equipment requires some assembly which will be the responsibility of the Buyer. CANCELLATION

Prior to dispatch or collection, cancellation will only be accepted on the following terms:• All transport and handling costs incurred by the Seller in getting the goods to the

store ready for collection will be charged to the Buyer and the Buyer agrees that such charge can be deducted from any monies paid.

• Goods ordered ‘Direct from Supplier’ or which are bespoke or custom made cannot be cancelled under any circumstances. Any unpaid balance of such goods remains due and payable.

RETURNS

When goods have been ordered in error or are not as expected, the Company may accept a return in the following circumstances and subject to the following conditions:• Items ordered ‘Direct from the Supplier’ or which are bespoke or custom made

cannot be returned and refunded or exchanged .• A request must be made in writing to the Company within 30 days of collection

or delivery after which time no requests will be accepted by the Company. Proof of purchase is required.

• The goods must be in their original condition (including outer packaging), unused and in perfect saleable condition.

• Any refunds or credits will be subject to the deduction of a handling fee equivalent to 10% of the price of the goods being returned or all transport costs incurred by the Seller in delivering the goods to the delivery address or to the store where collection was to take place, whichever is the greater .

• Delivery costs in returning the goods to the Seller are the responsibility of the Buyer. The Seller can arrange for collection of the goods at the Buyer’s cost. Additional costs will be charged by the Seller if the goods are not available for collection at the agreed time and location. Original delivery costs paid by the Buyer will not be refunded.

• Refunds or credits will only be given after the goods have been returned and inspected by the Company .

• It is at the Company’s sole discretion whether to offer a refund or a credit.• Returned goods can take up to 21 working days to process. • Where the Buyer wishes to return the goods because they are faulty, the Seller

has the right to attempt to repair the fault in the first instance, failing which the Seller can either exchange the item or refund the price of the faulty item, including any applicable delivery charges paid by the Buyer and the Buyer’s reasonable costs in returning the item to the Seller. Proof of purchase is required and restrictions will apply.

RISK AND TITLE

Risk in goods passes to the Buyer when delivery has been completed. The Buyer should ensure the goods are in satisfactory condition before signing as this may affect future claim that the goods were either damaged in transit or on collection. Title of goods remains with the Company until payment has been received in full in cleared funds. The Buyer agrees that until payment has been received in full,

the Buyer will hold the goods on a fiduciary basis as the Seller’s bailee and the Buyer will safeguard the goods at all times. Until ownership in the goods passes to the Seller, the Seller (or its appointed agent) may at any time require the Buyer to deliver up the goods and, if the Buyer fails to do so promptly, the Buyer permits the Seller (or its appointed agent) to enter any premises of the Buyer or of any third party where the goods are stored in order to recover them. WARRANTIES

All items are sold subject to the manufacturer’s warranty and warranty conditions. Certain restrictions apply, please refer to manufacturer’s guidelines for more detail. Failure to comply with the warranty conditions will invalidate your ability to rely upon the warranty. Where a warranty claim is made it must be accompanied by the original proof of purchase. The warranty conditions for SPro products can be found online at salon-services.com.All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from all orders for goods supplied by the Seller to the Buyer. LIABILITY AND LIMITATIONS

The Seller supplies goods for professional business use only and the Buyer warrants and agrees that it is and those under its control and/or direction are competent and qualified in using the goods, that the Buyer is purchasing the goods strictly on a business-to-business basis. The Seller will not be liable for any injury, loss, damage, costs or expenses caused by unqualified persons using the goods or from the misuse of the goods by trained or untrained persons. The Company does not attempt to exclude its liability for death or personal injury caused by its negligence or fraudulent misrepresentation or other lasses than cannot be excluded or limited by law.The Company shall have no liability to the Buyer for damage to goods caused by incorrect installation by the Buyer or its agents or if the goods have been tampered with or have had parts added to them which are not original and/or have not been authorised by the Company or the manufacturer. The Company is not liable for damage to goods caused by normal wear and tear. Fragile items (e.g. glass or mirror) and/or consumable items (e.g. neon lights and bulbs) should be inspected immediately upon receipt and any defects should be notified to the Seller within 48 hours of receipt. Failure to do so will invalidate the Buyer’s warranty rights for these components.The Company shall not be liable for any loss of profit, loss or revenue, loss of business opportunity, loss of reputation, loss of goodwill or any indirect or consequential loss whether the loss arises from a breach of duty in contract, tort (including negligence) or in any other way.The Company’s total liability for any claims howsoever arising shall not exceed the price of the goods supplied by the Company to the Buyer which are the subject matter of that claim. The images of the goods in our catalogue are for illustration purposes only. Although we have made every effort to display correct images and descriptions, errors may arise. Therefore we do not warrant that the images or descriptions are correct or complete.The goods are compliant for sale in the UK, Republic of Ireland and Europe save that electrical items are only complaint for sale in the UK and Republic of Ireland. We do not represent that the goods are compliant for sale and/or use in other countries. GENERAL

All goods are subject to availability. The Seller and Buyer do not intend that any of these terms and conditions shall be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person other than the Seller and Buyer or any company within the Seller’s group of companies.The Seller may assign its rights under these terms and conditions. The Buyer has no reciprocal rights of assignment. Each of the paragraphs of these terms and conditions operates separately.If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.If the Seller fails to insist that the Buyer performs any of its obligations under these terms and conditions, or if the Seller does not enforce its rights against the Buyer, or if the Seller delays in doing so, that will not mean that the Seller has waived its rights against the Buyer and will not mean that the Buyer does not have to comply with those obligations. If the Seller waives a default by the Buyer, the Seller will only do so in writing, and that will not mean that the Seller will automatically waive any later default by the Buyer.Any dispute or claim in relation to an order for the purchase of goods and/or services from the Seller shall be governed by and construed in accordance with English law (where the order is placed in the United Kingdom) and Irish law (where the order is placed in the Republic of Ireland) and the Seller and Buyer agree to submit to the exclusive jurisdiction of the English courts (where the order is placed in the United Kingdom) and the Irish courts (where the order is placed in the Republic of Ireland).The Buyer warrants and represents that it complies with all applicable bribery laws including the Bribery Act 2010, that it has in place adequate procedures to prevent bribery and corruption and will not engage in any activity, practice or conduct that would constitute an offence under the Bribery Act 2010.The Buyer warrants and represents that it has taken steps to ensure that modern slavery (as defined in The Modern Slavery Act 2015) is not taking place in any part of its own business nor in any of its supply chains.Neither party shall have any liability under or be deemed to be in breach for any delays or failures in performance which result from an event beyond the reasonable control of that party including an act of God, fire, flood, lightning, earthquake or other natural disaster, war, riot or civil unrest, interruption or failure of supplies of power, fuel, water, transport, equipment or telecommunications service (Force Majeure Event). What this warranty does not coverA. Any problems arising from damage caused by:

– Misuse, neglect– Failure to install correctly– Failure to follow any manufacturers’ guidelines

instructions for use and general care– General wear and tear, for example, worn/torn

fabrics, rusting due to incorrect cleaning of metals, plastics cracks or damage due to heat or chemical damage

– Repairs and/or modifications made by unauthorised third parties or use of non-approved spare parts or accessories

– Deliberate damage

B. Any loss suffered (including, but not limited to, loss of revenue) or costs incurred as a result of the defective product not being available for use whilst it is being inspected, repaired or replaced.

C. Products which have been sold ‘as seen’ at a reduced price due to cosmetic damage or minor defects.

D. Removal and disposal of the defective product

What is the period of this warranty?This warranty extends for a period of 12 months from date of purchase or delivery (whichever is the latter). Customers must retain their receipt as proof of purchase is required.

What we will do to correct problems?Salon Services may, at its sole discretion, replace the defective product with an identical or similar product (in the case of discontinued or unavailable stock) or offer a full refund. Salon Services has no further obligation or liability under this warranty.
