Creelman of Toronto (street-address not known), as vendor, the Company purchased from, the said Creelman 43 unpatented mineral-claims, recorded as Oap l to 43 (inclusive), located in the Oranville Lake Area. Province of Manitoba, for Il5.000.00 (which was duly paid). The Company, as vendor, subsequently sold said 43 mineral- claims to Bastlynn Mines Limited, a company incorporated under the laws of the Province of Manitoba, for 300,000 escrowed shares of said Bastlynn Mines Ltd.. (Subsequently Bastlynn Mines Limited lost said 43 mineral- claims through forfeiture and its charter has been cancelled).

(lv) On 15th August 1962, the Company purchased 23 unpatented mining-claims, respectively in Shields and Deroche Townships, Sault Ste.Maria Mining Division, Ontario, from Harry Francois Marentette. for |4,956.05 (representing his time and expenses incurred in staking the said olalms)through moneys advanced for the benefit and on behalf of the Company by George Maxwell Brown, both directors of Band-Ore Ooid Mines Limited, and repayable to him as and when the Conpany becomes in funds for that purpose. These mining-claims are located approximately 40 miles north of Sault Ste. Said charges were reserved by the 3 chargees to secure and recoup them for their respective cash outlays on their acquisition of said 18 mining- claims to be repaid them pro rata as and when payment is received from tine to tine by the Company fret the sale of its shares, or from moneys received by it from any other source, at the rate of 25jf of the net proceeds or money received by the Company as aforesaid, as and when so received. However, the directors of the Company may, if and when they deem it in the Company* s best Interest pay pro rata the whole or any part of the said 3 charges at any time or from time to time. 13. (a) Aooess to the Shebandowrn Lake mining-claim*.which are situated about 55 miles West of the dy of Fort William, is via the Canadian National Railway and the Ontario Provincial Highway No.11 (both of which pass through the property);Aooess to the Shields and Df roche mining-claims is via a gravelled road from Wabos (an abandoned station about 5o miles north of T'tult Ste. Marie on the said Algoma Central and Hudson Bay Railway). Wabos is also reached by Ontario Provincial Highway "17 North", from Sault Ste.Marie to Heydon, and then by Ontario Provincial Highway 556 to Wabos. Aooess to the said 18 Gaudette Township mining-claims is by gravelled road from Wabos, a distance of 5 miles In a north-east direction.

(b) There has beeit no underground exploration or development work of any kind on the said Shebandowan Lake, or the Shields Deroche or the 18 Gaudette Township properties, nor is there any underground plant or equipment.

(c) The previous owners of the Shebandowan Lake mining-claims and subse quently the previous management of the Company, did considerable surface exploration and development thereon (including 17 rock-pits and diamond drilling). As it is now over 18 years since any of this work was done, the pits are now,naturally, partially filled with water and debris. In respect of the Shields and Deroche Townships mining-claims, the Company conducted a program of surface-work and diamond-drilling thereon during 1961. Four pits or trenches were excavated. Five diamond-drill holes were put down (one of which had to be abandoned) to various depths - the deepest to 652 feet with inconclusive results. The Company does not Intend to perform any work on either the Shebandowan Lake or the Shields and Deroche Townships properties at the present time - but proposes to concentrate on the investigation of the l8 Gaudette Township mining- claims (on which, as yet, there has been no exploration, development or underground work performed by the Company).There is no surface-plant or equipment on any of the Company's afore mentioned properties. However, the Company owns a magcroneter, l International light truck (Scout F.W. D. 1963 model), l 2-wheel trailer, l diamond-drill (Boyles Bros., Model BBS2) complete with three gasoline-driven water-pumps, hose, pipes, A. 4 B. rods with all accessories, l tractor, Kodel 4OC, bulldozer type (John Deere make), l Husk! motor snow-toboggan, l chain saw, l old Chevrolet truck and other miscellaneous tools.

(d) The history of the Shebandowan Lake property i~ as follows:- The im portant claims of this property (namely Nos. T.B. 26533, 2653**, 26535. 26539, 265"*7 and 2792 1*, being part of the claims referred to in clause 12 above) were purchased and acquired in 1939 0? 19^0 from Tom Johnson. Selim Eaavisto and Alex Budge, then all of Shebandowan, Ontario, by the said Harry Francois Marentette and the late Adolphus Peter Rochon (the latter then residing on Caroline Street in Windsor, Ontario) - acting on behalf of themselves and Rochon-Maney Mining Syndicate. In 19^0 the

In turn, sold and transferred the said clalas to said Bandolao Mining Company Limited, which on 9th April 19**7 sold and trans-- ferred the said 6 elaiiu (together with the 15 other claims set out in clause 12 (li) above, to this Company* The balance (JO) of said Sheban dowan Lake claims were acquired from Auband Mines Limited above-mentioned which had purchased them from the respective stakers or grubstakers thereof (whose names are unknown to the undersigned). The history of the Shields-Deroehe property is as follows}- These claims were originally staked in 1908 or 1909, and subsequently became known as "the Caapbell-Murdoeh Iron property*. Considerable work was done on them and they were patented by the then owners and kept in good standing for many years and subsequently allowed to lapse. In 1962 the claims were restaked on behalf of the said Harry Francois Marentette and were duly recorded in his name, and were subsequently transferred to the Company (which now owns them) as set out in clause 12(iv) above. The history of the 18 Gaudette Township claims is as followsj- fart of this ground was previously staked by other parties (unknown to the sig natories hereto) and allowed to lapse* Very little work was ever done by these previous stakers. Nine of these lo claims, namely:- Nos. SSM. 65365, 66710, 66711, 6691H. 66915, 66916, 66917, 66918 and 66919 were staked by Brian W. Fitzpatriok and his son in 196? - from whom they were purchased by the vendors thereof (mentioned in 12 (s) and (b) above) to this Company. The other 9 claims (Nos. SSM-67006, 67007, 67008, 67009, 67010, 67011, 67012, 67015 and 67011) were caused to be staked by J. Gordon pollard (who was grubstaked in the amount of ^500.00 by the said Robert D. Dugal) and were acquired by the Company, with the said first-mentioned group of 9 claim*, from the said vendors mentioned In 12 (a) and (b) above. Reference Is hereby made to the Report of Wallace D. Stroud, P.Eng., dated 29th December 196t (which accompanies and forms part of this prospectus).

(e) No work has been done or Improvements made on any of the Company's properties by the present management, except the work performed this past year by the Company on the Shields Deroche property, as set out In paragraph l J (c).

By written agreement, dated 20th February 1965, made between the Company and Jenkln Evans fc Co. Ltd., J6o Bay Street, Toronto, Ontario, as Under writer and Optionee, said Underwriter-Optionee agreed to purchase from the Company and pay for on behalf of its hereinafter-mentioned client, 200,000 shares of the Company at 12j/ each (payable within 5 days of the date when the filing-statement is accepted for filing by Canadian Stock Exchange and The Ontario Securities Commission - whichever date is the later - (herein after called "the acceptance date"), and was granted an option to purchase for the same client 500,000 shares of this Company, as follows:-

1. Purpose of ReportThe purpose of this report IB to evaluate the occurrence of

nickel on these claims and to recommend the exploration justified.

2. ConclusionsThe work done to date has shown the presence of nickel In

basic Intrusive. Enough further work is warranted to explore these showings and to prospect for other exposures.

3. Property and LocationThe property consists of eighteen unpatented. contiguous

claims, Mos. S.S.M. 65365. 66710. 66711. 66911*, 66915. 66916, 66917, 66918, 66919. 67006, 67007, 67006, 67009, 67010, 67011, 67012, 67013 and 67014, all In the north-west quarter of Gaudette Township, Algoma District, Sault Ste. Marie Mining Division.

They lie about seven miles from the village of Searchmont which is on the Algoma Central Railway about forty miles north of Sault Ste. Marie, and about two miles from No. 556 Secondary Highway, with which they are connected by an all weather road.

1. HistoryThe presence of nickel on these claims has been known for

considerable time and the ground has been staked and then allowed to lapse. Very little work was ever done.

The eighteen unpatented claims comprising the group are presently being acquired by Band-Ore Ooid Mines Limited.

5. Occ 1.Very little Is known of the geology of the area, no detailed

vork having been done. The only map showing the geology of Gaudette Township is Map 155A (Lake Huron Sheet) of the Canadian Government.

This map shows Gaudette Township as being completely under- lain by granites, but there Is actually a large amount of basic intrusive which I Identify as diorite or amphibolite. This rock can be found all along the face of a high cliff some 150 or more feet high running north to south across the middle of claims Nos. 65365 and 66710, and at the north-east corner of the former. It cun also be seen on the side of a hill about four miles to the west In Shields Township.

There is considerable faulting In the area, the major fault so far Identified being the Achlgan Vault striking about thirty

degrees west of north some four nil** to the west of the claims. The cliff Mentioned above, In which the showings occur, is probably the surface expression of a fault.

6. ShowingsThe showings occur In the centre of Clala No*.j21fi5. In the face

of a north-south trending cliff, which has been blasted into in two spots about l8o feet apart. The north pit, where most of the work has been done, and which goes about six feet into the face of the 65 degree dipping cliff, shows a yellow metallic mineral, which may be Millerite, in and close to various small, Irregular slips, shears and cracks, the mineralization extending up to eight inches or more Into the walls of fresh looking diorite. There is no apparent pattern to the fracturing either in strike or dip.

I took samples in this north pit In October, 1963, which assayed, for nickel 0.07*. 0.42*, 0.8J* and 0.77*. A small amount of chalcopyrite was seen. Also, at that time, low values in nickel were obtained in grab samples In various spots along the face of the cliff for a distance of about 200 feet. These ran up to 0.10*.

Since that tints the north pit has been freshened up and a small blast put Into the sliff at a point 180 feet seuth of the north pit. Samples taken on August 20th, 1964, in the north pit ran 0.11*. O.J3*,0.60* 0.70* and 0.99* nickel. The last sample also carried 6.96* copper.

A sample from the south pit, over about 15 inches of shearing, ran 0.29* nickel.

7. RecommendationsThis showing deserves further exploration. The fractures with

which the nickel values are associated might be caused by a strong fault of which th* cliff is the surface expression. There Is a possibility that, under the sand plain, fairly close to the cliff, the source of the nickel values might be found.

I recommend that the two showings in the cliff be opened up both vertically and laterally, that a grid bo laid out, both on the top of the hill and in the valley, to be used as a base for a geological sur vey and methodical prospecting and, in the valley, for a small soil sampling survey to see If any trace of nickel can bc found there.If significant traces of mineral are found In t^ valley,a nore elaborate program of exploration would bc warranted.

Marie Mining Division, Ontario, from Harry Francois Marentette, for ^4,956.05 (representing his tine and expenses incurred in staking the said claims) through moneys advanced for the benefit and on behalf of the Company by George Maxwell Brown, both being directors of Band-Ore Ooid Mines Limited. These mining-claims are located approximately 40 miles North of Sault Ste. (v) By written agreement, dated 4th January 1965, between J. Gordon pollard of the Village of Elk Lake, Ontario, Robert D. Dugal. 303 Parent Avenue, Windsor, Ontario, said George Maxwell Brown and said Harry Francois Marentette of the First Part, the said True-Fissure Silver Mines United, of the Second Part, and the Company, of the Third Part, the Company purchased and has paid for from the firstly-mentioned 4 parties (who agreed to sell to It) 18 unpatented mining-claims numbered SSM. 65365, 66710, 66711, 66914, 66915, 66916, 66917, 66918, 66919, 67006, 67007, 67008, 67009, 67010, 67011, 67012, 67033 and 67014 (all contiguous to one another and situated In Gaudette Township, Algoma District, Ontario) - subject to 3 unrecorded charr.es (which the Company agreed to assume) namely:- one for 13,600.00 payable to said George Maxwell Brown; another for i300.00 payable to said Robert D. The previous management of the Company paid certain of its moneys for options (all of which subsequently lapsed) as follows:- 12,100.00 on the 16th November 1955 to Charles A. Collett (pur porting to act as agent for one Euclid Charbonneau of Kirland Lake, Ontario) on an option to purchase 21 mining-claims in Van Hise Township. (o) So far as the signatories hereto are aware, no penon or company has received, or le to receive, fron any vendor a greater than 5Jf Interest in the shares or other consideration received, or to be received, by any vendor; but, if any shareholder of said Auband Mines Limited did receive more than a 5^ interest in the snares or other consideration (when said Auband Mines Limited distri buted all its assets to its shareholders), the signatories hereto are not aware of it.

13. (a) Access to the Shebandowan Lake mining-claims, which are situated about 55 miles West of the City of Fort William, Is via the Canadian NatJ^nal Railway and the Ontario Provincial Highway No. 11 (both of which pass through the property); Access to the Shields and Deroche mining-claims is via a gravelled road from Wabos (an abandoned station about "K) miles north of Sault Ste. Marie on the said Algoma Central and Hudson Bay Rail way). Wabos is also reached by Ontario Provincial Highway "l? North", from Sault Ste. Marie to Heydon, and then by Ontario Provincial Highway 556 to Wabos;Access to the said 18 Gaudette Township mining-claims Is by gravelled road from Wabos, a distance of 5 miles in a north-east direction.

(b) There has been no underground exploration or development work of any kind on the said Shebandowan Lake, or the Shields Deroche or the 18 Gaudette Township properties, nor is there any underground plant or equipment.

(c) The previous owners of the Shebandowan Lake mining-claims and subsequently the previous management of the Company, did con siderable surface exploration and development thereon (including 17 rock-pits and diamond drilling) . The Shebandowan Lake properties in Conacher Township are being retained because the diamond-drilling performed by the previous owners thereon, and that subsequently done by the previous managanent of this Company, indicated a substantial tonnage of gold-bearing ore.- And It Is

also retaining the Shields and Deroohe Township group of claims because the surface-work and diamond-drilling performed thereon indicated the possible existence of mineral deposition thereon. As it is now over 19 years since any of this work was done, the pits are now, naturally, partially filled with water and debris. In respect of the Shields and Deroche Townships mining-claims, the Company conducted a program of surface-work and diamond- drilling thereon during 1964. Pour pits or trenches were ex cavated. Five diamond-drill holes were put down (one of which had to be abandoned) to various depths - the deepest to 652 feet with inconclusive results. The Company does not intend to perform any work on either the Shebandowan Lake or the Shields and Deroche Townships properties at the present time - but proposes to con tinue to concentrate on the investigation of the lo Gaudette Township mining-claims on which considerable surface-work in cluding trenching and diamond-drilling (but otherwise no under ground-work) was done during the past year by the Conpany. There Is no surface-plant or equipment on any of the Company's afore mentioned properties. However, the Conpany owns a magcrometer, l International light truck (Scout P.W.D. 1963 model), l 2-wheel trailer, l diamond-drill (Boyles Bros., Model BBS2) complete with three gasoline-driven water-pumps, hose, pipes, A. 4 B. rods with all accessories, l tractor, Model toe, bulldozer type (John Deere make), l Huskl motor snow-toboggan, l chain saw, l old Chevrolet truck and other miscellaneous tools.

(d) The history of the Shebandowan Lake property Is as follows : - The Important claims of this property (namely Kos. T.B. 26533, 26531*, 26535, 26539, 265"*7 and 27921*. being part of the claims referred to In clause 12 above) were purchased and acquired In 1939 or 19^0 from Ton Johnson, SelIB Haavisto and Alex Budge, then all of Shebandowan, Ontario, by the eald Harry Francois Marentette and the late Adolphus Poter Rochon (the latter then residing on Caroline Street In Windsor, Ontario) - acting on behalf of themselves and Rochon-Maney Mining Syndicate. In 19^0 the said purchasers, in turn, sold and transferred the said claims to said Bandolac Mining Company Limited, which on 9th April 19^7 sold and transferred the said 6 claims (together with the 15 other claims set out In clause 12 (11) above, to this Company). The balance (30) of said Shebandowan Lake claims were acquired from Auband Mines United above-mentioned, which had purchased them from th* respective shakers or grubstakers thereof (whose names are unknown to the undersigned).

The history of the Shields-Deroche property is as follows:- These claims were originally staked In 1908 or 1909, and sub- sequently became known as "the Campbell-Murdoch Iron Property". Considerable work was done on them and they were patented by the then owners and kept in good standing for many years and sub sequently allowed to lapse. Very little work was ever don* try these previous staters. Nine of these 18 claims, naaelyt- MOB. SSM. 65565, 66710, 66711. 6691**, 66915. 66916. 66917, 66918 and 66919 were staked by Brian V. Fitspatrlok and his son in 1963 - from whoa they were purchased by the vendors thereof (mentioned in 12 (a) and (b) above) to this Company. The other 9 olaias ( Vos. SSM-67006, 67007, 67008, 67009, 67010, 67011. 67012, 67013 and 67014) were caused to be staked by J. Gordon Pollard (who was grubstaked in the amount of f 300. 00 by the said Robert D. Dugal) and were acquired by the Company, with the said first-mentioned group of 9 claims, from the said vendors mentioned in 12 (a) and (b) above. Reference Is hereby made to the Report of Wallace D. 1,000 alone. Other than as aforesaid, no director or officer of the Company( so far as the signatories of this prospectus are aware) has ever had, whether personally or as a partner in a firn, any interest, direct or indirect, in any property acquired or to be acquired by the Company.

(c) No remuneration was paid by the Company to any director as such during the last financial year and none is estimated to be paid or payable to any director as such during the current financial year. However, Hrs. Irene Noel, as Secretary-Treasurer, was paid 1300.00 for secretarial services rendered by her to the Company during the last year. The said Harry Francois Marentette received from the Company (in addition to his travelling expenses) ^23.19 on account of the 4684.00 which it owed him for his services in managing its affairs during the last financial year (as appears in the Auditor's said financial statement). It is estimated that during the current financial year not more than ^50.00 per month will be paid to the said Secretary-Treasurer for her secretarial services and that the said Harry Francois Marentette, for his services In managing the affairs of the Company as its Vice- president, will be paid at the rate of ^18.00 per day plus his ex penses, whenever his services are required on the Company's behalf. However, it Is not anticipated that the amount for such services by him will exceed ^200.00 per month. Save as aforesaid, no remuneration Is to be paid to any officer.

19. No dividend has ever been paid by the Company.

20. William c. Tlerney having disposed of all his shares In the Company, and Auband Mines Limited having distributed all Its shares therein to Its shareholders, followed by cancellation of Its charter, said Bandclac Mining Company Limited, has now become the largest shareholder of this Company. The Company's directors are not aware of any agreement, oral or written, that could put any person in a position, or entitle him to elect, or cause to be elected, a majority of the directors of the Con- pany. Presumably, only said Harry Francois Marentette, a large share holder of Bandolac Mining Company Limited, If he were to successfully solicit enough proxies, could elect, or cause to be elected, a majority of the directors of this Company.

As a result of a memorandum of agreement bearing the date of April 9th, 1947, entered into between the Company and Bandolac Mining Company Limited, It has been agreed amongat other things, that this Company shall not reorganize or change its capital structure in any way without the written consent of Bandolac Mining Company Limited.

1. Purpose of ReportTo review the work done on these claims and to evaluate the same.

2. Conelufions Additional values in nickel have been found sine* my last examination and some further work in an effort to ascertain the extent and possible Improvement of these values, laterally cr vertically, is warranted; also to find, if possible, the source of the values.

The cost will be about 47.000.

3. Property and Location The property consists of eighteen unpa tented, contiguous c la lv, Nos. S.3.M. 65365. 66710, 66711, 6691"*, 66915, 66916, 66917. 66918, 66919. 67006, 67007, 67008. 67009, 67010. 67C!1. 67012, 67013, and 67014, all in the north-west quarter of Gaudette Township, Algoma District, Sault Ste. Marie Mining Division.

They Ile about seven miles from the Village of Searchmont which is on the Algoma Central Railway about forty mi1*3 north of Sault Ste. Marie, and about two miles from No.556 Secondary Highway with which they are connected by an all weather road.

Very little has been learned about the geology of the area. The deposit occurs as disseminated values in nickel in a very Irregular, mixed up zone of con trasting basic and acidic rocks, probably a contact zone between large masses of various phases of the two rocks.

6. Work Donefit fi.This shoving, the more northerly pit, was opened up by slashing down from the'Top of the cliff. The results were disappointing.Pit 1 2. This pit, about 180 feet south of No.l has been slashed down for 35 feet and is 12 feet long from north to south and 12 feet deep into the face of the cliff. The formation dips 75 degrees to the east. The mineralization close to some flat fractures close to the bottom is considerably heavier than that above. p.p.H.No.Nl No.l Hole was collared very close to the creek in the flat ground below the cliff, 110 feet from the face and directed east to cut directly b*low the Ho.2 Pit. It was drilled at a dip of 35 degrees. Prom the log It will be seen that it went through granite, diabase and, again, granite, and then from 345 to 388 feet. It cut amphibolite with some mineralization, probably Millerite. It carried low values in nickel, 0.19 P*r cent over 31 feet. D.D.H.No.NZ Drilled North-East from close to the same set-up as N.I this hole was lost in overburden.D.D.H.NQ.N3 Collared at a point about 120 feet north of No.N.I this was drilled southerly at S.20 degrees W. at a dip of 65 degrees. It went to 366 feet in granite and allied rocks except for some narrow bands of basic rocks. D.D.H.Mo.NH This hole was started 95 feet east of the No.Nl collar, directly above the No.Nl Hole at a dip of 35 degrees and drilled in a south-westerly direction at S.65 degrees R. It started in diabase, was In granite and allied

rooks to li1* feet where It entered amphibolite with bands of apllt*. At 16? feet it entered quartx-dlorite (T) where it remained to 213 feet. It was stopped in granite at 2f5 f*r t. The quarts diorite and some 20 feet of the amphibolite pre ceding it were sanpled but the results were negative.P.O.Mo.g Since the date of ny last Tisit to the property on December ^th last this hole has been drilled from th. same set-up as Bo.X1*, but at a dip of 53 degrees. To date it is down *00 feet and is still drilling. The geology uoes not seem to relate to that in the hole abore or in th* ill hole to the north. Nickel values were out frea 21? feet to 226 feet averaging 0.26? nickel across 9 ieet. This is in a rock Identified as biotitr-sohlst. i \ii la the first of this roc'.', so far seen in the core of any of the holes. The ore mineral nay be a silicate of nickel. Garnierite or Oenthite.Recommendations

It will be seen from the section on K 1* and N5 Holes that, if the formation dips 75 degrees to the east as appears to be the case in the two pits, then Drill Hole N5 may be running very nearly down along the formation. With the very Irregular rock formation as exposed on tlie cliff and the hill above and the lack of geological information it is not possible to project with any certainty the trend of the values either as to strike or dip. However, It would probably be safer to drill as flat holes as possible. Unfortunately, the ground above the cliff Is so rough that It Is not practicable to set up a drill there and drill from east to west.

It is reported that the N.5 hole has cut seme nickel values in biotite schist and It should be continued as long as '.t remain* in this material.

A 35 degree hole from the same set-up as N.5 but directed to go directly above the N.I hole aould give an intersection about 100 feet above that in N.I and should be drilled.

Some nickel values have been reported from an area some seven hundred feet to the south-east, and there is the possibility, though it is remote, that the diabase dike seen near the collars of l '. and N.5 Holes may lie in a fault, which might move the values on the south side of the fault, if it exists, to this ground.

Besides the hole suggested above, over N.I, another should be drilled from a location some 200 feet south of M.5. as close to the cliff face as possible, at N.60 degrees B. and a dip of 35 degreed. This would give information on the ground extending south and might establish Just what happens at the diabase, whether the values are cut off there or whether they continue louth.

Some sol 1 testing on the flat ground to the west of the cliff might be of value. Thtre Is a possibility that, under the sand plain, fairly close to the cliff, the source of the nickel values might be found. Should significant values be obtained some diamond drilling would be Justified.

The values, so far discovered, arc low and appear tc be very irregular, but this further amount of work should be done. If it proves favourable, a further exploration program would be warranted.
