COME NOW Plaintiffs RII Government Strategies, Inc. and RJI Capital Corporation, by

Counsel, an d for their Amended Complaint allege the following upon personal knowledge or

information and belief:

PARTIES

1. PlaintiffRII Government Strategies, Inc. ("RJI-GS") is a Delaware corporation

with its principal place of business at 1710 Rhode Island Avenue, NW, 2nd Floor, Washington,

D.C. 20036.

2. PlaintiffRJI Capital Corporation (uRJI Capital") is a Delaware corporation with

3. Defendant Tanya Alice Rahall is a citizen of the United States who resides at

1830 Jefferson PlaceNW, Apt. 10, Washington, D.C., 20036.

4. Defendant Hilliard Alan Zola is a citizen of the United States who resides at 1

Logan Circle NW, Apt. 7, Washington, D.C., 20005.

JURISDICTION

5. Jurisdiction is proper in this Court pursuant to D.C. Code § 11-921, because the

acts giving rise to these Claims occurred in, andlor were directed at, the District of Columbia,

and the Defendants reside in the District of Columbia.

NATURE OF THE ACTION

6. This is an action for conspiracy, intentional interference with contract, intentional

interference with business expectancy, breach of the duty ofloyalty and other employment

obligations, misappropriation of trade secrets and conversion arising out of the harm caused to

RJI by Defendants' self-dealing, attempts to divert RJI business to their own benefit, and other

unlawful acts including the theft ofRJl's trade secrets. As part of Defendants' scheme, they

have sought to use Defendant Rahall's relationship with her brother, Congressman Nick Rahall

of West Virginia, as an attempt to intimidate and threaten RJI.

7. RJI-GS is a government relations finn that was founded in 2003. RJI-GS

provides expertise and services in the areas of defense, national security, energy, appropriations,

and taxation on legislative and regulatory issues. RJI-GS is the wholly-owned subsidiary ofRJ!

Capital.

8. Defendant Rahall is the sister ?f Congressman Nick Rahall from the 3rd District

of w e s t Virginia Prior to her employment, Defendant Rahall represented to RJI that she had

extensive experience on Congressional relations and lobbying matters, and personal contacts that

could be valuable to RJI's current and future clients.

9. On November I, 2008, RJI hired Defendant Rahall to serve as Vice-President at a

salary of$90,000 per year. RJI also provided Defendant Rahall with other benefits, including

health insurance and participation in its 40 I(k) plan. Defendant Rahall was responsible for

developing new business for RJI and providing lobbying services to RJI clients. On January 1,

2009, RJI reduced Defendant Rahall' s salary to $70,000 per year as a result of her failure to meet

performance expectations.

10. At the time RJI hired Defendant Rahall, it provided her with a copy of the RJI

Employee Handbook. Defendant Rahall acknowledged receiving the RJI Employee Handbook

and had the document in her possession throughout the time of her employment.

11. As set forth in the Employee Handbook, Defendant Rahall's obligations included:

a. The duty to maintain the confidentiality of all client information;

b. The duty to maintain the confidentiality of all RJI corporate information;

c. The duty not to use her employment with RJI for private gain, to advance

personal interests, or to obtain favors or benefits for herself, members of her

family or any other individuals, corporations, or business entities; and

d. The duty to conduct her personal affairs in such a fashion that her duties

and responsibilities to RJI are not jeopardized and that no legal questions arise

with respect to her association or work with RJI.

termination shall not affect the obligation of the Company to pay

specific matter fees as provided in Clause 3.2 hereof as to any

Service or part of a Service still subject to a separate fee schedule.

7.2 Either party may terminate this Agreement with or without

cause upon fifteen (IS) days prior written notice to the other party.

If a default occurs, the non-defaulting party may immediatelyterminate this Agreement and may exercise any other remedies

available to it under law or equity ... .

16. At some point after RJI executed the Mountaineer contract but not later than July

2009, Defendant Rahall began acting in concert with Defendant Zola to steal the Mountaineer

business from RJI, including without limitation by providing confidential information regarding

RJI and Mountaineer to Defendant lola.

17. Defendant Zola paid Defendant Rahall to work on an outside government

relations matters for him during the time wben she was employed by RJI. Defendant Rahall did

not inform RJI that she was engaged in government relations work. for any person or entity other

than RJI. On information and belief, all government relations work Defendant Rahall performed

for Defendant Zola could and should have been performed within the scope of her duties for RJI.

18. Until September 2009, RJI provided Defendant Zola with office space and other

facilities free of cost based on Defendant Zola's longstanding relationship with Mr. Ron Wahid,

RJI's Chairman and Chief Executive Officer. After learning of Defendant Zola's unlawful

conduct, RJI instructed Defendant Zola to quit the premises and Defendant Zola agreed to do so.

However, Defendant Zola has continued to use RJP s address and fax number at 1710 Rhode

Island Avenue, N.W., Suite 200, Washington, D.C. 20036 for his Government Relations firm of

Dierman, Wortley, Zola &Associates ("DWZ") without authorization. A copy of DWZ's web-

page is attached hereto as Ex. 2.1

19. Beginning during-her. employment with RJI and/or shortly thereafter, Defendant

Rahall began revising the Mountaineer Contract to replace RJI in a new draft document with

RTK, an entity she controls that is not affiliated with RJI.

20. On July 31, 2009, Defendant Rahall communicated with Defendant Zola about

their plan to divert to themselves a business proposal that Tony Williamson of Celestial Capital

Corporation had offered to RJI.

21. On August 4,2009, RJI terminated Defendant Rahall's employment. Mr. Wahid

directed Defendant Rahall to return to the Company all materials, documentation, and equipment

belonging to RJI at that time. Defendant Rahall has failed to return RH's property and has given

some or all of this property to Defendant Zola.

22. In furtherance of Defendants' conspiracy and at their instigation, on August 5,

2009, the day after RJI terminated Defendant Rahall's employment, Mountaineer terminated the

contract between it and RJI "effective immediately." A copy of this termination letter is attached

hereto as Ex. 3. Mountaineer's "effective immediately" termination breached its agreement with

RJI.

23. Mountaineer has not paid RJI according to the terms of its contract with RJI.

Mountaineer agreed to pay RJI a monthly retainer of $15,000, starting June 1,2009. RJI

received one payment from Mountaineer, but, in violation of her duties to Plaintiffs, Defendant

Rahall never invoiced Mountaineer for the second payment during the time she was at RJI. RJI

later discovered that Defendant Rahall had prepared a second invoice for Mountaineer in the

name ofRTK, the entity she controls that has no affiliation with RJI. RJI does not know whether

Defendant Rahall sent the RTK invoice to Mountaineer or not.

56. As a direct, proximate result of Defendants' conspiracy, RJI has suffered damages

in an amount to be proven at trial.

Count VI

(Misappropriation of Trade Secrets Under the District of Columbia Uniform Trade Secrets Act-

Rahall and Zola)

57. RJI realleges and incorporates by reference paragraphs I through 56 above as if

fully set forth herein.

58. As part of its business operations, RJI has developed proprietary information

constituting trade secrets as part ofits government relations and consulting business. Such trade

secrets include RJI pricing terms and proposals, contracts with clients, client identification, and

other sensitive business development and internal information.

59. RJI has undertaken reasonable efforts to protect its trade secrets and proprietary

information, RJI employees are subject to duties of confidentiality and loyalty under the terms

of the RJI Employee Handbook. Additionally, RJI maintains a secure information technology

server that stores all company information in a confidential manner.

60. After her termination from RJI, Defendant Rahall was granted access to return to

RJI's offices for the limited purpose of retrieving her medical records and other personal

information. However, without authorization, Defendant Rahall willfully downloaded at least

270 documents from the RJI computer network and forwarded them to her personal email

account.

61. Additionally, Defendant Rahall provided Defendant Zola with confidential and

trade secret information related to Mountaineer and potentially other RJI clients. He was not an

employee of RJI and had no authority to receive the information. Defendant Zola was aware that

injunctive relief to RJI prohibiting Defendants from using, storing or further disseminating any

trade secret information as well as returning all RJI trade secret information to the custody of

RJI;

converted RJI proprietary information for their own benefit, and awarding RJI compensatory

damages in an amount to be proven at trial but currently estimated to exceed $345,000.

74. That the Court order Defendant RahalI to return all salary paid by RJI during the

time period where she has been breaching her duty of loyalty;

75. That the Court order Defendant Rahall and Defendant Zola to disgorge their

profits from the corporate opportunities they usurped from RJI, including any moneys paid to

them or affiliated entities by Mountaineer and Constellation Capital;

76. That the Court issue injunctive relief ordering Defendant Rahall and Defendant

Zola to return all corporate property ofRJI;

77. That the Court award RJI its costs and attorney's fees incurred in bringing this

malicious, justifying awards of punitive damages where available in the amount of $1,035,000;
