GENERAL: Possession of our price list and/or catalog does not constitute authorization to purchase products at wholesale from Cinderella, Inc. Prices, product, availability, and conditions of sale are each subject to change without notice. Every precaution is taken to eliminate catalog errors and to describe merchandise accurately. Should an error be found in description or price, we reserve the right to correct it. Oral statements and quotes by sales personnel are not binding until approved in writing by an officer of the Seller. Seller represents that with respect to the production of the articles and/or the performance of the services covered by this invoice it has fully complies with Section 12(a) of the Fair Labor Standards Act of 1938, as amended.
Positively no claims for shortages allowed unless notification of same is given within 24 hours after receipt of goods.
TERMS: 2% 30, NET 31 DAYS FROM DATE SHIPPED OR AS NOTED ON THE FACE OF THE INVOICE, WITH APPROVED CREDIT. INVOICES NOT PAID IN ACCORDANCE WITH TERMS ARE SUBJECT TO A SERVICE CHARGE OF 1-1/2% PER MONTH OR 18% PER YEAR AND LOSS OF PROMPT PAYMENT DISCOUNT. Customers with an account balance sixty days or older will be sold on a C.O.D. basis only plus an amount added to subsequent orders to reduce the account balance, until the account is current.
CASH OR CERTIFIED CHECK ONLY: Payments for orders shipped via UPS or common carrier will be paid for in cash until such time as Cinderella, Inc. has received a complete Customer Information Survey (CIS). Cinderella, Inc. will accept advance payment by credit card in lieu of cash. Advance cash payment qualifies for 2% discount.
C.O.D. & PREPAID: Once Cinderella, Inc. has received a completed CIS, orders will receive a 2% discount when shipped C.O.D. or prepaid.
MINIMuM ORDERS: Minimum is $15.00 on all original orders.
RETuRNED CHECKS: A handling fee of at least $25.00 will be assessed each time a check is returned unpaid by your bank.
FREIGHT: All shipments are F.O.B. Saginaw, Michigan. On UPS shipments the shipping charges are added to the invoice; common carrier shipments will go freight collect. A 2% freight allowance is credited to all net orders greater than $3,000.00 when shipped common carrier from Saginaw. An additional charge will be applied to all specially dispatched shipments.
PALLETS: When an order of material shipped requires a pallet to insure the least possible freight damage, proper pallet charge(s) will apply.
CLAIMS: Cinderella, Inc. is not responsible for goods damaged or lost by the carrier during transit. Claims to recover such loss or damage must be filed with the carrier by the consignee within the time allowed by such carrier.
RETuRNS: All returns must be accompanied by a written Returns Goods Authorization (RGA) from Cinderella, Inc. The RGA number must be affixed to those items being returned. Material authorized to be returned for credit may be subject to a minimum 15% handling charges. Special order merchandise is not returnable. Do not request authorization to return such material which has been in your inventory over sixty days and which is not in original saleable condition. Date of original purchase and invoice number must be included in your RGA request. Your credits may be delayed or lost if you do not adhere to proper procedures.
WARRANTIES: Cinderella, Inc. warrants its products to be new and covered by a manufacturer’s warranty against effects in materials and workmanship under normal use and service for which the products were designed. The manufacturer’s warranties generally provide for repair or replacement of defective products without charge within a limited warranty period. Cinderella warrants that it has delivered copies of all available manufacturers’ warranties to the buyer and if any product is defective under those warranties, it will promptly investigate and submit a warranty claim to the product manufacturer on buyers’ behalf. Cinderella does not itself warrant the quality of products manufactured by others; as to it, those are sold “AS IS”
The limited warranty and the manufacturer’s warranties are exclusive and in place of all warranties provided by law, including implied warranties of merchantability and fitness for particular purpose. In no event shall Cinderella be liable for incidental or consequential damages or for damages arising out of the sale of use of its products which exceed the product purchase price or its replacement. Warranty does NOT cover labor.
