AMENDMENT #1 – AGREEMENT

WHEREAS, effective August 1, 2016, Enterprise Florida, Inc.(“EFI”) and PM & Partner Marketing Consulting GmbH, (“Contractor”), (collectively, “the Parties”) entered into an agreement;

WHEREAS, the Parties now wish to amend the Agreement as set forth herein;

NOW THEREFORE, the parties agree to the following contract section amendments.

Paragraph 3: Term

The paragraph 3, titled “Term”, shall be amended as follows:

The term of this Agreement shall be extended from end of the current term, and shall remain in effect through June 30, 2018.

Any additional extension or renewal of this Agreement shall be in writing and at the sole discretion of EFI.

Paragraph 4: Consideration The paragraph 4, titled “Consideration”, shall be stricken and replaced with the following:

In consideration for the performance by Contractor for the Services, subject to the conditions of this Agreement, EFI shall pay Contractor a fixed amount of Sixteen Thousand Six Hundred Sixty-Six Dollars and Sixty-Seven Cents ($16,666.67) per month (the “monthly service fee”). An additional sum of Fifty Thousand Dollars ($50,000.00)(the “additional investment”) shall be available for the work outlined in Attachment A to this Amendment, titled “Updated Proposal” dated March 13, 2017. The work will be paid on a cost reimbursement basis. The total contract value of this Agreement from its initial date of signature is Four Hundred and Fifty Thousand Dollars ($450,000.00) (the “Consideration”). Contract payments shall not, under any circumstances, exceed the total contract value. Payment shall be made according to the following terms:

a. By the 30th day of each month unless otherwise specified by EFI, Contractor shall provide an invoice to the Contract Manager stating the monthly service fee payable with respect to such month. The invoice shall be sent together with the monthly progress report for the same month required by paragraph 10.

b. In addition, Contractor shall submit a separate invoice that provides a detailed accounting of all expenses for reimbursement per Attachment A. This shall include any invoices for expenses, proof of payment, and any other documentation reasonably deemed necessary by the Contract Manager.

Paragraph 8: Performance Measures: The paragraph 8, titled “Performance Measures,” shall be amended as follows. Line g shall be stricken and replaced with the following:

“g. Assistance to EFI at Medica 2016, Medica 2017, Cebit 2017, and Paris Airshow 2017 tradeshows and others if requested.”

In addition, a line “o” shall be added after line “n”, which shall read: “o. Creation/retention of 50 Florida-based jobs”

Paragraph 10: Monthly Reports:

The paragraph 10, titled “Monthly Reports”, shall be amended as follows:

Monthly reports shall include a separate reporting of performance results related to the additional investment described in paragraph 4. Specifically, Contractor shall track its progress towards establishing 13 leads, and developing relationships with 30 target industry companies and contact 1,000 companies via a sector specific marketing plan. This is in addition to all other performance objectives outlined in this Agreement.

This Amendment #1 shall be effective as of the date it is executed by the Parties. Unless amended by this agreement, all other terms of the existing Contract Agreement shall remain in effect.

IN WITNESS WHEREOF, by signature below, the Parties agree to abide by the terms, conditions and provisions of the original Agreement document, as amended, that is hereby effective on the day and year first written above.

Background and Purpose of the Proposal In the course of its restructuring process, Enterprise Florida, Inc. (EFI) has decided to increase the budget for the implementation of marketing activities in Europe. Thereby, Investment Promotion for Florida in the German-speaking countries shall remain a primary objective of EFI. EFI Germany was asked to provide its recommendations on how to utilize the allocated budget of a maxi-mum of US$ 50,000 in a meaningful way.

The following pages include our proposal on the implementation of selected action items to be conducted in the German-speaking countries by end of the calendar year 2017, in addition to the basic contract work. Action items include EFI Germany’s recommendations for sector-specific business development opportuni-ties and marketing campaigns. The short description of each item includes a brief explanation on the type of measure, why EFI Germany recommends the activity, the expected value for EFI and a cost estimate. The estimated costs for each action item is listed in the description below. Cost calculation for extended marketing activities in German-speaking countries:

The above budget includes all costs for the implementation of additional marketing activities. Details on how and why we recommend to conduct these measures are outlined below. Depending on EFI’s preferences, EFI Germany will be able to adapt the proposal, i.e. by adding additional events or sectors to be considered in the course of additional FDI promotion measures. Additional Operational Staff Resources for EFI Germany:

Alexander Bothmann is supervising project manager for additional activities in the German-speak-ing countries.

PM&P Senior Consultant Melanie Krautwald will back up and pro-actively support the additional marketing operations.

Furthermore, additional Frankfurt-based PM&P research staff will support additional FDI promo-tion efforts of EFI Germany.

(1) Trade Show visits EFI Germany recommends to visit additional trade shows that are not yet included in EFI Germany’s annual business plan for FY 2016/2017. The primary objective of attending additional trade shows is to identify and assist companies that are interested in an investment in Florida. The visit of industry trade shows proved to be an efficient and effective way to personally meet with FDI prospects. Pre-scheduled meetings at trade shows helps to establish and intensify business relationships with decision makers of companies that are interested in setting up business in Florida. The attendance of fairs typically allows EFI Germany staff to meet with a considerable number of potential FDI candidates within a relatively short period of time. The cost-benefit ratio of event visits is very positive. Therefore, the utilization of additional trade shows for the purpose of attracting FDI is a recommended ele-ment of EFI Germany’s extended business activities. Marketing measures related to trade show visits will comprise the following activities:

• Preparation of the event, including the pre-arrangement of meetings with decision-makers of attending companies,

• Participation in the pre-scheduled meetings during the event, including individual company consultations and submittal of information about Florida as a business location, etc.

• After the event: Individual follow-up and provision of additional requested information by email, as agreed on during the event,

• Prospects with concrete interest in Florida will be offered a follow-up meeting, i.e. in the EFI Germany office or at their corporate headquarters.

Recommended Trade shows: In addition to the industry events that are already included in our annual business plan, EFI Germany rec-ommends to attend the following 3 trade shows by end of 2017:

o Medtec Europe

Stuttgart, April 4 to 6, 2017 (http://www.medteceurope.com ) Medtec Europe is one of the leading B2B trade shows for medical devices and components in Europe, providing direct access to newest medical technologies and solutions along the entire supply chain of medical device development and production.

This show is particularly interesting for EFI as the show profile is directly linked with Florida’s life sciences industry.

More than 600 medical device manufacturers will exhibit at the show.

EFI Germany expects to meet with approx. 10 FDI prospects at the show, resulting in up to 2 new investment lead or projects in the next 6 months.

o transport logistic Munich, May 9 to 12, 2017 (www.transportlogistic.de/index-2.html) transport logistic is the world´s biggest trade show for logistics, mobility, IT and supply chain management. It takes place every two years in early May, at the Messe München exhibition center in Munich.

This show is particularly of interest for EFI as the event profile strongly relates to Florida’s leading role in logistics and transportation.

More than 700 logistics and transportation companies from the German-speaking countries will exhibit at the show.

EFI Germany expects to meet with at least 12 FDI prospects at the show, resulting in uo to 2 new investment lead or project in the next 6 months.

o Seatrade Europe Hamburg, September 6 to 8, 2017 (www.seatrade-europe.com/) Seatrade Europe is an international cruise and river cruise fair that is held every two years at the fairgrounds in Hamburg.

This show is particularly of interest for EFI as the event profile strongly relates to Florida’s cruise ship industry.

Up to 300 exhibitors will attend the event.

EFI Germany expects to meet with at least 8 FDI prospects at the show, resulting in up to 2 new investment lead or project in the next 6 months.

(2) Sector-specific direct marketing campaigns EFI Germany recommends to conduct customized and sector-specific direct marketing campaigns targeted at companies with a potential interest in doing business in Florida. The primary objective of conducting addional sector-sprecific direct marketing campaigns is to identify and assist companies that are interested in an investment in Florida. EFI Germany will prepare sector-specific

letters and e-mails to be addressed to the executive management of companies that could potentially be interested in investing in Florida. The implementation of sector-specific direct marketing campaigns is an expedient way to establish per-sonal relationships with decision makers of companies that are interested in setting up business in Florida. This approach helps EFI Germany to place sector-specific arguments within the right industry target group. Sector-specific direct marketing campaigns will comprise the following activities:

• Preparation of the mailing, including company research, identification of key decision makers, CRM maintenance, draft of cover letter, selection of sector-specific arguments and customiza-tion of cover letters, etc.

• Dispatch of mailing by both electronic and postal mail.

• After the mailing: Individual telephonic follow-up and provision of additional information, as per request of the company.

• Prospects with concrete interest in Florida will be offered a personal meeting, i.e. in the EFI Germany office or at their corporate headquarters.

EFI Germany recommends to conduct 3 sector-specific direct marketing campaigns by end of 2017, includ-ing the approach of companies in the following industry sectors:

o Aerospace Florida is an unquestioned leader nationally and internationally in the global aerospace industry. Florida consistently ranks in the top five U.S. states for aerospace industry em-ployment. By means of a well-prepared mailing campaign targeted at C-Suite Executives of leading aerospace companies in the German-spreaking countries, EFI Germany will remind corporate decision-makers on the advantages and business opportunities Florida’s aero-space industry has to offer.

EFI Germany will address a handpicked selection of at least 250 C-Suite Executives in order to promote Florida as a leading state in aerospace.

Each letter will include the latest sector trends, a brief overview on EFI’s service portfolio and individual arguments on why the addressee should have a closer look at Florida.

EFI Germany expects to receive several positive responses as an outcome of the sector mailing, resulting in at least 1 new investment lead or project in the next 6 months.

o Regional Division / Latin American headquarters Florida, and South Florida in particular, is a natural strategic location for Latin American regional headquarters. S. Florida benefits from its unmatched access to key destinations throughout the region, and a diverse pool of multicultural, multilingual professionals. To-day, more than 1,100 multinationals have operations in South Florida, making it an ideal choice for regional headquarters. By means of a well-prepared mailing campaign targeted at Managing Directors, Businesss Development Managers and Area Sales Managers of me-dium and large-sized industrial companies in German-spreaking countries, EFI Germany

EFI Germany will address a handpicked selection of at least 400 decision makers in order to promote Florida as a gateway to Latin America.

The company selection will cover various industry sectors with a focus on Florida’s targeted key industries (Life Sciences, Infotech, etc.)

All letters will include arguments on why the addressee should have a closer look at Florida as well as a brief overview on EFI’s service portfolio.

As an attachement each letter will include the latest Market Brief “Florida: GATE-WAY TO LATIN AMERICA & THE CARIBBEAN”.

EFI Germany expects to receive several positive responses as an outcome of the sector mailing, resulting in at least 2 new investment leads or projects in the next 6 months.

o Marine Industry

Florida’s marine industry is booming. The state has a very strong base of established ma-rine companies. With 1,200 miles of coastline, 12,000 miles of rivers and streams, and 3 million acres of lakes and ponds, Florida is naturally suited to support marine activities. Millions of Florida residents and visitors fish and boat in Florida’s waters, cruise from Flor-ida’s shores, and buy or sell goods shipped through Florida ports each year. By means of a well-prepared mailing campaign targeted at marine companies (manufacturers and ser-vice providers) headquartered in the German-spreaking countries, EFI Germany will high-light the advantages of Florida’s marine industry towards the right target group.

EFI Germany will address a handpicked selection of at least 350 decision makers (Managing Directors, Businesss Development Managers and Area Sales Managers) in order to promote Florida as an attractive location for businesses in the marine sector.

Each letter will include the latest sector trends, a brief overview on EFI’s service portfolio and individual arguments on why the addressee should have a closer look at Florida.

EFI Germany expects to receive several positive responses as an outcome of the sector mailing, resulting in at least 2 new investment leads or projects in the next 6 months.

(3) Event sponsorship and participation

EFI Germany suggests to be a sponsor of the following event:

o German-American Business Forum Dusseldorf, June 22nd, 2017 (www.da-wt.com)

The German-American Business Forum targets German companies seeking to establish and expand business relationships in the US, and focuses on consulting, discussions, as well as workshops addressing practical questions about doing business in the USA.

EFI Germany plans to pick a US$ 2,000 sponsorship in order to increase its visisbility and awareness among the attending participants.

As a result, EFI Germany expects to identify additional prospects and thus generate up to 2 additional investment leads or projects on behalf of EFI.
