This Agreement is made on 25th May 2015.,BetweenEVENT MANAGEMENT j.d.o.o., Linjan 955, 52204 Linjan, Croatia, OIB: 38450873196, represented by Tanja Bii Gani director hereinafter referred to as the ARTIST/ARTIST MANAGEMENTandPRIMERA obrt, vl. Snjeana Deli, Jasenice bb, Mostar, Bosnia and Herzegovina, PIB Number: 4328009550003, represented by owner Snjeana Deli (JMBG: 1911977158555), hereinafter referred to as the PROMOTER0Preliminary

This Agreement incorporates by reference the performance of IMPERIAL RUSSIAN BALLET, the ARTISTWHEREBY THE FOLLOWING IS AGREED:1 Engagement

1.1 The Artist management engages the Artist and the Artist agrees, in respect of the in-concert performance of IMPERIAL RUSSIAN BALLET THE SWAN LAKE (Artist) at the (Venue) and on the dates specified below (Engagement).Date City Venue Country Performance20thJune 2015 Banja Luka Open Air Bosnia and Herzegovina Swan Lake at 20:30h1.2 The Artist management agrees to insure the contract and performance of the ensemble of the Artist.

1.3 The Services shall comprise the following:

a) procuring the attendance of the Artist (Ensemble) at the Engagement;

b) the duration of the performance will be a minimum of 120 minutes.

c) programme of THE SWAN LAKE to be performed according to ARTIST choice.

d) advising the Promoter on promotional activities in connection with the Engagement; e) providing the Promoter with artwork approved by the Artist for the purpose of advertising and promoting the Engagement;f) advising the Promoter in relation to the artistic elements of the Engagement in accordance with the Promoters obligations to the Artist in respect of the same;1.4 The Artist management grants to the Promoter the right to use the Artists name and likeness to promote the Engagement via the Internet together with the right to advertise the Engagement on the website www.imperialballet.eu

1.5 The Artist shall appear, if requested by the Promoter, at one or more PRESS conference upon arrival in the city of the Engagement, and grant a minimum of two exclusive interviews to a TV and a Print partner of each concert. Such interviews to be held after the PRESS conference, in a nearby separate room. Artist will require a suitable chair, a table and a TV monitor for the Artists use. The Promoter shall comply with the Artist's reasonable requests in relation to the conduct of such PRESS conference and interview. It is subjected to ARTIST approval.

1.6 Artist will meet with Sponsors just prior to PRESS Conference. Artist will meet and greet Sponsors and limited number of guests Post-Performance. It is subjected to ARTIST approval.

The Promoter may not announce, advertise or place tickets on sale for the Engagement unless and until the Promoter has executed and delivered this Agreement to the Artist or the Artist's duly authorised representative without alteration or modification. 1.7.Artist management will ensure Symphonic orchestra and the conductor that will be enjoyed in the performance of ballet The Swan Lake. Which Symphonic orchestra and the conductor TBC.1.8.The expenses that will arise because of engaging the Symphonic Orchestra and conductor will be fully paid by the Promoter. The invoice will be issued to the Promoter at the latest 2 (two) weeks before performance.

1.9.The Artist managements obligation is to ensure the itinerary of rehearsals of the Orchestra and the ballet ensemble on the 19th and 20th June 2015.2 Promoters Obligations2.1 The Promoter shall promote, present and publicise the Engagement to a first class standard at its sole cost and expense.

2.2 The Promoter shall obtain at its sole cost and expense all work permits for the Artist and all other persons engaged for the purposes of the Engagement.

2.3 The Promoter shall obtain at its sole cost and expense all government and public authority permissions, licences and consents and any and all other legal, administrative or other formalities as may be required in connection with the Engagement.

2.4 The Promoter shall provide at its sole cost and expense the following, all in accordance with the terms of this agreement:

(a) Complete promotion of the performance (artwork, flyers, Billboards, radio, TV and newspaper) (b) To secure the Venue (c) To make the Ticketing through its own ticketing system, through whom will the tickets be sold if there is a ticket sales.

(d) To provide Security Company that will be engaged for the performance. (e) All other materials and services reasonably necessary for the smooth running of Engagement (including without limitation the services of runners and venue supervisors);(f) To provide accommodation with full board (from lunch on 19th to breakfast on 21st June 2015) for 50 fifty persons (the rooming list TBC) at the hotel Bosna in Banja Luka on 19th, 20th and 21st June 2015.

(g) Complete production according to Production Rider2.5 The Promoter shall solely be responsible for:

(a) the operation of the Venue and of any operating personnel including but not limited to stage hands, police, ushers, ticket takers and security personnel;

(b) controlling any entrances to or exits from and passages within the Venue, including doors, stairways and corridors into, through and out of the Venue;(c) ensure the parking and security for the bus and truck and with scenography during the stay in Banja Luka, Bosnia and Herzegovina.3 The financial terms3.1 The Promoter shall pay to the Artist management:

a) Artist Fee / Performance:

10.000 EUR

b) Artist Fee / 3 rehearsals:

5.000 EUR

c) Bus transportation:

500 EUR

d) Visas expenses:

840 EURe) Expenses of the truck for scenography: 1.200 EUR

f) Ballet floor expenses:550 EURPayment shall be made by direct bank transfer to the following bank account:EVENT MANAGEMENT j.d.o.o.Linjan 955, 52 204 Linjan, HrvatskaSG - Splitska banka d.d.SWIFT:SOGEHR22IBAN:HR81233000311530713894 Name & Likeness Rights4.1 The Artist management grants to the Promoter the right to use the Artist's name and approved photographs, likenesses and other materials to publicise and promote the Engagement, save that the Promoter shall not have the right under this Agreement to use the Artist's name and likeness to promote the Engagement via the Internet (which Internet rights are not controlled by the Artist or Management), save for on-line ticket sales.

4.2 The Artist management grants to the Promoter the right to use the Artist's name and approved photographs, likenesses and other materials in the programme for the Engagement.

4.3 The Artist and Artist management shall procure that the Promoter is able to, and the Promoter shall acquire, all approved artwork materials for the programme for the Engagement and other publicity and promotional materials only from suppliers of the same nominated and approved by the Artist management.(a) Promoter shall be entitled on a non-exclusive basis to enter into non-competing local sponsorship arrangements in respect of the Engagement provided, only and only with the written consent of the Artist management.(b) manufacturer or distributor of firearms is not allowed to have any part on this agreement;(c) the agreement for the sponsorships and patronage will be arranged between parties with a special Addendum to this contract5. TV Rights

Artist management grants NO TV RIGHTS i)TV rights limited to the territory of the Bosnia and Herzegovina if there will be will arranged with a special Addendum to this contractii) ALL RIGHTS RESERVED for the ARTIST MANAGEMENT6. Cancellation for Force Majeure6.1. In the event that the Engagement is prevented or rendered impossible by the death, injury, illness or incapacity of the Artist, a bona fide act or regulation of any public authority, an act of God, a civil or terrorist action, a strike or any other similar or dissimilar cause beyond the reasonable control of the Promoter and the Artist (Force Majeure), the Artist management or the Artist may cancel the Engagement.

6.2. In the event that the Engagement is cancelled for Force Majeure, the Artist and the Artist management shall use their reasonable endeavours to reschedule the Engagement.

6.3. In the event that the Engagement is cancelled for Force Majeure and cannot be rescheduled the Artist shall promptly return to the Artist management the paid fee.

7. Cancellation for Breach7.1 Either party may terminate this Agreement and, without prejudice to any other right or remedy, cancel the Engagement with immediate effect by notice in writing to the other party on or at any time after the occurrence of any of the following events:

i. a material breach by the other party of any of its material obligations under this Agreement which (if the breach is capable of remedy) it has failed to remedy within 30 days after receipt of notice in writing giving particulars of the breach and requiring the breach to be remedied; or

ii. the other party is the subject of any judgment or order made against it which is not complied with within 7 days or is the subject of any execution, distress, sequestration or other process levied upon or enforced against any part of its undertaking, property, assets or revenue.

8. Public Liability Insurance8.1. Without limitation to or diminution of the Promoter's obligation to indemnify the Artist as provided in this Agreement, the Promoter shall carry and maintain a comprehensive general public liability insurance policy and a workers' compensation/employer's liability insurance policy covering all personnel involved in the production or presentation of the Engagement. 8.2. The Promoter shall ensure that all insurance policies affected in accordance with the terms of this Agreement shall be valid and enforceable and issued by financially sound and responsible insurance companies authorised to do business in the country in which the Engagement takes place. 9. Confidentiality9.1 The Promoter acknowledges and agrees that all information disclosed to the Promoter or any of its directors, employees or contractors in relation to the Artist management or the Artist, the Agreement and the Engagement is confidential, has been disclosed to it on a confidential basis and any disclosure by the Promoter or its directors, employees or contractors of such information is potentially extremely damaging to the Artist and may cause the Artist irreparable loss and/or damage. Consequently, the Promoter agrees and undertakes not to disclose to any third party (save for professional advisers and as may be required by a court of law) any such information at any time unless first agreed by the Artist management and the Artist.

9.2 The Promoter acknowledges that it is the Promoter's duty to protect and preserve the image and reputation of the Artist and to maintain excellent public relations on the Artist's behalf. Therefore, in the event of any cancellation or postponement of the Engagement for any reason, the Promoter shall not release any information or statement to the public, the PRESS or any other person, firm or company concerning the reason for any such cancellation or postponement without obtaining the Artist's prior written consent of the exact language of any such information or statement.

9.3 The provisions of this Clause 0 shall survive termination of this Agreement.10. Miscellaneous10.1 Nothing in this Agreement shall constitute an agency, partnership or joint venture between the parties hereto.

10.1.1 Except as expressly provided herein, neither party shall be entitled to assign the benefit of this Agreement without the prior written consent of the other.

10.1.2 This Agreement together with any documents referred to in this Agreement constitute the entire agreement between the parties relating to the subject matter of this Agreement and supersedes all previous such agreements.10.1.3 No variation of this Agreement shall be valid unless it is in writing and signed by or on behalf of each of the parties.10.1.4 The failure to exercise or delay in exercising a right or remedy under this Agreement shall not constitute a waiver of the right or remedy or a waiver of any other rights or remedies and no single or partial exercise of any right or remedy under this Agreement shall prevent any further exercise of the right or remedy or the exercise of any other right or remedy.10.1.5 The rights and remedies contained in this Agreement are cumulative and not exclusive of any rights or remedies provided by law.10.1.6 All disputes arising under this Agreement shall be governed by the laws of the Republic of Croatia and the parties shall submit to the non-exclusive jurisdiction of the courts of the Republic of Croatia.
