    ARTICLE1:NAME,ORGANIZATION,LOCATION

    1.1 ThenameoftheorganizationshallbeCARPChapter48SouthFraser,BC.1.2 TheChaptershallhaveaBoardofDirectors,hereinafterreferredtoastheBoard,

    consistingofnotmorethantwelve(12)members.AnExecutiveCommitteecomprisedof

    aChair,FirstViceChair,SecondViceChair,TreasurerandSecretaryshallbeelectedfrom

    amongtheBoardmembers.TheimmediatePastChair,ifavailable,shallbeanonelected,ex

    officio,andvotingmemberoftheBoardandtheExecutiveCommitteeforaperiodofuptotwoyears.

    1.3 TheChaptershallbelocatedatanaddressinBritishColumbiawithinthegeographicboundaries

    oftheChapterasdeterminedbytheBoardofDirectorsofCARPChapter48SouthFraser,BC.

    ARTICLE2: DEFINITIONSANDABBREVIATIONS

    2.1 Thefollowingunderstandings,definitionsandabbreviationsareused:

    2.1.1 CARPisanational,nonprofit,nonpartisanassociationcommittedtoadvocatingforA

    NewVisionofAgingforCanadawiththemission*toadvancetheinterestsofCanadians

    astheyage.(*RefertotheNationalCARPMissionStatementonpage9).

    2.1.2 ChaptermeanstheCARPChapter48SouthFraser,BCwhichincludesbutisnotlimited

    toAbbotsford,LangleyCity,andtheTownshipofLangley.

    2.1.3 AMemberingoodstandingofCARPChapter48SouthFraser,BCisanindividualwho

    haspaidtheannualmembershipfeeassetoutbytheCARPNationalOffice;herein

    referredtoasMember(s).

    2.1.4 AnAssociateMemberistheindividualspouse/partnerwhosharesahouseholdwitha

    ChapterMemberingoodstanding,andwhoisacceptedasaMemberoftheChapter.

    2.1.5 BoardshallrefertotheCARPChapter48SouthFraser,BCBoardofDirectors

    comprisedofMembersandAssociateMembersoftheChapterwhoareelectedas

    Directorsinaccordancewiththesebylaws.

    2.1.6 OfficerreferstothepositionsoftheChapterChair,FirstViceChair,SecondViceChair,

    Treasurer,SecretaryandimmediatePastChair,whichpositionsconstitutetheExecutive

    CommitteeoftheChapter.

    ARTICLE3: OBJECTIVES

    3.1 Tosupport,promote,organize,sponsor,ortakepartinactivitiesthatarewithinthemissionof

    CARPandinthebestinterestsofMembers.

    3.2 ToprovideameansthroughwhichMemberscanengageinmeaningfulcommunityservice

    activitiesandsustainaproductiverelationshipwiththeCARPNationalOffice.

    3.3 TohelpfosterequalityofopportunityforagingCanadiansbypromotingtheircontinuedgrowth

    anddevelopment,selfrespect,selfconfidenceandpurpose;byencouragingtheirparticipation

    incontemporarylifeandbystimulatingpublicawarenessoftherightsandinterestsofanaging

    populationandrecognitionofitspotential;

    3.4 TodevotetheenergiesoftheChaptertofurtheringitsgoalsofadvancingandimprovingthe

    wellbeingofagingCanadians;

    3.5 Tocooperatewithothernonpartisangroupsinadvocatingformeasureswhichmaydirectlyor

    indirectlyadvanceandprotecttherightsandinterestsofCanadiansastheyage;

    3.6 ToinvestigateandnegotiatebenefitswhichmaybeavailabletoallMembers;

    3.7 TocarryonwithoutpurposeofgainforanyMember.Anyprofitsorotheraccretionstothe

    Chaptershallbeusedsolelytopromoteitsobjectives.

    ARTICLE4:

    MEMBERSHIP

    &

    GOVERNING

    AUTHORITY

    4.1 AnypersonwhoisingoodstandingwithinCARPandwholiveswithintheChapterboundaries

    shallbedeemedtoqualifyforChaptermembershipuponpaymentoftheannualmembershipfee

    setbytheCARPNationalOffice.

    4.2 FailureofanyMembertomaintainmembershipingoodstandinginCARPshallautomatically

    resultintheterminationofsuchmembershiporassociatemembershipintheChapter.

    4.3 AnAssociateMembershallhavethesamerightsandprivilegesasaMember.He/sheiseligible

    toholdanelectedposition,tochaircommittees,andtovote.

    4.4 EachMemberandAssociateMembershallbeentitledtoonevoteoneachmattersubmittedtoa

    voteoftheChaptermembership.

    4.5 AtaGeneralorSpecialMeetingofthemembership,aproxyvotebyaMemberorAssociate

    MembermaybeawardedtoanotherMemberorAssociateMemberingoodstandingifitis

    witnessedinwriting.ThisproxyvotewillallowthedesignatedMemberorAssociateMemberto

    speakandvoteasdirectedand/orinthebestinterestsoftheMemberorAssociateMember

    awardingtheproxyvote.

    4.6 AtaGeneralorSpecialMeetingofthemembership,anyMemberorAssociateMembermaycast

    amaximumoftwo(2)witnessedandwrittenproxyvotes.

    4.7 ThemembershipisthegoverningauthorityoftheChapter.AmajorityvoteofalltheMembersor

    AssociateMemberspresentorrepresentedbyproxyatanyGeneralorSpecialMeetingshall

    determinetheoutcomeofanyresolutionorissue,exceptforaBylawAmendmentwhichshallrequireatwothirds(2/3)majorityvoteofalltheMembersandAssociateMemberspresentor

    representedbyproxyatthemeeting.

    4.8 WhentheChapterisnotinaGeneralorSpecialMeeting,theChapterBoardshallconductthe

    ordinarybusinessoftheChapterandshallmakedecisionsandpassresolutionsregardingissues

    whichrequireChapterattention,basedonsimplemajorityvoteofthoseBoardMembersin

    attendanceattheBoardMeeting.(ReferalsotoClauses6.5,7.7,and8.7).

    4.9 TheBoardmaydelegatedecisionmakingresponsibilitybymajorityresolutiontotheExecutive

    CommitteebetweenmeetingsoftheBoard.(ReferalsotoClauses2.1.6and6.7).

    ARTICLE5: FISCALYEAR

    5.1 ThefiscalyearoftheChaptershallendonDecember31stofeachyear.

    ARTICLE6: BOARDDIRECTORS,COMMITTEES,OFFICERSANDDUTIES

    6.1 TheDirectorsoftheChaptershallbetheBoardmemberselectedbytheMembersandAssociate

    MembersattheAnnualGeneralMeeting(AGM)ofthemembership.EachDirectorshallhold

    officefornotmorethanthree(3)consecutivetermsoftwo(2)yearsperterm.(Referalsoto

    Clauses7.4and7.6).EachDirectorshallholdofficeuntilasuccessoriselected.

    6.2 ShouldanyindividualDirectornotattendandparticipateinBoardmeetingsformorethanthree

    (3)successivemeetingswithoutpriorauthorizationoftheBoard,itwillbedeterminedthat

    he/shehasabandonedhis/herseatontheChapterBoard.TheBoardwillnotifythepersonof

    thisstatusandisauthorizedtoappointanotherMemberorAssociateMembertothisvacant

    positionifnecessary.TheappointmentofareplacementDirectormustbebroughtforwardfor

    ratificationatthenextAGMwhentheDirectorsforthenexttermarevoteduponbythe

    membership.

    6.3 ThenewBoardwillmeetasquicklyaspossibleaftertheAGMandelecttheChaptersOfficersfor

    thefollowingyear.(ReferalsotoClause7.2).TheoutgoingChairwillberesponsibleforcalling

    thisfirstmeeting,andshallchairit.

    6.4 AvacancyinanyDirectororOfficerpositionmaybefilledbyappointmentoftheBoard,subject

    totheapprovaloftheChaptermembershipatthenextAnnualGeneralmeetingforthenext

    term.6.5 TheBoardshallpromptlyimplementresolutionsmadeataGeneralorSpecialMeeting,facilitate

    theChaptersoperationsandevents,andsuperviseChaptermattersonbehalfofthe

    membershipbetweenmeetingsoftheChaptermembership.

    6.6 TheBoardwillformsuchcommitteesasmaybeneededfromtimetotimetocarryoutthe

    activitiesoftheChapter.AmemberoftheBoardshallchaireachcommitteeappointedbythe

    Board.MembershiponsuchcommitteesmaybedrawnfromthegeneralChaptermembership.

    6.7 TheOfficersoftheChaptershallbetheChair,FirstViceChair,SecondViceChair,Treasurer,

    SecretaryandtheimmediatePastChair.TogethertheseOfficersconstitutetheExecutive

    CommitteeoftheChapterwhichwillconducttheBoardauthorizedand/oranyemergency

    businessoftheChapterbetweenBoardmeetings.(ReferalsotoClauses2.1.6and4.9).

    6.8 TheBoardChairshallbetheChiefExecutiveOfficeroftheChapterandshallseethatall

    resolutionsoftheBoardandthemembershiparecarriedintoeffect.TheChairshallpresideat

    allGeneral,BoardandSpecialMeetings.TheChairshallalwaysactinconsultationwiththe

    Boardand,asappropriate,withallmembersataGeneralorSpecialMeeting.TheChairwillvote

    onallmeetingresolutions.(ReferalsotoClause9.6).

    6.9 TheFirstViceChairshallassumethedutiesoftheChairinhis/herabsence.IftheChairisunable

    tocarryouthis/herduties,theFirstViceChairshallassumetheofficeofChairwhenassignedby

    theBoardand/orforthebalanceofhis/herterm.

    6.10 TheSecondViceChairshallassumethedutiesoftheFirstViceChairinhis/herabsence.Ifthe

    FirstViceChairisunabletocarryouthis/herduties,theSecondViceChairshallassumethe

    officeoftheFirstViceChairwhenassignedbytheBoardand/orforthebalanceofhis/herterm.

    6.11 TheSecretaryshallrecordtheminutesofallGeneral,BoardandSpecialmeetingsandshall

    distributecopiestoallmembersoftheBoard,andthegeneralmembershipasappropriate.The

    SecretaryshallberesponsibleformaintenanceofrecordsoftheChapter.

    6.12 TheSecretarywhendirectedandinconsultationwiththeBoardshallgivewrittennoticeforallGeneral,Special,Board,andExecutiveCommitteemeetings.TheSecretaryshallprepareand

    circulateanagendaandmaterialsrequiredforeachmeetingtoallappropriateMemberswithin

    areasonabletimeframepriortoeachmeetingbyphone,electroniccommunicationormailto

    his/herstreet,phone,electronicorotheraddressesastheyappearontherecordsoftheChapter.

    Ifmailed,suchnoticeshallbedeemedtobedeliveredwhendepositedintheCanadianMailina

    sealedenvelopesoaddressedwithpostagethereonprepaid.

    6.13 TheTreasurershallkeepfullandaccurateaccountsofreceiptsanddisbursementsinbooksbelongingtotheChapterandprovideareportofsametoeachGeneralandBoardmeetingas

    wellastotheCARPNationalOffice.TheTreasurershallkeepfinancialrecordsinaccordance

    withtheguidelinesandChartofAccountsrequiredbytheCARPNationalOffice.TheTreasurer

    shalldepositallmoniesandothervaluableeffectsinthenameandtothecreditoftheChapterin

    suchfinancialinstitution(s)asmaybedesignatedbytheBoard.

    6.14 ThesigningofficersoftheChaptershallbeanytwo(2)ofthefollowingOfficersontheChapters

    ExecutiveCommittee:Chair,FirstViceChair,SecondViceChair,Treasurer,andSecretary.

    6.15 TheimmediatePastChairshallnormallyactasChairoftheNominatingCommittee.

    ARTICLE7:

    BOARD

    OF

    DIRECTORS

    7.1 ThenumberofDirectorsoftheChapter,includingtheOfficersshallconsistofnotlessthanfive

    (5)andnotmorethantwelve(12).

    7.2 TheChair,FirstViceChair,SecondViceChair,Secretary,andTreasurershallbeelectedannually

    bytheBoardasOfficersoftheChapter.(ReferalsotoClause6.3).

    7.3 TheimmediatePastChairshallbeanonelected,exofficio,andvotingmemberoftheBoardfor

    aperiodofuptotwo(2)yearsfollowinghis/herlasttermasChair,ifavailable.(Referalsoto

    Clause1.2).

    7.4 TheBoardshallbeelectedattheAnnualGeneralMeeting.Uptohalfofthemembersofthe

    BoardshallbeelectedforatwoyeartermonevenyearsandhalfoftheBoardmembersshallbeelectedforatwoyeartermonoddyears.

    7.5 BoardandOfficervacancieswhicharisebetweenAnnualGeneralMeetingsshallbefilledbya

    majorityresolutionoftheBoardtoappointaMemberorAssociateMembertothepositionof

    Directorand/orOfficertoservefortheunexpiredtermunlessthevacancyoccurswithintwo(2)

    monthsofanupcomingAnnualGeneralMeeting,inwhichcasethevacancywillbefilledatthat

    meetingandaccordingtotheproceduresoutlinedinClause6.1.

    7.6 MembersoftheBoardmaystandforreelectionandmayservefor,atmost,three(3)

    consecutivetermsoftwo(2)years.

    7.7 TheBoardshallberesponsibleforthecontrolandmanagementoftheaffairs,propertyand

    interestsoftheChapter,forkeepingtheNationalCARPOrganizationinformedofallactivitiesof

    theChapter,forcomplyingwithallreportingrequirementsoftheCARPNationalOffice,for

    guidingtheChaptersothatthevariousprovisionsoftheNationalArticlesofIncorporation,

    includingthepurposeforwhichtheChapterwasorganizedassetforthherein,arecomplied

    with,andformakingrecommendationsandsuggestedprograms.

    7.8 MeetingsoftheBoardshallbeheldatleastthree(3)timeseachyearasscheduledorwhen

    calledeitherbytheChairorbyonethird(1/3)ofthenumberofDirectorsatsuchtime,place

    andmannerasmaybespecifiedinthenoticethereof.

    7.9 NoticeofanymeetingoftheBoardofDirectorsshallbegiventotheDirectorsatleastfive(5)

    dayspriortothemeetingbynoticedeliveredpersonallyorbyphone,electroniccommunication

    ormailtohis/herstreet,phone,electronicorotheraddressesastheyappearontherecordsof

    theChapter.Ifmailed,suchnoticeshallbedeemedtobedeliveredwhendepositedinthe

    CanadianMailinasealedenvelopesoaddressedwithpostagethereonprepaid.

    7.10 AnyDirectormaywaivenoticeofanymeeting.TheattendanceofaDirectoratanymeetingshallconstituteawaiverofnoticeofsuchmeeting,exceptwhereaDirectorattendsameetingforthe

    expresspurposeofobjectingtothetransactionofanybusinessbecausethemeetingisnot

    lawfullycalledorconvened.

    7.11 TheBoardmayenactBylawsorpassresolutionstofulfilltheChaptersobjectivesand

    obligations.ThesewillbepresentedtothemembershipforratificationatthenextAnnual

    GeneralMeeting.

    ARTICLE8: MEETINGS

    8.1 Thereshallbeatleastone(1)GeneralMeetingofthemembershipineachcalendaryearata

    timeandlocationtobedeterminedbytheBoard.IfmorethanoneGeneralMeetingisheld,oneofthemeetingsshallbedesignatedbytheBoardastheAnnualGeneralMeeting.Therestwillbe

    knownasSpecialMeetings.

    8.2 TheSecretaryshallgiveadequateandappropriatenoticeforeachGeneralorSpecialMeetingto

    theChaptermembershipbyphone,electroniccommunicationormailtoeachMembersor

    AssociateMembersstreet,phone,electronicorotheraddressesastheyappearontherecordsof

    theChapter,atleastthirty(30)dayspriortothemeeting.Ifmailed,suchnoticeshallbedeemed

    tobedeliveredwhendepositedintheCanadianMailinasealedenvelopesoaddressedwith

    postagethereonprepaid.

    8.3 Anyresolution,exceptforaBylawsAmendmentwhichrequiresatwothirds(2/3)majorityvote

    ofthemembership(RefertoClauses4.7and9.5),presentedataGeneralorSpecialMeetingshall

    bedecidedbyasimplemajorityvote(50%+1)oftheMembersandAssociateMembersofthe

    Chapteringoodstandingwhoareinattendanceatthemeeting.Thisincludesproxyvotes.(Refer

    toClauses4.5and4.6).

    8.4 ThebusinessoftheAnnualGeneralMeetingshallincludethepresentationofReportsbythe

    ChairandbytheTreasurer,anyproposedchangestotheChapterBylawsaswellasReportsof

    Committees,andtheelectionoftheBoardofDirectors.

    8.5 IntheabsenceoftheChair,theFirstViceChairshallbetheChairofaGeneralorSpecialMeeting.

    IntheabsenceofboththeChairandFirstViceChair,theSecondViceChairshallbetheChairof

    aGeneralorSpecialMeeting.IntheabsenceoftheChair,theFirstViceChair,andtheSecond

    ViceChair,theattendantmembershipshallelectaMemberorAssociateMemberpresentto

    chairthemeeting.

    8.6 ThequorumforaGeneralorSpecialMeetingshallbetwenty(20)Membersand/orAssociate

    Memberswhoarepresentatthemeeting.Thisdoesnotincludeproxyvotes.

    8.7 ThequorumforameetingoftheBoardshallbeamajority(50%+1)ofDirectors.

    8.8 ASpecialGeneralMeetingoftheChaptershallbecalledbytheBoardupontherequestofatleast

    ten(10)Membersand/orAssociateMembersoftheChapter.Thisrequestshallbeinwritingand

    willspecifythereasonsfortherequest.SuchaSpecialMeetingofthemembershipshallbeheld

    withinfortyfive(45)daysofreceiptbytheBoardoftherequestandtheonlyitemofbusiness

    shallbetodealwithanyissuesraisedbytherequest.

    8.9 NonmembersmayattendaGeneral,SpecialorBoardmeeting.Theyshallhavevoicebutno

    vote.

    8.10 AnyChapterMemberorAssociateMembermayattendaBoardorExecutiveCommittee

    meeting.Atthesemeetings,theyshallhavevoicebutnovote.

    8.11 TheBoardmayinviteguestspeakerstoaddressGeneral,SpecialorBoardmeetings.

    8.12 AllChaptermeetingswillbeconductedinaccordancewithRobertsRulesofOrder.

    ARTICLE9: VOTING

    9.1 AMemberoranAssociateMemberoftheChapteringoodstandingshalleachbeentitledtoone

    (1)voteonanyresolutionpresentedataGeneralorSpecialMeeting.

    9.1.1 AMemberoranAssociateMemberoftheChaptermustbeaMemberorAssociateMemberoftheChapteringoodstandingatleastthirty(30)dayspriortoadulycalled

    andconstitutedSpecialorGeneralMeetingoftheChapterinordertovoteatthatSpecial

    orGeneralMeeting.

    9.2 ProxyvotesareallowedatGeneralandSpecialmeetingsinaccordancewithClauses4.5and4.6.

    ProxyvotesarenotallowedatBoardorExecutiveCommitteemeetings.

    9.3 VotingonaresolutionataGeneral,Special,Board,orExecutiveCommitteemeetingshall

    normallybebyshowofhandsunlessotherwiserequestedbythemembershippresent.9.4 AttheAnnualGeneralMeeting,theelectionofBoardDirectorsshallbebysecretballotunlessa

    MemberorAssociateMemberisdeclaredelectedbyacclamation.9.5 ThevoteonaresolutiontoamendtheChapterBylawsrequiresanaffirmativevotebyatleast

    twothirds(2/3)ofthemembershippresentataGeneralorSpecialMeeting.Acountofhands

    shallbemade,announcedtothemembershippresent,andrecordedintheminutes.

    9.6 Intheeventofatievote,theresolutionisdefeated.ThisappliestoGeneral,Special,Board,and

    ExecutiveCommitteemeetings.

    ARTICLE10:COMMITTEES

    10.1 TheNominatingCommitteeshallconsistofatleastthree(3)Membersand/orAssociate

    MembersappointedbytheBoardofDirectorsatleastthree(3)monthspriortotheAnnual

    GeneralMeeting.

    10.1.1 TheNominatingCommitteeshallpreparealistofcandidatesfortheupcomingterm's

    DirectorsandpresentthislisttothemembershipforconsiderationattheAnnual

    GeneralMeeting.

    10.1.2 TheNominatingCommitteeslistofcandidatesandcandidatedescriptionswillbesentto

    theChaptermembershipbyphone,electroniccommunicationormailtoeachMembers

    orAssociateMembersstreet,phone,electronicorotheraddressesastheyappearonthe

    recordsoftheChapter,atleastthirty(30)dayspriortotheAnnualGeneralMeeting.If

    mailed,suchnoticeshallbedeemedtobedeliveredwhendepositedintheCanadianMail

    inasealedenvelopesoaddressedwithpostagethereonprepaid.

    10.1.3 InaccordancewithClause6.15,theimmediatePastChairshallnormallyactasChairof

    theNominatingCommittee.

    10.1.4 IntheeventtheimmediatePastChaircannotserveastheNominatingCommitteeChair,

    theBoardwillappointaNominatingCommitteeChair.

    10.1.5 TheChairoftheNominatingCommitteeisresponsibleforensuringthattheinformation

    onallpotentialDirectorCandidatesissenttoallChapterMembersandAssociate

    MembersinatimelyandappropriatemannerpriortotheAnnualGeneralMeeting.

    10.2 InaccordancewithClause6.6,theBoardwillformsuchcommitteesasmaybeneededfromtime

    totimetocarryouttheactivitiesoftheChapter.AmemberoftheBoardshallchaireach

    committeeappointedbytheBoard.Membershiponsuchcommitteesmaybedrawnfromthe

    generalChaptermembership.

    10.3 AnyChapterMemberorAssociateMembermayattendanyBoard,ExecutiveCommittee,or

    otherChapterCommitteemeetingexcepttheNominatingCommitteemeetings.AttheseChaptermeetings,MembersandAssociateMembersshallhavevoicebutnovote.

    ARTICLE11:CHAPTERRESTRICTIONS

    11.1 CARPandtheChapterare,andareintendedtoremain,independentorganizationsdevoted

    tofurtheringtheMission*ofCARPandtocarryingouttheobjectivessetforthinArticle3

    oftheCARPChapter48Bylaws.TheChaptersactivitiesshallbeconductedwiththeutmost

    observanceofethicalstandardsandproprietyofconduct.(*RefertotheNationalCARPMission

    Statementonpage10).

    11.2 TheNationalCARPConflictofInterestPolicy**willberespectedatalltimeswithregardsto

    nonpartisanactivity,personalgain,and/oranypossibleorperceivedconflict.AnyMember,

    AssociateMember,Director,orOfficermustdeclareapotentialconflictofinteresttotheChapter

    11.4 NeithertheChapternoranyofitsCommittees,Directors,Officers,Agents,orRepresentatives

    shallpermitorholdhimselforherselfoutasanagentorsolicitorofanyserviceofferedbyCARP

    toitsmembers.

    ARTICLE12:WITHDRAWALOFCHAPTERRECOGNITIONANDDISSOLUTION

    12.1 TheChaptershallbeorganizedandoperatedinconformitywiththepurposessetforthinArticle

    IIoftheNationalCARPByLawsandthepoliciesandstandardsformulatedbytheNational

    BoardofDirectorsofCARP.

    12.2 TheNationalBoardofDirectorsofCARPmaywithdrawrecognitionoftheChapterasalocal

    ChapterofCARPfor:i)Recurrentfailuretoconformtothenationalpoliciesandstandardsof

    CARP;orii)AfailureoftheChaptertocomplywithanyoftheprovisionscontainedinthe

    NationalorlocalChapterBylaws.

    12.3 SuchrecognitionshallbewithdrawnonlyafterinvestigationofthesituationbytheNational

    BoardofDirectorsofCARPallowingfordueprocess,andfullandappropriatedefensefromthelocalChapter.

    12.4 WithdrawalofChapterrecognitionshallbecomeeffectiveimmediatelyuponthedecisionbythe

    NationalBoardofDirectorsofCARP.Inaddition,notwithstandinganyotherprovisionsofthe

    Chapter,itsBylaws,ortheNationalBylawstothecontrary,afterwithdrawalorsuspensionof

    Chapterrecognition,allvotingrightsshallthereafterbevestedsolelyinCARP,theNational

    OrganizationMember.Thevotingrights,whichwouldotherwisebevestedintheindividual

    members,shallthereuponbegiventoCARP,theNationalOrganizationMember,whichwillhave

    therighttoremoveanyOfficerorDirector,withcause,atanytime.

    12.5 Uponthewithdrawalofitsrecognition,theChaptershallnot,withouttheexpresswritten

    consentofCARP,theNationalOrganizationMember,conductitsaffairs,orotherwiseidentifyor

    holditselfouttothepublicasalocalChapterorotheraffiliateofCARP.

    12.6 CARP,theNationalOrganizationMember,maylegallydissolveaChapteraftertheChapters

    recognitionhasbeenwithdrawnorafteraChapterhasotherwisevoluntarilydissolved.

    12.7 IftheChapterisdissolvedforanyreason,theassetsoftheChapterbecomethepropertyof

    CARP,theNationalOrganizationMember.

    ARTICLE13:RELATIONSHIPWITHOTHERORGANIZATIONSORASSOCIATIONS

    13.1 Holdingoffice,orbeingadirector,inanotherorganizationorassociationwhoseobjectivesand

    purposearesimilarorrelatedtothoseofCARPmayleadtoconflictwiththeresponsibilitiesofaChapterOfficerorDirectorandwithCARP,theNationalOrganizationMember.Aprospective,or

    currentChapterOfficerorDirector,shalldeclarethepotentialconflicttotheChapterBoardand

    theNationalOrganizationMemberforresolution.Failuretocomplywiththeprovisionsofthis

    articleshallbedeemedaviolationofboththelocalChapterBylawsandtheNationalCARPBy

    Laws,andshallrequiretheresignationofsuchpersonasanOfficerorDirectoroftheChapter

    afterdueprocess,andafullandproperhearing.

    ARTICLE14:AMENDMENTSTOTHEBYLAWS

    14.1 TheseBylaws,withtheexceptionofArticle12,maybeamendedbyatwothirds(2/3)majority

    voteofMembersandAssociateMemberspresentataGeneralMeetingoftheChapter.This

    includesproxyvotes.

    14.2 NoticeofanyproposedamendmentshallbegiveninwritingtotheSecretaryatleastfortyfive(45)dayspriortoascheduledGeneralMeetingandwillbecommunicatedtothemembershipat

    leastthirty(30)dayspriortotheGeneralMeeting.(ReferalsotoClause8.2)

    14.3 TheSecretaryshallreferanyproposedamendmenttotheNationalOfficeofCARPtoensure

    thatsuchamendmentisconsistentwithnationalpoliciespriortosendingittothegeneral

    OnemaynotactonbehalfofCARP,ordealwithCARP,inanymatterwhereoneisinaconflictof

    interest,orappeartobeinaconflictofinterest,noruseonesposition,officeoraffiliationwithCARP

    topursueoradvanceonespersonalinterests,orthoseofapersonnotedabove.

    Itisimportanttonotethata"conflictofinterest"mayexistifthedecisioncouldbe,orcouldappear

    tobe,influenced.Itisnotnecessarythatinfluencetakesplace.
