This module gives a comprehensive refresher of the law covering "Market Conduct" as spelt out in Part XII of the Securities & Futures Act 2001. The Financial Crisis This tutorial describes the unfolding of this watershed event, from the development of the crisis in the US subprime mortgage market to its spread across global markets and institutions. This course consists of 3 tutorials:

1. Dark Pools

This tutorial describes dark trading in detail, including its attraction to investors and traders. It also differentiates between the different types of dark pool operating in the marker, as well looking at some of the challenges facing the business model, not least the increased regulatory scrutiny.

2. Equities - Research & Valuation This tutorial focuses on the quantitative side of things. Ratio analysis, the subject of the first part of the tutorial, is one form of quantitative assessment. It provides a way of summarizing a large volume of financial accounting information into simple measurements. The second part of this tutorial looks at stock valuation models, beginning with the oldest and simplest method of valuing stocks - the dividend discount model - which equates the fundamental value of a stock to the present value of the stock's expected future dividends. The dividend discount model is regarded by many analysts these days as conservative and outmoded, although much of the intuition from the model is also embedded in other valuation models. Two of these - the discounted cash flow model and residual income model - are also covered in this tutorial. 3. Equity Portfolio Management - Risk & Return This tutorial looks at the fundamental concepts of expected return and risk (variance/standard deviation) in the context of equity portfolio management. Beginning with the idea of single stock risk, the tutorial then moves on to discuss risk in the context of a portfolio. The effect of correlation between stocks on a portfolio’s standard deviation is described in detail. The tutorial also looks at the marginal contribution of an individual stock to the overall risk of a portfolio, before concluding with an explanation of semi-variance, a downside risk measure that is used as an alternative to variance/standard deviation. On completion of this course, you will be able to:

• Describe the practice of dark pool trading, as well its attractions and drawbacks.

• Differentiate between the different types of dark pool operating in the market.

• Outline some of the challenges that dark pools face, including increased scrutiny from regulators.

• Separate a company's return on equity into a number of key financial metrics in order to identify where within the firm superior/inferior return is being earned.

1. Economic Indicators - An Introduction This tutorial provides an introduction to the use of economic indicators in evaluating the health of the economy. It explains the key jargon, and covers important issues such as the collection and publication of data, the compiling of index numbers, the calculation of growth rates, the use of indicators for comparison purposes, and the secrets and pitfalls in interpreting the indicators. 2. Economic Indicators - Inflation & Employment This tutorial looks at a number of inflation and employment indicators in detail, and describes how these reports filter through to affect the prices of various financial instruments. A number of real-life examples from recent years are included to demonstrate how inflation and employment data impact financial markets in practice. 3. Margin This tutorial looks at the three main types of margin: ownership margin, as used in the securities market, options margin, and futures margin. On completion of this course, you will be able to:

• Describe what economic indicators are, what they are used for, who publishes them, and who uses them.

• Outline the process for the collection, calculation, and publication of economic indicators.

• Use some basic numerical techniques for interpreting economic indicators.

Course Outline: This course consists of 3 tutorials: 1. Convertibles - An Introduction This tutorial looks at the most common types of convertibles and the motivations for issuing and investing in them. The mathematics of convertibles and their special provisions are also presented. 2. Contingent Convertibles (CoCos) This tutorial describes the key features of contingent convertibles and how these instruments are priced. The regulatory background and market development of CoCos are also outlined. 3. Convertibles - Introduction to Convertible Valuation This tutorial outlines how convertibles are priced and also the factors that influence their prices. On completion of this course, you will be able to:

• Define a convertible bond.

• Explain the mathematical terms associated with convertibles.

• Outline the special provisions that can be included in the terms of a convertible.

• List and describe the different convertible variants.

• Describe the key features of contingent convertible (CoCo) bonds, including 'trigger' points and pricing mechanisms.

This course consists of 3 tutorials:

1. Structured Products - An Introduction This tutorial describes the concept of structured products and examines the development of the market. Investor motivations, the basics of construction, and key risks are all investigated. 2. Structured Products - Major Types This tutorial explores the most popular types of structured product and some of the structures that are specific to particular asset classes. 3. Structured Products - Valuation & Risks This tutorial examines in more detail some of the key risks encountered by investors in structured products, and how the value of these products will vary as market parameters change. There is also an analysis of (constant proportion portfolio insurance (CPPI) and its use as an alternative to ‘classical’ principal-protected structures. On completion of this course, you will be able to:

• Explain the basics of structured products (SPs).

• Describe how the market for SPs has developed.

• Outline the lifecycle of a typical structured product.

• Understand why investors might use SPs as opposed to other instruments.

• Show how a simple SP is constructed and outline the key risks associated with SPs.

• Describe the common elements utilized in structured products across different asset classes.

• Outline the major structures used in specific asset classes.

• Explain the issues involved in establishing both the values for structured products and in calculating the sensitivities of those values to changes over time.

Speakers’ Profile

Ms Chee Wei-lin

Chee Wei-lin is the former Director of Training & Resource of a Singapore top-tier legal firm until April 2004. A lawyer by training, she was a former litigation partner of PK Wong & Advani. She has served as a Deputy Public Prosecutor and State Counsel within the Singapore Legal Service in the Ministry of Defence and Commercial Affairs Department. During her legal career of more than 13 years, Wei-lin has been involved in major commercial crime prosecutions, banking litigation, corporate and financial advisory work and commercial transactions. She regularly lectures on anti-money laundering and terrorist financing laws and guidelines for the Institute of Banking and Finance in Singapore and at in-house training programmes of banks and other financial institutions in Singapore. Organisations she has lectured at in recent years include Nanyang Polytechnic, PrimePartners Group, Bank of Taiwan, AMFraser Securities and Society of Remisiers Wei-lin holds a Master in Organisational Leadership from Monash University. She remains an Advocate and Solicitor of Singapore and is a Member on the Solicitor’s Rolls of England and Wales.

Dr Jeffrey C. K. Lim

Dr. Jeffrey C. K. Lim, certified Financial Risk Manager (FRM) and certified Professional Risk Manager (PRM), is currently the Managing Director of PI ETA Consulting Company, a Treasury & Financial Risk Management Consulting Company. A Chartered Scientist (C.Sci.), a Chartered Mathematician (C.Math.) and an elected Fellow of the Institute of Mathematics and Its Applications (IMA), U.K. (FIMA), Jeff earned his Ph.D. in Stochastic Financial Modeling from the University of Cambridge in England. Jeff’s research interest at Cambridge was in the area of Arbitrage Opportunities occurring in the Mispricing of Financial Options, and his original research culminated in the publication of his doctoral dissertation entitled: “Multi-period Mean-Variance Option Portfolio Strategies”. He has worked with American Express Bank, NatWest Markets (Hong Kong & Singapore) & Nomura International (UK)'s Dealing Rooms.

Mr Christopher Tan

Christopher has more than a decade of experience in the wealth management and financial planning industry. Professionally, he is a Certified Financial Planner and a member of the Financial Planning Association of Singapore. He is also a member of the Securities Investor Association; Singapore (SIAS) and sits on its management committee. Christopher is often quoted in publications for his expert opinion on financial matters as well as being interviewed on broadcast media. He has also spoken to hundreds of entities, both local and overseas, on financial planning issues. For his contributions, Asia Financial Planning Journal awarded Christopher the First Prize for the Financial Adviser Representative of the Year in 2005. Christopher is the CEO and Co-Founder of Singapore’s first fee-only independent financial adviser, Providend Ltd, for which he received the prestigious Most Promising Entrepreneur Award by the Asia Pacific Entrepreneurship Awards in 2009.

Mr Robert C S Tay

Mr Robert C S Tay is currently a Dealer’s Representative with UOB Kay Hian Securities Pte Ltd. He obtained a Bachelor of Arts Degree from the University of Singapore where he read Economics and Sociology and a MBA from the University of New South Wales, Australia. Mr Tay’s career in the financial sector spans 31 years of work experience in international currency and deposit broking, stock broking, investment management and securities research. Mr Tay is a frequent conference speaker on investment management and investment strategies. He has conducted investment courses and talks for The Singapore Exchange (SGX), Institute of banking and Finance (IBF), The National University of Singapore (NUS) and the Securities Investors Association of Singapore (SIAS). He is a member of the Education Committee of The SIAS and is the lecturer and examiner for the SIAS investment analysis program leading to The Certificate in Securities Research.

Mr Tolmas Wong

Mr. Wong is working currently as director and head of private client services for CIMB Securities (S) Pte. Ltd. The team provides research-based advisory services on the regional equity markets & other financial products to corporate, trust & HNWI clients. He started his career with UOB as an investment analyst & subsequently promoted to be fund manager for UIS, a closed-end fund of UOB Group. He made a career switch to the sell side when headhunted to join Citigroup Vickers Singapore & subsequently to Schroder Securities Singapore & G.K. Goh Stockbrokers as a senior institutional salesperson for regional equities. It was at G.K. Goh Stockbrokers that he revitalized the private clients team & become a team coach for new retail dealers after the firm is merged into CIMB Group. Mr. Wong is an adjunct professor at Singapore Management University, teaching in the master of science in applied finance program since 2008. He has conducted several investment training programs for the Institute of Banking & Finance, Singapore Human Resource Institute (Diploma in Investment), SGX Academy & Society of Remisiers. He has served as a member of the board of the CFA Society of Singapore for 14 consecutive years & stepped down in 2011 to focus on candidacy & university liaison work. He holds a bachelor’s degree in business administration from the National University of Singapore and a master’s degree in applied finance from Macquarie University. He is a CFA since 1993 & a CFP since 2003.

Mr Davy Young Davy Young retired as Director of Retail Business at DBS Vickers Securities, in March 2010. At DBS Vickers, he supervised a sales force of about 300 remisiers in their day-to-day trading activities, and was assisted by a support team of 6 staff members. He was the General Manager of Lum Chang Securities from 1990 to 2001, until it sold its business to DBS Vickers Securities. At Lum Chang Securities, he was responsible for the areas of operations, IT, Client Services, Training, HR and Admin. Davy was transferred to DBS Vickers Securities on completion of the sale. Since 1994, Davy has been actively involved in preparing candidates to sit the Module 1A exam (and its predecessor, the Paper I exam) on “Rules & Regulations for Dealing in Securities (SGX-ST Members)”. These courses were organised by the Institute of Banking & Finance (IBF), DBS Vickers Securities and private commercial schools. He has also taught many employees from local and foreign banks to prepare them to sit the Module 1B exam on “Rules & Regulations for Dealing in Securities (Non-SGX-ST Members)”. Many of the successful candidates in Module 1A (and Paper I) have joined the Industry as Trading Representatives over the years. He continues to teach on a freelance basis after his retirement. In 2003, the IBF engaged Davy to conduct a series of non-examinable bridging seminars on “Rules & Regulations for Dealing in Securities” to familiarize sales persons in stockbroking companies and banks with the Securities & Futures Act (SFA), in the transition from the repealed Securities Industry Act to the SFA. Davy obtained his BSc in Engineering (with Honours) from the University of Bath (UK) in 1970, the Trained Secondary Teacher’s Certificate (Australia) in 1971, and the MSc in Management Science from Imperial College, University of London (UK) in 1982. His earlier career was in the fields of education and training.
