WHEREAS, plaintiffs filed a putative class action complaint in this action
in Wayne County Circuit Court on or about December 28, 2005, which defendants
removed to this Court on January 13, 2006;
WHEREAS, plaintiff in Mager v. General Motors Corporation, et al.,
filed a putative class action complaint on February 17, 2006 in the United States District
Court for the Eastern District of Michigan, which this Court, by Order dated March 8,
2006 (Dkt. #20), consolidated with this action under the caption set forth above;
WHEREAS, plaintiff in Zielezienski v. General Motors Corporation, et
al., filed a putative class action complaint on December 22, 2005 in Palm Beach County
Circuit Court, which defendants removed to the United States District Court for the
Southern District of Florida, which the parties agreed by joint stipulation to transfer to
this Court pursuant to 28 U.S.C. § 1404(a), and which this Court, by Order dated May 25,
2006 (Dkt. #29), consolidated with this action under the caption set forth above;
WHEREAS, some or all of the complaints in the consolidated action (the
"Action") named as parties to the Action certain underwriters and selling agents of debt
securities; and

WHEREAS, on July 28, 2006, plaintiffs (hereinafter, together with
members of the putative class, "Plaintiffs") filed a Consolidated Amended Complaint (the
"Complaint") in the Action, naming as parties to the Action certain underwriters and
selling agents of debt securities attached hereto as Exhibit A (the "Tolling Defendants").
WHEREAS, the Tolling Defendants have executed copies of agreements
between themselves and the Defendants General Motors ("GM") and General Motors
Acceptance Corporation ("GMAC") under which GM and GMAC agreed to indemnify
and hold harmless each of the Tolling Defendants "from and against any and all losses,
claims damages and liabilities caused by any untrue statement or alleged untrue statement
of a material fact contained in" the registration statements and prospectuses identified in
the amended complaint (the "Indemnification Agreements");
IT IS HEREBY STIPULATED and AGREED, by and among counsel of
record for plaintiffs and the Tolling Defendants, that:
The Action shall be dismissed, without prejudice, as to each
Tolling Defendant, with each party to bear its own costs and attorneys' fees.
2. Plaintiffs reserve the right in their sole discretion, subject to the
provisions of Paragraph 7, below, to amend their complaint or to file another complaint
against the Tolling Defendants to restore the claims against each and all or any of the
Tolling Defendants, and each and all of the Tolling Defendants reserve the right in their
sole discretion, subject to those same limitations, to assert any counterclaims against
Plaintiffs.
3. If Plaintiffs file a complaint against one or more of the Tolling
Defendants arising out of or relating to the Action, or by motion join one or more of the
Tolling Defendants as a defendant in the Action, each and all of the Tolling Defendants

against whom Plaintiffs have restored the claims arising out of or relating to the Action
agree that any defenses based on laches, estoppel, statute of limitations or the passage of
time will be tolled as of December 22, 2005 and will be applied as though the action
against that Tolling Defendant was commenced as of December 22, 2005.
4. Other than as set forth herein, the Parties reserve all rights they
may have with respect to and in connection with the Action, and this Tolling Agreement
shall not be asserted or construed to be a waiver of any claim, right or defense of any
Party against any other Party. The Tolling Defendants reserve all of their rights, other
than as set forth herein, to make any and all appropriate motions, including, without
limitation, on the basis of personal jurisdiction, and to seek any other appropriate relief,
including but not limited to dispositive motions pursuant to Rule 12 of the Federal Rules
of Civil Procedure or otherwise.
This Stipulation and Order (the "Tolling Agreement") shall not
prevent Plaintiffs from obtaining discovery from each Tolling Defendant pursuant to the
Federal Rules of Civil Procedure to the extent discovery is not otherwise stayed in the
Action, and each Tolling Defendant agrees to respond to such discovery as if a party to
this litigation, subject to any Stipulation and Order entered by the Court and or any
Confidentiality Agreement executed by the parties. Nothing in this Tolling Agreement,
however, shall preclude or limit each Tolling Defendant's rights concerning, or
objections to, such discovery requests. This Paragraph shall not apply to any Tolling
Defendant with a good faith basis for asserting that it is not subject to the personal
jurisdiction of the Court.
6. This Tolling Agreement shall not be construed as an admission of
liability or wrongdoing by any Tolling Defendant or any infirmity by Plaintiffs. Other

than as set forth herein, by signing this Tolling Agreement, no Tolling Defendant waives
any right to object to or defend against the Action or any related action on any grounds,
including objections to the rights of Plaintiffs to bring such an action.
7. Plaintiffs may, in their sole discretion, exercise their rights, set
forth in Paragraph 2, above, to amend the Complaint or to file another complaint against
the Tolling Defendants to restore their claims against the Tolling Defendants, at any time
up until 30 days before the close of discovery in the Action or, if no close of discovery is
established, until 90 days before a scheduled trial. Notwithstanding that deadline,
thereafter, Plaintiffs may amend the Complaint or file another complaint against the
Tolling Defendants to assert such claims upon: (a) the initiation of bankruptcy
proceedings by GM or GMAC, voluntarily or involuntarily; (b) Plaintiffs' reasonable
belief that GM's financial condition or GMAC's financial condition would preclude GM
or GMAC from fully complying with all its obligations under the Indemnity Agreements;
(c) the dismissal of Plaintiffs' claim against GM or GMAC under Section 12(a)(2) of the
Securities Act upon a motion for summary judgment or for judgment on the pleadings on
the ground that GM or GMAC are not statutory "sellers;" or (d) the discovery of facts
that tend to defeat the availability of indemnification for any or all of the Tolling
Defendants. If Plaintiffs file a new complaint against the Tolling Defendants instead of
amending the existing Complaint, the new complaint shall be filed in the United States
District Court for the Eastern District of Michigan or in the United States District Court
for the Southern District ofNew York and shall not be filed in any other forum.
8. Should Plaintiffs exercise their rights as set forth above in
Paragraph 7 by amending the Complaint, Plaintiffs acknowledge that the Tolling
Defendants would then be entitled to move to dismiss the claims asserted against them, as

appropriate, and to a reasonable opportunity to conduct discovery. If Plaintiffs exercise
their rights as set forth above in Paragraph 7 by amending the Complaint, Plaintiffs agree
that they will jointly apply with the Tolling Defendants to the Court for a reasonable
adjournment of pre-trial deadlines and of any trial date set by the Court to permit the
Tolling Defendants to make such motions, and to conduct such discovery, as the Tolling
Defendants deem appropriate; provided, however, that any such additional fact discovery
sought by the Tolling Defendants shall be completed (i) within 120 days after the existing
deadline for the completion of fact discovery, or (ii) if the deadline for fact discovery has
already passed, within 120 days after the date on which Plaintiffs amend their complaint
to restore their claims against the Tolling Defendants; provided further, however, that if
Plaintiffs amend the Complaint to restore their claims against the Tolling Defendants at
least 120 days before the close of discovery, any additional fact discovery sought by the
Tolling Defendants shall be completed by the existing deadline for the completion of fact
discovery; and provided still further, however, that if the Court does not resolve Tolling
Defendants' motion(s) within six months after Plaintiffs' amending the Complaint to
include the Tolling Defendants, Plaintiffs may apply to the Court to try the case against
the non-Tolling Defendants as soon as is convenient for the Court. The fact that a
particular witness has previously been deposed by another party shall not preclude
Tolling Defendants from deposing that witness.
9. If Plaintiffs exercise their rights as set forth above in Paragraph 7
by amending the Complaint at a time when the discovery stay provided in the Private
Securities Litigation Reform Act (the "PSLRA") is no longer in effect with respect to
GM and GMAC, then the Tolling Defendants agree that, during the pendency of any
motion to dismiss that the Tolling Defendants may file, they waive their rights to assert

that discovery should be stayed pursuant to the PSLRA, 15 U.S.C. § 77z-1(b) and/or 15
U.S.C. § 78u-4(b)(3).
10. If Plaintiffs exercise their rights as set forth above in Paragraph 7
by filing a new complaint instead of amending the existing Complaint, the Tolling
Defendants shall be entitled to make all appropriate motions and to take all appropriate
discovery, without regard to any scheduling order entered in this Action, and the
limitations placed on the Tolling Defendants in Paragraphs 8 and 9 shall not apply.
11. In all events, the tolling provided for in this Tolling Agreement
shall terminate, and the statutes of limitations shall resume running, upon the earliest of
the following: i) the mutual agreement of the parties; ii) commencement of trial in this
Action; or iii) Plaintiffs' settlement of the Action with all of the remaining defendants.
12. This Tolling Agreement shall bind and benefit each of the parties
and their respective successors, assigns and legal representatives. This Tolling
Agreement shall be construed under the laws of the State ofNew York, without regard to
choice-of-law or conflict-of-law rules, except to the extent federal law applies.

16. This Tolling Agreement represents the entire agreement by and
between the parties hereto on the subject matters contained herein, and supersedes any
and all prior agreements and understandings. This Tolling Agreement may not be
modified except by a writing signed by all of the parties to be bound.
17. Each person signing this Tolling Agreement represents and
warrants that he or she is authorized and empowered to sign on behalf of and bind the
parties on whose behalf this document has been executed.
18. This Tolling Agreement may be executed in counterparts,
including by signature transmitted by facsimile or by electronic signature with consent of
the signatory. Each counterpart when so executed shall be deemed an original, and all
such counterparts together shall constitute the same instrument.
