Introduction by the Direction Dear Madam, Dear Sir, Dear suppliers of the BRUMMELL International brand, All the managing and commercial teams of the Label7 Group, one of major actors in France of the Packaging, Labeling and Security process for the clothes and ready-to-wear is happy to start with you this new collaboration. Opening your account within Label7 Please, your attention is required on the following pages. When receiving your first order, please call our commercial department in order to : • Register yourself, giving us your details, your delivery and invoicing addresses, your email address (that will be your login), your European VAT number if you belong to the EU. This first step done, our commercial service will send you afterward by e-mail : - The BRUMMELL website address to place your orders. - Your personal login and pass-word. - A PDF instructions brochure to deal with the main website functions (validation of orders process, cancelation, modification and tracking of orders). This PDF has to be printed and read by your care to help you to get acquainted with this tool. Our commercial department stays at your disposal to organize with you and if needed a phone call meeting to start with you a small-training on how to use the website and to help you to validate your first orders. Please, note that all order validated on the website will be considerate to be a definitive order coming from the supplier. It is extremely important that, before validating an order, you check the content of each order. If the supplier does not agree with the quantity of his/her order or any other item, he/she has to take

contact directly with his/her Principal: BRUMMELL.

1) Terms of payment If it is your very first order and commercial relation with Label7, you will be kindly asked to pay for this first order, the entire amount of the order, to officialize the creation of your account. As mentioned in our Sales General Conditions, it is reminded to Suppliers that the term of payment of the invoices produced by Label7 must be honored and respected. Should the term of payments be overpassed, Label7 will assert its spare clause (clause de reserve) right. Label7 will be then in the obligation to let BRUMMELL immediately knows of the non-payment of the invoices and about the imminent blocking of orders. In case of repeated delays to honor its payments, the Direction of Label7 will prevails itself to demand to the recidivist supplier to pay in advance all the forthcoming orders, without any possible negotiation.

2) Delivery and Control of the orders: The supplier has the possibility to choose its own carrier or to let Label7 managed the delivery of the goods. The fees of transportation will be supported by the suppliers. If the transportation is managed by Label7, no claim could be called regarding either the cost of transportation or the custom clearance of goods. As mentioned in the General Condition of Sales, the control of goods must be done imperatively under 8 working days after reception of the packages, to call for claim. After this period, no contesting will be accepted or treated by Label7.

3) Validation of the orders: It is reminded to suppliers to be careful in validating the order and we advice him/her not to validate too quickly or too early his/her order, so that to let the opportunity to BRUMMELL to modify the pieces of information provided on the paper labels (prices) Additionally, we remind you that all validated order is systematically a due command to be paid in time. The re-validation of a modified order will be automatically reinvoiced to you. 4) Plate Forme Label7 opened to BRUMMELL : In accordance with the commercial agreement between Label7 and BRUMMELL, the following plateforme is opened to the production : France .

Label7 France developed a validation website dedicated to the BRUMMELL brand in order to let the suppliers in charge of their orders, to follow them and to benefit from additional services. Hereafter the website address for BRUMMELL: http://printemps.nl7-international.com To access to the BRUMMELL products, you will be asked to provide your login and password, provided by our sales team further to your registration. Be careful ! For your first log in, please go to your account and create a shipping address, or you won’t be able to validate your orders ! We strongly advice you to print the instruction guide provided by PDF, in order to familiarize yourself to the entire and available functions on the BRUMMELL website. Please note that the orders of the day must be validated for 3p.m at the latest to be taken into consideration. Should they be validated after 3p.m they will registered the day after.

Our clients can at any time and thanks to the tool of supervision customized by our care, be informed of the state of progress of their orders, their dispatch or delivery date. 4. Negotiation and control of prices to propose the best quality/price ratio, without cutting down on services or quality of the final product, 5. Service minded oriented for our Client: BRUMMELL, but as well and when we can for its suppliers, in a desire of total collaboration and support, in link with the detail of our collaboration agreed with our client, 6. Ethics and respect of the pieces of information that may be provided to us either by our Client BRUMMELL for its suppliers, orally or in writing. The promptness with which one we honor the delivery of our products is recognized by our clients. As well as our ability to help our clients or their suppliers out when it is possible and in urgent situations.

Our General Conditions of Sales Article 1 – Object of the contract The actual contract is defined to establish the conditions of services between Label7 and its subsidiaries for the suppliers of its Client, BRUMMELL, which choose Label7 as a partner-provider in the development, manufacturing and distribution of labeling, packaging or merchandising labels. Article 2 : Description of the service and mutual obligations 2.1. Label7’s Obligations Label7 and its subsidiaries abroad are committed in the service offer concluded with its client BRUMMELL in : - Providing and delivering to the supplier of the brand some labeling and packaging products that match the standards of quality of BRUMMELL, - Respecting its delivery time with a commitment of delivery under 48h to 72h for all order, confirmed in our systems before 3pm, everyday, either on our e-shop or through the sending of computerized files in our systems, - Putting a peculiar care in the preparation and shipment of orders, handled and managed by a dedicated team and committed into the client relation, - Responding to the suppliers of its Client by email or phone, from Monday to Friday, form 9.00am to 6.00pm thanks to the effective intervention of our commercial team, - Opening to the supplier a client account within Label7 or its platforms in which one will be registered all the history of the set orders manufactured and delivered by Label7 France or its platforms. A client code will be then generated and given to all new supplier who will have the responsibility to keep it carefully and for him/herself, as the log-in and password that the Label7’s IT service could create in the future for each supplier specifically in the future. 2.1. Supplier’s Obligations The packaging-merchandising service provided by Label7 is specifically performed for the supplier mentioned either on the invoice or on the dispatch order set by Label7. The supplier then is entitled to get a law usage (droit d’usage) on those products developed by Label7 or its subsidiaries but does not have any reproduction right, except copies to be used for his personal use and on his own. Any other use needs then a preliminary agreement from the Brand or Label7 or its subsidiaries. It is agreed that the supplier will have the responsibility and commits him/herself to : - Check under D+8 (working days) the goods produced by Label7 and its subsidiaries, in quantity and quality, on pain to see all claim rejected. Any claim or complaint at the reception of goods, must be reported by mail imperatively to the commercial management of the concerned platform, - Get in touch with the Label7’s commercial teams from the beginning of the collaboration to organize a short training by phone on the e-shop and validation of orders and tracking system, so that to win in autonomy as mentioned into the commercial framework (invoicing system concluded either at the attention of the Supplier or the Principal) ratified between Label7 and its Principal. -To pay from the very first order the total amount of the first invoice by cheque, in order to let LabeL7 create his/her accounting and administrative file. -To honor the Label7’s terms of payment, that are declared to be between 30 to 60 days, end of month. Should this term exceed, Label7 or its subsidiaries will be obliged to blacklist this supplier, to demand a payment in advance for all the forthcoming orders and to get its Principal, the Brand, informed immediately about this problem. Label7 and its subsidiaries require the suppliers attention on the fact that any orders not settled in time will be immediately blocked in our systems till its settlement and that, whatever is the urgency to deliver the order. This document, provided to the Supplier at the opening of his/her account within Label7 France or its subsidiaries, will be reputed to have been read and accepted by the Supplier, unless to receive an email or mail from his/her part stipulating his/her disagreement to honor one or all of those obligations and duties.

-Article 3 – Duration -This agreement is reputed to last till the production and delivery of each order received by Label7 and its subsidiaries. -Article 4 – Price and modes of payment -4.1. Price are reputed non-negociable and are fixed directly by Label7 with its Principal, BRUMMELL. All attempt of commercial negotiation between the Supplier and Label7 to get a rebate or a new price will not be possible. All order is delivered to Label7 either thanks to the e-shop website developed by Label7 for its Principal or thanks to the transmission of IT files by the Principal, corresponding to the schedule of conditions defined between BRUMMELL and Label7. The management of all the orders (validation, cancelation…) has to be done in the total respect of the rules implemented by Label7 and provided to the Supplier. The Commercial team of each platform stays at the disposal of the Suppliers to answer their questions, to get trained to the tool created for the Principal. No order placed by mail or phone will be accepted and treated by the Label7’s teams. 4.2. In return of the work produced and delivered by Label7 to the Supplier, this last one commits himself (herself) to settle the payment of his/her invoice as agreed in the term of the commercial framework (invoicing process either to the Principal or to the Supplier). 4.3. The payment will be made by cash, cheque, or transfer in a period comprised between 30 to 60 days from the reception of the invoice. The non-payment of an invoice in the forecasted term of payment or any repeated non-payment, will authorize, without any previous information, Label7 or its subsidiaries to apply interest on arrears, calculated on the amount to be paid. The interest rate implemented will be the legal rate that will came into force at the end of the term of payment mentioned on the invoice. 4.4. Reserve of Property Products manufactured by Label7 and its subsidiaries are reputed being the property of Label7 and its subsidiaries till the complete payment of the goods delivered. 4.5. A detailed delivery voucher will be provided to the Supplier when goods will be delivered, in addition of an printed invoice sent by mail. Article 5 – Delivery 5.1. The products are delivered in France or abroad, at the address mentioned by the Supplier when he set his/her order. Postal charges are chargeable to the supplier except country platform opened to the brand. The supplier can if he wishes it to pass by a carrier of his choice. Franco country platform of delivery (France, China) the orders will be charged to you for any requests of delivery outside these countries. When Label7 is in charge of the delivery, he will work with the carrier company of his choice with which one he developed a partnership to offer to the Suppliers the possibility to track his/her order. A tracking system is put at the disposal of the carrier from the website developed by Label7. The website address and the pass-word of the Supplier will be given to him/her by the Commercial Department after he/she get registered at his Label7 commercial department’s platform. 5.2. the Label 7’s terms of Production and Delivery vary from 48hours at 72hours at reception of any order placed before 5pm. Label7 commits e itself to let the Supplier knows about all risk of delay in the delivering of the goods. Article 6 – Correspondence of Products 6.1. Damaged products during the transportation: Should any trouble happens during the delivery, in particular a damage on the product, the Supplier must imperatively report this information to the carrier by mail or email under 48hours (working days) and to let his/her Label7 commercial Department’s platform informed. We strongly advice you to check the content of your package(s) in front of the carrier and to register your eventual comments on the delivery voucher, in keeping a copy by your side. 6.2. A defective product will be replaced by an identical one, except if the default of the product has been provoked by an inappropriate use of it by the Supplier or by a shift of the Product’s characteristics, performed by the Supplier. If the default of the product is attributable to the Supplier, the product will then not be refunded or changed and no credit note will be offered. Should the good be replaced, the transportation fees will be supported by the Label7 platform’s concerned.

Our General Conditions of Sales Article 7 – Responsibility Label7 and its subsidiaries will bring all their attention to deliver in term of quality and time all the goods to be provided to the Supplier, in the respect of the Commercial framework set with its Principal,BRUMMELL. Label7 will not assume the responsibility of a failure or delay involved in the use of its products by the Supplier. Label7 and its subsidiaries would not be responsible of any delay or default in the proceeding of its obligations as soon as the default will be attributable to an independent event or case of absolute necessity (strikes of the airline transportations…). In the case of a delivery in another country than the same platform country, the Addressee (Supplier) will have the obligation to pay all the taxes related to the importation of goods in his/her country. Label7 is responsible for the supply of documents necessary for the carrier to realize the customs clearance of the goods, except to miss in this obligation. The responsibility of Label7 could not be engaged in case of blocking in customs. The supplier could not call upon any rebate on prices for such a reason. The obligation of Label7 and its subsidiaries is an obligation of means. Label7, by no way, will take care of any compensation related to immaterial damages such as commercial loss, loose of benefits or loose of income undertaken by his client, the Principal or any damage undergone by a Third party. Article 8 – Termination Label7 and its subsidiaries reserve the right to cancel by rights or to pursue the execution of the commitment of services with the Supplier, without prejudice of his right law of immediate collection of the debts to be paid. And this, should the invoice to be paid, in the respect of the term of payment and after the 1st phone call, mail or email, performed by its accounting department, has not been honored. Article 9 – Disputes The actual commercial framework, is subjected to the French Law. In the eventuality of a dispute on the interpretation and/or the execution of commercial framework, the parts will try hard to find an amicable solution or an arbitration in the conditions fixed by articles 1442 and followed of the French new Civil Procedure Code. In case of failure, they will subject their dispute with the Commercial Court of the seat of Label7 France.
