Page 1 of 3 The council Business meeting of the Borough Council of the Borough of Caldwell was called to order in the Council Chambers at 7:01PM. PRESENT: Mayor Dassing, Councilman Hauser, Durkin, Brown and Cascarano ALSO PRESENT: Deputy Clerk, Lisa O’Neill CapozzoliBorough Administrator, Paul Carelli and Borough Attorney, Greg Mascera ABSENT: Council President O’Donnell and Councilman Capozzoli Adequate notice of this Council Business/Conference meeting was given on January 1, 2015. Notice was posted on the bulletin board on the first floor of the Borough Hall, One Provost Square, Caldwell, New Jersey. Official newspapers of the Borough were notified of this meeting by mail. Notice was posted and all persons requesting notice were sent same. PLEDGE OF ALLIGENCE APPROVAL OF MINUTES: November 17, 2015 Moved by Councilman Hauser, seconded by Councilman Brown. No Discussion. On roll call, Councilman Hauser, Durkin and Brown voted in the affirmative. Councilman Cascarano abstained. Minutes approved 12/1/15. PRESENTATION:

1. Caldwell Merchants Association – “I Love Caldwell” buttons. Bob and Janet Markman / Beverly Crisfasi

The Markman’s handed out “I Love Caldwell buttons” and t-shirts to Mayor and Council Members. The buttons are available at Lovely Living and Gelotti’s for $1.00 and all funds will be donated to the Caldwell Merchants Association.

2. Ann Marchioni / Environmental Commission

Substainable awards

Bob Bellasalma - Thank you for helping the Environmental Commission with its many projects, especially the Pollinator Garden on the Personette Street open space property.

Meghan Moran - for helping to coordinate the many Caldwell University student volunteers at the Personette Street open space property as well for your volunteer service on the Days of Service at our other open space properties.

Dough Artisan Pizzeria - Thank you for partnering with local farmers and promoting sustainability to provide Caldwell with a fresh dining experience. We appreciate the Community Supported Agriculture Program that you provide for our residents. The on premise garden is great!

Discussions Ensued. On roll call, all present voted in the affirmative. Resolutions approved 12/01/15. COUNCIL COMMITTEE REPORTS Councilman Hauser reported that there was an Open Space Committee meeting and the signs are not on the open space properties and the committee is respectively asking to put up those signs. Councilman Hauser had suggested earlier in the year with the projects that need to be done possibly engaging some Eagle Scout candidates and he has connected the scout master with Doug Piazza and they have looked at the Elm property and they are moving forward with potentially an Eagle Scout project. Councilman Durkin I would like to thank the community of Caldwell, my family, and all those who stood by me in the surrounding West Essex community area for their continuous support while I was going through a tough personal family issue. On June 23, the charges and accusations that were made against me by my wife (ex) were cleared. Most importantly, I want to say what an honor it has been to serve as a councilman in my hometown of Caldwell. I got involved because I felt that I could make Caldwell an ever better place to live, work, and play. I decided after careful consideration not to seek reelection this year because it just wasn’t the right time to do so. Being a leader in the community has not always been easy. Though the hard work and effort might not seem instantly rewarding, the duty of being a councilman has been well worth it when residents and stakeholders offer their sincere gratitude for helping them with their various issues. I entered into politics to make a difference. I promised myself that I would always do what’s in the best interests of all the residents of Caldwell, and that I would be as active and involved as possible. I accomplished those goals and kept my own promise. For now I say good bye, but for the same reasons that I got involved are the same reasons why I simply cannot walk away. For the time being, I will remain a true supporter of Caldwell. Along the trail I have met many good, decent people whether they are town employees, residents, or my fellow colleagues. Thank you again for your friendship and support. REPORT OF MAYOR: Mayor Dassing reported that the Grover Cleveland Senior Center is having a Holiday Party on Thursday, December 17th at 11:45am. Salad, Chicken Francese & Special holiday dessert will be served for $8.00. There will be music by Don Anthony and Holiday Surprises. Make your reservation to Maria Burak 973-403-4623. The Mayor met with John Linson our tree arborist because there has been trees being taken down and not being replaced in the last couple of years. John did a wind shield survey in 2011 which was broken down on which trees need to be removed and the condition of others. Hopefully in the spring they will have ideas for planting and Mr. Linson feels that we will need to plant about fifty trees. REPORT OF BOROUGH ADMINISTRATOR: Paul Carelli reported the following:

• Pre-construction meeting on December 9th for the Clarifier Project at the sewer plant. • Reminder to Council the re-organization meeting is coming up and will need Resolutions. • Academy and Elizabeth will start paving on Thursday. • As far as Borough Hall improvements the Finance office and hallway were remediated. We had a

contractor look at the hallway and underneath are all concrete and they put joist up and they shimmed the joist with 4x4 and those 4x4’s are rotting. The next step is cutting out the hallway.

• Meeting on December 15th with Caldwell University to go over plans. • We applied for the supplemental loan for the sewer plant for $843,000 and part of the closing they

wanted our invoices that we never got reimbursement for. • As far as EVS and that agreement he had a meeting with Adam Brewer and our proposal. Adam will

be reviewing with his counsel. • Proposals were received today for the senior bus and two proposals were received the low bidder

was for $70,595.00. REPORT OF BOROUGH ATTORNEY: Greg Mascera reported that there were two grievances with the police department and they have formally settled one and are in the process of settling the other just a matter of memorializing the settlement. It was a vacation policy that Chief Bongiorno was concerned about the interpretation of the procedure that was permitted and that’s been resolved so the grievance and the unfair labor practice will be withdrawn. The other had to do with overtime and a patrolman that was resolved as well without prejudice to the Borough and the patrolman will be paid the overtime but there will be no established past practice for that. Greg prepared the No smoking ordinance and it can be distributed to Council any comments can be made before the next meeting. REPORT OF COUNTY LIAISON: Patricia Keenan reported that Essex County will be having their Seventh Annual Essex County Historic Holiday Tour this year the tour includes sixteen Essex County historic sites, which will be decorated for the holidays and open to the public for a weekend tour. The tour includes Essex County Kip’s Castle and the Walther House at the Essex County Presby Memorial Iris Gardens. The self-guided house tour will be held Saturday, December 5th and Sunday, December 6th. Mayor Dassing reported that on December 5th at 5PM Santa arrives on the green and directly right after that there is a tricky tray, hot chocolate, cookies and pictures with Santa. OPEN PUBLIC MEETING: Moved by Councilman Cascarano seconded by Councilman Brown to open meeting to the Public. Beverly Crisfasi, The West Caldwell is also part of the tour that the County is having Crane Homestead is on that tour. That is the depository right now for a flag that apparently is one of a kind from the war of 1812 and it has on it Caldwell Troop. The flag is on display at the Crane Homestead from 1-4PM. Ann Marchioni thanked the Council for endorsing the proposed ordinance from GASP anti-smoking in parks. Janet Markman, 501 Bloomfield Avenue, remember that on Tuesday, December 8th at 4PM the lighting of the Menorah. There being no additional business to be conducted a motion to adjourn the meeting was made by Councilman Cascarano, seconded by Councilman Brown unanimously affirmed by all members present, the meeting was adjourned at 7:52P.M. . approve the insertion of any special item of revenue in the budget of any county or municipality when such item shall have been made available by law and the amount was not determined at the time of the adoption of the budget; and

WHEREAS, the Director may also approve the insertion of an item of appropriation for equal amount, NOW, THEREFORE, BE IT RESOLVED, that the Borough of Caldwell in the County of Essex, New Jersey,

hereby requests the Director of the Division of Local Government Services to approve the insertion of an item of revenue in the budget of the year 2015 in the sum of $2,298.39, which is now available from “ALCOHOL EDUCATION & REHABILITATION” in the amount of $2,298.39.

BE IT FURTHER RESOLVED, that the like sum of $2,298.39 is hereby appropriated under the caption

“ALCOHOL EDUCATION & REHABILITATION”; and BE IT FURTHER RESOLVED that the above is the result of funds from the State of NJ in the amount of

WHEREAS, the proposal has been reviewed and approved by the Borough of Caldwell Licensed Sewer

Operator, and; WHEREAS, it is the desire of the Borough Council of the Borough of Caldwell, New Jersey to award a

contract to T&M Associates, 11 Tindall Road, Middletown, N.J. 07748, and; WHEREAS, T&M Associates has agreed to provide these follow-up services for a lump sum fee of $21,000.00, and; NOW, THEREFORE, BE IT RESOLVED by the Borough Council of the Borough of Caldwell that they do hereby award a contract to T&M Associates subject to an agreement to be approved and executed by the Borough Administrator.

AUTHORIZING THE BOROUGH OF CALDWELL TO ENTER INTO A MEMORANDUM OF UNDERSTANDING WITH THE BOROUGH OF ROSELAND

WHEREAS, the Borough of Caldwell owns and operates a sewer treatment plant, and provides the Borough of Roseland with sewer services; and WHEREAS, the parties have negotiated a resolution of the billing disputes, and placed their agreement in writing in a Memorandum of Understanding, contemplating a more formal agreement to follow; NOW THEREFORE BE IT RESOLVED that the governing body does hereby authorize the Memorandum of Understanding to be signed by the Mayor of the Borough of Caldwell.

MEMORANDUMOFUNDERSTANDING

This Memorandum of Understanding is entered into by the Borough of Caldwell (hereinafter referred to as“Caldwell”), located at 1 Provost Square, Caldwell, New Jersey 07006, and the Borough of Roseland (hereinafterreferredtoas“Roseland”),locatedat140EagleRockAvenue,Roseland,NewJersey07068:WHEREAS,CaldwellownsandoperatesasewertreatmentplantandprovidesRoselandwithsewerservices;andWHEREAS,thepartieshavereachedanagreementforchargesassociatedwiththebillingofsewerservicesfor2014and2015,contemplatingentryintoamoreformalandcompleteagreement;andWHEREAS,thepartiesdesiretomemorializetheiragreementthroughthisMemorandumofUnderstanding;NOW,THEREFORE,ITISAGREEDASFOLLOWS:1. 2014Credit: Caldwell agrees to credit Roseland $268,666.57 based on the 2013 actual metered flow as

recordedbytheBoroughofRoselandandapprovedbytheCaldwellLicensedSewerOperator.Thecreditwillbemadestartingin2016inequalannualinstallmentswithatermnottoexceedthreeyears.

2. 2014Billing: Roselandshallpayasystemfeebasedonthepercentageofflowasrecordedin2013.Roseland’sBaseFlowof223.3mgddividedbytheTotalSystemflowof1485.7mgdequatestoapercentageof15.0%.Basedon the 2014 Total System Levy (User and Debt Fees) of $4,754,351.67, the Total Charge for 2014 equals$714,418.70. Based on 2014 payments of $632,831.43, the remaining balance due from Roseland equals$81,587.27.

3. 2015Billing: Roselandshallpayasystemfeebasedonthepercentageofflowasrecordedin2014.Roseland’sBaseFlowof227.3mgddividedbytheTotalSystemflowof1594.8mgdequatestoapercentageof14.3%.Basedon the 2015 Total System Levy (User and Debt Fees) of $4,434,373.85, the Total Charge for 2015 equals$631,971.06. Based on 2015 payments of $433,598.64, the remaining balance due from Roseland equals$198,372.42

4. 2015Billing: Roseland agrees to pay the past fees associated with the 24 units known as the WhetstoneDevelopmentonHarrisonRoad.ThebalanceduefromRoseland=$120,752.40.

5. FinalPayment: Roselandagreestopaytheatotalof$400,712.09onorbeforeDecember31,2015.5. Complete Agreement: ThisMemorandum of Understanding is intended to resolve all issues outstandingwith

referencetothesewerutilitybudgetandsewerchargesfor2014and2015.INWITNESSWHEREOF,asauthorizedbyresolution.

TITLE:

RESOLUTION SUPPORTING THE DRIVE SOBER OR GET PULLED OVER 2015 YEAR END HOLIDAY CRACKDOWN

WHEREAS, impaired drivers on our nation’s roads kill more than 10,000 people each year and cost our society more than $37 billion annually; and WHEREAS, 27% of motor vehicle fatalities in New Jersey in 2014 were alcohol-related; and WHEREAS, an enforcement crackdown is planned to combat impaired driving; and WHEREAS, the season at the end of the year is traditionally a time of social gatherings which often include alcohol; and WHEREAS, the State of New Jersey, Division of Highway Traffic Safety, has asked law enforcement agencies throughout the state to participate in the Drive Sober or Get Pulled Over Year End Holiday Crackdown; and WHEREAS, the project will involve increased impaired driving enforcement from December 11, 2015 through January 1, 2016; and WHEREAS, an increase impaired driving enforcement and a reduction in impaired driving will save lives on our roadways; NOW, THEREFORE, BE IT RESOLVED by the Borough of Caldwell and the Caldwell Police Department declare its support for the Drive Sober or Get Pulled Over 2014 Year End Holiday Crackdown from December 11, 2015 through January 1, 2016 and pledges to increase awareness of the dangers of drinking and driving.
