A Message from the Chairman of the Board

Florida Presbyterian Homes is organized as a 501(c)(3) not-for-profit organization governed by a volunteer board of directors. Our board recognizes that effective governance is foundational to the future success of FPH.

While every nonprofit organization is unique, there are certain fun-damental governance responsibilities and principles that apply to all. Common legal requirements include the Duty of Care, using reasonable care and good judgment in decision making; the Duty of Loyalty, being faithful to the organization and avoiding conflicts of interest; and the Duty of Obedience, complying with governing documents.

Beyond the legal requirements, nonprofit boards have three primary responsibilities that are outlined below:

1. Establish Strategic Direction• Determine Mission, Vision, Values• Ensure effective planning

2. Ensure Necessary Resources• Ensure Adequate Financial Resources• Select the Chief Executive• Build a Competent Board• Enhance the Organization’s Public Standing

3. Provide Oversight• Monitor and Strengthen Programs and Services• Protect Assets and Provide Financial Oversight• Ensure Legal and Ethical Integrity• Support and Evaluate the Chief Executive
