Masterpact NW range offering familiar features such as the Micrologic trip

unit, the stainless steel arc chute filters and the excellent chassis features.

New Masterpact NT,new levels of performance

Masterpact NT 800 to 1600A

Switch disconnector version

The switch disconnectors are derived directly from the circuitbreakers and offer the same features and performance levels.

Once closed, the switch disconnectors are unprotected andbehave like ordinary switches. They are often used for busbarcoupling.

Integration in a communications network

Masterpact can be integrated in a general supervision system tooptimise installation operation and maintenance.

The communication architecture is open and may be upgradedfor interfacing with any protocol.

1000V and 400Hz distribution system

The Masterpact range can be used on 1000V installations(mining industry) and 400Hz systems (aeronautics, computercentres).

Performance levels

L1 - For high current limiting capabilityand a discrimination level (37kA) asyet unequalled by any other circuitbreaker of its type. Intended for theprotection of cable type feeders orto raise the performance level of aswitchboard when the transformerpower rating is increased.

H1 - For industrial sites with high shortcircuit levels or installations withtwo parallel connectedtransformers.

Optimisedvolumes

The smallest circuit breakerin the world

Masterpact NT innovates by offering allthe performance of a power circuitbreaker in an extremely small volume.The 70mm pole pitch means a three poledrawout circuit breaker can be installedin a switchboard section 400mm wideand 400mm deep.

Practical installation solutions

The new range improves upon all theinstallation solutions which have alreadymade Masterpact a success. It has beendesigned to standardise switchboards,optimise volumes and simplifyinstallation:

■ Incoming connection to top or bottomterminals

■ No safety clearance required

■ Connection:

■■ Horizontal or vertical rear connection

■■ Front connection with minimum extra space

■■ Mixed front and rear connections

■ No derating up to 55°C for fixeddevices

1. GENERAL - All quotations and tenders are made and all orders areaccepted subject to the following terms and conditions including, whereapplicable, the terms and conditions relating to the provision of services onSite set out in paragraphs 27 to 35.

In these terms and conditions: - “Catalogue Products” shall mean thestandard devices manufactured by us as set out in our publishedcatalogue from time to time; “Contract” shall mean the contract (including,where relevant, the quotation or tender) for supply of goods and/or Workon Site and the acceptance thereof together with all documents to whichreference may properly be made in order to ascertain the rights andobligations of the parties; “Contract Price” shall mean the sum named inthe Contract as the contract price “Credit Limit” shall mean such amountas we may notify to you as being the maximum amount that we will permitto be due from you to us at any time (and such amount may be amendedby us from time to time);” “Erection” shall mean the fixing in position of thevarious items of Plant, their inter-connection and the connection to thePlant of supplies and services all as detailed in the Contract; “Non-Catalogue Products” means all products supplied by us other thanCatalogue Products; “Plant” means all machinery, apparatus, materialsand articles (whether manufactured or supplied by us under a separateContract or not) which are to be erected by us in accordance with theprovisions of the Contract; “Site” means the place where the Plant is to beerected together with so much of the surrounding area as may be used byus in connection with the Work; “Work” means the Erection of the Plant.

2. VALIDITY - Unless previously withdrawn, our quotation or tender isopen for acceptance within the period stated therein or, when no period isso stated, within thirty days only after its date.

3. ACCEPTANCE - The acceptance of our quotation or tender must beaccompanied by sufficient information to enable us to proceed with theorder forthwith, otherwise we shall be at liberty to amend the quotation ortender prices to cover any increase in cost which has taken place afteracceptance. Any samples submitted to you and not returned to our workswithin one month from date of receipt shall be paid for by you.

4. PACKING - Unless otherwise specified in our quotation or tender, allpacking cases, skids, drums and other packing materials must be returnedto our works at your expense and in good condition within one month fromdate of receipt. If not so returned they will be charged for.

5. LIMITS OF CONTRACT - Our quotation or tender includes only suchgoods, accessories and Work as specified therein.

6. PRICES - All prices are unless otherwise stated quoted net ex worksexclusive of VAT. Any variation to prices quoted as a result of governmenttaxes and levies will be for your account.

7. DRAWINGS, ETC. - All specifications, drawings and particulars ofweights and dimensions submitted with our quotation or tender areapproximate only and the descriptions and illustrations contained in ourcatalogues, price lists and other advertisement matter are intended merelyto present a general idea of the goods described therein and none ofthese shall form part of the Contract. After acceptance of our quotation ortender for supply of Non-Catalogue Products, a set of certified outlinedrawings will be supplied free of charge on request.

8. INSPECTION AND TESTS - Our Non-Catalogue products are carefullyinspected and where practicable, submitted to our standard tests at ourworks before despatch. If tests other than those specified in our quotationor tender, or tests in the presence of you or your representative arerequired, these will be charged for. In the event of any delay on your partin attending such tests or in carrying out an inspection required by youafter seven days notice that we are ready, the tests will proceed in yourabsence and shall be deemed to have been made in your presence.

9. PERFORMANCE - We will accept no liability for failure to attain anyperformance figures quoted by us unless we have specifically guaranteedthem, (subject to any tolerance specified or agreed to by us) and in anyevent our liability will be limited to an agreed sum specified in the Contractas liquidated damages. If you have not agreed a sum with us for thispurpose, it will be deemed that no guarantee as to performance has beengiven by us. If the performance figures obtained on any test provided for inthe Contract are outside the acceptance limits specified therein, you will beentitled to reject the goods. Before you become entitled to claim liquidateddamages or to reject the goods, we are to be given reasonable time andopportunity to rectify their performance. If you become entitled to rejectgoods, we will repay you any sum paid by you to us on account of theContract Price thereof. You assume responsibility that goods stipulated byyou are sufficient and suitable for your purpose save in so far as yourstipulations are in accordance with our advice.

10. LIABILITY FOR DELAY IN SUPPLYING - Any times quoted fordespatch or delivery of Catalogue Products are given by us as an estimateonly and shall not be binding upon us. Any times quoted for despatch ordelivery of Non Catalogue Products are to date from receipt by us of awritten order to proceed and all necessary information and drawings toenable us to put the work in hand. We will be entitled to assume thatdrawings we send to you have been approved and that we are authorisedto put work in hand unless you notify us to the contrary within 14 days ofreceipt of the drawings. The time for despatch or delivery shall beextended by a reasonable period if delay in despatch or delivery is causedby instructions or lack of instructions from you or by industrial dispute or byany cause beyond our reasonable control. If a fixed time be quoted fordespatch or delivery of Non Catalogue Products and we fail to despatch ordeliver such products within that time or within any extension thereof underthis clause and, if as a result, you shall have suffered loss, we undertaketo pay for each week of delay liquidated damages at the rate of 1/2 percent, up to a maximum of 5 per cent, of the contract price. Such paymentshall be in full satisfaction of our liability for delay. Any time described asan estimate shall not be construed as a fixed time quoted for the purposesof this clause. In no circumstances shall liquidated or any other damagesfor delay be paid where we have suspended delivery in accordance withClause 16.

11. VARIATIONS - We will use all reasonable endeavours to accommodatevariations which you wish to make but if in our opinion any variationmaterially alters the order you previously gave us we reserve the right tovary the Contract Price, the delivery date and any other terms of theContract as may reasonably be appropriate. The Contract Price will alsobe adjusted in the event of variation or suspension of work by yourinstructions or lack of instructions. For the avoidance of doubt, where wehave assumed that drawings have been approved by you because youhave not notified us to the contrary, any subsequent variation by you tothose drawings will be treated as a variation to which this paragraphapplies.

12. DELIVERY - Unless otherwise specified in our quotation or tender, theprice quoted does not include delivery. Unless otherwise specified, weshall not be responsible for offloading.

13. LOSS OR DAMAGE IN TRANSIT AND OTHER NON-COMPLIANCE -Where we are responsible for delivery we will repair or, at our option,replace free of charge goods lost or damaged in transit; provided that weare given written notification of such loss or damage within 7 days of thedespatch date. You must give us written notification within 7 days ofdelivery if the goods do not comply with the Contract and we will replacesuch goods free of charge. You are not entitled to reject the goods byreason only of short delivery.

14. RISK AND TITLE - The risk of loss or damage to the goods shall passto you on delivery. The goods shall remain our sole and absolute propertyand title in them shall not pass to you until such time as you have paid usfor the goods and for any other goods which are the subject of this or anyother contract with us. You acknowledge that you are in possession of thegoods solely as bailee for us until title in the goods passes to you and, ifrequired by us, until such time you will store the goods separately from allother goods and mark or otherwise identify them as our property. Until titlein the goods passes to you we shall be entitled at any time by notice eitherto require you to return the goods forthwith at your expense, or to enterupon the premises where they are stored (or where they are reasonablythought to be stored) for the purpose of recovering them.

15. TERMS OF PAYMENT - Unless we agree otherwise in writing paymentshall be made 30 days after the goods are despatched or you are advisedthat the goods are ready for despatch or 30 days after work has been

completed or interim work is chargeable. If payment of the Contract Priceor any part thereof is not made by the due date, we shall be entitled: (a) tocharge interest on the outstanding amount at the rate of 4% per annumabove the National Westminster Bank Rate from time to time, accruingdaily; (b) to require payment in advance of delivery of undelivered goodsorcompletion of Work; (c) to refuse to make delivery of any undeliveredgoods whether ordered under the Contract or not and without incurring anyliability whatever to you for non-delivery or any delay in delivery; (d) torefuse to complete Work whether ordered under the Contract or not andwithout incurring liability whatever to you for non completion or any delayin completion; (e) to terminate the Contract and any other contracts we mayhave with you.

16. SUSPENSION OF DELIVERY - In addition to our rights under Clause15, we shall be entitled to suspend delivery to you of any order if, at thetime for delivery, you have already exceeded your Credit Limit or if yourCredit Limit would be exceeded if we made delivery of the order. We willrecommence delivery to you when you reduce the sums outstanding to ussufficiently so as to enable us to make the suspended delivery withoutyour Credit Limit being exceeded. We also reserve the right to suspenddelivery to you of any order if you have failed to make payment by the duedate of sums outstanding to any company within the “Groupe Schneider”group of companies.

17. STORAGE - If we do not receive forwarding instructions, sufficient toenable us to despatch the goods within 14 days after the date ofnotification that they are ready for despatch, you shall take delivery orarrange for storage. If you do not take delivery or arrange for storage, weshall be entitled to: (a) arrange storage either at our own works orelsewhere on your behalf and all charges for storage, for insurance or fordemurrage shall be payable by you. Such charges may be invoiced by usseparately from any invoice for the Contract Price and shall be payable 30days from date of invoice or (b) terminate the Contract and resell orotherwise dispose of the goods (without prejudice to any other rights wemay have against you for breach of Contract or otherwise).

18. DEFECTS AFTER DELIVERY - We will make good, by repair or, at ouroption, the supply of a replacement, defects which, under proper use,appear in the goods within a period of twelve calendar months after thegoods have been delivered and arise solely from faulty design (other than adesign made, furnished or specified by you, or your agents), materials orworkmanship; provided always that defective parts have been returned tous if we shall have so required. We shall refund the cost of carriage onsuch returned parts and the repaired or new parts will be delivered by usfree of charge. Our liability under this Clause shall be in lieu of anywarranty or condition implied by law as to the quality or fitness for anyparticular purpose of the goods and save as provided in this clause, weshall not be under any liability, whether in contract, tort or otherwise, inrespect of defects in goods delivered or for any injury (other than death orpersonal injury caused by our negligence as defined in Section 1 of theUnfair Contract Terms Act, 1977), damage or loss (including indirect orconsequential loss) resulting from such defects or from any work done inconnection therewith.

19. PATENTS - We will indemnify you against any claim for infringement ofLetters Patent, Registered Design, Trade Mark or Copyright (published atthe date of the Contract) by the use or sale of any article or materialsupplied by us to you and against all costs and damages which you mayincur in any action for such infringement or for which you may becomeliable in any such action. Provided always that this indemnity shall notapply to any infringement which is due to our having followed a design orinstruction furnished or given by you or to the use of such article ormaterial in a manner or for a purpose or in a foreign country not specifiedby or disclosed to us, or to any infringement which is due to the use ofsuch article or material in association or combination with any other articleor material not supplied by us. Provided also that this indemnity isconditional on your giving to us at the earliest possible time, notice inwriting of any claim being made or action threatened or brought againstyou and on your permitting us at our own expense, to conduct anylitigation that may ensue and all negotiations for a settlement of the claim.You on your part warrant that any design or instruction furnished or givenby you shall not be such as will cause us to infringe any Letters Patent,Registered Design, Trade Mark or Copyright in the execution of your orderand you will indemnify us against any claim for infringement of any suchintellectual property rights.

20. HEALTH AND SAFETY - You must comply with all instructions,information and warnings which we supply in respect of the goods andensure that such documentation is available to your customers or anyother person handling the goods. Additional copies of the documentationcan be obtained from us on request. You will indemnify us against anyclaim made against us by any third party as a result of your failure tocomply with this Clause.

21. FINAL CERTIFICATE - Upon expiry of the defects liability periodspecified in Clauses 18 and 35, we shall be under no further obligation orliability to you either under the Contract or in tort (including but not limitedto negligence), unless within 14 days thereafter you shall have given uswritten notice of any matter in respect of which we remain obliged or liableto you. You shall issue to us a final certificate to the effect that we havefulfilled all our obligations and liabilities to you immediately upon expiry ofthe said period of 14 days or, in the event that you have given us notice asaforesaid which we have not disputed, immediately upon our having dealtwith the matter(s) specified therein.

22. ARBITRATION - If at any time any question, dispute or differencewhatsoever shall arise between you and ourselves upon, in relation to , orin connection with the Contract, either of us may give to the other notice inwriting of the existence of such question, dispute or difference and thesame shall be referred to the arbitration of a person to be mutually agreedupon, or failing agreement within 30 days of receipt of such notice, ofsome person appointed by the President for the time being of theChartered Institute of Arbitrators.

23. LEGAL CONSTRUCTION - Unless otherwise agreed in writing theContract shall in all respects be construed and operate as an EnglishContract and in conformity with English law and the English Courts shallhave exclusive jurisdiction over any matter arising out of the provisions ofClause 22 (Arbitration).

24. INSOLVENCY ADMINISTRATIVE RECEIVER - If you shall becomebankrupt or insolvent or compound with your creditors or if a proposal ismade for a voluntary arrangement within Part I of the Insolvency Act 1986or if a proposal is made for any other composition, scheme or arrangementwith (or assignment for the benefit of) your creditors, or if a receiver,liquidator, administrator, supervisor or administrative receiver or similarofficer is appointed of all or any part of your business or assets or if apetition is presented or a meeting is convened for the purpose ofconsidering a resolution (or other steps are taken) for your winding up(other than for an amalgamation or reconstruction) or a petition ispresented for an administration order in relation to you, then we shall beentitled to cancel the Contract in whole or in part without prejudice to anyother right or remedy which accrues to us.

25. FORCE MAJEURE - If delivery or completion of Work is delayed bystrikes, lockouts, fire, accidents, defective materials, delays in receipt ofraw materials or bought-in goods or components or any other causebeyond our reasonable control a reasonable extension of time for deliveryor completion of Work shall be granted.

26. STATUTORY AND OTHER REGULATIONS - If the cost to us ofperforming our obligations under the Contract shall be increased orreduced by reason of (a) the making or amendment after the date ofquotation or tender of any law or of any order, regulation, or bye-lawhaving the force of law that shall affect the performance of our obligationsunder the Contract; (b) any rise or fall in the cost of labour or in the cost of

materials or transport above or below such rates and costs ruling at thedate of quotation or tender; the amount of such increase or reduction shallbe added to or deducted from the Contract Price as the case may beprovided that no account shall be taken of any amount by which any costincurred by us has been increased by our default or negligence.

THE FOLLOWING PROVISIONS APPLY IN ADDITION TO THE ABOVECONDITIONS WHERE THE CONTRACT INCLUDES WORK ON SITE.

27. ERECTION DRAWINGS, ETC. - You shall provide us free of chargebefore commencement of the Work with any information, plans ordrawings required for Erection. If the information, plans or drawingsrequired for Erection have not been furnished to us in reasonable time or ifthey do not contain the necessary details, we shall be entitled either tosuspend performance of the Contract until such time as drawings arefurnished or until the necessary details have been provided or to preparesuch plans or drawings ourselves at your cost and in either event the timefor performance of the Contract shall be extended by a reasonable period.We shall have no liability to you whatsoever, whether for negligence orotherwise, in respect of plans or drawings which we prepare due to yourfailure to provide us with your own plans or drawings.

28. SITE FACILITIES AND WORKING CONDITIONS - Our quotation ortender is based on our estimate of the extent of the Work in the light ofinformation (including your Site Safety Regulations) produced to us andunless otherwise specified assumes the following conditions:- (a) You willprovide suitable access to and possession of the Site in reasonable time.(b) The Erection will not be carried out in unhealthy or unsafe conditions.(c) Our employees will be able to obtain suitable and convenient boardand lodging in the neighbourhood of the Site and have access to adequatemedical services. (d) Such equipment cranage, consumable stores, waterand power, scaffolding, lighting, heating and unskilled labour as arespecified in the Contract will be available to us on Site and in reasonabletime, and except as otherwise agreed, free of charge to us. (e) You willprovide us, free of charge, with closed or guarded premises on or near theSite as a protection against the theft and deterioration of the Plant and ofour tools and equipment. (f) We shall not be required to undertake anyconstruction or demolition work.

If these conditions are not satisfied we shall be entitled to charge extra.

29. HOURS OF WORK - Our employees will work normal hours applicableto the engineering industry, Monday to Friday inclusive, local publicholidays excepted. Unless stated to the contrary in our quotation orotherwise agreed, night work, overtime and holiday working are specificallyexcluded.

30. EXTRA COST - Should we incur extra cost owing to variation orsuspension of the Work by your instructions, or your lack of instructions, orto interruptions, delays, overtime, unusual hours, mistakes or work for whichwe are not responsible, or to any specified Site conditions not beingmaintained by you, the Contract Price will be adjusted in accordance withour rates ruling at the time such extra costs are incurred.

31.PREPARATORY WORK - The Plant must be on the Site in reasonabletime. You will provide us in reasonable time with suitable access to theSite and Plant and to all necessary equipment to be provided by you andfurnish us with all information required for making all necessaryconnections to the plant. If you are responsible for preparatory work suchas foundation or other work specified in the Contract as a pre-requisite tocommencement of the Work, it must be completed in reasonable time. Ifwe are responsible for foundation work you will provide us in reasonabletime with all necessary information relating to the work necessary forpreparing suitable foundations. Any extra cost incurred by us which resultsfrom an error or omission in the information furnished by you shall beadded to the Contract Price and paid for accordingly.

32.. LIMITATION ON CONTRACTORS’ LIABILITY WHILST ON SITE - Ifwe, our agents or sub-contractors are on Site for the purpose of theContract then, notwithstanding the provisions of Clauses 18 and 35 we willindemnify you against direct damage or injury to your property or person orthat of others occurring while we are working on Site to the extent causedby the negligence of ourselves, our sub-contractors or agents, but nototherwise, by making good such damage to property or compensatingpersonal injury. Provided that: (a) Our total liability for damage to yourproperty (including damage caused by our breach of contract, tort orbreach of statutory duty) shall not exceed the Contract Price in respect ofdamage to the Plant and in respect of any other damage shall not exceed£1,000,000 or the Contract Price, whichever sum is the greater; b) Weshall not be liable to you for any loss of profit or of contracts or, save asaforesaid, for any loss or damage of any kind whatsoever and whethercaused by our breach of contract, tort, breach of statutory duty orotherwise howsoever. Save as provided in Clause 18 and 35, we shall notbe liable for any damage, injury or loss occurring after our completion ofWork on Site.

33.LIABILITY FOR DELAY IN ERECTION - Any times quoted by us forcompletion of Erection are to date from receipt by us of full and finalinstructions, and sufficient and suitable availability of and access to thePlant to allow us to proceed. The time for completion shall be extended bya reasonable period if delay in completion is caused by instructions or lackof instructions from you or by industrial dispute or by any cause beyondour reasonable control. If a fixed time be quoted for completion of Erectionand we fail to complete within that time or within any extension thereofunder this clause or under Clause 27 (Erection Drawings, Etc.), and if as aresult you shall have suffered loss, we undertake to pay for each week ofdelay liquidated damages at the rate of 1/2 per cent, up to a maximum of 5per cent, of the Contract Price. Such payment shall be in full satisfaction ofour liability for delay.

Any time described as an estimate shall not be construed as a fixed timequoted for the purposes of this clause.

34. TAKING OVER AND ACCEPTANCE OF ERECTION - We shall giveyou notice in writing of the date when the Work is ready for acceptance insufficient time to enable you to make any necessary arrangements forinspection. If the Contract provides for tests on acceptance these shalltake place in the presence of both parties. If in the course of theacceptance it is found that the Work or any part thereof is defective as aresult of defective Erection, assembly or connection of the Plant we shallwith all speed and at our expense make good the defect and thereafter ifyou so require offer the Work for re-inspection and acceptance at ourexpense. As soon as the Work has been completed in accordance with theContract and has been accepted, you shall be deemed to have taken overthe Work and the defects liability period shall start to run. You willthereupon issue a certificate (herein called “taking over certificate”) inwhich you will certify the date on which the Work was completed andpassed the tests (if any). If you do not take the steps necessary for suchacceptance or testing, the Work shall be deemed to have been taken overand the defects liability period shall start to run on receipt by you of writtennotice from us to that effect.

35. DEFECTS LIABILITY PERIOD - We undertake to remedy at ourexpense and with all reasonable speed, any defect in the Work which mayappear during the period of twelve months after taking over by makinggood any such defect. If in consequence of any such defect it is necessaryto repair or replace any part of the Plant any such repair or replacementshall in all respects be at our expense, but not so as to impose upon usany liability greater than the Contract Price. Our liability under this clauseshall be in lieu of any warranty or condition implied by law as to the quality,workmanship, or fitness for purpose of the Work and save as provided inthis clause and Clause 32 (Limitation on Contractors’ Liability Whilst onSite) we shall not be liable to you whether in contract, tort or otherwise forany loss, damage or injury (other than death or personal injury caused byour negligence as defined in the Unfair Contract Terms Act, 1977) resultingfrom any defects in work done or materials provided under the Contract orfrom any services or advice rendered in connection therewith.

36. In the event that any of the provisions of these terms and conditionsare adjudged by any court of competent jurisdiction to be unenforceable(either in whole or in part) we will not be liable for any indirect orconsequential loss or any loss of profits, business, contracts or revenueshowsoever caused.

37. Nothing set out in these terms and conditions shall relieve us from anyliability that we may have under s.12 of the Sale of Goods Act 1970 or forfraudulent misrepresentation under the Misrepresentation Act 1967.
