    1.1 INTRODUCTION

    Honeywell Inc. , offers technology, project execution expertise and resources in order to implement theHSBC Centro de Monitoreo Project as well as any HSBC Buildings in Mexico .

    Honeywell strategic plan for HSBC Centro de Monitoreo Project will provide the best possible buildingsolution available. To successfully complete the HSBC Project on time and within budget, Honeywellwill organize its worldwide resources, key suppliers and subcontractors into an integrated Project Team.Utilizing a program management team with a proven track record in large scale information and controlsystem integration projects, the strengths and capabilities of each team member will be capitalized on.Honeywell, our subcontractors and suppliers have committed the key resources required to successfullycomplete this project. The team will utilize Honeywells proven Program Management tools andmethods to ensure successful delivery of the HSBC CENTRO DE MONITOREO project. Honeywell willissue a formal Project Execution Plan no later than ten (10) days after the effective day of the contract andwill be periodically updated to reflect any changes in Project execution philosophy.

    EXECUTION PLAN SUCCESS COMPONENETS

    The successful execution of the HSBC CENTRO DE MONITOREO Automation and Integrationportion of the Project consists of the following key components: A Total Quality Management Program implemented with the necessary measurement and

    reporting functions to ensure its success; Utilization of our Project Life Cycle Methodology, a detailed implementation methodology

    based on project specific guidelines and procedures that utilize state-of-the-art tools toincrease quality, efficiency and accuracy;

    Project controls, tools, coordination and communication procedures to assure on time, costeffective and high quality deliverables. The close coordination and involvement of HSBCand Honeywell will help ensure consistency in all automation and information interfaces

    performed across the Project; An experienced organization with key individuals both identified and committed to the

    Project goals and vision. An overall project schedule containing all the work items and personnel requirements for

    both Honeywell and HSBC necessary to complete the CENTRO DE MONITOREO Projectwith activities scheduled to best support the project vision and goals.

    Project Life Cycle support systems for the HSBC facilities including training, maintenanceand post start-up support.

    Project support and administration of the execution priorities through the means of CriticalIssues (CIs).

    1.2 SCOPE OF WORK

    Honeywell will provide project management, detailed engineering, procurement services, for theCENTRO DE MONITOREO project in Mexico DF Paseo de La Reforma Building.

    The Scope of the Services offered by Honeywell can be summarized as detailed below:

    Engineering and Detailed Design:

    The engineering scope includes the specification of:

    1.-HVAC Control System,2.- CCTV-HDVM Security and Monitoring System,3.-Fire Detection System.4.-Access Control System5.-EBI Integration Platform.

    The engineering scope includes the detailed design required for the installation of the CENTRO DEMONITOREO , field instrumentation, Wiring and communication of Controllers/Field Devices to theEBI Servers/Clients.

    Equipment Supply and Procurement Services :

    Honeywell will supply the Automation and Security Control System equipment including the Wiringassociated to the Fire Detection System. HSBC will provide Piping and Wiring for HVAC, CCTV-HDVM and EBI Integration Platform as well as any LAN and Power Distribution Installations

    Construction and Installation Services :

    The estimate for the construction scope of work includes:

    The installation of field instrumentation (Detectors, Sensors, Cameras) including: mounting, electricaland connection.

    The installation of Remote Controllers equipment including : mounting, electrical and connection. The commissioning of the Automation & Security systems. The systems will be fully integrated on a

    Site Integration Test (SIT).

    It is not part of Honeywell scope any Power installations as well as piping for all systems, wiring for allsystems but Fire Detection and any LAN related Infraestructure/Services.

    1.3 Contractor Resources and Organization

    Honeywell Int will use the resources from Mexico as well as from the Latin American region and worldwide Honeywell resources in the most efficient scheme to assure high level of quality and efficiency.

    Project Management

    The Project Management Team (PMT) will be responsible for the overall coordination of the activitiesinvolved with execution of the CENTRO DE MONITOREO Project as well as any further HSBC Projectsin Mexico.

    A Program Manager (PPM) will be assigned to the HSBC Construction Program in Mexico. This ProgramManager will coordinate that Centro de Monitoreo as well as any HSBC New Construction (i.eTechnopark) will have the Proper attention and staffing considerations. Also, The Program Manager willbe responsible that the overall CTQ requirements of HSBC in their Projects with Honeywell are met.

    A Project Manager (PM) will be also assigned for each Specific Building Automation Project, from theHoneywell PMC group as identified in the organization chart.

    The Project Manager is accountable for the control of the technical, procurement, commercial, andadministrative aspects of an HSBC-Honeywell Automation Project (i.e CENTRO DE MONITOREO). AConstruction Supervisor (CM) will coordinate the site construction activities of the HSBC-HoneywellAutomation Project. This scheme will allow the PMT to share the coordination workload and maintain ahigh level of responsiveness to HSBC Projects in Mexico.

    The PMT responsibilities includes:

    Project Controls, Communications and Documentation Coordination with Stakeholders Technology System Life Cycle Consulting Customer Training

    The PMT will be located initially in the Engineering Home Office task force at Honeywell offices inMexico DF.

    Project Services and Technology Centers

    The following are the participating groups in this project:

    Honeywell Mexico .

    Honeywell Mexico S.A de C.V with offices in Mexico DF and Monterrey will provide Customer firstcontact for system, On site training, installation support, site testing support, start-up assistance, ongoingsystem and maintenance support and spare parts management services. Honeywell Mexico is a whollyowned subsidiary of Honyewell Int and counts with 120 people and more than 50 years experience in theIndustrial and Commercial Automation Market in Mexico.

    Honeywell Mexico will be the primary source for Project Managers (PM) and Construction Supervisors(CM) as well as Eng Leads and Field Technicians and Administrative support for Procurement andCommercial Invoicing. Also, the LA Regional General Manager Office is located at Honeywell Mexicoproviding additional priority levels to HSBC Projects.

    Honeywell Mexico has the people, products, services and expertise to provide high quality projectservices as well as critical life cycle support to HSBC The local office is located in Mexico. The office willbe able to provide application services, system support and spare parts management to HSBC.

    Honeywell LAR PMC:

    Honeywell LAR PMC will provide high quality Project Management support and Engineering Servicesto support the overall HSBC Program. Honeywell LAR PMC, has Regional scope for Latin Americanwith Headquarter offices in Caracas, and reports to Honeywell Americas Delivery Team inMinneapolis USA.

    For the HSBC Mexico Program, the LAR PMC will act as an Engineering Back Office for the FireDetection, HDVM and EBI Platforms to accommodate HSBC peak demands on Honeywell Mexico PMT.

    Also, will provide Independent Project Scheduling and Deliverable compliance Control of HoneywellMexico PMT compliance to HSBC Program.

    Also, LAR PMC will provide as needed support on the Areas of EBI SW and Networks via EBI/NetworkChampions.

    Honeywell Technical Assistance Center (TAC) /HSC

    Located in Chicago, USA, Honeywell TAC and in Australia Honeywell HSC, provides high levelTechnical support to Projects World wide. TAC/HSC ensures that any Technical Problem either atEngineering phase or at Commissioning phase is attended at the Highest Technical Level independent of

    the local affiliates capabilities. HSBC Projects will count with this support, coordination will be managedvia the Program Manager and Lead Project Engineer.

    All of these groups will mobilize at the proper time according the project schedule. Each group will havea project coordinators and specialists in order to complete the implementation of the several systems thatare part of the overall automation modernization. During commissioning and startup phases amultidiscipline group of specialists will assist with the completion of the CENTRO DE MONITOREOProject. An organization chart is included in Appendix A.

    Communications between offices will use telephone, and video conference technology. Correspondence,and all review and approval cycles, will be done electronically. The use of hard copy will be minimizedas required by current ISO 9001 practices.

    1.4 Control System Implementation

    The basic CENTRO DE MONITOREO system is composed by the Honeywell EBI/HDVM Servers andseveral Workstations that are operations main Man Machine Interface (MMI) and provide the operatorswith a single window to the Building information.

    A set of subsystems Controllers complement the functionality provided by the EBI/HDVM Platform.The subsystems are connected to the EBI/HDVM PLATFORM composing an integrated AutomationSystem that covers all the control and monitoring functions required to monitor the sites. The EBIPLATFORM gathers data from the subsystems and is the main platform of data to be used by higherlevel networks and applications such as the Information System (IS) and Enterprise Management Systemwhich are not included in the scope of this project.

    EBI PLATFORM Engineering Execution:

    Primary Engineering for the EBI PLATFORM system will be done by HONEYWELL Mexico offices.

    System Design

    The first phase that includes the development of the functional specification, hardware definition andsystem design will be done by the Mexico office task force and the Honeywell PMC engineering group.A site survey will be the first activity of the engineering group, this site survey will allow the engineeringteam to establish the real requirements for HSBC.

    An HSBC systems engineer will be integrated into the design team to participate in the functional designwork and assure its timely approval. This will also maximize the technology transfer of currentindustry standard design practices.

    The second phase (Configuration) occurs after the hardware freeze has taken place and the hardwareorder has been issued to different manufacturing centers.

    Configuration Services

    The EBI PLATFORM point, control algorithms and graphic configuration will be performed byHONEYWELL Mexico and required LA PMC BackOffices. It is highly recommended that an experiencedHSBC systems engineer to participate in this phase to help with the configuration at the same time that

    the HSBC engineer will provide our team with valuable operational data required to have a successfulconfiguration effort.

    HONEYWELL PMT will be responsible for the generation of Sensor/Devices databases, loopdescriptions and alarm summaries. All these documents will be used for the configuration team .

    The implementation philosophy is to do as much work in Mexico as possible. The main engineeringtask force will be in Mexico DF. The field engineering office located inside the HSBC Building will be ofmajor importance in the collection of data and validation of existing conditions of the Building. A teamwill be assembled a few weeks after the contract award to mobilize at site to perform these activities.Refer to the schedule for details.

    LEAD Engineer:

    In order to keep maximum consistency in the entire HSBC program, a system Lead Engineer will beresponsible for each specific piece of Technology such as:

    1.-EBI-HDVM- Access Control

    2.-Fire Detection/Suppression

    3.-HVAC Automation

    The Org Chart indicates the Leads Engineers assigned to the HSBC Program.

    In addition to the Lead Engineers, the HSBC program will have a Lead Project Engineer (LPE) whichwill coordinate the Technical Roadmap and System implementation and Documentation. The LeadEngineers will report to the HSBC LPE to ensure consistency and accountability along the HSBCProgram.

    FIELD Engineer/Techs:

    A qualified team of Honeywell Engineers/Technicians will be supporting the execution phase of eachProject.

    Service Group:

    Honeywell Mexico will provide Maintenance Service Support (as part of separate Service Contract) tothe Honeywell Automation Systems deployed in the HSBC program.

    Project Controls:

    Upon contract award, Honeywell project controls engineers will immediate initiate a detailed workexecution plan. From the CENTRO DE MONITOREO Projects beginning, Honeywell project controlengineers will be able to quickly recognize deviations in actual project activities versus the projectschedule and work plan. The controls team will have the following responsibilities:

    Implement a detailed project management and cost control program that tracks and reports on allphases of engineering, design, procurement, equipment fabrication, testing, deliveries andinstallation and start up. Productivity for each activity will be tracked and monitored for projectmanagements use.

    Maintain the project schedule, track and forecast staffing requirements, providing projectmanagement with data and tools to keep the project within budget and performing in a highquality and timely manner.

    Track equipment and material deliveries, and identify and respond to potential problems. Provide reports and documentation to assist in HSBC and Honeywell coordination.

    The three main elements of Honeywell methodology for project controls are: Project Schedule, ProjectPlanning and Project Reporting.

    Communication and Coordination:

    The Project Manager will be the sole source of contact for HSBC and will coordinate all activities withHSBC. All correspondence will be through the Project Manager. The Project Manager will be responsiblefor ensuring that all communication channels and coordination activities are met including:

    Planning and scheduling Monitoring and reporting Technical and contractual liaison Attendance at meetings Administrative and financial tracking Providing monthly progress reports to HSBCThe Monthly Report:

    The monthly report will indicate accomplishments of the preceding month and current status of allactivities of the project including percentage of work done for all Honeywell scope of work, engineering,documentation, programming, manufacturing of Honeywell products, procurement of third partyequipment, testing, construction, installation, and commissioning.

    Other meetings to be scheduled by Honeywell include:

    Project kickoff meeting; Progress review meeting; Design review meetings for EBI PLATFORM,. Meetings with HSBC Operations to coordinate construction activities

    The Documentation Project Procedures:

    The Project communications will be defined in the Documentation Project Procedures and the followingsubject will be covered:

    - Project titles and references- Addresses- Means for correspondence exchange- Confirmation of conferences and phone calls.- Numbering and copying of correspondence- Transmittals- Minutes of meetings- Filing

    A detailed document distribution matrix will be included in the Documentation Project Procedure.

    Project Schedule:

    The proposed schedule for the completion of this project is attached in Appendix B. The estimatedduration of this Project is 11 Months.

    After award of the CENTRO DE MONITOREO project to Honeywell, a detailed work breakdownschedule will be issued showing each individual activity that needs to be finished in order to successfullycomplete the project. This schedule will include each activities interrelationships and dependencies andwill clearly identify critical path items.

    1.5 Procurement Services Plan

    The procurement will be done basically off-shore (USA), that is issuing requisitions and purchase ordersfrom Mexico . Suppliers will be identified by Honeywell with the approval of HSBC. Honeywell will useits worldwide suppliers in order to get the most economical equipment and materials. Honeywell willprovide full procurement and warranty coverage on systems quoted in full .

    1.6 Construction and Field Installation Plan

    Construction Plan

    Honeywell will organize and mobilize the construction resources and will execute the construction works inorder to complete the projects according to the schedule and to the standards specified in the contractualdocuments. No compromise to the safety requirements will be allowed for the achievement of the abovegoals.

    Honeywell will use the services of a local Electrical Contractor for the execution of the field works. TheOverall site supervision will be on Honeywell Construction Supervisor.

    Honeywell is fully aware that the construction activities will be carried out inside a under ConstructionBuildings. Honeywell will keep HSBC well informed at all stages of the HSBC Project including thescheduled construction plans & methods and will devote active efforts to the coordination with HSBC,Building operation and other Contractors.

    The sequence for construction works will follow the indicated pattern at the Detailed (Level III) Schedule. Inthis Schedule not only Honeywell Deliverables and WBS will be reflected but all affectingactivities/Deliverables from either HSBC or third parties. This will allow HSBC project Management to planin advance any interface with Honeywell.

    Mobilization Plan

    Honeywell and its Construction Subcontractor(s) will develop a sequential and logical mobilization plan asper the guidelines outlined below.

    The plan foresees that the pre-mobilization activities necessary to assure the timely availability of personnel,construction equipment, temporary facilities and materials are developed according to the proposed workschedule.

    Honeywell will verify that the selected Subcontractor has available all documents which will allow themobilization of personnel to execute the work assigned to them.

    Honeywell and Construction Subcontractors will prepare detailed design of temporary facilities for siteoffice, and lay down yard at HSBC Project site. Upon HSBC approval and assignment of the facilities sitemobilization activities will be started.

    The site mobilization should start few weeks after contract award. Personnel and equipment transportationplan will be issued to HSBC before the mobilization start.

    Man Power Loading:

    The incorporation of staff will be done as per the actual Job Conditions and Schedule allow. In the AnnexC we show the Man Power Loading (MPL) estimated for Key Honeywell activities. Subcontractorworkforce will vary according to Job conditions and per Schedule requirements. In the case HSBC willneed a crunching of the Schedule this will be analyzed and a subsequent C/O will be issued with theupdated Schedule and MPL.

    1.7 Technology Transfer

    The Honeywell proposal for the technology transfer to HSBC encompasses the participation of theCENTRO DE MONITOREO Project and operation teams on the several phases of the project for on the

    job training, as well as optional formal training.

    Honeywell will assign key implementation team members to a Technology Team. They will recommendsolutions that will be long lived and that can be enhanced over the life of the HSBC Buildings, and not

    just the duration of the CENTRO DE MONITOREO Project. They will establish a road map for

    technology transfer and the use of new and emerging technologies on the project. The road map willdetermine both a generalized philosophy and a detailed plan for the total Building technology life cycle.

    The road map will outline the hardware, networks, systems and subsystems that are currentlyavailable, and technologies that will be available and proved during the projects life cycle that

    should be included in the project design, The Technology Team will conceptualize what the control and information systems should look

    like in the future,

    The road map will assure HSBC that all control systems can be enhanced in the future with aminimum of impact to operations,

    The technology team will provide HSBC with a list of, and methods for, the transfer oftechnologies to HSBC.

    1.8 HSBC Building After Installation Local Support

    Maintenance

    For HSBC CENTRO DE MONITOREO, Honeywell proposes the following maintenance plan whichaddresses the services available to HSBC during and after the warranty period for the EBI PLATFORMsystem.

    During Warranty Period

    With regard to hardware spares support, we propose that HSBC purchase Spares parts for Critical itemsand 2 years operation (Not included in Proposal) as soon as the system is commissioned and accepted byHSBC. While the system supplied under the system order (HSBC-Honeywell Contract for a givenProject) is under warranty, Honeywell will repair or replace, as may be required, all failed systemcomponents free of charge to HSBC.

    Also available to HSBC would be optional (not included in proposal) services including the following:

    EBI software maintenance upgrades EBI documentation updates Site Maintenance/Performance audits Preventive Maintenance Services.

    Post Warranty Period

    Support after the warranty period can be covered under a separate contract between HSBC andHoneywell. For enhancing the capabilities for system maintenance and troubleshooting at HSBC site, wepropose that a Honeywell Site Support Specialist be posted at the site. This resident Support Specialistwould be responsible for the following:

    Providing regular system maintenance support to HSBC staff. Carrying out preventive maintenance at mutually agreed schedules.

    Attending to the system immediately if failures occur. Preparing reports on the status of the system, in agreed upon formats. Maintaining a daily log book for registering comments and actions. Conducting regular reviews of spare parts, and ordering spares. Awareness of site conditions, activities, problems, personnel, configuration, etc.

    Software Enhancement and Support Program (SE&SP)

    This is a post-warranty program which provides the following services by Honeywell.

    Software Maintenance Release Updates

    System software released by Honeywell to remove software conflicts (called Maintenance Releases).

    Customer Response Center (CRC) AccessHoneywell's Customer Response Center (CRC) is a telephone-based customer response service, located inCaracas Experienced hardware and software Bilingual engineers are available during office hours bytelephone. Customers can contact these engineers and communicate their problems or queries andreceive immediate assistance.

    Documentation Updates

    Updates in system documentation will be provided to HSBC as they occur.

    Customer Response Center (CRC) Focal Point (optional)

    Designated CRC personnel (with a designated backup person) will be responsible for monitoring andhandling HSBC calls. The benefit to HSBC is that the CRC person has an increased understanding of, andfamiliarity with, their operations and configuration.

    Annual System Audit and Assessment (optional)

    Annual system audit includes physical inspection and checklist review of the system, including a report.Assessment uses the internal diagnostics of the system nodes to get a performance picture of systemcapacity use and checks error conditions.

    Support Resources

    One of the more important tasks for support is to have current and complete information about a sitesinstallation that may be used in providing effective and efficient support. The program includesimportant support library services. In summary, these are:

    Records Maintenance: Site history (software, hardware, application, release information, andsoftware enhancements)

    Maintenance of a site-specific file including as-built documentation after a successful SiteAcceptance Test (SAT); software backups; and clean copies of the custom software sourcecode.

    Software Revisions

    Software Point Releases

    Point releases are designed to address site-specific problems. Honeywell will test the compatibility of thepoint release with the sites engineered solution, where required, to the extent practical. Media and

    documentation (installation instructions, etc.) are provided for customer installation. In some cases, thecustomer may want Honeywell to do the installation. This will be agreed upon with HSBC and will bedone at standard T&E rates.

    Software Maintenance Releases

    Maintenance releases fix existing problems, but offer no change in functionality. Upon request, thesereleases and associated documentation will be provided to the site at no charge, under the terms of thesupport contract. If there is a request for Honeywell to do the implementation, it will be done at standardT&E rates.

    Man Power Loading

    (MPL)
