INSTRUCTION TO TENDERERS
1. TENDER DOCUMENTS
The Tender Documents provided for this project consist of:
a) Instructions to tenderers
b) Form of tender
c) Form of surety undertaking
d) Preliminaries' including contract particular conditions.

g) Schedule of Drawings
2. DELIVERY OF TENDERS
Tender documents as specified above shall be delivered in the addressed envelope provided, which should be
properly sealed and delivered at the offices specified in the letter accompanying these tender documents. Tenders
will be opened at the time and date specified in the letter accompanying these tender documents. Tender arriving
late will not be considered.
3. COMPLETION OF TENDERS
a) All documents forming the tenders must be completed in ink and the offer must be made on the Form of the tender.
b) The tender shall be validly witnessed.
c) The Contractor is required to check the number of the pages and should any be found to be missing or in
duplicate or the figures in writing indistinct, he must inform the consultants at once and have the same rectified
should the tenderer be in doubt about the precise meaning of any item, work or figures, he must inform the
Consultant in order that the correct meaning may be decided upon before the date for the submission of the
tender.
d) No liability will be admitted nor claim allowed in respect of errors in the contractor tender due to mistakes in
the Bills of Quantities which should have been rectified in the manner described above.
e) The contractor shall not alter or otherwise qualify the text bills of quantities, any alteration or qualification made
without authority will be ignored and these bills of quantities as printed will be adhered to.
f) The Contractor shall be deemed to have made allowance in his prices generally to cover items of preliminaries
profit and attendance items to Prime Cost sums for other items and for other costs that have not been priced
against the respective items.
g) In no case will any expenses incurred by Contractor in preparation of this tender be reimbursed.
h) The contractor will be solely responsible for the accurate and timely ordering of materials in accordance with
the Drawings and Project Manager's Instructions.
i) The bills must be priced in USD (UNITED STATES OF AMERICA DOLLAR) currency.
j) All rates in Bills of Quantities shall be exclusive of VAT but inclusive of all custom duties, levies, royalties and taxes (please note
VAT is reflected as a separate item in the main summary page and as such should NOT be priced in the unit rates)
4. CORRECTION OF ERRORS IN TENDERS
All Arithmetical errors shall be subjected to an error correction percentage to the contract sum, whether in addition
or omission without changing the actual tendered contract amount. All pricing errors shall be adjusted to an error
correction percentage to the contract sum without changing the actual tendered contract amount. Corrections shall
also be made to any undue loading preliminary or other items in the measured section of the bills of quantities and all
such items shall be adjusted either as recurrent items or their cost spread over all other items without changing the
actual tendered figure.
5. NOTES CONCERNING QUANTITIES AND PRICING OF TENDERS
a) The contractor to note that the Bill of Quantities is based on Approximate Quantities. The works shall be re-
measured without change in rates regardless of vast disparity in actual re-measured Vis-a-vis Tendered
quantities.
b) The Bills of Quantities have been prepared in accordance with the Standard Method of Measurement of
Building Works for East Africa.(Contractor to refer items as General Specification for divergences from the
standard method of measurement. In any case all queries should be addressed before submission of tenders
as no claims will be allowed for want of knowledge in this respect.
6. RULING LANGUAGE
The ruling language for all purpose in respect of this contract shall be ENGLISH.
7. ALTERNATIVE TENDERS
In case a bidder wants to submit an alternative tender with a different work method / design, then the tenderer will submit TWO
tenders, one contained in these bills and a second one clearly marked "ALTERNATIVE 2"
8. EVALUATION FACTORS
The main factors which will be taken into account when evaluating tenders and comparing bids will be the
tendered price, time for completion, equipment, personnel and previous technical experience. The client reserves the right to
negotiate and agree a lump sum or a fixed price contract with any contractor regardless of their tender standing. Any
bid which is not fully responsive will be rejected.
9. COPY RIGHT
The copy right of these Bills of Quantities is vested in the Quantity Surveyor and no part thereof may be produced
without their express permission given in writing.
10.0 QUALIFICATION OF TENDER
The tender conditions shall not be qualified, amended, deleted or modified in any manner. The tenderer will allow
in his rates for any additional cost he may deem necessary for adherence to the condition as contained herein.
11.0 CLIENT SUPPLIED MATERIALS
Without prejudice to the rights of the tenderers, the client reserves the right to supply any materials to be used
in any part of the works. In such an event, the contractor shall be paid for profit and attendance. No claim for loss of profit will be
allowed.
12.0 CONFIDENTIALITY / NON DISCLOSURE
The Tenderer shall at no time disclose the contents of this project, its owners and other details to third parties without the
consent of the employer. Any disclosures made without the consent of the Employer will result to automatic termination
of the contract and further damages.

Further we the undersigned, agree to complete the whole of the works as per the Completion Time, from the date

If our tender is accepted, we agree to enter into a Bond for due performance of the contract with the Guarantor
described herein. The Guarantor shall be either bank, Insurance Company of Finance Institution; such as guarantor
shall be to the approval of the client.
Further, we agree that until a formal agreement is signed, the tender and your acceptance do not form a binding
contract between us and that this tender is valid for ninety days from the date stated for delivery.
We have visited the site of the works and we have examined all the documents mentioned as forming part of
this contract together with instructions to tenderers and we fully understand their requirements.
Our tender is complete and we have considered our entire obligation on matters necessary for total execution
of this contract.
We understand that the lowest or any tender will not necessarily be accepted and that the clients shall not allow
any claims we incur in preparing this tender.

Description

b) New walls, doors and finishes
The site is located along in Argwings Kodhek, Kilimani area Nairobi and can be accessed from Nairobi Hospital
gate 1 or 2 or any other gate that the client may designate for purposes of carrying out these works
The contractor shall visit the site to acquaint himself with the nature and position; nature of ground substrata and
other supplies; access roads or any other limitations. If the contractor is unable to locate the site he can seek
guidance and information from the Project Manager.
No claims whatsoever for extras on account of lack of knowledge in this respect will be considered.
The drawings used in preparing these Bills of Quantities are as in Appendix ‘A’ at the end of these Bills of
Quantities. Further drawings may be inspected at the office of the Project Manager or Quantity Surveyor by prior
appointment.

The Contractor will be required to enter into a contract which will be the current Conditions of Contract for
Construction for Building and Engineering Works Designed by the Employer (Second Edition 2017) published by
International Federation of Consulting Engineers (FIDIC) or as may have been reprinted thereafter (With
Quantities), except in so far as varied hereafter. The Form of Contract can be inspected at the offices of the
Quantity Surveyors.
The Contractor’s attention is drawn to the following Clauses of the Conditions of Contract which shall be read as
incorporated herein and shall allow any sums which he considers necessary for the carrying out and observance
of such Conditions.
The Time for completion shall mean the time agreed in weeks from the from Commencement Date
The Agreed methods of electronic transmission All communication shall be in writing and delivered by hand
(against receipt), sent by mail or courier. In addition copies of all communication shall be sent by email from the
originator to each of the recipients of the original communication using email addresses agreed between
contractor, engineer and employer following contract signing. Such email copies shall be for the convenience of
the parties only and the contractual version of any communication shall be the version in writing and the date and
time of delivery shall be the date and time of the delivery of the version in writing.
The governing law shall be the laws of the Republic of Kenya with the ruling language and language for
communications being English (UK)
Notwithstanding the foregoing, the employer reserves the right to remove any part of the work from the main
contractor and have the same executed by a nominated contractor. The Main Contractor shall not be entitled to
any claim for loss of profit but will be entitled to profit (2%) and attendance (2%)
The term Engineer shall collectively mean the Project Manager and any other Professional Consultants engaged
by the Employer for their respective roles.
All instructions with a cost implication or materially change the nature and scope of the works must be approved
by the Employer prior to execution through a variation order. Full justification for such changes shall be provided
by the Contractor and the respective Consultants.

Before the commencement of the construction, the Contractor shall avail a comprehensive site security plan to the
Employer. The Employer, together with any other third party as authorized by the Employer, reserves rights to
examine procedures, methods and facilities used by the Contractor to provide security.
Before the commencement of the construction, the Contractor shall avail a comprehensive health and safety plan
to the Employer. The Employer, together with any other third party as authorized by the Employer, reserves rights
to examine procedures, methods and facilities used by the Contractor to provide health and safety to personnel.
Replacement of the Engineer clause 3.6 Paragraph 3 is Deleted and replaced with “The Employer shall have the
right to replace the Engineer at any time with or without the consent of the Contractor on the choice of the
Engineer”.
The performance security will be in the form of an irrevocable and unconditional guarantee from a tier one or
tier two Bank approved by the employer
The performance security shall remain valid for 180 days from the commencement date and shall be extended
should the completion time be extended beyond its validity period.
Training to Employer’s employees to be provided at the end of the contract and is deemed included within the
Contractors tender price.
Extension of Time for Completion; the word ‘epidemic’ is Deleted
Maximum amount of delay damages 10% of the Final Contract Price. The damages will automatically be
chargeable from expiry of the contract period or extended time of the contract and will be recovered from any
amounts due to the Contractor including retention and the performance security.

circumstances, the DAAB or the arbitrator(s), as the case may be, deem it reasonable for it to do so…”

GENERAL MATTERS OF CONTRACT
The Contractor shall be deemed to have satisfied himself before tendering as to the correctness and sufficiency of
this tender for the works and of the rates and prices stated in the Priced Bills of Quantities, which rates and prices
shall cover all his obligations under the Contract and all matters that are necessary for the proper completion and
maintenance of the works.
Stamp Charges and Registration of the Contract.
The Contractor shall allow for the payment of all stamp charges and registration in connection with the Contract
Agreement.
The contractor will also be responsible for registration of project with the National Construction Authority (NCA)
which must happen within the 7 days from signing of the contract.
The terms used in the Bills of Quantities shall be interpreted as follows:
“As directed” shall mean as directed by the Project Manager and the Employer in writing.
"K.S" shall mean the current Kenya Standard specification published by the Kenya Bureau of Standards, P.O. Box
54974, NAIROBI, Kenya.
“DO” or Ditto” shall mean the whole of the preceding description except as qualified in the description in which it
occurs.
“As described” shall mean as described previously in a foregoing Bill or Trade Preambles of in the Ministry of
Public Works, General specification for Building Works 1976 Edition or any subsequent revision thereof.
“Approved” shall mean approved by the Project Manager and the Employer in writing.
“B.S.” shall mean the current British Standard Specification published by the British Standards Institution, 2 Park
street, London, W.I., England.

All “provisional” and other work liable to adjust under this Contract shall be left uncovered for a reasonable time to
allow all measurements needed for such adjustment to be taken by the Quantity Surveyor. Immediately the work is
ready for measurement the contractor shall give notice to the Quantity Surveyor.
If the Contractor makes default in these respects, he shall, if the Project Manager so directs, uncover the work at
his own expense to enable measurements to be taken.
The Contractor shall upon receiving instructions to proceed with the work, draw up a time and progress schedule
setting out the order in which the works are to be carried out and stating the appropriate dates. This Time and
Progress Schedule is to be agreed with the Project Manager and the Employer, and no deviation from the order
set out in this schedule will be permitted without the written consent of the Project Manager and the Employer. The
Main Contractor will be responsible for agreeing the above programme with all sub-Contractors including the
Nominated Sub-Contractors and Nominated Suppliers.
Figured dimensions are to be followed in preference to dimensions scaled from the drawings, but whenever
possible dimensions are to be taken on the site or from the buildings. Before any work is commenced by sub-
contractors or specialist firms, dimensions must be checked on the site and/or building and agreed with the
Contractor, irrespective of the comparable dimensions shown on the drawings. The contractor shall be
responsible for the accuracy of such dimensions.

proposed works, at such hours and by such routes as are permitted by the authorities.
No labour camps will be allowed on site. The Contractor may however liaise with adjacent property owners and
locate his camp within good distance from the site.

The Contractor will be required to make good, at his own expense, any damage he may cause to the present road
surfaces and pavements during the period of the works. In particular, all existing lawns, gardens, paths, storm
water channels, hedges, fences, etc., which may be destroyed or damaged during the progress of the works are
to be made good by the Contractor to the satisfaction & approval of the Project Manager.
The Contractor must make himself fully acquainted with current Acts and Regulations, including police regulations
regarding the movement, housing, security and control of labour, labour camps, passes for transport, etc. It is
important that the contractor, before tendering, shall obtain from the relevant authority the fullest information
regarding all such regulations and/or restrictions which may affect the organization of the works, supply and
control of labour, etc. and allow accordingly in his tender. The Contractor is especially drawn to the requirement to
provide workers with protective clothing which shall include but not limited to safety helmet, protective overalls and
safety boots. The Employer will enforce this requirement.
Allow for complying with all Government Acts, Orders and Regulations in connection with the Employment of
labour and other matters related to the execution of the works. In particular the Contractor’s attention is drawn to
the provision of the Factory Act 1950 and his tender must include for all costs arising or resulting from compliance
with any Act, Order or Regulation relating to insurance, pension and Holidays for workplace or to the safety, health
or welfare of work people.
Prior to commencement of any work the contractor is to ascertain from the relevant authorities the exact position,
depth and level of existing electric cables, water pipes or other services in the area and he shall make whatever
provisions may be required by the authorities concerned for the support and protection of such services. Any
damage or disturbance caused to any service shall be reported immediately to the Project Manager and the
relevant authority and shall be made good to their satisfaction at the Contractor’s expense.

All materials shall be new unless otherwise directed or permitted by the Project Manager and the Employer and in
all cases where the quality of goods or materials is not described or otherwise specified, is to be the best quality
obtainable in the ordinary meaning of the word “best” and not merely a trade signification of the word.
The Contractor shall order all materials to be obtained from overseas immediately after the Contract is signed and
shall also order materials to be obtained from local sources as early as necessary to ensure that such materials
are on site WHEN REQUIRED for use in the works.
The Bills of Quantities shall not be used for the purpose of ordering materials.
The Contractor shall be responsible for and shall replace or make good at his own expense any materials lost or
damaged. The works shall be executed by skilled workmen well versed in their respective trades.
The Nairobi Hospital will supply the contractor with exemption letters to allow movement within curfew hours.
However, the contractor will make arrangements for transport for his/her workers. The Nairobi Hospital will not
take any responsibility for any problems encountered during the curfew hours.
The contractor shall be responsible for any extra costs for overtime working he considers will be necessary in
order to complete the works within the contract period or time for completion.
Unless otherwise specifically stated no claim for increased costs will be entertained excepting only increased
costs arising from fluctuation clause as defined in the Conditions of Contract.
MATERIALS AND WORKMANSHIP
Due to the emergency nature of these works, the contractor shall work 24 hours a day in 3No 8 hour shifts. The
work shall continue for all the seven days in a week until completed.
All materials and workmanship shall unless otherwise specified or described conform to the appropriate British

The Contractor shall provide a dedicated mobile/wireless phone for the site which shall be attended at all times,
for the period of the works and shall pay all fees and rentals for the same.
The Contractor shall provide all necessary hoists, tackle, plant, vehicles, tools and appliances of every description
for the due and satisfactory completion of the works and shall remove the same on completion.
The contractor shall provide, erect and maintain all temporary scaffolding, sufficiently strong and efficient for the
due and satisfactory performance of the works, alter and adopt all scaffolding as and when required during the

No timber used for scaffolding, formwork or similar purpose shall be used afterwards in the permanent works.

The Contractor must take all steps necessary to safeguard existing and adjacent property, make good at his own
expense any damage to persons or property caused thereon, and hold the Employer indemnified against any
claim arising.
The Contractor will be held fully responsible for the safety of the existing and adjacent building and for any
damage caused in consequence of these works. He must reinstate all damages at his own expense and indemnify
the Employer against any loss.
The Contractor must take such steps and exercise such care and diligence so as to minimize nuisance from dust,
noise or any other cause, to the occupiers of adjacent properties.
The Contractor must assist in alleviating the effects of possible shortages of materials by advance ordering of
materials in order to maintain a continuous supply. Early delivery of materials will be permitted and included in
interim certificates and upon request by the Project Manager, the Contractor will be required to produce copies of
order forms and invoices to establish that materials have been ordered in sufficient time and to check on material
deliveries.
DOMESTIC SUB-CONTRACTORS.
The Contractor shall be responsible for domestic sub-contractors in every respect and, in particular, it shall be the
Contractor’s responsibility to ensure that each sub-contractor commences and completes the work in such a
manner and is ready on the site with his materials, labour and special plant at such times also as to conform with
the progress schedule, as specified previously and to ensure satisfactory progress.

damages for shortages and damaged goods, defraying demurrage, signing for as having been received in good
order unloading, storing, covering and protecting until the time of fixing, unpacking, replacing anything lost or
damaged, sorting assembling, hoisting to required levels and fixing as described.
Before placing any order with Nominated suppliers the Contractor must ascertain that the terms and conditions of
the quotations and the dates of delivery of materials or execution of work comply with the terms of the contract,
and the progress schedule.
Where description of items includes a P.C. rate per unit, this rate is to cover the Net supply cost of the unit only.
The Contractor's price must include for the cost of the unit at the rate stated plus waste, taking delivery, storage,
fixing in position, profit and overheads.
The net cost per unit will be adjusted within the final account against the P.C rate stated.

The Contractor shall cover up and protect from damage, including damage from inclement rainy weather, all

The Contractor shall ensure that his workers are paid their wages promptly and on time. If such payments are
effected weekly the Contractor shall ensure that workers are paid on the appointed day to avoid any disruption of

functioning of the employer, the staff and the public including the
adjacent property occupiers.
Demolitions work shall be carefully executed with particular aim of
minimizing damage to adjacent finishes, structure or components not
measured herewith.
All existing works shall be propped, strutted and supported as
necessary before the demolition work is commenced. Prices shall
include for all necessary preparatory work to structure and finishing's
and all making good to finishing's on completion whether or not
specifically described.

d) The amounts quoted shall be deemed to be inclusive of all handling
of the removed items and their removal from the site.
e) Materials deemed by the Engineer as reusable shall be salvaged,
cleaned down, made good as necessary, stored securely and
transported to the premises of the client at a designated area as
directed. The contractor shall allow for proper and neat stacking of the
materials.
f) The Contractor to carefully inspect and demolish the following
structures including breaking up foundations with and including
reinforced concrete structures, walls, roof and carefully disconnecting
and removing all sanitary, electrical or other fixed fittings, joinery,

Soft rock of the type know locally as "tuff" or "malady" which in the
