The City Council meets the first and third Tuesday of each month beginning at 7:00 p.m. Meetings are held in City Hall at 321 Walnut Street and audio recordings of the meetings are posted in the City's website at www.greencovesprings.com.

The City may take action on any matter during this meeting, including items that are not set forth within this agenda.

In accordance with Section 286.26, Florida Statutes, persons with disabilities needing special accommodations to participate in this meeting should contact the City Clerk's office no later than 5:00 p.m. on the day prior to the meeting.

Public Participation: Pursuant to Section 286.0114, Florida Statutes, effective October 1, 2013, the public is invited to speak on any "proposition" before a board, commission, council, or appointed committee takes official action regardless of whether the issue is on the Agenda. Certain exemptions for emergencies, ministerial acts, etc. apply. This public participation does not affect the right of a person to be heard as otherwise provided by law.

Exparte Communications: Oral or written exchanges (sometimes referred to as lobbying or information gathering) between a Council Member and others, including staff, where there is a substantive discussion regarding a quasi-judicial decision by the City Council. The exchanges must be disclosed by the City Council so the public may respond to such comments before a vote is taken.

Minutes of the City Council meetings can be obtained from the City Clerk's office. The Minutes are recorded, but are not transcribed verbatim. Persons requiring a verbatim transcript may make arrangements with the City Clerk to duplicate the recordings, or arrange to have a court reporter present at the meeting. The cost of duplication and/or court reporter will be at the expense of the requesting party.

Persons who wish to appeal any decision made by the City Council with respect to any matter considered at this meeting will need a record of the proceedings, and for such purpose may need to ensure that a verbatim record of the proceedings is made, which record includes the testimony and evidence upon which the appeal is based.

FOR MEETING OF FEBRUARY 3, 2015

SUBJECT: Second and Final Reading of Ordinance No. 0-01-2015, an Ordinance amending the City Charter Section 7.05 (A) entitled Elections, changing the dates of election from the First and Third Tuesdays in April to the Second and Fourth Tuesdays in April

BACKGROUND:

Green Cove Springs: Section 7.05, Elections, of the City of Green Cove Springs's Charter specifies that "the persons so qualified shall be voted upon at a regular election to be held on the first Tuesday in April." This Section also specifies that a run-off for "the two (2) persons receiving the highest number of votes cast for each such designated seat shall be declared candidates for such designated seat and shall be voted upon at a runoff city election to be held on the third Tuesday in April. Furthermore, Section 2.02 (A) specifies that qualifying documents must be filed to the City Clerk no later than 12:00 noon 60 days nor more than 12:00 noon 64 days prior to the date of such election, or at such other times as may be established by City Ordinance.

Ordinance No. 0-03-2014, passed by the City Council on February 18, 2014, and approved by the voters on April 1, 2014, amended, among other Sections of the Chaiier, Section 2.02, Composition, qualifications and terms of office, of the City Chaiier which now specifies that "The City Clerk shall be allowed to designate the Clay County Supervisor of Elections to receive the aforementioned qualification documents for election to a city council seat or as may be otherwise established by City Ordinance." Therefore, qualifying for office is now handled soley by the Supervisor of Elections.

Keystone Heights: Section 12 of the City of Keystone Heights's Chaiier specifies that elections shall be held on the first Tuesday in March of each year, which means the qualification period is not later than the first Tuesday in February nor earlier than the first Tuesday in January prior to the election.

Orange Parle Section 7.05 of the Town of Orange Park's Chaiier specifies that regular elections shall be held on the second Tuesday in March. A run-off election, if needed, shall be held two (2) weeks after the Town's regular election. The qualifying period is "not less than thitiy (30) calendar days at not later than noon nor more than forty-five (45) calendar days at not before noon prior to the date of such election."

Penney Farms: The City Manager has broached this topic with the Town Manager and it is under review.

According to the minutes of the 2012-2013 Chmier Review Committee, they discussed the possibilities of holding Clay County municipal elections on the same day. The City Attorney suggested a Chmier change of any magnitude on this Section might best be presented to the community as the only Chmier change item during an election to insure adequate discussion on the issue could occur.

Earlier this year, Chris Chambless, Clay County Supervisor of Elections, held a joint meeting for the municipalities to review and discuss the pros and cons of switching to a "Super Tuesday" election concept for their municipal elections.

During December, the City Manager and Interim City Clerk met with the Town Manager and City Clerk of Orange Park, and the City Manager of Keystone Heights to discuss how the municipalities could migrate to a "Super Tuesday" concept whereby, in an effort to lower election costs for each participating municipality, the four (4) municipalities, which includes Penney Fmms, would hold their elections on the same date and split the costs equally. Fmihermore, since each City has different election cycles, cost-sharing should only occur for those cities conducting elections.

If approved, the earliest election would take place in 2016 as Green Cove Springs does not have an election in 2015. Thus far, three (3) municipalities tentatively agreed to recommend the "second Tuesday in April" for a variety of reasons. Additionally, there will be years where the City does not pmiicipate due to the election cycle. As a result, the other municipalities will require more legislative changes than the City of Green Cove Springs to migrate to the "Super Tuesday" elections.

The attached Ordinance proposes to amend City Chmier Section 7.05 (A) - Elections, to change the City Elections from the first Tuesday in April to the second Tuesday in April to adopt a Super Tuesday. In addition, a run-off Election, if needed, would then be held on the fomih Tuesday in April. This still allows the City to seat a new Council at the first meeting in May as prescribed by the City Charter.

FUTURE DIRECTIONS: The City, Clay County Supervisor of Elections, Town of Orange Park, and City of Keystone Heights have been in discussions to hold their municipal elections, if any required, on the same dates each year. In order to allow the City to pmiicipate in this combined election date process, the City needs to amend its Chmier. Section 100.3605, Florida Statutes (copy attached) allows a municipality to amend its Chmier by ordinance and without referendum for the purpose of changing municipal election dates and qualifying periods for candidates and for the adjustment of terms of office if necessitated by such date changes. Also see copy attached of AGO 2013-05, April 1, 2013.

ORDINANCE NO. 0-01-2015

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF GREEN COVE SPRINGS, FLORIDA, AMENDING CITY CHARTER SECTION 7.05 (A), ENTITLED "ELECTIONS"; PROVIDING FOR REPEALER, SEVERABILITY, AND SETTING AN EFFECTIVE DATE.

WHEREAS, the City of Green Cove Springs, City of Keystone Heights, Town of Orange Park, and Town of Penney Farms are considering using the same dates for their regular municipal elections; and

WHEREAS, the Clay County Supervisor of Elections has agreed to paiiicipate with these municipalities in conducting their elections on a common date or dates each year when municipal elections are required; and

WHEREAS, Section 100.3605, Florida Statutes, allows municipalities to amend their City Charter by Ordinance and without referendum for the purpose of changing municipal election dates; and

WHEREAS, the Florida Attorney General has opined in AGO 2013-5 that such Ordinance procedure for amending a City Charter to change municipal election dates is legal; and

WHEREAS, the City finds that amending the City Chaiier to change election dates may also result in reduced costs for municipal elections.

NOW, THEREFORE, BE IT ENACTED BY THE CITY COUNCIL OF THE CITY OF GREEN COVE SPRINGS, FLORIDA AS FOLLOWS:

Section 1. Pursuant to Section 100.3605, Florida Statutes, Section 7.05 (A) of the City Charter is hereby amended to read as follows:

Section 7.05. - Elections.

A. Multiple candidates. When more than two (2) persons qualify as candidates for the office of city council for any of the designated seats to be filled, the persons so qualified shall be voted upon at a regular election to be held on the ffi:st second Tuesday in April. Provided that one candidate does not receive a majority (50 percent plus one) of the votes cast, the two (2) persons receiving the highest number of votes cast for each such designated seat shall be declared candidates for such designated seat and shall be voted upon at a runoff city election to be held on the #Hffi fomih Tuesday in April. The person receiving the highest number of votes cast at such runoff city election shall be declared elected. If only two (2) candidates qualify for a designated seat or one candidate in the regular election received a majority of the votes cast for a designated seat, the candidate receiving a majority of the votes cast for the designated seat shall be declared elected without the necessity of being voted upon in a runoff city election.

Section 2. Repealer. Any Ordinances or parts thereof in conflict with the provisions of this Ordinance are hereby repealed to the extent of such conflict.

Section 3. Severability. The various paiis, sections, and clauses of this Ordinance are hereby declared severable. If any paii, sentence, paragraph, section, or clause is adjudged unconstitutional or invalid by a comi of competent jurisdiction, the remainder of the Ordinance shall not be affected thereby.

Section 4. Effective Date. This Ordinance shall become effective upon passage.

Florida Statutes, amenq the Arcadia City Charter by ordinance to include term limits to the qualifications for eligibilit¥ for holding office on the city cQunc~l as such a change .constitutes a change in the municipal chartel;' which would affect "the terms of elected offic!'lrs[,]" and, as provided in the statute, must be accomplished by approval by referendum pursuant to sedtion 166.031, Florida Statutes.

Question One

According to your letter, the Charter of the City of Arcadia, Florida, was aciopted by Chapter 5080, La'°ts of Florida 1901, and has not been readopted. The Arcadia City Council is considering amending the city charter by ordinance to move the dates of city elections from September of each odd year to November of each even year to coincide with federal,

. state, and county elections to avoid the expens.e of a special election and to take advantage of increased voter turnout for those e~ections. You are aware that this office has issued a number of opinions on section~ 100.3605 and 166.021(4), Florida Statutes, advising that such a change is authorized, but are particularly concerned that the proposed change in the Arcadia City Chaz-ter would have the effect of e:i<:tending the terms of sitting municipal officers by more than one year.

Section 166.031, Florida Statutes, sets forth the procedures to be followed in amending municipal charters and requires that a proposed amendment shall be subject to referendum approval by the voters. For charters adopted prior to July 1, 1973, and not subsequently readopted, section 166.021, Florida Statutes, repealed or changed into ordinances many of the limitations contained in such charters. [1] Subsection (4) of the statute, however, provided that nothing in Chapter 166, F~orida statutes, the Municipal Home Rule Powers Act, was to be cohstrued as permitting any changes in a special law or municipal charter that affected certain sub~ect matters set forth therein, inclu~ing 11 the terms of elecf.ed officers, 11 without ref'erenduu\ approval as J?rovided in, section 166.031, Florida Statutes.

Thus, for charters adopted after July 1, 1973, and for charter provisions relating to the terms of elected officers adopted prior to that date and not subsequently readopted, any amendment of those provisions would be subject to the procedures in section 166.031, Florida Statutes. Accordingly, this office concluded in Attorney General Opinion 94-31 that the city oonunission of the City of Tallahassee could not amend its charter by ordinande to provide for a change in the data on which m~nicipal elections would occur anct extend the terms of the sitting officers affected by the change.

However, in response . to this opinion, the Florida Legislature, during the 1995 legislative session, introduced legislation to amend section 166.021, Florida Statutes. Section 1 ·of Chapter 95-178, Laws of Florida, amended section 166.021(4) to read in pertinent part:

In addition, Chapter 95~178, supra, created section 100,3605, Florida Statutes, relating to the conduc't of municipal elections. [2] Subsection (2) of section 100.3605 provides:

'"l'he governing body of a municipality may, by ordinance, change the dates for qualifying and for the election of members of the governing body of the municipality and provide for the orderly transition of office resulting from such date changes."[3)

Thus, as discussed above, prior to the 1995 amendment to section 166.021(4) 1 Florida Statutes, and the creation of section 100.3065,

· Florida Statutes, a change in the charter prescribing the qualifying and election dates for municipal office~s, and the resulting change in the term of office for sitting officers, required mnendment according to the provisions of section 1G6,031, ~lorida Statutes, regardless of when suoh provisions were adopted . . The legislative history of the 1995 legislation amending section 166.021(4) and creating section 100.3065, bowever, indicat~s an intent that municipalities are a~thori~ed to amend their charters, whether those charters were adopted before or after July 1, Hl73, to change the election dates and qualifying periods for candidates, including any changes in terms of office necessitated by such amenclinent, without a referendum. Accordingly, I am of the opinion that pursuant to sections 166.021(4) and 100.3605 1 Florida statutes, the Arcadia City Council may amend its city charter by ordinance to move the dates of city elections from the first Tuesday after the third Monday of September of each odd year to the first Tuesday after the first Monday of November of each even year to coinci~e with federal, state; and county elections, and to extend the terms of the sitting mun;i.oipa;L officers resulting from this date change without voter approval by referendum. However, while the Arcadia City Counoi1 may amend its city charter by ord:i.nance to move the date~ of ci.ty elections and to exten~ the terms of the sitting municipal officers resulting from this date change, a charter amendment to impose term limits on the future officers ~erving on the Aroatjia City Council wo~ld not come within the st~tutory exceptions discussed ~ove and would require voter approval by referendum.

In Attorney General Opinion 2001-81, the City of Punta Gorda proposed to change the term of office for city oounoi1 members from two years to three yi;iars. The opinion, construing sections 166.021(4) and 100.3605, Florida Statutes, relied on the exception for "orderly. transition of office result;ing from such date changes" to conclude that a provision relating to sitting o,ffi.,cers falls within the exception, [5] (e,s,) That opinion recognized, however, that a proposed charter amendment· propo~ing to lengthen official terms of office and appiying to future city council members would not come within the exception recognized in sections l66.021(4) and J.00.3605, Florida Statutes, and wou;I..d require referendum approval.

Likewise, · I do not read the exception in sections 166.021(4) and 100.3605, Florida Statutes, to authorize a munici~ality by ordinance to adopt term limits applying to future city council members without a

. referendum. Section 166.021(4) / Florida Statutes, requil:;es that charter amenchnents outside the scope of the exception be submitted to voters for · approval in accordance with section 166.031, Florida Statutes. In addition, sectioh 166.021(4), Florida Statutes, requires referendum approval of any )?l:'e-1973 charter provisions c;lffecting the terms of elected officers. [6)

Therefore, I am of the opinion that while voter appr:oval by referendlllfi is not required for the City of Arcadia to change the date of municipal elections and extend the terms of sitting qfficers resulting from this date change, the city must seek referendwn approval for art amendment to the Arcadia City Charter to impose term limi fai on olty council members in the future.

CITY OF GREEN COVE SPRINGS, FLORIDA STAFF REPORT

FOR MEETING OF FEBRUARY 3, 2015

SUBJECT: 15TH Annual Christmas on Walnut Street (COWS) After-Action Repo1i

BACKGROUND: On August 20, 2013, the Council approved co-sponsorship for the 15th Annual Christmas on Walnut Street Celebration, along with the 47th Annual Christmas Parade and Annual Jingle Bell Fun Run. The Lion' s Club of Green Cove Springs requested $1,200.00 in direct costs for sponsoring the festival, along with various in-kind services. The Lion's Club paid for the City Police Dept. hours for the festival. The Green Cove Springs Business League sponsored the parade and Clay Striders ran the Jingle Bell Fun Run. A summary of the event may be found attached to this staff report, along with a recap of both direct costs and in-kind services provided by the City in supp01i of this community event.

EVENT TEAM: City of Green Cove Springs Staff, Green Cove Springs Lion's Club, Green Cove Springs Business League, and Clay Striders.

NARRATIVE: The 2014 Christmas on Walnut Street Celebration was a success. The GCS Lion's Club was very excited to share that there was a total of 76 food, craft and non-profit vendors which increased greatly from last year. The Pictures with Santa and the Kids Zone stayed busy. The Jingle Bell Fun Run had 273 registered entries of all ages and the Green Cove Springs Business League had 49 entries in the parade. They also put together an on-line survey . to gather input for next year's parade. The businesses on Walnut Street (west side of Hwy 17) organized a Caroling on Walnut Street after the City Hall Tree Lighting which was enjoyed by many people. Some of the suggestions for next year are to staii the event at a later time in the day, and have a night parade that would end on Walnut Street with evening ente1iainment and the City Hall Tree Lighting Ceremony.

DIRECT COSTS TOURIST DEVELOPMENT (TDC) FUNDS: The City placed radio spots with 94.1 FM to run during the period of December pt - December 6th in the amount of $1,045.00 payable with Tourist Development Council (TDC) Funds.

Christmas on Walnut after action:

Another year and what a success! Overall we think all went smoothly on our part.

We had a great turn out for vendors with 60 art and craft and 16 food. About half

of them used the double up application and discount with Memorial Day. We still

have trouble getting spring street situated due to the bottle neck at the food

vendor corner but in all everyone was off the street as planned.

We have not heard of any complaints however have already received several calls

about Memorial Day and asked them to call back in March when we should have

the details ironed out.

We did have a few issues again with electricity on Walnut early in the morning

and on Friday evening when the bounce houses where delivered. Both of which

were handled in a timely manner. The missing barricades caused problems early

but blocking the streets with a personal vehicle @St. John and getting new ones

on Magnolia stopped the influx of residents trying to use Magnolia. I do not

believe we did enough advertising in GCS as the residents who did drive up where

unaware that the festival was going on. I think that is something we should

address. Maybe we should try sending flyers in electric bills again. Depending on

the cost.

in each bag. Let us not forget the banana from challenge enterprises, the coloring book and crayon from

Publix, the Hardees gift certificate.

Crowd was great The clropping off of the kids on our float at the end was a headache. W e had all of our veh icles near the courtl1ouse, the float was instructed to be emptied at the end and go right while the kids and workers got out and went left W e were not prepared and fel t stranded . W e sent some of tl1e drivers of personal cars to walk back to courth ouse and get a few cars to bring the kids back. We also, participated at Middleburg in the evening . FOR MEETING OF FEBRUARY 3, 2015

SUBJECT: APPROVAL OF PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY AND PUSH MEDIA, LLC.

BACKGROUND: The Clay County Council on Aging is proposing to enter into an agreement with Push Media, LLC, for the purpose of installing seating, bus shelters, recycling stations, and bus stop signs (amenities) along transit routes within Clay County. There are 3 sites proposed that are within the city limits as identified on the attached sheets. The sites in the city limits are:

• GCS-1000 on Houston Street at Palmetto Avenue • GCS-1001 on Orange Avenue/US17 at Spring Street • GCS-1002 on ldlewild Avenue at West Street

Push Media will be responsible for the purchase, installation, and ongoing maintenance of the amenities. Costs will be offset by selling advertising space on the amenities. The City Council approved Ordinance No. 0-14-2014, which revised the Sign Code to allow off-site signs on bus benches, transit shelters, and recycling stations.

The City Attorney has drafted the attached Professional Services Agreement between the City and Push Media for use of the City right of ways. It has been reviewed by Push Media and is being presented to the Council for execution.

PROFESSIONAL SERVICES AGREEMENT (Push Media, LLC.)

THIS AGREEMENT IS MADE THIS _____ DAY OF ______ , 2015.

BETWEEN:

THE CITY OF GREEN COVE SPRINGS (Hereinafter called the "CITY")

PUSH MEDIA, LLC, a Florida Limited Liablity Company (Hereinafter called "PM")

WHEREAS, PM is engaged in providing Transit Amenities and related appurtenances and selling advertising space thereon for the purpose of advertising goods and services; and

WHEREAS, PM has asked the CITY of GREEN COVE . SPRINGS for the privilege of placing such street amenities on untraveled portions of public highways and other public places within the jurisdiction of the City of Green Cove Springs; and

WHEREAS, the CITY has the authority to permit any person, under such conditions as may be agreed upon, to place, construct, install, maintain and use objects in, on, under, or over sidewalks and highways under its jurisdiction; and

WHEREAS, PM is contracting with Clay Transit for their services and the City is not charging any rent to PM. · - · ·

NOW, THEREFORE, IN CONSIDERATION OF the sum of $10.00 (Ten Dollars), receipt of which is hereby acknowledged by the CITY, and in consideration of the mutual covenants hereinafter contained, the parties do hereby agree as follows:

DEFINITIONS

1. For the purposes of this Agreement:

1.1. "Amenities" means seating, recycling, bus shelters, bike rack, trash cans, newspaper box organizers with integrated trash receptacles, recycling containers (where agreed upon), advertising faces, a concrete mounting pad for each Amenity, and an area of three (3) feet surrounding all sides of each Amenity. The parties agree that the style and design of the Amenities provided are to be approved by the CITY MANAGER.

1.2. "CITY MANAGER" means the Green Cove Springs City Manager or his or her designee.

2. PM agrees to install all Amenities on a mounting pad unless a suitable base exists. Where a mounting pad does not exist and is required, PM agrees to install, at PM's sole expense, a mounting pad for every Amenity installed pursuant to this Agreement. PM shall be responsible for ensuring that all mounting pads provide for the safe movement of pedestrians to, from and around the Amenity.

3. PM shall ensure that the installation of and all maintenance and repair of the Amenities is carried out in a proper and worlunanlike manner and so as not to create hazards to utilities or the CITY and shall ensure the safety of pedestrians and the safe movement of vehicles.

4. PM shall conform to any environmental policies or recycling programs adopted by the federal or state governments or by City Council prior to or during the term of this Agreement. The CITY will not reimburse PM for any costs associated with conforming to any such policies or programs. The CITY agrees to advise PM of any such new proposed policies and programs prior to their consideration by City Council.

TERM

5. The term of this Agreement shall be ten llQ} years commencing February 15, 2015 and ending February 14, 2025 (the "Term") unless terminated earlier pursuant to the terms of this Agreement.

5.1. Providing that PM has met all of the contractual obligations hereinafter contained and is not in default under its contract with Clay Transit, the contract will renew at City's sole discretion for successive one year term at the end of the original term of the contract.

5.2. The CITY MANAGER agrees to provide PM with notice, in writing, of the intent NOT to renew this Agreement under the same terms and conditions, at least 90 days before the expiration of this Agreement.

INSTALLATIONS & MAINTENANCE

6. PM agrees during the construction and installation of the Amenities to keep each location in a clean and orderly condition and remove all waste and unusable material from each location upon completion of the construction or installation of each Amenity or sooner as required by the CITY MANAGER.

7. PM shall be solely responsible for obtaining all authorizations and the like before any Amenity is installed and for any other work undertaken by PM pursuant to this Agreement.

8. PM shall maintain all Amenities as defined herein in good repair and is solely responsible for ensuring the provision of normal maintenance to those Amenities as follows:

8.1. to keep the grass trimmed, 8.2. to keep the area free of debris, and 8.3. to keep the Amenities clean and free of graffiti.

9. PM agrees to inspect Amenities for damage during regular maintenance and make arrangements for timely repair. PM shall provide normal maintenance to the Amenities on a frequency of not less than once a month during the term of this Agreement or more often if required by the CITY MANAGER.

10. PM agrees to continuously maintain all Amenities and keep them free from damage and to protect the property of the CITY from injury or loss.

11. The CITY agrees to permit PM to install Amenities on untraveled portions of public highways within the jurisdiction of the City of Green Cove Springs as follows:

11.1. PM agrees to install units at locations that are agreed upon by PM and approved by the CITY MANAGER.

11.2. Amenities will be placed at locations within the CITY as mutually determined by the CITY MANAGER and PM. Both the CITY MANAGER and PM may request sites anywhere in the City, but final approval of all sites rests with the CITY MANAGER.

11.3. Amenities cannot be placed within the traffic sight triangle.

12. Amenities must not interfere with the pedestrian right-of-way.

13. It is acknowledged by the parties that, in the selection of each location, consideration will be given to the convenience of the public. It is further acknowledged that the placement of the Amenities shall be in such a manner so as not to obscure signs, transit stops or interfere. with the visibility or effectiveness of advertising on transit shelters. The placement of all Amenities must be approved by the CITY MANAGER.

14. PM shall comply with all requirements of the CITY with respect to parking and street occupancy during all installations and maintenance of Amenities.

EMERGENCY REPAIR -MAINTENANCE

15. The CITY may provide written notice to PM when any Amenity requires emergency maintenance or repair if its condition is such that, in the CITY MANAGER's sole opinion, the condition renders a serious danger to the public. In such an event, PM shall, as soon as possible and not later than 24 hours after the giving of such notice, repair and make safe the Amenity at PM's sole expense and to the satisfaction of the CITY MANAGER. In an emergency situation where a 24-hour wait is in the CITY MANAGER's sole opinion considered unacceptable, the CITY may arrange for work to be done to eliminate public danger and PM shall be solely responsible for paying all costs incurred by the CITY for such work.

REMOVAL AND RELOCATION

16. PM acknowledges and agrees that the CITY shall have the right to order the removal or relocation of any Amenity installed within the jurisdiction of the City which the CITY, in its judgement reasonably excercised, believes not to be located to the public benefit. PM agrees to remove or relocate any such Amenity within 48 hours of the CITY giving notice to PM. PM shall restore~the site from which the Amenity was removed to the condition the site was in immediately prior to the installation of the Amenity and to the satisfaction of

the CITY. Such removal, relocation and restoration shall be at no expense to the CITY and all such costs associated therewith shall be borne and paid by PM. Where PM fails to remove or relocate such Amenity within 48 hours or where PM fails to restore the site as required, the CITY may arrange for such removal, relocation and restoration and PM shall be solely responsible for paying the CITY all costs incurred by the CITY for such work.

TRANSIT SHELTER PROXIMITY

17. PM may provide units at sites where advertising transit shelters exist providing that the terms are adhered to by PM and that the CITY MANAGER has approved such sites under the same approval criteria as all other sites.

18. The CITY MANAGER will make re.asonable attempts to approve/decline any site requested by PM within 30 days of receiving such request.

REVENUE, ACCOUNTING & AUDIT

19. Notwithstanding any provision to the contrary herein, PM shall pay to Clay Transit or its designee, for the duration of this Agreement, fifteen percent (15%) of net advertising revenues for each installed advertising amenity. PM shall also strictly comply with all terms and conditions of its contrat with Clay Transit.

20. The CITY MANAGER or anyone designated by the CITY in writing shall have the right at all reasonable times to audit and inspect accounts, records, receipts, vouchers and other documents relating to the Advertising revenues associated with Amenities installed under this Agreement and shall have the right to make copies thereof and take extracts therefrom. PM shall make available all facilities reasonably necessary for such audits or inspections.

REGULATION OF ADVERTISING COPY/STANDARDS

21. PM covenants and agrees that all sponsorship panels must be aesthetically pleasing and fit into the environments in which they are placed. Sponsorship panel copy and design must not contain any material, language, representation or image which discriminates on any prohibited grounds of discrimination as set out by applicable law, and all advertising copy and design must comply with Advertising Standards Codes and Guidelines including but not limited to the -:American Code of Advertising Standards and with all laws. Advertisements shall not:

21.1. contain inaccurate or deceptive claims or statements; 21.2. present products prohibited from sale to minors in such a way as to appeal

particularly to persons under legal age; 2i.3. present demeaning or derogatory portrayals of individuals or groups; 2i.4. take a stand on controversial societal issues; 21.5. exploit violence or sexuality; 21.6. promote tobacco or alcohol products; 2i.7. interfere with the operation of equipment; 21.8. violate or conflict with any existing CITY policies or any new policies which may be

adopted by the CITY; and 2i.9. contain any political ads.

22. PM shall remove any advertising that is deemed by the CITY MANAGER in his or her sole discretion not to comply with the provisions herein or is otherwise objectionable within 24

hours of the CITY giving PM notice, failing which the CITY may remove such a panel at the sole expense of PM.

PROVISION OF PROMOTION AMENITIES & TERMS

23. PM agrees to make accessible to the CITY (upon 30 days written notice), 10% of the available amenities of the CITY under this Agreement during any month for use by the CITY (or their agencies) free of charge for public service messages or advertising for municipal purposes. The CITY will be responsible for the cost of designing, producing and supplying such public service messages or municipal advertising to PM. PM will be responsible for installation and removal of the advertising at PM's sole expense.

OWNERSHIP

24. PM shall provide Amenities (where space requirements permit), and retain the full ownership. PM shall be solely responsible for the maintenance and repair of the Amenities provided, except as otherwise set forth herein.

25. It is agreed that Amenities provided under this Agreement will remain the property of PM and on the termination of this Agreement shall be removed by PM or otherwise disposed of, unless otherwise agreed to by the parties in writing, and PM shall restore the sites to the satisfaction of the CITY MANAGER to the condition they were in immediately prior to the installation of the Amenities, all at PM's sole expense.

TERMINATION FOR JUST-CAUSE/REMEDY

26. If PM neglects or fails to carry out or to comply with any of the terms, covenants, undertakings or conditions of this Agreement, the CITY MANAGER may, after having given written notice to PM of such default and which default was not corrected to the sole satisfaction of the CITY MANAGER within thirty (30) days of the notice being given, terminate this Agreement by giving 90 days' notice in writing to PM and this Agreement shall be deemed to be terminated on the day specified in the notice of termination. Upon such notice having been so delivered or sent, PM shall forthwith at PM's entire expense remove all Amenities. The sites from which the Amenities were removed shall be restored at PM's expense to the condition they were in immediately prior to the installation of the Amenities and to the satisfaction of the CITY MANAGER.

27. Where PM fails to remove any Amenity or to restore any site as required by this Agreement at the termination of this Agreement or as otherwise required under this Agreement, the CITY may arrange for the removal of all or any of the Amenities and the related site restoration and PM shall be solely responsible for paying to the CITY all costs incurred by the CITY for such work.

INSOLVENCY

30. It is further agreed that should PM become insolvent, bankrupt, unable to pay its debts, make an authorized assignment or compromise to their creditors, and be unable to perform their duties under this Agreement, the CITY, without prejudice to its other lawful rights and remedies forthwith, may terminate this Agreement by written notice and the time limit set forth in Clause 28 of this Agreement shall be waived.

ASSIGNMENT

INDEMINIFY

32. PM shall be responsible for any and all damages, or claims for damages for injuries or accidents done or caused by it or its employees or contractors, or resulting from the prosecution of the work, or any of its operations, or caused by reason of the existence or location or condition of the work, or of any materials, paint or machinery used hereon or herein or which may happen by reason hereof, or arising from any failure, negiect or omission on their part, or on the part of any of their employees or contractors, to do or perform any or all of the several acts or things required to be done by it or them under and by this Agreement, PM covenants and agrees to hold the CITY and their officers, employees, servants, or agents (hereinafter collectively "CITY") harmless and indemnified for all such damages and claims for damage; and in case of PM's failure, neglect or omission to observe and perform faithfully and strictly, all the provisions of this Agreement, the CITY may, 30 days after having given notice in writing of such failure, neglect or omission, take such steps, procure such material, items, trucks and workers and so such work or things as they may deem advisable toward carrying out and enforcing the same and may, to the extent of the costs thereof, charge these costs back to be paid by PM and may recover such costs in any court of competent jurisdiction as a debt due and owing by PM to the CITY.

33. _ PM covenants and agrees to, from time to time and at all times hereafter, well and truly save, defend and keep harmless and fully indemnify (to include reasonable attorney fees incurred by the CITY) the CITY and their officers, employees, or agents, from and against all actions, suits, claims, liens, and demands which may be brought against or made upon the CITY, their officers, employees, servants, or agents and of, from and against all loss, costs, charges, damages and expenses which may be paid, sustained or incurred by the CITY, their officers, employees, servants, or agents by reason of, or on account of or in consequence of the execution and performance of the contract work, or the non-execution or imperfect execution of the contract work or the supply or non-supply of the work or otherwise by reason of or arising out of the right to occupy portions of the untraveled public highways hereby granted and PM will pay to the CITY or any of their officers, employees, servants or agents, on demand, as the case may be, which may be paid, sustained or insured by the suits, claims, liens, executions or demands and all monies paid or payable by the CITY or such officers, employees, servants, or agents in settlement or in discharge thereof or on account, thereof and that in default of such payment all loss, costs, changes, damages and expenses and all monies so paid or payable by the CITY or such officers, employees, servants, or agents may or may be recovered from PM in any Court of competent jurisdiction as monies paid at PM's request and PM hereby authorize and empower the CITY or thereafter their attorney for the time being to settle or compromise as the CITY or their attorneys may deem expedient, any actions, suits, claims, liens, executions or demands which may be brought against or made upon the CITY, their officers, employees, servants, or agents by reason of, or on account of or in performance of the Agreement and the performance of the Agreement or the non-execution or imperfect execution of the contract work and the supply or non-supply of the contract work or otherwise by reason of or arising out of or as a result of this Agreement or the permission to occupy portions of the highways hereby given.

34. In addition to and without limiting any of the other indemnification obligations of PM pursuant to this Agreement, PM covenants to indemnify and save harmless the CITY from any and all claims, liabilities, damages, costs, expenses, suits or actions, or other proceedings by whomsoever made, sustained, brought or prosecuted in any manner resulting from any claim relating to the placement or removal of advertisement(s) on any Amenities and to inventions, copyrights, trademarks, patents, industrial designs and rights thereto used in the work done or in the advertising placed on the Amenities, provided that PM shall have no obligation of indemnity hereunder with respect to any advertisement supplied to PM by the CITY.

INSURANCE

35. PM agrees to procure and maintain for the duration of this Agreement, liability insurance relative to each Amenity installed in which the CITY is a named insured equal to or in excess of the following minimum requirements and PM further agrees to file with the CITY a copy of the Certificate of Liability Insurance evidencing such requirements. The Liability insurance policy shall at a minimum:

35.1. have a limit of liability of not less than ONE MILLION DOLLARS ($1,000,000.00) for any one (1) occurrence and the amount of such liability insurance shall be increased at the request of the CITY based on reasonable grounds acceptable to PM; and

35.2. be comprehensive Liability Insurance covering all operations and liability assumed under this Agreement; and

35.3. not contain any exclusions or limitations in respect of shoring, underpinning, razing or demolition of any building or structure, collapse of any structure or subsidence of any property, structure or land from any cause; and

35-4· be endorsed to provide that the policy will not be altered, cancelled, or allowed to lapse without thirty (30) days prior written notice to the CITY; and

35.5. contain a cross-liability clause; and 35.6. PM shall be responsible for deductible amounts (which amounts shall be mutually

satisfactory to PM and the CITY) under the policies; and 35.7. be approved by the City Attorney.

AGREEMENT DEFINITION

36. No amendment of this Agreement shall be deemed valid unless effocted by a written amendment signed by both parties and no waiver of rights of any kind under this Agreement shall be effective unless in writing by the party for whom they are a benefit.

37. This Agreement shall be subject to, and interpreted in accordance with the State of Florida.

38. Clauses 35 to 35. 7 shall survive termination or expiration of this Agreement, and shall · continue in full force and effect subsequent to and notwithstanding such termination or expiration until or unless they are satisfied, by their very nature expire, or they are waived in writing by the party for whom they are a benefit.

39. If any provision of this Agreement is held to be unenforceable or invalid, then the remaining provisions of this Agreement will remain in full force and effect.

40. This Agreement constitutes the entire Agreement between the parties to this Agreement and supersedes any prior agreements and understandings, oral or written.

41. The parties agree and expressly confirm that the CITY has conferred upon PM certain license rights to use municipal lands in connection, and solely in accordance, with the terms of this Agreement and PM has no leasehold and/ or tenancy and/ or other interests or rights of any nature or kind whatsoever in any real property of the CITY in connection with the execution, delive1y and/ or performance of this Agreement by the parties.

MISCELLANEOUS PROVISIONS

42. PM is not the agent or employee of the CITY.

43. PM shall not discriminate against any employee, agent, or subcontractor because of race, religion, color, sex, marital status, age, or national origin and will take affirmative action to ensure they are afforded equal protection without discrimination.

44. Each party waives right to trial by jury and all actions, suits, or claims arising hereunder shall be held only in the courts located in Clay County, Florida.

45. Notwithstanding any provision to the contrary, the CITY does not waive its sovereign immunity or limits ofliability set forth in Florida Statute 768.28.

46. Notwithstanding any provision to the contrary herein above, the CITY reserves the right to allow other persons or entities to advertise on City property upon terms approved by the City Council.

SUBJECT: Funding Strategies for the FY 15 Electric CIP Projects with Loan Proceeds designated as the Funding Sources.

BACKGROUND: Staff was instructed to prepare funding strategies for the FY 15 Electric CIP Projects that have designated funding sources of loan proceeds. A summary of the strategies is attached as Exhibit "A" along with a copy of the FY 2014/15 Electric CIP page for Council review. The sources (revenues) are listed with 43 percent being funded with loans, 4 percent funded with Florida State Board of Administration Utility Account Funds (unrestricted portion), 15 percent funded with electric improvements cash set aside from unspent bond proceeds and 3 8 percent being funded with excess electric sinking funds. The City is required to maintain an Electric Utility Revenue Note Series 2009 Sinking Fund that equals a semi-annual Electric Debt Service payment. The Electric Sinking Fund requirement is $137,616. The unaudited September 30, 2014 balance in the Electric Sinking Fund is $416, 184 which leaves an overfunded balance of $278,568. The uses (expenditures) reflect the total projected cost for the projects.

SUBJECT: ANNEXATION OF 14.9 ACRES OF CITY OWNED PROPERTY IDENTIFIED AS PARCEL# 016515-003-00

BACKGROUND: In 2011, the City, with the assistance of FCT (Florida Communities Trust) grant funds, purchased approximately140 acres for Phase Ill of the Green Cove Springs Nature Preserve - Ed Gustafson Regional Park. In 2014, the City was awarded a Recreational Trails Program grant to construct a trail on 14.9 acres of the acquired property. The 14.9 acre parcel proposed for annexation is part of the Phase Ill acquisition. It is a separate parcel, located west of Oakridge Avenue. The development of the trail would not be allowed in the existing County's FLUM (Future Land Use Map) designation.

One of the requirements of the FCT grant agreement was to amend the Future Land Use Map (FLUM) designation for the acquired property to recreation and/or conservation. After the property is annexed into the City, the property will be designated with the City's Recreation FLUM designation. This City FLUM category will allow the development of the trail.

FISCAL IMPACT I FUNDING SOURCE: The cost of advertising and notice requirements for the annexation required by State Statutes.

STAFF RECOMMENDATION: Staff recommends the City Council authorize the annexation of Parcel # 016515-003-00, a 14.9 acre parcel located west of Oakridge Avenue, and direct the City Attorney to prepare the ordinance to annex the parcel into the City.
