Cleaning and care directionsCleanability of fabrics: see colour guide. Please clean covers made of leatherette, PVC, and waxed cloth, as well as coatings made of PU and PUW only with VAH-listed (German Association for Applied Hygiene) wet disinfec-tant agents. Leatherette autoclavable up to a maximum of 100°C. PVC not autoclavable. Microporous surfaces are not blood-proof! Please clean contaminated surfaces with an antioxidant like sodium thiosulphate. Or if you expect a contamination with blood, please use disposable polyethylene film as covering.

Taking backpossible for articles marked with an asterisk in leatherette white, PVC cream-coloured, and PU agave-coloured. Unfortunately, we cannot take back those items without an asterisk and with different measurements, sur-faces, or colours.

Operation cushions for surgeries in prone positionApplications: Body positioning cushions which provide a stable, physiological position during surgeries in prone position. Those special head-positioning cushions are: thorax cushion, pelvis cushion, half-roll, as well as ulnar cushion. Pelvis cushions and thorax cushions are additionally available with a viscose layer and with their edges rounded off. Thus, the risk of pressure sores is reduced to a minimum. By combining thorax cushion and pelvis cushion the patient can be positioned in the best possible way according to the patient’s height as well as to ensure abdominal breathing.

Our operation cushions are also very useful in physiotherapy, massage treatments, and for moving sick persons in prone position.

We recommend our heel cushion with its edges rounded off (page 7.3 art. no. 590002) to offer extra relief to the kneecaps.

There are different prices for:- PU coating white: additional charge of 20% to the price of

the standard PU version, as well as- PU cover black antistatic: additional charge of 30% to the

price of the standard leatherette version.

The antistatic version of the PUW coating/waterproof is available for the same price as the standard PUW coating.

The prices stated in the seller’s acknowledgement of the order shall apply, plus the respective statutory value added tax. Additional deliveries and performances respectively services shall be invoiced separately. When this time limit has run out, the seller reserves the right to reasonably ad-just prices provided that cost factors, such as costs of materials and energy, personnel expenses, and general taxes have substantially changed before delivery.3.2 The current seller’s price list, i.e. the one valid on the day the order has been placed, shall only apply to catalogue goods which have remained theretofore unmodifi ed.3.3 All prices, unless stipulated otherwise, are ex works, and exclusive of any charges for postage, freight, custom duties, insurance, packaging, and potential import duties (Advance Income Tax).3.4 The seller shall not be bound to maintain the previous prices in follow-up agreements.

4. Time of Delivery and Performance

4.1 Dates or periods of delivery, which may be agreed upon bindingly or non-bindingly, shall be made in writing.4.2 The seller shall not be responsible for delays in delivery and performance due to circumstances amounting to force majeure and events, which make deliveries considerably more diffi cult or impossible – in particular strikes, lockouts, offi cial directives etc., even should these cases arise with the contractors of the seller or his subcontractors -, even if binding terms and dates have been agreed upon. These events entitle the seller to extend the time for delivery respectively performance for the duration of the impediment plus a reasonable time for adaptation, or to partially or completely withdraw from the contract due to that part thereof which has not yet been fulfi lled. His subcontractor’s explanation stated towards the contractor shall serve as suffi ci-ent evidence for the impeded delivery of the contractor.4.3 If the impediment lasts longer than three months, the seller shall then, after having extended the original term, be entitled to withdraw from the contract with regard to the still unfulfi lled part thereof. If the delivery time is extended or the seller is released from his obligation, the buyer may not derive any claims for compen-sation from it. The seller may only claim relief by reason of the abovementioned circumstances, if and when he gives immediately notice to the seller.4.4 If the seller claims damages due to the non-acceptance of ordered goods, the quantum of damages shall be twenty (20) per cent of the invoiced amount. Such amount of damages has to be assessed at a higher or lower value depending on whether the seller substantiates a higher loss or the buyer a lower one.4.5 The seller shall be entitled to deliver by instalments and perform partial services at any time.

5. Passing of the Risk

Risk of damage to or loss of the goods shall pass to the buyer as soon as the consignment of the goods has been handed over to the carrier executing the transit or has left the seller’s warehouse for the purpose of transportation. If the shipping of the goods becomes impossible without the seller being to blame for, the risk shall pass to the buyer the moment when the seller notifi es the buyer that the goods are ready for despatch. Insofar as no forwarding instructions have been specifi ed, the seller shall determine the most reasonably-priced routing for sending off the goods. The goods shall be despatched for the account and at the risk of the person ordering.

6. Warranty

6.1 The seller guarantees that all products are free of any manufacturing defects and defects in material. The period of guarantee shall be six (6) months.6.2 The warranty period shall run from the date of delivery. If operating or maintenance instructions of the seller are not observed, if products are changed, or if parts thereof are exchanged or consumption materials are used which do not comply with the original specifi cations, the warranty shall not be applicable if the buyer fails to refute the corresponding substantiated assertion that only one of these circumstances has brought about the defect initially.6.3 The buyer has to give written notice of defects to the seller without undue delay, but within one (1) week on receipt of such deliveries at the latest. Written notice to the seller must also be given immediately after the discovery of such defects which have not been possible to fi nd out and would not be apparent even on thorough inspection within this period of time.6.4 If notifi cation has been given by the buyer about products not meeting the appropriate warranty provisions, the seller shall, at his choice, ask (a) for the defective part respectively piece of equipment to be returned to the seller in order to have it repaired and afterwards sent back, or (b) the buyer to keep the defec-tive part respectively piece of equipment ready, so that a service technician of the seller may be sent to the buyer to effect the necessary repairs. If the buyer requires those works resulting from contract guarantee to be done at a place specifi ed by him, the seller may comply with this request. However, those parts covered by the warranty shall not be charged, whereas the required working time and travelling expenses shall be reimbursed at the standard rates of the seller.6.5 If the rectifi cation of the defects fails after a reasonable period of time, the buyer may, at his option, reduce the price or rescind the contract.6.6 Any liability for fair wear and tear shall be exempted.6.7 Only direct buyers shall be entitled to assert warranty claims against the seller, so that such claims are not assignable.6.8 The seller shall, under no circumstances, be liable for defects to the buyer for the ordered goods being suitable for his intended purposes, or that they may be used or processed under the conditions prevailing at the buyer or his subpurchaser. It is the buyer’s responsibility to test the purpose of the goods for which they are to be used or processed prior to their being used or processed. The seller shall not be liable to the buyer for any mistakes or defects resulting from documents such as designs or patterns, drawings etc., submitted by the latter.6.9 No warranty shall be given for improper use, faulty assembly or installation respectively putting into ser-vice or operation by the person ordering or such other person, incorrect or negligent handling, also excessive strain, in particular, as well as unsuitable operating equipment or replacement materials.6.10 The paragraphs mentioned hereinbefore comprise the warranty for the products in conclusion and exclude all other claims based on any warranties. This shall not apply to damage claims based on warranted qualities, which shall cover the risk of the buyer of consequential harm caused by such defects.

7. Retention of Title

7.1 Until all debts have been discharged (inclusive of all balance debts on current accounts), which are due to the seller on all legal grounds against the buyer, now and henceforth, the seller shall be given the following securities, which he shall release upon request and at his option, insofar as the value thereof constantly exceeds the value of all debts by more than twenty (20) per cent.7.2 The seller retains title to the goods. Processing or remodelling shall always be made for the seller as manufacturer, but without obliging him. If the (co-)ownership of the seller becomes extinguished as a result of his goods being combined with or adjunct to other goods, it shall hereby be agreed upon that the (co-)ownership of the buyer to the combined item shall pass to the seller at the prorated value (invoice value). The buyer shall keep the property which is owned jointly respectively by the seller free of charge. Goods in which the seller holds (jointly) property are hereinafter referred to as Retention Goods.7.3 The buyer shall be entitled to process and sell Retention Goods in the ordinary course of business as long as he is not in default in relation to the seller. Pledging or the transfer of ownership by way of security shall not be permitted. Claims, relating to Retention Goods, which result from their resale or any other legal grounds, such as insurance or tort, are hereby assigned (inclusive of all balance claims on current accounts) to the seller by the buyer in full by way of security. The seller revocably authorizes the buyer to collect debts from claims assigned to the seller on the latter’s behalf, but in his own name. This debt collection authority may only be revoked if the buyer fails to meet his fi nancial obligations properly.7.4 In the event of a third party laying claim to those Retention Goods, the buyer shall point out that the seller holds the title to them and immediately inform the seller accordingly.7.5 If the buyer acts in breach of the contract – particularly in the event of delay or default in payment –, the seller shall be entitled to recover the Retention Goods, or, where appropriate, require the assignment of the buyer’s entitlement to have them delivered up by a third party. Neither such recovery nor the pledging of those Retention Goods by the seller shall constitute a rescission of the contract – unless the German Hire-Purchase Act (Statute Covering Instalment Sales) should apply.

8. Terms of Payment

8.1 Unless agreed upon otherwise, invoices of the seller shall be payable without deduction within thirty (30) days of the invoice date. Cash discounts or bonuses may be given by the seller separately; with regard to further terms of payment, the invoice of the seller shall be decisive. Deductions of cash discounts from invoices shall not be allowed for due invoices still unpaid in principle. Any granted rebates or bonuses shall only apply to deliveries for which the seller has been paid in full without any enforcement measures. The seller shall be entitled to appropriate payments to his prior debts of earlier date at fi rst, even though otherwise specifi ed by the buyer, who shall be informed of such mode of offsetting settlements. If expenses and interest have already incurred by him, the seller shall therefore be entitled to appropriate the payment, fi rst of all, to the expenses, then to the interest, and, eventually, to the substantial performance.8.2 A payment shall only be considered as made when the seller has the amount thereof at his disposal. In cases of cheques, the payment shall not be considered as effected until such cheques have been honoured. To the extent cheques or bills of exchange are accepted, such acceptances shall only be in payment pending full discharge of the debt.8.3 If the buyer gets into arrears, the seller may charge interest from the time in question on and at the rate of such interest charged for a standing credit by his bankers, at least however, fi ve (5) per cent above the cur-rent rate of the Central Bank of Germany (DBB) for discounts. Such amount of damages has to be assessed at a higher or lower value depending on whether the seller substantiates a higher loss or the buyer a lower one.8.4 In the event of the buyer’s being in default on his payments, he may be charged, in addition to the foregoing provision under 8.3, a lump sum of fi ve (5) EUR for each reminder in settlement of administrative costs incurred.8.5 If circumstances should arise and become known to the seller as a result of which the buyer’s credit-worthiness deteriorates, particularly if he dishonours a cheque or stops payments, or if the seller learns about further circumstances calling into question the buyer’s creditworthiness, all other residual debts due to the seller shall then at once become due and payable, even though he may already have accepted cheques. In such a case, the seller shall also be entitled to demand anticipations or security deposits.8.6 The buyer may only set off, withhold, or reduce debts due to the seller against his own complaints about defects or counterclaims if those counterclaims have been recognized by declaratory judgment or have not been denied. The same shall apply to the exercise of the right of retention due to counterclaims arising out of the same contractual relationship.

9. Acceptance of Returned Catalogue Goods

Delivered goods of every description shall not be taken back in principle. If the seller exceptionally takes back catalogue goods already ordered and delivered either prearranged or implied therein that he does not object within ten (10) days from receipt of such returned goods, the seller shall be entitled to compensation for costs to the amount of ten (10) per cent of the contract value for the performance concerned. In such case as mentioned hereinbefore, the buyer shall pay a lump sum for damages of fi fteen (15) EUR at least to the seller for all expenses and costs incurred in processing such cases. Such amount of damages has to be assessed at a higher or lower value depending on whether the seller substantiates a higher loss or the buyer a lower one.

10. Design Change/Change of Patterns and Colours

10.1 The seller reserves the right to make any changes in the construction respectively design of the goods at any time; however, he shall not be obliged to make such changes to products which have already been delivered.10.2 The seller reserves the right to change the patterns respectively colours of any covers and surfaces of his catalogue goods completely or in parts. The seller shall not be obliged to make such changes to products which have already been delivered.

11. Storage of Data

The seller may process all data concerning his customers as defi ned by the German Federal Data Protection Act (BDSG).

12. Exemption Clause

Any damage claims for breach of an ancillary contractual obligation (not consisting of delay of performance or due to supervening impossibility), claims arising from negligence in course of contraction (culpa in contrahendo), and claims based on tort against both the seller and his vicarious agents respectively persons employed by him in the performance of his obligations shall be excluded, but only in the absence of intent or gross negligence. The same shall apply to claims for damages due to non-performance, however, only insofar as compensation for indirect or consequential damages is required, except that the liability in respect thereof is based on a warranty which shall cover the buyer’s risk of such compensations. Any liability shall be limited to the damage foreseeable at the time the contract has been concluded.

13. Applicable Law, Venue, Place of Performance, Severability Clause

13.1 These terms and conditions of business and all legal relationships between the seller and the buyer shall exclusively be governed by the laws of the Federal Republic of Germany (FRG). German law shall exclusively apply to all exports as well.13.2 If the buyer is a fully qualifi ed merchant under the German Commercial Code (HGB), legal entity respectively separate fund under public law, the exclusive place of jurisdiction and performance for all disputes arising directly or indirectly out of the contractual relationship shall be the seller‘s registered offi ce. It shall be left to the seller’s discretion to sue the debtor at the competent court having jurisdiction over such case.(3) If a provision in these terms and conditions of business or a provision within the framework of other agreements should be or become invalid, the validity of all other remaining provisions or agreements shall not be affected thereby. A provision which is invalid, inapplicable, or missing shall be replaced by such provision as the parties would reasonably have agreed upon if they had been aware of its invalidity, inapplicability, or incompleteness respectively of the unintended omissions contained therein.
