The Study Leader is the heart of our lifelong learning institute. Without their dedication and wisdom, we would not have achieved the successes we have. While we wish to recognize all of our Study Leaders, we want to draw particular attention for the following.

Minutes from the 25th Annual Meeting - April 25th, 2017

Annual Meeting preceded by light hors d’oeuvres and student entertainment. Meeting was convened at 5:45 PM.

CMU Provost Farnam Jahanian opened the meeting with an update on what is happening at CMU, emphasizing that CMU is at the center of technology that is changing the world. He spoke of three themes: Learning being not just a means of achieving; learning being a journey and not a destination; and learning as a personal value. He congratulated Osher at CMU on its 25th Anniversary, and indicated that Bernard Osher would be receiving an honorary degree at CMU’s commencement in mid May, commemorating this milestone. He also accepted the Osher gift of 25 Adirondack chairs for the CMU campus.

John Olmsted, Osher at CMU President, called the meeting to order. He introduced Amy Burkert our University Liaison, and Alan James, Vice President and Coordinator of the Annual Meeting. Minutes for 2016 Annual Meeting were unanimously approved, and he referenced the Treasurer’s Report, indicating that the organization is financially sound. Report unanimously approved.

Next order of business was a Summary of the Year’s activities. John highlighted the year’s activities including the updated By-Laws. A summary of key changes was included with the Annual Report as a separate hand-out.

Organization challenges for 2017-18 include celebrating the 25th Anniversary throughout the year, updating the Strategic Plan, invigorating curricular development, accommodating CMU affiliates, finding suitable space, mounting a Capital Campaign, and nurturing new leadership.

Joe Shirk acknowledged those leaving the Board (Carl Hohnbaum and Byron Gottfried), as well as sharing the Nominating Committee nominations and Board approval of 3 new directors (Lee Fogarty, Francine Abraham, and Roz Goorin). Gary Bates and John Olmsted will also begin second terms. All current officers will continue to serve for another year. All actions were unanimously approved.

John Olmsted introduced By-Laws revisions, acknowledging Allan Hribar and his Committee for their extensive review and significant changes which clarified roles of the Board, the Executive Committee, and the Executive Director. Revised By-Laws establish a Leadership Committee, specify principles and organizational requirements, remove ambiguous language, clarify meanings, and make language consistent. By-Laws approved by acclamation.

John Olmsted formally acknowledged the Osher staff, the Founders and Charter Members, along with Donors and Volunteers. He referenced a commemorative plaque honoring 25 prolific Study leaders (those who began teaching prior to 2003, and have taught at least 25 courses.) Since this is a perpetual plaque, additional names will be added. The plaque will hang in the Osher office. John also provided special recognition to Helen Faye-Rosenblum, and presented a poem on a plaque.

Business portion of meeting was adjourned.

25th Anniversary Kick-Off began with a viewing of the video: “Osher at CMU—Past, Present, and Future”. Video was followed by remarks from A.L.L. Co-Founder, Steven Calvert.

The Annual Meeting was formally adjourned.

PRESIDENTJune 30 will mark the end of my two years as President of the Board of Osher at CMU. We are finishing the celebration of dual milestones: the 25th anniversary of our founding as the Academy for Lifelong Learning (ALL) and completion of a decade as one of the premier Osher organizations among more than 120 nationwide. Tangible results of this cel-ebration include the 25 Adirondack Chairs that we donated to the University in recognition of our 25th Anniversary; the plaques honoring our 25 pioneering and prolific Study Leaders; and our “Osher, a Lifetime of Learning” video that you can view on our website.

Last year, an ad-hoc committee thoroughly revised our By-laws. That led to a complete review of how we are organized and how we work, which will be largely completed by June 30, 2018. Four committees have worked diligently on this review. The by-laws committee was replaced by a Policies and Procedures Committee, chaired by Allan Hribar, that has worked with other committees to develop written records of how we do things. A Strategic Planning Committee, chaired by Jeffrey Swoger, has refined and restated our goals and asked all our working groups to establish measurable outcomes and action plans to achieve those outcomes. A newly formed standing Leadership Committee, chaired by Vice President Alan James, is addressing how we identify and nurture future leaders of our organization. Under Circe Curley’s energetic leadership, the Curriculum Committee is changing its scope to focus increasingly on quality and diversity of course offerings.

One outcome of these revisions is that we changed our calendars so that the terms of officers and directors are syn-chronized with our financial year, both running from July 1 to the following June 30. As a consequence, this annual report is our 25.5th, covering January 1, 2017 to June 30, 2017. Your Board has proposed calendar adjustments to the by-laws so that future annual meetings will take place in late August or early September, starting this year. The 26th Annual Report will cover finances from July 1, 2017 to June 30, 2018 and will include updated committee reports for the entire program year 2017-2018.

Our collaboration with CMU continues to become stronger. Our two excellent liaisons, Vice Provost Amy Burkett and Director of the Provost’s Office Becky Culyba, continue to give us strong lines of communication with the CMU administration. We are working closely with the University Advancement office on funding for the renovation and outfitting of new facilities. We also are collaborating with the Alumni Affairs office on joint sponsorship of activities that will be of interest to alumni who join Osher.

As to space, my message of last year bears repeating. Finding adequate space for our excellent offerings has been a long-standing problem. We are hopeful that this can be resolved in the coming year (i.e., 2018-19). When the new Tepper Quadrangle opens in Summer 2018, a number of CMU departments will move into that facility. We have iden-tified and requested vacated space that could become a consolidated Osher suite of classrooms and offices, with the added attraction of a lounge where members can socialize before, between, and after Osher classes.

I have been honored to work with all of you to ensure that Osher at CMU continues to set the standards for what an outstanding lifelong-learning enterprise can be, and I will continue to be involved in our work, both as Immediate Past President and Chair of the Steering Committee for our space quest.

VICE PRESIDENTVice President:• Assisted the staff in managing Osher activities; ie Annual Picnic, Holiday Luncheon and ice cream social• Developed the Leadership Committee for the Board of Directors.• With Osher Staff managed the 2017 annual meeting that also highlighted the Osher 25th anniversary.

TREASURERSummary: At June 30, 2017 our financial health was strong with every indication that it would remain so going for-ward. In early 2017 we changed our fiscal year from being the same as the calendar year to a July 1 through June 30 fiscal year. Consequently, the financial reporting here is for the initial close of our new fiscal year or “as of June 30, 2017”; a six-month period from January 1, 2017 through June 30, 2017 (also referred to as our “Stub Year). Our first full, new fiscal year began on July 1, 2017 and will end on June 30, 2018. Balance Sheet: At June 30, 2017 we had Total Assets of $954K of which $881K or 92% was composed of cash and near-cash assets, a strong liquid position. The chart below shows the dominance of Checking/Savings plus Invest-ments in the composition of Total Assets; this was the case for both 2016 and 2017. Strong liquidity provides both a healthy equity base and margin of safety.

2016 2017

Profit & Loss Statement: For the 6 months ended June 30, 2017 Total Income was slightly higher than for the prior year comparable period; the $7K improvement was driven primarily by higher levels of contributions. In 2017 we had a renewed focus on contributions per se and a unique request specifically for celebrating our 25th Anniversary. Total Expenses for 2017 were $33K over 2016 levels with increases seen in virtually all major expense components and a singularly large expense for our 25th Anniversary of $18K. With expenses up more than income year-over-year, Net Ordinary Income for the 2017 six-month period was lower than the 2016 comparable by $26K. If the impact of the 25th Anniversay is removed, the unfavorable year-over-year Ordinary Income variance drops to about $15K driven by flat revenues with a rise in expenses (see Chart Below). With strong performace attained by our investment portfolios in the first 6 months of 2017, our Total Net Profit for the period was $101K. The change in our fiscal year, related accounting impacts and a one-time special 25th Anniversary event, make bottom line “normalized” year-over-year variance explanations more complex. However, adjusting for the Anniversary contributions and expenses and the recognition of depreciation in 2017 and not in 2016, the first 6 months of 2017 and 2016 are almost the same with 2017 having a small $5K negative variance compared to 2016. Our basic business proposition has been and remains sound albeit expenses growing faster than revenues and the Board is engaged in addressing this challenge.

EXECUTIVE DIRECTOR

Happy 25.5th Anniversary Osher at Carnegie Mellon University. What a wonderful 25.5 years this organization has experienced. Going from just a thought that was dashed with a lot of inspiration, to an organization with over 2,400 members and a long waiting list of eager-to-join prospects is quite an achievement. Not only have we grown in numbers, but also in the ability to embrace new ways of doing things. Almost everyone now use emails, can text and tweet, and download attachments. More and more, students are using iPads, notepads, and smart phones. It just proves we are never too old to learn something new.

While January 1 to June 30, 2017 is only 6 months, a lot happened. The organization embraced the concept of being as green as possible and we are on our way to earning our Green Scotty Pins. For example, handouts are now distributed electronically. During this period, our technical support specialist joined us to help us make a number of important technical upgrades. Chelsea Prestia Todd published yet another stunning summer catalog and managed all of the paperwork involved with setting up the next term and breaking down the most recent. Christine Dashti, with the expert help of Jeffrey Swoger, transitioned both of our websites, CMU and Augusoft, into their new homes. Now both websites have new features that are not only attractive, but so much more usable than before. Roz Goorin, our adopted co-worker and generous volunteer, has religiously tracked our attendance so we can move forward with managing people who sign up for a course and then fail to show up to any classes or drop. She is a wonderful friend to the office!

The 25 Adirondack chair arrived on property for the comfort and delight of everyone – students, faculty, staff, and Osher members. We’re often told thank you for them. If you haven’t taken the time to relax in one, do so if for just a minute.

Finally, I want to thank everyone for finally putting the fiscal and calendar years together. This has made our organizational tracking so much easier. More on this when we have the 26th annual meeting on August 27th.

Lyn Decker, Executive Director

Make America Think Again: Fighting Fake News to Save Democracy: Monday, February 20, 2017Hear Yourself Think leaders Erin and Dave discussed the of-the-moment burning question: are we prepared to stand for American values of reason, truth, and civil society against an onslaught of irrationality, disinformation, and gas-lighting?

1. Developed a continuing education program for the Board of Directors

Subjects included:

A. Roles and responsibilities of Directors, Officers, and the Executive Director

B. Board member relations with the Osher Staff

C. Committee role and responsibilities

D. Curriculum and Course Development and how the catalog is built

MEMBERSHIPThe membership committee has four tasks during the year: Back-To-School Picnic; New Member orientation Party; Approval of scholarships; acknowledging the deaths of members.

On Monday, August 29, 2017 from 5:30 to 7:00 the Back-to-School Picnic was held. Thanks to the delicious picnic food served by the Culinary Arts Catering of CMU. The air-conditioned tent (with a floor) provided at no cost by CMU and the lively music and dancing by the faculty and students of CMU the event was a success. Festive balloons and lots of birthday cake commemorated the 25th anniversary of Osher@CMU and the 5th annual Back-to-School picnic.

The New Member Orientation event was held on November 15, 2017—a Wednesday—from 3:30-5:00pm in Posner Center. Usually it is held on Sunday but CMU needed the space. Switching to the weekday proved to be a good idea. 200 new members enjoyed light refreshments followed by the orientation slideshow presented by President John Olmsted. Lyn Decker then presented an instructive talk about on-line registration.

Sixteen scholarships were distributed: 13 full ones(dues and semester charges) and 1 partial(dues only).

Sadly, Osher at CMU acknowledged the deaths of 21 members with a handwritten note of condolence from the mem-bership sent to surviving spouse, and/or family or friends. At the request of Hunt Library we discontinued offering bookplates in new acquisitions as of November 2017. The library is going digital.

My personal thanks to an interested, hardworking committee and office staff who gave their time, ideas and energy to this committee.

Respectfully submitted,Marlene Haus, chair

NEWSLETTERIt’s All Talk is published three times a year during the three academic terms to inform the membership about import-ant issues and activities in the Osher Lifelong Learning Institute at Carnegie Mellon. In addition to reports from the president, John Olmsted, and updates about curriculum and our institute’s procedures, the newsletter includes a variety of information about organization history, special events, classes and study leaders, members’ achievements, and the roles of volunteers. We also include articles on topics of general interest, such as travel and book reviews, reflecting the expertise and experience of the contributors. We welcome material written by veteran members and new members. We would like the newsletter to stimulate the interest of members—especially new members—in becoming involved and participating as volunteers and leaders in our organization. Suggestions, comments, and con-tributions are always welcome.

We thank the Newsletter Committee: Flip Conti, Leslie Evans, Joan Gaul, Joan Morse Gordon, and the late Joe Scorpion, for generating ideas, planning content, and writing articles, and we thank Flip Conti and Joan Morse Gordon for their skillful proofreading. We also thank Executive Director Lyn Decker and her staff, Chris Dashti and Chelsea Prestia, for their most generous help and support. Joe Shirk’s photos have provided fine illustrations for many of our newsletter pages. Many Osher members have contributed newsletter articles. We thank Ruth Drescher, Byron Gottfried, Jeffrey Holst, Jim Reitz, Helen-Faye Rosenblum, Paul Roth, and Barbara Shooer for their valuable informa-tion and insights.

NOMINATINGThe Osher Nominating Committee is pleased to submit to the membership the following slate of new 1st term Di-rectors for election at the 26th Annual Meeting. The slate was presented to the board at the April 26th board meeting and approved.

New 1st Term Board Members:Circe Curley

Janice HawkinsMona Strassburger

Marcia Taylor

Solicitations for nominations for board members were made of the membership from November 2017 through Janu-ary 2018. The Nominating committee reviewed each application submitted for Board membership. The Committee then scheduled interviews with each applicant, preceded by a group session, with all applicants and the nominating committee. The questions during the interviews focused on the following criteria:

A. Experience What the candidate brings to the Board or Office (talent, skills, abilities, experience). What experience the candidate has had with Osher (number of years as a member, volunteering, taking courses, attending other Osher functions, teaching for Osher, serving on Osher committees).

B. Time Availability and Personal Motivation to Serve Will the candidate have the time to attend Board meetings and serve on a committee? How motived is the candidate to serve the organization?

C. Ability to work well with others How well would the candidate work with other members of the Board, with the staff, and with the membership in general as a representative of the Board.

After all interviews were conducted, the full nominating Committee met to discuss all candidates and made their final decision on the slate of Board Members and Officers.

POLICIES AND PROCEDURESThe ad-hoc Policies and Procedures Committee was chartered by the President and Board of Directors to develop written policies and procedures to define how to implement parts of the Osher Bylaws, which were extensively revised last year.

The first tasks completed were the generation of procedures for the election and approval of first and second term Directors and Officers for the Board of Directors. This was followed by the development of a Privacy Policy and a Communications Policy.

In support of the Osher Strategic Plan goal of making all policies and procedures available, accessible and used to support all Osher at CMU’s operations, the Committee completed the following steps:

• Developed a standard format for documenting all policies and procedures in writing• Developed a process for the approval of all new and revised policies and procedures and for making these avail-

able and accessible through the Osher at CMU website• Developed a process for the periodic review of all policies and procedures • Identified existing policies and procedures that need to be revised, new ones that need to be developed, and

assigned responsibilities for their completion

The Committee has continued to work on the development of those policies and procedures that apply across the entire Osher at CMU organization while others will be addressed by other Osher Committees. Because of the mag-nitude of the effort, this work will need to continue in the upcoming Osher fiscal year.

VOLUNTEERSVolunteers are the backbone of Osher at CMU. The Osher office continues to have a core group of volunteers who come in regularly and help with everyday tasks. These volunteers consist of many who have been volunteering regularly for years as well as new Prospects participating in the fast track program. The fast track program provides Prospects the opportunity to volunteer for 30 hours in order to shorten their time on the waiting list for membership.

Another important volunteer role in Osher at CMU is that of study leader assistants (SLAs), now called Osh-er Ambassadors (OAs). OAs serve as the liaison between the classroom and office staff. In addition to taking attendance, OAs are the eyes and ears which keep the office in the loop. Each course has an assistant allotting for roughly 300 unique volunteers per year.
