Prospanica by the Numbers

Prospanica is the national Association of Hispanic MBAs & Business Professionals and MBAs.For more than 30 years, we have advocated for the advancement of Hispanic professionals,finding innovative avenues for our community to achieve its full educational, economic andsocial potential. Since 1988, Prospanica has hosted 30 national Conference & Career Exposand delivered hundreds of impactful leadership and development programs that providecareer enhancement and job seeker connections to top corporations at national and locallevels. The organization was founded in 1988 as The National Society of Hispanic MBAs(NSHMBA) with a focus on business management professionals, but in 2016, we broadenedour reach to serve all Hispanic professionals in the U.S.

The Prospanica Foundation focuses on academic advancement, funding educational programslike the Prospanica Foundation Scholarship. Since its founding, Prospanica and its partnershave awarded more than $20 million in scholarships to undergraduate and graduate studentspursuing degrees in business.

This is a binding agreement and contract between Prospanica and your company signing this agreement, exhibitor agrees to abide to all Terms and Conditions and Rules and Regulations on both sides of this Agreement.

CANCELLATIONS AND REFUNDS:

GENERAL PRODUCTS/SERVICES: The agreement shall commence on date of signing by company. In the event of a cancellation for services rendered, 100% of the total commitment will be collected. If services have not been rendered, a 25% cancellation fee will be collected.

CONFERENCE PAYMENT TERMS:

All outstanding invoices must be paid by 9/30/2020 to guarantee inclusion in exhibitor and sponsorship listings. If your organization has any outstanding invoices with Prospanica by 10/14/2020, you may not be permitted to register.

CONFERENCE CANCELLATIONS AND REFUNDS:

The agreement shall commence on date of signing by the company. If cancellation occurs, the parties agree to the terms outlined below within the applicable cancellation periods:

a. Prior to 6/30/2020: 25% of total commitment/invoice will be due/collected

b. Between 7/01/2020 – 8/31/2020: 50% of total commitment/invoice will be due/collected

c. After 9/01/2020: 100% of total commitment/invoice will be due/collected

Prospanica shall have the right to withhold the cancellation fee from any refund due.

PROVISO FOR COVID-19

PROSPANICA CANCELLATION:

If the event is cancelled by Prospanica for reason due (i) national, state or local government restrictions would make holding the event unlawful or (ii) there is national travel ban prohibiting travel to the city or the airports servicing the city where the event is being held and Prospanica has not opted to make the event or portion there of virtual, then the cancellation fees provided for above shall not be applicable, but exhibitor shall be liable for payment for all services rendered by Prospanica through the date of such cancellation. For the avoidance of doubt, any determination by Prospanica to conduct all or a portion of the event virtually shall not be deemed a cancellation of the event by Prospanica, and Prospanica shall have the right to modify the format the for event in its reasonable discretion.

EXHIBITOR CANCELLATION:

A) Exhibitor may cancel this agreement by reason of exhibitor’s company-wide mass layoffs or furloughs as a result of the 2020 COVID-19 global pandemic, however, exhibitor must provide Prospanica written notice from an officer of the exhibitor company promptly (but in any event within five business days) following the commencement of such layoffs or furloughs. If exhibitor cancels this agreement pursuant to this paragraph, then the cancellation fees provided for above shall not be applicable, but Prospanica shall invoice exhibitor for all services rendered by Prospanica through the date of such cancellation plus a 10% administration fee.

B) If exhibitor implements a company-wide travel ban that prohibits travel by exhibitor representatives to the city where the event is being held over the dates of the event, then exhibitor may either (a) cancel this agreement, subject to payment of cancellation fees as described above, or (b) elect one of the following options: (i) reallocate the amounts payable hereunder to other services provided by and/or sponsorship opportunities with Prospanica, as determined by Prospanica and exhibitor in good faith; or (ii) reallocate the amounts payable hereunder to Prospanica’s 2021 Conference and Career Expo, in which event this agreement shall be automatically without further action of the parties be deemed amended to refer to the 2021 Conference and Career Expo.
