The above-captioned debtor and debtor-in-possession (the o'&þ.tq!") hereby submits this
Application of the Debtor for Entry of an Order Authorízing the Employment and Retention of
Ernst &Young LLP øs Financial Advisor to the Debtor Nunc Pro Tunc to the Petition Døte (the
"Application"). In support of the Application, the Debtor relies on the Affidavít of Rocþ Ho in
Support of the Applícation of the Debtor for Entry of øn Order Authorizing the Employment and
Retention of Ernst & Young LLP as Financial Advisor to the Debtor Nunc Pro Tunc to the
Petitíon Date (the "Ho Affidavit"), attached hereto as "sþiþ!]!é." In further support of the
Application, the Debtor submits Lhe Declaration of Stephen Stuut in Support of Debtor's Chapter
11 Petition and First Day Pleadings (the "First Day Declaration"),2 and respectfully represents
and sets forth as follows:
JURISDICTION AND VENUE
t. The United States Bankruptcy Court for the District of Delaware (the "Court")
has jurisdiction over this Application pursuant to 28 U.S.C. $$ 157 and L334 and the Amended
Standing Order of Reference from the United States District Court for the District of Delaware

dated as of February 29 , 2012. This matter is a core proceeding within the meanin g of 28 U.S.C.
$ 157(bX2), and the Court may enter a final order consistent with Article III of the United States
Constitution.3 Venue is proper in this district pursuant to 28 U.S.C. $$ 1408 and 1.409.
2. The statutory predicates for the relief sought herein are sections 327(a) and 328(a)
of title 11 of the United States Code (as amended or modified, the "Bankruptcy Code"), rule
201,a@) of the Federal Rules of Bankruptcy Procedure (the "Bankruptcy Rules"), and rule 20L4-
L of the I¡cal Rules of Bankruptcy Practice and Procedure of the United States Bankruptcy
Court for the District of Delaware (the "Local Rules").
GENERAL BACKGROUND
3. On the date hereof (the "&!i1þn-D.aIe"), the Debtor commenced the above-
captioned chapter 11 case (the "Chapter LL Case") by filing a voluntary petition for relief under
Chapter LL of the Bankruptcy Code in the Court.
4. The Debtor continues to operate its business and manage its properties as a
debtor-in-possession, pursuant to Bankruptcy Code sections 1107(a) and 1108. As of the date of
this Application, no trustee, examiner or statutory committee has been appointed in this Chapter
1l. Case.
5. Additional information regarding the circumstances leading to the commencement
of this Chapter LL Case and information regarding the Debtor's business and capital structure is
set forth in detail in the First Day Declaration filed contemporaneously with this Application and
incorporated herein by reference.

RELIEF REOUESTED
6. By this Application, the Debtor seeks to employ Ernst & Young LLP ("EY") to
perform certain financial advisory services summarized below pursuant to the terms and
conditions set forth in the agreement between the Debtor and EY LLP (the "Master Services
Agreement," attached to the Ho Affidavit as Exhibit A-1,), the transaction advisory services
statement of work, dated February 16,2016 (attached to the Ho Affidavit as Exhibit A-2), as
amended by Amendment No. 1 to the Transaction Advisory Statement of 'Work, dated March 18,
2O16 (attached to the Ho Affidavit as Exhibit A-3 ) (as amended, the "Transaction Advisor)¡
SOW," and together with the Master Services Agreement, the "Engagement [ætters"). Pursuant
to Bankruptcy Code sections 327(a),328(a), and"l.l07, Bankruptcy Rule 2014(a), and Local Rule
20L4-1, the Debtor requests entry of an order, substantially in the form annexed hereto,
authorizing such employment.
7. Since February 'I..6, 20"1.6, EY has been working closely with the Debtor's
management and other professionals. The Debtor selected EY as its financial advisor because of
EY's extensive experience and knowledge of the Debtor's business, operations, and financial
affairs, and EY's expertise in business reorganizations under Chapter Ll of the Bankruptcy
Code. Accordingly, the Debtor believes that EY is well qualified to assist it in this Chapter 11
Case.
OUALIFICATIONS OF EY
8. In consideration of the complexity of its business, as well as the exigencies of the
circumstances, the Debtor has determined that the services of an experienced financial advisor
will substantially enhance its attempts to maximize tl' value of the estate. The Debtor is
familiar with the professional standing and reputation of EY. EY is well qualified to provide
financial advisory services to the Debtor. EY is recognized for its experience in providing

financial advisory services to financially distressed companies, including advising debtors,
creditors, and other constituents in chapter LL proceedings in numerous cases.
9. EY has served as a financial advisor for debtors and other parties in a number of
bankruptcy cases, including, inter qlia: In Liberty Medícøl Supply Inc. (financial advisor to the
debtor); In re City of Detroit (financial advisor to the debtor); In re Excel Maritime (financial
advisor to the debtor); In re Aletheia Research & Management Inc. (financial advisor to the
debtor); In re Schutt Sports (financial advisor to the debtor); In re PJ Finance (financial advisor
to the debtor); In re Beaulieu Group, Inc. (financial advisor to the debtor); In re Satelites
Mexicønos SA De CV (financial advisor to the debtor); andVion Pharmaceuticals Inc. (financial
advisor to debtor); and has provided financial advisory services to the lenders, unsecured
creditors, and stalking horse bidders of such companies as Fisker Automotive, Inc., Action
Target Inc., Rdio, Inc., and Standard Register, Inc. As a result, the Debtor believes that EY is
well qualified to perform these services and represent the Debtor's interest in this Chapter 1.L
Case.
10. The EY professionals involved with the Debtor's engagement are familiar with
the Debtor's business, financial affairs, and capital structure. Since the initial retention of EY,
EY's professionals have worked closely with the Debtor's management and other professionals
to understand the Debtor's business and coordinate the necessary professional services and other
vital aspects of preparing for this Chapter 11 Case. Accordingly, the Debtor believes that EY has
developed significant relevant experience and expertise regarding the Debtor. Therefore, the
Debtor submits that the retention of EY on the terms and conditions set forth herein and in the
Engagement lætters is necessary and appropriate; is in the best interest of the Debtor's estate and
creditors, and all other parties in interest; and should be granted.

EY'S DISINTERESTEDNESS
11. To the best of the Debtor's knowledge, information, and belief, and based upon
the Ho Affidavit: (a) EY is a "disinterested person" within the meaning of Bankruptcy Code
section 101(14) and as required by Bankruptcy Code section 327(a), and holds no interest
materially adverse to the Debtor, its significant creditors, and equity interest holders f'or the
matters for which EY is to be employed; and (b) EY has no connection to the Debtor, its
significant creditors, equity interest holders or related parties herein except as disclosed in the Ho
Affidavit. Moreover, the retention and employment of EY is necessary and in the best interests
of the Debtor, its estate, creditors, and equity interest holders.
L2. Furthermore, to the best of the Debtor's knowledge, information and belief, and
based upon the Ho Affidavit, none of EY's past or current engagements would or do appear to
create an interest materially adverse to the interests of the Debtor, creditors, or equity interest
holders in this Chapter 11 Case. As such, the Debtor believes that EY is disinterested and holds
no materially adverse interest as to the matters upon which it is to be retained. To the extent that
EY discovers additional material information that it determines requires disclosure, it will
supplement promptly the information contained in the Ho Affidavit.
SCOPE OF SBRVICES
13. The parties have entered into the Engagement Lrtters, which governs the
relationship between EY and the Debtor. The terms and conditions of the Engagement I¡tters
were negotiated at arm's length and reflect the parties' mutual agreement as to the substantial
efforts and resources that will be required in this engagement. Under the Engagement lætters,
the Debtor has requested that EY serve as its financial advisor during this Chapter 11 Case to

perform a broad range of services (the "services") on behalf of the Debtor. These Services
include, but are not limited to, the followinga:
Master Services Asreement:
As set forth in detail in the Master Services Agreement attached to theHo Affidavit as Exhibit A-1, EY LLP will perform certain services asset forth in specitic Statements of Work executed pursuant to theMaster Services Agreement.
Transaction Advisory SOW
As set forth in detail in the Transaction Advisory SOW attached tothe Ho Affidavit as Exhibits A-2 and, A-3, EY LLP will providecertain transaction advisory Services to the Debtor in accordancewith the terms and conditions that are set forth in the MasterServices Agreement and the Transaction Advisory SOW, EY LLpwill assist the Debtor, as the Debtor requests, to:
Prepare financial related disclosures required by the Court,including the Schedules of Assets and Liabilities, theStatement of Financial Affairs and the Monthly OperatingReports;
Prepare and comply with the information and analysisrequirements of the Debtor's post-petition financingagreements;
Prepare financial information for distribution to variousconstituencies and their legal and financial advisors (includingbut not limited to secured lenders, Official UnsecuredCreditors Committee, US Trustee, and other stakeholders);
Analyze the cost/benefit of key executory contracts and leasesto determine the impacts of affirming or rejecting suchcontracts;
Perform claims analysis on as needed basis (including but notlimited to 503(b)(9) claims);
Prepare other operational and liquidity management tools tomonitor and control cash flow, including but not limited to:

Cash flow projections and budgets and relatedbudget to actual variance analysis,
Cash receipts and disbursements analysis, andanalysis of proposed transactions for which Courtapproval as necessary;
Attend meetings and assist in discussions with potentialinvestors, banks and other secured lenders, and officialcommittee(s) appointed in this chapter LL case, the U.S.Trustee, other parties in interest and professionals hired by thesame, as requested;
Advice management regarding the Debtor's business plan andfinancial forecast and updating as needed;
Assist, as needed, in the preparation of a liquidation analysisto produce an illustrative summary of potential recoveriesunder various scenarios;
Assist management in responding to information/duediligence request of parties in interest as well as prospectiveacquirers, as necessary;
Advice and assist management in the development andpreparation of the Plan of Reorganization and DisclosureStatement; and

Provide other additional assistance as requested by the Debtorand agreed upon by EY LLP.
14. It is necessary that the Debtor employ EY to render the foregoing Services. The
Debtor believes that the Services will not duplicate the services that any other professional will
be providing the Debtor in this Chapter LL Case. Specifically, EY will carry out a unique
function and will use rsasonable efforts to coordinate with the Debtor and the other professionals
retained in this Chapter lL Case to avoid unnecessary duplication of services.

COMPENSATION
15. As set forth with greater specificity in the Engagement Iætters, the Debtor and EY
agree that, subject to the Court's approval and pursuant to the terms and conditions of the
Engagement lætters, EY intends to charge the Debtor for the Services rendered in this Chapter
LL case based on its hourly rates for such Services, which are currently as follows:

Other Personnel $200-$400
The foregoing hourly rates are subject to periodic increase in the normal course of EY's business
In addition to the hourly rates set forth above, the Debtor shall reimburse EY for any direct
expenses incurred in connection with EY's retention in this case and the performance of the
Services set forth in the Engagement lætters. EY's direct expenses shall include, but not be
limited to, reasonable and customary out-of-pocket expenses for items such as travel, meals,
accommodations and other expenses (including any fees or reasonable expenses of EY's legal
counsel) specifically related to this engagement.
L6. As set forth in further detail in the Transaction Advisory SOW and the Ho
Affidavit, EY has received certain advance payment retainers to be paid in connection with its
engagement, all of which were paid to EY prior to the Petition Date. EY is currently holding a
retainer totaling $27,024 (the "Retainer"), which Retainer is to be applied by EY in payment of
compensation and reimbursement of expenses incurred following the Petition Date, subject to
prior Court approval.

17. The hours worked, the results achieved, and the ultimate benefit to the Debtor of
the work performed by EY in connection with its engagement may vary, and the Debtor and EY
have taken this into account in setting the above fees.
18. In addition, given the numerous issues that EY may be required to address during
its engagement, EY's commitment of time and effort necessary to address such issues, and EY's
foregoing of other opportunities during its engagement, the Debtor believes that the fee
arrangements of the Engagement l¡tters are reasonable under the standards set forth in
Bankruptcy Code section 328(a).
L9. EY will file with the Court interim and final fee applications as necessary for
allowance of its compensation and reimbursement of its expenses with respect to services
rendered in accordance with Bankruptcy Code sections 330 and 331 and any order of the
Bankruptcy Court approving the retention of EY, the Bankruptcy Rules, the local Rules, and the
applicable orders of the Court and/or guidelines for compensation and reimbursement of
expenses established by the U.S. Trustee (the "UST Guidelines").
INDEMNIFICATION PROVISION
20. As part of the compensation payable to EY under the Engagement lætters, the
Debtor has also agreed to the terms and conditions, including the indemnification provision, as
set forth more fully the "General Terms and Conditions" section of the Master Services
Agreement (and applicable to the Transaction Advisory SOW) (the "Indemnification
Provision").
21,. The Indemnification Provision provides as follows:

To the fullest extent permitted by applicable law and professionalregulations, you shall indemnify us, the other Ey Firms and theEY Persons against all claims by third parties (including youraffiliates and attorneys) and resulting liabilities, losses, damages,costs and expenses, (including reasonable external and internallegal costs) arising out of the disclosure of any Report (other thanTax Advice) or a third party's use of or reliance on any Report(including Tax Advice) disclosed to it by you or at your request.
22. The Debtor believes that the Indemnification Provision is customary and
reasonable for financial advisors, both out-of-court and in chapter L1 cases, and reflects the
qualifications and limitations on indemnification provisions that are customary in this district and
other jurisdictions. See, e.g., In re Saladworl<s, LLC, Case No. l5-L0327 (LSS) (Bankr. D. Del.
Mar. 1L, 201,5); In re Magic Brands, LLC, case No. 10-11310 (Br,S) (Bankr. D. Del. June g,
20L0); In re Regent Commc'ns, fnc., Case No. L0-1O632 (KG) (Bankr. D. Del. Mar. 22,2010);
In re Premier Int'l Holdings Inc., Case No. 09-12019 (CSS) (Bankr. D. Del. Aug. 13, 2009).
The Debtor acknowledges and agrees to indemnify Ey.
23. The terms and conditions of the Engagement lætters, including the
Indemnification Provision, wete negotiated by the Debtor and EY at arm,s length and in good
faith. The Debtor respectfully submits that the terms set forth in the Indemnification provision,
viewed in conjunction with the other terms of EY's proposed retention, are reasonable and in the
best interests of the Debtor, its estate, and its creditors in light of the fact that the Debtor requires
EY's services to maximize the value of the estate for all parties in interest. Accordingly, as part
of this Application, the Debtor requests that the Court approve the Indemnification provision.
24. In light of the foregoing, and given the numerous issues that Ey may be required
to address in the performance of its services hereunder, EY's commitment to the variable level of
time and effort necessary to address all such issues as they arise and the market prices for Ey,s
services for engagements of this nature, the Debtor believes that the terms and conditions of the

Engagement Iætters are fair, reasonable, and market-based under the standards set forth in
Bankruptcy Code section 328(a).
BASIS FOR RELIEF
25. The Debtor submits that the retention of EY is appropriate under Bankruptcy
Code secl.ions 327(a),328(a) and 1107. Bankruptcy Code section 327(a) empowers a debtor,
with the Court's approval, to employ one or more professionals that do not hold or represent an
interest adverse to the estate and that are disinterested persons to assist the debtor in carrying out
its duties under the Bankruptcy Code. 11 U.S.C. g 327(a).
26. Bankruptcy Code section 328(a) further provides, in pertinent part, that under
Bankruptcy Code section327, a professional may be employed "on any reasonable terms and
conditions of employment, including on a retainer, on an hourly basis, on a fixed or percentage
fee basis, ot on a contingent fee basis.,, 11 U.S.C. g 32g(a).
27. Bankruptcy Rule 2014(a) sets forth the requirements for retention applications
and provides that such applications must include "specific facts showing the necessity for the
employment, the name of the [company] to be employed, the reasons for the selection, the
professional services to be rendered, any proposed arrangement for compensation, and, to the
best of the applicant's knowledge, all of the [company's] connections with the debtor, creditors,
any other party in interest, their respective attorneys and accountants, the United States trustee,
or any person employed in the office of the united states trustee.,,
28. By this Application, the Debtor requests that the Court approve the employment
and compensation arrangements described in the Engagement L¡tters pursuant to Bankruptcy
Code sectitln 328(a). The employment arrangements contained in the Engagement lrtters are
beneficial to the Debtor's estate and the compensation arrangements provide certainty and proper

inducement for EY to act expeditiously and prudently with respect to the matters for which it
will be employed.
29. The Debtor further requests approval of the employment of Ey nunc pro tunc to
the Petition Date. Such relief is warranted by the circumstances presented by this Chapter 11
Case. The United States Court of Appeals for the Third Circuit has identified ,,time pressure to
begin service" and absence of prejudice as factors favoring nunc pro tunc retention. See In re
Arkansas Co., 798 F.2d 645, 650 (3d Cir. 1986). The complexity and speed that have
characteized this Chapter 11 Case have necessitated that the Debtor, Ey, and the Debtor,s other
professionals focus their immediate attention on time-sensitive matters and promptly devote
substantial resources to the affairs of the Debtor pending submission and approval of this
Application. EY continued providing services at Debtor's request pursuant to the Engagement
Iætters following the commencement of the Debtor's banlauptcy case, warra nting nunc pro tunc
approval of its retention application to the petition Date.
NOTICE AND NO PRIOR REOUEST
30. The Debtor has provided notice of this Application to the following
entities or their counsel, if known: (a) the office of the United States Trustee for the District of
Delaware; (b) each of the Debtor's creditors holding the twenty (20) largest unsecured claims as
set forth in the list filed with the Debtor's petition; (c) the Prepetition Secured tænders; (d) the
DIP lænder; (e) the Internal Revenue Service; (f) the United States Department of Justice; (g) the
Securities and Exchange Commission, and (h) all parties who have requested notice in this
Chapter 11 Case pursuant to Bankruptcy Rule 2002. In light of the nature of relief requested in
this Application, the Debtor respectfully submits that no further notice is necessary.

Pursuant to Rule 2014(a) of the Federal Rules of Bankruptcy Procedure (the "Bankruptcy
Rules"), Rocky Ho, being duly sworn, deposes and says:
l. I am a senior managing director of Ernst & Young LLP ("EY LLP"). I provide
this Affidavit on behalf of EY LLP in support of the Application (the "Application") of Jumio
Inc. as debtor and debtor in possession herein (the "Debtor") to retain EY LLP to provide
transaction advisory services nunc pro tunc to March 21,2016 (the "Petition Date'o), pursuant to
the terms and conditions set forth in the agreement between the Debtor and EY LLP (the "Master
Services Agreement," attached hereto as Exhibit A-1), the transaction advisory services
statement of work, dated February 16, 2016 (attached hereto as Exhibit A-2), as amended by
Amendment No. 1 to the Transaction Advisory Statement of rWork, dated March 18, 2016
(attached hereto as Exhibit A-3 ) (as amended, the ooTransaction Advisory SOW," and together
with the Master Services Agreement, the 'oEngagement Letters"). Unless otherwise defìned, all
capitalized terms used herein shall have the meanings given to them in the Application.

2. The facts set forth in my affidavit are based upon my personal knowledge, upon
information and beliet and upon client matter records kept in the ordinary course of business
that were reviewed by me or other employees of EY LLP under my supervision and direction.
The procedures pursuant to which EY LLP determined whether there were any connections
between EY LLP and interested parties in this case is described below. The results of that
investigation are set forth herein and in Exhibit B appended hereto.
3. As set forth in further detail in the Engagement Letters, EY LLP has agreed to
provide certain transaction advisory services (the 'oServices") to the Debtor in connection with
this Chapter 11 case upon approval of the Court, a summary description of which Services is set
forth below and fully described in the Engagement Letters:
Master Services Agreement:
As set forth in detail in the Master Services Agreement attached heretoas Exhibit A-1, EY LLP will perform certain services as set forth inspecific Statements of Work executed pursuant to the Master ServicesAgreement.
Transaction Advisorv SOW
As set forth in detail in the Transaction Advisory SOW attachedhereto as Exhibit A-2, EY LLP will provide certain transactionadvisory Services to the Debtor in accordance with the terms and
conditions that are set forth in the Master Services Agreement andthe Transaction Advisory SOW, EY LLP will assist the Debtor, as
the Debtor requestso to:
Prepare financial related disclosures required by the Court,including the Schedules of Assets and Liabilities, theStatement of Financial Affairs and the Monthly OperatingReports;
Prepare and comply with the information and analysisrequirements of the Debtor's post-petition financingagreements;

Prepare financial information for distribution to variousconstituencies and their legal and financial advisors (includingbut not limited to secured lenders, Official UnsecuredCreditors Committee, US Trustee, and other stakeholders);
Analyze the cost/benefit ofkey executory contracts and leases
to determine the impacts of affirming or rejecting suchcontracts;
Perform claims analysis on as needed basis (including but notlimited to 503(b)(9) claims);
Prepare other operational and liquidity management tools tomonitor and control cash flow, including but not limited to:
o Cash flow projections and budgets and relatedbudget to actual variance analysis,
Cash receipts and disbursements analysis, andanalysis of proposed transactions for which Courtapproval as necessary;
Attend meetings and assist in discussions with potentialinvestors, banks and other secured lenders, and officialcommittee(s) appointed in this chapter 11 case, the U.S.Trustee, other parties in interest and professionals hired by thesame, as requested;
Advice management regarding the Debtor's business plan andfinancial forecast and updating as needed;
Assist, as neededo in the preparation of a liquidation analysisto produce an illustrative summary of potential recoveriesunder various scenarios;
Assist management in responding to information/duediligence request of parties in interest as well as prospectiveacquirerso as necessary;
Advice and assist management in the development andpreparation of the Plan of Reorganization and DisclosureStatement; and
Provide other additional assistance as requested by the Debtorand agreed upon by EY LLP.

4. Subject to the Court's approval and pursuant to the terms and conditions of the
Engagement Letters, EY LLP intends to charge the Debtor for the Services rendered in this
Chapter 1l case based on its hourly rates for such Services, which are currently as follows:

Manager $450-$5s0
Other Personnel $200-$400
EY LLP's hourly rates are revised periodically in the ordinary course of EY LLP's business. We
shall advise the Debtor of our new rates once they are established if a rute change is effective
during the course of this engagement. In addition to the hourly rates set forth above, the Debtor
shall reimburse EY LLP for any direct expenses incuned in connection with EY LLP's retention
in this case and the performance of the Services set forth in the Engagement Letters. EY LLP's
direct expenses shall includeo but not be limited to, reasonable and customary out-oÊpocket
expenses for items such as travel, meals, accommodations and other expenses (including any
fees or reasonable expenses of EY LLP's legal counsel) specifically related to this engagement.
As set forth in further detail in the Transaction Advisory SOW and below, EY LLP has received
certain advance payment retainers to be paid in connection with its engagement, all of which
were paid to EY prior to the Petition Date.
5. The Debtor or EY LLP may terminate the Engagement Letter at any time, but in
any event the Engagement Letter will terminate upon completion of the Services. The
Engagement Letters may be terminated at any time by the Debtor or EY LLP, but in any event
the Engagement Letters will expire upon the effective date of the Debtor's confirmed plan of

reorganization or liquidation of the assets under Chapter ll or 7 of the Bankruptcy Code, or
otherwise. Upon any such termination of the Engagement Letter, the Debtor will remain
obligated to pay all accrued fees and expenses as of the effective date of such termination.
6. A copy of the Engagement Letters are submitted with this Affidavit for approval.l
EY LLP's provision of Services to the Debtor is contingent upon the Court's approval of each
term and condition set forth in the Engagement Letters. Included among the terms and
conditions set forth in the "General Terms and Conditions" section of the Master Services
Agreement (and applicable to the Transaction Advisory SOW) is language substantially similar
to the following:
Any controversy or claim with respect to, in connection witharising out of or in any way related to this Agreement or theservices provided hereunder (including any such matter involvingany parent, subsidiary, affiliate, successor in interest or agent ofthe Client or its subsidiaries or of Ernst & Young) shall be broughtin the Bankruptcy Court or the applicable District Court if suchDistrict Court withdraws the reference and the parties to thisAgreement, and any and all successors and assigns thereof, consentto the jurisdiction and venue of such court as the sole exclusiveforum (unless such court does not have jurisdiction and venue ofsuch claims or controversies) for the resolution of such claims,causes of action or lawsuits. The parties to this Agreement, andany all successors and assigns thereof hereby waive trial by jury,such waiver being informed and freely made. If the BankruptcyCourt or the District Court upon withdrawal of the reference doesnot have or retain jurisdiction over the foregoing claims orcontroversies, the parties to this Agreement and any and allsuccessors and assigns thereof, agree to submit first to nonbindingmediation; and, if mediation is not successfulo then to bindingarbitration, in accordance with the dispute resolution proceduresset forth in the Exhibit B to this Agreement. Judgment on anyarbitration award may be entered in any court having properjurisdiction. The foregoing is binding upon the Client, Ernst &Young and any all successors and assigns thereof.
To the extent that this Affidavit and the terms of the Engagement Letters are inconsistent, the terms of theEngagement Letters shall control.

7. Additionally, included among the ooGeneral Terms and Conditions" section of the
Master Services Agreement (and applicable to the Transaction Advisory SOW) is
indemnification language substantially similar to the following:
To the fullest extent permitted by applicable law and professionalregulations, you shall indemniff uso the other EY Firms and the EYPersons against all claims by third parties (including your affiliates andattorneys) and resulting liabilities, losses, damages, costs and expenses,(including reasonable external and internal legal costs) arising out ofthe disclosure of any Report (other than Tax Advice) or a third party'suse of or reliance on any Report (including Tax Advice) disclosed to itby you or at your request.
8. Also included among the "General Terms and Conditions" section of the Master
Services Agreement (and applicable to the Transaction Advisory SOW) is fee and expense
reimbursement language substantially similar to the following:
If we are required by applicable law, legal process or governmentaction to produce information or personnel as witnesses withrespect to the Services or this Agreemento you shall reimburse usfor any professional time and expenses (including reasonableexternal and internal legal costs) incurred to respond to the request,unless we are a party to the proceeding or the subject ofinvestigation.
In addition, included among the terms and "General Terms and Conditions"
section of the Master Services Agreement (and applicable to the Transaction Advisory SOW) is
limitation of liability language substantially similar to the following
You (and any others for whom Services are provided) may not recoverfrom us in contract or tort, under statute or otherwise, anyconsequential, incidental, indirect, punitive or special damages inconnection with claims arising out of this Agreement or otherwiserelating to the Services, including any amount for loss of profit, data orgoodwill, whether or not the likelihood of such loss or damage wascontemplated.
You (and any others for whom Services are provided) may not recoverfrom us, in contract or tort, under statute or otherwise, aggregatedamages in excess of the fees actually paid for the Services that

directly caused the loss in connection with claims arising out of thisAgreement or otherwise relating to the Services. This limitation willnot apply to losses caused by our fraud or willful misconduct or to theextent prohibited by applicable law or professional regulations..
You shall make any claim relating to the Services or otherwise underthis Agreement no later than one year after you become aware (orought reasonably to have become aware) of the facts giving rise to anyalleged such claim and in the any event, no later than two years afterthe completion of the particular Services. This limitation will notapply to the extent prohibited by applicable law or professionalregulations.
You may not make a claim or bring proceedings relating to theServices or otherwise under this Agreement against any other EY Firmor our or its subcontractors, members, shareholders, directors, officersopartners, principals or employees ("EY Persons"). You shall makeany claim or bring proceedings only against us. The provisions ofSections 16 through 20 are intended to benefit the other EY Firms andEY Persons, who shall be entitled to enforce them.
10. Further, included among the "General Terms and Conditions" section of the
Master Services Agreement (and applicable to the Transaction Advisory SOW) is subcontracting
language substantially similar to the following:

We may subcontract portions of the Services to other EY Firms,who may deal with you directly. Nevertheless, we alone will beresponsible to you for the Reports (as defined in Section 1l), theperformance of the Services, and other obligations under thisAgreement. From time to time, non-CPA personnel may performthe Services.
In connection with EY LLP's proposed retention by the Debtor, EY LLP has
requested and obtained from counsel to the Debtor or the record in this case, the names of the
following entities
(a) Debtor;(b) Debtor's Attorneys (general counsel and special bankruptcy counsel);(c) Debtor's Other Professionals retained in connection with the Chapter l1
proceeding;(d) Debtor'sAffiliates;(e) Debtor'sAffìliatesAttorneys;(Ð Debtor's Affiliates Other Professionals retained in connection with the

l1 proceeding;(u) Official Statutory Committees Members (All Committees);(v) Official Statutory Committees' Attorneys (for each Official Committee)(w) Official Statutory Committees' Other Professionals retained by each
Ofhcial Committee;(x) Official Statutory Committee Members' Attorneys retained in connection
with the Chapter l l proceeding;(V) Twenty Largest Unsecured Creditors (as of the date of filing);(z) Twenty Largest Unsecured Creditors' Attorneys retained in connection
with the Chapter 1l proceeding;(aa) Parties to the Debtor's Significant Executory Contracts and Leases;(ab) Parties to the Debtor's Significant Executory Contracts and Leases
Attorneys retained in connection with the Chapter 1l proceeding;(ac) Other Significant Parties-in-Interest including parties in material litigation
against the Debtor; and/or parties to potential significant transactions withthe Debtor; and
(ad) Other Significant Parties-in-Interest's Attorneys retained in connection withthe Chapter l1 proceeding.
The identities of these interested parties are set forth on Exhibit B to this Affidavit.
12. EY LLP has not received from counsel to the Debtor, or does not know of, any
persons or entities that would fall into categories e, t h, i, k, l, il, po Q, r, s, t, u, v, w, x, zo ab and
ad set forth above. As to those persons or entities identified in the remaining categories set forth

aboveo EY LLP searched or caused to be searched certain databases to determine whether EY
LLP has provided in the recent past or is curently providing services to the parties-in-interest
listed in Exhibit B attached hereto. To the extent that EY LLP's research of relationships with
parties-in-interest in this case indicated that EY LLP has in the recent past, or currently has, a
client relationship with such parties-in-interest in matters unrelated to this Chapter l1 case, EY
LLP has so indicated in the attached Exhibit B to the Affidavit.
13. EY LLP may perform services for its clients that relate to the Debtor merely
because such clients may be creditors or counterparties to transactions with the Debtor and
whose assets and liabilities may thus be affected by the Debtor's status. The disclosures set forth
herein do not include specific identification of such services. If such clients of EY LLP are
potential parties in interest in this case, Exhibit B hereto indicates that they are also clients of EY
LLP. Should additional significant relationships with parties-in-interest become known to EY
LLP, a supplemental affidavit will be frled by Ey LLp with the Court.
14. The Ernst & Young global network comprises independent professional services
practices conducted by separate legal entities throughout the world. Such legal entities are
members of Emst & Young Global Limited ("EYGL"), a company incorporated under the laws
of England and Wales and limited by guarantee, with no shareholders and no capital. The
member firms of EYGL have agreed to operate certain of their professional practices in
accordance with agreed standards, but remain separate legal entities.
15. In the ordinary course of business, certain EYGL member firms located
throughout the world (collectively referred to herein as "EY Support Firms") provide various
professional, administrative and back office support services ("Support Services") for other

EYGL member firms throughout the world, as requested, coordinated and directed by the EYGL
member firms (including EY LLP) to whom such Support Services are provided.
16. EYGL member firms (including EY LLP) that elect to utilize Support Services in
a given year contract for allocation of a set number of EY Support Firms' professional hours for
that year, and may pay such EY Support Firms a fixed amount for such assistance on a full time
equivalent basis, plus any related expenses incurred by such EY Support Firms in connection
with the provision of related Support Services. The EY Support Firms operate as cost centers. If
EY Support Firms over recover their cost during the course of a year for Support Services, such
over recovery may be returned to the EYGL member firms utilizing such Support Services as
determined by a formula put in place each year by an operations supervisory group related to the
EY Support Firms.
17. Except for the connections check related Support Services described below, EY
LLP does not intend to utilize EY Support Firms in providing Services to the Debtor following
the Petition Date.
18. One particular Support Service performed for EY LLP by an EY Support Firm
located in India (specifically, Ernst & Young Services Pvt Ltd. ("EY Services")) is connections
check related services. EY LLP utilized and relied upon EY Services in performing EY LLP's
connections check in order to prepare and execute this Affidavit. The costs paid by EY LLP to
EY Services for such connections check related services will not be billed to the Debtor.
19. Notwithstanding any use of EY Support Firms, EY LLP shall remain fully and
solely responsible for any liabilities and obligations in respect of EY LLP's engagement and
Services during this case.

20. EY LLP engages in the practice of public accountancy and provides accounting
and other professional services. All partners of EY LLP are Certified Public Accountants
(CPAs). Ernst & Young U.S. LLP (the owners of which are the CPA partners of EY LLP and
non-CPA principals) provides infrastructure and support services to EY LLP, including the
services of CPA and non-CPA personnel. These personnel work for and are under the
supervision of EY LLP when performing client services.
2t. As part of its practice, EY LLP appears in cases, proceedings and transactions
involving many different attorneys, financial advisors and creditors, some of which may
represent or be claimants and/or parties in interest in this case. EY LLP will have no relationship
with any such entity, attorney or financial advisor that would be materially adverse to the Debtor.
The following professionals whom EY LLP believes to be closely associated with the Debtor's
Chapter 11 case have provided in the past and/or are cumently providing services to EY LLP:
Wilmer Cutler Pickering Hale and Dom LLP.
22. EY LLP is curently aparty or participant in certain litigation matters involving
parties-in-interest in this case, which matters are unrelated to the Debtor and this case.
23. EY LLP continues to follow up with various EY LLP personnel in order to
confirm that the work that EY LLP may be doing for, or may have done for AIA; American
Express; Apple Store; Connecticut Department of Revenue; Georgia Department of Revenue;
Intuit Inc. QuickBook Payments; Sagent Advisors LLC; The Nielsen Company LLC; Toyota
Financial; and UNUM are unrelated to the Debtor and this Chapter 1l case. To the best of my
knowledge, information and belief as of the date of this Affidavit, I am not aware of any
information indicating that the work that EY LLP may have performed and/or may be
performing for the entities listed in this paragraph is connected with the Debtor or this Chapter

1l case. In the event that EY LLP's continuing follow-up efforts with regard to the
aforementioned entities reveals that work that EY LLP may have performed or is performing for
any such entities is related to the Debtor or this Chapter 11 caseo EY LLP will file a
supplemental affidavit with this Court so disclosing.
24. EY LLP has thousands of professional employees. It is possible that certain
employees of EY LLP may have business associations with parties in interest in this case or hold
securities of the Debtor or interests in mutual funds or other investment vehicles that may own
securities of the Debtor.
25. To the best of my knowledge, information and beliet formed after reasonable
inquiry, none of the services rendered by EY LLP to the entities set forth in Exhibit B hereto
have been in connection with the Debtor or this Chapter 11 case. EY LLP believes that these
relationships will not impair EY LLP's ability to objectively perform professional services on
behalf of the Debtor. EY LLP will not accept any engagement that would require EY LLP to
represent an interest materially adverse to the Debtor.
26. To the best of my knowledge, information and belief, neither the undersigned nor
the EY LLP professionals expected to assist the Debtor in these matters are connected to the
Judge, U.S. Trustee or Assistant U.S. Trustee assigned to this matter.
27. Despite the efforts described above to identify and disclose connections with
parties-in-interest in this case, because the Debtor is a large enterprise with numerous creditors
and other relationships, EY LLP is unable to state with certainty that every client representation
or other connection of EY LLP with parties-in-interest in these cases has been disclosed herein.
If EY LLP discovers additional information that requires disclosure, EY LLP will file
supplemental disclosures with the Court.

28. Certain entities that are parties in interest are lenders to EY LLP: Citibank, NA
participates in EY LLP's Revolving Credit Program. In addition, EY LLP has borrowed debt
from Metlife Insurance Company.
29. To the best of my knowledge, information and belief formed after reasonable
inquiry, EY LLP does not hold nor represent any interest materially adverse to the Debtor in the
matters for which EY LLP is proposed to be retained. The proposed employment of EY LLP is
not prohibited by or improper under Bankruptcy Rule 5002. Accordingly, I believe that EY LLP
is eligible for retention by the Debtor under Title 11 of the United States Code (the "Bankruptcy
Code").
30. To the best of my knowledge, information and belief, prior to the Petition Date,
EY LLP performed certain professional services for the Debtor, including fìnancial advisory
services. At the Debtor's request following the Petition Date and prior to Court approval of EY
LLP's engagement in this case, EY LLP may provide in its sole discretion certain of the Services
described in the Engagement Letters. Thus, EY LLP requests that its retention be authorized as
of the Petition Date.
31. As of the Petition Date, EY LLP was not owed any amounts in respect of services
provided by EY LLP.
32. During the ninety days immediately preceding the Petition Date, the Debtors paid
to EY LLP amounts totaling 5236,000, all of which constituted advance retainer payments.

33. EY LLP is currently holding a remaining retainer totaling 527,024 (the
"Retainer"), which Retainer is to be applied by EY LLP in payment of compensation and
reimbursement of expenses incurred following the Petition Date, subject to prior Court approval
as set forth below.
34. Except as otherwise set forth herein, EY LLP has not shared or agreed to share
any of its compensation in connection with this matter with any other person.
35. EY LLP intends to apply to the Court for payment of compensation and
reimbursement of expenses in accordance with applicable provisions of the Bankruptcy Code,
the Bankruptcy Rules, the Local Rules of this Court and the Engagement Letters, and pursuant to
any additional procedures that may be established by the Court in this case.

Dispute resolution procedures
Mediation
A party shall submìt a dispute to mediation by written notice to the other party or parties. The
mediator shall be selected by the parties. If the parties cannot agree on a mediator, the InternationalInstitute for Conflict Prevention and Rosolution ("CPR") shall designate a mediator at the request of aparty. Any mediator must be acceptable to all parties and must confirm in writing that he or she is nofand will not become during the term of the mediation, an employee, pârtner, executive office4direotor, or substantial equity owner of any EY audit client.
The mediator shall conduct the mediation as he/she determines, with the agreement of the parties, Theparties shall discuss their differences in good faith and attempt, with the mediator's assistance, toreach an amicable rcsolution of the dispute. The mediation shall be tleated as a settlement discussion
and shall therefore be confidential. The mediator may not testiff for either party in any laterproceoding relating to the dispute. The rnediation proceedings shall not be recorded or íanscribed.

The arbitration panel shall have no power to award non-monetary or equitable relief of any sort or to
make an award or impose a remedy that (i) is inconsistent with the agreement to which these
procedures are attached or any other agreement relevant to the dispute, or (ii) could not be mado or
imposed by a court dociding the matter in the same jurisdiction. Discovery shall be permitted in
conneotion with the arbitration only to the extont, if any, expressly authorized by the arbitration panel

This Statement of Work, dated Februrary L6,2016 (this "SOW"), is made by Ernst & YoungLLP ("we" or "EY') and Jumio Inc. on behalf of itself and its affiliated entities listed inAppendix A (collectively, "you" or "Client"), pursuant to the Agreement, dated February 16,2016 (the "Agreement"), between EY and Jumio Inc..
Except as otherwise set forth in this SOW, this SOW incorporates by reference, and is deemed tobe a part of, the Agreement. The additional terms and conditions of this SOW shall apply only tothe transaction advisory Services covered by this SOW and not to Services covered by any otherStatement of Work pursuant to the Agreement. Limitations on scope
You have retained us to act solely as your financial advisor and not in any fiduciary or agencycapacity, for you, any other entity, or on your behalf.
We will not identify, address or correct any errors or defects in your computer systems (or thoseof the Business), other devices or components thereof ("Systems"), whether or not due toimprecise or ambiguous entry, storage, interpretation or processing or reporting of data. We willnot be responsible for any defect or problem arising out of or related to data processing in anySystems.
We will not, in connection with the performance of the Services or otherwise, (i) act as a brokerfor the sale of any securities, (ii) solicit any potential buyer or seller (including you) to engage inany transaction, or (iii) act as a negotiator of a transaction.
Your specific obligations
You will not, and you will not permit others to, quote or refer to the Reports, any portion,summary or abstract thereof, or to EY or any other EY Firm, in any document filed or distributedin connection with (i) a purchase or sale of securities to which the United States or statesecurities laws ("Securities Laws") are applicable, or (ii) periodic reporting obligations under

Securities Laws. You will not contend that any provisions of Securities Laws could invalidateany provision of this Agreement.
If you file for bankruptcy protection under Chapter 11 of the Bankruptcy Code, you shall useyour best efforts to apply promptly to the bankruptcy court having jurisdiction over the ChapterL1 case or cases (the "Bankruptcy Court") for the approval pursuant to sections 327 and328 of.the Bankruptcy Code of (Ð the Agreement and any outstanding Statements of Work thereunder,including this SOW, and (B) your retention of us under the terms of the Agreement, this SOWand any other outstanding Statements of Work thereunder. You shall supply us with a draft ofsuch application and any proposed order authorizing our retention sufficiently in advance of itsfiling and any proposed order in connection therewith to enable us to review and commentthereon. If the Bankruptcy Court approves our retention by you, our fees and expenses shall besubject to the jurisdiction and approval of the Bankruptcy Court under section 328(a) of theBankruptcy Code and any applicable fee and expense guideline orders. If you become a debtorunder the Bankruptcy Code and our retention hereunder is approved by the Bankruptcy Court,you shall pay all of our fees and expenses as promptly as practicable in accordance with theterms hereof. You shall pay all of our outstanding invoiced amounts to us in immediatelyavailable funds by wire transfer before you commence a case under Chapter LL.
You assume full responsibility for any financial statement and tax reporting issues relating toyour business or assets.
We also draw your attention to the reservations set out in paragraph 5 of the General Terms andConditions of the Agreement, as well as your management responsibilities under paragraph 6,your obligations under paragraphs 11 and 12, and your representation, as of the date hereof,under paragraph 26 thereof. You have obtained the prior approval of your Audit Committee forthese Services, as applicable.
Specific additional terms and conditions
The Services are advisory in nature. EY will not render an assurance report or assurance opinionunder the Agreement, nor will the Services constitute an audit, review or examination of anyentity's financial statements or prospective financial statements in accordance with generallyaccepted auditing standards or other applicable professional standards. None of the Services orany Reports will constitute any legal opinion or advice. We will not conduct a review to detectfraud or illegal acts, nor will we render any opinion as to the fairness or advisability of theproposed transaction or any other transaction.
The provisions of this SOW that give either of us rights beyond its termination shall survive anysuch termination and shall survive if you file for bankruptcy, reorganization, or liquidation ofyour assets under Chapter 7 or 1,L of Title 11 of the United Bankruptcy Code, or otherwise.
Our Reports may contain advice or communications that may be privileged under InternalRevenue Code Section 7525. If such information is provided to persons other than your

management, directors, or your legal counsel involved in its preparation or responsible fordetermining whether to implement it, you may waive such privilege.
You should be aware that the Internal Revenue Code imposes a penalty on an underpayment oftax attributable to any disallowance of claimed tax benefits because a transaction entered intoafter March 30, 2010, lacks "economic substance." The penalty rate is 20 percent if the
transaction is adequately disclosed to the IRS, with the penalty rate increased to 40 percent if the
transaction is not adequately disclosed in the relevant tax return or attachment to that return. Asthe penalty is one of strict liability, a taxpayer cannot show reasonable cause for the avoidance ofthe economic substance penalty by establishing reliance on the tax advice of a qualified advisor.Accordingly, our Tax Advice cannot provide any assurance that the claimed tax benefits of atransaction entered into after March 30,2010 would not be subject to disallowance by reason ofa determination by the IRS or the courts that a transaction lacks economic substance or fails tomeet the requirements of any similar rule of law, nor can Tax Advice that we provide be reliedupon to protect against applicable penalties that may be asserted if it is determined that thetransaction lacked economic substance where otherwise required.
Notwithstanding anything to the contrary in the Agreement or this SOW, we do not assume anyresponsibility for any third-party products, programs or services, their performance orcompliance with your specifications or otherwise.
We will base any comments or recommendations as to the functional or technical capabilities ofany products in use or being considered by you solely on information provided by their vendors,directly or through you. We are not responsible for the completeness or accuracy of any suchinformation or for confirming any of it.
Where our written consent under the Agreement is required for you to disclose to a third partyany of our Reports (other than Tax Advice), we will also require that third party to execute anon-reliance and release letter acceptable to us in form and substance.
If we receive a request from a third party for any information relating to our Tax Advice, we willnotify you and will not release any such information unless you have executed an appropriatewritten consent authorizing such disclosure and the third party has executed a non-reliance andrelease letter acceptable to us in form and substance.
EY Firms other than EY may render professional services to a potential buyer of any of yourbusiness or assets, in connection with your proposed restructuring or otherwise. You agree, ingeneral, that any EY Firm may render services to such potential buyers, as long as (a) nomember of the EY team performing Services under this SOW (the *EY Team") is part of anyteam serving other clients in connection with a transaction involving you or the Business whileServices under this SOW are being performed, and (b) the EY Team does not disclose to anyother such team any confidential information relating to you or the Business (except as requiredby applicable law, regulation or professional obligation), in either case without your prior written

consent. If we identify any such potential buyer while Services under this SOW are beingperformed, we will ask you specifically to confirm that the EY Firm may perform such servicesfor such buyer.
You acknowledge that you are operating in a financially distressed condition which could be theresult of any number or combination of factors. Your ability to achieve any business plan,estimates of future cash flow, andlor any restructuring plan depends upon a variety of factors,including, without limitation, (a) future market conditions for your products, (b) future capitalmarket conditions, (c) the cost and availability of financing, (d) the ability of your managementto implement your business plan successfully, (e) your ability to retain and attract keymanagement personnel, (f) your reputation among your customers and suppliers, and (g) the costand availability of materials and services. We make no representation or warranty, and assumeno responsibility with respect to any of these factors or with respect to your estimated cashflows, fair values or business plans or the assumptions underlying any thereof. You assume fullresponsibility for all such assumptions, as well as for their reasonableness, and for theimplementation and ultimate achievability of any of your business plans, strategies, or estimates.
The short-term cash flow templates (inflow/outflow build-up) will cover a period of 13-weeks.You will provide all assumptions and other inputs to the templates. The templates do notinterface with your information systems, and will not drive your budgeting process.
You represent and warrant that the prospective financial information (the "PFI") you provide usin connection with these Services (i) presents, to the best of your knowledge, your expectedfinancial position, results of operations, and cash flows for the PFI period and (ii) is based onassumptions reflecting both the conditions you expect to exist and the course of action youexpect to take during the PFI period. We will not examine, compile, or apply agreed-uponprocedures to the PFI in accordance with attestation standards established by the AICPA, and wewill not express any opinion, conclusion or assurance of any kind on the PFI presented.
You shall immediately disclose to us any information that might affect the ultimate realization ofthe PFI results. You shall develop assumptions that have a reasonably objective basis and shallprovide appropriate documentation supporting your assumptions. We will make factual findingsand observations about specific assumptions and components of the PFI where we havesufficient evidence of a reasonable basis for them. We will not prepare, assemble or gatherinformation necessary to prepare the PFI or the assumptions underlying it, nor will we assist youto do so. If we are unable to conclude that your underlying assumptions provide a reasonablebasis for the PFI, or if we determine that your documentation supporting your assumptions isinsufficient, we may be unable to complete the Services and will not include the PFI in theReports.
There usually will be differences between the PFI and actual results because events andcircumstances frequently do not occur as expected, and those differences may be material. The

Reports will contain a statement to that effect. We have no responsibility to update the Reportsin light of events or circumstances occurring after the date thereof.
At our request, you shall deliver a representation letter to us confirming your responsibility forthe assumptions underlying the PFI, your judgment as to the conditions you expect to exist, and
the course of action you expect to take during the forecast period, as well as the appropriatenessof the forecast and its presentation.
We will not prepare, assemble, formulate, develop or process the PFI data or assumptions used togenerate the PFI. Our Report may include tables aggregating quantified vulnerabilities toillustrate the effects of possible alternative assumptions. These tables, if presented, are not arestatement of the PFI, or preparation of revised PFI; they are provided as a means ofsummarizing our findings and to assist you in the assessment of their implications for theproposed transaction. You represent and warrant that you have the knowledge, experience andability to form your own conclusions related to the PFI.
Timetable
Unless otherwise agreed, and subject to the General Terms and Conditions of the Agreement, weexpect to perform the Services starting immediately.

Upon the Application for Entry of øn Order Authorizing the Employment and Retention
of Ernst &Young LLP as Financial Advisor to the Debtor Nunc Pro Tunc to the Petition Date
(the "Application");2 and upon the Ho Affidavit; and the Court having jurisdiction over this
matter pursuant to 28 U.S.C. $$ 157 and L334 and the Amended Standing Order of Reference
from the United States District Court for the District of Delaware dated as of February 29,2OL2;
and the Court having found that this Application is a core proceeding pursuant to 28 U.S.C. $
L57(b)(2) and the Court may enter an order consistent with Article III of the United States
Constitution; and the Court having found that venue of this proceeding and this Application in
this District is proper pursuant to 28 U.S.C. $$ 1408 and 1"409; and it appearing that sufficient
notice of the Application has been given; and it appearing that the relief requested by the
Application is in the best interests of the Debtor's estate; and sufficient cause appearing therefor;

ORDERED that the Application is GRANTED as set forth herein; and it is further
ORDERED that the Debtor is authorized, pursuant to Bankruptcy Code sections 327(a)
and 328(a), to engage, effective as of the Petition Date, upon the terms and for the purposes set
forth in the Engagement lætters, Ernst & Young LLP ("EY") as financial advisor for the Debtor
in the above-captioned Chapter LL Case nunc pro tunc to the Petition Date; and it is further
ORDERED that EY shall be compensated for such services and reimbursed for any
related expenses in accordance with Bankruptcy Code sections 330 and 33L, the Bankruptcy
Rules, the Local Rules, and any other applicable orders of this Court; and it is further
ORDERED that the indemnification provisions of the Engagement l¡tters are approved,
subject during the pendency of this Chapter L1, Case to the following modifications:
(a) EY shall not be entitled to indemnification or reimbursement of expensespursuant to the Engagement [ætters unless such indemnification orreimbursement of expenses are approved by the Court;
(b) Notwithstanding any provision of the Engagement Iætters to the contrary,the Debtors shall have no obligation to indemnify or providereimbursement of expenses to EY for any claim or expense that is either(i) judicially determined (the determination having become final) to havearisen from EY's gross negligence or willful misconduct, (ii) for a
contractual dispute in which the Debtor alleges the breach of EY'scontractual obligations, unless the Court determines that indemnificationor reimbursement of expenses would be permissible pursuant to In reUnited Artists Theatre Company. et al., 315 F.3d 217 (3d Cir. 2003); or(iii) settled prior to a judicial determination as to EY's gross negligence orwillful misconduct, but determined by this Court, after notice and ahearing, to be a claim or expense for which EY should not receiveindemnity or reimbursement of expenses under the terms of theEngagement lætters, as modified by this Order;
(c) If, before the earlier of (i) the entry of an order confirming a Chapter 11plan in this case (that order having become a final order no longer subjectto appeal), and (ii) the entry of an order closing this Chapter 11 case, EYbelieves that it is entitled to the payment of any amounts by the Debtor onaccount of the Debtor's indemnification or expense reimbursementobligations under the Engagement lætters (as modified by this Order),including without limitation any advancement of defense costs, EY mustfile an application therefor in this Court, and the Debtor may not pay any

such amounts to EY before the entry of an order by this Court approvingany such payment. This subparagraph (c) is intended only to specify theperiod of time under which the Court shall have jurisdiction over anyrequest by EY for indemnification or reimbursement of expenses, and isnot intended to limit the duration of the Debtor's obligations to indemnifyor reimburse expenses of EY; and it is further
ORDERED that subject to the conditions set forth herein, the Debtor is authorized to pay
EY in accordance with the Engagement lætters; and it is further
ORDERED that EY shall file applications for interim and final allowance of
compensation and reimbursement of expenses with respect to services rendered in this Chapter
LL Case in accordance with the applicable provisions of the Bankruptcy Code, the Bankruptcy
Rules, the l¡cal Rules, and any other such procedures as may be fixed by order of this Court,
and shall submit fee applications for hourly rate fees in one-tenth of an hour increments
consistent therewith; and it is further
ORDERED that the Debtor is authorized and empowered to take such actions as may be
necessary and appropriate to implement the terms of this Order; and it is further
ORDERED that this Court shall retain jurisdiction with respect to all matters related to
the interpretation or implementation of this Order.
