5. GENERAL TERMS & CONDITIONS PRICES: The quoted prices are for CIF Mumbai. EXCISE DUTY, SALES TAX AND OTHER LEVIES: The prices quoted are exclusive of all taxes, duties, levies, octroi etc., which have to be borne by you at actual at the time of delivery. You shall furnish necessary declaration forms wherever applicable The customer Duty is excluded and to borne by you. Present rates of Excise Duty is @10.0% Educational cess 3% and CST @ 2% against Form ‘C’ in absences of form ‘c’ 12.5% is applicable. VAT TIN Number 29450069265. Tax as applicable as VAT. WARANTEE: Warranty period is 12 months from date of commissioning and 18 months from date of supply whichever is earlier. The warranty period is extended up to 36 month from date of commissioning or 39 month from date of supply whichever is earlier upon following condition. • Inverter is maintained properly along with periodic preventive maintenance program as

scheduled by ABB. • The equipment will be released in due time for preventive maintenance to ABB’s

Representative for servicing/Maintenance purpose • Warranty will be void if customer’s fail to provide the equipment for preventive

maintenance. • Warranty does not cover consumable Items like Fuses, Air filter. The list is given in

Appendix-1 • The equipment warranty will be void if equipment is not kept in environment as

recommended by ABB. Force majeure

The following circumstances shall be regarded as cases of force majeure if they occur after acknowledge of order and if they are beyond ABB’s reasonable control such as but not limited to the act of God, war, riots , civil commotion, storm, floods, fire and industrial disputes and any other circumstances beyond reasonable control of ABB Ltd.

Each obligation of ABB ltd is suspended during the time and extent that ABB Ltd is prevented from or delayed in complying with that obligation by force majeure including a reasonable time required for de-mobilization / re- mobilization. If ABB Ltd is prevented from or delayed in complying with an obligation under the contract by force majeure for period beyond of at least 90 days then ABB Ltd may by notice to the customer terminate the contract.

Limitation of Liability:

Notwithstanding anything contained in this AGREEMENT, its Appendices or orders to the contrary, with respect to any and all claims arising out of the performance or non-performance of obligations under this AGREEMENT or purchase orders, whether arising in contract, tort, warranty, strict liability or otherwise, ABB's liability shall not exceed in the aggregate 100% of the Purchase order value or payments received whichever is lower.

Consequential Losses: ABB shall in no event be liable for loss of profit, loss of revenues, loss of use, loss of production, costs of capital or costs connected with interruption of operation, loss of anticipated savings or for any special, indirect or consequential damage or loss of any nature whatsoever.

ARBITRATION: All disputes arising in connection with this Agreement / Purchaser Order shall be finally settled and governed by the provisions of Arbitration and Conciliation Act, 1996. The arbitration panel shall consist of three arbitrators, one to be appointed by each Party and the third arbitrator shall be appointed by the two appointed arbitrators. The third arbitrator shall serve as a chairman. The award of the arbitral tribunal shall be final and binding on both Parties. The place of arbitration shall be at any metro city in india. The proceedings shall be conducted in English language. VALIDITY: Our proposal is valid for your acceptance up to 30 days beyond this date, the prices / terms and conditions are subject to our conformation / revision. ANNEX-3 SERVICE LEVEL AGREEMENT

This Service level agreement is valid for 36 months from the date of commissioning or 39 months from the date of delivery at designated port. The agreement includes Technical Support

Technical Support service includes:

a. 24 hours telephone service in case, the CUSTOMER´s technicians may need assistance.

b. Technical Support will be provided by a certified ABB engineer

c. Technical Support is available at all times and will be capable of coordinating the initial actions to resolve the emergency situations that may arise in or outside the ordinary working day with regard to the operation and maintenance of the Equipment.

Preventive Maintenance

Preventive maintenance service includes:

a. Actions at the customer’s premises determined by the start-up year of the drive b. Qualified and certified drives specialist to perform maintenance work c. Components replacement defined in the maintenance schedule with 100% genuine

parts d. Visual inspection of the electrical drive and its environmental conditions e. Inspection of the connections, the ribbon cables and the fiber optic cables f. Functional inspection of the fan(s) and the cooling system g. Inspection of the emergency stop and the prevention of unexpected start-up circuit if

applicable h. Inspection of the fault logger i. Inspection and storage of the parameters j. Functional testing of the drive under normal conditions, if planned k. Basic measurements with the supply voltage l. Inspection of the drive spare part inventory m. Reforming of spare module capacitors n. A service report

ABB carries out, on the said Equipment, the preventive maintenance actions according to ABB’s preventive maintenance schedule, if specified. The preventive maintenance schedules for the Solar Inverter( PCU). The maintenance work shall be limited to the scope of the services and supply specified in the preventive maintenance schedules.

Labour and displacement cost, overnights and allowance required related to preventive maintenance are included in the present contract price, with no extra cost for the Purchaser, Preventive maintenance performed by ABB will always be provided by a certified ABB engineer. ABB will deliver after each preventive maintenance visit a service report. The service report includes details of the work carried out (measures taken, routine tasks, changed elements, modifications and adjustments), findings, equipment status diagnosis and recommendations. ABB ensures that all spare parts, materials, equipment, and tools required in order to perform the scheduled preventive maintenance are available and prepared in the workplace with sufficient time in advance. ABB ensure that all the inspections included in the preventive maintenance schedule are carried out at the intervals recommended with the modifications mutually agreed by the Parties, taking the Commercial Operation requirements and the team’s needs into account ABB’s standard service report is used ABB will train the customer’s service personnel, to be able to perform first level Repair especially for the purpose of fixing simple Problem in PCU and carrying out minor maintenance work following ABB’s acceptance and the preventive maintenance program. Within the timeframe proposed by ABB, the customer may choose the most convenient date on which to carry out the programmed stops taking into account logistics, electricity sale prices, public holidays, etc. Additionally, maintenance stops, etc. shall be carried out, as far as possible, during periods of low electricity sales prices in order to minimize the effect of said stops on the Plant’s economic balance.

In the event that none of the dates included within the timeframe proposed by ABB is convenient to the CUSTOMER, it shall propose alternative dates which shall be considered by ABB and, if these do not affect the Plant’s expected safety, output, availability or useful life, nor entail an additional increase in its costs, ABB shall accept said modification proposals.

In case of major inspections due to Preventive Maintenance or unexpected on-site repairs, the widest possible range of working hours shall be established, even foreseeing the need for one or more work shifts and activities on weekends and public holidays, with the objective of reducing the Plant’s unavailability time as much as possible.

Repair service – on-site Repair service on-site includes:

a. Qualified and certified drives specialist to perform repair work b. Inspection of the fault logger c. Genuine spare parts to repair drive d. Functional testing of the drive under normal conditions e. Inspection and storage of the parameters f. Repair report

Labour and displacement costs, overnight stays and allowance required to repair possible failures are included.

Response time

Response time service includes:

a. Qualified and certified ABB engineer to arrive on-site within specific time to start troubleshooting

b. In the event of failure report (Written notification), ABB guarantees a maximum response time of 48 hours during normal working hours (from 8:00 am to 6:00 pm, Monday to Saturday) and 72 hours on, Sundays and public holidays. By response we understand the start of repair work in the Plant.

Spare part packages and modules The recommended Strategic Spare stock (hereinafter referred as SSP) refers to the set of spare parts indicated in the ANNEX-1 will be supplied by ABB, under the CUSTOMER´s request, invoiced separately and always quoted in advance. Strategic Spare Parts will be in stock at site and will be available to ABB under the following conditions:

a. SSP will be quoted in advance to the CUSTOMER.

b. The CUSTOMER will purchase Spare Parts, according to its exclusive decision.

c. ABB will request in advance needed spare parts to carry out preventive maintenance. This request will be in a written format, included in the “Maintenance Report”.

The warranty period for new spare parts, modules, exchange units, refurbished units and repair service for electronic boards is 12 months from the date of invoice. The repair warranty covers the complete repaired board. However, when a whole product, i.e. a frequency converter or a module is repaired, the warranty is limited to the repaired area / replaced parts. The repaired units are equipped with a sticker of approval from our Electronics Repair Center. The warranty becomes void if any repair / modification is performed by an unauthorized party without written agreement with us. The faulty parts must be returned to us within 30 days from the delivery of the replacing part, freight prepaid. The items accepted for warranty shall either be replaced or repaired. Only the faulty parts / products are compensated, no field repair work, handling fees, distance costs or any other indirect costs. Possible customs duties or similar are not covered. Further, if special / non-standard transport arrangements are required, ABB does not cover the freight and forwarding

costs. The final approval / disapproval of warranty is made after the defective items have been returned and tested by us, or by the original part manufacturer. Limitations to spare part and electronics repair service warranty Fuses are not accepted under warranty. Warranty can be declined due to customer’s inappropriate handling of the part or product, neglect of ESD-instructions or insufficient packing of the part. Please note that the repair work can be conducted by certified ABB engineers or certified Drives Alliance Partners only. In case warranty is denied due to above mentioned reasons or the faulty part returned by the customer is found without fault in our tests, we reserve the right to charge for the replacing delivery at current price list prices.

Training services Familiarization As a part of this contract, ABB will familiarize the CUSTOMER with the service products, tools and processes:

a. Technical support request handling

b. Service request handling (warranty / no warranty)

Minor preventive maintenance

As part of this contract , ABB will train CUSTOMER’s personnel to be able to perform minor maintenance tasks. These tasks are limited to:

a. Fan replacements b. Water cooling system check, filter, and ion compound replacement c. Filter replacements (cabinet) d. Cleaning e. Hands on training course

Basic operations and Maintenance training

Basic operation & maintenance issues are included in the training course
