E-Auction Business Rules& Guidelines for

“AUCTION OF COMMERCIAL COMPLEX AT BMC-KESHARI MALL, A/C

MARKET (JOINT VENTURE PROJECT), UNIT-II, BHUBANESWAR

Bhubaneswar Municipal Corporation, hereby referred to as BMC, has decided to make lease-cum-rent above mentioned Properties through online forward e-Auction mode. BMC has made arrangements for forward auction; e-payment integrated gateway, Bidder management etc. Please go through the guidelines given below.

DEFINITIONS

1. Lessor / Auctioneer: Lessor/Auctioneer referred in these conditions of e-Auction is the BMC through their officers.

2. Service Provider: An agency appointed as service provider to facilitate e- Auction on Internet by BMC. They are expected to facilitate organizing and conducting e-Auction and are considered as third party not particularly interested in the property being sold for and on behalf of BMC.

3. Bidder:An Individual who is a Citizen of India, or a Company registered under the Companies Act or Partnership firm or Proprietorship firm, PSU / Govt. Agency who are eligible to participate in the e-Auction and so participate.

4. E-payment: Mode of remitting the prescribed charges , 5. All Payments (Registration charge, Auction participation Charge/s) are to be done online

only. 6. EMD: EMD payment shall be done offline mode( i.e by NEFT challan). 7. Registration: The bidder/s are required to get registered online in the e-auction portal

with Class III or Class II Digital signature and keep themselves ready for the e-auction. 8. The Registration is valid for 1 year from the date of Registration. Registration charges

will be Rs. 1180/- (Rupees One thousand hundred and Eighty only) (Inclusive of GST) and is non-refundable and to be payable through online e-payment mode.

9. Request for participation: interested registered bidder can request for participation for one or more auction items (property /unit/ Asset) in e-auction portal.

10. Participation charge: The bidder shall also pay non-refundable “e-Bid Participation charge” of Rs 1000/- (Rupees One Thousand only) and will be valid only for one Auction event of a property /unit/ Asset for participating in e-auction. The participation charge shall not be valid for more than one property/unit/Asset. If the bidder wishes to bid for more than one property put for auction the participation charge will have to be paid separately for each property.

11. Earnest Money Deposit (EMD): Apart from one time e-auction registration charge and e-Bid participation charge, the Bidder will have to deposit Earnest Money Deposit (EMD) as per e-auction brochure “DETAILS OF ASSETS” table and it is separate for each unit/asset.

12. Bidding Currency: Bidding will be conducted in Indian Rupees (INR) only. 13. Bidding Period/ period of Bidding: Period between which the bidder can bid in the e-

auction portal for one or more asset. 14. Bid Start Price: The bid will trigger off from this price and is the same as offset price +

(Plus) one incremental value. 15. Incremental value: Incremental Value for this auction is Rs10,000/-(Rupees Ten

Thousand only) . Minimum Bid increment shall be available to the Bidders at the start of the auction. The bidder can bid higher than the Highest Bid (H1 Price) at any point of time in the auction by multiples of the minimum Bid increment. The minimum incremental value will be displayed against each property on the bidding screen of all participating bidders. The software will not accept any bid other than the multiple of incremental value.

16. H1 Price: It is the highest value placed in the bid at any point of time during the auction for the property. It will be visible to all the bidders on the screen and the bidders can bid an amount of “H1price+ (plus) incremental value or in multiples of incremental value”

only. 17. Auto Auction extension of the Closing time.

a. Auto Extension: if any bidder submits the bid less than 5 min prior to Auction closing time, the system will automatically extend the auction closing time by 10 min For Example: If the auction is closing at 15:00Hrs and if any bidder bids between 14:55 and 15:00 , the auto auction extension will extend the auction closing time to 15:10 , and if any bidder bids between 15:05 and 15:10, it will be extended to 15:20 and so on.

b. Unlimited Auto auction extension: As indicated above, if the bidder bids within the last 5 minutes of the auction closing time, the Auto Auction extension will continue to extend the Auction time till no bid is received within the last 5 minutes of the auction closing time.

18. Auto Bid: The Auto Bid feature allows Bidders to place an Automated Maximum Bid in an auction and bid without having to enter a new amount each time a competing Bidder submits a higher offer. Bidders are supposed to quote their next highest price in confirmation to the incremental value and in multiples of thereof only. There is no restriction on changing of the Auto Max Bid/value. But once Auto Max Bid/value is clicked and freezed, the same cannot be withdrawn at any point of time during the auction period. However, if the auction is cancelled and new auction dates are announced, the earlier Auto Max Bid/value shall have no relevance. After fixing his highest limit, the manual Bid button will be disabled. The system will automatically bid on his behalf, based in the auction’s H1 price. His bidding dashboard will show his Rank,

the H1 price and the highest bid ongoing in the auction. Until his auto-bid amount is not reached (in the H1 price Box) for a particular property in the e-auction, the manual Bid button on his screen will remain disabled. Once his auto bid amount reaches or crosses the Auto Max Bid/value amount, then he will have to bid manually otherwise the bidder may opt for auto bid again by setting a new maximum bid amount

19. Max multiples of increment value allowed per bid: bidder can quote the next H1 price upto current H1 price +(plus) the maximum allowed multiple of incremental value. For these auction Max Multiples of increment value allowed is 10 Times of the incremental value Eg: Offset price value = 1000, increment value 100, max multiple of increment allowed =10 time, If Current H1 value = 1800, maximum next bid can be = 2800 i.e. 1800 (current H1) +100(increment value) * 10(max multiple of increment))

20. Successful Bidder: At the end of the Forward Auction, BMC will decide upon the winner based on the highest bid placed for the property /unit/ Asset under auction and subsequent acceptance of BMC. The decision of Vice Chairman BMC will be final & binding on all the bidders.

Highlights of e- Auction

1. E-auction portal Registration: The bidder/s are required to get register online in the e-auction portal with Class III or Class II Digital signature( refer DSC Manual for details and support) and keep themselves ready for the e-auction.

2. Any registered/ approved bidder can request for participation in the auction through the e-auction portal for one or more properties/units/assets on before the date and time of application and deposit of EMD last date and time.

AUCTION REQUEST COMPLETION PROCESS OF e-AUCTION PORTAL.

N.b:- After uploading of all required document, bidders are requested to pay

Auction fee and EMD amount, after that he/she has to click on “Generate

Acknowledgement” & generate/download the auction submission

acknowledgement for each line/unit/asset on real time and note down the bid

control number for future reference. Without auction submission

acknowledgement in schedule time, even if bidder paid their EMD amount/uploads

mandatory document, the auction portal can’t recognize the bidder and he/she

may’t take part in e-bid participation of Auction.

3. Online Forward Auction bidding shall be open from 26.12.2018 & 27.12.2018 11:00 hr

to 17:00 hr, Bidders who has completed the Auction formalities and paid the prescribed charges and EMD can start bidding in the online forward auction from the Bid Start price (Upset price + one incremental value) onwards only. Hence, the first online bid that comes in the system during the online Forward auction shall be higher than the auction's Upset Price by one increment or absolute multiples of increment.

4. The onwards bidding will have to be higher by one incremental value than the H1 rate as quoted and displayed on screen or higher than the H1 rate/price by multiples of the incremental value.

5. Bidders will be able to view the following on their screen along with the necessary fields in the Forward Auction. Opening Bid Start Price& minimum Increment Value. Leading (highest) Bid in the e-Auction Bidder himself is H1

6. The bids will be taken as an offer to purchase the property as per terms & conditions attached with the Auction. Bids once made by a Bidder, cannot be cancelled / withdrawn by the Bidder and the Bidder shall be bound by the bid quoted, failing which the Earnest Money will be forfeited.

7. The Bidder must read the terms and conditions of the e-Auction very carefully for participating in bidding process.

8. BMC reserves rights to cancel the highest bid in any condition what so ever. The Notice for such cancellation shall be duly notified on the e-Auction portal.

9. BMC reserves the right to modify/ amend the terms and conditions and intimate the same prior to commencement of e-Auction or while the auction is in progress.

A. INTRODUCTION

With the growth of the residential sector, the demand for the commercial complex is also increasing in the city. The commercial requirement due to the residential development in Bhubaneswar and to the near-by neighbourhood is to an extent offered by BMC with the development of a commercial/shopping complex in the area in a joint venture with M/s Keshari Estates Pvt. Ltd.

The site is located in Unit-II, near Old Bus Stand. The site is approachable from East, North and South direction by 30 feet wide road, from the above directions. F. VIEWS

1. ELIGIBILITY:

1 The applicant must be a citizen of India.2 The applicant must be of 18 years of age or above, as on the lat date of submission of the

application. In case the applicant is a minor, he shall be represented by his/her natural/legal guardian.

3 The applicant or his/her family members is not the owner of any shop room within the jurisdiction of Bhubaneswar Municipal Corporation.

4 For the purpose “Family” means the applicant, applicant’s husband/wife and unmarried children.

5 Any allotment made due to suppression of facts shall be liable for cancellation and amount deposited shall be forfeited with criminal procedure against the applicant.

2. MANDATORY REQUIREMENT :1. The applicant must have a valid Permanent Account Number (PAN) of the Income Tax Department.2. The Bidder must have a Digital Signature Certificate (DSC) of Class-II or Class-III. Without DSC,

bidders will not be able to participate in the auction.

Note: For any difficulty/inconvenience faced by the bidder in Digital Signature Certificate a

help desk will operate in BMC Department during the period from 17.11.2018 to 17.12.2018.

Interested applicants are requested to take early steps for obtaining DSC to avoid the last minute rush.

3. SUBMISSION OF APPLICATION:3.1. The bidders are required to get registered online in the e-Auction portal with Class-III or

Class-II Digital Signature and keep themselves ready for the e-Auction. 3.2. The registration is valid for one year from the date of registration. Registration charges will

be Rs. 1,180/- (Rupees One Thousand One Hundred Eighty) only (inclusive of GST) and is non refundable and to be payable through Online e-Payment mode.

3.3. Registration charge(s) and auction participation charge(s) are to be done/paid through online payment mode only.

3.4. Auction EMD to be paid through manual mode/offline mode, i.e. through Bank transfer (NEFT/RTGS), challan can be downloaded from the Website.

Note: Bidder need to upload the scanned payment document during request of Auction Participation.

3.5. The bidder shall also pay non-refundable “e-Bid participation charge” of Rs. 1,000/- (Rupees One Thousand) only per each asset and this will be valid only for one auction event of a property for participating in e-Auction.

3.6. Apart from this, the Bidder will have to deposit Earnest Money (EMD) of Rs. 50,000/- (Rupees Fifty Thousand) only as per payment schedule in table mentioned at point No 5.

4. MODE OF ALLOTMENT(e-AUCTION):4.1. Successful Bidder: At the end of the forward auction, BMC will decide upon the winner

based on the highest bid placed for the property under auction and subsequent acceptance of BMC. The decision of Commissioner, BMC will be final and binding on all the Bidders.

In the event of one Bidder quoting the highest Bid for more than one asset and becoming the H1 Bidder for two or more assets at the closure of the auction, he will be the successful Bidder for only one asset, for which he has quoted the higher amount than the other Bids. In the rest of the assets, the H2 Bidder will be the declared the highest Bidder.

This process will be followed to ensure that one asset will be allotted to one applicant/Bidder based on his highest Bid and multiple allotments will not be made under any circumstances.

5. PAYMENT SCHEDULE: EMD to be deposited along with the application form as per amount mentioned in the table below.

5.1. The balance bidding amount calculated excluding EMD of Rs. 50,000/- (Rupees Fifty Thousand) only deposited, after which the provisional allotment order will be issued.

5.2. A person depositing Rs. 50,000/- (Rupees Fifty Thousand) only as EMD will be allowed to participate in the bidding of all the assets.

6.1. The Bids will be taken as an offer to purchase the property as per terms and conditions attached with the auction. Bids once made by a Bidder, cannot be cancelled/withdrawn by the bidder shall be bound by the Bid quoted, following which the Earnest Money will be forfeited.

6.2. The bidder must read the terms and condition of the e-Auction very carefully for participating in the bidding process.

6.3. BMC reserves the rights to cancel the highest bid in any conditions whatsoever. The notice for such cancellation shall be duly notified on the e-Auction Portal.

6.4. BMC reserves the right to modify/amend the terms and conditions and intimate the same prior to commencement of e-Auction or while the auction is in process.

6.5. BMC reserves the rights to postpone the date of auction due to technical issues. In such an event, all the applicants/Bidders will be intimated by e-Mail and this will be advertised in the Newspapers.

6.6. The highest bidders of each individual unit shall be allotted assets on the basis of their Bidding Price. An applicant can participate for all the units/shops separately.

9. REFUND/WITHDRAWAL/CANCELLATION:

9.1. In case the Bidder withdraws after issue of provisional allotment letter, the EMD amount deposited by him/her will be forfeited.

9.2. If an allotee fails to pay the amount due within the stipulated period of payment, BMC shall cancel the allotment.

9.3. The EMD amount of all unsuccessful applicants will be refunded to the Account of the applicant by RTGS.

10. DELIVER OF POSSESSION:

BMC will deliver the possession of the shop rooms on as-is-where-is basis to the allottees within one month from the date of final allotment and after full payment of the highest Bid amount, all statutory dues and taxes

11. TERMS AND CONDITIONS OF ALLOTMENT:

TERMS AND CONDITIONS

Condition for License-cum-Rent

11.1. The property shall be on rent “As is where is basis”.

11.2. The Commercial unit shall be allotted only to such applicant who is an individual

and citizen of India or a Company or Partnerships Firm or Proprietorship Firm for the

purpose of Office/ Commercial purpose who may also require to furnish such other

documents as may be directed by the Authority from time to time.

11.3. There will be separate bid for each shop in each floor.

11.4. The bidder has to bid separately for each Units/Assets for which the bidder is

required to deposit separate EMD amount and Participation charges.

A bidder is free to participate in all the Assets and bidder will be allotted to only one

asset for which he has quoted the higher amount than the other Bids.

11.5. The applicant has to clearly mention the nature of business he/she intends to

take up in the premises and BMC reserves the right to permit such business.

11.6. The allottee shall be responsible for obtaining electricity connection from the

Builder at his/her own cost and also pay holding tax/ground rent/all other statutory

taxes to the concerned authorities.

11.7. No addition/alteration of the existing structure shall be made by the allottee

without prior approval of the Authority.

11.8. Bidders, who fail to take over possession of the allotted asset within one month

from the date of intimation for taking over possession, shall be required to pay

watch & ward charges @Rs.10000/- per month or part thereof till he/she takes over

possession. In case possession is not taken within six months of allotment being

made, BMC shall have the right to cancel the allotment and dispose off the property

by fresh auction. In this case, the EMD amount along with 10% of the amount

deposited will be forfeited.

11.9. The allottee will have to submit a written undertaking in Non-judicial stamp

paper in the format prescribed by the BMC at their own cost to abide by the terms

and conditions of the scheme mentioned in this brochure which is to be executed

before Notary Public / Executive Magistrate.

11.10. The asset shall be allotted on lease-cum-rent basis for a period of five years.

11.11. On payment of all dues, the allottee shall be intimated separately within 60 days

from the date of allotment to register the lease-cum-rent agreement at his/her cost

after meeting all formalities.

11.12. In case of death of the applicant and/or the allottee, the legal heir / nominee

shall act as representative of his/her successors and accordingly all actions taken,

consent given, and approval made by him or her, shall bind the successors of the

applicant/allottee in all respects.

11.13. Service tax, GST and other statutory taxes, if applicable shall have to be paid by

the bidders before taking over physical possession.

12. Security Deposit

The Security deposit will be equivalent to 60 (Sixty) months rent rounded off to the next

Ten thousand that will be the base price for bidding.

13. Bidding Criteria

The bidder who will quote the maximum over and above the base price in e-auction will

be considered for allotment on rental basis. The deposits shall be interest free and shall

be refunded to the lessee without interest after expiry of lease period.

14. E-auction

e-Auction of shops for allotment on rental basis.

15. Earnest money Deposit (EMD)

15.1. The bid shall be accompanied with earnest money deposit (EMD) of Rs. 50,000/-

(Rupees Fifty Thousand) only. The EMD shall be adjusted towards bid amount in case of

successful bidders.

15.2. Auction EMD to be paid through manual/offline mode i.e. through Bank transfer

(NEFT/RTGS), challan can be downloaded from the website / (attached as annexure A)

or by online mode to the account of BMC in AXIS BANK bearing No. 911020002969780,

IFSC code UTIB0001127. The EMD amount should be credited into BMC account by due

date positively.

15.3 In case of un-successful applicants, the EMD shall be refunded without any interest by

registered post within 30 days.

16. Procedure for purchase of application form and submission of Bids

16.1 The complete e-Auction procedure is mentioned in our “e- Auction Business Rules-

BMC” Which is available in BMC Website http://www.bmc.gov.in/ along with Brochure.

17. Withdrawal of application

17.1 In case, an applicant withdraws his/her application before the bid opening date; the

EMD shall be refunded without any interest after deduction of Rs.10000/- towards

processing fees.

17.2 No application for withdrawal of bids will be entertained after 5.00PM of Dt.17.12.2018

18.2 BMC reserves the right to extend the last date of submission of application and/or the

date of auction.

18.3 The allotment of the asset shall be made to the highest bidder and in case of more than

one applicant quoting the same bidding price, the allotment shall be made through

lottery of these bidders.

19. Deposit of Bid amount

19.1 The selected bidders shall be required to deposit the full balance amount after

adjustment of EMD, after which provisional allotment letter will be issued. Inability to

deposit the balance amount within the prescribed time limit or withdrawal by the

bidder shall render the bid invalid and the total EMD amount will be forfeited.

19.2 On request of the bidder, Commissioner, BMC has absolute discretion to extend the last

date of deposit of any balance bid amount for a reasonable period up to maximum of 6

(six) months from the date of allotment, subject to payment of interest @ 12 % per

annum on the balance amount for the extended period. Inability to pay the balance

amount within the extended period shall render the bid invalid and the EMD will be

forfeited.

20. Cancellation

BMC reserves the right to cancel the auction for unavoidable reasons. In such case, the

application fees and EMD amount will be returned in full without any interest.

21. Formation of Society

The builder is responsible for operation and maintenance of all common utility spaces ,

amenities and services. The allottee shall undertake to make payment for rendering of

common service and for management and maintenance of the building and common

parts and facilities thereof to the management society. The allottee has to bear the

proportionate cost of maintenance of common area as will be decided in due course.

22. Interpretation

In case of any disputes relating to the terms and conditions of the bid or any other

matter relating to these, is/are arises the decisions of the Commissioner, BMC shall be

final and binding to the bidder.

23. Jurisdiction of Court

The courts of Bhubaneswar, shall have the jurisdiction over all matters for

determination of disputes/litigation if arises between the BMC and the bidder.
