This is to inform you that in compliance with the requirements of Section 124(6)of the CompaniesAct, 2013 read with the Investor Education and Protection Fund Authority (Accounting, Audit,Transfer and Refund) Rules, 2016 as amended to date, the Company has sent communication to allconcerned shareholders whose Dividend remain unclaimed for seven consecutive years from the dateit became due for payment, requesting them to encash the same on or before 31st May 2017, failingwhich the underlying shares of such unclaimed Dividends shall be transferred to the InvestorEducation and Protection Fund (IEPF), immediately after 31st May 2017.

We herewith enclose a copy of the Notice published in 'Business Standard' and 'Dinathanthi' on 10th

April 2017, pertaining to transfer of said Equity shares to IEPF.

NOTICE

TRANSFER OF EQUITY SHARES TO

INVESTOR EDUCATION AND PROTECTION FUND (IEPF)

Notice is hereby given to the shareholders of Titan Company Limited ('the Company')that pursuant to the provisions of Section 124(6) of the Companies Act, 2013 ('the Act')read with Investor Education and Protection Fund Authority (Accounting, Audit, Transferand Refund) Amendment Rules, 2017, ('Rules') Equity Shares of the Company in respectof which dividend amounts have remained unclaimed for seven consecutive years ormore are required to be transferred to the Investor Education and Protection Fund ('IEPF').

The Company has sent communication to the latest available address to all theconcerned shareholders whose shares are liable to be transferred to the IEPF, requestingthem to encash the unclaimed Dividend on or before 31st May 2017. The details of theshareholders to whom the communication has been sent along with the details of therespective unclaimed is available on the Company's website i.e., www.titan.co.in underthe 'Investors' section.

In this connection, please be informed that:

a. In case you hold shares in physical form and such shares are liable to betransferred to IEPF, duplicate Share Certificates(s) will be issued and the shareswould be transferred to IEPF. The original Share Certificate(s) which standregistered in your name and held by you, will stand automatically cancelled.

b. In case you hold shares in electronic form, your demat account will be debited forthe shares liable for transfer to IEPF.

In the event valid claim is not received on or before 31st May 2017, the Company willproceed to transfer the Equity Shares to IEPF without any further notice.

However, both the unclaimed dividend amount and the shares can be claimed by theconcerned sharholders from the IEPF Authority by making an application in theprescribed Form IEPF-5 online and sending the physical copy of the same duly signed(as per the specimen signature recorded with the Company) along with requisitedocuments enumerated in the Form IEPF-5. The Rules and the application form (FormIEPF-5), as prescribed by the MCA for claiming the shares/dividend, are available on thewebsite of the Company (www.titan.co.in) as well as on the website of MCA(www.iepf.gov.in). Please note that no claim shall lie against the Company in respect ofshares transferred to IEPF Authority pursuant to the said Rules.
